COMPANY PROFILE

Bluebird Fixings was formed in August 1988 by the four directorsof the business. The aim, at the time, was to produce for sale anew concept for connecting new walls to existing buildings at rightangles, such as garage extensions. This item would be called theBluebird Screwtie®.

Since the outset, the product range has been enlarged and nowincludes door cramps, as well as wire balloons to prevent birdsfrom nesting and/or falling down chimneys, thus removing thehazard of carbon monoxide poisoning to occupants of thehouse and subsequently expensive repairs. These havecomplemented other refurbishment items and roofing productsalready being produced.

Celebrating 15 years in business this year, Bluebird Fixings hasenjoyed continued growth, extending its product range andcontinuing to serve an ever increasing customer base within theconstruction and allied industries. Today, the Company has agentsin Northern Ireland and Scotland and a full sales infrastructure forEngland and Wales. The Company’s office is based in Lincoln.

Peter Hodder, Managing Director of Bluebird, comments: “In thepast two years we have extended our premises in Lincoln twice byadding two new bays – and of course installing machinery to suit.Through these developments, we are continuing to improve ourservice to all customers”.

He continues: “Bluebird Fixings has national contracts with all of thelarge builders merchants’ groups and most independent merchants asfar apart as Jersey, Guernsey, John O’Groats and the Isle of Man. Infact our proud boast is ‘Order today, delivery tomorrow’ ”.

TERMS & CONDITIONSTERMS & CONDITIONS OF SALE OF BLUEBIRD FIXINGS LTD.

1. GeneralThese terms and conditions shall apply to all trading between Bluebird Fixings Ltd. andthe customer. Acceptance by buyers of products supplied against this note will be treatedas an acceptance by them of these conditions which override all other terms andconditions inconsistent therewith, implied or otherwise. No variation of these conditionsshall be binding upon us unless otherwise agreed in writing.

2. Price FluctuationsPrices quoted are those ruling at the date of sales or quotation and are subject to variationwithout notice.

3. Notification of Loss, Shortages, Damages, etc. in TransitDamage and Pilferage. Any damage or pilferage in transit to goods dispatched must benotified in writing to us within three working days of delivery.Non Delivery. Non delivery of the whole consignment or any separate part or packagemust be notified to us within seven working days.

4. DeliveryBluebird Fixings Ltd. shall not be responsible for any loss or damage arising directly orindirectly from delays in delivery or failure to deliver due to causes outside its reasonablecontrol.

5. SuitabilityThe customer must be responsible for the suitability of the goods he orders.

6. PaymentUnless otherwise stated, payment of an account is due the 30th of the month followingthat in which the goods are delivered. In the event of late payment, Bluebird Fixings Ltd.reserves the right to levy interest at a monthly rate of 5% from the date on which the sumfell due until the date of the receipt of the overdue sum.

7. Title to GoodsTitle passes to the Buyer when payment is made in full and only when cheques have beencleared. If default in payment occurs the Buyer hereby consents to the Seller entering theBuyer’s property to repossess the goods supplied. Until payment to Bluebird Fixings Ltd.is made in full, the customer shall store and insure the goods. Nevertheless, if credit hasbeen allowed, prior to the actual time of payment for the goods, the customer is entitledto sell the goods to third parties in the normal course of his business.

8. The purchaser’s power of sale shall automatically cease if a receiver is appointed over anyof the assets of the undertaking of the purchaser or a winding up order is made against thepurchaser or the purchaser goes into voluntary liquidation (otherwise than for the purposeof reconstruction or amalgamation) or calls a meeting of or makes any arrangement orcomposition with creditor or commits any act of bankruptcy.

9. Upon determination of the purchaser’s power of sale under (8) above, the purchaser shallplace the goods at the disposal of Bluebird Fixings Ltd. who shall be entitled to enter uponany premises of the purchaser for the purpose of removing such goods from the premises(including severance from the reality where necessary).

10. V.A.T.All quotations and prices are exclusive of Value Added Tax, unless otherwise specifiedV.A.T. will be added to all invoices at the rate applying at the appropriate tax point.
