VENTANA SPRINGS RANCH LLC AUCTION TERMSBidder registration: All Bidders must register and provide ID (valid Drivers License or Passport) and receive a bidder’s card in order to bid at the auction. In addition, funds required for bidder registration: a $10,000.00 cashier’s check made payable to the Bidder or an Irrevocable Letter of Credit from your lender. All checks will be held by the Broker. Non-purchasing Bidders may return their bidder card after the auction for the return of unused funds tendered to the Broker.

sale Method: The real estate will be offered in 26 tracts, combinations thereof, and as a total unit for bidding. All bids compete and are open for advancement until the Auctioneer announces that the real estate is sold and that the bidding is closed. The property will sell in the manner that the most dollars are generated for the Seller. Bidding increments are solely at the discretion of the Auctioneer. Tie bids, if any, may be open between the two bidders only at the discretion of the Auctioneer. No absentee or telephone bids will be accepted without prior approval of the Auctioneer or Seller. All decisions of the Auctioneer are final.

Buyer PreMiuM: A buyer premium fee equal to 2.5% will be added to your bid to arrive at the final contract price due and payable from the Buyer at closing.

earnest dePosit: Immediately after the auction all successful Bidders will enter into a real estate sale contract and deposit with the Broker earnest money equal to 10% of their accepted bid. The earnest deposit shall include your cashier’s check and the balance of the 10% may be paid by personal or company check.

Cash sale: This is a cash sale only. No purchase is contingent on the Buyer obtaining financing.

Possession: Upon closing, unless it is announced that a parcel sells subject to lease or if other mutually agreeable arrangements are made between the Buyer and Seller.

Closing date: All parcel closings must be completed no later than September 30, 2008.

taxes & leases: All real estate taxes, State of New Mexico leases, and BLM leases will be prorated to closing for settlement between the Seller and Buyer to closing.

title insuranCe & Closing: The Seller will furnish at their expense an owners policy of title insurance for all parcels in the amount of the contract price. All required lenders title insurance costs will be assumed by the Buyer. All escrow closing costs will be shared equally by the Seller and Buyer.

survey: No surveys will be provided by the Seller. Any survey work completed by the Buyer will be at the Buyer’s expense.

Minerals: No minerals rights or interests will be conveyed to the Buyer, surface rights only sell.

aPProval of Bids: Final sale is subject to the Seller’s approval or rejection of all bids.

sale Method: The real estate will be offered in 26 tracts, combinations thereof, and as a total unit for bidding. All bids compete and are open for advancement until the Auctioneer announces that the real estate is sold and that the bidding is closed. The property will sell in the manner that the most dollars are generated for the Seller. Bidding increments are solely at the discretion of the Auctioneer.
