Gray Rock Acquires De Coors’ Mining Properties TSX.V: GRK

� In September 2016, Gray Rock announced a binding letter agreement with DeCoors Mining Corp. to acquire the Surprise Lake Property near Atlin, BC along with 6 early stage exploration properties in BC

� DeCoors Mining is a private company comprised of experienced prospectors, geoscientists and field exploration techs who have devoted decades to exploration around Atlin and other prospective regions in the province

� Gray Rock plans to inject the necessary capital to leverage the experience of the DeCoors geoscientific team to move the projects forward

� DeCoors senior team is comprised of John Buckle P.Geoph, P.Geo, Peter Shorts,, and Matt Fraser

Gray Rock’s projects are located in throughout British Columbia in jurisdictions with significant past and present mining operations In 2015, economic output from mine production in British Columbia reached $7 billion, with metals mines accounting for $3 billion

A. Northern BC The Surprise Lake, Tardis, Titan and UM properties are located near the historic placer mining town of Atlin, BC and have a combined area of 7,000 hectares

B. Central, BC The Cabin, GSLT and Ootsa properties are located between New Gold’s Blackwater project and Centerra Gold’s Endako Mine and have a combined area of 1,645 hectares

C. Southern, BC Gray Rock’s Silver Stream property is located in close proximity to the prolific Bralorne gold mine and has an area of 490 hectares, the Bralorne mining camp produced over 4 million ounces grading over 0.5 oz/t between 1928 and 1971

• The Atlin placer gold camp, located on the eastern shore of Atlin Lake ranks as the second largest producer of placer gold in the province

• Reported placer gold production between 1898 and 1946 from creeks in the Atlin area totaled 19,722 kg (634,147 ounces)

• A number of the large placer deposits, including those on Otter, Spruce and Pine creeks, continue to produce significant quantities of gold to the present

• Gray Rock’s projects in the area are focused on studying bedrock with the goal of locating the source of the placer gold which has been deposited in the river and stream beds around the Surprise Lake batholith

� The Surprise Lake project is located 18 kilometers east of the town of Atlin in northwestern British Columbia

� Large parts of the property are situated within the drainage basins of several prolific gold placer streams such as Otter Creek, Pine Creek and Spruce Creek which are actively being mined.

� Based on the discovery of visible gold in bed rock beneath Otter Creek, it is likely that some of the placer gold originated from the bed rock on the Surprise Lake property

� The property is defined by 4 contiguous project areas known as: Birch, Surprise Lake, Otter Creek and Idaho Peak.

� The project has excellent infrastructure with road access, local power grid and a town with skilled workers

Surprise Lake Project – New Discovery in 2016 TSX.V: GRK

� The Surprise Lake Property covers two documented mineral occurrences on file with the British Columbia Geological Survey (Surprise and Cabin Silver),

� In July, 2016 visible gold was discovered in the bedrock along Otter Creek

� Additional channel sampling near the discovery produced assay values as high as 42.1 g/t Au.

� The gold is hosted by quartz vein stockwork and variably pyritic pale green and graphitic phyllite wall rock, proximal to the northerly trending Otter Creek Fault.

� Studies of this bedrock are currently underway by the BC Geological Survey to determine the age, petrology and geochemical associations. The extent of this mineralization is the primary focus of the current property exploration.

� In January 2017, a study titled: A new lode discovery at Otter Creek: another source for the Atlin Placers was published by the BCGS

� In the past, conventional wisdom suggested that the source of the Atlin placer gold would be found in quartz veins hosted in listwanite

� Extensive exploration for this type of mineralization has taken place over the last century with little success

� The 2016 DeCoors discovery of visible gold in bedrock beneath the Otter Creek placer pit in black, pyritiferous phyllite with abundant quartz veins has led to a staking frenzy in the area around the Surprise Lake Property

� Gray Rock is also encouraged that most of the placer gold found in Otter greek is course, which means it is from a local source

Property-wide reconnaissance exploration including data compilation and GIS, aerial drone survey, soil geochemistry, geophysical surveys, trenching and mapping to identify drill targets. ($200,000)

� The properties offer potential for the discovery of “low sulfidation epithermal vein deposit” (“LSEVD”)

� Past exploration has identified numerous mineralized structures on all 3 properties

� According to an assessment report filed with BC’s Minestry of Energy and Mines, drilling in 1972 intersected mineralization in several holes of which the best was 0.65 metre at 2714.98 g/t silver, 8.6 per cent zinc and 5.05 per cent lead*

� In 1976, Nithex Exploration drilled 7 holes, one encountered a 70-ft intercept of 1.16 Oz/t Ag & 1.07% Zn. A second hole had a 10 ft intercept of 2.82 Oz/t Ag & 2.65% Zn.*

Silver Stream

� The Silver Stream property is located in south-central BC roughly 25 Km from the historic Bralorne Mine

� Preliminary exploration programs have identified 2 distinct anomalies along 1 km long trend

� Trenching on the “South-east” anomaly discovered a series of parallel gold bearing shears, returning results as high as 0.479oz/t (15.4 g/t) gold, indicating a similar to the structure and grade as those found at Bralorne

� The Silver Stream property is also subject to an option agreement with an active jade mining company
