It markets, supplies and distributes an extensive range of floorcovering products, encompassing carpets, vinyl, laminate and parquet from its estate of freehold distribution facilities to independent retailers and flooring contractors. Reporting directly to the Group CEO and Group CFO, I was responsible for all Operational Finance matters & IT, managing a team of 25 Divisional FC’s and FD’s located throughout the UK and Continental Europe. Background I joined the group when it was started from zero in 1992. Achievements: Business Development / M & A

• Part of a three-man board totally responsible for the strategic direction of the group. Played a significant role in the development and profitable growth of the group both domestically and internationally. The group’s turnover grew from £0 to £654m. The group’s profits subsequently increased from £0 to £47m during this period.

• Responsible for managing the acquisition of 47 businesses, acquired during my time with the group. Furthermore, evaluation of many more aborted targets. The acquired businesses ranged in size from £0.5m to £100m + turnover. All businesses met their pre-deal expectations and remain a part of the group today.

• Pre completion, this encompassed pre - acquisition target evaluations, initial meetings with vendors, all detailed financial and operational due diligence (no third party services were engaged as a result), involvement with the sale and purchase agreement preparation.

• Post completion, managing the change of ownership and integration process. Ensuring compliance

with all group wide operating procedures and conversion to the group’s IT systems, reporting and planning procedures.

Performance Management • Designed, developed and implemented detailed financial performance reporting across the UK and

Continental European businesses. Thus ensuring the production of fast (three days) but accurate, consistent reporting across the ever-growing group.

• Leading the strategic and operational financial planning process from beginning to end.

• Instigated, designed and managed the detailed annual planning process which became the single

most important exercise in the group’s operating calendar as it formed the basis for all senior management remuneration.

• Concisely updating the main board (including NED’s) on the monthly operating performance and

providing appropriate counsel at monthly board meetings.

Financial Control • Developed and introduced, year-end style, daily and monthly control disciplines and regimes.

Receiving the plaudits of the Group’s auditor, KPMG, each year at the audit committee meeting. Several of the managing partners described it as the best controlled business they had seen.

• Managed and oversaw the full and half year financial reporting process through to the group consolidation for the Annual report & accounts

• Monitoring and managing working capital requirements and cash controls. Deciding upon

provisioning policies.

• Expert understanding of the challenges of managing a fast moving, high value inventory (£100m + by value).

Other responsibilities

• Managing the IT function (including the comms & data infrastructure). Designing and implementing effective system solutions.

• Design and development of freehold operating facilities from architectural to occupation phases.

• Attracting, recruiting, motivating and retaining a high calibre international finance team.

• Engaged as a pension trustee for large defined benefit and defined contribution schemes for over 20

years.

• Settled in excess of £8m of major incident, insurance consequential loss claims with material P & L gain.

June 1988 to June 1992 Chief Financial Accountant Turnover £700m TUI Group (formerly Lunn Poly) 850 holiday shops Staff 3,500 Lunn Poly was the retail arm of the Thomson Travel Group, which also encompassed Thomson Holidays and Britannia Airways. The Group was subsequently acquired by the TUI Group. Lunn Poly expanded rapidly from an estate of 50 shops to 850 shops during my four year tenure. Reported to the Finance Director Achievements:

• Maintaining and implementing appropriate financial controls through responsibility for the Financial Control department.

• Daily and monthly cash flow and working capital monitoring and reporting. • Responsible for the Shop expansion capital expenditure programme appraisal and reporting,

together with all other fixed asset reporting. • Responsible for the Payroll and Incentives department, centralised Purchase ledger and Cashiers

departments – 27 staff.
