This has reference to the invitation for the EoI notice dated 11.04.2018 published on

BHEL’s website www.bhel.com for Selection of Technology Provider to enable BHEL to

participate in tenders of Waste Water Treatment Facilities with O&M for 15 years.

The due date for receiving the proposal against the EoI has now been extended up to

10.05.2018.

Interested prospective technology providers shall ensure that their response along with

forms as mentioned in the EoI are received by BHEL on or before 10.05.2018.

2. The purpose of this EoI document is to provide the Prospective Technology Provider(s) with information to assist the formulation of their Proposals. This EoI document does not purport to contain all the information each Prospective Technology Provider(s) may require. This EoI document may not be appropriate for all persons, and it is not possible for BHEL, its employees or advisors to consider the business/investment objectives, financial situation and particular needs of each Prospective Technology Provider(s) who reads or uses this EoI document. Each Prospective Technology Provider(s) should conduct his own investigations and analysis and should check the accuracy, reliability and completeness of the information in this EoI document and where necessary obtain independent advice from appropriate sources.

6. The Prospective Technology Provider(s) shall bear all costs associated with the preparation, technical discussion/presentation and submission of EoI, BHEL shall in no case be responsible or liable for these costs regardless of the conduct or outcome of the EoI process.

7. Canvassing in any form by the Prospective Technology Provider(s) or by any other agency on their behalf shall lead to disqualification of their EoI.

DETAILS OF EXPRESSION OF INTEREST (EoI)

3.1 ABOUT BHEL

Bharat Heavy Electricals Limited (BHEL) is a Central Public Sector Enterprise, wherein Government of India is holding 63.06% of its equity. It is an integrated power plant equipment manufacturer and one of the largest engineering and manufacturing companies of its kind in India having a turnover of around US $ 4.5 billion. The company is engaged in the design, engineering, manufacture, construction, testing, commissioning and servicing of a wide range of products and services for the core sectors of the economy, viz. Power, Transmission, Industry, Transportation, Renewable Energy, Water Management, Oil & Gas and Defence with over 180 product offerings to meet the needs of these sectors. The energy sector covers Generation, transmission and distribution equipment for hydro, thermal, nuclear and solar photovoltaic. 3.2 ABOUT INDUSTRY SECTOR

Industry Sector segment provides comprehensive solutions for Captive Power Generation, Transmission, Transportation, Renewable Energy, Energy Storage, Water Management, Defence & Aerospace, Industrial Products (Oil & Gas) and Electrical machines. Design, manufacture, supply and services are offered for a broad range of systems and individual products, such as coal and gas-based captive power plants (including cogenerating and combined cycle plants), industrial boilers and auxiliaries, waste heat recovery boilers, gas turbines, heat recovery steam generators, steam turbines and auxiliaries, pumps, HT motors, centrifugal compressors, drive turbines, oil rigs, well heads and X-mas trees, valves, transformers, reactors, switch gear, insulators, photo voltaic modules, Ground mounted and roof top solar PV plants, Solar PV powered pumps for drinking water, energy storage system, space grade solar batteries for satellite application, water


treatment plants, cryogenic systems, electric locomotives, electrical propulsion systems, e-mobility, strategic equipment for defence forces. BHEL offers turnkey Solutions from concept to commissioning for various feed water characteristics ranging from pre-treatment to tertiary treatment in water segment, including Pre Treatment Plants, Desalination Plants, Demineralization (DM) Plants, Membrane Based Treatment Systems, Effluent Treatment Plants (ETP), Tertiary Treatment plants (TTP), Sewage Treatment Plants (STP), Zero Liquid Discharge (ZLD) Systems etc.

BHEL also has dedicated Pollution Control Research Institute (PCRI), which supports in performance evaluation of the different treatment plant, assessment of water/effluent/sewage characteristics and Water Audits etc. BHEL has executed number of water treatment plants in various power stations and industries.

3.3 OBJECTIVE OF EoI:

The objective of this EoI is to select Technology Provider(s) for exclusive tie-up and entering into Memorandum of Understanding (“MoU”) to collaborate for any or all Tender(s). In the event, the “Tenderer” (BHEL along with the Partner(s)) is declared successful and awarded the “Project”(s), the “Technology Provider(s)” will supply the waste water treatment technology including supporting backup on overall treatment plant and to give technical assistance in execution of the project till expiry of defect liability period for the Project(s). The Prospective Technology Provider(s) will undertake that the technology being offered conforms to all technical specification requirement set forth in the Tenders attached at Appendix A and further agrees to abide by the execution schedule agreed by the Tenderer. Detailed scope of work and responsibilities of Technology Provider(s) shall be finalised for each tender separately before submission of bid to the Employer (“MCGM”). It may be noted that BHEL has floated a separate EoI for the purpose of selection of Partner(s) for joint bidding and execution of the Project(s).

3.4 INSTRUCTIONS

3.4.1 Cost during Bidding: The selected Technology Provider(s) shall bear all costs for its scope associated

with the preparation of the bid by Tenderer, regardless of the conduct or outcome of the bidding process.

3.4.2 Language of Documents: All correspondences and documentation by Technology Provider(s) shall

be in English language, provided that any printed literature furnished by the Technology Provider(s) may be written in another language, as long as such literature is accompanied by a translation of its pertinent passages in English language in which case, for purposes of interpretation, the English translation shall govern.

3.4.3 The Prospective Technology Provider(s) shall abide by the terms & conditions, as applicable, of the

referred tenders attached at appendix A. 3.4.4 All pages of the EoI shall be duly signed by the authorised signatory.

3.4.5 Multiple proposals from the same Prospective Technology Provider(s) should not be submitted.


3.4.6 BHEL at their discretion shall inspect the Prospective Technology Provider works/office/reference site premises for the purpose of evaluation, as deemed necessary before selection of Technology Provider. BHEL decision in this regard shall be final.

3.4.7 The Selected Technology Provider(s) will enter into MoU during tendering stage and Format of MoU is provided in the Appendix A as part of the tender documents.

3.5 ELIGIBLE PROSPECTIVE TECHNOLOGY PROVIDER(S)

3.5.1 Prospective Technology Provider(s) may have the nationality of any country. The Prospective Technology Provider(s) shall be deemed to have the nationality of a country if the Prospective Technology Provider(s) is constituted, incorporated or registered and operates in conformity with the provisions of the laws of that country, as evidenced by its articles of incorporation or documents of constitution, and its registration documents.

3.5.2 The Prospective Technology Provider(s) shall be Private, Public or Government owned entity. Government entity shall be eligible only if they can establish that:

I. They are legally and financially autonomous, and II. They operate under commercial law, and

III. They are not a dependent agency of the Employer (MCGM).

3.5.3 Only those Prospective Technology Provider(s) can participate in this EoI, who wish to exclusively tie-up as Technology Provider with BHEL. Prospective Technology Provider(s) or any of its associates/affiliates (inclusive of parent firms) cannot directly or indirectly participate in the tender process of the referred tender(s) either individually or as member of other JV or as technology provider to another party.

3.5.4 Any Prospective Technology Provider(s) which has been barred/blacklisted by the Central/State

Governments or by any entity controlled by Central/State Governments from participating in any project, as on date of submission of EoI, shall not be eligible to submit the EoI.

3.5.5 Any Prospective Technology Provider(s), which has been barred/blacklisted by the World Bank, Japan International Cooperation Agency (JICA) or any other International Financing Institution, from participating in any project, as on date of submission of EoI, shall not be eligible to submit the EoI.

3.5.6 Prospective Technology Provider(s) that has been expelled from any project or contract by any public entity in the last X years as on date of submission of EoI, shall not be eligible to submit the EoI. X= 3 years for Ghatkopar, Bhandup, Worli & Dharavi Tenders X= 5 Years for Versova Tender

3.5.7 Prospective Technology Provider(s) shall not have been debarred/blacklisted as 3.5.4, 3.5.5 &

3.5.6 above, till the award of the contract by the Employer (MCGM).

3.5.8 In case of international Prospective Technology Provider(s), Prospective Technology Provider(s) shall obtain security clearances from Govt. of India i.e. Ministry of Home Affairs or from any of its department and provide the same with EoI.


3.6 CONFLICT OF INTEREST

Prospective Technology Provider(s) shall not have a conflict of interest. Any/All Prospective Technology Provider(s) found to have a conflict of interest shall be disqualified. Prospective Technology Provider(s) may be considered to have a conflict of interest, if:

(a) Prospective Technology Provider(s) has been engaged by the Employer (MCGM) to provide consultancy services for the tender preparation related to procurement or implementation of the project or similar projects;

(b) Prospective Technology Provider(s) is an associates(s)/affiliate(s) (inclusive of parent firms) of a firm or an organization mentioned in subparagraph (a) above; or

(c) Prospective Technology Provider(s) lends, or temporarily seconds its personnel to or utilizes

services of personnel of firms or organizations which are engaged by the Employer in consultancy services for preparation of tender document or implementation of the project or any other similar project

3.7 PROCESS TO BE CONFIDENTIAL:

Information relating to the examination, clarification, evaluation and comparison of EoIs and recommendations shall not be disclosed to Prospective Technology Provider(s). Any effort by Prospective Technology Provider(s) to influence BHEL processing of EoIs or selection decisions may result in the rejection of the EoI.

3.8 MISCELLANEOUS:

3.8.1 Right to accept or reject any or all Applications:

i. Notwithstanding anything contained in this EoI, BHEL reserves the right to accept or reject any Application and to annul the EoI Process and reject all Applications, at any time without any liability or any obligation for such acceptance, rejection or annulment and without assigning any reasons, thereof. In the event that BHEL rejects or annuls all the Applications, it may at its discretion, invite all eligible Prospective Technology Providers to submit fresh Applications.

ii. BHEL reserves the right to disqualify any Applicant during or after completion of EoI process, if it is found there was a material misrepresentation by any such Applicant or the Applicant fails to provide within the specified time, supplemental information sought by BHEL.

iii. BHEL reserves the right to verify all statements, information and documents submitted by the Applicant in response to the EoI. Any such verification or lack of such verification by BHEL shall not relieve the Applicant of his obligations or liabilities hereunder nor will it affect any rights of BHEL.

3.8.2 Governing Laws & Jurisdiction:

The EoI process shall be governed by, and construed in accordance with, the laws of India and the

Courts at New Delhi (India) shall have exclusive jurisdiction over all disputes arising under,

pursuant to and / or in connection with the EoI process.


SECTION -4

PRE-QUALIFICATION CRITERIA

The determination will take into account the technical and experience capabilities and past performance of the Prospective Technology Provider; it will be based upon an examination of documentary evidence of the Prospective Technology Provider’s qualifications submitted by the Prospective Technology Provider as well as such other information, as the BHEL deems necessary and appropriate. The Technology Provider desiring for participation should meet the following Pre-Qualification Criteria:

ii) For each Reference Project submitted as Eligible Experience the Technology Provider shall submit the following as per the formats provided in Forms.

Certificate from the concerned client on client’s letter head in the format provided. Duly notarized copy of work order / extract of contract confirming the scope of work. In case a particular project has been jointly executed by the Prospective Technology Provider(s)

as part of a JV, the Prospective Technology Provider(s) shall further support its claim by producing a certificate from its Statutory Auditor or the client.

iii) Design Standards shall be specifically mentioned in the contract document or agreed in writing with

the client before commencement of the project. The experience certificate should mention effluent standards achieved during commissioning and during maintenance period.

iv) The plants referred for 4.1(6) above should be newly constructed plants. The refurbished / augmented /expanded plants shall not be considered.
