1. Intent and Objective

In the recent past, to improve the operational efficiency of the Discoms and to

provide better cost effective services to consumers, Power Distribution Sector

worldwide is rapidly adopting the Smart Metering Technology. This technology is

futuristic and helps discoms in effective distribution operations as well as help

utilities in managing dynamic and disruptive changes happening in the grids due to

solar energy infusion, Home Automation, Electric Vehicles, Storage, etc. In India,

itself, there are around 270 million consumers and smart metering adoption is in

initial stage. Similarly, for any Smart Cities, Smart Energy is a prerequisite for which

Smart Metering is the core enabler.

The Tata Power Company Limited (Tata Power) based on its wide presence and

successful experience in technology adoption in Power Distribution Sector in

Mumbai, Delhi & Ajmer and extensive experience in National Level schemes of

Power Distribution Sector like IPDS / R-APDRP (Part-A) / RAPDRP (Part-B) /

NSGM etc. has intent to offer end-to-end services to state discoms in implementing

Advanced Metering Infrastructure (AMI) at competitive prices and with proven

technology. For this purpose, Tata Power would like to empanel experienced

solution partners with proven technologies who can jointly participate with Tata

Power in AMI / Smart Grid Business Opportunities in India and abroad. Through this

EOI Notice, we invite EOI from the solution providers (Domestic as well as

International ) of following three categories.

1. Smart Metering solution provider, covering following components a) Single Phase / Three Phase / LT-CT Meters (As per relevant standard) b) Meter Boxes

2. AMI Communication Solution Provider a) RF Mesh / Hybrid solution of RF Mesh with GPRS b) RF Communication Card compatible with Smart Meters c) Field Communication Devices (Router / Collectors / DCU/ etc.) d) Head End Software

3. Back End IT Infrastructure with MDM and Data Analytics a) IT servers, storage, Network Equipment’s (Switches / Routers), etc. b) Meter Data Management System c) Business Intelligence and Data Analytics Software

3. Minimum Qualification Requirements

3.1 General Minimum Qualification Requirements applicable for all three roles

3.2 Minimum Qualification Requirements for Smart Meters Suppliers.

Bidder should have manufactured and supplied / commissioned at-least 10,000 smart meters in India or abroad using the RF / GPRS / Hybrid Technology.

Bidder should provide undertaking that there BIS certified (16444) Smart meter shall be ready within 3 months from the date of selection.

Undertaking on Company Letterhead. Note – Only BIS certified Smart Meters would be offered to our clients

Bidder should have minimum average annual turnover of Rs. 200 Crores (equivalent to USD 30 million) in last three financial years.

Copy of Audited Statement of Accounts duly certified by Chartered Accountant or Company Auditor along with certificate stating the Turnover and Net worth.

For meeting the Minimum Qualification Requirements as tabulated above, Bidder may use

the credentials of its parent or any subsidiary company (wherein the Bidder holds more than

50% equity stake) subject to the Parent company or the subsidiary company whose

credentials are submitted give an undertaking to the Bidder specifying that it has read the

scope, made itself aware of the terms & conditions and also appends a “No-Objection

Certificate” for participation in this opportunity. Such documents should be attached with the

3.3 Minimum Qualification Requirements for Communication Solution Provider.

Bidder should provide an undertaking that proposed Communication solution has provision of interoperability and integration with at-least 3 different makes of smart meters. Supporting undertaking from three (3) meter manufacturer (OEMs) need to be submitted.

Required Undertakings on the company Letterhead of different smart meters manufacturers.

Proposed Communication system should be complete for transferring the data from Meter to Meter Data Management System. All the hardware / software like HES, Router, Collector, RF / GPRS NIC Card etc. should be part of the proposed solution

3.4 Minimum Qualification Requirements for IT Infrastructure Solution Provider.

Bidder must have experience of setting up Backend IT Infrastructure (On Premise / Cloud) directly / through sub-contractors for at-least two different clients and each setup must cover at-least 100 end users in last five years.

6 Bidder should have minimum average annual turnover of Rs. 25 Crores (equivalent to USD 4 million) in last three financial years.

the credentials of its parent or any subsidiary company (wherein the Bidder holds more than

4. Instructions to Bidders

In the event detailed tender documents are downloaded from TATA POWER-DDL website or are received through email from TATA POWER-DDL, the Tender Fee of INR 1,000/- shall be compulsorily submitted along with bids any such bid submitted without this Fee shall be rejected.

Bidders are requested to visit TATA POWER-DDL website http://www.tatapower-ddl.com regularly for any modification/ clarification to the bid documents.

Mandatory documents required along with the Bid

a) Tender Fee of requisite value

b) EMD of requisite value and validity in the form of Bank Guarantee as mentioned in detail under Clause 14 below.

Please note that all the above documents are mandatory. Non-compliance shall be liable for rejection of the EoI.

3 Deviation from Tender

All deviations shall be set out by the Bidders, clause by clause in the ‘Annexure III - Schedule of Deviations’ and same shall be

Note – we expect that the offers would comply fully with the tender requirements. We do not encourage deviations.

4 Right of Acceptance/Rejection

Bids are liable for rejection in absence of following documents:-

a) Tender fee of requisite value

b) EMD of requisite value and validity

c) Necessary documents against compliance to Qualification Requirements

d) Filled in Schedule of Deviations as per Annexure III, only if applicable

e) Receipt of Bid within the due date and time

Tata Power reserves the right to accept/ reject any or all the bids without assigning any reason thereof.

5 Marketing Integrity

We have a fair and competitive marketplace. The rules for bidders are outlined in the General Condition of Contracts. Bidders must agree to these rules prior to participating. In addition to other remedies available, TATA POWER reserves the right to exclude a bidder from participating in future opportunities due to the bidder’s violation of any of the rules or obligations contained in the General Condition of Contracts.

A bidder who violates the market place rules or engages in behavior that disrupts the fair execution of the marketplace, may result in restriction of a bidder from further participation in the marketplace for a length of time, depending upon the seriousness of the violation. Examples of violations include, but are not limited to:

Failure to honor prices submitted to the marketplace

Breach of terms as published in TENDER/NIT

Supplier Confidentiality

All information contained in this tender is confidential and shall not be disclosed, published or advertised in any manner without written authorization from Tata Power. This includes all bidding information submitted to Tata Power. All tender documents remain the property of Tata Power and all suppliers are required to return these documents to Tata Power upon request. Suppliers who do not honor these confidentiality provisions will be excluded from participating in future bidding events.

Submission of Bid Documents

Bidders are requested to submit their offer in line with this Tender document. TATA POWER shall respond to the clarification raised by various bidders and the replies will be sent to all participating bidders through TATA POWER-DDL website/ e-mail.

Bids shall be submitted in single envelope mode:

FIRST PART: “EMD” of Rs. 50,000/- (Rupees Fifty Thousand only) per category shall be submitted in the form of BG with a validity of 210 days from the due date of bid submission. The EMD has to be strictly in the format as mentioned in Annexure 2, failing which it shall not be accepted and the bid as submitted shall be liable for rejection. A separate non-refundable amount of Rs. 1,000/-also needs to be submitted in the form of Demand Draft towards Tender Fee.

SECOND PART: “TECHNICAL BID” shall contain the following documents:

a) Documentary evidence in support of qualifying criteria

b) Proposed Solution Providers

c) Proposed Products Make & Model

d) Approach & Methodology

e) Technical literature/GTP/Type test report etc. (if applicable)

f) List of Qualified manpower available with their names, qualification, overall experience duration (in years) and current designation

g) Testing facilities (if applicable) with details and certifications

h) No Deviation Certificate OR Annexure III – Schedule of Deviations

i) Quality Assurance Plan/Inspection Test Plan for supply items (if applicable)

j) POA of the person authorized to sign the EOI

b) The Bid being submitted must be signed by a person holding a Power of Attorney authorizing him to do so, certified copies of which shall be enclosed.

c) The Bid submitted on behalf of companies registered with the Indian Companies Act, for the time being in force, shall be signed by persons duly authorized to submit the Bid on behalf of the Company and shall be accompanied by certified true copies of the resolutions, extracts of Articles of Association, special or general Power of Attorney etc. to show clearly the title, authority and designation of persons signing the Bid on behalf of the Company. Satisfactory evidence of authority of the person signing on behalf of the Bidder shall be furnished with the bid.

d) The Bidder’s name stated on the Proposal shall be the exact legal name of the firm.

Period of Validity of Bids

Bids shall remain valid for 180 days from the due date of submission of the bid.

Notwithstanding clause above, the TATA POWER may solicit the Bidder’s consent to an extension of the Period of Bid Validity. The request and responses thereto shall be made in writing.

Alternative Bids

Bidders shall submit Bids, which comply with the Bidding documents. Alternative bids will not be considered. The attention of Bidders is drawn to the provisions regarding the rejection of Bids in the terms and conditions, which are not substantially responsive to the requirements of the bidding documents.

13 Modifications and Withdrawal of Bids

The bidder is not allowed to modify or withdraw its bid after the Bid’s submission. The EMD as submitted along with the bid shall be liable for forfeiture in such event.

14 Earnest Money Deposit

Bidders shall submit, Earnest Money of Rs. 50,000/- (Rs. Fifty Thousand only) in the form of irrevocable Bank Guarantee (BG) from a nationalized/scheduled Bank as per Performa enclosed as "Annexure-II" or Bank Draft drawn in favor of The Tata Power Company Limited payable at Mumbai and shall initially be kept valid up to 180 days. However, bidder shall extend the validity of EMD if process of empanelment stretches beyond 210 days for aforesaid reasons. Tender response not accompanied by the requisite amount of Earnest Money shall be rejected. Earnest Money shall be forfeited in case of the following: a) On refusal to accept empanelment, after selection by Tata Power. b) Non submission of Performance Bank Guarantee after selection for empanelment. The EMD shall be returned without interest: a) To all unsuccessful bidders.

b) To all successful bidders on acceptance of Empanelment with Tata Power & submission of Bank Guarantee by successful bidder.

c) In case bidding process is terminated by Tata Power for any reason. Note: - Requisite EMD to be submitted in original on or before last date of submission of Bid. Above mentioned EMD is only for the empanelment purpose. However after the selection of bidder, when a joint bidding will be done for a business opportunity, then selected partner (under this Empanelment) to provide the respective EMD of that opportunity for its share of work to Tata Power.

15 Performance

Bank Guarantee

Performance Bank Guarantee of Rs 10,00,000/- (refundable) (equivalent to USD 15,000) is to be submitted on acceptance of Empanelment with Tata Power in form of Demand Draft / Bank Guarantee issued in favour of “ The Tata Power Company Ltd” and payable at Mumbai valid for empanelment period i.e. 03 years plus 03 months claim period.

In case of extension of the empanelment period, the validity of PBG shall be extended accordingly as required by Tata Power.

PBG will also depend on case to case basis depending on joint business initiative/proposal/ work award etc.

Above mentioned PBG is only for the empanelment purpose. However after the selection of bidder, when a joint bidding will be done for a business opportunity and Tata Power wins the opportunity, then selected partner to provide the respective PBG of that opportunity for its share of work to Tata Power.

16 Ethics

TATA POWER is an ethical organization and as a policy TATA POWER lays emphasis on ethical practices across its entire domain. Bidder should ensure that they should abide by all the ethical norms and in no form either directly or indirectly be involved in unethical practice.

We shall ensure that any gifts or hospitality received from, or given to, our suppliers or service providers comply with our company’s gifts and hospitality policy.

the Contract incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of the grounds for the Company‘s action.

2. TATA POWER reserves the right to assess the capability

and capacity of the company/firm independently in addition to the details/information furnished by the applicant.

3. TATA POWER also reserves the right to accept/modify/relax

any of the conditions while evaluation /assessment without assigning any reason thereof and to seek additional information, if required.

4. The empanelment of AMI Solution Providers shall remain

valid for a period of 3 (Three) year from the date of empanelment and will be then reviewed annually.

5. Short listing and grading of vendors may be carried out depending on various criteria including Technical competence, financial capability, workmanship including quality of work carried out in the past, resource capability, adherence to statutory requirements etc.

6. Incomplete applications and applications not accompanied

with supporting documents are liable to be rejected 7. TATA POWER reserves the right to ask for additional

information/supporting documents as and when required 8. The Bidder should submit a Power of Attorney authorizing

the signatory of the Application to commit the Bidder. 9. This is an invitation for expression of interest and not an

invitation for bid 10. Bidders may note that Tata Power does not encourage any

deviations to the RFP document at the time of submission of the Proposal or thereafter. The Proposal to be submitted by the Bidders would have to be unconditional and unqualified and the Bidders would be deemed to have accepted the terms and conditions of the EOI document with all its contents.

11. In consideration of the award of the contract by the Client to

the Tata Power, AMI solution providers do hereby agree that Tata Power shall act as lead company and further declare and confirm that empanelled solution providers will be part of consortium or work as sub-contractor as per the specific requirement of the RFP and as mutually agreed between the solution partner and Tata Power on case-to-case basis.

12. Selected solution partners for a specific project opportunity

13. Empanelment shall be done on sole discretion of Tata power

including the total numbers of companies to be empanelled with Tata power.

14. Tata power reserves the right at its discretion to delist

Empaneled agencies, who does not participate three times in the financial bid invitation/joint initiative to participate in business opportunities.

15. Tata Power reserves the right to modify, expand, restrict, scrap, re-float the Expression of Interest and/or float a tender without assigning any reason for the same.

16. All cost & expenses associated with submission of EOI shall be borne by the applicant while submitting the application and Tata Power shall have no liability, in any manner in this regard, or if it decides to terminate the process of short listing for any reason whatsoever.

17. Tata Power reserves the right to withdraw the work & get it completed at the risk & cost of the agency, if performance of the agency is unsatisfactory, to whom work has been awarded. Further, the said agency may be black-listed for a period of one year or more for participating in any of the bids invited by Tata Power. Also, Tata Power would be free to intimate such black-listing to various state/central utilities/ Ministry of Power/ State Governments/ Other agencies not to consider the said agency for any assignment including of the same on websites.

Methodology for

Acquisition of

Business

1. For a business opportunity, where tender/bid is required to be submitted as per the interest of TATA Power, if required, TATA Power may select an agency among all empanelled agencies through limited tender, based on credentials, technical & financial proficiency, past experience, specific project requirements & presentation etc. Agency scrutinized based on above criteria may be engaged in preparation of technical & financial bids, needful documentation and negotiation with client in order to secure the assignment. If Tata Power secures the assignment, the selected agency will further be required to execute the assignment jointly with Tata Power as per scope of work of the project.

2. Tata Power may extend opportunity to empanelment

agency/ies after securing a project or prospective project by its own efforts/initiatives if expertise of particular agency matches the requirement of the specific opportunity. . The detailed work requirements along with technical details would be intimated to the empanelled agencies at the time of invitation of their financial bid. The empanelled agency would also submit their acceptance of the proposal along with terms and conditions at the time of submission of financial bid to Tata Power.

3. It is also relevant to mention that decision of TATA Power in regard of the above cases will be final and binding to the agency & TATA Power at its sole discretion reserves the right to add/delete items in scope/nature of work. Various methodologies to select the agency among empanelled agencies on case to case basis as per requirement etc.

18 Evaluation of

EOI

Evaluation of Bidder shall be done as follows. Evaluation of Bidder’s Qualification will be carried out based on the information furnished by the Bidder and the documentary evidence furnished in support of meeting the Qualification Requirements as specified in Eligibility/ Qualification Criteria. Non-availability of information and related documentary evidence for the satisfaction of Qualification Requirements may cause the response to be treated as non-responsive. Tata Power at its own discretion shall further invite all or only the shortlisted bidders for a detailed presentation covering products, services, credentials, proposed solutions and company strengths
