WHEREAS, Section 252.022 of the Local Government Code provides that procurement
of items that are only available from one source, including; items that are only available fromone source because of patents, copyrights, secret processes or natural monopolies; fil s,
anuscripts or books; electricity, gas, water and other utility purchases; captive replace entparts or co ponents for equip ent; and library aterials for a public library that are available
only fro the persons holding exclusive distribution rights to the aterials; and need not be
submitted to co petitive bids; and

SECTION 3, The acceptance and approval of the above items shall not constitute a
contract between the City and the person submitting the quotation for such items until suchperson shall comply with all requirements specified by the Purchasing Department.
SECTION_ 4. The City Manager is hereby authorized to execute any contracts relating tothe items specified in Section 1 and the expenditure of funds pursuant to said contracts is herebyauthorized,
SECTION 5. The City Council of the City of Denton, hereby expressly delegates theauthority to take any actions that may be required or permitted to be `performed by the City ofDenton under File 6912 to the City Manager of the City of Denton, or his designee.
SECTION 6, This ordinance shall become effective immediately upon its passage andapproval.

Customer authorizesProvider touseandkeep such information onProvidersservers forthepurpose ofallowing Customer and Provider toaccess, useandtest IPAWS through theIPAWS App. Customer acknowledges and agrees that: (a) thedissemination ofNotifications through IPAWS isnotguaranteed norcontrolled byProvider, and isthesole responsibility ofFEMA; (b) Provider shall notberesponsible orliable forthefailure ofNotifications tobedisseminated through IPAWS; and (c) IPAWS may include additional features which arenotsupported throughtheIPAWS App (eg. thereceipt ofmessages) andProvider shall notberequired toprovide suchadditional features. IPAWS AppNotifications arenotdeducted from Message Units. Bulletin Board. Bulletin Board allows Customer torecord messages bydialing aninteractive voice response system. Customer maypromote itsassigned number, andcallers maycall tolisten totheprerecorded messages. Bulletin Board willcapture thecaller'sspokenresponses and/orkeypress information andprovide areport intheService. Upon termination orexpiration oftheAgreement, Provider willretain anynumbers provided. Message Unitsfor Bulletin Boardwill bededucted insixty (60) second increments. All incomingcalls whethermade forthepurpose ofrecording orlistening toNotifications will result incall timededuction. Conference Calling. Conference lines areavailable onafirstcome, first serve basis. Conference lines aresupplied byathirdparty andareAS-IS. ExhibitBTERMSANDCONDITIONS
1.DEFINITIONS. 1.1. Affiliate means any entity which directly orindirectly controls, iscontrolled by, orisunder common control with, aparty tothisAgreement, where control means thecontrol, through ownership orcontract, ofmore than 50% ofall thevoting power of theshares entitledtovote for theelection oftheentity'sdirectors ormembers oftheentity'sgoverning body; provided that such entity shall beconsidered anAffiliate only for the time during which such control exists.CustomersAffiliates donothave authority tomake changes toCustomersaccount. 1.2. API means theapplication program interface for theService. 1.3. APIContacts meansan individual person whose information isstored inanexternal third party application database ( not intheServicedatabase) capable ofonly receiving and responding toNotifications. APIContactsare not permitted tologin totheService. AllAPIContactsare included inCustomerstotal number ofContacts asset forth ontheService Order,whether ornot they are transmitted totheService. 1.4. Applicable Law means any domestic and/orforeign statute, ordinance, judicial decision, executive order, orregulation having theforce and effect oflaw, including US-EUPrivacy Shield (where applicable). 1.5. Contact means anindividual person capable ofonly receiving and responding toNotifications and, ifpermitted, updating itsownprofile. Contact includes API Contacts. 1.6. Content means content, data, text, messages and other material contained inaNotification. 1.7. Data Processing Addendum means Providersdata processing addendum ( ifapplicable) that isexecuted bytheParties under thisAgreement. 1.8. Documentation means any official, applicable documentation that Provider provides toCustomer ( electronic orwritten)regardingthe Service. 1.9. EUorSwiss Personal Data means Standard Personal Informationof any European Economic Area (EEA) resident asdefinedunder Directive 95/46/EC, and any successor thereto, orofany Swiss resident astheSwiss Federal Data Protection Actof1992, and anysuccessor thereto. 1.10. Fees means any fees due hereunder, including without limitation allTransaction Fees and Subscription Fees. 1.11. Initiator(s) means anindividual person orapplication capable ofcreating and issuing Notifications through theService. OnlyCustomer andits Representative may actasInitiators. 1.12. Notification( s)means messages issued byanInitiatorthrough theService, whether ornot responded tobyContact. 1.13. Representatives means Customersemployees and consultants and CustomersAffiliates and their employees. 1.14. Sensitive Data means any personally identifiable information relating tohealth/genetic orbiometric information; religious beliefs oraffiliations; political opinions orpolitical party membership; labor or trade union membership; sexual preferences, practices ormarital status; national, racial orethnic origin; philosophical ormoral beliefs; criminal record, investigations orproceedings oradministrative proceedings; financial, banking orcredit data; date ofbirth; social security number orother national idnumber, drivers license information; oranyothersensitive data category specifically identified under anyApplicable Laws. 1.15. Service means Providerssoftware-as-a-service, Internet-accessed notification service tosetupand send Notifications, includingbutnot limited thesoftware, hardware, and infrastructure collectively used bytheProvider, which may include third-party components. 1.16. Service Order means theservice order commencing onthe first page ofthe Agreement, which describes theService providedhereunder. 1.17. Standard Personal Information means name, business contact details (work telephone number, cell phone number, e-mailaddress and office address and location), personal contact details (home telephone number, cell phone number, other telephone, e-mailaddress andphysical address), geolocation, and employee IDorother non-identifying IDnumber. 1.18. Subscription Fee means the fees foraccess toand useof theService, including butnot limited toanyactivation fees. 1.19. Transaction Fee means the fees for individual transactions ofsending and/orreceiving Notifications toand from devices. 1.20. User isthecollective term for Initiator(s) and Contact(s).
2.SCOPE OFTHE SERVICE.
2.1. Service. Subject tothe terms and conditions ofthis Agreement, including theExhibits hereto, which are incorporated into thisAgreement byreference, Provider shall provide Customer with access totheService inaccordance with ProvidersDocumentation. Customermay not, and may not allow orassist any other entity to, sublicense, assign, transfer, distribute, rent orsell useoraccess totheService, orremove, alter orobscure any product identification, copyright orother notices.Only Customersand itsAffiliates employees and consultantsmay actasInitiators andalluse ofthe Serviceby CustomersAffiliates and itsand their employees and consultants aresubject totherestrictions set forth inthis Agreement.
2.2. Ownership and Service Components. All rights notexpressly granted toCustomer herein are expressly reserved byProvider. TheService isand shall remain theexclusive property ofProvider and itsProviders. Customer represents and warrants ithas the right andauthority toprovide Provider with theContent foruse inconnection with theService and Provider agrees that Content shall beowned byCustomer. Provider and itsthird-party providers shall have aroyalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetuallicense tousetheContent toperform theService ortouse any suggestions, enhancement requests, recommendations orother feedbackprovided byCustomer, including Users, to incorporate into the Service. Provider may gather Service data for thepurpose ofoptimizing theService. This information includes, but isnot limited to, data regarding memory usage, connection speed and efficiency. Users are subjecttoProvidersterms ofservice and privacy policy available onProviderswebsite, www.onsolve.com/privacy-statement. Customer shall not, and shall notallow orassist any other entityto, create derivative works, modify, decompile, disassemble, orotherwise reverse engineer orattempt todiscover anysource code orunderlying ideas ofany component oftheService, except totheextent (butonly tosuch extent) thatApplicable Law prohibits such restrictions.

2.3. Contact Limit. During this Agreement and foraperiod ofone(1) year thereafter, Providershall have the right (atitsown expense, upon reasonable notice, and nomore frequently than once per calendar year unless prior breach has been uncovered) toinspect thenumberofCustomersContacts. Intheevent the reviewdetermines that Customer hasexceeded itsnumber ofContacts, Customershall payProviderfor theadditional Contacts and thecosts ofsuch reviewwithin ten (10) days.
3.PAYMENT AND TAXES
3.1. Payment. Customer shall pay theFees asset forth ontheService Order tothis Agreement without setoff ordeductions, net thirty30) days from theinvoice date. Payment shall beinadvance, excluding any Fees billed inarrears. Unpaid balances will besubject tointerest
atone andahalf percent (1.5%) per monthor thehighest rate permitted byApplicable Law, whichever isgreater, commencing onthedatethat payment was due.
3.2. Taxes. Unless otherwise itemizedor exempt due toCustomer being agovernmental entity, all payments hereunder areexclusiveofall taxes, and Customer agrees topay any taxes(including any VAT orsales tax), whether foreign, federal, state, local ormunicipal thatmay be imposed upon orwith respect totheService exclusive oftaxes onProvidersnet income.Any such taxes may notbededucted fromtheFees owed toProvider hereunder.
3.3. Message Surcharges. Under nocircumstances shall Provider beliable toCustomer, toany Contact ortoany other person foranycharges orfees that arise from Customersoranindividual personssending or receipt ofaNotificationusing theService, including, withoutlimitation, asaresult of increases inpass-through charges bytelecommunications providers.
4.TERM AND TERMINATION
4.1. Initial Term and Renewal Term. Initial Term and Renewal Term. Unless earlier terminated inaccordance with the terms ofthisAgreement, the Initial Term ofthis Agreement shall begin ontheEffective Date and continue for theperiod set forth ontheService Order ofthis Agreement. Upon completion oftheInitial Term, Customer may renew this Agreement forsuccessive renewal terms (each aRenewalTerm asset forth ontheService Order, byproviding anyofthe following toProvider prior totheend ofthe Initial Termorthen-currentRenewal Term: asigned Service Order for theRenewal Term (inelectronic orhard copy format); apurchase order forpayment foroneadditional year; orpayment forone additional year. Renewal Terms shall beon thesame terms asherein.
4.2. Termination. Ifeither party defaults inanyofitsmaterial obligations under this Agreement and such default has notbeen remediedorcured within thirty (30) days after written notice ofsuch default, orifeither party makes anassignment for thebenefitof creditors, files avoluntary petition inbankruptcy, isadjudicated bankrupt orinsolvent, issubject toappointment ofareceiver orisaparty inany proceedinginany jurisdiction towhich itissubject that has aneffect similar orequivalent toany oftheevents mentioned, thenon-defaulting party mayimmediately terminate this Agreement inaddition toitsother rights and remedies.
4.3. Suspension. Providermay suspend theService: (a) effective immediately upon notice ifCustomer breaches any provision underSection 5. (Customer Obligations); or (b) ifpayment forany portion oftheFees isnot received byProvider within fifteen (15) days after receiptofwritten notice that payment ispast due. Such suspension shall notmodify orlengthen the term ofthis Agreement, nor shall any rights orobligations hereunder bewaived during the suspension period.
4.4. Effects ofTermination. Upon termination orexpiration ofthis Agreement ( i) Provider will upon written request ofCustomer,eraseCustomer data from theproduction servers controlled byProvider, except that: (a)any data stored onProvidersbackup servers shall bedeleted assoon as technically feasible, and inanyevent within ninety(90) daysfrom deletion from production, and Provider agrees that it1)shall discontinue processing such data; and (2) shall maintain theconfidentiality ofsuch data inaccordance with this Agreement; and (b)
Provider may retain report data (eg. date/time ofNotification and number ofNotifications sent) necessary tosupport itsbilling and accountingrecords;( ii) Customer will immediately paytoProvider all amounts dueand payable prior tothedate of termination; ( iii) Customer shallimmediately cease alluseoftheService andreturn ordestroy allcopies, extracts, derivatives and reflections ofthe Service, and uponProvidersrequest, provide written notice that Customer has fully complied with this clause, and (iv) remedies forbreach, rights toaccruedpayments andSections 1 (Definitions), 2.2 (Ownership and Service Components), 2.3 (Contact Limit), 3. (Payment andTaxes), 4.4 (EffectsofTermination), 5 (Customer Obligations), 6 (Confidentiality andSecurity), 8 (Indemnificationand Responsibility), 9 (Limitation ofLiability), and 10 (General) will survive. Upon termination ofthis Agreement forCustomersbreach: (a) Customer will immediately pay toProvider allunpaid Fees that would become due under the then-current term ifsuch termination didnot occur; and (b) Provider shall retain anyFeespaid todate. Upon termination ofthis Agreement forProvidersbreach, Provider will refund anamount equal totheprorated amount ofFeespaid for the remainder ofthe then current term, less any expenses for transactions completed prior tothe date oftermination, which shall becalculated based upon theTransaction Fees.
5.CUSTOMER OBLIGATIONS
5.1. Customer obligations.This Section includes pass-through terms from certain telephony, facsimile, GIS and/orShort MessageService (SMS) vendors and assuch, Provider may modify these terms upon thirty (30) days written notice toCustomer ifreasonablynecessitated due tochanges bythe third party providers. Failure tocomply with these terms could result inthe termination ofcertain criticalservices from Providersvendors which would impact allofProviderscustomers
5.2. Acceptable Use Policy. Customer represents and warrants that itshall only use theService inaccordance with allApplicable Lawsand shall comply with the Acceptable Use Policy attached hereto.
5.3. Data Security. Customer acknowledges and agrees that Provider does not require orpull any specific data from Customer; thatCustomer controls which data and Content is input through theService andwhich data issent and towhom such data issent; and thatProvider only specifically tracks theprivacy regulations oftheUnited States, Canada, and theEuropean Economic Area, Switzerland andJapan with respect totheStandard Personal Information and shall have noobligations with respect toprivacy regulations inother countriesorforother types ofdata. Accordingly: ( i) Customer shall notunder any circumstances, transmit orstore any Sensitive Datato orthrough theService; and (ii) Customer shall not transmit orstore any EU orSwiss Personal Data toorthrough the Service unless: (a) Customer iscertifiedONSOLVE, LLCPage 2of6Customer Initials ________ CONFIDENTIAL AND PROPRIETARYJune 2018Form

under theUS-EUPrivacy Shield Framework andcomplies with thePrivacy Shieldsprinciples inconnection with theprotection andhandlingof itsStandard Personal Informationor Customer hereby represents toProviderthat itsprotection and handling ofStandard PersonalInformation isincompliance with the principles outlined inthe US-EUPrivacy Shield Framework, consistingof: Notice; Choice, Accountabilityfor Onward Transfer; Security; Data Integrity andPurpose Limitation; Access; Recourse; Enforcement and Liability; or (b) Customer hasexecuted the Data Processing Addendum, and insuch case Customer shall fully comply with the Data Processing Addendum. Provideriscertified under theUS-EUPrivacy Shield Framework and complies with the EU-USPrivacy Shield principles initshandling and processingofStandard Personal Information.
6.CONFIDENTIALITY AND SECURITY.
6.1. Confidential Information. During thecourse ofthis Agreement, each party may have access toconfidential, proprietary or tradesecret information disclosed by theother party, including, without limitation, ideas, trade secrets, procedures, methods, systems, andconcepts, whether disclosed orally orinwriting orstored within theService, orbyany other media (Confidential Information Anyinformation related totheService, including butnot limited toDocumentation, security information, and API information, shall bedeemed tobeConfidential Information ofProvider, and any Content shall bedeemed tobeConfidential Information ofCustomer. Each party(theReceiving Party acknowledges that theConfidential Information oftheother party (theDisclosing Party contains valuable trade secrets
and other proprietary information oftheDisclosing Party and that any such Confidential Information will remain thesole andexclusive propertyoftheDisclosing Party. Each party will use Confidential Information only for thepurpose ofperforming under this Agreement, restrictdisclosure ofConfidential Information solely toitsemployees and contractors with aneed toknow, notdisclose such Confidential Informationtoany other entities unless required toperform the terms ofthis Agreement, and otherwise protect theConfidential Information with nolessrestrictive measures than ituses toprotect itsown confidential and proprietary information. Information will notbedeemed ConfidentialInformation ifsuch information: ( a) isgenerally available tothepublic (other than through breach ofthis Agreement); ( b) isreceived from athird party lawfully empowered todisclose such information without being subject toanobligation ofconfidentiality; or (c)was rightfully intheReceiving Partyspossession free ofany obligation ofconfidence at the time itwas communicated tothe Receiving Party. Notwithstandingtheabove, theReceiving Party will notbeinviolation oftheconfidentiality restrictions herein with regard toadisclosure that was inresponsetoavalid order byacourt orother governmental bodyor inaccordance with theTexas Public Information Act, Tex. Gov. Code 552.001 etal., provided that theReceiving Party provides theDisclosing Party with prompt written notice prior tosuch disclosure where reasonablypossible inorder topermit theDisclosing Party toseek confidential treatment ofsuch information. AReceiving Party shall promptly notify theDisclosing Party iftheReceiving Party becomes aware ofany misuseor unauthorized disclosure ofConfidential Information.
6.2. Security. Provider has put inplace commercially reasonable information security procedures designed toprotect andpreventunauthorized access toContent and Contact data.Provider will only processContent inaccordance with the terms andconditions ofthisAgreement and Customersinstructions. Providerssecurity procedures include butarenot limited tophysical security, network security, hosted/data security andweb security. Providermay modify itssecurity proceduresfrom time totimein accordance with changes toindustrystandards, but only inamanner that retains orincreases thestringency ofProviderssecurity obligations.
7.REPRESENTATIONS AND DISCLAIMER
7.1. Mutual Representations. Each party represents and warrants that: (i) ithas the full corporate right, power and authority toenter intothis Agreement, togrant the rights granted hereunder and tofully perform itsobligations under this Agreement; ( ii) theexecution ofthisAgreement bysuch party, and the performance bysuch party ofitsobligations hereunder, does notandwill not violate orconflict with anyagreement towhich such party isaparty orbywhich itisotherwise bound; and (iii) when executed and delivered bysuch party,this Agreementwill constitute the legal, valid and binding obligation ofsuch party, enforceable against such party inaccordance with itsterms.
7.2. Additional Provider Representations. Provider represents and warrants that: (i) theService will conform inall material respects toProvidersDocumentation; and (ii) all customer support, training andother services tobeperformed hereunder shall beperformed inaprofessional and workmanlike manner consistent with industry standards.
7.3. Disclaimer. Provider makes norepresentation, warranty orguaranty, that theService will work with, orbesupported by, allprotocols, networks, operating systems orenvironments; will beerror-free;orthat allNotifications will bedelivered. Customer acknowledges and agreesthat theService isprovided onabest efforts basis and isnot designed, intended, authorized orwarranted tobesuitable forhosting life- support orEMT-based applications orother critical applications where the failure orpotential failure oftheService can cause injury, harm, death, orother grave problems, including, without limitation, delays ingetting medical care orother emergency services, and that any useoftheService tosupport such applications isfully atCustomersrisk and Customer acknowledges that Provider will nothave any liability forissues related tosuch use.EXCEPT ASOTHERWISE EXPRESSLY PROVIDED INTHIS AGREEMENT, THE SERVICE ISPROVIDED ONANAS ISANDASAVAILABLE BASIS WITHOUT WARRANTY OFANY KIND. PROVIDEREXPRESSLY DISCLAIMS ALL OTHERWARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY OR OTHERWISE, REGARDING THE SERVICE, INCLUDING, BUTNOT LIMITED TO, THE IMPLIED WARRANTIES OFMERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE.
8.INDEMNIFICATIONAND RESPONSIBILITY
8.1. Provider General Indemnification. Provider will defend, indemnify, and hold harmless Customer and itsemployees ( CustomerIndemnitees from and against any andall third party actions, losses, awards, liabilities, claims, expenses, damages, settlements, fees, penalties and costs ofevery kind and description, including reasonable legal fees and government regulatory fines (collectively, Lossesarising from: (i) any gross negligence orwillful misconduct byProvider; or (ii) any breach ofSection 6byProvider.
8.2. Provider IPIndemnification. Provider will defend, indemnify, and hold harmless theCustomer Indemnitees from and against allLosses arising outofaclaim that theServicedirectly infringes acopyright orpatent issued asoftheEffective Date, orother intellectualproperty right ofathird party. The foregoing obligation ofindemnification does notapply where: (a) CustomersuseoftheService isnot incompliance with theterms of thisAgreement; ( b) Customer has modified theService orany part thereof without Providersexpress, writtenauthorization; ( c) Customer has combined the Service with software, hardware, system, data, orother materials not supplied orauthorized

byProviderwhere theinfringement ormisappropriation relates tosuch combination, unless Providerexpressly authorized such combinationorthecombination was provided for intheDocumentation; ( d) theLoss isasaresult ofContent orContact data; or (e) Customer continuesuseoftheService after being provided modifications that would have avoided thealleged infringement. Intheevent Provider believes thattheService is, orislikely tobe, thesubject ofaninfringement claim, Provider may, atitsoption, (1) procure forCustomer the right tocontinueusing theService under this Agreement, ( 2) replace ormodify theService sothat itbecomes non-infringing but substantially equivalent infunctionality and performance, or (3) ifneither clause (1) or (2) are feasible inspite ofProvidersreasonable efforts, terminate this Agreementand refund aprorated portion of theSubscription Fees based onthe days left inthe Initial Term, less any expenses forusage accrued priortothedate oftermination. The foregoing obligations areProvidersonly obligations and liability inconnection with infringement bytheService.
8.3. Customer Responsibility. To theextent permitted byApplicable Law, Customer will besolely responsible forany and allLosses, arising from: (i) Customersbreach ofSections 5.1and5.2; (ii) third party claims that CustomersContent infringes onanyintellectual propertyrights; or (iii) Customersgross negligence orwillful misconduct.
8.4. Indemnification Procedures. Inthe event Customer seeks indemnification hereunder, Customer shall provide Provider with: (i) prompt written notice ofany claim forwhich indemnification issought; (ii) complete control ofthe defense and settlement ofsuch claim; andiii) reasonable assistance andcooperation insuch defense. Inany proceeding Customer shall have theright toretain, atitsexpense, its
own counsel. Notwithstanding the foregoing, theProvider may notenter into asettlement ofaclaim that involves aremedy other than thepayment ofmoney bytheCustomer without theCustomerswritten consent.
9.LIMITATION OFLIABILITY
9.1. Limitation onLiability. TO THE MAXIMUM EXTENT PERMITTED BYAPPLICABLE LAW, EXCEPT WITH RESPECT TOOBLIGATIONS UNDER SECTION 8 (INDEMNIFICATIONAND RESPONSIBILITY), OR FOR ANY BREACH OFSECTION 5 (CUSTOMEROBLIGATIONS) OR SECTION 6 (CONFIDENTIALITY AND SECURITY): ( a) INNO EVENT SHALL EITHER PARTY BELIABLE TOTHEOTHER PARTY OR ANY OTHER PERSON FOR ANY LOSS OFDATA, REVENUES, PROFITS OR OTHER ECONOMIC ADVANTAGE, ORANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY OR OTHER SIMILAR DAMAGES OFANYKIND OR NATURE, ( HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF, ORINANY WAY CONNECTED WITH, THESERVICE, EVEN IFTHE PARTY FROM WHICH DAMAGES ARE BEING SOUGHT HAS BEEN ADVISED OFTHE POSSIBILITY OFSUCHDAMAGES; AND (b) INNO EVENT SHALL THE COLLECTIVE LIABILITY OFEITHER PARTY, ITS AFFILIATES AND ITS AND THEIRDIRECTORS, OFFICERS, EMPLOYEES AND AGENTS EXCEED THE FEES ACTUALLY PAID UNDER THIS AGREEMENT DURING THETWELVE ( 12) MONTHS OFSERVICE PRIOR TOTHE DATE ON WHICH SUCH CLAIM AROSE. TO THE MAXIMUM EXTENT PERMITTEDBYAPPLICABLE LAW, EXCEPT WITH RESPECT TO GROSS NEGLIGENCE ORWILLFUL MISCONDUCT, INNO EVENT SHALLPROVIDER STOTAL CUMULATIVE LIABILITY FOR ANYBREACH OFSECTION 6(CONFIDENTIALITY AND SECURITY) EXCEEDTHREE TIMES (3X) THEFEES ACTUALLY PAID BYCUSTOMER UNDER THIS AGREEMENT DURING THE TWELVE (12)MONTHPERIOD IMMEDIATELY PRECEDING THE DATE FIRST NOTICE ISPROVIDED BYCUSTOMER REFERENCING THE RELEVANTCLAIM HEREUNDER. Customer understands and agrees that the limitation ofliability inthis Agreement forProvider isreasonable and thatProvider would notenter into this Agreement without such limitations.
10.GENERAL
10.1. Force Majeure. Except forpayment obligations, neither party shallbe responsible fordelays orfailures ofperformance resultingfrom acts beyond the reasonable control ofsuch party, including, but not limited toacts ofGod, acts ofwar, riots, acts ofterror and other actsoromissions ofthird parties such as interruptions, delays, ormalfunctions ofservice bythird-party service providers.
10.2. Dispute Resolution.
a) Ifadispute arises out oforrelates tothe Agreement, orthebreach thereof, theparties agree tonegotiate prior toprosecuting asuit fordamages. However, this section does notprohibit the filing ofalawsuit totoll the running ofastatute oflimitations ortoseek injunctive relief. Either party may make awritten request forameeting between representatives ofeach party within fourteen (14) calendar days after receipt ofthe request orsuch later period asagreed bytheparties. Each party shall include, ataminimum, one (1) seniorlevel individual with decision-making authority regarding the dispute. The purpose of this and any subsequent meeting istoattempt ingoodfaith tonegotiate aresolution of thedispute. If, within thirty (30) calendar days after such meeting, theparties have notsucceeded innegotiating aresolution ofthedispute, they will proceed directly tomediation asdescribed below. Negotiation may bewaived byawrittenagreement signed byboth parties, inwhich event theparties may proceed directly tomediation asdescribed below.
b) Iftheefforts toresolve thedispute through negotiation fail, ortheparties waive thenegotiation process, theparties mayselect, within thirty (30) calendar days, amediator trained inmediation skills toassist with resolution ofthedispute. Should they choose thisoption; theCustomerand the Provideragree toact ingood faith intheselection ofthemediator and togive consideration toqualifiedindividuals nominated toactasmediator. Nothing intheAgreement prevents the parties from relying ontheskills ofaperson who istrainedinthesubject matter ofthe dispute oracontract interpretation expert. Iftheparties fail toagree onamediator within thirty (30) calendar daysofinitiation ofthemediation process, themediator shall beselected bytheDenton County Alternative Dispute Resolution Program ( DCAP). The parties agree toparticipate inmediation ingood faith forup tothirty (30) calendar days from thedateofthe first mediation session. TheCustomerand theProviderwill share themediatorsfees equally and theparties will bear their own costs ofparticipation such as fees forany consultants orattorneys they may utilize torepresent them orotherwise assist them inthemediation.
10.3. Publicity. For theduration ofthisAgreement, Provider may use Customersname and logo on theProvider web site and inProviderscollateral marketing materials identifying Customer asapurchaser oftheService. IfProvidersexpected useofCustomersname and/orlogoincludes more than basic identification ofCustomer, Provider shall provide Customer with acopy ofsuch contentfor approval, such approvalnot tobeunreasonably withheld.

10.4. Survival ofTerms. The rights and obligations ofeither party that bytheir nature would continue beyond the termination orexpirationofthis Agreement shall survive termination orexpiration of thisAgreement. For example, theprovisions of thisAgreement regardingindemnification and/or limitation ofliability shall survive termination ofthis Agreement astoany cause ofaction arising under theAgreement.
10.5. Independent Contractor. Providersrelationship with Customer shall bethat ofanindependent contractor, and nothing inthisAgreement shall beconstrued tocreate apartnership, joint venture, principal-agent, oremployer-employee relationship. Neither party willhave orrepresent that ithas the right, power orauthority tobind, contract orcommit theother party ortocreate any obligation onbehalf oftheother party.
10.6. Severability. Ifany term orprovision ofthis Agreement orthe application thereof istoany extent held invalid orunenforceable, theremainder ofthis Agreement shall notbeaffected thereby, and each term and provision hereof shall bevalid and enforced tothe fullest extentofthe law.
10.7. Entire Agreement. This Agreement constitutes theentire agreement and understanding between Customer and Provider andsupersedes allprior and contemporaneous verbal and written negotiations, agreements and understandings, ifany, between theparties. This Agreement cannot bemodified except byawriting signed byanauthorized representative ofeach party. The terms ofthis Agreementshall take precedence over any conflicting terms inpurchase orprocurement documentation, such asapurchase order, acknowledgementform, orother similar documentation. The failure ofeither party toenforce any provision ofthis Agreement, unless waived inwriting bysuchparty, will not constitute awaiver ofthat partysright toenforce that provision oranyother provision ofthis Agreement.
10.8. Notice. Allnotices and consents required orpermitted under this Agreement must beinwriting; must bepersonally delivered orsentbyregistered orcertified mail (postage prepaid), byovernight courier orother nationally recognized carrier, orby facsimile ( receipt confirmed), ineach case toProvidersaddress ontheService Order, Attn: Legal, and toCustomersBusiness Contact ontheService Order, andwill beeffective upon receipt. Each party may change itsaddress for receipt ofnotices bygiving notice of thenew address totheother party.
10.9. Counterparts. This Agreement may beexecuted infacsimile and incounterparts.
10.10.Export Compliance. The Service and other Provider technology, and derivatives thereof may besubject toexport laws andregulations oftheUnited States and other jurisdictions. Customer represents that itisnot named onanyU.S. government denied-party list. Customer will notpermit anyUser toaccess oruse theService inaU.S.-embargoed country (currently Cuba, Iran, North Korea, Sudan orSyria) orinviolation ofanyU.S. exportlaw orregulation, andwill notpermit anyU.S.-sanctioned persons orentities toactasUsers.

1. General Terms. 1.1All Content isCustomerssole responsibility. Customer issolely responsible for the integrity and quality oftheContent.
Customer shall beresponsible for, and under nocircumstances will Provider oritsAffiliates oranyoftheir Providers orsuppliersberesponsible, forany loss, damage orliability arising out ofany Content, including anymistakes contained intheContent orthe useorsubjectmatter oftheContent. Further, Customer isresponsible for: (i)any Notifications that aresent through itsaccounts ( other than ifcaused bytheService itself orbreaches byProvider);( ii)allFees accruing from theuse ofthe Service through itsaccount, whether byitsAffiliates anditsand their employees and consultants,; and (iii) allactions ofitsAffiliates, and itsand their employees consultants, asifsuch actions hadbeen conducted byCustomer.
1.2Customer shall beresponsible forprocuring any necessary consents orhaving other legal basis tocontact Contacts withrespect totheprovision ofanydata transmitted through the Service.
1.3Customer shall use any data ituploads into theService inaccordance with any and all restrictions applicable tosuchdataand allApplicable Laws.
1.4Customer will use and permit itsUsers touse theService inaccordance with this Agreement andallApplicable Laws, including without limitation theTelephone Consumer Protection Act, Fair Debt Collections Practices Act, Federal CommunicationsCommission ( FCC orFederal Trade Commission ( FTC rules or regulations and any andallother Applicable Laws related topre-recordedtelephone and/ortext messages and theuseofautomated dialing equipment.
1.5Customer will include, atthebeginning ofeach Notification, itsofficial business orgovernment name. Customer will include, at theend ofeach Notification, atelephone number forCustomer.
1.6Customer will not send anyNotifications tomobile devices owned byaContact unless Customer hasobtained such Contactsopt-inconsent toreceive, orCustomer has other legal basisto send such Contact,pre-recorded, telephone and text Notifications usingautomated dialing equipment.
1.7Customer must provide Contacts with asimple mechanism foropting outorunsubscribing from receiving Notifications, including information onhow toopt-outorunsubscribe.
1.8Customer will not send Notifications tophone numbers thatare emergency numbers and/orother numbers thatmay notbecalled using automated dialing equipment under Applicable Law.
1.9Per Providersfair use policy, CustomerstotalNotifications toanindividual Contactwill not exceed anaverageof one (1) Notification perday(viaany contact method), absent anemergency oraspecific use case fortheContact. Should Customer exceed thisfairuse, theparties will meet todiscuss the reasons, review best practices and determine ifanadjustment toCustomersService plan isnecessary. Due tovendor requirements forensuring Notifications sent bytheService arenotblacklisted, Customer shall adhere tothisfairuse policy.
1.10Customer will not send anyContent that itknows, orhas reason toknow: (i) infringes anothersrights inintellectual property; ii) invades any privacy laws including without limitation anothersright toprivacy and/orany privacy policies ofCustomeror any third-party;
and/or (iii) justifies acomplaint totheFCC and/orFTC. 1.11Customer will not, andwill notpermit itsUsers orany third parties to: (i) engage orfacilitate any unethical, deceptive or
misleading practices inconnection with theuseoftheService; ( ii) usetheService inconnection with any telemarketing, solicitations, donations, sales, spamming orany unsolicited messages ( commercial orotherwise); and/or (iii) provide Content tobetransmitted intheService which: (a) isdefamatory, libelous, obscene, pornographic, orisotherwise harmful; (b) promotes violence, discrimination, illegalactivities, gambling, alcoholic beverages, guns ortobacco; and/or (c) contains orotherwise links toviruses, worms, cancelbots orany otherharmful codeor computer programs designed todisrupt the functionality ofany computer software orhardware ortelecommunicationsequipment.
1.12Customer may send SMS Texts intext format only. 1.13Customer acknowledges and agrees thatNotifications may notbedelivered tothephone ifnot inrange ofatransmission
site, orifsufficient network capacity isnotavailable ataparticular time. Even within acoverage area, factors beyond thecontrol ofthecarriermay interfere with message delivery, including theCustomer'sequipment, terrain, proximity tobuildings, foliage, and weather. Customeracknowledges that urgent Notifications may notbetimely received and that thecarrier does not guarantee that messages will bedelivered.
1.14Customer acknowledges that Provider may block Notifications ( eg. based oninstructions from Contacts, carriers, aggregators, government agencies, etc.).
1.15Customer agrees tomaintain allsecurity regarding its (and itsUsers account ID, password, and connectivity with theService. IfCustomersaccount IDorpassword arestolen, orotherwise compromised Customer isobligated toimmediately change thepassword and inform Provider ofthecompromise.
