Clients and recent deals

Advised a Dutch multinational financial corporation on a credit facility in the sum of US$15 million to a renowned local financial institution. Though still ongoing, the instruction includes conducting a due diligence survey with auditors, government registries and insurance services providers, reviewing and regularizing security documentation

Advised the Bank of Uganda on the rates of the legal and regulatory setup of the Credit Reference Bureau (CRB)

Advised the Arranger and Agent Bank in a major syndicated loan for a telecom company in Rwanda

Acting with a leading firm in South Africa, we advised on and reviewed documentation in respect of the Uganda component, in the sale of the custodial services and assets of a leading financial institution in Uganda to another leading financial institution in Uganda

Advised the shareholders of Orient Bank Limited in the acquisition of 80% of the shareholding in that bank by Nigerian Bank PHB plc. This was the landmark transaction in the financial institution sector for that year. Although the transaction was successfully completed in 2010-11 we continued to render tax advice and litigation services to the former minority shareholders in respect of the tax liability of the proceeds from the Share Sale and successfully resisted a tax assessment of US$20 million

Engaged as local counsel to advise an international development finance institution on the prospective divestiture of a major investment in the financial services sector, which was subsequently abandoned owing to adverse market conditions

Advised the shareholders of Commercial Microfinance Limited in the acquisition of 100% of the shareholding in that financial institution by Nigerian Global Trust Bank Limited

Advised CNOOC on the farm-in of one third of Tullow Oil’s interest in three oil exploration blocks in Western Uganda for a total deal size of US$1 billion

Acted as local counsel for Helios Investors Genpar II LP and Vitol SA on the acquisition of Royal Dutch Shell plc’s assets in Uganda as part of an Africa-wide transaction valued at US$1 billion

Advised a financial institution on a syndicated loan to a leading manufacturer in Uganda amounting to an aggregate principal sum of US$115 million

Advised a financial institution and development bank on the restructuring of a credit facility advanced to a leading manufacturer in Uganda amounting to an aggregate principle sum of US$16 million

Participated in the legislative drafting consultancy for the Republic of Somalia with a specific brief to draft the Financial Institutions Act

On the instructions of a multinational company, advised and recovered US$750 thousand which had been stolen as a result of a fraudulent wire transfer routed through Uganda

Conducted a comprehensive review of the securitisation documents for two financial institutions in Uganda

Acted as local legal counsel for Oryx Oil and Gas SA which was a shortlisted bidder for the acquisition of the retail petroleum outlets of Chevron in Africa. This matter involved carrying out a purchaser’s due diligence exercise on Caltex Uganda Limited and authenticating sundry documents that had been disclosed to Oryx in the tender documents

Advised one of the key Australian support services providers in the petroleum sector

Advised an independent United Kingdom based tower company on the acquisition of the tower assets of two major telecommunications operators in Uganda

Advised a foreign investor in respect of acquisition of shares in a local micro-lender giving the said investor a controlling interest in the said entity

Advised a multi-national telecommunications company on pre-emption rights and later advised the same company over structuring of share sale and transfer matters valued in excess of US$3 million

Advised the shareholders of a group of companies trading in the East African region in fast-moving consumer goods on the sale and structuring of its business valued at US$7 million to a South African entity

Advised on the structuring and documentation involved in a syndicated loan facility to a non-governmental organization operating in Tanzania, Uganda and southern Sudan for an aggregate borrowing of US$37 million for the Uganda component

Advised a local subsidiary of a multinational company with investments in excess of US$9 million on the most appropriate land holding structure for its factories investments in two locations in Uganda

Advised and handled the reconstitution of shares in a local micro-lender owned by a multi-national South African company in the sum of US$3 million

Advised a multilateral finance agency on a mortgage funding project where the agency will give a partial guarantee to a social security fund in Uganda for lending to commercial banks for mortgage purposes for US$25 million

Advised a local financial institution on the structuring of a total capital enhancement programme, a transaction valued at US$30 million

Advised on the purchase of assets and assumption of liabilities of several failed banks in Uganda
