( 1) The proposed Development will meet all state building codes. including the 2012 Florida Accessibility Code for Building Construction. adopted pursuant to Section 553.503. F.S .. the Fair Housing Act as iniplemented by 24 CFR Part 100. Section 504 of the Rehabilitation Act of 1973 pursuant to Rule Chapter 67-48, F.A.C .. and the Americans with Disabilities Act of 1990 as implemented by 28 CFR Part 35. incorporating the most recent amendments. regulations and rules:

(2) The Applicant irrevocably commits to provide housing to Elderly persons aged 62 or older:

(3) The name of the Applicant entity stated in the Application may be changed only by written request of an Applicant to Corporation <;taff and approval of the Board after closing:

( 4) If the Applicant applies as a Non-Profit entity it must remain a Non-Profit entity as set out in Rule Chapter 67-48. F.A.C.:

(5) The success of an Applicant in being selected for funding is not an indication that the Applicant will receive a positive reconunendation from the Credit Underwriter or that the Development Team's experience, past performance or financial capacity is satisfactory. The past performance record. financial capacity. and any and all other matters relating to the Development Team. which may consist of Applicant. Management Company. General

Contractor. Architect, Attorney, Accountant. and, if applicable. Developer or Service Provider. will be reviewed during credit underwriting. The Credit Underwriter may require additional infonnation from any member of the Development Team including. without limitation, documentation on other past projects and financials. Development T earns with an w1satisfactory past perf onnance record. inadequate financial capacity or any other unsatisfactory matters relating to their suitability may result in a negative reconunendation from the Credit Underwriter;

(6) The Development will include the set-aside units (as outlined in Section Four A.4 of the RF A) as committed to in the Application. The Total Set-Aside Percentage stated in the Application may be increased after the Applicant has been invited to enter credit underwriting, subject to written request of an Applicant to Corporation staff and approval of the Corporation. Commitments to set aside residential units made by those Applicants that receive funding will become the minimum set-aside requirements for any other Corporation funds that the Applicant may receive in the future for the same Development:

(7) The Applicant's conunitments. will be included in the Land Use Restriction Agreement for the EHCL funding and must be maintained in order for the Development to remain in compliance. unless the Board approves a change:

(8) The applicable fees outlined in Item 5 of Exhibit C of the RF A will be due as outlined in this RFA. Rule Chapter 67-48. F.A.C .. and/or as otherwise prescribed by the Corporation and/or the Credit Underwriter:

(9) Applicant Overhead shall be limited to 10 percent of Development Cost: and

(10) The Applicant shall comply with all provisions of this RFA and Rule Chapter 67-48, F.A.C.

d. The Applicant acknowledges that any funding preliminarily secured by the Applicant is expressly conditioned upon any independent review, analysis and verification of all information contained in this Application that may be conducted by the Corporation. the successful completion of credit underwriting. and all necessary approvals by the Board of Directors. Corporation or other legal counsel. the Credit Underwriter. and Corporation Staff.

e. If preliminary funding is approved. the Applicant will promptly furnish such other supporting infomiation. documents. and fees as may be requested or required. The Applicant understands and agrees that the Corporation is not responsible for actions taken by the undersi~ed in reliance on a preliminary commitment by the Corporation. The Applicant commits that no qualified residents will be refused occupancy because they have Section 8 vouchers or certificates. The Applicant further commits to actively seek tenants from public housing waiting lists and tenants who are participating in and/or have successfully completed the training provided by welfare to work or self-sufficiency type programs.

f. Applicant commits to participate in the statewide housing locator system. as required by the Corporation.

g. The Applicant and all Financial Beneficiaries have read all applicable Corporation rules governing this RF A and have read the instructions for completing this RF A and will abide by the applicable Florida Statutes and the credit underwriting and program provisions outlined in Rule Chapter 67-48. F.A.C.

h. In eliciting infomiation from third parties required by and/or included in this Application. the Applicant has provided such parties infom1ation that accurately describes the Development as proposed in this Application. Role of the Non-Profit and Governing Board

The Dunbar Improvement Association, Inc. is a SOl(c) (3) organization located in Lee County,

Florida was established in July of 1980. The expressed purpose of the Dunbar Improvement

Association, Inc. is to provide low income and elderly with housing facilities and services.

Originally created as the East Lee County Improvement Association in 1979, its board and

members help provide affordable home care and community services to those seniors seeking

to maintain optimal independence and choice in a safe housing environment.

Consistent with its charitable purposes, the Dunbar Improvement Association, Inc. owns and

operates the Palm City Gardens Apartments, an existing 100 unit senior property that was built

in 1987 under the HUD Section 202 Direct Loan Program for the Elderly and Handicapped. As

the Applicant for the Elderly Housing Community Loan (EHCL) application to the Florida Housing

Finance Corporation (FHFC), the Association will be an active partner in overseeing the final

development plans and rehabilitation of the property. Additionally, the Association will be

implementing the relocation plan for the existing residents consistent with the staged

improvements to the development complex.

The Dunbar Improvement Association board members serve in the capacity of reviewing

documents instrumental to the financial and physical sustainability of Palm City Gardens. The

board members talk via telephone weekly and meet quarterly to review financial statements

and physical needs reports as prepared by Eagle Rock, LLC, the consultant hired to manage the

operations of the development. The non-profit is involved in every major decision affecting the

Palm City Gardens development.

WHEREAS, Dunbar Improvement Association, Inc., developed a housing facility with funds from the U.S. Department of Housing and Urban ~opment (HUD1 known as Palm City Gardens, having FHA Project No. 066-1109'3, (hereafter the "Projcctj in Fort Myers, Florida; and

~ the members of the corporation have approved the recommendation of the Board of Directors to amend the Articles of Incorporation subject td' approval by HUD, which shall be evidenced below.

NOW, THEREFORE, the Articles of Incorporation me hereby amended as follows:

1. Article n of the Amendment to the Articles of Incorporation -Purpose is modified to delete the paragraph in its entirety and substitute the rOllowmg therefore: ·

"This Corporation is organized rmlusively for charitable parposes. including mr such purposes, the making of distributions to organizations which qualify as exempt · organizations under Section 501(c)(3) of the Internal Revenue Code of 1986 as amended. or the corresponding section of any future United States Intemal Revenue law, or to the Secretary of Housing and Urben DeVelopment for the time being exclusively for a public purposes. 2. Article XI is added as follows:

ARTICLE Xl -HUD REQUlREMENTS

So long as HUD, its successors or assigns, is the insurer or holder of the Note secured by the Mortgage on the Project:

a} No amendment to these Articles of Incorporation that results many of the following will have any force or effect without the prior written consent of HUD:

(i) Any amendment that modifies the term of 1he Cmporation; (ii) Any mneodment that activates the requhemmt that a HUD previous

participation certification·be obtained fiomany additional principal; (iii) Any amendmcat that in any way affects the Note. Mortgage or Security

Agreement on the Project or the Regulatory Agreement between HUD and the Corporation;

(iv) Any amendment that would authori7.e any member other than a duly authori7.cd officer to bind the Corporation for all matters concerning the Project which require HUD's consent or approval;

by HUD to be included in the By-Laws, so long as HUD is the insurer or holder of the Note. ·

b) The Corporation is authori7.Cd to execute the HUD Joan documents and any other documents required by HUD in connection with the HUD-insured loan. Any President, Vice President, Secretary, Assistant Secretuy, Treasurer or other officer duly appointed by the Board of Directors is authori7.00 to exeeute any and all of such documents for the Corporation.

c) Any incoming officer or director shall be bound by the HUD Loan Documents and any other documents required in connection with the HUD-insured loan to the same extent and on the same tenns'as the other officers or directors.

d) Notwithstanding anything to the contrmy herein or in the Corporation's bylaws or other documents. the Corporation sball not indemnify officers or directors of the Corporation except to the ~mandated by the Nation Housing Act and/or to the extent such indemnification is covered by liability insurance or distributions approved by HUD from residual receipts or surplus cash.

e) Notwithstanding any other provisions of these Articles of Incorporation, upon any dissolution. no title or right to possession and control of the Project and no right to collect rents from the Project shall pm to any person who is not bound by the Regulatory Agreement in a manner satisfactory to HUD.

f) Notwithstanding any other provisions of the Articles of Incorporation, in the event that any provisions of the Articles conftict with the HUD loan documents, the provision of the HUD loan documents shall control

Renovations of the development will fall under the categories of life-safety, health, sanitation, or security-related improvements. The following list will serve as the proposed scope of work.

Life-Safety: $1,172,350 • Installation of impact glass windows and doors • Replacement of cabinets • Replacement of appliances including refrigerator, range, and water heater • Repair of electrical wiring and outlets, including panel boxes • Installation of emergency call system • Enhancement of indoor and outdoor lighting • Repair or replacement of roof shingles • Update smoke detectors, smoke detection system, and fire alarm
