The reader of this document hereby undertakes to keep all information, documents and knowledge of what-ever kind obtained by them or by any of our advisers or agents, whether orally, in writing or in any way recorded or by observation, (‘the Information’), regarding the Wirecard Group in connection with the proposals re-ferred to in clause below (hereafter referred to as ‘WDP’), secret and confidential, and we further undertake, agree and acknowledge the following:

NON-DISCLOSURE AGREEMENT

– The reader will not (save with the prior written con-sent of WDP or as required by law or the relevant regu-latory body) communicate any of the Information to any other person or body (except associated compa-nies), in connection with the proposals referred to in the clause below.

– The reader will not make or permit or procure to be made or solicit or assist any other person to make any announcement or disclosure of our discussions with WDP, whether or not any discussions commence, pro-ceed or are terminated, without WDP’s prior written consent, except as required by law or competent reg-ulatory body. If agreements to any cooperation with WDP occur, at or after the date of such cooperation, no announcement of the cooperation will be made except by mutual agreement between WDP and the reader, or as required by law or competent regulatory body.

– The reader will make no use of the Information for any purpose other than giving consideration to the possibility of putting forward proposals concerning a potential cooperation with WDP or for the purpose of such proposals, and, in particular, but without preju-dice to the generality of the foregoing, the reader will not use the Information to obtain any commercial benefit or for any purpose detrimental to WDP.

NON-CUSTOMISABLE CONTENT AND POSITIONS

– Positioning and design of the MasterCard logo colour and positioning of the chip

– Positioning and design of the required embossed text (PAN, validity and name on the card), colour of the text is chosen with regard to optimised readability

– The card needs to have the label ‘Prepaid’ above the MC logo

REQUIREMENTS FOR IMAGES AND TEXT– Gold, silver and certain other colour combinations

can’t be used– The design must not have a negative impact on the

readability– If the card runs on a corporate BIN (e.g. corporate pay-

out), the word ‘Corporate’ has to be mentioned on the front side of the card

THE DESIGN OF THE CARD MUST NOT CONTAIN ANY OF THE FOLLOWING– Sexual subject matter of any nature– Political subject matter of any nature– Offensive racial/prejudicial subject matter of any nature– Offensive religious subject matter of any nature– Advertising of any nature– Self-promotion of any nature (e.g. personal business

– Subject matter of any nature that might result in card acceptance confusion for merchants

– Subject matter of any nature that might result in card fraud

– Any graphic design element that might reflect poorly or might engender hostility towards or derision of all or any of the MasterCard family of brands

THE TEXT ON THE CARD MUST NOT CONTAIN ANY OF THE FOLLOWING

– References to ‘money transfer’, ‘transfer money’ or ‘transmit money’. (Transferring money is a regulated transaction in the United States which MasterCard is not permitted to carry out. For this reason please use an alternative. Good alternatives are ‘money share’, ‘money distribution’ or ‘money move’.)

– Nothing is ever 100% perfect or the best. For this rea-son, you cannot use phrases like ‘We are number one’ or ‘The best exchange rates, guaranteed!’. Good alter-natives could be ‘A leading prepaid card provider’ or ‘Highly competitive exchange rates’.

– References to disparage credit within your material. An example of this would be ‘Without building up huge debt’ – this is not acceptable. However, ‘Only spend what you load’ is acceptable.

– No suggestion to customers that they cannot go over-drawn using their prepaid card. As much as it is an unlikely occurrence, it is still possible. Instead of say-ing ‘No worrying about going overdrawn’, you could use ‘Only spend what you load’.

– Any references to an ‘account’ must be appropriate to context. This means that wording must make clear that an e-money account is not the same as a deposit account, i.e. it is not a savings vehicle and does not pay interest.

APPROVAL PROCESS

GENERAL

– You would need to provide us with any logos, card im-ages and specific designs that are needed

– We can work with every design, but it has to be legal and needs approval from us

– Files and text (normal mail is sufficient) have to be named in a manner that is clearly understandable in regard to which file shall be used where, e.g. on the card, the carrier, the Payout Enterprise Portal (WEP)or the Card User Account Management Portal (or the same file for different locations)

– In general you can provide us with the biggest image available and we then shrink it if needed

– Send necessary documents to: product.mgmt.issuing@wirecard.com

– Feedback on whether it is approved or not is returned to sender within three business days (no individual card); in the case of individual card design, MasterCard approval is needed – feedback in five business days

REQUIREMENTS FOR THE DIFFERENT CUSTOMISATION OPTIONS CARD– The design is provided using a JPEG file *.jpg (1035 × 661 pixels and 300 dpi, CMYK colours, not RGB)

CARRIER– The logo has to be provided using a JPEG file *.jpg (min. 1035 × 661 pixels and 300 dpi)

PAYOUT ENTERPRISE PORTAL (WEP)– The logo has to be provided using a JPEG file *.jpg (min. 1035 × 661 pixels and 300 dpi )– Colour of the banner has to be submitted using the

RGB code e.g. (0 | 0 | 0)

CARD USER ACCOUNT MANAGEMENT PORTAL– Colour of the banner and/or the background and/or
