Preface

A Constitution is a system of governance (often codified as a written document)establishing the rules and the principles of an autonomous entity and governing therelationship between or among the arms or sectors, determining their powers andresponsibilities. A Constitution gives full power to an entity subject to the Constitutionitself while most Constitutions give guarantees to the rights of the people it governs.

A Constitution is specific in draft and is usually comprehensive in its presentation tocover (or make allowance to cover) all areas of the functioning or life of the Entity.Invariably it tends to be absolute, and supremacy is usually ascribed to it over theexisting traditions, conventions, rules and regulations.

In researching and drafting the Constitution for the Pentecostal Gospel Temple (church),we took particular care not to legislate in any way or form, a document that wouldcontradict the absolute authority and working of the Holy Spirit and His operation withinthe Church. Our church Constitution and By-Laws were therefore constructed in thenormative context having parameters, checks and balance, determining authority andthe responsibility of the governing ecclesiastical body while recognizing the overallsupreme power and sovereignty of God.

The Importance of a Good Constitution and By-Laws

“Every church needs to have a document that sets forth how the organization willoperate. Most frequently, this document is referred to as the Church Constitution, theexistence and the accuracy of the document are legally imperative to protect a church’sintegrity and conduct of operations and her tax-exempt status. The Constitution shouldbe written to reflect each church’s specific needs and practices….

The purpose statement should be broad in scope. In fact, it should be so broad that itcovers both present active ministries and potential future ministries. In addition, theministry purpose must (1) be religious, charitable, scientific, for testing, for public safety,literary or educational; and (2) not to involve the church in partisan political campaignsor substantial legislative activity.”

The presentation of this DOCUMENT reflects, to a great extent, our homegrowndocument which may be seen as a comprehensive piece of work now called:

Previously we had various documents which governed the operation of the church butnow we have in the Constitution a single compact document which speaks to theauthority of the various administrative functions and Offices in the body and theirrespective parameters or limits. There are also the Articles of Association (AA) and theMemorandum of Association (MA) and various records of BOARD POLICY DECISIONSwhich can be referred to from time to time, which form the formal institutional policiesof the church. The AA and MA are the legal documents which incorporate the church asa non-profit Company or Organization which is a statutory requirement by TheCompanies of Jamaica in order to recognize the Pentecostal Gospel Temple as aCorporate Entity with limited liability.

The production of this CONSTITUTION and BY-LAWS went through the following stages:

a. Drafting.b. Reviews by independent legal professionals who provided their critique and

recommendations.c. Reviews by the general leadership of the Pentecostal Gospel Temple.d. Further review by the Church Board.e. Ratification by the Church Board.f. Presentations to the general membership.g. Affixing of signatures and the SEAL of the Pentecostal Gospel Temple.h. Official declaration of its Promulgation.

In the following brief, the document presents:

1. Sixteen Divisions i.e. ARTICLES I – XVI, a ratification and a certification page.2. Sections and Sub-Sections which cover the Church Administration in detail.3. The process by which proposals for amendments may be submitted.

The Pentecostal Gospel Temple Constitution and By-Laws were drafted by Minister Calvin A.Campbell as a special assignment given by Bishop Dr. the Hon. Carmen L. Stewart OJ, OD, JP inthe year 2008. This followed on the Church’s SWOT Analysis which was overseen on thatoccasion by Dr. Henley Morgan.

Minister Calvin Campbell has been a member of the Pentecostal Gospel Temple, 111 WindwardRoad, Kingston 2, since 1997 and has a distinguished career of public service, being a certifiedPublic Administrator and among other roles served as the first Senior Court Administrator forthe Corporate Area Resident Magistrate Court (Criminal Division) and later as Special ProjectsManager at the Office of the Public Defender before his early retirement in August 2010. Adevout Christian, the husband of Jacinth Althea and proud father of Nicoline Alethea, MinisterCampbell, over the years, has served in several official capacities in the church prior to andduring his time as a Deacon and was ordained to Ministry August 2010.

Gratitude is also expressed to Mrs. Kerrian Rushton LL.B, LL.M, Attorney at Law, who gave legalreview, guidance and legal opinions in the process of developing the document also thanks tothe Leaders of the Pentecostal Gospel Temple headed by Bishop Dr. the Hon. ARTICLE I

OFFICES

Section 1

PRINCIPAL OFFICE -The Principal Office of the Pentecostal GospelTemple, (hereinafter called PGT) shall situate at 111, Windward Road,Kingston 2, Jamaica, West Indies, being the resident office of theFounder and Bishop of the Organization.

Section 2REGISTERED OFFICE - The Registered Office of the Pentecostal GospelTemple Limited Inc. required by Law to be maintained in the Registrarof Companies of Jamaica, may be, but need not be identical with thePrincipal Office.

ARTICLE II

FAITH AND DOCTRINE

PREAMBLEAs a body of Born Again Believers, we embrace and subscribe to thefollowing fundamentals predicated on Biblical principles with respect to

the tenets of worship, discipline, rules, regulations, rituals, ceremoniesand practices for spiritual and secular Guidance, utilizing the King JamesVersion as the foundation for our Christian teachings and beliefs.

We believe the Bible to be inspired of God, the infallible Word of God."All scripture is given by inspiration of God, and is profitable fordoctrine, for reproof, for correction, for instruction in righteousness"(2 Timothy 3:16).

The Bible is the only God-given authority which man possesses;therefore, all doctrine, faith, hope, and all instruction for the churchmust be based upon, and harmonize with, the Bible. It is to be read andstudied by all men everywhere, and can only be clearly understood bythose who are anointed by the Holy Spirit (1 John 2:27)."... No prophecyof the scripture is of any private interpretation. For the prophecy camenot in old time by the will of man: but Holy men of God spake as theywere moved by the Holy Ghost" (2 Peter 1:20, 21).

Section 1. The Scriptures Inspired. The Bible is the inspired word ofGod, a revelation from God to man, the infallible rule of faith andconduct, and is superior to conscience and reason, but not contrary toreason. (2 Tim. 3:15-17; 1 Peter 1:23-25; Heb. 4:12). The Gospel is thegood news of salvation for Jews and Gentiles through Jesus Christ, Hisvirgin birth, life, teachings, miracles, sufferings, death, burial,resurrection and ascension.

Section 2. The One True God. We believe in the one ever-living,eternal God: infinite in power, Holy in nature, attributes and purpose;

and possessing absolute, indivisible deity. This one true God hasrevealed Himself as Father in creation, as Son in redemption, and as theHoly Spirit, in regeneration. (1 Cor. 8:6; Eph. 4:6; 2 Cor. 5:19; Joel 2:28).

The Scripture does more than attempt to prove the existence of God; itasserts and declares that the knowledge of God is universal. (Romans1:19, 20, 21, 28 to 32). God is invisible, incorporeal, without parts,without body, and therefore free from all limitations. He is Spirit (John4:24), and a spirit hath not flesh and bones. (Luke 24:39).

The first of all the commandments is, “Hear, O Israel; the Lord our Godis one Lord"(Deut. 6:4; Mark 12:29 ;). "One God and Father of all, who isabove all, and through all, and in you all", (Eph. 4:6). This one true Godmanifested Himself in the Old Testament in divers ways; in the Sonwhile He walked among men; as the Holy Spirit after the ascension.

Section 3. The Son Of God, The one true God, the Jehovah of the OldTestament, took upon Himself the form of man, and as the Son of man,was born of the Virgin Mary. Paul says "And without controversy greatis the mystery of Godliness: God was manifest in the flesh, justified inthe Spirit, seen of angels, preached unto the Gentiles, believed on in theworld, received up into glory" (1 Timothy 3:16). "He came unto His own,and His own received Him not" (John 1:11). This one true God wasmanifest in the flesh, that is, in His Son, Jesus Christ. ". . God was inChrist, reconciling the world unto Himself, not imputing their trespassesunto them. . ." (2 Cor. 5:19). We believe that, ". . . in Him (Jesus)dwelleth all the fulness of the Godhead bodily" (Col. 2:9). "For it pleasedthe Father, that in Him should all fulness dwell" (Col. 1:19).

Therefore, Jesus in His humanity was man; in His deity was and is God.His flesh was the lamb, or the sacrifice of God. He is the only mediatorbetween God and man. "For there is one God, and one mediatorbetween God and men, the man Christ Jesus" (1 Timothy 2:5).

Jesus on His Father's side was divine, on His mother's side, human;thus, He was known as the Son of God and also the Son of man, or theGod-man. "For He hath put all things under His feet. But when He saithall things are put under Him, it is manifest that He is excepted, whichdid put all things under Him" (1 Cor. 15:27). "And when all things shallbe subdued unto Him, then shall the Son also Himself be subject untoHim that put all things under Him, that God may be all in all" (1 Cor.15:28). "I am Alpha and Omega, the beginning and the ending, saiththe Lord, which is, and which was, and which is to come, the Almighty"(Rev. 1:8).

Section 4. The Name - God used different titles, such as "God Elohim","El Shaddai", "Jehovah", and especially "Jehovah Lord", the redemptivename in the Old Testament. "For unto us a child is born, unto us a sonis given: ... and His name shall be called Wonderful, Counselor, theMighty God, The Everlasting Father, The Prince of Peace" (Isaiah 9:6).This prophecy of Isaiah was fulfilled when the Son of God was named,"And she shall bring forth a son, and thou shalt call His name Jesus: forHe shall save His people from their sins" (Matt. 1:21). "Neither is theresalvation in any other: for there is none other name under heaven givenamong men, whereby we must be saved" (Acts 4:12).

Section 5. Creation of Man, His Fall and Redemption. In the beginningGod created man innocent, pure and holy; but through the sin ofdisobedience, Adam and Eve, the first of the human race, fell from theirholy state, and God banished them from Eden. Hence by one man'sdisobedience, sin entered into the world. (Gen. 1:27; Rom. 3:23, 5:12).

Section 6. Repentance and Conversion. Pardon and forgiveness of sinsis obtained by genuine repentance, a confessing and forsaking of sins.We are justified by faith in the Lord Jesus Christ (Romans 5:1). John theBaptist preached repentance, Jesus proclaimed it, and the Apostlesemphasized it to both Jews and Gentiles. (Acts 2:38, 11:18, 17:30).

The word "repentance" comes from several Greek words which mean,change of views and purpose, change of heart, change of mind, changeof life, to transform, etc. Jesus said, -“Except ye repent, ye shall alllikewise perish" (Luke 13:3). Luke 24:47 declares, "And that repentanceand remission of sins should be preached in His name among allnations, beginning at Jerusalem."

Section 7. The Salvation of Man.(a) Man’s Only Hope of Redemption is through the Shed

Blood of Jesus Christ. On the cross Jesus Christ becamesin for us, providing both salvation and divine healingfor all mankind (Psalm 103:3), “being justified freely byHis grace through the redemption that is in ChristJesus”. (For by grace we are saved through faithEphs.2:8). The word is nigh you, in your mouth and inyour heart-that is, the word of faith which we are

preaching, that if you confess with your mouth Jesus asLord, and believe in your heart that God raised Himfrom the dead, you shall be saved; for with the heartman believes, resulting in righteousness, and with themouth confession is made resulting in salvation.(Romans 3:24; Ephesians 2:8; Romans 10:8-10).

(b) The Evidence of Salvation. The inward evidence to thebeliever of his salvation is the direct witness of the spirit(Romans 8:16). The outward evidence to all men is a lifeof righteousness and true holiness. “And this is Hiscommandment, that we believe in the name of his sonJesus Christ, and love one another, just as Hecommanded us” (1 John 3:23).

(c) Faith and Works. Salvation is by faith in Jesus Christand not by human works; however, our works willdetermine the rewards in eternity (Romans 10: 9-11 andII Cor. 5:10).

(d) Holy Living – The characteristics of the saints(Tit. 2:11-12; 1Pet. 2:21-23)

Section 8. Baptism in Water. The ordinance of baptism by a burial withChrist should be observed as commanded in the Scriptures by all whomhave really repented and in their hearts have truly believed on Christ asSaviour and Lord. In so doing, they declare to the world that they havedied with Jesus and that they have also been raised with Him to walk innewness of life (Matt. 28:19; Acts 10:47, 48; Romans 6:4). The

scriptural mode of baptism is immersion, and is only for those whohave fully repented, having turned from their sins and a love of theworld. It should be administered by a duly authorized minister of theGospel, in obedience to the Word of God, and in the name of JesusChrist, according to Acts 2:38, 8:16, 10:48, 19:5; thus obeying andfulfilling Matthew 28:19.

Section 9. The Lord’s Supper. On the night of our Lord's betrayal, Heate the Passover supper with His Disciples, after which He instituted thesacrament. "And He took bread, and gave thanks, and brake it, andgave unto them, saying, this is my body which is given for you: this do inremembrance of me. Likewise also the cup after supper saying, this cupis the New Testament in my blood, which is shed for you." (Luke 22:19-20). Paul instructed the church how to observe it (I Cor. 11:23-34).Thus was instituted the use of literal bread and the fruit of the vine,which are partaken of literally, as emblems of His broken body andshed blood. There is also a spiritual significance and blessing inpartaking of the sacrament.

Section 10. Foot Washing. When the Passover supper was ended, weread in John 13:4-5, "He riseth from supper, and laid aside Hisgarments; and took a towel, and girded Himself. After that He pourethwater into a basin, and began to wash the disciples' feet, and to wipethem with the towel wherewith He was girded." Jesus said, "If I then,your Lord and Master, have washed your feet; ye also ought to washone another's feet. For I have given you an example, that ye should doas I have done to you" (John 13:14-15).

This first example was given by our Lord, and it is a divine institution. Itis well to follow His example and wash one another's feet; thusmanifesting the spirit of humility.

Section 11. The Evidence of the Baptism in the Holy Spirit. John theBaptist, in Matthew 3:11, said, "...He shall baptize you with the HolyGhost, and with fire." Jesus, in Acts 1:5, said, "...ye shall be baptizedwith the Holy Ghost not many days hence."

Luke tells us in Acts 2:4, they were all filled with the Holy Ghost, andbegan to speak with other tongues (languages), as the Spirit gave themutterance. The terms "baptize with the Holy Ghost and fire," "filled withthe Holy Spirit," and the "gift of the Holy Ghost" are synonymous termsused interchangeably in the Bible. It is scriptural to expect all whoreceive the gift, infilling, or baptism of the Holy Spirit to receive thesame physical, initial sign of speaking with other tongues. The Lord,through the Prophet Joel, said, “I will pour out my Spirit upon all flesh;..." (Joel 2:28). Peter, in explaining this phenomenal experience, said,having received of the Father the promise of the Holy Ghost, He (Jesus)hath shed forth this which ye now see and hear." (Acts 2:33). Further,"...The promise is unto you, and to your children, and to all that are afaroff, even as many as the Lord our God shall call." (Acts 2:39).

Section 12. The Church. The church is the body of Christ, the habitationof God through the Spirit, with divine appointments for the fulfillmentof her great commission. All believers, born of the Spirit, are an integralpart of the general assembly and church of the firstborn, whose namesare written in Heaven (Ephesians 2:19-22; Hebrews 12:23).

Section 13. Wholeness and Prosperity.(a) Spiritual. John 3:3, 11; II Cor. 5:17-21; Romans 10:9-10.(b) Mental. II Tim. 1:7; Romans 12:2; Isaiah 26:3.(c) Physical. Isaiah 53:4, 5; Matt. 8:17; I Peter 2:24.(d) Financial. III John l: 2; Malachi 3:10-11; Luke 6:38;

II Cor. 9:6-10; Deut. 28:1-14.(e) Social. Proverbs 3:4.

Section 14. Divine Healing. The first covenant that the Lord (Jehovah)made with the children of Israel after they were brought out of Egyptwas a covenant of healing. The Lord said, ". . . if thou wilt diligentlyhearken to the voice of the Lord (Jehovah-Rapha, the Lord that healeth)thy God, and wilt do that which is right in His sight, and wilt give ear toHis commandments, and keep all His statutes, I will put none of thesediseases upon thee, which I have brought upon the Egyptians; for I amthe Lord that healeth thee." (Exodus 15:26). Some translations read:"For I am Jehovah, thy physician," He being our physician or doctor, wehave the most capable in the whole world. Our Lord Jesus Christ wentabout Galilee, preaching the Gospel of the Kingdom, and healing allmanner of sickness and disease among the people. (Matthew 4:23, 24)."Jesus Christ the same yesterday, and today, and forever"(Hebrews 13:8). The vicarious suffering of the Lord Jesus Christ paidfor the healing of our bodies, the same as for the salvation of our souls,“for with His stripes we are healed" (Isaiah 53:5). Matthew 8:17 reads,“Himself took our infirmities, and bare our sicknesses” (See alsoI Peter 2:24). We see from this that divine healing for the body is in theatonement. That being true, then it is for all who believe. Jesus said of

believers, ". . . they shall lay hands on the sick, and they shall recover."Later, James wrote in his Epistle to all the churches: "Is any sick amongyou? Let him call for the elders of the church; and let them pray overhim, anointing him with oil in the name of the Lord: and the prayer offaith shall save the sick, and the Lord shall raise him up; and if he havecommitted sins, they shall be forgiven him. Confess your faults one toanother, and pray one for another, that ye may be healed. The effectualfervent prayer of a righteous man availeth much." (James 5:14-16).

Section 15. The Lake of Fire. Those who have not accepted theredemptive work of Jesus Christ will suffer eternal separation from theGodhead. The devil and his angels, the beast and the false prophet, andanyone, whose name was not found written in the book of life, shall beconsigned to everlasting punishment in the lake of fire, which burnswith brimstone. This is the second death. (Rev. 19:20; 20:10-15).

Section 16. The Grace of God. "For the grace of God that bringethsalvation hath appeared to all men, teaching us that, denyingungodliness and worldly lusts, we should live soberly, righteously, andGodly, in this present world" (Titus 2:11,12). "For the law was given byMoses, but grace and truth came by Jesus Christ" (John 1:17).

A Christian, to keep saved, must walk with God and keep himself in thelove of God (Jude 21) and in the grace of God. The word "grace" means"favor." When a person transgresses and sins against God, he loses hisfavor. If he continues to commit sin and does not repent, he willeventually be lost and cast into the lake of fire. (Read John 15:2, 6;

2 Peter 2:20-21). Jude speaks of the backsliders of his day, and theirreward. (Also, read Hebrews 6:4-6). "For by grace are ye saved throughfaith; and that not of yourselves; it is the gift of God" (Eph. 2:8).

Section 17. Conscientious Scruples. We recognize the institution ofhuman government as being of divine ordination, and, in so doing,affirm loyalty to our Government. As followers of the Lord Jesus Christ,the Prince of Peace, we believe in implicit obedience to Hiscommandments and precepts which instruct us as follows: "Followpeace with all men..." (Heb. 12:14). (See also Matt. 26:52; Rom. 12:19;James 5:6; Revelation 13:10). These we believe and interpret to meanChristians shall not shed blood nor take human life. Therefore, wepropose to fulfill all the obligations of loyal citizens, but are constrainedto declare against participating in armed insurrection, propertydestruction, aiding or abetting in or the actual destruction of humanlife. However, we regret the false impression created by some groupsor so-called "conscientious objectors" that to obey the Bible is to havecontempt for law or magistrates, to be disloyal to our Government andin sympathy with our enemies, or to be unwilling to sacrifice for thepreservation of our commonwealth. This attitude would be ascontemptible to us as to any patriot. The Word of God commands us todo violence to no man. It also commands us that first of all we are topray for rulers of our country and participate freely and willingly beingresponsive to the call of our Government in elections and civic duties.

Section 18. Fundamental Doctrine. The basic and fundamentaldoctrine of this organization shall be the Bible standard of full salvation,which is repentance, baptism in water by immersion in the name of the

Lord Jesus Christ for the remission of sins, and the baptism of the HolyGhost with the initial sign of speaking with other tongues as the Spiritgives utterance. We shall endeavor to keep the unity of the Spirit untilwe all come into the unity of the faith, at the same time admonishingall brethren that they shall not contend for their different views to thedisunity of the body.

Section 19. The Second Coming of Jesus. That Jesus is coming againthe second time in person, just as He went away, is clearly set forth bythe Lord Jesus Himself, and was preached and taught in the earlyChristian church by the apostles; hence, the children of God today areearnestly, hopefully, looking forward to the glorious event. (Matt. 24;Acts 1:11, 3:19-21; 1 Cor. 11:26; Phil. 3:20-21; 1 Thess. 4:14-17;Titus 2:13, 14).

Section 20. The Translation of the Saints We believe that the time isdrawing near when our Lord shall appear; then the dead in Christ shallarise, and we who are alive and remain shall be caught up with them tomeet our Lord in the air. (1 Thess. 4:13-17; 1 Cor. 15:51-54;Phil. 3:20-21).

Section 21. The Millennium Moreover, we believe that the distressupon the earth is the "beginning of sorrows" and will become moreintense until there "shall be a time of trouble such as there never wassince there was a nation even to that same time" (Matthew 24:3-8,Dan. 12:1), and that period of "tribulation" will be followed by thedawn of a better day on earth and that for a thousand years there shall

be "peace on earth and good will toward men." (Rev. 20:1-5; Isa. 65:17-25; Matt. 5:5; Dan. 7:27; Mic. 4:1, 2; Heb. 2:14; Rom. 11:25-27).

Section 22. Final Judgment When the thousand years are finished,there shall be a resurrection of all the dead, who will be summonedbefore the great white throne for their final judgment, and all whosenames are not found written in the Book of Life shall be cast into thelake of fire, burning with brimstone which God bath prepared for theDevil and his angels, Satan himself being cast in first.(Matt.25:41; Rev. 20:7, 15; 21:8).

Section 23. One God in Christ JesusGOD - There is only ONE GOD; the Creator of the heavens and the earthand of all mankind, manifested to mankind as FATHER (creator), SON(Savior), and HOLY GHOST (indwelling Spirit) (Romans 8:11). God is bynature, a spirit (John 4:24)

FATHER - God is a Spirit (John 4:24), the Eternal One, the Creator of allthings; and of course, of all men, thus making Him their Father (throughcreation). He is the First and the Last and beside Him there is no other.(Isaiah 44:6). There was no God formed BEFORE Him, neither shallthere be after Him. The title “Father” used by Jesus refers to Deity.

SON - Jesus is the SON of God according to the flesh (Romans 1:3), andthe very God Himself according to the Spirit. Jesus is the Christ (Matt.1:23); God made flesh (John 1:1-14); God manifested in the flesh (1 Tim3:16); He which was, which is, and which is to come. THE ALMIGHTY(Rev. 1:8; Isaiah 9; 6). To this Jesus Himself testified when he said, “He

that hath seen me hath seen the father” (John 14: 7-11); and “I and theFather are ONE” (John 10:30).

Since it took the shedding of blood for the remission of sins of theworld (Hebrews 9:22), God as the Father being a Spirit had no blood toshed; so he prepared a body of flesh and blood (Hebrews 10:5), that Hemight fulfill the prophecy of Isaiah 43:11; “Beside ME there is noSAVIOUR”; and caused the angels to sing “For there is born this day inthe city of David, a SAVIOUR which is CHRIST THE LORD”. Hebrews 1:3refers to Jesus as “the express image of [God’s] person”. No wonderJesus could say “he that hath seen me hath seen the Father” (John14:9). The title Son, used by Jesus Christ, and by Deity (such as at theJordan Baptism) refers to humanity.

Section 24. Holiness - Godly living should characterize the life of everychild of the Lord, and we should live according to the pattern andexample given in the Word of God. "For the grace of God that bringethsalvation hath appeared to all men, teaching us that, denyingungodliness and worldly lusts, we should live soberly, righteously, andGodly, in this present world" (Titus 2:11,12). "For even hereunto were yecalled: because Christ also suffered for us, leaving us an example, thatye should follow His steps: who did no sin, neither was 'guile found inHis mouth: who, when He was reviled, reviled not again; when Hesuffered, He threatened not; but committed himself to Him that judgethrighteously" (1 Peter 2:21-23). "Follow peace with all men, and holiness,without which no man shall see the Lord" (Heb. 12:14). "But as Hewhich hath called you is holy, so be ye holy in all manner ofconversation; because it is written, be ye holy; for I am holy. And if ye

call on the Father, who without respect of persons judgeth according toevery man's work, pass the time of your sojourning here in fear:forasmuch as ye know that ye were not redeemed with corruptiblethings, as silver and gold, from your vain conversation received bytradition from your fathers; but with the precious blood of Christ, as of alamb without blemish and without spot" (1Peter 1:15-19). Wewholeheartedly disapprove of our people indulging in any activitieswhich are not conducive to good Christianity and Godly living, such asany apparel that immodestly exposes the body, and unwholesomeradio, television programmes and music, etc. We admonish all of ourpeople to refrain from any such practice in the interest of spiritualprogress and the soon coming of the Lord for His church.

Section 25. The Holy Ghost - The HOLY GHOST is not the third personin the Godhead, but rather the manifestation of the Spirit of God (theCreator), and of the resurrected Christ, coming to dwell in the heartsand lives of all men who will be obedient to the gospel, and theComforter, Sustainer, and the Keeper (John 14: 16-26; Romans 8:11).When we use the title “Holy Ghost” after the Day of Pentecost (or whenJesus used it referring ahead to this era), it is referring to the immanentGod, who works in human lives for regeneration BY that spirit sincePentecost. So there are not three GODS, or persons, but threemanifestations of ONE GOD who we know by the revealed face of God,Jesus Christ, God in Flesh. “These three are one” (1 John 5:7) we placeemphasis on the use of the words “name of” from Matt. 28...

Section 26. Restitution of All Things We understand the scripture toteach the restitution of all things, which God hath spoken by the mouth

of all His holy prophets since the world began. (Acts 3:21). But wecannot find where the devil, his angels, and all sinners are included.(See Rev. 20:10).

Section 27. Marriage - Marriage is God-ordained. God’s design formarriage goes back to mankind's beginning, when He made them maleand female, and said, ‘For this reason a man will leave his father andmother and be united to his wife, and the two will become one flesh’(Matthew 19:4,5). The family, as God’s means of propagating Hiscreation, grows out of this primary human relationship.

The marriage relationship encompasses the deepest unity of man andwoman in its social and physical expressions. The first woman wasdeclared to be a suitable helper for the man (Genesis 2:18), the perfectcomplement (Genesis 2:23). God intended them to share both blessingsand responsibilities. Mutual esteem and self-giving love strengthen themarriage relationship. God intended this physical, emotional,intellectual, and spiritual union to be focused on one partner only.

Marriage is to be an exclusive relationship, a lifelong faithful unionwith one’s spouse. "What God has joined together, let man notseparate" (Matthew 19:6). The Old Testament recognized the existenceof polygamy (marriage to multiple partners), but still declared thatmonogamy (marriage to one partner) was the ideal (Psalms 128:3,Proverbs 5:18; 31:10-29; Ecclesiastes 9:9). "Lifelong" means monogamyand sexual fidelity until the death of one partner. Sexual expressionwith more than one partner violates the holiness of biblical marriageand thus is sin in God's sight.

Marriage is a covenant, a solemn binding agreement made before Godand man. The religious ceremony of the wedding before church andcommunity emphasizes that marriage is more than a legal agreementbetween two individuals. The church has a responsibility to support andnurture the marriage that has been affirmed by public vows.

Ideally, the relationship between husband and wife should parallel therelationship between Christ and the Church (Ephesians 5:23-30). Thehusband should love his wife "as Christ loved the church and gavehimself up for her" (Ephesians 5:25). The wife should submit to herhusband as the Church should submit to the Lord (Ephesians 5:22-24).But it is a misreading of Scripture, however, to conclude that thehusband can become dictatorial. The entire passage is introduced bythe admonition, "Submit to one another out of reverence for Christ"(Ephesians 5:21). It is only after each spouse submits one to anotherfrom a heart of love that the head/submission relationship will work.The husband has special responsibility for the spiritual leadership andwelfare of the wife and family (Psalms 78:5-8, Ephesians 5:23). Whilethe woman has responsibility as a parent, God has called the husbandto be the leader in the home. The woman is not inferior to the man.Both have full dignity and equal standing before God. Strong spiritualtraining is essential for children to develop spiritually (Proverbs 22:6).

A happy and complete marriage is realized as both partners makeChrist the centre of their marriage relationship. With Christ as thehead, the marriage has an excellent chance to succeed.

Section 28. Tithing - We believe tithing is God's financial plan toprovide for His work, and has been since the days of Abraham. Tithing

came with faith under Abraham, Moses' law enjoined it, and Israelpracticed it when she was right with God; Jesus endorsed it (Matt.23:23); and Paul said to lay by in store as God has prospered you. Donot rob God of His portion, viz., tithes and offerings (Read Mal. 3).

Section 29. Public School Activities We disapprove of school studentsengaging in school activities against their religious scruples, andwearing attire which immodestly exposes the body. We disapprove ofschool students being forced to take any classes in which, under theguise of health classes, sex education is taught coeducationally or filmsor lectures are given that promote immoral or unnatural behaviour.

Section 30. Secret Societies, Etc. According to the Word of God, wefirmly believe and hold that the people of God should have noconnection whatever with secret societies or any other organization orbody wherein there is a fellowship with unbelievers, bound by an oath.(James 5:12; 2 Cor. 6:14-18).

ARTICLE III

CHURCH BOARD

Section 1. GENERAL POWERS - The affairs of the Pentecostal GospelTemple Head Quarters Church (PGT H/Q) shall be managed by a ChurchBoard which shall demonstrate love, loyalty and a full obligation to thesaid church. The authority of the Church Board shall not supercede thatof the Senior Pastor of the Church and its tenure shall be subject toratification at Annual General Meetings or specially convened GeneralMeetings.

Section 2. TERMS OF REFERENCE OF CHURCH BOARD

A. SUPERINTENDENCY- The Church Board shall be the Governors ofthe Church and shall have full responsibility for the administrationof the affairs of the PGT H/Q Church, whose members,individually, shall serve for such time or times subject to Section 5herein of the By-Laws. All policies affecting the administration ofPentecostal Gospel Temple at any state of its development orimplementation must have the considered approval of the ChurchBoard prior to implementation.

B. CONFIDENTIALITY- Incumbent members of the Church Board shallat no time breach the confidentiality of the Church Board.

This action, if founded, warrants summary dismissal from thestrength of the membership of the Church Board.

Section 3. CHURCH BOARD COMPOSITION

A. In accordance with the Memorandum of Association of thePentecostal Gospel Temple the number of persons comprising thePGT H/Q Church Board shall be no less than three (3) PROVIDEDHOWEVER that the members shall be the Senior Pastor and twoother standing members but shall have no more than thirteen(13) persons on ratification by the Annual General Meeting or aspecially convened General meeting.

B. Incumbent members of the Church Board shall not be close familyrelations.

C. At the first meeting of the Church Board and in accordance withthe stipulations of the Articles and Memorandum of Association

of the Pentecostal Gospel Temple, by way of a secret ballot aBoard Secretary must be chosen from among the membership ofthe Board and appointed to fulfill the mandate of that office. Thatoffice shall immediately become effective to execute its functionsat the instant of that appointment.

D. Delegated authorities and sub-committees of the Church Boardreporting directly to the Church Board shall be:

i. Judicial/Disciplinary Committee. The Judicial Board shallconsist of members appointed by the Pastor to ensureequitable and fair treatment in the administration ofdiscipline, to anyone who causes a reproach to fall upon thechurch or because of gross misconduct, improper actions, orjob performance. Consequent on the necessity for amember to appear before the Judicial/DisciplinaryCommittee, the Church Board will decide the appropriatecourse of disciplinary action to be taken and will so advise inwriting to the relevant parties. The members shall beanonymous to the general membership to protect andfacilitate confidentiality.

ii. Council of Directors. The Council of Directors is comprisedof the Senior Pastor, church leaders who are appointed asDirectors within named portfolio Ministries of the church,approved church staff members, and the Deacons. Thiscouncil is convened to develop and promote churchactivities, which will fulfill the purpose, vision and the overallmission of The Pentecostal Gospel Temple.

iii. All other Management Committees, Project ManagementAdministrations and Boards appointed specifically for theoversight of any arm and/or subsidiary of the PGT H/QChurch.

Section 4. CHURCH BOARD MEETINGS

A. REGULAR BOARD MEETINGS- There shall be convened regularmeetings of the Church Board, with such regularity, scheduledtime and venue as determined by resolution of the Board itself. Inthe absence of resolution, by designation Church Board Meetingsshall be convened at the Principal Office (Conference Room) ofthe Church.

B. EXCEPTION – The Senior Pastor shall not chair any meetingspecially convened to consider his/her overall benefit, well-beingor financial support. This shall be the only exception.

C. SPECIAL BOARD MEETINGS – Special meetings of the ChurchBoard shall be convened at the request of the Senior Pastor.Notice of such meetings of the Board and the purpose for which itis called shall be given by electronic mail contact, telephone or, ona Sunday preceding the date of the meeting, at the designatedtime for announcements, during the worship service.

D. QUORUM – Where the composition of the Church Board isgreater than four (4) members, a majority of those memberspresent shall constitute a quorum. Where the number present atany Board Meeting is less than a quorum then a majority of that

number present or all members present may adjourn themeeting, from time to time without further notice.

E. BOARD DECISIONS (Collective Responsibility)- The act of themajority of the members present at a Church Board meeting, atwhich a quorum is present, shall be the act of the Church Board.In the absence of the Senior Pastor at any such meeting,decision/s taken at the meeting must have the written approvalof the Senior Pastor before such decision/s become/s final.

F. ALL OTHER MEETINGS - All meetings convened on the churchpremises or on the premises of the PGT subsidiaries shall have theapproval or consent of the Church Board through the SeniorPastor.

Section 5. TERMS of TENURE

A. The active term of membership shall be five (5) years. ThoseOffices set forth in the Articles of Association for the PGT H/QChurch shall comprise the Church Board, but not only. Allmembers of the Church Board shall be faithful in tithing; shall begenerous in free-will offering; shall be supportive of the vision ofthe Senior Pastor, the Church’s core mission and programmes.

B. All persons serving on the Church Board, excepting the SeniorPastor, shall serve a maximum of two (2) consecutive terms only.The second term of appointment shall however be subject to theterm-evaluation exercise (TEE) and ratification by the AGM.

C. All members of the Church Board shall be active members of thecongregation, serving, participating in, or supporting Churchactivities and the Pastorate.

D. VACANCIES/ADDITIONS/ELECTIONS - Any vacancy occurring onthe Church Board shall be filled by reason of increasing thenumber and by the appointment of such person by the SeniorPastor with the advice of, or on consultation with, or with theconsent of a majority of the members present at a meeting.

E. REMOVAL- The Senior Pastor shall, after consultations with theChurch Board, be allowed to remove member/s from the ChurchBoard before the end of a term for reasons of performance orthat the member/s is/are found to be not in compliance with theConstitution and By-Laws of the PGT H/Q Church or our Faith andDoctrines.

F. COMPENSATION - Members of the Church Board as such, withthe exception of the Senior Pastor, shall not receive a salary fortheir services on the Board but may be granted such pecuniaryallowances in accordance with the approved SCHEDULE OFALLOWANCES, ratified by the general assembly of themembership. The compensation packages of theFounder/Presiding Prelate and the Senior Pastor respectively,shall also take into consideration their services as Consultantsand/or Chairperson of the Church Board recognizing the otherfunctions of the Senior Pastor being CEO of the Organization. Suchremunerations shall be determined by the Board in accordancewith Section 4 (C) of these By- Laws. All other existing allowancespayable to senior members of the Clergy of the PGT shall remain

but shall be subject to regular reviews considering the prevailingexternal inflationary influences as well as the Church’sfinancial/economic standing.

Section 6. MANAGEMENT OF CHURCH PROPERTIES

A. It is the responsibility of the Church Board, by majority vote, toacquire, receive, administer and dispose or divest properties, onbehalf of the Pentecostal Gospel Temple Church in accordancewith the Articles of Association and Memorandum of Associationof incorporation, but shall be subject to the advice of the SeniorPastor who possesses veto powers in these matters.

B. Subject to the Laws of Jamaica, the Church Board shall beTrustees for all Church properties, inclusive of real properties andintangible properties.

C. The Trustees shall ensure that Deeds and Titles are in order andproperly documented or recorded as may be required by Law.

D. The Trustees shall protect the PGT H/Q Church from incurringirregular liabilities, from foreclosures ensuring that properties arehandled with care and are appropriately utilized.

E. The Trustees shall ensure that insurance coverage is maintainedon church properties, that the appropriate use of the churchproperties is observed and that law and order are upheld at alltimes.

F. Trustees shall ensure that a disaster preparedness and mitigationpolicy is in place.

G. Anything done purportedly on behalf of or in the name of the PGTH/Q Church without the Senior Pastor’s consent, or the ChurchBoard’s approval through an appropriately delegated authority,shall be considered out of order, voidable or illegal if found to becontrary to the statute laws of the land.

ARTICLE IV

OFFICERS OF THE CHURCHSection 1(a). Ministerial Officers. The officers of the organization shallbe Founder, Bishop, Senior Pastor, Pastor Designate, Presbyter,Pastoral Assistant/s, Members of the Church Board, Members of theJudicial/Disciplinary Committee, Members of the Council of Directors,Elder/s, Minister/s, Evangelist/s, Deacon/ness, Missionary/ies, Usher/s,All members of the Ministerial Body shall serve at the pleasure of theChurch Board, inclusive of their tenure of office.Section 1(b). Staff Officers. Church Office Administrator, FinancialDirector, Administrative Assistant/Secretarial, Church FacilitiesOverseer, the Church Office Secretary, Accounts Clerk and any otherstaff position that the Church Board may deem necessary to establishfor the efficient and effective functioning of the Church. All members ofstaff shall serve at the pleasure of the Church Board, inclusive of theirtenure of office.

Section 2. Founder. The founders, the late Pastor Wilbert O. Stewartand Bishop Carmen L. Stewart, are the pioneers of the saidOrganization. The surviving Founder has certain rights to the propertyof the PENTECOSTAL GOSPEL TEMPLE ORGANIZATION. The office of the

founder is indefinite and shall be executive for as long as health andmoral character prevail. The founder is recognized as the most seniorOfficer of the Organization and retains the right to subscribe to theacquisition of, or to oversee chattel, deeds, and mortgages of saidorganization, their respective names being regarded as churchproperties.

On the demise or incapacitation of the founder, the Board of thePentecostal Gospel Temple Church/ The Family of ChurchesOrganization and approved persons at the request of the family, willhandle the final transactions concerning the Founder’s interests andthe Organizational matters at hand.

The Church Board, Trustees, Elders, Directors of Ministries, and/orDeacons’ Ministry will determine and/or handle any or all needsregarding matters presented on behalf of the said founder.

Section 3. POWERS of OFFICERSA) FOUNDERS. The late Pastor Wilbert O. Stewart and his widow

Bishop Carmen L. Stewart, are the established founders of thesaid organization. Bishop Dr. the Hon. Carmen L Stewart O.J.,O.D., J.P., subject to Article IV section 2, above remains thePresiding Prelate for the Organization and has the generalsuperintendency for the Pentecostal Gospel Temple Family ofChurches. (The PGT Family of Churches Constitution refers).

B) SENIOR PASTOR. The Church finds its headship under the LordJesus Christ, in the Bishopric, through the Senior Pastor.

i. The Pastor shall preach the gospel, administer theordinances, and have charge of the spiritual welfare ofthe congregation and the services of public worship.

ii. The Pastor shall be the Chief Executive Officer of thesaid Organization.

iii. He/she shall have general management of the businessof the Church and general supervision of the otherofficers.

iv. He/she shall preside at all meetings of the ChurchBoard and see that all orders and resolutions of theBoard are carried into effect, subject, however, to theright of the Church Board to delegate to any otherofficer(s) of the Church any specific powers, other thanthose that may be conferred only upon the Pastor.

v. He/she shall execute in the name of the church alldeeds, bonds, mortgages, contracts and otherdocuments of the said site along with the ChurchBoard/Executive Council.

vi. He/she shall be an ex-officio member of all standingcommittees.

vii. As such, no final decision regarding major issues ormatters should be made without prior consultationwith the Pastor.

viii. These issues include, but are not limited to, theexpenditure and commitment of substantial amountsof church resources and the holding of elections by allauxiliaries.

ix. He/she shall have the authority to appoint andapprove any assistants that would be necessary toproperly carry out the work of the Lord.

x. No person shall be invited to speak, teach or ministerin the church without the preapproval of the Pastor.

xi. He/she shall be designated attorney-in-fact for theChurch by virtue of his/her office.

xii. It is the Pastor’s responsibility to visit and pray for thesick unless otherwise delegated.

xiii. The Pastor has primary responsibility for theadministration of discipline among the churchmembership unless otherwise delegated.

xiv. The tenure of the office of the Senior Pastor shall beindefinite and shall have the approval of the Bishopand the collective support of the Church Board.

C) PASTOR-DESIGNATE. The Pastor-Designate will oversee theoperation of the ministry and organization assigned to him/herby the Bishop or Senior Pastor. He/she will work in total accordwith the senior pastor’s vision at all times. This person’s term is:

i. An appointment to that office by the said senior pastorafter consultations with the Bishop and/or the GoverningBoard.

ii. Is not in effect immediately at the changing/demise ofthe incumbent senior pastor but subject to furtherprayerful consultations and consecration/installation.

The person(s) appointed as Pastor/s-Designate is/are in line fordirect succession to the office of pastor should it become vacant,

unless otherwise forfeited.

(D) PRESBYTER. The Presbyter is a Senior Elder whose ministry spans:i. Pastoral responsibilities, inclusive of oversight, direction,

discipline, order and pastoral care.ii. The ministry of the Word, inclusive of formal and informal

preaching, evangelism, apologetics, theological andprophetic interpretation, the teaching of Faith, and humanexperience.

iii. The ministry of Sacraments, inclusive of presiding at acts ofcelebration and devotion such as baptisms and otherordinances.

iv. Specific responsibilities of the Presbyter are: Church Orator,Historian, Church Ambassador (at large), Bible Class Teacher.

(E) PASTORAL ASSISTANT. A Pastoral Assistant works in conjunctionwith the Senior Pastor to ensure the overall ministry objective, policiesand plans are carried out effectively. He/she also will assist in carryingout pastoral duties at the request of, or in the planned or unplannedabsence of the Senior Pastor at the local church or while he/she istravelling overseas. The length of term for the office of PastoralAssistant is contingent on the duration of the particular ministerialportfolio assignment.

(F) ELDER – By convention in every civilization, authority has beenvested in those persons who by reason of age, experience and wisdomhave been thought best suited and qualified to lead or rule. There are

high expectations from the people within the congregation of thosewho are appointed to the Eldership of the Church and as such theymust have the confidence and respect of the membership in order toqualify for this office. It is abundantly clear throughout the Scripturesthat God places more emphasis on character and integrity rather thanon charisma. The qualification as an Elder covers the character, homelife, ministry and spiritual attributes of the elder. The word of God isvery clear regarding those who are chosen to lead His people. ACouncil of Elders shall prayerfully attend to and examine all doctrinalissues which arise and shall from time to time provide counsel andsound advice when called upon so to do.

Character Qualificationsi. Blameless (I Timothy 3:2; Titus 1:6) having unquestionable

integrity, irreproachable. The conduct of an elder must be anexample to the flock of God and free from the taint of scandaland accusation.

ii. Good behavior (I Timothy 3:2) modest, orderly, disciplinedand well-behaved.

iii. Vigilant (I Timothy 3:2) Wide awake, watchful and notcareless or carefree.

iv. Temperate (Titus 1:8) He must be able to keep himself undercontrol, disciplined. Able to govern oneself in all respects, inpassions, in spirit.

v. Sober (I Timothy 3:2; Titus 1:8) He must be a man ofdiscretion, sound mind and prudent.

x. Not a striker (I Timothy 3:3; Titus 1:7) He is not to bepugnacious, violent or combative.

xi. Not greedy of money (I Timothy 3:3; Titus 1:7) His motivationis not after money or financial gain. He is free from the loveof money.

xii. Not covetous (I Timothy 3:3) He is not controlled by unlawfuldesires, lust or greed. He should be spiritually-minded andnot motivated by the desire for temporal things.

xiii. Not self-willed (Titus 1:7) The Greek word implies a personwho is self-pleasing, dominated by self-interests andinconsiderate of others.

xiv. Not given to wine (I Timothy 3:3) not addicted to wine, notdrunkard, not a wine-bibber.

xv. Of good report (I Timothy 3:7) He should have an excellenttestimony and reputation with those outside of the church.This would include the non-Christian world.

xvi. A steward of God (Titus 1:7) the elder is a manager of God’shousehold, a servant employed to manage the affairs of God.

xvii. Must desire the office (I Timothy 3:1) He is to be zealous toqualify for the office and recognize the responsibility thereof.

xix. An example to the flock (I Peter 5:3) His lifestyle should be apattern for all to copy.

Domestic Qualifications. The following has to do with the homeof an elder.

i. Husband of one wife (I Timothy 3:2; Titus 1:6) He must be afaithful husband living in a pure marriage, withoutadulterous relationships. His household should be inorder.

ii. Hospitable (I Timothy 3:2; Titus 1:8) He must be a lover ofstrangers, fond of guests and kind to people who hereceives into his house.

iii. Able to rule his own house well (I Timothy 3:4; Titus 1:6) Hemust be able to manage the affairs of his household. Hiswife and children must be in submission to his authority.

Ministry Qualificationsi. Able to teach (I Timothy 3:2) He must be a skilled teacher,

able to expound, proclaim and communicate in such a waythat others will learn.

ii. Holding fast the faithful word (Titus 1:9) He must not beuncertain regarding sound doctrine but steadfast in theWord of God.

(G) MINISTER – The minister is an ordained office of the saidchurch. These persons, too, must be:

i. water baptized and baptized in the Holy Spirit (Acts 1:8)ii. Not a novice or young convert (I Timothy 3:6). He must not

be a new believer because his lack of wisdom andunderstanding in spiritual things will result in pride.

v. They may be required to assist with funerals, blessing ofinfants, weddings and any other church function at thecharge of the pastor.

H) MINISTER OF MUSIC –This Officer must know music and have aspiritual ear to know the sound of the house. This person mustwork closely with the vision of the pastor and know andunderstand the power of warfare in music. This person will beresponsible for:

i. all persons in the music and arts ministryii. the scheduling of all said choirs and musician/s for the

purpose of rehearsals.iii. providing music of a musician for all music affairs for the

said ministry.iv. accompanying the said pastor for outside events.v. coordinating choir festivals, choir training, musician training,

and other musical events to benefit and enhance thegrowth and development of the said church.

I) EVANGELIST- The evangelist is an ordained officer of the church.His/Her primary role is to preach the gospel of Jesus Christ:

i. Born again, water baptized, and baptized in the Holy Spirit(Acts 1:8)

v. They will be required to assist with street meeting/services,tent revivals, city crusades any other church function for thecause of souls at the charge of the pastor or said designate.

vi. At the given time by the pastor, the evangelist will be givenspace to minister the word of God to the congregation or atsuch place assigned for crusades or evangelistic campaigns.

J) DEACON(NESS). The Pastor may select and appoint deaconsfrom the membership of the congregation of the Church whodemonstrate that their lives conform to the Scripturalqualifications thereof, (I Tim. 3:2-7; Titus 1:6-9; I Peter 5:2-3). TheDeacons have a responsibility to be accessible to the Pastor.Their duties subject to the review of the Church Board from timeto time shall include:

i. Church building/sanctuary maintenance.ii. Visiting the sick and delinquent members along with the

assigned ministerial member.iii. Relieving the Pastor of problems which might divert his/her

attention from his/her single-most responsibility tospiritually feed and shepherd the flock of God.

iv.To assist the ministerial staff with the temporal affairs of thecongregation and to do everything possible to promote thespiritual and temporal welfare of the ministry.

v.To assist with the preparation and serving of Holy Communionand water for baptism.

vi.A deacon must be in good standing at all times and faithful intithing and giving to the said organization being in fullsupport of the Pastor’s vision.

vii.The deacon’s qualifications are the same as the above Elder’squalification.

K) MISSIONARY – The missionary is an officer of the church. Theirprimary role is to go into the hedges and highways in two’s orother groups, compelling lost souls to the Lord Jesus Christ to bedelivered, saved and set free. These persons to must be:i. Born again, water baptized, and baptized in the Holy Spirit

(Acts 1:8)ii. Not a novice or young convert (I Timothy 3:6) He must not be

a new believer because his lack of wisdom and understandingin spiritual things will result in pride.

iii. Holy (Titus 1:8) the connotation concerning this word is thatthe missionary has been cleansed from evil conduct.

iv. This officer will work at the direct charge of the pastor ordesignated person.

v. They may be required to assist with the conduct of streetmeeting/services, tent revivals, city crusades any other churchfunction for the cause of souls at the charge of the pastor orsaid designate.

L) CHURCH OFFICE ADMINISTRATOR. The Church OfficeAdministrator is responsible for providing professionaladministrative support for the Pastoral staff and Officers of theChurch, coordinating tasks with the church secretary/receptionist,accounting staff and the Church Facilities Overseer.This person shall be:

M) ADMINISTRATIVE ASSISTANT (SECRETARIAL). The administrativeassistant is the secretary to the incumbent pastor. This officerwill attend all sessions of the:

a. Church Board held at the office of the church and act as clerk

P) FINANCIAL DIRECTOR - The financial director (may/not be apaid staff) will function in the direct charge of the pastor. Thisperson shall also generate, or cause to be generated andmaintained, financial records electronically or otherwise and giveoversight to all financial matters relating to the church. Thisperson shall also act as an advisor for investments andacquisitions of assets tangible or intangible.

ARTICLE VAPPOINTMENT OF OFFICERS

Section 1. Appointment Terms of Office. The officers of the Churchshall be appointed by the Pastor in accordance with the provisions ofthe By-Laws. Subject to Article IV Section 1 Sub-Sections (a) and (b),each officer shall hold office until his/her successor has been dulyrecommended, nominated and ratified at a General Meeting of themembership and must be:

I. A faithful tither and giver of offering.II. Be baptized in Jesus name.

III. Be filled with the Holy Ghost.IV. Living the attributes of Christians.V. In support of the vision of the Senior Pastor.

VI. Shall be accountable to the senior pastor.

Section 2. Removal. Any officer, with the exception of the Pastor, maybe removed whenever, in his/her judgment, the best interests of theChurch would be served thereby, but such removal shall be withoutprejudice and shall be in accordance with a review by the Church Boardon the recommendation of the Judicial/Disciplinary Committee and theobservance of Article III Section 5 (D) and (E).

Section 3. Vacancies. A vacancy in any office, except that of Pastor,arising because of death, resignation, removal, disqualification, orotherwise, may be filled in the interim on the authority of the Pastor forthe unexpired portion of the term, after which a new member will be

appointed in accordance with the provisions of the By-Laws.

Section 4. Death of a Serving Officer. In the event of the death of aserving Officer, an extra-ordinary meeting of the Church Board shall beconvened to determine the final plans/arrangements and Order ofService to be adopted by the church in honouring the memory of suchOfficer. The input of loved ones and relatives must be compatible withthe Board’s position in the conduct of the final rites.

ARTICLE VI

MEMBERS

Section 1(a). Organizational Membership. The Pentecostal GospelTemple Organization is made up of a Headquarters Office, aHeadquarters Church and Member Churches birthed of outreachefforts, as well as other Churches becoming affiliated on suchpromulgations made during Annual General Conventions by thePresiding Prelate and Bishop of the Organization, consequent onratification by the Board of Governance. These respective MemberChurches are made up of members who, having demonstrablyembraced the Pentecostal Apostolic Faith and Doctrine, haveproceeded to receive Right Hand of Fellowship within the respectiveMember Church.

Section 1(b). Individual Membership at Pentecostal Gospel Temple111, Windward Road, Kingston 2. A person who has received the RightHand of Fellowship, having demonstrably embraced the Pentecostal

Apostolic Faith and Doctrine is deemed a member of the congregationof the Pentecostal Gospel Temple.

Section 1(c). Founding Members Any person who became a memberof Pentecostal Gospel Temple within the first year of the start-up ofthe church having transferred their membership from their previousassembly of like, precious faith, who have served honourably andcontinuously contributed to the development of the work at thePentecostal Gospel Temple by cash or kind, is deemed a foundingmember of the Pentecostal Gospel Temple.

Section 2. New members of the Congregation. The Pastorate, otherrepresentative of the Church leadership and the Congregation shallreceive any believer in the Faith who has demonstrated so to be or haspublicly declared same, and has explicitly expressed the desire to joinhimself or herself as a member. Every new member is required tosatisfactorily complete the new members counselling session in orderto become eligible to receive the Right Hand of Fellowship.

Section 3. Transfer of Membership. With respect to the transfer ofmembership to PGT H/Q Church, every person being a believer of like,precious Faith who is desirous of joining himself or herself as a memberof the Pentecostal Gospel Temple is required to tender a letter ofintroduction from the leadership of his/her former place of worship. Inspecial circumstances with which the Church Board shall have beenapprised, all such applications/requests may be granted after carefulinvestigation by the Board in which the said application/request hasbeen reviewed. In such cases however formal letters of advice shouldbe issued to concerned parties.

Section 4. Termination of Membership. The Church Board or adelegated authority or council, in the execution of due process, by anaffirmative vote of at least two-thirds (2/3) of all the members of thatbody may suspend or expel any member of the Congregation, for causeor reasons found to be egregious and/or intentional breach or breacheswhich bring the Faith or the Organization into disrepute.

Section 5. Resignation. Any member of the Congregation of PGT mayresign their membership by tendering a written resignation, giving aneffective date, to the Senior Pastor and or after an exit interview withthe Senior Pastor in person or via electronic communication. In the caseof the latter, notes from the communication should be submitted to thenext Board Meeting for consideration.

Section 6. Reinstatement. On a written request signed by a formermember of the Congregation of PGT and filed with the Senior Pastorthe Church Board may reinstate such former member of theCongregation to the membership of PGT, on such terms as the Pastordeems appropriate. Galatians 6:1 Brethren if a man be overtaken in afault, ye which are spiritual, restore such a one in the spirit of meekness;considering thyself, lest thou also be tempted. The procedure adoptedfor such reinstatement shall conform to the usual Right Hand ofFellowship exercise.

Section 7. Assembly for Religious Services. The members of theCongregation of PGT shall, in keeping with Biblical instructions,assemble themselves together for regular religious Services. In additionto the Church calendar fixtures the Senior Pastor after consultationwith the Church Board shall establish the time and times for suchregular religious services and auxiliary services for the membership.

Section 8. The death of a Member. In the event of the death of amember of the Pentecostal Gospel Temple the provisions of theProcedural Manual approved by the Church Board must be observed bythe relatives and loved ones of the deceased in deciding the final plans.Such final plans, for the most parts, shall be determined by the relativesand loved ones of the deceased and shall be compatible with or incompliance with the pertaining Church regulations.

ARTICLE VII

CODE OF DISCIPLINE

Section 1. Cooperative Action. The members of the congregationshall give consent to its forms of government, together with the pastconventions, and to the policy of fundamental unity and agreement,alike in doctrine, conduct and action, and shall conform to theScriptural injunctions that there is no division in the body. Themembership shall be subject to shepherding care and responsibility ofthe Pastorate as the Word of God plainly teaches that the principles ofChristian fellowship may be kept inviolate and be perpetuated,recognizing the fundamental importance of oneness.

Section 2. Attitude toward Strife. In so far as no Christian institutioncan effectively comply with the plain teaching of Scripture unless unityand harmony predominate within its circle, no member of thecongregation may use means to incite or engender division or strife,but shall work in harmony with the Church Board, the Church Officersand the congregation in general as practiced by the early church (Acts

2:42). If there is cause for dissatisfaction, it shall be called to theattention of the Pastor through the appropriate chain of command. Atthe Pastor’s discretion and/or in consultation with the Church Board,necessary adjustments shall be made (Acts 6:1-7; Matt. 18:15-18).

Section 3. Financial Support. All members of the congregation areexpected to support the Pastor and leadership, the churchprogrammes/activities, and the identified needs of the Church inproportion as the Lord has prospered them (Mal. 3:10; I Cor. 16:1, 2; IICor. 9:6-9), thereby acknowledging that the continuation of theinstitution to be of full service and being in good standing will rely alsoon such support.

Section 4. Disciplinary Action. The responsibility of administeringdiscipline in the Church is that of the Pastor through the Church Boardand/or other delegated authority being the Judicial Board/DisciplinaryCommittee. The grounds, for exercising discipline such as suspensionof or expulsion or disqualification from the membership of thecongregation shall be examined prayerfully by The JudicialBoard/Disciplinary Committee observing, due process, Christian loveand compassion. Reports on the general administration of disciplineshall be submitted periodically, inclusive within the usual requisiteformat, to the office of the Bishop.

Section 5. Protracted Absence of Member. Any member of thecongregation, who shall, without reasonable cause, willfully absenthimself/herself from the regular services for a period of three (3)months without consultations or approval from the Church Board, shall

be referred to the delegated authority for investigation and/or forfurther action. Unexplained and willful absence from regular assemblyof the saints for upwards of six (6) months shall be deemedcontemptuous of the instructions of the Holy Bible and consequentlymay be interpreted as an abandonment of the membership by themember. In the case of a Ministerial Officer he/she shall vacate his/heroffice by virtue of such delinquency.

Section 6. Disqualification of Member. Un-repented unscripturalconduct, willful failure to maintain membership requirements, orpublicly declared or demonstrated doctrinal departure from the tenetsof faith, shall be considered sufficient grounds upon which any personmay be disqualified as a member of the Pentecostal Gospel Temple.Such discipline shall be prayerfully administered according to Scripturesby the Pastor in consultation with the Church Board and after arecommendation by the Judicial/ Disciplinary Committee. (Matt. 18:15-17; Rom. 16:17; I Cor. 5:9-13; II Thess. 3:6).

Section 7. Counselling an Errant Member. The Pastor shall beempowered to place on the follow-up list for counselling those who areat the point of disqualifying themselves or have disqualified themselvesas members, by their own commission or omission, and found to haveconducted themselves contrary to the Doctrine of Faith and ordelinquent contrary to the articles set out in these By-laws.

Section 8. Restoration of a Member. The Pastor shall have theauthority to restore to membership of the congregation, those who, inthe opinion of himself/herself or in the mind of the delegated authority,

were not at fault and/or those who, although were at fault, have,through open repentance, re-qualified themselves for acceptance inthe membership in the congregation. The Pastor shall exercise his/herduty to interview and encourage a proper attitude on the part of thosewho have been placed on the follow-up list. On the basis of theappropriate reports from the delegated authority the Pastor will makea final decision regarding the matter of reinstatement.

Section 9. Temporary Absence of an Officer. All officers are required tostate their absence from any service that they were required to attend,prior to that service if possible, observing the chain of command inconveying such information.

ARTICLE VIIIINDEMNIFICATION

Section 1. General Indemnification. Except as provided in Section 6 ofthis Article, the organization shall indemnify a covered person if he ismade, or is threatened to be made, a party to an action whether or notthe action is brought by or on behalf of the organization (i.e., aderivative action), or otherwise (i.e., a direct action)

Section 2. Covered Person. A covered person shall include any personwho at any time serves or has served as a member of the Church Boardor officer of the organization, or in such capacity at the request of theorganization for any other foreign or domestic organization,partnership, joint venture, trust, employee benefit plan, or otherenterprise.

Section 3. Covered Expenses. A covered person shall be indemnifiedagainst

(a) Reasonable expenses, including without limitation, all attorney’sfees actually and necessarily incurred by him in connection withany such action,

(b) All reasonable payments made by him in satisfaction of anyjudgment, money decree, fine (including any excise tax assessedwith respect to an employee benefit plan), penalty, orsettlement for which he may have become liable in such action,and

(c) All reasonable expenses incurred in enforcing theindemnification rights provided herein.

Section 4. Legal Action. A legal action shall be defined as any action toinclude any threatened, pending, or civil claim, criminal allegations,process or charges, administrative contests, investigative suits orproceedings, any appeals there-from, and any inquiry or investigationthat could lead to such suits or proceedings in pursuit of financialconsiderations and/or damages.

Section 5. Advance Payment of Expenses. The organization in advanceof final disposition of the action may pay covered expenses ifauthorized pursuant to Sections 4 and 7. Any advance payment shall bemade only upon receipt of an undertaking by the covered person torepay such amount unless it shall ultimately be determined that thecovered person is entitled to be indemnified by the organization againstsuch expense.

Section 6. Duty/Standard of Care. The organization shall not indemnifya covered person for covered expenses if his acts or omissions were, atthe time taken, known or believed by him to be clearly in conflict withthe best interest of the organization, and/or if by them he received animproper personal benefit.

Section 7. Evaluation of Indemnification. The determination toindemnify a covered person, and the amount and terms of theindemnification shall be made

a) By the Church Board by majority vote of a quorum consisting ofmembers not at the time parties to the action.

b) If a quorum cannot be obtained under subdivision (a) of thisSection, by majority vote of a Committee duly designated by theChurch Board (in which designation members who are parties mayparticipate), consisting solely of two or more members not at thetime parties to the action;

c) If a quorum of the Church Board cannot be obtained undersubdivision (a) and a committee cannot be designated undersubdivision (b), then by special legal counsel selected by a majorityvote of the full Church Board (in which selected members who areparties may participate).

Evaluation as to reasonableness of expenses shall be made in the samemanner as the determination that indemnification is permissible,except that if the determination is made by special legal counsel,authorization of indemnification and evaluation as to reasonableness ofexpenses shall be made by those entitled under subdivision (c) above to

select counsel.

Section 8. Reliance on Indemnification. A covered person shall bedeemed to be serving the organization in reliance upon, and asconsideration for the rights provided for herein. Any repeal ormodification of these indemnification provisions shall not affect anyrights or obligations existing at the time of such repeal or modification.

Section 9. Non-exclusivity. The rights provided for herein shall not beexclusive of any other to which the covered person may be entitled,including, without limitation, statutory rights to indemnification andbenefits under policies of insurance.

ARTICLE IXCONTRACTS, LOANS, CHEQUES, DEPOSITS AND FUNDS

Section 1. Contracts. The Pastor, after consultation with the ChurchBoard, may authorize any officer or officers, agent or agents of theorganization, to enter into any contract or execute and deliver anyinstrument on behalf of the organization, and such authority may begeneral or confined to specific instances as deemed necessary.

Section 2. Loans. No loans shall be contracted on behalf of theorganization and no evidence of indebtedness shall be issued in itsname unless authorized by a resolution of the Church Board. Suchauthority may be general or confined to specific instances.

Section 3. Cheques and Drafts or Orders. All cheques, drafts or otherorders for the payment of money issued in the name of theorganization shall be signed by such officer or officers of theorganization as designated by the Pastor and Finance Department.

Section 4. Deposits. All funds of the organization not otherwiseemployed shall be deposited forthwith to the credit of the organizationin such depositories, as the Finance Department/Trustees shall direct.No monies are to be left in the possession of any person overnight orlonger than a three (3) hour span. Monies are to be moved from thesafe directly to the designated depository. Funds raised from eventsand activities must be turned in by the specified time, or individuals willbe responsible for funds due to the organization.

Section 5. Gifts. The Finance Department in accordance with theStatutes of the land may accept, on behalf of the Church, anycontribution, gift, bequest or devise to be utilized for any worthy causeor purpose of the Church (Mal. 3: 10; Luke 6:38; I Cor. 16: 1; and II Cor.9:6-8).

ARTICLE XBOOKS AND RECORDS

The organization shall cause to be produced, secured, and maintainedadequate and correct books and records, electronically or in printreports, statements of accounts, written minutes of the proceedings ofits members and any meetings from that committee, and a record ofeach member’s name and address electronically or otherwise. Themembership shall be provided financial information as reported on theannual disbursements, electronically or in print at the Annual GeneralMeeting. The organization’s books and records of accounts shall beaudited annually. At all times the confidentiality of all documents and inparticular financial documents must be observed by all Officers andmembers in good standing, who have been granted the privilege toexamine same.

No books, records or reports shall be removed from the organization’soffices without the authority, approval or permission of the Pastor orhis/her designate. All books, records, computer data generated in thename, or pertinent to Pentecostal Gospel Temple are the property ofthe organization.

ARTICLE XIAMENDMENT to BY-LAWS

The Articles of this Constitution and By-Laws may be amended,repealed or altered by the Church Board as deemed appropriate andnecessary. At least fourteen (14) days Notice must be given both oral

and in print, of an Extra–Ordinary Meeting called for the purpose ofaltering, amending or repealing the Church’s Constitution and By-Laws.Each member of the Church Board shall be given Notice by personalmailing, electronically or otherwise, to the member or by posting suchNotice in prominent places on the church premises.

ARTICLE XIIDISSOLUTION OF PENTECOSTAL GOSPEL TEMPLE ORGANIZATION

Upon dissolution of the organization, the Bishop/Board ofGovernance shall, after paying or making provision for the payment ofall the liabilities of the organization, dispose of all remaining assets ofthe organization exclusively for the purposes of the organization insuch manner or to such organization or organizations organized andoperated exclusively for charitable, educational, religious, or scientificpurposes as shall at the time qualify as an exempt organization ororganizations under the appropriate Tax Laws of Jamaica. Any suchassets not so disposed of shall be disposed of by the Superior Court ofthe country in which the principal office of the organization islocated, exclusively for such purposes or to such organization ororganizations, as the said court shall determine and such that areorganized and operated exclusively for such purposes. Upon theenactment and the incorporation of the Pentecostal Gospel TempleOrganization into the Laws of Jamaica, this Article shall become ofnone effect.

ARTICLE XIIIACTIVITIES NOT PERMITTED BY THE ORGANIZATION

No part of the net earnings of the organization shall inure to thebenefit of, or be distributed to, its members, officers or other privatepersons, provided however, that the organization shall be authorizedand empowered to pay reasonable compensation for servicesrendered and to make payments and distributions in furtherance ofthe objects and purposes set forth in ARTICLE III hereof. Nosubstantial part of the activities of the organization shall be thecarrying on of political propaganda otherwise attempting to influencelegislation, and the organization shall not participate in or intervene(including the publication or distribution of statements) in anypolitical campaign on behalf of any candidate for public office.Notwithstanding any other provision of these BY-LAWS, theorganization shall not carry on any activities not permitted to becarried on contrary to the ARTICLES and MEMORANDUM ofASSOCIATION of the said ORGANIZATION.

ARTICLE XIVGENERAL PROVISIONS

Section 1. Organization Seal. The seal of the organization shall bear thefollowing inscription and an impression of the same shall be affixed tothese By-Laws: PENTECOSTAL GOSPEL TEMPLE LIMITED, Inc.

Section 2. Waiver of Notice, Whenever any notice is required to be

given to any member of the Church Board in his/her capacity as such,under the By-Laws of this organization, a waiver thereof in writingsigned by the individual entitled to such notice, whether before or afterthe time stated therein, shall be equivalent to the giving of such notice.

Section 3. Inconsistencies. In the event that any of the provisions ofthese By-Laws shall be inconsistent with the Articles of Association ofthe Pentecostal Gospel Temple Organization, the latter shall govern.

Section 4. Special Licence. In such instances where the circumstancesof official appointments/ordinations, existing or otherwise, are found tobe in contradiction of any section of these By-Laws, the PresidingBishop may, on receipt of a signed resolution from the Church Board,grant at his/her own discretion, special licence pertaining to thematter/s, thus preventing any public embarrassment or legal liabilitiesincurring against the Church.

Section 5. Non-Retroactive Effect. The provisions of these By-Laws, onthe date of enactment, shall not have any retroactive effect on theexisting Administration and shall not be applicable retroactively.

Section 6. Fiscal Year. The organization shall operate on a 12 monthcycle, being, January 1, to December 31, calendar year basis.

ARTICLE XVPROMULGATION of the CONSTITUTION and BY-LAWS.
