NOTICE TO THE SHAREHOLDERS REGARDING

19TH ANNUAL GENERAL MEETING

The 18th (Nineteenth) Annual General Meeting (‘AGM’) of the

Company will be held through Video Conferencing (“YVC")

/Other Audio Visual Means (‘OAVM") on Tuesday, 29th

September, 2020 at 03.00 P.M. (IST), in compliance with all

the provisions of the Companies Act, 2013 and Rules made

thereunder and SEBI (Listing Obligations and Disciosure

Requirements) Regulations, 2015 read with General Circular

No. 14/2020 dated 8th April, 2020, General Circular No. 17/2020

dated 13th April, 2020 and General Circular No. 20/2020 dated

5th May, 2020 issued by the Ministry of Corporate Affairs (MCA

Circular/s’) and Circular No, SEBI/HO/CFD/CMD1/CIR/P/2020/79

dated 12th May, 2020 issued by Securities and Exchange

Board of India (‘SEBI circular’) {collectively referred to as

‘relevant circulars’) to transact the business(es) set out in the

notice calling AGM . Members will be able to attend the meeting

through VC or OAVM. Members participating through VC or

OAVM shall be reckoned for the purpose of quorum under

Saction 103 of the Companies Act, 2013.

In compliance with the relevant circulars, the Notice of the AGM and the Annual Report for the FY 2019-20 will be sent

electronically to all the members of the Company whose email

addresses are registered with the Company/Depository

Participants. The aforesaid documents will also be available

on the Company’s website at www.manaksiasteels.com and

on the website of stock exchanges where the shares of the

Company are listed i.e. BSE Limited and National Stock

Exchange of India Limited at www.bseindia.com and

www.nseindia.com respectively. Members can attend and

participate in the AGM through VC/OAVM facility only, The

instructions for joining the AGM are provided in the Notice of

' AGM, Further, Members who do not register their email

addresses with the ATA/ Depository Participants will not be

able to participate in the meeting,

Manner of registering/updating email addresses:

Members hoiding shares in physical form, who have not

registered/updated their email id with the Company, are

requested to register/update the same by writing to Link Intime India Pvt. Lid. (RTA) at kolkata@linkintime.co.in

Members holding shares in dematerialised form, who have not

registered/updated their email id with Depository Participants,

are requested to register/update the same with the Depository

Participants with whom they are maintaining their demat

accounts.

Manner of casting vote(s) through e-voting:

The Company is providing remote e-voting facility to ail its

Members to cast their votes on all resolutions set out in the

Notice of the AGM. Additionally, the Company is providing the

facility of voting through e-voting system during the AGM,

Detailed procedure for remote e-voting/e-voting is provided in

the Notice of AGM.

Manner of registering mandate for receiving Dividend:

Members are requested to register /update their complete

bank details:

(a) with their Depository Participant(s) with whom they maintain

their demat accounts, if shares are held in dematerialized

mode by submitting the requisite documents.

(b)with the Company / RTA by emailing at

infoms|@manaksia.com / kolkata@linkintime.co.in if shares

are in physical mode, by submitting (}) scan copy of the

signed request letter which shall contain members’ name,

folio number, bank details (Bank account number), Bank

In the event the Company is unable to pay the dividend to any

shareholder by electronic mode due to non-registration of bank

account of the shareholder, the Company shall dispatch the

dividend warrant/cheque to such shareholders.

the AGM, manner of casting vote through remote e-voting or through e-voting during the AGM.
