    1.0 INTRODUCTION

    1.1 Mutual Commitment Statement

    Kintari USA (hereafter as Kintari) recognizes that in order to develop a long-term andmutuall re!arding relationship !ith its "usiness #!ners ($istri%utors) and &ustomers'Kintari and the $istri%utors must acno!ledge and respect the true nature of the relationshipand support the &ustomers.

    A. In the spirit of mutual respect and understanding' Kintari is committed to

    I. *rovide prompt' professional and courteous service and communications to all of its$istri%utors and customers+

    II. *rovide the highest level of ,ualit products' at fair and reasona%le prices+

    III. change or refund the purchase price of an product' service or mem%ership asprovided in ourReturn Policy+

As such' a$istri%utor is discouraged from providing cross-line training to a $istri%utor orcustomer in a different organization !ithout first o%taining consent of the $istri%utor6sor &ustomer6s upline leader+

    1. Support' protect' and defend the integrit of the Kintari "usiness#pportunit+

    1I. Accuratel complete and su%mit the $istri%utor Agreement and an re,uestedsupporting documentation in a timel manner.

    1.2 Kintari Policie an! Com"enation Plan Incor"orate! into t#e

    Ditri$utor A%reement

    A. 7hroughout these *olicies' !hen the term Agreement is used' it collectivel refers to the

    Kintari Agreement' these *olicies and *rocedures' and the Kintari &ompensation *lan.

    ". It is the responsi%ilit of the Sponsoring $istri%utor to provide the most current version of these*olicies and *rocedures (availa%le on the Kintari !e%site) and the Kintari &ompensation *lanto each applicant prior to his' her and8or its eecution of a $istri%utor Agreement.

    1.& Pur"oe o' Policie

    A. Kintari is a direct sales compan that marets products and services through a net!or of%usiness o!ners. 7o clearl define the relationship that eists %et!een $istri%utors and Kintari'and to eplicitl set a standard for accepta%le %usiness conduct' Kintari has esta%lished these

    *olicies and *rocedures.

    ". Kintari $istri%utors are re,uired to compl !ith+ (i) all of the 7erms and &onditions set forth inthe $istri%utor Agreement' !hich Kintari ma amend from time to time in its sole discretion+(ii) all 9ederal' State' *rovincial' 7erritorial' and8or local la!s governing his' her and8or itsKintari %usiness+ and (iii) these *olicies and *rocedures.

Kintari $istri%utors must revie! the information in these *olicies and *rocedures carefull.Should a $istri%utor have an ,uestions regarding a polic or rule' the $istri%utor isencouraged to see an ans!er from their Sponsor or an other upline $istri%utor. If furtherclarification is needed the $istri%utor ma contact Kintari &ustomer Service.

    1.( C#an%e) Amen!ment) an! Mo!i'ication

    A. "ecause 9ederal' State' *rovincial and local la!s' as !ell as the %usiness environment'periodicall change' Kintari reserves the right to amend the Agreement and the prices in itsKintari *roduct *rice 2ist in its sole and a%solute discretion. 4otification of amendments shallappear in #fficial Kintari 5aterials. This provision does NOT apply to the arbitration clausefound in Section 13, which can only be modified via mutual consent.

    ". An such amendment' change' or modification shall %e effective immediatel upon notice %one of the follo!ing methods

    I. *osting on the official Kintari !e%site+

    II. lectronic mail (e-mail)+ or

    III. In !riting through the Kintari ne!sletters or other Kintari communication channels.

    1.* Dela+

    Kintari shall not %e responsi%le for delas or failures in performance of its o%ligations !hen suchfailure is due to circumstances %eond its reasona%le control. 7his includes' !ithout limitation' stries'

    la%or difficulties' transportation difficulties' riot' !ar' fire' and8or !eather' curtailment of a source ofsuppl' or government decrees or orders.

    1., E''ecti-e Date

    7hese *olicies and *rocedures shall %ecome effective as of Septem%er 3st :;3< and' at such time' shallautomaticall supersede an prior *olicies and *rocedures (the old *olicies and *rocedures)' and' onthat date' the old *olicies and *rocedures shall cease to have an force or effect.

    2.0 ASIC PRINCIPLES

    A. 7o %ecome a $istri%utor' an applicant must compl !ith the follo!ing re,uirements

    $istri%utor Agreement. Kintari reserves the right to !ithhold commission paments from an$istri%utor !ho fails to provide such information or !ho provides false information.

    ". Upon enrollment' Kintari !ill provide a Kintari Identification 4um%er to the $istri%utor. 7his

    num%er !ill %e used to place orders' structure organizations' and trac commissions and%onuses.

    2.* Rene/al an! E"iration o' t#e Ditri$utor A%reement

    A. If the $istri%utor allo!s his or her $istri%utor Agreement to epire due to nonpament' the$istri%utor !ill lose an and all rights to his' her or its do!nline organization unless the$istri%utor re-activates !ithin ; das follo!ing the epiration of the Agreement.

    ". If the former $istri%utor re-activates !ithin the ;-da time limit' the $istri%utor !ill resumethe ran and position held immediatel prior to the epiration of the $istri%utor Agreement.

    ?o!ever' such $istri%utor6s paid as level !ill not %e restored unless he' she and8or an entit,ualifies at that paout level in the ne! month. 7he $istri%utor is not eligi%le to receivecommissions for the time period that the $istri%utor6s $istri%utorship !as epired.

    &. An $istri%utor !ho !as terminated or !hose Agreement has epired and lapsed the ;-dagrace period is not eligi%le to re-appl for a Kintari %usiness for 3: months follo!ing theepiration of the $istri%utor Agreement.

    $. 7he do!nline of the epired $istri%utor !ill roll up to the immediate' active upline Sponsor.

    2., uine Entitie

    A. A corporation' partnership' 22&' or trust (collectivel referred to as a "usiness ntit) maappl to %e a Kintari $istri%utor. 7his $istri%utor %usiness and position !ill remain temporaryuntil the proper documents are su%mitted. 7he "usiness ntit must su%mit one of thefollo!ing documents &ertificate of Incorporation' Articles of #rganization' *artnershipAgreement or appropriate 7rust documents. Kintari must receive these documents !ithin 3; das for processing after the notice ofaddress change has %een received % Kintari

    &. A $istri%utor or customer ma %e assessed a C:; fee for returned shipments due to an incorrect

    shipping address.

    &.2 Trainin% an! Lea!er#i"

    A. An Kintari $istri%utor !ho Sponsors another $istri%utor into Kintari must perform anauthentic assistance and training function to ensure his or her do!nline is properl operatinghis or her Kintari %usiness. Sponsoring $istri%utors should have ongoing contact andcommunication !ith the $istri%utors in their do!nline organizations. amples ofcommunication ma include' %ut are not limited to' ne!sletters' !ritten correspondence'telephone' contact' team calls' voice-mail' e-mail' personal meetings' accompaniment ofdo!nline $istri%utors to Kintari meetings' training sessions and an other related functions.

    ". A Sponsoring Kintari $istri%utor should monitor the $istri%utors in his or her do!nlineorganizations to ensure that do!nline $istri%utors do not mae improper product or %usinessclaims' or engage in an illegal or inappropriate conduct. Upon re,uest' such $istri%utor should%e a%le to provide documented evidence to Kintari of his or her ongoing fulfillment of theresponsi%ilities of a Sponsor.

    &. Upline $istri%utors are encouraged to motivate and train ne! $istri%utors a%out Kintari6sproducts and services' effective sales techni,ues' the Kintari &ompensation *lan andcompliance !ith compan *olicies and *rocedures.

    $. 5areting product is a re,uired activit in Kintari and must %e emphasized in all recruitingpresentations.

    9. @e emphasize and encourage all $istri%utors to sell Kintari6s products and services to&ustomers.

    D. Use of Sales Aids. 7o promote %oth the products and the opportunit Kintari offers' $istri%utorsmust use the sales aids and support materials produced % Kintari If Kintari $istri%utorsdevelop their o!n sales aids and promotional materials' !hich includes Internet advertising'not!ithstanding $istri%utors6 good intentions' the ma unintentionall violate an num%er ofstatutes or regulations affecting the Kintari %usiness. 7hese violations' although the ma %e

    relativel fe! in num%er' could =eopardize the Kintari opportunit for all $istri%utors.Accordingl' $istri%utors must su%mit all !ritten sales aids' promotional materials'advertisements' !e%sites and other literature to the &ompan for &ompan6s approval prior touse. Unless the $istri%utor receives specific !ritten approval to use the material' the re,uestshall %e deemed denied. All $istri%utors shall safeguard and promote the good reputation ofKintari and its products. 7he mareting and promotion of Kintari' the Kintari opportunit' the&ompensation *lan' and Kintari products and services shall %e consistent !ith the pu%lic

    interest' and must avoid all discourteous' deceptive' misleading' unethical or immoral conductor practices.

    &.& Contructi-e Criticim3 Et#ic

    A. Kintari desires to provide its independent $istri%utors !ith the %est products and services and&ompensation *lan in the industr. Accordingl' Kintari values constructive criticism andencourages the su%mission of !ritten comments addressed to Kintari &ompliance $epartment.

    ". 4egative and disparaging comments a%out Kintari' its products or &ompensation *lan' %$istri%utors made to Kintari' in the 9ield or at Kintari meetings or events' or disruptive%ehavior at Kintari meetings or events' serve no purpose other than to dampen the enthusiasmof other Kintari $istri%utors. Kintari $istri%utors must not %elittle Kintari' other Kintari$istri%utors' Kintari products or services' the &ompensation *lan' or Kintari directors' officers'or emploees' product suppliers or agents. Such conduct represents a material %reach of these

    *olicies and *rocedures and ma %e su%=ect to sanctions as deemed appropriate % Kintari

    C. Kintari en!ore t#e 'ollo/in% co!e o' et#ic7

    I. A Kintari $istri%utor must sho! fairness' tolerance' and respect to all people associated!ith Kintari' regardless of race' gender' social class or religion' there% fostering apositive atmosphere of team!or' good morale and communit spirit.

    II. A $istri%utor shall strive to resolve %usiness issues' including situations !ith upline anddo!nline $istri%utors' % emphasizing tact' sensitivit' good !ill and taing care not tocreate additional pro%lems.

    III. Kintari $istri%utors must %e honest' responsi%le' professional and conduct themselves!ith integrit.

    I/. Kintari $istri%utors shall not mae disparaging statements a%out Kintari' other$istri%utors' Kintari emploees' product suppliers or agents' products' services' salesand mareting campaigns' or the &ompensation *lan' or mae statements thatunreasona%l offend' mislead or coerce others.

    $. Kintari ma tae appropriate action against a $istri%utor if it determines' in its sole discretion'that a $istri%utor6s conduct is detrimental' disruptive' or in=urious to Kintari or to other

    $istri%utors.

    &.( Re"ortin% Polic+ 8iolation

    A. A $istri%utor !ho o%serves a polic violation % another $istri%utor should su%mit a !rittenand signed letter (e-mail !ill not %e accepted) of the violation directl to the Kintari &orporateoffice. 7he letter shall set forth the details of the incident as follo!s

    &. 7his section refers to the general reporting of *olic violations as o%served % other$istri%utors for the mutual effort to support' protect' and defend the integrit of the Kintari%usiness and opportunit. If a $istri%utor has a grievance or complaint against another$istri%utor !hich directl relates to his or her Kintari %usiness' the *rocedures set forth in these*olicies must %e follo!ed.

    &.* S"onor#i"

    A. 7he Sponsor is the person !ho introduces a $istri%utor or customer to Kintari' helps themcomplete their enrollment' and supports and trains those in their do!nline.

    ". Kintari recognizes the Sponsor as the name(s) sho!n on the first

    I. *hsicall signed Kintari $istri%utor Agreement on file+ or

    II. lectronicall signed $istri%utor Agreement from a !e%site or a Kintari $istri%utors!e%site.

    &. A $istri%utor Agreement that contains notations such as % phone or the signatures of otherindividuals (i.e. Sponsors' Spouses' relatives' or friends) is not valid and !ill not %e accepted% Kintari.

    $. Kintari recognizes that each ne! prospect has the right to ultimatel choose his or her o!nSponsor' %ut Kintari !ill not allo! $istri%utors to engage in unethical sponsoring activities.

    . All active $istri%utors in good standing have the right to Sponsor and enroll others into Kintari@hile engaged in sponsoring activities' it is not uncommon to encounter situations !hen morethan one $istri%utor !ill approach the same prospect. It is the accepted courtes that the ne!prospect !ill %e sponsored % the first $istri%utor !ho presented a comprehensive introductionto Kintari products or %usiness opportunit.

    9. AProtected Prospectis a guest of an Kintari $istri%utor or customer !ho attended a Kintarievent or conference call. 9or ; das follo!ing the event' a *rotected *rospect cannot %esolicited or sponsored % an other Kintari $istri%utor !ho attended the same event. A Kintari

    event can %e defined as the follo!ing

    I. An Kintari training session+

    II. &onference call+

    III. 9l-in meeting+ or

    I/. *resentation' including %ut not limited to a Kintari at home presentation' !hethersponsored % Kintari' a $istri%utor' a &ustomer' or an agent or agenc designated %Kintari

    &., Cro S"onorin% Pro#i$ition

    A. &ross sponsoring is defined as the enrollment into a different line of sponsorship of anindividual' or "usiness ntit' that alread has a signed $istri%utor Agreement. Actual orattempted cross sponsoring is not allo!ed. If cross sponsoring is verified % Kintari' sanctionsup to and including termination of a $istri%utor6s $istri%utorship ma %e imposed.

    ". 7he use of a Spouse6s or relative6s name' trade names' assumed names' $"A names'corporation' partnership' trust' 9ederal I$ num%ers' or fictitious I$ num%ers to evade orcircumvent this *olic is not permitted.

    &. 7his *olic does not prohi%it the transfer of a Kintari %usiness in accordance !ith Kintari Saleor 7ransfer *olic set forth in these *olicies.

    &. A!#erence to t#e Kintari Com"enation Plan

    A. A $istri%utor must adhere to the 7erms of the Kintari &ompensation *lan as set forth in these*olicies and *rocedures as !ell as in official Kintari literature. $eviation from the&ompensation *lan is prohi%ited.

    ". A $istri%utor shall not offer the Kintari opportunit through' or in com%ination !ith' an other

    sstem' program' or method of mareting other than that specificall set forth in official Kintariliterature.

    &. A $istri%utor shall not re,uire or encourage a current or prospective &ustomer or $istri%utor toparticipate in Kintari in an manner that varies from the &ompensation *lan as set forth inofficial Kintari literature.

A $istri%utor shall not re,uire or encourage a current or prospective &ustomer or $istri%utor tomae a purchase from or pament to an individual or other entit as a condition toparticipating in the Kintari &ompensation *lan' other than such purchases or paments re,uiredto naturall %uild their %usiness.

    &.4 A!#erence to La/ an! Or!inance

    A. 5an cities and counties have la!s regulating certain home-%ased %usinesses. In most cases'these ordinances do not appl to $istri%utors %ecause of the nature of the %usiness.?o!ever' $istri%utors must chec their local la!s and o%e the la!s that do appl to them.

    ". A Kintari $istri%utor shall compl !ith all 9ederal' State' *rovincial and local la!s andregulations in their conduct of his or her Kintari %usiness.

    &.5 Com"liance /it# A""lica$le Income Ta La/

    A. Kintari !ill automaticall provide a complete 3;GG 5iscellaneous Income 7a form(nonemploee compensation) to each US $istri%utor !hose earnings for the ear is at leastC;; or !ho has purchased more than CB';;; of Kintari products for resale' or !ho receivedtrips' prizes or a!ards valued at C;; or more. If earnings and purchases are less than stateda%ove' I0S forms !ill %e sent onl at the re,uest of the $istri%utor' and a minimum charge ofC:; ma %e assessed % Kintari &anadian 7-

    &.11 Action o' 9oue#ol! Mem$er or A''iliate! Partie

    If an mem%er of a $istri%utor6s immediate household engages in an activit !hich' if

    performed % the $istri%utor' !ould violate an provision of the Agreement' such activit !ill%e deemed a violation % the $istri%utor and Kintari ma tae disciplinar action pursuant tothese *olicies and *rocedures against the $istri%utor. Similarl' if an individual associated inan !a !ith a corporation' partnership' 22&' trust or other entit (collectivel "usinessntit) violates the Agreement' such action(s) !ill %e deemed a violation % the "usinessntit' and Kintari ma tae disciplinar action against the "usiness ntit. 2ie!ise' if a$istri%utor enrolls in Kintari as a "usiness ntit' each Affiliated *art of the "usiness ntitshall %e personall and individuall %ound to' and must compl !ith' the 7erms and &onditionsof the Agreement.

    &.12 Solicitation 'or Ot#er Com"anie or Pro!uct

    A. A Kintari $istri%utor ma participate in other direct sales' multilevel' net!or mareting orrelationship mareting %usiness ventures or mareting opportunities. ?o!ever' during the 7ermof this Agreement and for t!o (:) ears thereafter' a Kintari $istri%utor ma not recruit anKintari $istri%utor or customer for an other direct sales or net!or mareting %usiness' unlessthat $istri%utor or customer !as personall sponsored % such $istri%utor.

    ". 7he term recruit means actual or attempted solicitation' enrollment' encouragement' or effortto influence in an other !a (either directl or through a third part)' another $istri%utor orcustomer to enroll or participate in an direct sales or net!or mareting opportunit. 7hisconduct represents recruiting even if the $istri%utor6s actions are in response to an in,uir

    made % another $istri%utor or customer.

    &. $uring the term of this Agreement and for a period of si () months thereafter' an Kintari$istri%utor must not sell' or entice others to sell' an competing products or services' includingtraining materials' to Kintari &ustomers or $istri%utors. An product or service in the samecategor as a Kintari product or service is deemed to %e competing (i.e.' an competing productor service regardless of differences in cost or ,ualit. 7his provision does not appl !hereprofessional services are the primar source of revenue and the product sales are secondar(e.g.' doctor6s offices' clinics' health clu%s' spas and %eaut salons).

    $. ?o!ever' a $istri%utor ma sell non-competing products or services to Kintari &ustomers and

    $istri%utors that the personall sponsored.

    . A $istri%utor ma not displa or %undle Kintari products or services' in sales literature' on a!e%site or in sales meetings' !ith an other products or services to avoid confusing ormisleading a prospective &ustomer or $istri%utor into %elieving there is a relationship %et!eenthe Kintari and non-Kintari products and services.

    9. A Kintari $istri%utor ma not offer an non-Kintari opportunit' products or services at anKintari related meeting' seminar or convention' or immediatel follo!ing a Kintari event.

    D. A violation of an of the provisions in this section shall constitute unreasona%le and

    un!arranted contractual interference %et!een Kintari and its $istri%utors and !ould inflictirrepara%le harm on Kintari In such event' Kintari ma' at its sole discretion' impose ansanction it deems necessar and appropriate against such $istri%utor or such $istri%utor6s$istri%utorships including termination' or see immediate in=unctive relief !ithout thenecessit of posting a %ond.

    &.1& Preentation o' t#e Kintari O""ortunit+

    A. In presenting the Kintari opportunit to potential &ustomers and $istri%utors' a $istri%utor isre,uired to compl !ith the follo!ing provisions

    I. A $istri%utor shall not mis,uote or omit an significant material fact a%out the&ompensation *lan.

    II. A $istri%utor shall mae it clear that the &ompensation *lan is %ased upon sales ofKintari products and services and upon the sponsoring of other $istri%utors.

    III. A $istri%utor shall mae it clear that success can %e achieved onl through su%stantialindependent efforts.

    I/. A Kintari $istri%utor shall not mae unauthorized income pro=ections' claims' orguarantees !hile presenting or discussing the Kintari opportunit or &ompensation *lan

    to prospective $istri%utors or &ustomers.

    /. A $istri%utor ma not mae an claims regarding products or services of an productsoffered % Kintari' ecept those contained in official Kintari literature.

    /I. A $istri%utor ma not use official Kintari material to promote the Kintari %usinessopportunit in an countr !here Kintari has not esta%lished a presence.

    /II. In an effort to conduct %est %usiness practices' Kintari has developed the Income$isclosure Statement (I$S). 7he Kintari I$S is designed to conve truthful' timel'and comprehensive information regarding the income that Kintari $istri%utors earn. In

    order to accomplish this o%=ective' a cop of the I$S must %e presented to allprospective $istri%utors.

    A cop of the I$S must %e presented to a prospective $istri%utor antime the&ompensation *lan is presented or discussed' or an tpe of income claim or earningsrepresentation is made.

    A. 5aintaining the integrit of the organizational structure is mandator for the success of Kintari

    and our independent $istri%utors. As such' under eceptional circumstances at the discretion ofthe &ompan' a re,uest to change placement ma onl %e made !ithin the first >; das ofinitial enrollment as a $istri%utor. 9urthermore' such changes ma onl occur !ithin the sameorganization.

    ". Sponsors ma mae *lacement changes from one $istri%utor to another for personallSponsored (frontline) $istri%utors during the first >; das of enrollment.

    &. 4e! $istri%utors or their original Sponsor ma re,uest a change of Sponsor or *lacement!ithin the first >; das of enrollment for the purpose of structuring an organization. 7he ne!$istri%utor Agreement must %e received !ithin the calendar month for commission calculations

    to %e effective !ith the re,uested change.

If a Kintari $istri%utor !ishes to transfer organizations' he or she must su%mit a letter ofresignation to the Kintari &ustomer Service $epartment and remain inactive (place no orders'or %e on an auto ship) !ith or in Kintari for months from the receipt of the letter %efore %eingeligi%le to re-enroll under a different Sponsor8*lacement.

    ". Kintari retains the right to approve or den an re,uest to re-enroll after a $istri%utor6sresignation.

    &. If re-enrollment is approved' the former $istri%utor !ill %e issued a ne! Kintari I$ num%er and!ill %e re,uired to su%mit a ne! $istri%utor Agreement. 7he $istri%utor !ill not %e entitled toeep an former ran' do!nline' or rights to commission checs from an prior organization.

    A. Unethical sponsoring activities include' %ut are not limited to' enticing' %idding or engaging inunhealth competition in tring to ac,uire a prospect or ne! $istri%utor from another$istri%utor or influencing another $istri%utor to transfer to a different sponsor.

    . Kintari prohi%its the act of Stacing. Stacing is the unauthorized manipulation of theKintari compensation sstem and8or the mareting plan in order to trigger commissions orcause a promotion off a do!nline $istri%utor in an unearned manner. #ne eample of stacingoccurs !hen a Sponsor places participants under an inactive do!nline !ithout his or herno!ledge in order to trigger unearned ,ualification for commissioning. Stacing is unethicaland unaccepta%le %ehavior' and as such' it is a punisha%le offense !ith measures up to andincluding the termination of the independent distri%utor positions of all individuals and8orentities found to %e directl involved.

Should $istri%utors engage in solicitation and8or enticement of mem%ers of another direct salescompan to sell or distri%ute Kintari products and services to' the %ear the ris of %eing sued% the other direct sales compan. Kintari !ill notif the $istri%utor in !riting by certified mail, return receiptre,uested orovernight documented mail' at his or her last no!n address of its intent to terminate the$istri%utor6s $istri%utorship and the reasons for termination. 7he $istri%utor !ill have 3Bcalendar das from the date of mailing of such notice to respond in !riting to the allegations orclaims constituting cause for termination as stated in the notice. Kintari !ill then have >;calendar das from the date of receipt of the $istri%utor6s response to render a final decision asto termination.

    1&.0 DISPUTE RESOLUTION

    1&.1 rie-ance

    A. If a Kintari $istri%utor has a grievance or complaint against another $istri%utor regarding anpractice or conduct relating to their respective Kintari %usinesses' he or she is encouraged toresolve the issue directl !ith the other part. If an agreement cannot %e reached' it must %e

    reported directl to the Kintari &ompliance $epartment as outlined %elo! in this Section.

    ". 7he Kintari &ompliance $epartment !ill %e the final authorit on settling such grievance orcomplaint and its !ritten decision shall %e final and %inding on the $istri%utors involved.

    &. Kintari !ill confine its involvement to disputes regarding Kintari %usiness matters onl. Kintari!ill not decide issues that involve personalit conflicts or unprofessional conduct % or%et!een $istri%utors outside the contet of a Kintari %usiness. 7hese issues go %eond thescope of Kintari and ma not %e used to =ustif a Sponsor or *lacement change or a transfer toanother Kintari organization.

    $. Kintari does not consider' enforce' or mediate third part agreements %et!een $istri%utors' nordoes it provide names' funding' or advice for o%taining outside legal counsel.

    . *rocess for Drievances

    I. 7he Kintari $istri%utor should su%mit a !ritten letter of complaint (e-mail !ill not %eaccepted) directl to the Kintari &ompliance $epartment. 7he letter shall set forth thedetails of the incident as follo!s+

    II. Upon receipt of the !ritten complaint' Kintari !ill conduct an investigation accordingto the follo!ing procedures+

    a. 7he &ompliance $epartment !ill send an acno!ledgment of receipt to thecomplaining $istri%utor.

    %. 7he &ompliance $epartment !ill provide a ver%al or !ritten notice of theallegation to the $istri%utor under investigation. If a !ritten notice is sent to the

    $istri%utor' he or she !ill have 3; %usiness das from the date of the notificationletter to present all information relating to the incident for revie! % Kintari.

    c. 7he &ompliance $epartment !ill thoroughl investigate the complaint' considerall the su%mitted information it deems relevant' including information fromcollateral sources. $ue to the uni,ue nature of each situation' determinations ofthe appropriate remed !ill %e on a case % case %asis' and the length of time toreach a resolution !ill var.

    d. $uring the course of the investigation' the &ompliance $epartment !ill onlprovide periodic updates simpl stating that the investigation is ongoing. 4oother information !ill %e released during this time. $istri%utor calls' letters' andre,uests for progress reports during the course of the investigation !ill not %e
