Terms used herein shall be deemed to be defined as such for the purposes of the terms and conditions of
the Notes (the “Terms and Conditions”) set forth in the Base Prospectus dated 26 November 2015, as
supplemented on 19 May 2016, which together constitutes a base prospectus for the purposes of the
Directive 2003/71/EC of the European Parliament and of the Council of 4 November 2003, as amended
from time to time (the “Prospectus Directive”), Commission Regulation (EC) No 809/2004, as amended
from time to time (the “Prospectus Regulation”) and the Portuguese Securities Code (approved by
Decree-law 486/99, of 13 November and as amended from time to time, the “Portuguese Securities
Code”). This document constitutes the Final Terms of the Notes described herein for the purposes of
Article 135-C.4 of the Portuguese Securities Code, which implemented Article 5.4 of the Prospectus
Directive and must be read in conjunction with such Base Prospectus as so supplemented. Full
information on the Issuer and the offer of the Notes is only available on the basis of the combination of
these Final Terms and the Base Prospectus. The Base Prospectus as supplemented is available for

application for the subscription of any Notes and the
manner in which payment should be made to such

of Senior Notes and Subordinated Notes described in the final terms (the "Final Terms") to which

The Issuer’s activities are governed, inter alia, by the General Regime for Credit Institutions
and Financial Companies (Decree-law 298/92, of 31 December, as amended from time to
time), the Portuguese Securities Code (Decree-law 486/99, of 13 November, as amended
from time to time) and the Portuguese Companies Code (Decree-law 262/86, of 2
September, as amended from time to time).

increase in the previous year. This increase is explained by the positive performance of
domestic demand (which grew for the second year in a row), reflecting the increase in both
public and private consumption and, to a lesser extent, in investment.
In 2016, the Portuguese economy is expected to keep up its recovery trend as well as to
continue the correction of macroeconomic imbalances. The average annual GDP growth
rate is expected to be 1.7 per cent. in line with the previous year and supported both by
domestic demand and external demand.
In Portugal, over the year, the unemployment rate stood at 12.4 per cent., i.e., less 1.5 per
cent when compared with 2014, associated with an annual average increase by 1.1 per cent.

B.5 Group: The Issuer was founded on 2 July 1991, following the authorization given by Decree order
No. 155/91, of 26 April, issued by the Ministry for Finances and in 2003, Banco Popular
Español, S.A. (“BPE”), acquired 100 per cent. of the share capital of the Issuer through the
following transactions: i) acquisition of 75,1 per cent. of the outstanding shares to
Topbreach Holding BV in June, and ii) the acquisition of the remaining shares through a
public offer in July.

Since the end of 2011, as a result of the merger of the Issuer’s subsidiary PopularGest –
Gestão de Imóveis, Sociedade Unipessoal, Lda., the Issuer is no longer required to present
consolidated financial statements. Considering that the Bank is an entity that issue securities
admitted to trading on a regulated market and pursuant to paragraph 2(d) of the Bank of
Portugal Instruction no. 18/2005 and CMVM Regulation no. 11/2005, and solely for
information purposes, the Bank also presents a reconciliation with the accounts based on

The product range offered by the Issuer includes products/services (such as insurance,
factoring and investment funds) provided by companies that are part of the Banco Popular
Español, S.A. Group (“BPE Group”). Additionally, a relevant fraction of the funding
requirements of the Issuer are currently provided by other credit institutions, namely BPE
and other credit institutions that are part of the BPE Group.

Integrated in a financial group owned by BPE, the Issuer undertakes general banking
operations and other financial operations, such as investment funds, real estate financing
and marketing of insurance policies. The Issuer has a nationwide branch network and it also
operates through its electronic channels.

On 30 September 2015, DBRS, Inc. has reviewed the Issuer’s rating and classified the Bank
with the following ratings: (i) Senior Unsecured Long-Term Debt & Deposit: BBB (low)
and (ii) Short-Term Debt & Deposit: R-2 (middle).
Credit ratings affect the cost and other terms upon which Issuer is able to obtain funding.
Rating agencies regularly evaluate the ratings of the Issuer and its long-term debt is based
on a number of factors, including its financial strength as well as conditions affecting the

C.8 The Rights
Attaching to the
Securities,

Negative Pledge: The terms of the Senior Notes will contain a negative pledge provision.
Status of the Senior Notes: The Senior Notes will constitute direct, unconditional,
unsecured and unsubordinated obligations of the Issuer and will rank pari passu among
themselves and (save for certain obligations required to be preferred by law) pari passu
with all other present and future unsecured (subject as aforesaid) and unsubordinated
obligations of the Issuer, from time to time outstanding.
Status of the Notes: The Notes constitute senior obligations of the Issuer which rank at least
pari passu with all other present and future unsecured/subordinated obligations of the Issuer,
save for such obligations as may be preferred by provisions of law that are both mandatory
and of general application.
Events of Default in case of Senior Notes: Any holder of a Note may, by written notice,
declare any Notes held by the holder to be forthwith due and payable together with any
accrued interest thereon (i) if the Issuer fails to make payment of any principal or interest
due in respect of the Notes and such failure to pay continues, in the case of principal, for a
period of seven days or, in the case of interest, for a period of 14 days; or (ii) if the Issuer
defaults in the performance or observance of or compliance with any other obligation on its
part in respect of the Notes and (except where such default is not capable of remedy, where
no such notice shall be required) such default shall continue for a period of 30 days after
written notice of such default shall have been given to the Issuer by a holder of the Note; or
(iii) bankruptcy or insolvency proceedings are commenced by a court against the Issuer or
the Issuer institutes such proceedings or suspends payments or offers or makes a general
arrangement for the benefit of all its creditors; or (iv) any order shall be made by any
competent court or resolution passed for the dissolution of the Issuer, except in certain
specific cases; or (v) in case the repayment of any indebtedness for borrowed money owing
by the Issuer is accelerated by reason of default and such acceleration has not been
rescinded or annulled, or the Issuer defaults in any payment of any indebtedness for
borrowed money or in the honouring of any guarantee or indemnity in respect of any
indebtedness.
Governing Law: Unless otherwise specifically provided, the Notes and all other
documentation and matters relating to the Programme, including any non-contractual
obligations arising out of, or in connection with, the Notes or the Programme, are governed
by, and will be construed in accordance with Portuguese Law.

Fixed Rate Notes: Fixed interest will be payable a fixed rate of 0.60 per cent. per annum,
payable for the period from and including the 10 October 2016 to but excluding the 10

Floating Rate Notes: Floating Rate Notes will bear interest at a rate determined on the basis
of a reference rate (EURIBOR) calculated in respect of each Interest Period, as indicated
below:
Max (0.75 per cent.; 12 month EURIBOR + 0.75 per cent.) for the period from and
including the 10 October 2017 to but excluding the 10 October 2018; and
Max (1.00 per cent.; 12 month EURIBOR + 1.00 per cent.) for the period from and

EURIBOR, in respect of a specified currency and a specified period, is the interest
rate benchmark known as the Euro zone interbank offered rate which is calculated
and published by a designated distributor (currently Thomson Reuters) in accordance
with the requirements from time to time of the European Banking Federation.
Floating Rate Notes have a minimum interest rate of: 0.60 per cent. per annum for
the First Interest Payment Date; 0.75 per cent. per annum for the Second Interest
Payment Date; and 1.00 per cent. per annum for the Third Interest Payment Date.
Interest on Floating Rate Notes in respect of each Interest Period, will be payable on

Maturity Date: Unless previously redeemed, or purchased and cancelled, the Notes
will be redeemed on 10 October 2019.

be redeemable at the option of the Noteholders upon giving not less than 15 nor more
than 30 days' irrevocable notice to the Noteholders or the Issuer, as the case may be,
on a date or dates specified prior to such stated maturity and at a price or prices and
on such other terms agreed.
Optional Redemption:

Redemption at the Option of the Noteholders: The Notes shall be redeemed at their
nominal amount. The Issuer shall, at the option of the holder of any Note redeem
such Note on 10 October 2017 and on 10 October 2018 at 100 per cent. of its
nominal amount together with interest (if any) accrued to such date, on the
Noteholders' giving not less than 15 nor more than 30 days' notice to the Issuer.
Tax Redemption: Except as described in "Optional Redemption" above, early
redemption will only be permitted if the Issuer has or will become obliged to pay
certain additional amounts in respect of the Notes as a result of any change in the tax
laws of the country of tax residence of the Issuer (after obtaining the consent of the
competent banking prudential supervisory authority in the case of Subordinated
Notes).
Yield: Based upon the Issue Price of 100 per cent., at the Issue Date the anticipated
yield of the Notes is 0.571 per cent. per annum or 0.438 per cent. per annum if
Investor Put exercised on 10 October 2017 or 0.492 per cent. per annum if Investor
Put exercised on 10 October 2018.
Representative of the Noteholders: Not Applicable. Holders of Notes may appoint a
Common Representative.

D.2 Risks Specific to
the Issuer:
Prospective investors should understand the risks of investing in any type of Note before
they make their investment decision. They should make their own independent decision to
invest in any type of Note and as to whether an investment in such Note is appropriate or
proper for them based upon their own judgment and upon advice from such advisors as they
consider necessary.
Factors which may affect the ability of the Bank to fulfil its obligations under the Notes
issued by it include:
Banking markets and competition: Intense competition in all areas of the Issuer’s operation
can have an adverse effect on the Issuer’s operating results.
Economic and Financial situation in Portugal: The economic and financial situation in
Portugal, specifically the developments that have been on the basis of the EFAP by the
European Union (“EU”), the International Monetary Fund (“IMF”) and by the ECB in the

period 2011-2014, have affected negatively the Issuer’s financial condition, business and
results of operations and any further deterioration of the economic conditions may further
severely affect the Issuer. The Issuer depends on the developments in the Portuguese
economy, which in turn is affected by the developments of the economic and financial
situation in the Eurozone.
Financial Sector Regulation: The Issuer operates in a highly regulated industry and,
accordingly, the Issuer could be adversely affected by regulatory changes in Portugal or the
EU, or by other political developments in or affecting Portugal or the EU.
Impact of resolution measures: On 2 July 2014, Directive 2014/59/EU of the European
Parliament and of the Council, of 15 May 2014 (the “BRRD”) entered into force. The
BRRD is designed to provide authorities with a credible set of tools to intervene sufficiently
early and quickly in an unsound or failing institution so as to ensure continuity of the
institution’s critical financial and economic functions, while minimising the impact of an
institution’s failure on the economy and financial system.
Impact of the deposit guarantee scheme directive: The Issuer may incur additional costs and
liabilities which may adversely affect the Issuer’s operating results, financial condition and
prospects.
The Issuer may depend on the ECB for funding and liquidity: The ECB currently makes
funding available to European banks that satisfy certain conditions to obtain such funding,
including pledging eligible collateral. Notwithstanding the improvement in the ability to
access the financial markets, funding conditions for Portuguese banks are still constrained.
In this context, despite the ECB’s net funding (net of investment) having been reduced to
3.8 billion euros in December 2014 (December 2013: 4.5 billion euros) the Issuer’s liquidity
operations with the ECB continue to be very important.
Soundness of other financial institutions: The Issuer is exposed to many different
counterparties in the normal course of its business; hence its exposure to counterparties in
the financial services industry is significant.
Competition risks: The Issuer faces strong competition across all of the markets in which it
operates, from local and international financial institutions.
Credit Risk: The Issuer is exposed to the creditworthiness of its customers and
counterparties.
Market risk: The most significant market risks the Issuer faces are interest rate, foreign
exchange and bond price risks. Changes in interest rate levels, yield curves and spreads may
affect the interest rate margin realised between lending and borrowing costs.
Operational risk: In the ordinary course of the Issuer’s business and as a result of the
Issuer’s organisational structure, the Issuer is exposed to operational risks, as interruption of
service, errors, fraud, omissions, delays in providing services and risk management
requirements.
Compliance risk: The Issuer is subject to rules and regulations related to money laundering
and terrorism financing. Compliance with anti-money laundering and anti-terrorist
financing rules entails significant cost and effort.
Technological risk: The Issuer’s operations are highly dependent on computerised record-
keeping, financial reporting and other systems, including point of sale monitoring and
internal accounting systems, particularly following the centralisation of the Issuer’s
information technology systems.
Dependence on Banco Popular Español, S.A.: An adverse evolution of the European and
Spanish financial environment may have a negative impact on BPE and, consequently, on
the Issuer.
Reputational Risk: The Issuer is subject to reputational risk, i.e. the probability of negative
impact on earnings or capital due to an adverse perception of the public image of the
financial institution, grounded or otherwise, held by its different stakeholders.

Property Risk: There can be a negative impact on results or equity arising from a general
drop in the property portfolio and the inherent volatility of the real estate market.
Changes to tax legislation and to other laws or regulations: The Issuer may be adversely
affected by changes in the tax legislation and other laws or regulations applicable in
Portugal and the EU, as well as by changes of interpretation by the competent tax
authorities of legislation and regulation.
Other Risks: The Issuer may be exposed to other risks or to an unexpected level of risk.

Factors which are material for the purpose of assessing the market risks associated with
Notes include:
The Notes may not be a suitable investment for all investors: Each potential investor in the
Notes must determine the suitability of that investment in light of its own circumstances.
Fixed/Floating Rate Notes: An issuer's ability to convert such Notes will affect the
secondary market and the market value of such Notes.
Senior Notes: The Issuer is not prohibited from issuing, guaranteeing or otherwise incurring
further notes or debt ranking pari passu with its obligations under the Notes. Please refer to
C8 above.
There are also certain risks relating to the Notes generally, such as modification and
waivers, EU Savings Directive and change of law.
Investments in the Notes will be subject to Interbolsa procedures and Portuguese law with
respect to the form and transfer of the Notes, payments on the Notes and Portuguese tax

The net proceeds from each issue of Notes will be applied by the Issuer for its general

1. The Issue Price of the Notes is 100 per cent. of their principal amount.
2. The Offer Period is the period from and including on 29 August 2016 to and including 6
October 2016.
3. If the aggregate number of Notes subscribed for multiplied by the Specified
Denomination of each Note (being EUR 1,000) exceeds the applicable maximum
Aggregate Nominal Amount of this Series of Notes, the Notes will be allocated by
priority of date of application, with priority being given to the applications first received
by the Manager.
4. Subscription applications may be cancelled or amended by a subscriber up to (and
including) 3 p.m. (Lisbon time) on 5 October 2016.
5. The CMVM has approved the Base Prospectus in accordance with the Prospectus
Directive.
6. The final Aggregate Nominal Amount of this Series of Notes will correspond to the
aggregate nominal amount of the Notes subscribed by the relevant subscribers, even if
the same is lower than EUR 15,000,000.
7. The minimum amount of any application is EUR 5,000 and the maximum amount of any
application is the Aggregate Nominal Amount of this Series of Notes.
8. Notes will be available on a delivery versus payment basis.

B4.b Tendências: O Produto Nacional Bruto cresceu em volume cerca de 1,5 %, comparado com um crescimento
de 0,9 % no ano anterior. Este crescimento é explicado pela evolução positiva da procura
interna (que cresceu pelo segundo ano consecutivo), refletindo o aumento do consumo público
e privado, assim como, em menor medida, do investimento.
Em 2016 é expectável que a economia continue a observar uma tendência de crescimento,
assim como a corrigir os desequilíbrios macroeconómicos. O aumento médio anual da taxa de
crescimento do PIB deverá se situar nos 1,7 %, em linha com o ano anterior e suportada pela
procura interna e externa.
Em Portugal, e no decorrer do ano, a taxa de desemprego situou-se nos 12,4 %, i.e., menos 1,5
% quando comparada com o ano de 2014, tendo existido um crescimento médio da taxa de
emprego de 1,1 %. De acordo com as Perspetivas Económicas da OCDE de novembro de 2015,

a taxa de desemprego em Portugal deverá descer para 11,3 % em 2016 e 10,6 % em 2017.
Os níveis históricos de baixas taxas de juro de referência deverão manter-se em 2016,
constituindo um desafio adicional ao desenvolvimento do negócio bancário a curto e médio
prazo.
B.5 O Grupo: O Emitente foi fundado em 2 de julho de 1991, na sequência da autorização dada pelo
Despacho do Ministro das Finanças n.º 155/91, de 26 de abril, e em 2003, o Banco Popular
Español, S.A. adquiriu 100 % do capital social do Emitente através das seguintes operações: (i)
aquisição, em junho, de 75,1 % das ações disponíveis da Topbreach Holding B.V. e (ii)
aquisição das restantes ações através de oferta pública, em julho.

aviso escrito desse incumprimento dado pelo Emitente ao titular da Obrigação; ou (iii) em caso
de falência ou processo de insolvência iniciado junto do tribunal contra o Emitente, ou
suspensão do pagamento ou ofertas, bem como existência de acordos gerais para benefício dos
credores do Emitente; ou (iv) se existir qualquer outra ordem dada por um tribunal competente

Obrigações de Taxa Fixa: As obrigações pagam juros à taxa fixa de 0,60 % a.a. no período

Juros; 0,75 % a.a. na segunda Data de Pagamento de Juros; e 1,00 % a.a. na terceira Data de
Pagamento de Juros.
Os juros pagos a taxa variável relativamente a cada período de contagem de juros será paga nas
datas de pagamento de juros e serão calculados com base na convenção Atual/360.
Data de Maturidade: Excepto se previamente reembolsadas, ou compradas e canceladas, as
Obrigações serão reembolsadas em 10 de outubro de 2019.
Reembolso: As Obrigações serão reembolsadas ao valor nominal. As Obrigações poderão ser
reembolsadas pelos Obrigacionistas mediante notificação irrevogável no prazo mínimo de 15
dias e máximo de 30 dias aos Obrigacionistas ou ao Emitente, conforme o caso, numa data ou
datas especificadas antes dessa maturidade indicada e ao preço e nos demais termos acordados.
Reembolso por Opção:
Reembolso por Opção do Emitente: Não Aplicável.
Reembolso por Opção do Investidor: As Obrigações serão reembolsadas ao valor nominal. As
Obrigações podem ser reembolsadas por opção do Obrigacionista na totalidade em 10 de
outubro de 2017 e em 10 de outubro de 2018 a 100 % do seu montante nominal, acrescidas dos
juros vencidos (caso existam) até essas datas, mediante um pré-aviso ao Emitente não inferior a
15 dias nem superior a 30 dias.
Reembolso Motivado por Impostos: exceto o descrito em “Reembolso por Opção”, o
reembolso antecipado apenas será permitido se o Emitente estiver ou for obrigado ao
pagamento de determinados montantes adicionais relativos às Obrigações como resultado de
qualquer alteração no direito tributário do país da residência fiscal do Emitente (após o
Emitente obter o consentimento da autoridade de supervisão prudencial competente, no caso
das Obrigações Subordinadas).
Rendibilidade (Yield): Baseada no Preço de Emissão de 100 %, na Data de Emissão, a
rendibilidade antecipada das Obrigações é de 0,571 % ao ano, ou 0,438 % ao ano se a Opção de
Reembolso Antecipado do Investidor for exercida em 10 de outubro de 2017 ou 0,493 % ao ano
se a Opção de Reembolso Antecipado do Investidor for exercida em 10 de outubro de 2018.
Representante dos Obrigacionistas: Não aplicável. Os titulares das Obrigações poderão
nomear um representante comum.

Obrigações deverá ter conhecimento dos riscos de investimento existentes. A decisão do
investidor deverá ser independente, e considerar se o investimento nesse tipo de Obrigações se
adequa ao seu perfil, com base na sua própria análise ou através de aconselhamento junto de
consultores se assim considerar necessário.
Fatores que podem influenciar a capacidade do Banco para cumprir as suas obrigações ao
abrigo das Obrigações por si emitidas:
Mercado bancário e concorrência: uma concorrência intensa nas áreas em que o Emitente
opera poderá ter um efeito adverso nos resultados operacionais do Emitente.

Situação Económica e Financeira em Portugal: A situação económica e financeira portuguesa,
em especial tendo em conta os desenvolvimentos que estiveram na origem do Programa de
Assistência Económica e Financeira da UE/FMI/BCE no período entre 2011-2014, afetaram
negativamente a situação financeira, comercial e os resultados comerciais do Emitente. De
igual forma, qualquer deterioração futura das condições económicas poderão afetar
severamente o Emitente. Tendo em consideração que as atividades do Emitente são
desenvolvidas em Portugal, o Emitente depende da evolução da economia portuguesa, que por
sua vez é afetada pela evolução das condições económicas e financeiras na Zona Euro.
Regulação do setor financeiro: tendo em conta que o Emitente atua numa indústria altamente
regulada, o Emitente poderá ser adversamente afetado por alterações regulatórias em Portugal
ou na UE, assim como por desenvolvimentos políticos que afetem Portugal ou a UE.
Impacto de medidas de resolução: no dia 2 de julho de 2014, a Diretiva 2014/59/UE, do
Parlamento Europeu e do Conselho, de 15 de maio de 2014 (a “BRRD”) entrou em vigor. A
BRRD pretende fornecer às autoridades um conjunto de ferramentas adequadas à intervenção
prévia e eficaz numa instituição em falência ou com risco de solidez, tendo como objetivo a
continuidade das atividades financeiras e económicas da instituição e a minimização dos
impactos que a falência de uma instituição possa ter na economia e no sistema financeiro.
Criação do mecanismo de proteção de depósitos de âmbito europeu: A criação de um
mecanismo de Proteção de Depósitos de âmbito europeu poderá resultar em custos acrescidos
para o Emitente.
O Emitente poderá depender do BCE para financiamento e liquidez: o BCE tem vindo a
assegurar financiamento a bancos europeus que satisfaçam certas condições para obter
financiamento, incluindo o penhor de ativos elegíveis. Não obstante os bancos portugueses
terem melhorado a sua capacidade de recorrer aos mercados financeiros para obter
financiamento, as futuras condições de financiamento dos bancos portugueses são ainda
incertas. Neste contexto, o financiamento líquido do BCE, apesar de ter reduzido de um
montante de 4,5 mil milhões de euros em 2013 para 3,8 mil milhões de euros em 2014, continua
a ser um fator importante das operações de liquidez do Emitente.
Solidez de outras instituições financeiras: o Emitente encontra-se exposto a diferentes
contrapartes no exercício da sua atividade. A sua exposição a contrapartes no setor financeiro é
significativa.
Risco de crédito: Riscos decorrentes de alterações na qualidade do crédito e da capacidade de
recuperação dos créditos e outros montantes devidos pelos mutuários e contrapartes são
inerentes a uma ampla gama das atividades do Emitente e poderão ter um efeito
significativamente adverso sobre a sua situação financeira e sobre os resultados das operações.
Risco de mercado: O desempenho dos mercados financeiros pode depreciar o valor dos
investimentos e das carteiras de negociação do Emitente. No entanto, é difícil prever com
precisão alterações nas condições económicas ou de mercado e antecipar os efeitos que tais
mudanças poderão ter sobre a situação financeira do Emitente.
Risco operacional: Qualquer falha na execução das políticas de controlo e de gestão de risco do
Emitente poderá afetar adversamente a situação financeira do Emitente.
Risco de compliance: o Emitente encontra-se sujeito a várias regras relativas ao branqueamento
de capitais e financiamento do terrorismo. O cumprimento das regras acarreta custos
significativos.
Risco de infra-estrutura: O Emitente enfrenta o risco de falhas no seu sistema informático e de
telecomunicações, apesar dos esforços de manutenção destes equipamentos em boa ordem.
Dependência perante o Banco Popular Español, S.A.: uma evolução adversa no ambiente
financeiro na União Europeia e em Espanha poderá ter um impacto negativo no Banco Popular
Español, S.A. e, consequentemente, no Emitente.
Risco reputacional: O não cumprimento das leis, regulamentos ou códigos aplicáveis poderá
resultar em sérios danos na sua reputação, para além de coimas e/ou danos pecuniários

Obrigações com Taxa de Juro Fixa/Variável: A capacidade de um emitente para converter estas
Obrigações irá afetar o mercado secundário e o valor de mercado destas Obrigações.
Obrigações Sénior: O Emitente não está impedido de emitir, garantir ou, de qualquer modo,
ficar sujeito a outras obrigações ou dívida, que sejam graduadas pari passu com as suas
obrigações no âmbito das Obrigações (cfr. C8 supra).
Há também alguns riscos relacionados com as Obrigações em geral, tais como aqueles relativos
a alterações e a renúncias, à Diretiva da Poupança e a alterações legais.
Os investimentos nas Obrigações estarão sujeitos a procedimentos da Interbolsa e à lei
portuguesa, relativamente à forma e transferência das Obrigações, pagamentos relativos às
Obrigações e regime fiscal português. Os detentores de Obrigações devem assegurar o
cumprimento de todos os procedimentos necessários para garantir o tratamento tributário
correto das Obrigações.

Os recursos líquidos da emissão das Obrigações serão aplicados pelo Emitente para fins gerais

1. O Preço de Emissão das Obrigações é 100 % do valor do principal.
2. O Período de Oferta é o período desde e incluindo o dia 29 de agosto de 2016 até e
incluindo o dia 6 de outubro de 2016.
3. Caso o número agregado de Obrigações subscritas, quando multiplicado pelo Valor
Nominal de cada Obrigação (EUR 1.000) exceda o Valor Nominal Agregado máximo
aplicável desta Série de Obrigações, as Obrigações serão distribuídas com base na
prioridade da data da ordem de subscrição, com prioridade dada às primeiras ordens
recebidas pelo Colocador.
4. As ordens de subscrição poderão ser canceladas ou alteradas por um subscritor até (e
inclusive) às 15H (hora de Lisboa) do dia 5 de outubro de 2016.
5. A CMVM aprovou o Prospecto de Base de acordo com a Diretiva dos Prospectos.
6. O Valor Nominal Agregado final desta Série de Obrigações corresponderá ao Valor
Nominal Agregado das Obrigações subscrito pelos subscritores relevantes, ainda que o

7. O montante mínimo de qualquer ordem de subscrição é de EUR 5.000 e o montante

9. O Emitente estima que as Obrigações serão entregues nas contas de valores mobiliários
