TERMS ANO CONDITIONS OF THE QUOTATION FOR PROMÉXI_CO@ WANTED DESIGN 2017

This Terms and Conditions constitute an integral part of the QUOTATION FOR PRO MÉXICO WANTED DESIGN

2017 by EFEX Design ~ Display, for the production installati<;m and dismantlement of the Mexican Pavilion in

WANTED DESIGN 20Ü that will take place in the city of New Y~rk; from May 20-23, 2017, hereinafter the Contract

Agreeinent. .

In arder to duly fulfill the subjeé_t matter of the Contract Agreement, EFEX Design. & Display a USA corporation , ís

committed to:

a) Perform the services foreseen in t~~ Contracf Agreement to the entire sati.sfaction of PROMEXICÓ, in a timely and efficient manner, and ·in accordance with the rules,· guidelines ~nd regulations set by the. organizerofttie lntemational Fair, WANTED DESIGN 2017. .

b) Submit to PROMÉXICO the invoices for each .of the amounts stipulated in the ContfaCt Agreement.

EFEX Design & Display, will be the sale responsible for the personnel employed in arder to perform the services

derived from this Contrae!, including obligations derived frbm labor, tax, social security a_nd civillaw, as well as any other responsibility that may arise from applicable regulations. Therefore, PROMÉXICO will not be considered as . a solidary or substitute employer. · · ·

· EFEX Design & Display, will not assign, transfer, or sell, in full or in part, any of the rights or óbligations contained

in the Contrae! Agreement.

EFEXDesign & Display, will be responsible fot oamages caused to PROMÉXICO orto third parties, as a result of ·actions attributable to EFEX Design & Display, including but no~ lim ited to:

1) Breach of this Terms and Conditions or the Contract Agreement. 2) lgnoring th!3 recommendations formulated by the Orgahizér of the event, or failing to comply in a timely and

efficient manner with the rules, guidelines and regulations established by the organizer of the lnternational Fair, WANTED DESIGN 2817 . .

3~ The loss or detriment'of materials and equipment necessary for the ·execution of the C'ontract Agreement.

4} Use of dangerous sub.stances. 5) Generally, any acts or omissions ~ttributable to EFEX Design & Display, or its personnel..

The stand will be offic.ially finished on M ay 19th, 2017 at 1 O am. Neither paity will be responsible for any de la y or lack of fulfillment that m ay occur as a result of fortuitous events of force majeure, considering that, once such events

have cease, the execution of the services described in the Contract.Agreement will resume if Pro'México expressly requires it ·

lt is expressly convened that the failure to duly and· timely fulfill any of the obligations contained in the Contract

Agreement, or in this Terms and C_onditions will be cause fof rescission without requiring prior]udicial determinatio"n, · · and therefore it will cause payment of compensation for damages stJffered which will amount to at least 20% of the

iotal price of the Contract. Without prejudice of the aforementi_oned compensation, if PROMÉXICO has already tQ~.'~"~·..i~

made a payment, EFEX Design & Display will reimburse the amounts corresponding to concepts paid, but not

actually performed at the time of rescission, as well as any fees incurred by· PRO MÉXICO as a consequence of the breach of the rules, guidelines and. regulations set by the organizer of the lnternational Fair, WANTED DESIGN

2017.

Th.e Contract Agreement along with this Terms and Conditions , constitutes the entir~ agreement between

PROMÉXICO and EFEX Design & Display, and it renders n.ull and void any other negotiation, obligation or communication between them covering the sam~ or similar subject matter, whether oral .or written, that may had

taken place before the date of signáture of this instrument. ·

The Contract Agreement and t!iis Terms and Conditions ar~ governed by the.laws·of the Mexican United S.tates; any controversy or dispute with regard to its interpretation or execution, as well as any of the matters not expressly

contained. in its lext, will ~e resolved py the Parties through mutual agreement, and only if after ~ period o.f 90 days an agreement cannot be reached, the Federal Tribunals of Mexico City will ha ve exclusive Jurisdiction on the matter, expressly waiving any other jurisdiction that m ay be applicable as a corisequence of their present, or future address ·or under any other circumstances. · ·

This Centrad will take effect upon the date of its signature by both Parties.and will remain in force until both Parties have fulfil led their obligations. · ·
