BYLAWS(Amended September, 2008)

ARTICLE I - NAME

A. The name of this organization shall be PRESTON WEST REPUBLICAN WOMEN, Dallas, Texas.

ARTICLE II - OBJECTIVES

A. To promote an informed electorate through political education.

B. To increase the effectiveness of women in the cause of good government through active political participation.

C. To foster loyalty to the Republican Party and to promote its principles and candidates in all elections including non-partisan elections.

D. To support objectives and policies of the Republican National Committee and to work for the election of the Republican Party nominees.

E. To work in conjunction with the Republican women of the Dallas County Council and the National Federation of Republican Women.

ARTICLE III - POLICY

A. Neither the name PRESTON WEST REPUBLICAN WOMEN nor the name of its President or Vice President-Campaign Activities shall be used to publicly endorse any candidate for publicofficebefore,orduringacontestedRepublicanprimary,runoff,orspecialelection.When more than one Republican is in a non-partisan race, the Club, Club President or Campaign Activities Chairman shall not publicly endorse or work for a known candidate or another party in a partisan or non-partisan race where a Republican is in the race.

1. Failure to comply with the bylaws of the Texas Federation of Republican Women and the National Federation of Republican Women is cause for removal from TFRW and NFRW.

B. Officersofthisorganizationwhoarecandidates,orwhosehusband,oramemberofherfamily, are candidates shall be exempt from this rule, but may not do so in the name of this club.ThisarticlepertainsonlytocontestsbetweenRepublicancandidatesforpublicoffice.

C. Thisorganizationanditsofficersshallnotissuestatementsorpassresolutionsoncontroversialissuesinthenameoftheclubwithoutfirstpollingitsmembersandobtainingatwo-thirds written vote of approval of the total membership.

D. There shall be no lobbying with legislators using the name of the Texas Federation of Republican Women by any federated club or any individual member without the express permission of the Board of Directors of the Texas Federation of Republican Women.

E. This organization must hold a minimum of eight (8) meeting per year, assess annual dues

andadoptasetofbylawsthatdonotconflictwiththoseoftheDallasCountyCouncilofRepublican Women, the Texas Federation of Republican Women, or the National Federation of Republican Women.

ARTICLE IV - MEMBERSHIP AND DUES

A. Eligibility

1. Membership in this organization shall be voluntary and open to all women residents of Texas, who are in sympathy with its objectives and the ideals of the Republican Party. A prospective member must be a citizen of the United States and be a registered voter. To be eligible to vote in the club election, a member must have paid her dues at least 30 days prior to the election and must have attended at least one meeting.

B.ClassificationofMembership

1. An Active or Regular member is a woman who meets the eligibility requirements of this organization, pays the annual dues, and is listed on the roster sent to the Texas Federation of Republican Women and the National Federation of Republican Women as a member of Preston West Republican Women with full privileges of membership.

2. A Republican woman who is a regular member of another federated local club and who wishes to support Preston West Republican Women may be eligible for Associate membershipuponpaymentofrequireddues.Shecannotholdoffice,voteorbecountedfor the purpose of determining the number of delegates to National or State Federation

meetings or conventions. As an associate member she does not become a member of the State or National Federation.

3. A Republican man is eligible for Associate membership in Preston West Republican Womenuponpaymentoftherequiredannualdues.Hecannotholdoffice,haveavoiceorvote or be counted for the purpose of determining the number of delegates to National or

State Federation meetings or conventions.

4. An Honorary member shall be selected at the discretion of the Executive Board and shall have the privilege of participation in all meetings and activities except voting and holding office.

C. Dues

1. Annual dues for membership in Preston West Republican women shall be set forth in the Standing Rules of the organization, to be revised as necessary.

2. TheduesshallbecollectedforthefiscalyearafterNovember1anddelinquentafterJanuary 31.

3.ThefiscalyearshallrunfromJanuary1throughDecember31.

4. The organization shall pay an annual fee, plus dues and service charges per capita to the State and National Federations. These shall be payable January 1 and delinquent March 1.

A. The Board of Directors shall meet monthly prior to the regular meeting.

B. There shall be a joint meeting of the retiring and incoming Board of Directors following the installationofnewofficers.Atthistime,officersandChairmenwillturnoveraresumeofher year’s work to her successor.

C. Meetings shall be held on the fourth Wednesday of each month at 10:00 a.m., unless otherwisespecified.

D. Special meetings may be called by the President, the Board of Directors, or upon the request of ten percent (10%) of the active membership; the purpose of the meeting to be stated in the call and no other business shall be considered at the special meeting except that which is stated in the call.

E. Aquorumforameetingofthisorganizationshallbetwentyfivepercent(25%)ofthemembers.

ARTICLE VI - OFFICERS AND THEIR DUTIES

A. OfficersofthisorganizationshallbePresident,FirstVicePresident,SecondVicePresident,Corresponding Secretary, Recording Secretary and Treasurer.

B. Officersshallbeelectedforatermofoneyearandnoofficershallsucceedherselfmorethanonce. The term of service shall be from January 1 to December 31.

C. Allofficersshallkeepanotebookanddeliverallrecordstotheincomingofficersatthejointboard meeting in January.

ARTICLE IX - NOMINATIONS AND ELECTIONS

A. Nominating Committee

1. This committee shall consist of one member appointed by the President, one member elected by the Board of Directors, and three members elected by the membership present at the September or October meeting.

2. Thiscommitteeshallsubmitonenomineeforeachoffice,withpriorapprovalofthenominee.

3. The report of the Nominating Committee shall be published in the earliest available issue of the newsletter but no later than November.

4. Nominationsmayalsobemadefromthefloor,followingthereportoftheNominatingCommittee.

B. Elections

1.TheelectionoftheofficersshallbeheldattheNovembermeeting.2. Wherethereisonlyonecandidateforoffice,theelectionmaybeheldbyvoicevote.

3. InstallationofofficersshalltakeplaceattheannualChristmasparty,andtheyshallassume their duties on January 1 of the following year.

ARTICLE X - REPRESENTATION

A. Preston West Republican Women shall be represented at the biennial convention of the Texas Federation of Republican Women in the fall of odd numbered years, by the delegate and alternate delegate for each ten members or major fraction thereof. Delegates and alternate delegates to the state convention shall be elected at the May meeting of the organization.

B. This organization shall be represented at the biennial convention of the National Federation of Republican Women by one delegate and one alternate delegate.

They shall be elected at the May meeting.

ARTICLE XI - PARLIAMENTARY AUTHORITY

A. Robert’s Rules of Order, Newly Revised, shall govern this organization in all matters not covered by these bylaws.

ARTICLE XII - AMENDMENTS

A. These bylaws may be amended or revised by a two thirds vote of the members present at the meeting of the Preston West Republican Women at which there is a quorum, provided that notice of same shall be made in writing to each member at least (30) days prior to the meeting.

ARTICLE XIII - DISSOLUTION OF CLUB

A. This club may be dissolved by a 2/3 vote at any meeting of the local club provided that notice of the dissolution has been submitted in writing at the previous meeting and has been sent by mail to all members of the local club. In the event of dissolution, the Board of Directors shall, after payment of all liabilities of the local club, distribute any remaining assets to the state federation. None of the assets shall be distributed to any memberorofficeroftheorganizationandtherighttousethenameoftheclubshallrevert to the state federation.

STANDING RULES

A. These are temporary rules as required for definition and operation.

B. These rules will contain further definition of duties and procedures which can be changed by a majority vote of the membership present at a regular meeting.

C. Dues for the fiscal year (January 1 through December 31) shall be $30.00 per member. This includes dues and service charge to the State and National Federations of Republican Women. Dues for Associate members shall be $15.00. Members joining after September 1 shall pay dues of $15.00 for the

remaining portion of the year. The word Republican must be used in the title of the club and the word

federation shall not be used in the title of a club. The club’s name shall require the approval of the Executive Committee of the Texas Federation of Republican Women. Such approval shall not be given if the club’s name contains any religious or issue oriented connotations. Any organization which request federation status shall not include in its title any identifying name of a federated club if such a club is still in existence. A new or existing group may request of the TFRW Executive Committee the right to use a name of a club no longer in existence and shall have the TFRW Executive Committee approval for that name to be used.

D. Duties

1. Fundraising Chairman shall be in charge of all fundraising.2. Membership Chairman shall recruit new members, and keep a current

total of the membership present at each meeting to give to the recording secretary for the records. She shall oversee New Founders and Outreach.

3. Hospitality Chairman shall secure meeting places and hostesses for each meeting. She shall also coordinate refreshments for a designated County Council meeting and plan the Preston West Republican Women Christmas Party.

4. Telephone Committee shall be responsible for all telephoning done for the organization.

5. Publicity Chairman shall promote all club events, including meetings to the news media.

6. Legislative Chairman shall report on county, state and federal legislation and prepare resolutions suggested by the membership.

7. Projects and Community Affairs Chairmen shall perform such duties as requested by the President.

8. Yearbook Chairman shall publish a yearbook annually with the current list of members.

9. Club Achievement Chairman shall inform and advise the membership of requirements for local, state and national awards, and report club activities to NFRW and TFRW.

10. Americanism Chairman shall lead the Pledges of Allegiance and present an Americanism thought at the meetings. She will be responsible for the flags.

11. Historian Chairman shall keep a scrapbook of the organization’s activities.12. Political Action Chairman shall serve as treasurer of the fund. She shall

work closely with the club treasurer to ensure adequate records are available as required by the Texas Ethics Commission and Texas Election laws, and shall file all reports required by same in a timely manner.

E. There shall be an internal review of the Treasurer’s Books by a committee of three appointed by the President.

NATIONAL FEDERATION OF REPUBLICAN WOMENAs a regular member of Preston West Republican Women, you are a member of three additional organizations. The National Federation of Republican Women consists of over 1,800 clubs with more than 100,000 members across the United States. NFRW was founded at the Palmer House in Chicago, Illinois on September 23 and 24, 1938. Eleven state federations were charter members. They were California, Colorado, Connecticut, the District of Columbia, Indiana, Maryland, Michigan, Missouri, Montana, New Jersey and Pennsylvania. There were 13 additional states represented by individual clubs, which included a Texas club. In order to be considered eligible for membership in NFRW, a state federation or a club had to have members in 60% of the counties of the state. Since Texas has 254 counties, we did not achieve this goal until 1955.

The seal of the NFRW is the Golden American Eagle, king of birds, holding a quill pen and standing guard like a gladiator over our most treasured tool of democracy – the ballot box. Adopted in 1944, it portrays the Federation’s interest in the protection and integrity of our electoral process. The American eagle is adopted from the Great seal of the United States. The quill is symbolic of the power of words, especially as contained in the Declaration of Independence and the Constitution of the United States.

TEXAS FEDERATION OF REPUBLICAN WOMENThe Texas Federation of Republican Women consists of 180 clubs with a membership of over 10,000 women. Men may be associate members of TFRW, but cannot vote, serve on committees,orholdoffice.

The president represents us at all Republican meetings and functions, presides over the TFRW Board of Directors’ meetings and guides the executive director in the day to day operations oftheTFRWofficeinAustin.Shesendsamonthlynewslettertoallclubpresidents,TFRWBoard members, and patrons. By the end of her two year term, she will have visited all of the clubs in the state.

TFRWholdscampaignmanagementschoolswhicharesecondtonone.Eachofficerandboardmember contributes time and expertise to workshops and training sessions around the state. These people are all available as speakers for club meetings or special projects and events.

DALLAS COUNTY COUNCIL OF REPUBLICAN WOMENThe Dallas County Council of Republican Women was formed in 1955 and currently supports 17 Dallas-area member clubs. Council meetings are held monthly at Dallas County RepublicanHeadquarters,generallyonthefirstTuesdayofthemonthat9:30a.m.(withoccasional night meetings).

POLICY FOR COUNTING CAMPAIGN HOURS

1. ONLY count hours pertaining to non-paid political activities. Hours as Election Judge, Clerk Poll Watcher count ONLY if pay is turned over to a county party, your local Federated Republican Women’s Club, a candidate or the TFRW PAC.

2. Include work done at home, such as mailings; preparing campaign posters or signs; telephoning – solicited by a candidate/campaign; baking for a campaign, but not for club meetings.

3. Count hours spent working at a special event or organizing the event. BUT NOT if you attend as a guest or if you are compensated for the event.

4. Count hours spent in session at Federation Board of Directors meetings and Federation Conventions – also time spent in preparation of convention if on Committee. You may include travel time.

5. Count hours spent in session at precinct, county/district or state party conventions. You may include travel time. NOTE: Please remember to attend your precinct convention!

6. You may count hours spent as members of county or state party committees – ONLY during scheduled meeting times. You may include travel.

7. Count political work done at club meetings, i.e., driving a candidate, working on mailings, getting candidate petitions signed, etc. DO NOT count hours in regular meetings.

8. Volunteer hours done at county, state or Federation Headquarters may be counted BUT NOT for paid staff positions.

9. All hours volunteered at campaigns and at headquarters include portal to portal travel. BUT NOT stops for personal errands.

10. Count nonpartisan hours for known Republican candidates in city or school board elections.

11. Women candidates who are members of a club may count their campaigning as volunteer – as long as no salary is accepted. A separate award will be given in this category at award events.

12. Male associate members may count volunteer hours and must follow the same rules which apply to regular members. Male candidates cannot count hours working on their campaigns.

13. A dual member’s hours are only counted in her primary club.

14. Wheneverpossible,pleasehaveyourhoursverifiedandinitialedbythecampaignorheadquarters. This will help determine where our hours are most utilized.

15. NOTE: Presidents and Campaign Activities Chairmen are not permitted to work in nonpartisan as well as campaigns when there is more than one Republican in the race. Clubs may not endorse in the name of the club. Individual members may work for the Republican of their choice.
