Il compratore è sempre tenuto a prendere in consegna la merce, anche in caso di consegne parziali e anche quando la merce venga consegnata successivamente alla data di consegna stabilita.Qualora il compratore non abbia preso in consegna la merce, per cause non imputabili al venditore o a forza maggiore, il compratore sopporterà tutte le spese che dovessero derivarne ed ogni somma dovuta a qualsiasi titolo al venditore diventerà immediatamente esigibile.

4) GARANZIAIl compratore è tenuto a verificare la conformità, la quantità e l’assenza di vizi della merce entro otto giorni dalla data di consegna e comunque prima di qualsiasi utilizzo della stessa, pertanto dovrà denunciare eventuali vizi o difetti palesi per iscritto, indicandoli dettagliatamente al venditore entro e non oltre otto giorni dalla consegna della merce, mentre la denuncia di eventuali difetti occulti o di funzionamento dovrà essere effettuata entro otto giorni dalla scoperta del difetto e comunque non oltre il periodo di garanzia. In seguito a regolare denuncia del compratore, il venditore, entro un termine ragionevole, potrà (a sua scelta): fornire gratuitamente Franco Fabbrica al compratore merce equivalente a quella risultata non conforme, ovvero accreditare una somma pari a quella pagata dal compratore. La garanzia ha una durata di 1 anno dalla data della consegna ed è limitata ai soli vizi della merce riconducibili a difetti del materiale utilizzato o a problemi di progettazione o costruzione riconducibili al Venditore. La garanzia non copre inoltre i difetti dovuti alla normale usura della merce per parti soggette ad usura.La garanzia di cui al presente articolo esclude ogni altra possibile responsabilità del venditore comunque originata dai prodotti forniti. In nessun caso il venditore potrà essere ritenuto responsabile per danni indiretti o consequenziali, perdite di produzione o mancati profitti.

5) PAGAMENTOLa fattura della merce fornita deve essere pagata nei termini e nel luogo convenuto. Il ritardato pagamento della stessa darà luogo alla decorrenza degli interessi moratori e attribuirà al venditore il diritto di sospendere le forniture successive fino al puntuale adempimento dei sospesi.

6) RISERVA DI PROPRIETÀI prodotti consegnati restano di proprietà AIGNEP spa sino al momento del completo pagamento.

7) CONTROVERSIEPer qualsiasi controversia relativa o comunque collegata ai contratti ai quali si applicano le presenti condizioni generali sarà competente in via esclusiva il Tribunale della sede del venditore: il venditore, tuttavia, avrà il diritto di adire il Tribunale della sede del compratore.

The present conditions are considered to be implicity accepted by the buyer when he makes the purchase order.

1) ORDERSBoth direct orders and orders transmitted by agents, representatives or commercial auxiliaries of the seller do not bind him until they are confirmed by the seller himself: the buyer is not entitled to countermand its orders.

2) TECHNICAL DATAWeights, dimensions, performances, colours and other information, indicated in catalogues price list, or other literature are merely indicative.AIGNEP spa reserves the right at any time to make changes to its products technical specifications.

3) DELIVERYThe delivery terms are rough in favour of the seller and in any event, are to be considered with an adequate term of grace.The supply of the goods is intended ex works (lncoterms 2000), so that the risks related to the supply pass to the buyer at the time in which the goods leave the seller’s plant.Also when it is agreed that the delivery or part of it will be taken care by the seller, in which case the latter will act as the buyer’s agent, it has being understood that the transport will be carried out at the charge and risk of the buyer. Packing is included in the price only when the buyer orders, for each item, the minimum quantity indicated in the catalogue.The buyer binds himself to take delivery of the goods, even in the case of partial deliveries and even when the goods are consigned after the established delivery date or successively to that date.If the buyer does not take delivery of the goods for reasons not imputable to the seller or force majeure, the buyer must bear all the expenses that may derive from them and any sum due, by any right, to the seller will become immediately payable.

4) GUARANTEEThe buyer is obliged to check the conformity, the quantity of the goods and the lack of defect not later than 8 days from the receipt of the goods and before any use of them. Any complaint about the delivery goods must be notified by the buyer in written form, giving detailed account to the seller not later than 8 days from the receipt of the goods.Any claim of the defects or non-conformity of the goods must be made in writing and must give a detailed not later than 8 days from the discovery date of defects and within the warranty period. Following a claim placed by the buyer according to the procedures detailed in this clause, within reasonable period the seller may (at his choice): supply free to the buyer, ex works goods of equivalent quality to replace the defective goods or credit an amount equal to what was paid by the buyer. The guarantee is valid for 1 year from the deliver date and it is limited only to fault of goods due to raw material defects or due to design fault or due to construction fault of the seller. The guarantee do not cover defects of the goods due to natural usury of the goods and goods’ components. The guarantee contained in this article excludes any other possible liability of the seller, however originating, from the supplied goods. ln no case will the seller be held responsible for indirect or consequential damages, Iosses of production or profits.

5) PAYMENTAny invoice referring to the delivered goods is to be paid according to the terms and in the place agreed. Any delay in payment will entitle the seller to legal interests, with no prejudice to his right to suspend the current supplies till full payment is duly received.

6) RESERVATION OF TITLETitle to the shall not pass to the Buyer until AIGNEP spa has received all amounts due and payable by the Buyer.

7) DISPUTESFor every dispute relative or, in any event connected to the contracts to which the present general conditions apply, the seller’s law-court has exclusive competence: the seller however, will have the authority to act before the buyer’s lawcourt.
