1.0 BACKGROUND OF THE PROCEDURE 1.1 The purpose of this procedure is to provide direction and guidance on the day-to-day operations of the AP managed NNPC Mega

Stations, in order to maximize the best outcome for greater returns on investment for the Company and also the NNPC in

accordance with the prescribed operating standards.

1.2 This procedure is subject to the legal agreement signed by NNPC/African Petroleum; and also the NNPC’s Operating Guidelines

for Mega Stations. It shall therefore change in tandem with changes to both the NNPC’s Operating Guidelines for Mega Stations

and/or the Legal Agreement entered into abi-nitio.

2.0 SCOPE OF THE PROCEDURE 2.1 This procedure is designed to enable African Petroleum PLC to effectively and efficiently manage the NNPC Mega Stations in

locations where the company is appointed as Dealer–Manager in accordance with prescribed operating standards. The procedure

is intended to cover the following concerns:

3.0 OPERATIONAL INTERFACE 3.1 The Operational Interface between NNPC and African Petroleum PLC is that African Petroleum is the Dealer Manager and shall

be responsible for running the day-to-day Operations of the NNPC Mega Stations in accordance with this in-house procedure as

prescribed herewith.

3.2 The General Manager Marketing shall liaise with the NNPC to take-over the operations of any NNPC Mega Station which African

Petroleum has been appointed as the Dealer Manager.

4.0 MARKETING DIVISION 4.1 The GM Marketing (GMM) shall be responsible for the overall management and direction of all the AP managed NNPC Mega

Stations as well as the development of the entire strategy for optimizing the Mega Stations in order to get the best returns on

investments for the Company.

4.2 The Retail Sales Manager (RSM) shall assist the GMM in the overall management and direction of all the AP managed NNPC

Mega Stations as well as the development of the entire strategy for optimizing the NNPC Mega Stations for the best returns on

investments for the Company.

4.3 The GMM shall appoint a Resident Dealer at any Mega Station. However, where it is considered to be more expedient, the GMM

may appoint a 3rd Party Retailer or Executive Manager to run the Station. In this case, no 3 rd Party Retailer/Executive Manager

shall be paid an agreed salary less than N0.60/ltr for services rendered except where deductions are due to penalties for non-

performance cash/products looses as stipulated in these guidelines. The GMM may however invoice 3 rd Party Retailers separately

for any in-house services rendered to them by the Dealer-Manager. This is intended to clear the ambiguity surrounding the actual

take home pay of the 3rd Party Retailers.

4.4 Prior to the commencement of operations at any Mega Station or at any other convenient time, the GMM may at its discretion

require a 3rd Party Retailer to pay a refundable deposit against losses and damages. Where such a deposit is made by the

Retailer, the Company shall be obliged to pay interest on this deposit at the prevailing interest rates for such amounts held for a

comparable tenor as agreed with each Retailer and NNPC.

4.5 The RSM shall issue a monthly statement of account for the refundable deposit, showing all interest credits to this account and

deductions made thereon. This statement shall be one of the back-up documents required by NNPC to enable the processing of

monthly invoices from the Dealer-Manager.

4.6 There shall be appointed an Officer designated as the Retail Development Coordinator (RDC) in the Head Office who shall report

directly to Retail Sales Manager (RSM).

4.7 The Retail Development Coordinator (RDC) shall ensure that NNPC does not withhold the processing of invoices from the Dealer-

Manager/Executive Manager, where the required statement of account for the Retailer’s refundable deposit is not provided for or

does not reflect interest payments as agreed by all parties.

4.8 The RSM shall also be responsible for supervising the day-to-day activities of the Retail Development Coordinator in terms of the

overall management of the NNPC Mega Stations.

4.9 The RSM shall be responsible for the preparation of monthly/quarterly/annual reports on the NNPC Mega Station Operations as

well as other duties as may be assigned by the GMM from time to time.

4.10 The Retail Development Coordinator (RDC) shall be responsible for the following functions, in addition to other duties as may be

directed by the RSM from time to time/main task;

a. Overall monitoring of the day-to-day operations of all NNPC Mega Stations via the designated Dealers of AP Managed station.

b. Ensure that the designated station managers of all NNPC Mega Stations are managing the stations in accordance with the

approved operating guidelines for NNP Mega Stations.

c. Ensure that all accounting records applicable in African Petroleum PLC Filling/Service Stations are properly maintained by the

Dealer- Manager concurrently with other documentation requirements as already provided in the guidelines for operating

NNPC Mega Stations.

d. The RDC shall ensure that the Dealer-Manager or the Executive Manager is maintaining adequate, timely and accurate

accounting records at all NNPC Mega Stations under the AP Operating Procedure as applicable for NRSP Managed Stations.

e. Ensure that there is proper interface/relationship between NNPC and African petroleum in all matter relating to the NNPC

Mega Stations.

f. Ensure that there is proper interface and interdepartmental coordination between all departments in the Company regarding

the operations of the NNPC Mega Stations.

g. Generate a daily/weekly/monthly/quarterly reports to the RSM on the overall operations of the NNPC Mega Stations on each

location.

h. Shall co-ordinate the usual monthly or periodic operational meetings held between the NNPC Representatives, the Dealer,

and the Dealer-Manager Area / Regional Managers and any other representatives that NNPC and the Dealer-Manager may

direct to attend the meetings. The meetings are intended to review operations at the Mega Station and take corrective action

on identified problems.

i. Any other duties that the RSM may assign from time-to-time regarding the operations of the NNPC Mega Stations.

5.0 SPECIALTIES DIVISION 5.1 The General Manager Specialties (GMS) shall be responsible for the overall management of all special products supplied and

sold at all NNPC Mega Stations. .

5.2 The Lubricant Manager (LM) shall assist the GMS in the day-to-day management of all special products supplied and sold at all

NNPC Mega Stations.

5.3 The LM shall supply Lubricants to the NNPC Mega Stations through the Regional Managers (RMs) in accordance with the

respective targets of the Regions.

5.4 The RDC shall maintain proper records of all lubricants supplied, sold, leakers and damages in appropriate books as applicable in

AP operating procedure for Lubricant Depots.

5.5 The RDC & the Regional Sales Engineers shall reconcile their records on Lubricants sales and copy the RMs, LM & BRM monthly

in an excel formats with details of supplies, sales, leakers, damaged etc.

5.6 The RDC shall conduct monthly Stock taking of Lubricants and reconcile records with the Dealer-Manager and copy the RMs, LM

& BRM monthly.

5.7 The RDC shall liaise with the Regional Sales Engineers on pricing, discounts and commission to NNPC on all lubricants products

which shall dependent upon prevailing market conditions or any agreement entered with NNPC if any.

5.8 The RDC shall be responsible for other duties as may be determined by the LM regarding Lubricants sales at the NNPC Mega

Stations from time-to-time.

6.0 OPERATIONS DIVISION6.1 The General Manager Operations (GMO) shall be responsible for ensuring the supply and distribution of all Products to NNPC

Mega Stations for all products being supplied by the Company to the NNPC Mega Stations.

6.2 The Distribution Manager (DM) shall assist the GMO in ensuring the smooth supply and distribution of all Products to NNPC Mega

Stations for all products being supplied by the Company to the Mega Stations.

6.3 The Distribution Manager (DM) shall ensure that the Petroleum Product Tankers to be deployed for the delivery of products to the

Mega Station meets Health, Safety and Environmental Standards that would be mutually agreed upon by both parties.

6.4 The Distribution Manager/The Dealer – Manager shall provide NNPC with its in-house checklist for guidance through the RDC and

Regional Distribution Coordinators.

6.5 The Operations Manager (OM) and the Engineering Manager (EM) shall ensure that all the Company’s Delivery Tankers carries

duly authenticated calibration charts at all times and copies of these charts shall be deposited at the Mega Station on or before the

deliveries of petroleum products commence. The RDC shall liaise with both the OM and EM to ensure that this criterion is met.

6.6 The RDC in collaboration with the Regional Distribution Coordinator within the Region shall ensure that the authenticated

calibration charts for all underground Storage Tanks at the Mega Stations are securely kept.

6.7 The Operation Manager & Engineering Manager shall ensure that the Company’s Product Laden Tankers are sealed with pre-

numbered seals on each loaded compartment and their corresponding discharge valves immediately after loading at the depots.

6.8 The RDC in collaboration with the Regional Distribution Coordinator of the Region shall ensure that prior to discharge at the Mega

Station, the Dealer – Manager shall tests all products with Hydrometers and Water Testing Paste in order to establish the density

and water content of each consignment. Records of these tests shall be kept at the Mega Station by the Dealer – Manager and

shall be available for inspection together with all other records of operations.

6.9 The RDC in collaboration with the Regional Distribution Coordinator of the Region shall ensure that the quantity delivered by each

NNPC Product Delivery Tanker shall be determined via a comparison between the volume measured on the Tanker using the

relevant authenticated calibration chart upon arrival at the Mega Station, and the actual volume discharged into the Mega Station

underground tanks as recorded by the flow meters attached to the fill pipes. If there is any discrepancy between the two product

measurement methods, the flow meter readings shall supersede.

6.10 The RDC in collaboration with the Regional Distribution Coordinator of the Region shall ensure that appropriate records are

maintained for all transfers, diversions, shortages, GIT loses, Accidented trucks, sales recorded by all Dealer – Manager.

7.0 FINANCE & ACCOUNTS DEPARTMENT 7.1 The Executive Director Finance & Information Technology (EDF & IT) shall be responsible for ensuring that all financial and

accounting information concerning all the NNPC Mega Station is provided in accordance with NNPC’s operation guidelines.

7.2 The EDF & IT shall maintain appropriate books and records of all transactions in all the NNPC Mega Stations in accordance with

NNPC operating procedure. In addition; the EDF & IT shall take appropriate steps to provide and maintain adequate, timely and

accurate accounting information for all NNPC Mega Stations as applicable under the AP Operating Procedure for NRSP Managed

Stations.

7.3 The Financial Controller shall have the responsibility of enforcing the Company’s credit policy on all products (lubricants and white

products) supplied to the NNPC Mega Stations via the Credit Controller.

7.4 The Regional Accountants shall have the oversight responsibility of enforcing the Company’s credit policy on all products

(lubricants and white products) supplied to the NNPC Mega Stations.

7.5 The Treasury & Planning Manager (TPM) & Financial Controller (FC) shall ensure that the Regional Accountants exercises the

powers and functions as provided in the Company’s products sales policy for all products (lubricants and white) supplied to NNPC

Mega Stations.

7.6 The Treasury & Planning Manager (TPM) & Financial Controller (FC) shall ensure that the Regional Accountants maintain

adequate, timely and accurate accounting records at all NNPC Mega Stations under the AP Operating Procedure as applicable for

NRSP Managed Stations.

7.7 The Treasury & Planning Manager (TPM) & Financial Controller (FC) shall ensure that the Regional Accountants maintain and

keep other financial records as may be required/prescribed from time to time to ensure the adequacy, accuracy and timely

provision of accounting information at all the NNPC Mega Stations.

7.8 The Financial Controller shall conduct annual stock taking at the end the year which shall be witnessed by BRM as part of the

Company’s general Annual stock taking exercise as regards products supplied by the Company to the NNPC mega stations.

7.9 The Treasury & Planning Manager (TPM) shall prepare a quarterly management account on the operations of the NNPC Mega

Stations for the members of the Executive Management and copy BRM.

7.10 The Treasury & Planning Manager (TPM) shall prepare a quarterly special report on credit control on the operations of the NNPC

Mega Stations for the members of the Executive Management and copy BRM

8.0 INFORMATION TECHNOLOGY DEPARTMENT

8.1 The Executive Director Finance & Information Technology (EDF & IT) shall be responsible for ensuring that the ICT requirements

for running all the NNPC Mega Station are promptly maintained in accordance with NNPC’s operation guidelines.

8.2 The Information Technology Manager shall assist the EDF & IT with the most robust information technology expertise for ensuring

that the ICT requirements of all the NNPC Mega Stations are addressed subject to the operating guidelines by NNPC.

8.3 The ITM shall understudy the Nucleus 9 Application Package and train other IT staff with a view of reducing the pressure on

NNPC/Julius Berger Consultants.

8.4 The RDC shall notify the ITM and the BRM any ICT related problems in terms of both application controls and hardware related

concerns on the entire ICT infrastructures.

9.0 GENERAL HOUSEKEEPING PROCEDURES

9.1 The RDC shall ensure compliance with the procedure that the Dealer-Manager or Executive Manager has well established and

documented safe procedures for the receipt of products from NNPC delivery Tankers that allows only competent persons to

receive deliveries.

9.2 The RDC shall ensure compliance with the procedure that the Dealer – Manager has well-established and documented safe

procedures for switching on and off pumps, parking of trucks at the forecourt, ullaging of Tankers and dipping of Underground

Tanks, ensuring that only competent persons are allowed to receive deliveries.

9.3 The RDC shall ensure that the Dealer – Manager/Executive Manager has all entry and exit points in and out of each Outlet are

properly identified with inscriptions and labels as approved by NNPC.

9.4 The RDC shall ensure that the Dealer – Manager provided removable crowd barriers for use during periods when there is a surge

in demand. The design and configuration of such barriers shall be in harmony with the Mega Station aesthetics. The barriers shall

be promptly dismantled and kept in storage when they are no longer required.

9.5 The RDC shall ensure that the Dealer – Manager has taken appropriate safeguards that cars driving into the forecourt are

properly positioned and that when there is need for queuing, the queues shall be so directed and managed to ensure minimal

disruption to the flow of traffic on all adjacent roads.

9.6 The RDC shall ensure that the Dealer – Manager and NNPC work jointly to ensure that all Tankers laden with petroleum Products

and waiting to discharge are parked safely.

9.7 The RDC shall ensure that the Dealer – Manager has properly labeled and secured with padlocks, all Underground Tanks by

product and by Serial Numbers. The numbering format shall indicate the relationship between the Tanks and the Pumps. All Fill

Pipes shall also be so numbered and secured.

9.8 The RDC shall ensure that the Dealer – Manager has undertaken a monthly facility evaluation and the reports of such evaluation

circulated for discussion prior to each monthly operational meeting to the RSM, GMM, GMO & GMS.

9.9 The RDC shall ensure that the Dealer – Manager at all times manage the Mega Station in a professional and business like

manner and ensure that the Brand Name of African Petroleum and the Image of NNPC are projected in a positive, customer

friendly and environmentally sensitive manner.

10.0 HEALTH, SAFETY, SECURITY & ENVIRONMENT

10.1 The RDC must ensure that the Dealer-Manager conducts a fire drill and training at least quarterly for all persons authorized to be

at the Mega Station. This drill shall include but not to be limited to activation of the Emergency Shut Down Switch, Evacuation of

Station, Assembly in Muster Points, Use of Fire Extinguishers and other Emergency Equipment, Use of First Aid Boxes,

Administration of First Aid, and Crowd Control. All muster points shall be clearly marked and a valid Fire Certificate must be

displayed in the shops.

10.2 The RDC shall ensure that the Dealer-Manager displays a comprehensive Emergency procedure at the Mega Station giving

advice on what action to take in case of a fire, explosion, spillage of petroleum product, theft, armed attack, and all other potential

emergency situations.

10.3 The RDC shall ensure that the NNPC/Dealer-Manager/Executive Manager has equipped the Mega Station First Aid Boxes,

Functional Fire Extinguishers that are to be recharged every six (6) months, an adequate number of Sand Buckets containing dry

sand, and Trash cans for disposal of sundry waste.

10.4 The RDC shall liaise with NNPC to ensue that a Water Reservoir & Water Hydrants for use as back-up water emergencies is

provided by NNPC.

10.5 The RDC shall perform a quarterly capacity assessment with a view to identifying gaps in relation to heath, safety, security and

environment for RSM’s attention.

11.0 GENERAL ROUTINE MAINTENANCE 11.1 The RDC shall liaise with Engineering Manager to ensure that the Dealer-Manger/Executive Manager carries out routine

maintenance and repairs of pumps and all other operational and safety equipment at the Mega Station to ensure that they are in

good working condition at all times.

11.2 The RDC shall ensure that the Dealer-Manager have devoted a portion of the Management Fee payable to them under the

Management Agreement to routine maintenance up to a maximum of N0.15/ltr of the total annual fees paid of N1.40/ltr paid to the

Dealer-Manager during each calendar year. Any routine maintenance costs and all major maintenance costs beyond and above

this amount shall be for NNPC’s account. Details are provided on Annexure (2) below.

11.3 The RDC shall ensure that the Dealer – Manager maintains a schedule of the costs of services and spare parts employed for

routine maintenance. These shall be recorded in the Site Register by the party supplying the part or service and certified by the

other party. These costs shall be reconciled monthly between the parties and all agreed costs shall be admitted into the

reconciliation of accounts for credits and debits to as may be appropriate.

11.4 The RDC shall ensure that the Dealer-Manager/Executive Manager undertake a routine maintenance in a timely manner, if the

Dealer-Manager fails RDC shall formally report this matter to the RSM for immediate remedy. If the Dealer-Manager/Executive

Manager still fails to undertake such maintenance within a reasonable time of such a report, the RSM may opt to undertake such

repairs and record the expenses incurred in the Site Register for reimbursement by the Dealer-Manager/Executive Manager

through the reconciliation process.

11.5 The RDC can suspend a Dealer-Manager/Executive Manager on the grounds of non-performance or any reasons that the RDC

may advance to justify such actions.

12.0 QUALITY CONTROL & SERVICE DELIVERY 12.1 The RDC shall liaise with the Marketing Training Manager to ensure that the Dealer-Manager/Executive Manager properly train all

Mega Station Staff to receive complaints from customers and the general public in a polite and courteous manner while trying to

understand the problem arising, without being defensive and without accepting liability.

12.2 The RDC shall ensure that the Dealer-Manager takes every necessary step to investigate and resolve the problem at hand if it is

possible to do so. If however, the Dealer-Manager is not able to resolve the problem immediately or if the problem requires the

attention of NNPC, then the RDC must ensure that the NNPC is contacted immediately.

13.0 GENERAL ADMINISTRATION 13.1 Regional Managers (RMs), Sales Coordinators (SCs), Regional Distribution Coordinators (RDCs) and Sales Representatives

(SRs) shall liaise with the RDC regarding products (lubricants and white) supplied to all the NNPC Mega Stations.

13.2 All RMs, SCs, RDCs and SRs shall perform their normal duties as provided under the Company’s procedure in the event that the

Company is the supplier of the products to the NNPC Mega Station.

13.3 If during the course of normal operations, the RDC determine that the conduct of affairs at the Mega Station is substantially at

variance with agreed operating procedures and standards, this matter shall be promptly brought to the attention of the Dealer or

Manager / Supervisor of the station for immediate remedy. If the RDC is still dissatisfied, then RSM shall have the right to instruct

the Station Management to suspend sales and all other operations until such a time that normalcy is restored after consultation

with the NNPC. In all instances, even where the problems have been satisfactorily addressed, the occurrence of this situation may

be brought to the attention of the RSM and GMM Dealer – Manager’s Area / Regional Manager by NNPC, at least for record

purposed.

13.4 The RDC shall ensure that in cases of surge in demand or emergencies, all named interface staff of NNPC and the Dealer

Manager shall automatically be at the disposal of the Mega Station Management to assist in maintaining orderliness and good

housekeeping at the Station. The RDC shall report such critical situation to the RSM.

13.5 Pursuant to the NNPC/Manager-Dealer Agreement, management fees are paid for the successful management of each station.

The RDC shall ensure that AP managed Mega Station(s) shall not be found to be involved in any of the practices listed on

Annexure (1) below, all of which constitute non-compliance with acceptable operating procedures. Each of these unacceptable

practices shall also attract the penalties prescribed below. All penalties shall be deducted from monthly invoices.

13.6 The RSM shall ensure that the Company has provided NNPC approved uniforms and identification tags for all pump attendants,

supervisors, lube bay technicians, shop sales assistants, security personnel and all other persons authorized to be on the

forecourt. For pump attendants, the uniform shall consist of a light green shirt with embroidered NNPC Retail Logo, a pair of black

trousers / ladies skirts, a black belt and a pair of black sandals. Names of Supervisor(s) on duty at each shift shall be prominently

displayed on the wall of the shop.

14.0 HUMAN CAPITAL MANAGEMENT 14.1 The GMM shall appoint an Executive Manager to manage the NNPC Mega Stations where a Dealer is not appointed to run the

station.

14.2 The GMM shall recruit the pump attendants, supervisors, lube bay technicians, shop sales assistants, security personnel and all

other persons authorized to be on the forecourt. The qualifications and experience of such persons to be employed shall be

determined by the GMM from time to time based on leading best practices.

14.3 The RDC shall ensure that all the staff in her employment at the Mega Station are adequately compensated taking into

consideration competition, retail outlet throughput and general market conditions.

14.4 The Executive Manager shall be employed as a causal worker to the Company and may be converted to a full and permanent

employment at the Company’s discretion in the event of an outstanding performance by the Executive Manager.

14.5 The Executive Manager shall report directly to the RDC on the day to day operations and shall maintain all the reports and records

as provided under this procedure.

14.6 The Executive Manager shall be responsible for other duties as may be assigned by the RDC under the instruction of the RSM or

the GMM.

14.7 In the spirit of business partnership, the Marketing Training Manager (MTM) shall give consideration to the training of selected

NNPC Representatives in Retail Operations, Marketing and Management. In this regard, the Dealer-Manager shall be expected to

accommodate NNPC representatives in their periodic Training Programs, Seminars, Workshops and all other schemes designed

to improve the Technical and Management skills of NNPC Representatives in Retail Operations. The costs of such training shall

be borne by NNPC.

15.0 BUSINESS RISK MANAGEMENT DEPARTMENT 15.1 The BRM must ensure strict compliance to this procedure by the Company in all ramifications subject to subsequent reviews and

changes that may arise from time-to time.

15.2 The BRM shall conduct proper checks, reviews, risk assessment audit, quality assessment; spot checks on all AP managed

NNPC Mega Station as may be considered necessary at any time.

15.3 The GMM shall forward to the BRM the month/quarterly operations reports of all NNPC Mega Stations in addition to other

exceptional reports that would be requested from time-to-time by the BRM.

15.4 The BRM shall ensure that a compressive audit is carried out on all the NNPC Mega Stations Quarterly and the Chief Operating

Officer briefed on the overall risk exposures.

15.5 The BRM shall carry out all other functions/duties that are required to strengthen internal control from time-to-time.

15.6 The BRM must ensure that all accounting records applicable to African Petroleum PLC Filling/Service Stations are properly

maintained by the Dealer- Manager/Executive Manager concurrently with other documentation requirements as already provided

in the guidelines for operating NNPC Mega Stations.

All statutory penalties shall be doubled and charged. In the event that the station or part thereof is shut down, N 250,000.00per day or part thereof shall be charged for loss of income and bringing the name of AP PLC to disrepute.
