AGREEMENT TO PURCHASE REAL ESTATE ATPUBLIC AUCTION

THISAGREEMENTTOPURCHASEREALESTATEATPUBLICAUCTION(latercalledthe“Agreement”),madeandenteredintoasofthis6thdayofJanuary,2014byandbetweenJWShiveleyIIRevocableTrust,JWShiveleyII,Trustee;MurleWayne Shiveley Living Trust,MWayne Shiveley Trustee;MargaretMoberg Shiveley Living Trust,MargaretMobergShiveleyTrustee(collectivelylatercalledthe“Seller”),and__________________________________________________________(latercalledthe“Purchaser”),asthehighestbidderontheproperty(asdefinedinParagraph1)atthepublicauctiononthisdate(the“Auction”),ismadesubjecttothefollowingterms,covenantsandconditions:

1.PROPERTY:SelleragreestosellandPurchaseragreestopurchaseoneparcelsoldonaper-acrebasiswithapproxi-mately237m/ltotalacresofrealestatesituatedinOdessa,Missouri.PurchaserherebyacknowledgesandunderstandsthatthePropertyisbeingsoldonan“asiswhereis”basis.PurchaserfurtheracknowledgesthatthisagreementisnotcontingentuponfinancingandthatfailuretoclosethistransactiononorbeforeThursday,February6,2014duetoanydelaycausedbyPurchasershallconstituteaforfeitureoftheEarnestMoney.

3.TITLE: Seller shall furnishPurchaserwithanOwnersTitle InsuranceCommitment (TitleCommitment), issuedbyMid-WestTitleCompany.Titleinsurancepremiumpaidforbytheseller.TheTitleCommitmentshallcommitthesubjecttitlecompanytoissuePurchaseritsstandardowner’spolicyintheamountofthepurchaseprice,showingtitletothePropertyinthenameoftheSeller.IntheeventthattheSellerisunabletoconveythePropertyinaccordancewiththetermsof thisagreement,Purchasershallelect toeither(a) takethePropertyencumberedwiththeobjectionableexceptionstothetitleandwaiveanyandallobjectionstheretowithoutabatementofthePurchasePrice,or(b)receivearefundoftheEarnestMoney,anduponsuchrefundbeingmade,thisAgreementshallterminateandbeofnofurtherforceandeffect.

4.SURVEY:Ifsurveyisnecessary,surveyshallbeprovidedatsellersexpenseanewsurveyreflectingthelegaldescrip-tion,acreageandboundarylinesforanyTractofthePropertywherethereisnoexistinglegaldescriptionorwherenewboundariesarecreatedbythedivisionsofTractsattheAuction.AnyneedforasurveyshallbedeterminedatthesolediscretionoftheSeller.IfanewsurveyisdeterminedtobenecessarybytheSeller,thePurchasePriceshallbeadjustedtoreflectanydifferencebetweenthebidacreageandthesurveyedacreage.PurchaserwillthenhavearevisedPurchasePricecalculatedbyMultiplyingthesurveyedacreagebytheactualPurchasePriceperAcreindicatedinParagraph2.

5.CLOSINGANDPOSSESSION:The“Closing”shalltakeplaceonorbeforeFebruary6,2014,attheofficeofMid-WestTitleCo.,CraigWilliams,545South13HWY,Lexington,MO64067andatatimedesignatedbytheSellerandagreeduponbyPurchaser.ConcurrentlywiththeClosing,PurchasershallpaytotheSellerthePurchasePrice,lesstheEarnestMoneyasprovidedforherein.UponfullreceiptoftheentirePurchasePricebySeller,SellershalldelivertoPurchaserspecialwarrantydeedsfromeachsellingentityconveyingtitleinthepropertytothePurchaser.Purchasershallpaythe

chargeforrecordingtheDeed.SellerandPurchaseragreetoexecuteanyrealestatetransferdeclarationsrequiredbythestate,countyormunicipalityinwhichthePropertyislocated.TheSellerandPurchaseragreetoprovideandtoexecutesuchfurtherdocumentsasmaybenecessaryorcustomarytoclosethisAgreement(e.g.,SellerAffidavit;FITPTAAffidavit;Organizationaldocumentsandclosingstatement)andequallyforclosingcosts.Purchasershallbeentitledtopossessionofthepropertyontheclosingdate,subjecttostatedtenant’srights.

6.CASUALTY:SellerwillkeepthePropertyandImprovementsinsureduntilclosing.Iftheimprovementsonthepropertyaresubstantiallydamagedordestroyedbyfireorothercasualtypriortoclosing, thenBuyerwillhavetheoptionofacceptingalloftheinsuranceproceedsandproceedingtoclosethisAgreement,orterminatingthisAgreement.IfthisAgreementisterminatedduetothisparagraphthentheearnestmoneywillbereturnedtotheBuyer.

7.WARRANTIES:PurchaseracknowledgesthatPurchaserhasbeengivenanopportunityforafullinspectionofthepropertyandrelatedinformationandfurtheracknowledgeswithrespecttothisagreementthatPurchaserissatisfiedinallrespectswiththeconditionofthePropertyandallmatterspertainingthereto.PurchaseracceptstheProperty“asis”andinitspresentconditionwithPurchaserassumingriskthereof.PurchaserunderstandsthatSellermakesnowarrantyorrepresentationofanykind,eitherimpliedorexpressedorarisingbyparticularpurposeofthePropertyoranyportionthereof,andinnoeventshallSellerbeliableforconsequentialdamages.PurchaseracknowledgesthatSellerhasnotagreedtoperformanyworkonoraboutthePropertyasaconditionofPurchaser’spurchaseofit.

8.MINERALRIGHTS:Onehundredpercent(100%)ofthemineralrightsownedbySellerwithrespecttotheProperty,ifany,shallbeconveyedtoPurchaseratClosing.

9.REALESTATETAXESANDASSESSMENTS:RealEstatetaxesforthecalendaryear2013shallbepaidbytheseller.PurchasershallassumeandpayrealestatetaxesforthePropertyforallperiodsthereafter.

10.DEFAULT:IfPurchaserfailstoperformanyobligationimposedbythisAgreement,SellermayservewrittennoticeofdefaultuponPurchaserandifsuchdefaultisnotcorrectedwithinten(10)daysthereafter,then,attheoptionoftheSeller,thisAgreementshallterminateandtheSellershallbeentitledtoretaintheEarnestMoneypaidhereunderasliquidateddamages.TheforegoingremedyintheeventofdefaultisnotintendedtobetheexclusiveremedyofSeller,andSellershallhavetherighttoseekanyotherremediesavailableatlaworequity,includingbutnotlimitedtospecificperformance.DefaultbyPurchasershallentitleSellertocourtcostsandreasonableattor-ney’sfeesincurredinenforcingtheprovisionofthisAgreement.

IntheeventoffailureofSellertoperformtheobligationsimposedbythisAgreement,Purchaser’ssoleremedyhereunderistoterminatethisAgreementandreceivearefundoftheEarnestMoneyuponsimilarnoticeserveduponSellerandsimilarexpirationtimeperiod.

TheEscrowAgent,uponreceivinganaffidavitfromthenon-defaultingpartystatingthatthisAgreementhasbeenterminatedasprovidedherein,shallbeentitledtorelyuponsuchaffidavitandshalldelivertheearnestmoneytothenon-defaultingparty.

11.ENVIRONMENTAL:ThePurchaseracknowledgesthattheSellerhasnotmadeandherebydisclaimsanyandallrepresentationsandwarranties,eitherexpressorimplied,regardingtheenvironmentalconditionoftheProper-ty.ThePurchasershallrelyuponitsownindependentinvestigation,inspection,inquiry,analysis,andduediligencetoevacuateandascertaintheenvironmentalconditionoftheProperty.ThePurchaserhasbeenadvisedthatthe

Propertyisbeingsold“asis,whereis”andthatSellerisnotrepresentingorwarrantingthattheconditionofthePropertyisinaccordanceorcompliancewithanypast,present,orfuturefederal,stateorlocalenvironmentallaws,regulations,requirements,orstandards.

Asamatterofcorporatepolicy,SellermakesitapracticetoexpresslyadviseanypurchaserthattheimprovementsonthePropertyincludematerials,whichmaycontainasbestos,andencouragesPurchasertoinvestigatespecificallywhetherasbestoscontainingmaterialsexistontheProperty.

12.PROVISIONSRELATINGSPECIALLYTOSELLER/TRUST/TRUSTEES/EXECUTORANDTHEIRRESPEC-TIVESPECIALCIRCUMSTANCES:Trustee/ExecutorDisclaimer.EachfiduciarycomprisingSellerexecutesthisinstrumentonlyinitsrepresentativecapacityandshallnotbeboundorobligatedhereunderexceptinsuchcapacity.PurchaseracknowledgesandagreesthatthisAgreementismadebysuchfiduciariessolelyintheirfiduciarycapacityasdescribedinthesignaturesaffixedhereto,andthatsuchfiduciariesshallnotbeliableforanybreachoranyfailuretoperformanyobligationunderthisAgreementexceptfromassetsheldinthefiduciarycapacitydescribed.

13.PROVISIONSRELATINGTOTHEAUCTIONCOMPANY/AUCTIONEER/BROKERS/FINDERS/AGENTS:(a)ThisAgreementissolelybetweenSellerandPurchaser.WheelerAuctions&RealEstate,L.L.C.(the“AuctionCompany”)anditslicensedauctioneersareemployedbytheSeller.TheAuctionCompanyanditsauctioneersshallnotbeliableforanypatentorlatentdefectsordeficienciesexistingintheProperty,improvementsorotherappurte-nantstructuresthereon,norforanyinformationprovidedtothePurchaser.ThePurchaseracknowledgesthatithasconducteditsownindependentinvestigations,inspections,inquiriesandduediligenceconcerningtheProperty.

(b)Commission.NotwithstandinganyotherprovisionsofthisAgreement,therighttocommission,ifany,payabletoanyagentrepresentingeitherpartytothisAgreementshallnotvestuntilthetransactionisclosed,andshallbepayableonlyoutofproceedsofclosingandsaidagentshallhaveequalrighttoanyportionofEarnestMoneyfor-feitures.

14.IRS1031TAXEXCHANGEDECLARATION(Optional):Itisagreedbetweenthepurchaser(s)andseller(s)thatamaterialpartoftheconsiderationtothePurchasersforpurchasingisthatthePurchaserhastheoptiontoqualifythistransactionaspartofatax-deferredexchangeunderSection1031oftheInternalRevenueCodeof1986asamended.SellersagreethatPurchasermayassignthisAgree-menttoanexchangeintermediaryofPurchaserschoice.Purchaseragreesthatanyandalladditionalexpense,ifany,shallbebornebyPurchaserandSellersagreetofullycooperatetocompletetheexchange.

Sellerhereunderdesirestoexchange,forotherpropertyoflikekindandqualifyingusewithinthemeaningofSec-tion1031oftheInternalRevenueCodeof1986,asamendedandtheRegulationspromulgatedthereunder,feetitleinthepropertywhichisthesubjectofthisContract.Sellerexpresslyreservestherighttoassignitsrights,butnotitsobligations,hereundertoaQualifiedIntermediaryasprovidedinIRCReg.1.1031(k)-1(g)(4)onorbeforetheclosingdate.

15.MISCELLANEOUS:(a) Jurisdiction. Thisagreement shallbe construed inaccordancewith the lawsof theStateofMissouri. AnyprovisionofthisAgreementwhichisunenforceableorinvalid,ortheinclusionofwhichwouldaffectthevalidity,legality,orenforcementofthisAgreementshallbeofnoeffect,butalltheremainingprovisionsoftheAgreementshallremaininfullforceandeffect.

(b)EntireAgreement.ThisAgreementcontainstheentireagreementofthepartiesandnorepresentations,warran-tiesoragreementshavebeenmadebyeitherofthepartiesexceptassetforthinthisAgreement.

(c)Heirs,SuccessorsandAssigns.ThisAgreementshallensuretothebenefitofandshallbebindingupontheSellerandPurchaserandtheirrespectiveheirs,successors,andpermittedassigns,provided,however,thatPurchasermaynotassignitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.

(d)TimeisOftheEssence.ThetimeforperformanceoftheobligationsofthisAgreementisoftheessence.

(e)Notice.AllnoticesshallbeinwritingandshallbedeemedtohavebeenproperlydeliveredasofthetimeofdeliveryifpersonallydeliveredorasofthetimedepositedinthemailsystemsifsentbyUnitedStatescertifiedmail,returnreceiptrequested,andpostageprepaid.

16.FSA/NRCS:Sellerisobligatedtomaintain(ifany)thecurrentFSAProgramandBasisontheabovelistedrealestate.BuyeragreestothedivisionofFSAProgramdataasapercentofcroplandacrespertract.BuyerassumestheresponsibilityofanyandallFSAorNRCSProgramscurrentlyinplace.BuyerwillberequiredtomaintainandcomplywithFSAregulationsoftheCRPcontract.

17.TenantRights:Presenttenant’srightsprevailifany.

18.SPECIALAGREEMENTS(ifany):A.Possessionofthecropgroundcurrentlyinrowcropsisatclosing.B.TenanthasuntilFebruary28,2014toremovehislivestock,equipment,andmiscellaneousitemsheownsandstoredonthefarm.C.Immediatepossessionofthepasturesandbuildingswillbeavailableearlieruponnoticebythetenantthatallpersonalpropertyhasbeenremoved.D.TheremovalofthestoredhayisalsoonorbeforeFebruary28,2014,however,thetenantwouldliketoexerciseanoptiontofeedthehayfromthatlocationandthisoptionissolelybetweenthebuyerofthepropertyandthecurrenttenanttoagreeuponornegotiate.
