Lexington, Harrisonville, MO 64701,andatatimedesignatedbytheSellerandagreeduponbyPurchaser.ConcurrentlywiththeClosing,PurchasershallpaytotheSellerthePurchasePrice,lesstheEarnestMoneyasprovidedforherein.UponfullreceiptoftheentirePurchasePricebySeller,SellershalldelivertoPurchaserspecialwarrantydeedsfromeachsellingentityconveyingtitleinthepropertytothePurchaser.PurchasershallpaythechargeforrecordingtheDeed.SellerandPurchaseragreetoexecuteanyrealestatetransferdeclarationsrequiredbythestate,countyormunicipalityinwhichthePropertyislocated.TheSellerandPurchaseragreetoprovideandtoexecutesuchfurtherdocumentsasmaybenecessaryorcustomarytoclosethisAgreement(e.g.,SellerAffidavit;FITPTAAffidavit;Organizationaldocumentsandclosingstatement)andequallyforclosingcosts.Purchaser shall be entitled to possession of the property on or before August 10th, 2014.Possessioniscontingentuponboth,themobilehometenantandAlbertF.andMaryLynneCornell,vacatingproperty.ThePos-sessionandTenantRightsareoutlinedintheInformationandNotesSectionoftheSaleProspectus.
6.CASUALTy:SellerwillkeepthePropertyandImprovementsinsureduntilclosing.Iftheimprovementsonthepropertyaresubstantiallydamagedordestroyedbyfireorothercasualtypriortoclosing,thenBuyerwillhavetheoptionofacceptingalloftheinsuranceproceedsandproceedingtoclosethisAgreement,orterminatingthisAgreement.IfthisAgreementisterminatedduetothisparagraphthentheearnestmoneywillbereturnedtotheBuyer.
7.wARRANTIES:PurchaseracknowledgesthatPurchaserhasbeengivenanopportunityforafullinspectionofthepropertyandrelatedinformationandfurtheracknowledgeswithrespecttothisagreementthatPurchaserissatisfiedinallrespectswiththeconditionofthePropertyandallmatterspertainingthereto.PurchaseracceptstheProperty“asis”andinitspresentconditionwithPurchaserassumingriskthereof.PurchaserunderstandsthatSellermakesnowarrantyorrepresentationofanykind,eitherimpliedorexpressedorarisingbyparticularpurposeofthePropertyoranyportionthereof,andinnoeventshallSellerbeliableforconsequentialdamages.PurchaseracknowledgesthatSellerhasnotagreedtoperformanyworkonoraboutthePropertyasaconditionofPurchaser’spurchaseofit.
8.MINERAL RIGHTS:Onehundredpercent(100%)ofthemineralrightsownedbySellerwithrespecttotheProperty,ifany,shallbeconveyedtoPurchaseratClosing.
9.REAL ESTATE TAxES AND ASSESSMENTS:RealEstatetaxesforthe2014calendaryearshallbepro-ratedtothedayofclosing.PurchasershallassumeandpayrealestatetaxesforthePropertyforallperiodsthereafter.
10.DEFAULT:IfPurchaserfailstoperformanyobligationimposedbythisAgreement,SellermayservewrittennoticeofdefaultuponPurchaserandifsuchdefaultisnotcorrectedwithinten(10)daysthereafter,then,attheoptionoftheSeller,thisAgreementshallterminateandtheSellershallbeentitledtoretaintheEarnestMoneypaidhereunderasliquidateddamages.TheforegoingremedyintheeventofdefaultisnotintendedtobetheexclusiveremedyofSeller,andSellershallhavetherighttoseekanyotherremediesavailableatlaworequity,includingbutnotlimitedtospecificperformance.DefaultbyPurchasershallentitleSellertocourtcostsandrea-sonableattorney’sfeesincurredinenforcingtheprovisionofthisAgreement.
IntheeventoffailureofSellertoperformtheobligationsimposedbythisAgreement,Purchaser’ssoleremedyhereunderistoterminatethisAgreementandreceivearefundoftheEarnestMoneyuponsimilarnoticeserveduponSellerandsimilarexpirationtimeperiod.
TheEscrowAgent,uponreceivinganaffidavitfromthenon-defaultingpartystatingthatthisAgreementhasbeenterminatedasprovidedherein,shallbeentitledtorelyuponsuchaffidavitandshalldelivertheearnestmoneytothenon-defaultingparty.
11.ENvIRONMENTAL:ThePurchaseracknowledgesthattheSellerhasnotmadeandherebydisclaimsanyandallrepresentationsandwarranties,eitherexpressorimplied,regardingtheenvironmentalconditionoftheProperty.ThePurchasershallrelyuponitsownindependentinvestigation,inspection,inquiry,analysis,andduediligencetoevacuateandascertaintheenvironmentalconditionoftheProperty.ThePurchaserhasbeenadvisedthatthePropertyisbeingsold“asis,whereis”andthatSellerisnotrepresentingorwarrantingthattheconditionofthePropertyisinaccordanceorcompliancewithanypast,present,orfuturefederal,stateorlocalenvironmen-tallaws,regulations,requirements,orstandards.
Asamatterofcorporatepolicy,SellermakesitapracticetoexpresslyadviseanypurchaserthattheimprovementsonthePropertyincludematerials,whichmaycontainasbestos,andencouragesPurchasertoinvestigatespecifi-callywhetherasbestoscontainingmaterialsexistontheProperty.
12.PROvISIONS RELATING SPECIALLy TO SELLER/TRUST/ TRUSTEES/ ExECUTOR AND THEIR RESPECTIvE SPECIAL CIRCUMSTANCES:Trustee/ExecutorDisclaimer.EachfiduciarycomprisingSellerexecutesthisinstrumentonlyinitsrepresentativecapacityandshallnotbeboundorobligatedhereunderexceptinsuchcapacity.PurchaseracknowledgesandagreesthatthisAgreementismadebysuchfiduciariessolelyintheirfiduciarycapacityasdescribedinthesignaturesaffixedhereto,andthatsuchfiduciariesshallnotbeliableforanybreachoranyfailuretoperformanyobligationunderthisAgreementexceptfromassetsheldinthefidu-ciarycapacitydescribed.
13.PROvISIONS RELATING TO THE AUCTION COMPANy/ AUCTIONEER/BROKERS/FINDERS/AGENTS:(a) ThisAgreementissolelybetweenSellerandPurchaser.WheelerAuctions&RealEstate,L.L.C.(the“AuctionCompany”)anditslicensedauctioneersareemployedbytheSeller.TheAuctionCompanyanditsauctioneersshallnotbeliableforanypatentorlatentdefectsordeficienciesexistingintheProperty,improvementsorotherappurtenantstructuresthereon,norforanyinformationprovidedtothePurchaser.ThePurchaseracknowledgesthatithasconducteditsownindependentinvestigations,inspections,inquiriesandduediligenceconcerningtheProperty.
(b)Commission.NotwithstandinganyotherprovisionsofthisAgreement,therighttocommission,ifany,payabletoanyagentrepresentingeitherpartytothisAgreementshallnotvestuntilthetransactionisclosed,andshallbepayableonlyoutofproceedsofclosingandsaidagentshallhaveequalrighttoanyportionofEarnestMoneyforfeitures.
14.IRS 1031 TAx ExCHANGE DECLARATION (Optional):Itisagreedbetweenthepurchaser(s)andseller(s)thatamaterialpartoftheconsiderationtothePurchasersforpurchasingisthatthePurchaserhastheoptiontoqualifythistransactionaspartofatax-deferredexchangeunderSection1031oftheInternalRevenueCodeof1986asamended.SellersagreethatPurchasermayassignthisAgreementtoanexchangeintermediaryofPurchaserschoice.Purchaseragreesthatanyandalladditionalexpense,ifany,shallbebornebyPurchaserandSellersagreetofullycooperatetocompletetheexchange.
Sellerhereunderdesirestoexchange,forotherpropertyoflikekindandqualifyingusewithinthemeaningofSection1031oftheInternalRevenueCodeof1986,asamendedandtheRegulationspromulgatedthereunder,feetitleinthepropertywhichisthesubjectofthisContract.Sellerexpresslyreservestherighttoassignitsrights,butnotitsobligations,hereundertoaQualifiedIntermediaryasprovidedinIRCReg.1.1031(k)-1(g)(4)onorbeforetheclosingdate.

15.MISCELLANEOUS:(a)Jurisdiction.ThisagreementshallbeconstruedinaccordancewiththelawsoftheStateofMissouri.AnyprovisionofthisAgreementwhichisunenforceableorinvalid,ortheinclusionofwhichwouldaffectthevalidity,legality,orenforcementofthisAgreementshallbeofnoeffect,butalltheremainingprovisionsoftheAgreementshallremaininfullforceandeffect.
(b)EntireAgreement.ThisAgreementcontainstheentireagreementofthepartiesandnorepresentations,war-rantiesoragreementshavebeenmadebyeitherofthepartiesexceptassetforthinthisAgreement.
(c) Heirs,SuccessorsandAssigns.ThisAgreementshallensuretothebenefitofandshallbebindingupontheSellerandPurchaserandtheirrespectiveheirs,successors,andpermittedassigns,provided,however,thatPur-chasermaynotassignitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.
(d)TimeisOftheEssence.ThetimeforperformanceoftheobligationsofthisAgreementisoftheessence.
(e)Notice.AllnoticesshallbeinwritingandshallbedeemedtohavebeenproperlydeliveredasofthetimeofdeliveryifpersonallydeliveredorasofthetimedepositedinthemailsystemsifsentbyUnitedStatescertifiedmail,returnreceiptrequested,andpostageprepaid.
16.FSA/NRCS:Sellerisobligatedtomaintain(ifany)thecurrentFSAProgramandBasisontheabovelistedrealestate.BuyeragreestothedivisionofFSAProgramdataasapercentofcroplandacrespertract.BuyerassumestheresponsibilityofanyandallFSAorNRCSProgramscurrentlyinplace.BuyerwillberequiredtomaintainandcomplywithFSAregulationsoftheCRPcontract.
17.Tenant Rights:Presenttenant’srightsprevailifany.
18. SPECIAL AGREEMENTS (if any):(a)PossessionoftheloghomewillbeavailableassoonastheCornell’svacate,onorbeforeAugust10,2014.
(b)Possessionofthemobilehomewillbeavailableassoonasthetenantsvacate,onorbeforeAugust10,2014.
(c)PossessionofthepasturewillbeNovember1,2014.
