A orney-Client Privilege From: Attorney’s Liability Assurance Society E-Newsletter-May 2017*

A recent decision discussed two common dangers: (1) using file-sharing sites without taking appropriate precau ons; and (2) responding improperly when you receive informa on that your opponent might claim is privileged. The court found that although the file-sharing plain ff waived the a orney-client privilege, the defendant should be sanc oned for the way it handled privileged informa on. See Harleysville Ins. Co. v. Holding Funeral Home, Inc., 2017 U.S. Dist. LEXIS 18714, 2017 WL 1041600 (W.D. Va. Feb. 9, 2017).

The ruling arose from a declaratory relief ac on filed by an insurance company against its insureds, which was complicated by a series of discovery mishaps. First, an employee of the insurance company uploaded the en re claims file to Box.com, a file-sharing site. The informa on was not password protected. Defense counsel learned about the Box.com pos ng when a third party, the Na onal Insurance Crime Bureau, inadvertently produced an email containing the Box.com link in response to defendants’ subpoena. Unbelievably, defense counsel then used the hyperlink to gain access to the Box.com site and download the claims file. Moreover, if that was not bad enough, defense counsel accidentally produced key parts of the claims file back to the plain ff in response to plain ff’s document requests. When plain ff discovered the error, it double down by moving to disqualify defendants’ counsel.

The court held that by making the case publicly accessible on Box.com, the plain ff had waived the a orney-client privilege. The court emphasized that the informa on was not password protected and could be viewed by anyone, making the plain ff’s pos ng “the cyber world equivalent of leaving its claims file on a bench in the public square and telling its counsel where it could find it.” The court also found that there was no work

product protec on because the pos ng would not be considered “inadvertent” disclosure under Federal Rule of Evidence 502 and because the plain ff and its counsel failed to take reasonable steps to prevent disclosure.

The court then addressed the defendants’ conduct. The court pointed out that Federal Rule of Civil Procedure 26(b)(5)(b), Virginia Supreme Court Rule 4.1(b)(b)(ii), and at least two Virginia ethics opinions address how lawyers should respond when they receive informa on an opposing party might claim is privileged or protected from disclosure. Because defendants became aware of the Box.com link through the produc on of an email containing a confiden ality no ce, the court reasoned that they were on no ce that the site might contain privileged or protected informa on. Before using the informa on, they should have sought a ruling from the court. Because they did not, the court ordered them to bear the costs of the mo on as a sanc on. The court declined, however, to disqualify defendants’ counsel. Because of the court’s ruling on waiver, subs tute counsel would have access to the same informa on. For this reason, the court found that there could be no harm to the plain ff by allowing defense counsel to remain in the case.

Popular file-sharing sites such as Box.com, Dropbox, Google Drive and OneDrive enable collabora on with client, co-counsel, and experts. As this decision demonstrates, however file sharing can expose confiden al client informa on. Before using such sites, evaluate them carefully. See, e.g., Massachuse s Opinion 12-03 (May 17, 2012) (providing guidance for evalua ng cloud-based file storage sites). Use passwords, encryp on, and other precau ons. Rather than using free services, consider whether your firm should contract with one of the paid services developed for law firms, medical providers, financial service firms, and others that handle highly confiden al informa on. Finally, include language in your engagement le ers that discloses the risk associated with file-sharing and seeks the client’s consent to use a file-sharing site.

Spring Membership Minutes (4-28-2018)

33-37

Thank you Orangeburg LSP for a fantastic weekend and

annual meeting. My theme for the year is “TAO – Together As One). This year we have seen a growth in membership and certification in our association. My goal is to continue this development. To encourage membership, marketing, education and certification. We all need to do this Together As One.

This year we will be continuing with the cash incentives

and also the live streaming of the membership meetings. The officers’ retreat is May 18-20, 2018 and we hope to have some new and exciting ideas to bring to you. The summer membership meeting will be August 10-11, 2018 in Santee, South Carolina, and we will again offer the Friday night social, the seminars and membership meeting on Saturday.

We are also offering the chance for three individuals to

take the ALP, PLS/CLP or PP certification exams or any retake of an exam. Just send your name to Ann Marie Minerva, PP, SCCP, Functional Director of Education and Certification, by November 15th along with which exam you wish to take. Giving someone a chance to take a certification exam is a way for our association to give back to the membership.

As I said during the installation ceremony and again on

Sunday, my theme is TAO – Together As One. We are all in this together so let’s get it done as One entity, doing the best we can do to grow and enhance our association.

it such a wonderful success.

Treasurer’s Report Deborah League Brown, Certified PLS

Thank you for allowing me to serve as your Treasurer this year. Being Financial Review last year, before taking on the task as State Treasurer, gave me a unique perspective of a problem which I am advised has become more acute over the past few years – namely last minute registration (or cancellation) for meetings and CLE seminars. There is no wiggle room incorporated into these deadlines – the officers and chairs who are involved in the preparation of the meetings need the registration information immediately after the stated deadline dates in order to order food, organize the venue, prepare handouts, etc. We all work in an industry where we live and die by calendaring and deadlines, and our meetings deserve the same consideration. The majority of our members are “seasoned” members who have been involved as chairs/officers on both the local and state level for many years; and in fact, most of the members attending our state meetings have served as State President and know the work and details which go into getting ready for our meetings. We want to encourage every member to attend the state meetings and CLE seminars, and do not want to be put in the position of hurting someone’s feelings, so we therefore ask our members to help us by timely submitting their registrations by the postmark deadline dates. For those members whose employers pay and mail their registrations, please advise them of the necessity of the postmark deadline dates. Your cooperation is greatly appreciated!! • Postmark deadline for Membership Meeting

registrations is July 27, 2018 (please add $10 late fee to registrations sent after that date) - no refunds after July 25, 2018

• Postmark deadline for CLE Registration w/

materials is August 7, 2018 - no refunds after August 3, 2018

President-Elect Tara J. Brown, PP, PLS, SCCP

As I write this article, I am overcome in amazement that I am the President-Elect for the Legal Staff Professionals of South Carolina, AGAIN! I am truly honored and humbled to serve as your President-Elect, and greatly appreciate the confidence that each of you have bestowed upon me to allow me to hold such a position. I look forward to serving under President Waldrop this year. She has wonderful ideas to share and is ready to continue leading our association into another great year. We look forward to representing Legal Staff Professionals of South Carolina at the NALS National Conference in Phoenix, Arizona in September 2018. As most of you know, I am working with the individual Chapter Presidents to prepare for State Officer visitation. I look forward to visiting the Chapters, as it is always a treat to see members that we don’t always see at the various meetings throughout the year. I love this association and the people in it, and I could never replace the wealth of networking opportunities, the knowledge garnered, the friendships that are developed, and the fun that we have together. Finally, I would like to express my heartfelt appreciation for such a wonderful Annual Meeting in Orangeburg and to each one of you who were able to attend the President-Elect Luncheon, the Installation, and for an overall wonderful weekend of events. It meant so much to me to have my family/chapter present to support me in our Association. You are all such wonderful friends and I love each of you very much. I truly enjoy being a part of the Greenville Chapter. Thank you for such a beautiful memorable gift. I would like to extend a special “thank you” to all those who worked so hard to organize the weekend and making

Legal Staff Professionals of Greenville Michelle Dender 2018-2019 President Hello from Greenville, SC, our April installation went very well. We have two new board members who have never served in office before. Lauren Rentz from Chace Campbell P.A. is the new Treasurer and Libby Holleman from Guest and Brady is our new Secretary. We are still in search for a President-Elect but I am encouraged that we will find a candidate. The installation and theme of the year for LSPG is metamorphosis and perseverance. With this theme I chose the Butterfly as our symbol. This year our chapter is inspired to reach out to legal staff in Greenville and the surrounding areas, excited about offering CLE that the membership is asking for, and encouraged to learn from the experienced members of the group to continue our great presence. We are looking to add dinner CLE events to offer other times to meet with members and potential members. We are excited about a member incentive event at the Greenville Braves baseball game this summer. I am hoping that our new board and all of our members will find it fun to plan educational events. We look forward to a new year with new members, mentoring and growth. Hilton Head Legal Staff Professionals Cami Jo Gort, President-Elect Members met in March at the Going Law Firm for a regular business meeting to discuss nominations and elections for 2018-2019, participating in the Belk Charity Sale, donating to the Palmetto Heart Walk and Walk MS Upstate – Spartanburg, and sponsorship opportunities for the annual meeting in Santee. In April, members met at Going Law Firm for the installation of our 2018-2019 Board and then enjoyed dinner and friendship at Il Carpaccio restaurant. HHLSP’s 2018-2019 Board is as follows –
