Terms, Conditions & Warranty The following conditions and terms of sale shall pertain to all orders unless otherwise specified on this proposal. Prices: Prices shown on this proposal are ACASI Machinery’s price in effect and are valid for thirty (30) days from the date the proposal is made, unless otherwise specified. Payment Terms: 50% with purchase order and balance due prior to shipment. Taxes and Duties: In addition to the price invoiced by ACASI Machinery as aforesaid, Buyer agrees to pay the following or reimburse ACASI Machinery for the same to the extent paid by ACASI Machinery:

1. All applicable sales, use or other taxes (notwithstanding their designation as excise, gross receipts, privilege or similar taxes) imposed by any governmental body upon the transaction described herein.

2. All additional costs arising from any duties and any federal, state or local laws imposed as processing or any other taxes on the raw materials or manufactured products.

Delivery: The estimated delivery time is ten (10) to twelve (12) weeks from receipt of Buyer’s purchase order, deposit and samples. Upon receipt, order will be placed on the production schedule. All scheduled delivery dates are approximate, subject to change due to weather conditions, war, fire, strikes or other labor disturbances that affect ACASI Machinery and its suppliers of materials. Where shipment is deferred at Buyer’s request beyond date of completion, the order will be subject to invoice, payment, and storage charge from the date of completion. Samples: Buyer must supply the requested quantity of sample bottles, caps, and product as ACASI Machinery requested. Buyer warrants that product samples will not be flammable, explosive or toxic. Buyer will be responsible for the conformance of shipment of these items to all applicable state, federal and local regulations and will supply ACASI Machinery proper documentation for these items as requested. Testing: ACASI Machinery will test the machines with two (2) bottle and product combinations, or two (2) bottle and cap combinations. Additional testing will incur a charge of $ 200.00 per machine. Freight: All shipments are Ex-Works Miami unless otherwise specified. All transportation and handling charges from Ex-Works Miami shall be at Buyer’s expense, and all risk of loss shall be



upon Buyer following delivery at point of manufacture. ACASI Machinery will not be responsible for delays caused by common carrier. Cancellation: Cancellation of all or any part of the order should be submitted in writing to ACASI Machinery and a cancellation penalty of 30% of the total purchase order will apply. Higher penalties will apply to custom design parts and equipment. Installation & Training: Unless otherwise specifically provide herein, Buyer should have full responsibility for the installation and the initial start-up of the equipment. ACASI Machinery shall not be responsible for any damage to the equipment or to the property, or any personal injury, or any consequential damages, arising out of or in connection with such installation. Equipment has been set to be used with samples submitted to ACASI Machinery. Installation and training is provided by ACASI Machinery at additional cost. Training is provided at our Miami facility free of cost prior to equipment shipment. If installation is requested, Buyer is responsible to place and level the equipment and make all utility connections (air, water, electrical, etc.) prior to the technician’s arrival. Onsite training and installation rates indicated below: Service time regular rate, 8 hours per day Monday through Friday during a 24 hour period: $ 95.00 per hour Service time overtime rate, additional hours beyond 8 hours Monday through Friday during a 24 hour period: $ 142.50 per hour All travel and out of pocket expenses including but not limited to auto, parking, airfare, hotel, meals, etc. shall be billed at cost. Warranty: During the warranty period, ACASI Machinery shall repair or, at ACASI Machinery’s option, replace parts determined by ACASI Machinery to be defective in material or workmanship. The warranty period is eighteen (18) months on all ACASI Machinery manufacturer parts from the date of shipping. Components are covered by original manufacturer warranty. Any equipment defect must be reported to ACASI Machinery within the stated warranty period. ACASI Machinery is not responsible for shipping expenses such as crating, rigging, transportation charges, insurance, taxes, and custom duties, of replacement parts. These expenses will be Buyer’s responsibility. The warranty does not extend to any products, containers or closures that were not submitted and approved by ACASI Machinery. This warranty also excludes all faults, damage or problems due to misuse, normal wear and tear, negligence, altering, removing or bypassing any guards or safety devices, and failure to follow proper installation, startup, operating, and repair or maintenance procedures. Labor incurred in removing defective parts and/or installing replacement parts is not covered under this warranty. The warranty of the machinery is affected by, but not limited to,



conditions such as proper set-up, product temperature, wet containers, out of specification (or incompatible) components and neglect.
