The introduction of the Opal card ticketing and top up system has streamlined operational

and staffing requirements across the Sydney Trains’ network and has resulted in the

creation of new retail opportunities in the form of repurposed station ticket offices.

While major station upgrades are constantly creating new retail opportunities throughout

Sydney Trains’ network, a major program is currently underway to convert 30 repurposed

station ticket offices into retail opportunities to offer to market.

Sydney Trains is offering new and exciting retail opportunities across the rail network in

the form of geographic portfolios consisting of up to seven retail sites.

We invite you to submit a proposal to lease one or multiple portfolios presented for

Sydney Trains and Rail Corporation New South Wales (RailCorp) consideration.

NOTE: SYDNEY TRAINS AND RAIL CORPORATION NEW SOUTH WALES

WILL ONLY CONSIDER PROPOSALS TO LEASE ONE OR MULTIPLE

PORTFOLIOS THAT HAVE BEEN OUTLINED IN THIS PROPOSAL DOCUMENT.

PROPOSALS FOR SINGLE SITES WILL NOT BE ACCEPTED.

The Lessee at its cost, is responsible for any alterations, connections and extensions to the existing service

provision/s and improvements provided by the Lessor and in accordance with Sydney Train’s Tenancy

Fit-out Guide.

Each site offered to market within the Information Memorandum contains the following service provisions.

Alternations to the tenancy’s base building fire system that are

required for fit outs to comply with BCA and Lessor requirements

can only be carry out by the Lessor’s approved base building fire

system contractors.

The cost of any redesign and works to base building fire services

are the sole responsibility of the Lessee.

The Lessor’s Tenancy Coordinator will facilitate on behalf of the

Lessee;

• A review of the approved fit out design layout by its base

building fire contractor’s to determine any redesign and works

to the base building fire services

• A quotation for any redesign and works required to the base

building fire services from its base building fire contractor/s

for the lessee’s approval.

Base building fire contractors will note commence the required

works until they receive full payment directly for their services.

LEASE TYPE:

Retail

PERMITTED USE:

(Applicant to propose within their RFP response)

TERM:

Five (5) years beginning on the Commencing Date and expiring on the Terminating Date.

HANDOVER DATE:

The earlier of 1 November 2018 or five (5) business days from all statutory approvals - The Handover Date may commence notwithstanding;

• Minor items of the Landlord’s Works not being completed, provided they can be carried out and completed at the same time as the Lessee’s Works without material interference to the Lessee.

• The Lessee has not obtain all Lessor or statutory approvals for the Use and fit out of the premises.

• The Landlord is entitled to bring forward or extend the Handover Date if the Landlord has completed or is unable to complete the Landlord’s Works.

• The Landlord will use its reasonable endeavors to keep the Lessees advised of the proposed Handover Date.

LEASE COMMENCING DATE:

The agreed Handover Date

LEASE TERMINATING DATE:

Five (5) years from the agreed Commencement Date

FIT OUT PERIOD:

One (1) x month from the agreed Commencement Date. At the Lessor’s absolute discretion deduct the equivalent of 1x weeks rent from any agreed rent free period for each day proceeding the agreed fit out period the Lessee has not achieved an Occupation Certificate to trade.

RENT FREE PERIOD:

1 x month Net Rental commencing at the end of any agreed Fit out Period.

RENT COMMENCEMENT:

The day proceeding any agreed Rent Free period

NET RENTAL:

(Applicant to propose within their RFP response)

PERCENTAGE RENT:

In addition to the Rent, the Lessee must pay the Lessor any amount by which (Applicant to propose within their RFP response) of the Lessee’s sales generated from business operated from the Premises exceeds the Rent for that same period.

RENT DAY:

The rent is payable by direct debit (electronic funds transfer) from the Lessee’s nominated bank account, on the Rent Commencing Date and the first day of each subsequent month, by equal monthly instalments in advance.

RENT REVIEWS:

Fixed Increase - The Rent will increase by 3.5% on the anniversary of years 2, 4 & 5 of the lease commencement date.

EXTENSIONS & CONNECTIONS:

The Lessee at its cost is responsible to arrange all connections and extensions of services and provisions to suit its Fit out (including meters and distribution boards).

TENANCY PROVISIONS:

Refer to page X of IM document.

FIT OUT:

The Lessee is responsible for any alterations to the existing improvements, at its own cost. All alterations must be undertaken in accordance with RailCorp’s Tenancy Fit-out Guide and must be approved by RailCorp prior to any works being carried out.

DESIGN REVIEW & FIT OUT COORDINATION FEE:

The Lessee is responsible for all costs associated with the design and construction review and approval process for the Fit out incurred by the Lessor from its Design Manager and/or Fit out Coordinator. Costs are capped at $5,000.000 Plus GST.

HOARDINGS:

Provided by the Lessor at its cost, all hoarding signage is subject to Lessor approval.

MAKE GOOD:

At the expiry of earlier determination of the Lease, the Lessee must reinstate the Premises to a base building condition unless otherwise agreed by the parties.

STATUTORY REQUIREMENTS:

The Lessee must comply with all Council and any other government or authority requirements in relation to the Lessee's proposed use and fit out of the Premises.

MARKET REVIEWS

On the anniversary of year 3 of the lease commencement date.

OUTGOINGS:

The Lessee must pay:

• a proportion of the Lessor’s costs in connection with the ownership and management of the land and Premises, that proportion being based on the proportion the lettable area of the Premises bears to the total lettable area of the center of which the Premises forms part; and

• all statutory rates and taxes and other service charges separately charged to the Premises, merited or levied upon the Premises directly to the relevant rating authority levying the charge. These charges may include, but are not limited to, council rates, water charges, trade waste charges, electricity and land tax.

SECURITY:

Bank Guarantee for an amount equivalent to four (4) months rent plus GST. The bank guarantee must comply with the Lessor’s requirements .

INSURANCE:

For the duration of the Term, the Lessee must effect and maintain insurance which covers:

A. Public Liability Insurance – $20,000,000;

B. Products Liability Insurance – $20,000,000;

C. Property Insurance – including plate glass insurance for its full replacement value;

D. Workers' Compensation Insurance (where required by law).

LESSOR WORKS/PROVISIONS:

The location of all existing provisions/services/fixtures is pre-determined within the premises unless otherwise stated by the Lessor.

EARLY TERMINATION:

The Lease will contain a provision which allows the Lessor to terminate the Lease by giving to the Lessee 6 months written notice should the Lessor require vacant possession of the Premises to:

A. demolish (including to substantially repair, upgrade, renovate or reconstruct) the Premises;

B. demolish (including to substantially repair, upgrade, renovate or reconstruct) the Retail Areas; or

C. carry out the Lessor's obligations under the Railway Legislation, providezd that the Lessor pays the Lessee reasonable compensation in accordance with section 35 of the Retail Leases Act 1994 (NSW).

SPECIAL CONDITIONS:

NIL

CONFIDENTIALITY:

All terms and conditions in this Invitation to Lease and documentation supplied by the parties, to the extent not already in the public domain, must be kept strictly confidential to the parties and their professional advisors.

LEGAL FEES:

The Lessee is responsible for:

A. the cost of registration of the Lease;

B. the stamp duty payable on the Lease (if any); and

C. subject to the Retail Leases Act 1994 (NSW), RailCorp's legal costs (at RailCorp's solicitors' hourly rate) incurred in connection with the preparation, negotiation and finalisation of any amendments to the Lease requested by the Lessee.

NOTE: Al l other commerc ia l terms throughout the Lessor ’s Stan-dard Lease terms are non-negot iable

HOLDING DEPOSIT:

Prior to the Lessor issuing the Lease, the Lessee must pay a holding deposit of $5,000.00. Once the Lease has been executed the Holding deposit will be credited towards the Design Review & Fit out coordination fee incurred by the Lessor. If the Lessee withdraws prior to the Lease being signed, the Lessor will deduct the outstanding cost of any legal fees and other expenses incurred by the Lessor before returning the balance of the holding deposit to the Lessee.

The Lease documentation will not be issued until payment of the Holding Deposit is received.

LEGALLY BINDING:

The parties agree that, other than the paragraphs above dealing with confidentiality and the holding deposit, this Invitation to Lease is not legally binding and that the parties do not intend to enter into a legally binding arrangement until execution of the Lease by both parties.

The above terms and conditions are subject to lease and final approval by the Lessor and do not form part of any contract and the Lessee should not rely on any particulars contained in this Invitation to Lease but should make independent investigations to satisfy itself as to the correctness of any statements or representations.

FOR EACH SITE THE PROPONENT MUST

• Enter into a separate retail lease with the lessor, in accordance with the

executed Invitation to Lease terms agreed between the parties for the site;

• Provide individual Bank Guarantees for each site equivalent to 3 months’

Gross base rent including GST;

• Hold an individual Public Liability insurance policy for each site ($20 Million)

noting the Lessor’s interest; and

• Comply with the Lessor’s Fit out requirements (Refer to the attached fit out

guide).

NOTE: RailCorp specific provisions in the lease that are referenced in the Retail Lesase Act are non-negotiable.

R E Q U E S T F O R P RO P OSA L R E Q U I R E M E N TS

All Proposals must contain at least the following documentation to be deemed

by the Lessor as a valid proposal:

• C O M PA N Y P R O F I L E - must include details of existing retail operations and

operational and financial capabilities.

• O F F E R TO L E A S E - Propose key commercial terms by completing

Schedule A - (Key Commercial Terms) for all sites within the portfolio/s being

applied for.

NOTE: All other commercial terms contained in the Lessor’s Standard Lease

terms section of this IM document are non-negotiable.

• R E TA I L C O N C E P T & O F F E R I N G - In addition to completing Schedule - A,

proposals must include a retail concept (Brand) and offering (Use) for all sites within

the portfolio/s being applied for. Tailoring the retail concept and offering for each

site to the station demographics will be viewed positively by the lessor.

• C O N C E P T U A L P L A N S A N D D E S I G N S – To be provided for all sites within

the nominated portfolio/s where an offer is being made.

Note: CAD files for all sites are available on request

• A P P L I C AT I O N F O R M - must be completed in its entirety, include

submitting all supporting documentation.

CI Australia will review the Proposals received and will make recommendations to

Sydney Trains. Sydney Trains is not bound to follow the recommendations submit-

ted. If information received in a Proposal is unclear or open to interpretation then

clarification may be requested from the Proponent.

CI Australia and Sydney Trains will evaluate all Proposals received in order to assess

which Proponent (if any) will be accepted. In the course of the evaluation process,

CI Australia may request additional information by way of clarification or otherwise.

The cost of providing any additional information will be borne by the Proponent.

All Proposals will be evaluated in accordance with the criteria set out opposite. The

criteria are not exhaustive, not listed in any special order and will not necessarily be

accorded equal weight.

• Proposed commercial terms offered

• Sustainability, quality and relevance of the offer

• The relevance of the station and existing tenancy mix, demographics and

commuter retail demands

• Quality and relevance of the concept

• Concept design appeal and suitability of concept

Proponents should provide any additional information and material they consider

relevant in supporting their submission, or any other information they wish to have

considered.

The Lessee is responsible for all costs associated with the design, construction and approvals for the Fit out process incurred by the

Lessor’s approved Design and Fit out Coordinator. These costs are capped at $5,000.00 Plus GST per site and are non-negotiable. The

costs are payable directly to the Lessor.

A Design Manager and Fit out Coordinator will be engaged by the landlord to manage and work with the Lessee, their designer and

builder, and the Lessor’s stakeholders, to ensure the planning, design, and construction of the Fit out complies with the Lessor’s Fit out Guide,

any other requirements of the Lessor and the development approval process, including any Local Authority approvals.

Within 14 days of successful appointment of RFP, the Lessee must engage with the Lessor’s approved Design Manager and Fit out

cordinator for the proposed fit out of each site.

All Proposals must be lodged by 11th June 2018 at 5pm (EST). Proposals must be

lodged electronically and in two (2) hard copies prior to the Closing Date and Time.

Proposals received after the Closing Date and Time will not be accepted, except

as otherwise determined by CI Australia in its absolute discretion (but without any

obligation to do so).

NO IMPLIED AGREEMENT

The RFP is not an offer. The submission of a Proposal does not create any form of

contract or any binding obligations on either party until a Lease is executed by all

parties.

CI Australia is not obliged to proceed with any Proposal and may elect not to

proceed at any point in its absolute discretion and has no liability whatsoever to any

persons for any costs, loss or liability incurred or suffered by a Proponent.

OWNERSHIP OF THE PROPOSAL

Unless otherwise agreed, all Proposals become the property of CI Australia upon

lodgement will not be returned to the Proponent.

Proponents should submit documents in response to the RFP on the basis CI Australia

may use, retain and copy the information contained in those documents for the

purposes of:

1. Evaluating, selecting and preparing any contract with respect to the RFP process;

and,

2. The development of any other RFP conducted by CI Australia.

Nothing in this clause changes or affects the ownership of intellectual property in the

information contained within the RFP.

T E R M S & C O N D I T I O N S

CONFIDENTIALITY

The Proponents must not disclose or provide to any person, other than persons

engaged in the preparation of its Proposal, any information concerning the RFP or its

subject matter, the Proposal or any information provided by CI Australia or Sydney

Trains without first obtaining written permission from CI Australia.

CONSENTS

Any successful Proponent will be responsible for consents required for the

occupation and fit out of the premises. All costs associated with Proposals shall be

the responsibility of the Proponent. Proponents are required to provide a response

detailing the statutory consent process they propose to follow to ensure compliance.

COSTS OR EXPENSES

CI Australia, RailCorp and Sydney Trains will not be responsible for any costs or

expenses incurred by any Proponent in preparing or lodging its Proposal, nor in

respect of any discussions, negotiations, enquiries or any works undertaken by the

Proponent before, during or after submission of its Proposal.

In this Request for Proposal, unless the contrary intention appears:

• Lease - The legal document, which sets out the conditions between the

Lessor and the Lessee.

• Lessee - Proponent selected by CI Australia to lease the Sites.

• Lessor - The registered proprietor of the Sites - Rail Corporation New South

Wales (Sydney Trains as agent for RailCorp).

• Managing Agent - The person or company engaged by Sydney Trains

Property Division to act on their behalf in the leasing of RailCorp property.

• Proposal Response - to this Request for Proposal submitted by a Proponent.

• Proponent - Interested party who wishes to enter into agreements with

RailCorp in the manner completed by the Request for Proposals (RFP) and

includes the Proponent’s related bodies corporate, employees, agents

and contractors.

• Site or Sites - retail opportunities offered for lease and as defined by the

agreement.
