Dear Allison,

Thank you for the opportunity to submit this revised proposal for communications support of Ambassador Al-Thani's upcoming visit to Houston. As a communications leader in both the private and public sectors in Houston for the past 33 years, I possess the knowledge, experience and client commitment to help make the Ambassador's visit a success.

Should you engage me on this project, I would first want to discuss the overall goals of his trip beyond the obvious reputational benefits. This will drive the itinerary and message development.

My professional background is summarized in the attached biography. In particular, I call your attention to my recent tenure as Vice President of Communications for Houston's transit agency METRO, where I interacted routinely with local journalists, bloggers and government officials. During an 18-month assignment in Saudi Arabia back in the 1990s, I handled media relations for HE Ali Naimi during an announcement ceremony at Malacanag Palace in Manilla. This blend of Houston and high-level Arab World experience enable me to work seamlessly and effectively with local players and embassy staff.

I offer the following insights as part of a strategic communications approach (to be further refined with feedback on possible editorial board visit, as discussed):

V Utilize print media (Houston Chronicle, Houston Business Journal) for extended interviews and key message delivery.

S Rely on broadcast media (radio and TV) to cover ceremonies with officials and non-profit agencies.

•S Consider an appearance by the Ambassador (pre-recorded during visit) on a Sunday morning community affairs program, perhaps with a non-profit agency leader.

■S Utilize social media to generate "buzz" immediately before and during visit.S Consider breakfast or luncheon appointments with local business and academic leaders.

As for logistics and tactics, I can line up a photographer, videographer and possibly social media expertise (if needed) and coordinate with them during the visit, but I prefer that you or the Embassy be directly responsible for contracting and payments. We'll also need fact sheets summarizing Qatar's business involvement with the Houston region and, for the Ambassador's benefit, a summary of the adverse impacts of Hurricane Harvey. Presumably we'll need a message point expressing empathy, and the summary of impacts can provide memorable examples of the devastation for the Ambassador to

Re: Agreement for Consulting Services

Dear Mr. Smalley:

This will confirm the terms of our agreement (the “Agreement”) by which you and Bridge Builder Communications (collectively, “you”) shall provide consulting services to the Embassy of the State of Qatar in Washington.

The services provided by you shall include communications support for the Ambassador’s planned visit to Houston, Texas, and related announcements of Qatar Harvey Fund activities in Texas. The scope of work shall include the description included in your October 5, 2018 proposal.

The term of this Agreement shall commence on October 10, 2018, and expire on October 31, 2018, unless extended by mutual written agreement.

You will be compensated at a fixed fee of $12,000. Payments shall be made in two installments, both supported by an invoice from you: $6,000 upon execution of this agreement; and $6,000 upon completion of the scope of work.

No expenses shall be reimbursed, except such expenses as are approved in writing by the Embassy. We have agreed that expenses for photography, videography, or other third party services shall be the responsibility of the Embassy.

Except as directed by the Embassy, you are not authorized by this Agreement to act as spokesperson or agent on behalf of the Embassy or the State of Qatar in any meeting or communication with any person, or in any public or private statement, or in any communications with the media.

You agree that all documents, information or communications (whether verbal or recorded) exchanged between you and the Embassy (including the Embassy's diplomats, employees, contractors, or attorneys), and any information generated or received by you in the course of your performance of this Agreement, are confidential, and will not be disclosed to any person except as instructed by the Embassy or as required by law. You agree that you will not use confidential information for any purpose other than performance of this Agreement, and you will return the information upon request. You shall be responsible for assuring that your employees, agents or subcontractors have executed written confidentiality agreements reflecting the substance of this provision, and you shall guarantee their adherence to these terms. This provision shall survive termination of this Agreement.

You are an independent contractor. This Agreement is not intended to establish an employer-employee relationship, or the formation of any legal entity. You are not authorized to commit the Embassy to any cost, contract, or other obligation. You shall be solely responsible for compliance with any applicable laws or regulations that govern your performance of this Agreement, including, without limitation, any laws in respect of taxation, registration as a foreign agent or lobbyist, or reporting as may be required by law.

During the term of this Agreement, and for a period of one year after expiration or termination, you shall not accept any employment position, contract, consulting engagement, or compensation from any member state of the Gulf Cooperation Council, nor from any person or entity acting on behalf of any member state, except the State of Qatar.

Nothing in this Agreement shall waive or otherwise alter the privileges and immunities to which the Embassy is entitled under the laws of the United States or any treaty to which the United States is a party.

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled exclusively by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Washington, D.C.
