Ladies and Gentlemen,

stroke remains the most frequent cause for invalidity in Western countries and it is predo-minantly elderly people who suffer it. Along with demographic change, this is a reason for shortages in therapy and care.

Therefore, machines, robots and assistive devices have become an integral part in neuro-logic rehabilitation and the variety of therapeutical devices is growing every year. These devices allow for an effective repetitive training while conserving therapeutical resources.

In this field, Reha-Stim offers the well-proven concept of the arm studio, consisting of our very own Bi-Manu-Track, Reha-Slide, Reha-Slide Duo and Reha-Digit. Combined, these de-vices render a group therapy possible that involves patients with different grades of disabi-lity and a single therapist only. This portfolio can wisely be enlarged with tyromotion AG‘s Pablo® System and Armadeo®. Of course, all these devices are separately available as well. You can also measure your patients‘ progress with our skillfully crafted evaluation systems.

The lower extremity now benefits from our newly developed knee straps for Gait Trainer GT I that support hip extension and knee extension during stance phase. The Gait Trainer can perfectly be combined with a balance trainer and a treadmill with body weight support to form a Gait Laboratory in which patients with different grades of disability can get their therapy. Our new harness „Omega“ expands our product portfolio for locomotion therapy.

Many studies have proven the effectiveness of our products. Moreover, they are ergonomic and user-friendly and are demonstrating their usability for many years. Last but not least, they require low maitenance and service and do not stress you budget with expensive ser-vice contracts.

general terms and conditions

§ 1 Specifications and Data provided by Seller

Data, such as illustrations, specifications of weight, dimensions, power requirements and performance, provided by Reha-Stim (in the following: Seller) in connection with any contract negotiations are representative of the equipment, slight deviations are permitted.

§ 2 Formation of Contract and Scope of Delivery

(1) The contract shall be effective upon Seller´s written confirmation of the order.(2) Scope of delivery is set out in the order.(3) There are no quality guarantees of functional characteristics unless expressly stated in the order confirmation(4) Electrical and electronical components comply with the terms of the Federation of German Electrical Engineers. Safe-ty devices comply with the laws of the Federal Republic of Germany at the time of delivery.(5) Until the date of the delivery, Seller reserves the right to make slight technical changes or improvements in design; moreover, technical changes which were not foreseeable at the time of contract shall be permitted. The price clause set forth in section 3(2) below, applies accordingly.

§ 3 Price and Payment

(1) All prices quoted are in (€). Unless otherwise stipulated in the order confirmation, equipment prices are quoted ex works, excluding packing, transport insurance, installation, instruction, customs and any federal, state or municipal taxes. All equipment prices are exclusive of taxes. Buyer is responsible for all taxes which are subject to increase prior to ship-ment or partial shipment.(2) Prices are based on the current cost factors. Seller reserves the right to adjust prices if cost factors change.(3) Unless otherwise agreed, any payment shall be made by means of irrevocable letter of credit confirmed by a German bank.(4) If payment is not made when due, interest for default shall be paid by Buyer at the usual bank rate, but not less than 3% per annum above the current discount rate of the Deutsche Bundesbank; Buyer is entitled to produce evidence of a lower damage claim.

§ 4 Delivery Period and Force Majeure

(1) Delivery periods do not start to run prior to Seller´s receipt of the documents, licences and permits that are necessary to ascertain the scope of delivery. Indications in respect of delivery periods are estimates only in the absence of an express agreement to the contrary. A delivery period shall be regarded as observed if the shipment is ready for dispatch within said period and corresponding notice is given to Buyer.(2) Delivery periods shall be correspondingly extended in case of Act of God, force majeure, strike or lockout at Seller´s or third manufacturer´s factories, insurrection, civil commotion, fire, flood, mobilization, war or warlike operations, requisiti-on, embargo, currency restriction, or of unforeseen events, which lie beyond Seller´s control, if and as long as these events substantially affect the assembly or delivery of the equipment. The same applies if said hindrances occur to subcontractors without Seller´s fault. Seller is also not liable if said hindrances occur in the case of default.(3) During the delivery period reasonable partial shipments shall be permitted.(4) Seller is discharged from its obligation to deliver if a contract affected by events described in section 4(2) can not be adjusted as stipulated there.(5) Buyer is neither entitled to any damages if delivery periods have been extended because of events described in section 4(2), nor if Seller has been discharged from its obligation. Seller shall inform Buyer of the occurrence of such events.(6) In case delivery is postponed at its request, Buyer shall pay all expenses accruing as a result of storage beginning one month after notification that the equipment is ready for shipment.

§ 5 Passing of Risk

The risk passes to Buyer as stipulated in the order (e.g. ex works, f.o.b. German port, free German border). In case delivery is postponed by an act or omission of Buyer, the risk passes to Buyer with notification that the equipment is ready for shipment.

§ 6 Title, Security Interest

Until all amounts owed by Buyer to Seller, no matter on what grounds, are settled in full, Seller retains all title to the equipment to the extent permitted by law of the country in which the equipment is located. If such law does not permit such retention of title, Seller shall be entitled to the benefit of such equivalent other rights in respect thereof as such law permits to retain. Buyer shall give Seller every assistance in taking any measures required to protect Seller´s title or such other rights as aforesaid.

§ 7 Warranty of Quality

(1) Seller warrants to Buyer as follows: If within the period defined in section 7(2) below, any part of the equipment be-comes ununsuable or so defective that the use of the equipment is substantially interfered with, by reason of a condition existing prior to the passing of risk, especially by reason of defective design, poor material or workmanship, Seller, at its option, shall either repair or replace such part free of charge. Buyer shall grant Seller access to the equipment for a reasonable period of time, at no charge to Seller for such access, for any repair or replacement, whichever is necessary in Seller´s opinion. The terms respective delivery periods and Seller´s obligations for defects apply accordingly, if repair falls or spare parts are defective; any warranty does not run longer than the warranty period for the original equipment. Seller acquires title to all replaced parts.(2) The warranty period for rights according to section 7(1) is 24 months, from the date on which the equipment was installed (delivered).(3) Buyer shall immediately give Seller written notice of any defect. The equipment is deemend to be free from defects, including latent or hidden defects, if Buyer does not give Seller written notice of a defect according to sentence 1 or at least posts such notice in due time.


Reha-Stim(4) For all defective essential parts not manufactured by Seller, Seller shall only be obliged to assign to Buyer such rights, if any, as Seller may have against its subcontractor with respect to such defects.(5) Seller is neither responsible for any defect if the equipment has been installed without assistance of Seller´s or its authorized distributor´s personnel, nor if without Seller´s consent alterations or repairs have been made by Buyer or third parties, provided that said defects in total or in part are consequences of such acts or omissions. Seller is not liable for defects, if repair or replacement has been impeded by unauthorized repairs of Buyer.(6) Seller´s warranty of quality does not include parts which are subject to premature wear because of their nature or uti-lization, normal wear and tear, faulty or negligent handling, excessive use, use of improper means, unsuitable installation place, weather and other natural conditions. Seller is not liable for defects which are the consequence of Buyer´s missing or defective coordination with other suppliers or with existing installations or with building structures.(7) Except as stated above and subject to section 9, below, all other warranties, guarantees, or conditions, whether ex-press or implied, including the warranty of merchantability, by statute or otherwise, are hereby expressly excluded.

§ 8 Liability

(1) Insofar as damges or losses have been caused by Seller´s breach of a substantial contractual obligation, Seller shall be liable in accordance with german law, section 8(3) remains unaffected.(2) In addition, subject to the exclusion set forth in section 8(3) below, Seller shall be liable for damages or losses, only if Seller or its employees or agents have caused such damage or loss intentionally or by gross negligence. This applies to any claim of the Buyer independent from its cause in german law.(3) Seller shall neither be liable for untypical and, therefore unforeseeable damages or losses nor for indirect or consequen-tial damages or losses.(4) Seller´s liability according to the german product liability act and for the failure of the equipment to fulfill express warranties remains unaffected.

§ 9 Cancellation of Contract, Reduction of Price

(1) Buyer may cancel the contract if Seller falls to take measures within a reasonable grace period, either for the delivery of the equipment, or for the repair or replacement in respect of such defect as described in these terms, provided that Seller acted with gross negligence or intentionally.(2) Buyer may also cancel the contract if repair or replacement by Seller falls. Moreover, in case of partial failure, Buyer is entitled to an adequate reduction of the price.

§ 10 Assignment

Buyer is not entitled to assign its contractual rights and/or obligations without Seller´s written consent.

§ 11 Place of Performance, Venue and Applicable Law

(1) Subject to section 3(1) Berlin shall be the place of performance, unless otherwise agreed in the order confirmation.(2) Berlin courts shall have exclusive jurisdiction over both parts.(3) These terms and any contract of which they form part shall be construed and enforced in accordance with the laws of the Federal Republic of Germany except for the Vienna Convention for the International Sale of Goods.

§ 12 Amendments, Partial Invalidity

(1) Amendments shall only be effective if confirmed in writing by Seller.(2) In the event that any of these Terms of Delivery or any part thereof is or becomes invalid, the remainder of the contract shall not be affected.
