Revlon has the look of a leader in the US mass−market cosmetics business, alongside L'Oréal's Maybelline and Procter&Gamble's Cover Girl. In addition to Revlon's makeup and skin care products (Revlon, Almay, and Ultima II), the firmmakes fragrances (Charlie) and personal care products (Flex hair care, Mitchum deodorant). New York socialite RonPerelman owns 83% of Revlon −− and controls 97% of its voting power −− through holding companies, includingMacAndrews & Forbes Holdings. Although Perelman's involvement with Revlon has fueled his celebrity status, in 1999he put the heavily indebted cosmetics company up for sale before opting to sell only minor parts of it.

Overview
Revlon has the look of a leader in the US mass−market cosmetics business, alongside L'Oréal's Maybelline and Procter&Gamble's Cover Girl. In addition to Revlon's makeup and skin care products (Revlon, Almay, and Ultima II), the firmmakes fragrances (Charlie) and personal care products (Flex hair care, Mitchum deodorant). New York socialite RonPerelman owns 83% of Revlon −− and controls 97% of its voting power −− through holding companies, includingMacAndrews & Forbes Holdings. Although Perelman's involvement with Revlon has fueled his celebrity status, in 1999he put the heavily indebted cosmetics company up for sale before opting to sell only minor parts of it.
Revlon sells its products in more than 100 countries, primarily through mass merchandisers, drugstores, and supermarkets.It continually refreshes its lines with new brands −− from Age Defying for older women to ColorStay for thetrend−conscious.
In 2002 Perelman offered a cash infusion of $150 million to the struggling company −− $50 million would come from astock offering and $100 million would be provided by a line of credit from Perelman's MacAndrews & Forbes. Revlon'sboard accepted the proposal in 2003.
Revlon sealed agreements with Fidelity Management & Research Co. and Mafco Holdings in early 2004 to help reduceRevlon's debt. Revlon anticipates the debt−for−equity swap to eliminate some $780 million of the company's debt beforemid 2004.

History
Legend has it that, jobless in New York City in the depths of the Depression, Charles Revson became a cosmeticssalesman by the toss of a coin −− tails, he'd apply for a job selling household appliances; heads, he'd answer an ad for acosmetics salesman. It was heads, and in 1931 Revson began selling Elka nail polish to beauty salons. He painted his ownnails with different colors so he wouldn't need a color chart.
Revson and his brother Joseph decided to start their own nail polish company. They scraped together $300, hooked upwith nail polish supplier Charles Lachman, and in 1932 began Revlon (the "L" in the name came from Lachman). The nailpolish, emulating Elka's, was opaque rather than transparent, available in many colors, and an immediate hit with beautysalons. Revlon grew rapidly, and by 1937 Revson was selling his nail polish in upscale department stores.
Seeing nail polish as a fashion accessory, Revson introduced new colors twice a year, giving them −− and the matchinglipsticks introduced in 1940 −− names like Kissing Pink and Fifth Avenue Red. More opportunist than innovator, he lethis competitors do the research and make the mistakes, and then he would make a better version of the product,outpackaging and outadvertising his rivals.
Revlon introduced Fire & Ice in 1952, one of its most successful launches ever. Its sole sponsorship of The $64,000Question quiz show in 1955 boosted sales of some products by 500%. Later that year Revlon went public. To diversifyand expand its markets, it began making acquisitions (although many were soon dumped) and selling its productsoverseas.
The company bought deodorant maker Mitchum in 1970, and three years later it introduced Charlie, its wildly popularfragrance. In 1974 a dying Revson handpicked his successor, Michel Bergerac, president of European operations forIT&T. Revson died the next year. Bergerac began a new push for diversification and lower costs. Acquisitions includedophthalmic and pharmaceuticals companies. However, while Revlon's health care operations were rising, its cosmeticsstar was losing market share and profits were falling.
Social−climbing conglomateur Ron Perelman bought Revlon in an LBO in 1985 with funds raised by friend MichaelMilken. Hoping to restore the firm as a beauty business, Perelman began selling off the profitable health care businessesand buying beauty companies (including Max Factor, which he then sold in 1991 to cut debt).
In 1994 Revlon introduced ColorStay lipstick, which quickly became the top−selling lipstick. Revlon went public in 1996.George Fellows was promoted to CEO the next year. The company merged its Prestige Fragrance & Cosmetics chain intoPerelman's Cosmetic Center chain in 1997; Revlon sold its 85% stake in the combination at a loss in 1998.
Still deep in debt and suffering from domestic competition, too much inventory, and troubles in Russia and Brazil, Revlonclosed three plants and cut 3,000 jobs in 1998. Fellows resigned in 1999 and was replaced by Jeff Nugent, the formerpresident of Neutrogena (and brother of rocker Ted Nugent). Sales fell as retailers cut inventory.
Revlon sold its professional products business in 2000 to an investment group led by the unit's chairman, Carlos Colomer(now chairman of Colomer USA). Also in 2000 Revlon sold its Plusbelle line (Argentina) to consumer products companyDial. In 2001 it sold its Colorama brand of cosmetics and hair care products to rival L'Oreal.
In February 2002 CEO Nugent abruptly resigned after it was reported that chairman Ron Perelman planned to replace himwith Jack Stahl, former president and COO at The Coca−Cola Company; Stahl took office that month.
