MIN. 01/2017 AGM: PrayerThe meeting started at 10:10 AM when the National and EAC Anthems were sung. The opening prayer was conducted by Rev. Christopher Onyutha.

MIN. 02/2017 AGM: Communication from the ChairThe Chairperson warmly welcomed the delegates to the 10th AGM. In particular, he welcomed the

Patron/CGP, members of top Management of UPS, RPC’s, Senior Officers and all invited guests.

He informed members that the AGM was an elective one and a new Board was to be put in place through election.

He introduced members of the out-going Board and thanked them for the tremendous work they had done during their tenure.

Informed the meeting that SACCO was also celebrating ten (10) years since it was rejuvenated way back in 2007.

He further noted that seven (7) members of the out-going Board were no longer eligible for re-election whereas two members were still eligible and could still serve when given opportunity.

He clarified to the delegates the theme for the 10th AGM as “Celebrating a decade of steady growth and fostering members’ prosperity”

Reported that the out-going Board had served diligently and appreciated the cooperators for the trust, belief and confidence bestowed upon them in their four years period of leadership.

That during the four years they registered a number of achievements which made our SACCO to be a model one in the country and most noticeable, achieving much without external manipulation.

He brought the following issues to the attention of delegates for consideration.

i. Adopt the new policy directive from the Ministry of Cooperatives, which stipulates the functions of the vetting committee; it should be incorporated in the updated by-laws.

ii. Support the budget for purchase of a SACCO van to conduct routine outreach for sensitization.

iii. 50 % of the members’ earnings be used to capitalize the society.

iv. Micro-finance Support Centre fund though gives support to SACCOs at 9% loan interest rate, it would inevitably increase the loan interest rate for members in attempt to accommodate the program.

v. To unveil the Uganda Prisons SACCO Logo to become a symbol of our identity.

vi. A write-up on the concept of Social Support Scheme for SACCO members to study and evaluate for implementation.

vii. Admit new members, including 1619 recruits in the 2016 drive.

He congratulated members who had made achievements through SACCO services e.g. enhancing their education status, building homes and starting businesses.

On the other hand, Chairperson also expressed his sympathies and condolences to members who had gone through hard times like losing their dear ones and informed the meeting that the Society had lost her 18 Cooperators. May their souls rest in peace.

He finally called upon the delegates to deliberate fruitfully and to conduct elections successfully as and when the appropriate time would clock in.

MIN. 03/2017 AGM: Review of the Previous AGM minutes.Minutes of the previous AGM held on 17 June 2016 were reviewed under guidance of the Chair. A motion was moved by Mr. Mbaine Sherlock Babyface, seconded by Mr. Niringiyimana Daniel to approve the minutes with amendments as a true record of what had transpired in the previous meeting. The minutes were then approved as a true record of 2016 AGM.

MIN. 04/2017 AGM: Reports

(a) Treasurer’s Report: After welcoming all members to the meeting, the Treasurer presented the Financial statements as members followed from the report books that were given to them before, as highlighted below.

(b) Auditors Report:Audit Report on Financial statements for the year ended 31.12.2016 were read to members by officials from the office of Registrar of Cooperative Societies.

In their independent opinion, the Financial Statements of the Society represented a true and fair view of the state of affairs of the Society as at 31st December, 2016 and the results of the operations of the year then ended, complied with the Cooperative Societies Act, Cap 112.

(c) Manager’s Report:Mr. Opiny Alex presented the management report which had the following highlights. He introduced the Management team of 7 staff and also 17 Regional SACCO Desk Officers who help in attending to SACCO matters in the Regions.

He thanked his team for doing their best in meeting cooperators expectations, but also apologized to some members whose demands were not met during the Financial year under review.

He reported that the general performance of SACCO was progressive compared to the previous financial year as depicted in the following figures.

He also highlighted the following achievements:

i. A total of 1,619 new members were recruited during the FY2016.

ii. Payment of dividends and interest to members were done as per AGM resolution.

iii. SACCO canteen was constructed as a way of generating more income for the society.

iv. Drivers’ shade was improved and equipped with better furniture.

v. Renovation of the toilets for the canteen was also done

vi. Validation exercise for membership was carried out in all stations.

vii. A total of 3280 members successfully acquired loans to the tune of 3.9bn

viii. Sensitization of members carried out in 5 regions

The following proposals were made for the delegates to consider:i. Purchase of a 14-seater van to ease transport to up-country members.

ii. Purchase of more shares by members using 50% of their total earnings

iii. Sensitization exercise in the remaining regions to educate members.

iv. Setting aside funds to starting the construction of SACCO offices (SACCO home).

The Manager concluded by urging cooperators to continue supporting their SACCO in order to reap more from its growth.

(d) Supervisory Committee Report:The report was presented by Mr. David Ahimbisibwe (Ag Dir. H/Resource) and the summary is as indicated below.• He gladly reported that SACCO had initiated and invested some money in the Staff canteen at

Prisons Headquarters which fetches monthly income of 1,070,000/=.

• A new loan product (Development loan) had just been developed which will help to meet the ever-increasing demand for loan by members.

Other achievements in 2016 which the committee noted included the following:• Growth of SACCO core share capital base from shs 1.3bn to shs 1.8bn.

• Growth in membership from 7,340 in 2015 to 8,759.

• Growth in total assets from shs 3.2bn in 2015 to 4.4bn

• Increased volume of loan disbursement from UGX 3bn in 2015 to 3.9bn in 2016.

• Initiation of new savings products (retirement savings, kids savings, in addition to the fixed deposit).

• Successfully supervised the implementation of the 2016 budget and resolutions.

• Improved SACCO staffing by transferring in and training of 2 more staff.

He also noted the following challenges:Operational costs could not reduce due to increase in membership and capital which hikes the

finance cost.

Outreach services, monitoring and supervision were not perfectly done due to lack of transport/ vehicle for SACCO.

Accounting software was not upgraded due to some technicalities, but a step was being taken to upgrade it.

Auditing twice a year was not implemented due to the need for minimizing costs.

He concluded by wishing delegates a fruitful AGM.

MIN. 5/2017 AGM: Speech from Chief Guest/Patron:The patron first unveiled and launched both the SACCO logo and annual magazine and then delivered the speech as below.He welcomed the invited guests from sister forces, officials from Registrar of cooperative societies,

UCSCU, the SACCO Chairman and entire Board members, senior Prisons Officers present, all the Cooperators.

He thanked the Board for steering well the SACCO for the last four years since they were elected into office.

He noted that it was very crucial to have a Van in place as an asset because the society had already grown to a bigger size and he pledged to support the proposal to its success.

He urged all staff to always utilize their savings and loans from SACCO profitably and desist from spending it on unprofitable ventures.

He also asked the Manager Duty free shop to identify and recognize staff who have utilized the DFS materials in the best way.

He congratulated Mr. Wilson Magomu (CP/RPC- Kampala Extra Region) for successfully hosting H.E the President in Kampala Extra region during the pass out of CASPs, CPOs and Command course officers on 07th April 2017.

Informed the meeting about the national tasks assigned to UPS, which included the seed multiplication, cotton growing, furniture production and coffee seedling production. He promised to inspect all the stations engaged in these activities to see how they are progressing.

He advised the RPCs that the cost of using utilities (power, water) should be minimized.

He expressed his condolences for the staff who had passed on and the same to those who had lost their dear ones. He gave a parental advice to all officers to always try to avoid contracting deadly HIV virus.

He concluded by advising the delegates to elect people of high integrity to the new SACCO Board.

He wished members fruitful deliberations and a successful AGM.

MIN. 06/2017 AGM: Recognitions and awardThe names of awardees were read and presented by Mr. Akankunda Apollo (Vice chair) and the Chief Guest awarded them with gifts and certificates of recognition.

MIN. 07/2017: Reactions to items 2, 3 and 4

A member requested for the interpretation of the SACCO logo features.

Response - the colours on the logo represent the traditional Prisons colors that is, maroon, yellow and blue.- The shelter symbolizes a house, where SACCO has supported many members in building houses.

- Graduation cap represents education. Many members have improved on their education and also supported their relatives in education through SACCO loan.

- The cogwheel represents production. SACCO has also supported members in production, such as Agriculture and business.

- The cross represents health. This is also an area where SACCO has supported its members in terms of meeting medical bills for themselves or for their relatives.

About the social support scheme, suggestions came up and an agreement was reached that a write-up was to be made and distributed to all cooperators in stations to study and come up with their views which would guide the board to take a decision.

On the issue of loan from Micro-finance support Centre - members did not buy the idea because any money got from there would lead to the interest rate being increased which may not favor members.A member inquired to know how the Regional SACCO Desk Officers would be facilitated and empowered to address SACCO affairs in their regions.

It was clarified to members that all Desk Officers had been trained and more trainings were being organized for them. However, a challenge of budgetary constraints was noted.

A member raised a query on duration of loan process and why sometimes it takes long to mature.

It was explained that the loan-processing period depends on loan amount which a member is processing. For instance, UGX 500,000 and below is processed and paid within a day if all signatories are present, but above 500,000 takes about 2 to 10 days on average due to the control systems put in place to safeguard the members’ money.

To the Treasurer’s report, A member suggested that Financial statements should always be circulated in time before AGM so that members can have enough time to read it, study the figures, understand them, and deliberate from an informed point of view during the meeting.

In response, delegates were advised that Financial report is a big document which needs to be understood during presentation other than reading it so people should learn understand the explanation since it is expensive to print and circulate, moreover the report books remain with them.

The Van – the proposal to buy a 14-seater van was debated at length with varying views until one member noted maintenance cost of the vehicle would be high, pushing up operation expenses. The idea was therefore suspended.

On land - the meeting unanimously supported the proposal acquire land for constructing SACCO offices. The location should be in a commercial place where some space can be rented out to generate more income for the society.

The proposal of using 50% of the surplus to capitalize the society was also supported.

ObservationMembers observed that a lot of money was being lost through desertion and therefore the need to have them arrested so that recovery of the money they owe can be made.

Extension of time: At exactly 5:00 PM, motion to extend the meeting time by 11/2 hours was moved by Mr. David Ahimbisibwe, seconded by Ms. Dorothy Apimo, was agreed and passed by the meeting so business was to continue up to 6:30 PM.

MIN. 08/2017: Presentation and Approval of 2017 Sacco BudgetThe budget was presented by Mr. Opiny Alex (PO I), SACCO Manager, the details were included in the report book together with accompanying notes to explain the figures.

Members approved the Budget proposal for FY 2017 with an amendment to remove the money allocated for buying the van to start accumulating it for SACCO home.

MIN. 09/2017: AGM Resolutions

The following resolutions were made:1. Uganda Prisons SACCO should continue to mobilize funds internally from members’ savings other

than borrowing from external sources, like Microfinance support Centre.

2. The purchase of a 14-seater Van should be put to halt.

3. 50% of the earnings in respect to FY 2016 (interest and dividend) to be ploughed back by purchasing more shares for members and 50% to be deposited onto individual saving accounts.

4. Uganda Prisons SACCO Board and management to consider putting aside some funds for land and construction with a view to own a permanent home.

5. The money which was budgeted for purchasing the Van should be taken on to the institutional capital reserve funds which eventually can be used in purchase of land for the SACCO.

6. The write-up on social support scheme should be made and circulated to all stations for members to study and give their views so that a decision can be taken in the next AGM.

7. The avenue for improving the SACCO banking software should be explored to the possibility of including sms alerts.

8. The Budget projection for financial year 2017 was approved after its presentation.

MIN. 10/2017 AGM: Elections of new Board.The elections of the new Board members were conducted and presided by Officials from the Ministry of Trade, Tourism and Cooperatives.

The candidates were subjected to the vetting process which was explained by Mr. Tumuhimbise Gervase (Ag. CP) on behalf of the entire committee. They applied to the Chairperson Vetting committee under the stipulated guidelines. He thereafter presented the below listed members who had been cleared for election process:

Acceptance speech by the Chairman elect

The incoming Chairperson - Mr. Wilson Magomu thanked the Returning Officer for conducting a free and fair election.

He thanked the delegates for putting trust in him and other members in the new SACCO Board.

He thanked the out-going Board for the good work done during their tenure and clearing way for the new Board to come into leadership.

He promised to continue with the same good work and implored members of the former Board to always extend their guidance whenever called upon.

He wished all members journey mercies as they travelled back to their respective homes and stations.

On the other hand, the out-going Chairperson - Mr. Kisitu Andrew also thanked the Returning Officer for the good exercise he had conducted.

He congratulated the new Board upon accepting to take up the mantle of SACCO leadership.

He informed them that cooperators will expect a lot from them and therefore they should work so hard for better results.

He concluded by declaring the outgoing Board dissolved.

MIN. 11/2017 AGM: Closing Remarks (By Chief Guest)

Mr. Ahimbisibwe David (Ag. Dir H/R) gave the closing remarks as follows on behalf of the Commissioner General of Prisons:

He thanked the out-going Board for successfully accomplishing their four-year assignment while running the affairs of the Society.

He challenged the new Board to continue governing SACCO according to the principles of cooperative societies to meet the expectations of members.

He encouraged other members of the service to join the SACCO and enjoy the benefits equally.

I welcome you all to Uganda Prisons Service and in particular, I would like to thank you for

honoring our invitation to come and attend the 11th AGM of the SACCO.

Our chief Guest sir, Uganda Prisons Service took up the initiative to rejuvenate this SACCO way back in 2006 as a major way through which staff welfare issues could be addressed. Indeed, with the proper management structure in place and support from staff, the SACCO has grown over the years to achieve its current status – with total assets value of 5.59bn and membership of 9,385 representing 92% of the entire establishment of the Service.

SACCOs in the armed forces as one major area for Staff Welfare and livelihood, Uganda Prisons Service has taken up this initiative very seriously. The growth and development of this SACCO has a positive impact in the economic and social transformation of its members.

Through the SACCO, staff have been able to educate their children up to Universities, and other tertiary Institutions and a number of staff upgraded their education levels as well. 80% of total loans disbursed to staff is for school fees payment, my appeal to staff therefore, is that they need to have a proper plan in place before acquiring any loan to avoid undertaking or investing in unproductive ventures.

I would like to thank the Board and Management staff for the good stewardship they have continued to offer in the management of the SACCO, please keep it up. With good management practices and proper control measures in place I have no doubt that the SACCO will continue to grow to a much higher level than this.

Staff welfare is multifaceted and UPS has intervened in a number of ways such as;

• Construction of decent housing units for accommodating staff and their families at work places,

• Giving attention to how staff household income can be improved by encouraging them to set up income generating activities within their means.

• The Presidential Directive on empowering spouses of staff is being implemented and so far 35 women groups in KER have benefited.

• Ensuring that staff benefit from Duty Free shop - which is a Presidential initiative to the Forces, by acquiring building materials to enable them construct their own homes such that they can live a better life after retirement. So far, 1935 staff have benefited.

My vision is to see this SACCO grow into a big, strong and sustainable financial institution which is able to support the economic and social development of its members. We shall continue to devote more efforts from time to time in ensuring that SACCO is well managed.

Allow me to express my condolences to the families of staff who passed on during the year under review, that is, since the last AGM. We lost 13 staff who were SACCO members. I would like to remind you to always take care of your health and seek for early treatment so that you can live longer.

In the same vein, 34 members have been reported for deserting with the SACCO loans to the tune of 22.7m. This is not a good practice and the deserters should take caution that they are not safe at all as we shall do everything within our means to recover the money. The Board and management staff need to device better means of loan appraisal to avoid losses.As I conclude, I once again warmly welcome all of you to this AGM and I wish you fruitful deliberations.

Iam glad to report that the share capital has significantly increased, reflecting a positive trend for the SACCO that will further strengthen our capital base and enable members to access bigger loans. I therefore urge members to purchase more shares so as to maximize our potential.

During this period, our SACCO Software was upgraded as per 10th AGM resolutions, what remains is activating the Mobile banking platform.

The committee has observed good internal control systems.

SACCO performance in 2017• The share Capital base has grown from 1.8bn in 2016 to2.4 bn in 2017.

• Growth in membership from 8,759 in 2016 to 9,385 in 2017

• Growth in total assets from 4.4bn in 2016 to 5.5bn in 2017

• Increased volume of loans disbursed from 3.9bn in 2016 to 5.4bn in 2017

• Outreach services, Monitoring and Supervision was carried out in Western, North Eastern, South Eastern and Mid Northern. The rest of the regions will be covered in the current financial year.

Training of Management staff, Supervisory Committee and Board members has been done; this has yielded competency and consistency in running the business of the SACCO.

The committee noted with concern an increased rate of unpaid loans due to desertion of staff. This has therefore called for more strict measures of appraisal right from the Officer in charge of the respective stations.

The committee supervised the implementation of the 2017 SACCO budget.

The loan performance was exceptionally good in comparison to previous performance.

CHALLENGES

• Office space for operations remains a challenge; however the administration has expressed intentions of allocating land to the SACCO in Luzira. In the near future, plans to construct a SACCO home will be finalized.

• Communication; the network is affected by the location; two direct landlines will be installed immediately.

• The administration expressed good will to provide the SACCO with a vehicle but to due to budget constraints, this has not been done.

I welcome you all to Uganda Prisons SACCO 11th AGM and I thank you for honoring our invitation. First and foremost, allow me to recognize and thank all the guests who have spared time to join us today for this SACCO AGM. In particular, allow me to recognize our sister Institutions; the UPDF and UPF for the Cordial cooperation we have enjoyed not only in areas of work but also in our continued bid to promote the socio-economic lives of our staff.

The SACCO AGM is pertinently important because it provides feed back to the members

where the Board and Management explain annual performance and defend decisions made in the course of operations. The AGM is an avenue where the members directly participate in the affairs and management of the SACCO.

The theme for this year’s AGM is, “sustaining growth through members’ economic participation”.

Members’ economic participation involves buying more shares in order to raise capital, increasing their savings, taking loans and paying back in time. This will lead to sustainable growth.

I also take this opportunity to thank the SACCO members for the endurance, patience and bearing the inconveniences sometimes caused during the course of our operations especially in loan processing and disbursements. This has enabled us to grow together as a SACCO independent of external support and influence.

We note a growth of 36.7% in savings and 34% in shares. However, we encourage members to increase their shares and monthly deductions so as to qualify for bigger loan amounts. The SACCO total assets also grew by 27% and surplus in appropriation grew by 22%. Members, this is an effort worth celebrating given the fact that this is the first year of operation of this board.

Members, the board executives met the Patron to discuss among others issues to deal with provision of space for the SACCO to construct its premises. I am glad to inform you that the Patron, who is also our very own Commissioner General of Prisons, never failed us. He promised to give the SACCO land around Luzira complex for this purpose, for this we applaud the CGP/Patron for the generous offer. We therefore, need to come up with a budget and plan for this noble cause.

Allow me also inform you that the management information system at the SACCO was upgraded to a better version which will accommodate among others, mobile banking and sms banking/balance alerts using mobile phones.

Guest of Honour and fellow Cooperators, this AGM comes at a time when Government has introduced a law to regulate all SACCOs in the Country. This law is known as the Tier 4 Micro-finance institutions and money Lenders Act 2016. In brief, the SACCOs are to be supervised by UMRA (Uganda Micro-finance Regulatory Authority) who should do the licensing, regulating and supervision under the Act. This has resulted into the establishment of the Uganda Micro-finance Regulatory Authority, meaning that;• SACCOs with voluntary savings in excess of

UGX 1,5bn and share capital above UGX 500,000,000/- are to be regulated and supervised by Bank of Uganda.

• The SACCOs are to apply for licensing under the new law (UMRA) by 30.06.2018.

• The bank of Uganda and Ministry of Finance are now working on the regulation to operationalize the Tier 4 Act.

The Prisons SACCO is heading to be in the category of large SACCOs which will be supervised by Bank of Uganda (B.O.U). This will

have very serious impact on the management and Board selection because bank of Uganda operates at very high standards which may be very hard to meet.

Discussions on the regulations are currently taking place between the Officials of B.O.U and the different SACCOs in the Country and we promise to keep you abreast of the developments.

Members, our SACCO is still experiencing a lot of challenges which include;

1. Lack of vehicle which has greatly hampered the operations of the SACCO specifically in the day to day running of its activities and field operations. The Board and Management could not adequately handle the field sensitization program due to lack of a vehicle. This is as a result of members in the last AGM turning down the proposal to purchase the vehicle.

2. Inadequate capital which does not match the demand for the loans. We note the high increase in the demand for loans by 26%. The savings which increased by 36.7% are not reliable as they can be withdrawn at will. This has greatly affected timely loan processing and disbursement. we urge you to increase your shares to enable capitalization of our SACCO.

3. The challenge of deserters; we had 34 cooperators deserting from the service with Ushs.22,751,538 up from 27 with Ushs. 13,059,200 in 2016; continued desertions cause huge losses to the SACCO. As a control measure, the board redesigned the loan form to include a recommendation from the Officer in-charge. This may not be a definite measure because it is hard to determine the mind of an individual but we hope that in a way, we shall be able to control desertions.

Manager’s Report

Management Report to the 11th AGM on 22nd and 23rd March 2018Our Chief Guest,All our delegates,Invited Guests in various capacities,Ladies & Gentlemen.

I am glad to present to you the Management report focusing on performance of our SACCO in FY 2017. Permit me to introduce to you the Management staff and the desk officers who represent us while based at the regional offices. It has been a stable year of business and a surplus of UGX 289,186,516 was realized.

Dear delegates, the theme for 11th AGM is “Sustaining growth through members’ economic participation” – we need to economically participate to sustain the growth so far achieved. On 28th April 2017 we held the

10th AGM under the theme celebrating a decade of steady growth and fostering members’ prosperity. It is therefore our joint efforts to sustain the growth by ensuring our economic participation in areas of saving, purchase of more shares. Sometimes we don’t take a keen interest to know why we are awarded little interest and dividends, we need to ask ourselves what we have in our shares and saving accounts as individuals against which the benefits are attracted. Your level of participation counts a lot in reaping the benefits from SACCO including the determination of your loan amount.

The performance is illustrated below using graphs and charts1. Growth in membership – 844 Members

were recruited during the FY2017 making total membership of 9,385 representing 92% of UPS establishment.

It is therefore our joint efforts to sustain the growth by ensuring our economic participation

in areas of saving, purchase of more shares. Sometimes we don’t take a keen interest to

STATEMENT OF COMMITTEE MEMBERS’ RESPONSIBILITY

It is the responsibility of the Committee Members to prepare Financial Statements for each financial year, which give a true and fair view of the state of affairs of the society as at the end of the Financial Year and the surplus of the society for that year in preparing those Financial Statements the Committee Members are required to: -

• Select suitable accounting policies and then apply them consistently.

• Make judgments and estimates that are reasonable and prudent.

• State whether applicable accounting standards have been followed.

AUDITORS REPORT TO MEMBERS OF UGANDA PRISONS COOPERATIVE SAVINGS AND CREDIT SOCIETY LTD

We have audited the reports of Uganda Prisons SACCO which comprise of the statement of financial position as at 31.12.2017 and the statement of Comprehensive Income, Statement of Changes in Equity and Statement of Cash Flows for the year then ended, and notes to the financial statements, including a summary of significant accounting policies.

OPINIONIn our opinion, the accompanying financial statements on pages 4 to 7 give a true and fair view of the financial position of Uganda Prisons SACCO as at 31.12.2017 and its financial performance and cash flows for the year then ended in accordance with International Financial Reporting Standards and Cooperatives Societies Act, Cap 112.

BASIS FOR OPINIONWe conducted our audit in accordance with International Standards on Auditing (ISAs) and guidelines issued by the Institute of Certified Public Accountants of Uganda. Our responsibilities under these standards are further described in the Auditors responsibilities for the audit of financial statements section of our report. We are independent of the Bank of Uganda Prisons SACCO in accordance with the International Ethics Standards Board for Accounts’ code of ethics for professional accountant (IESBA Code) together with the ethical requirements that are relevant to our other ethical responsibilities in accordance with these requirements and the IESBA Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

AUDITOR’S RESPONSIBILITIES FOR THE FINANCIAL STATEMENTSOur objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error and to issue an auditor’s report that includes our opinion Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs will always detect a material misstatement when it exits.

Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users on the basis of these financial statements.

As part of an audit in accordance with ISAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also: -

• Identify and assess the risks of material misstatement of the financial statement, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient in appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations or the override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Society’s internal control.

• Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures by management.

• Conclude on the appropriateness of management’s use of the going concern basis of accounting and based on the audit evidence obtained, whether a material uncertainty exist related to events of conditions that may cast significant double on the Society’s ability to continue as going concern. If we conclude that a material uncertainty exist, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit.

• Evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Society to cease to continue as going concern.

• Evaluate the overall presentation, structure and content of the financial statements, including the disclosures and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance with a statement that we have compiled with relevant ethical requirements regarding independence and to communicate with them all, relationships and other matters that may reasonably be thought to bear on our independence and applicable, related safeguards.

From the matters communicated with those charged with governance, we determine those matters that were of most significance in the audit of the financial statements of the current period and are therefore, the key audit matters. We describe those matters in our auditor’s report unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.

KEY AUDIT MATTERS

Key audit matters are those matters that, in our professional judgment, were of most significance in our audit of the financial statements of the current period. These matters did not arise in the context of our audit of the financial statements as a whole and in forming our opinion thereon, and we do not provide a separate opinion on these matters.

REPORT ON OTHER LEGAL AND REGULATORY REQUIREMENTS

As required by the Cooperative Act, Cap 112, we report to you based on our audit that: -We have obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purpose of our audit;

In our opinion, proper books of account have been kept by the Society so far as appears from our examination of those books; andThe Society’s statement of financial position and statement of comprehensive income are in agreement with the books of accounts.

COMMENTARY ON THE FINANCIAL STATEMENT

Organizing and Basis of Presentation

The accounting and reporting policies adopted by Uganda Prisons Cooperative Savings and Credit Society Ltd are in accordance with generally accepted principles.

1. Financial StatementsThe financial statements for the financial year ended 31st December 2017 have been prepared in compliance with the provision of the Cooperative Societies Act, Cap 112, Cooperative Societies Regulations 1992 and the Uganda Prisons Cooperative Savings and Credit Society Ltd By-Laws.

Reporting CurrencyThe reporting currency is the Uganda Shillings (UGX), which is the legal tender of the Republic of Uganda.

Reporting PeriodThe reporting period for these financial statements is the financial year of the society which runs from 1st January to 31st December each year.

Accounting PoliciesSignificant account policies: -

The principal accounting policies adopted in the preparation of these financial statements are set out as below: -

a) Income RecognitionAll income is recognized on a time proportion basis using the effective interest method.

b) ExpensesIn general, expenses are recognized when incurred.

c) Non- Current AssetsNon-current assets principally comprise of Software, Temporary Structure, Office Equipment, Safe, Furniture & Fittings and Computer Equipment. Assets are recorded in the asset registers at historical cost. Assets are depreciated using a straight line method.

Depreciation is calculated on reducing balance basis at annual rate estimated to write the assets over their expected useful lives as follows:Software 10%

Office Equipment 15%

Safe 5%

Furniture & Fittings 12.5%

d) Cash and Cash Equivalents:Cash and Cash Equivalents are carried in the statement of financial position at cost. Cash and Cash Equivalents comprise cash on hand, deposits held at call with banks and bank overdrafts.

e) National Cooperative Education Fund:This is a statutory requirement that 1% of the total turnover of the society be set aside to meet the educational and training requirement of the society. A minimum statutory provision has been provided.

f) Statutory Reserve Fund:This is a statutory requirement that 10% of the surplus realized be set aside to create institutional capital reserve to boost the capital base of the society.

g) Share Transfer Fund:This is the statutory requirement that an amount not exceeding 5% of the total paid up shares be set aside from the surplus to meet pay off of shares of the members withdrawing from the society.

h) Development Revolving Fund:This is statutory requirements that 5% of net surplus, this set aside to meet other developmental needs of the society.

i) Risk StatementLoans are advanced to members with guarantee from monthly recovery from Human Resource Office.

¼ of required loan is contributed by members.

Loan Protection Fund is contributed by members to cover the risk of death and permanent disability.

j) Appropriation Accounts:60% Patronage Bonus is appropriated using the formula below:

Member Share + Member Savings + Members’ Loan Repaid

Total Shares + Total Savings + Total Loan Repaid X Patronage Bonus

20% Incentive Bonus:It is shared by committee members and management

20% Dividend on Shares:

This is shared by all the members owning shares in the SACCO in proportion to their amount of shares held.

APPENDIX IV

ISSUES AND RECOMMENDATIONS FROM STATIONS MINI AGMs 2018

Members in all Stations held mini AGMS as required by the SACCO Administration for inclusive participation. They expressed their gratitude towards SACCO for the services given to members; providing quick and convenient loans for education and erecting permanent structures for themselves among other ventures. The issues raised were dully attended to and below are the responses given;

MEMBERSHIP1. Staff who applied to become members have not realized their deductions being effected

We have effected deductions for all the staff who applied to become members except for those who are heavily indebted with other financial institutions.

2. All Members be given their membership cards so that they know their SACCO Numbers to make it easy for them to access Information from SACCO.Membership cards were produced and distributed to the respective members; however, cards are being processed for the rest of the members who have not yet got.

3. Members wish to find out whether being a SACCO member is voluntary as it was before or it is now a force.Joining and terminating one’s membership in the SACCO is still voluntary and is not about to change so long as the principle of voluntarism still stands.

4. Sensitization programmes should be expanded to all units for more lights and update on SACCO services and also to attract more enrolments

SAVINGS5. Why is there very little interest on savings?

Interest on savings is earned depending on the ending balance on the member’s account. The maximum interest rate on regular saving is 4%, on fixed deposit is 11% and on other target savings products is 8%.

6. Why is it difficult for members to reduce their monthly deductions or savings?Deductions can easily be reduced if the member is not indebted with the SACCO. However, if the member is having a loan, the deduction cannot be reduced until the loan is fully paid.

7. Can a member remain a member when he converts his savings to shares?Yes, membership is dependent on payment of membership fee of 5,000/= only, while ownership is determined by the number of shares held by the member, and saving is discretionary.

LOANS8. Members should be provided with loan repayment schedules as given by major banks

Loan repayment schedules are provided once the loans are entered in the system. The borrower should demand for it after processing a loan.

9. Loan repayment period be extended to 3, 4 and 5 yearsSACCO is still mainly aligning its policies towards long-term capital accumulation to address long-term credit needs of the members.

10. How far has SACCO management reached with buying land for its members?SACCO is not buying land for its members; instead a member can identify land and come to SACCO and apply for funds.

11. SACCO should increase the amount of money loaned to members.SACCO is strategically building capacity to increase amount of loans given to members. There is already a development loan product in place which goes up to a maximum of 15 million payable in 2 years.

12. Loans paid through banks are chopped before they are withdrawn by the borrowing members.SACCO’S responsibility stops at depositing the money in the bank

13. SACCO loans are little because members’ savings are not being multiplied by 3 to determine the amount of loan members should getLoans are given according to the member’s contribution to the SACCO in terms of monthly deduction from salary. The savings which is multiplied by 3 or the share value which is multiplied by 4 only constitute capital requirement (security) for the loan

14. Why does processing loan take long up to one month?

The main source of working capital of the SACCO is the monthly deductions from the members’ salaries. Once a pool of remittance is exhausted, processing loans tends to delay till the next pool.

15. Emergency loans should be given without charges and should not take long to be processed?Emergency loans like any other loan require resources to process. The charges are therefore necessary to cater for the cost of processing the loan. Unlike other loans, emergency loans are processed instantly on request.

16. Top up loans should be given normally without a requirement of first clearing the balance of the running loanTop up loan is given when the borrower is remaining with three instalments or less to clear the running loan; any other conditions are circumstantial and discretionary

17. Members would like to be enlightened about loan protection fund and loan processing feesLoan protection fund is a 1 percent charge on loans to pay off loans from members who died with our loans. While Loan processing fee is a 5,000/= flat charge on loans to cater for cost of processing the loan.

18. Members Proposed that SACCO should borrow money from Micro Finance Support Centre in order to boost its liquidity and meet the loan demands effectivelyThis is an avenue which the SACCO is aware about but hesitant to exploit due to its impact on the members since the burden of paying back the loan will finally rest on the members in form of high interest rate.

OTHERS19. Dividends be credited to members’ savings accounts and not used to buy more shares

Buying shares using part of earnings (dividends and interest) from SACCO is one of the ways SACCO is building capacity for long term capital accumulation needed to serve the members better.

20. Why does SACCO buy shares for members without their consent?It is important to point out that SACCO management gets mandate to buy shares for the members from AGM which is a representation of all the members of the SACCO

21. How are dividends paid out to members and on what percentage?Dividends are paid according to shareholdings as a fixed amount per share.

22. Why do members who have loans based on shares don’t get dividends at the end of the year?Dividends are paid to all the shareholders irrespective of whether you have a loan based on shares or not.

23. What are the maximum number of shares a warder/wardress should hold All the members of SACCO, irrespective of ranks or status, have equal opportunity for shareholding

24. Improve on customer care language during communication especially male staff.

This is an administrative concern, we shall ensure that it is addressed and customer care is given due attention.

25. Withdrawing money sometimes takes many hoursWithdrawing money from SACCO is either done by the member over the counter instantly or the money is withdrawn and deposited in the member’s bank account the same day.

26. Providing services via mobile moneySACCO has upgraded it’s software with mobile money platform embedded in it.

27. SACCO services be extended to stations and regions to avoid long journeys to SACCO officesBy involving O/Cs and SACCO Regional desk officers in SACCO business, SACCO management is slowly bringing services closer to the members.

28. SACCO management should introduce mobile banking services to enable members to transact through phonesManagement Information System SACCO is using has been upgraded with mobile transaction platform; however, it is yet to be activated.

29. Why has SACCO management decided to make O/Cs recommend members for loans on their (members’) own money?Apart from bringing services closer to the members, the decision to involve O/Cs is also administrative to aid in appraisal

30. Working hours over the weekend be extended to 1430 hrs to enable SACCO members from up country catch up with timeTaken note of for consideration by management since it is administrative

31. Membership cards should bear the photos of the members for proper identification especially in case the member dies the next of kin can easily access the money the deceased might have savedThe purpose of issuing members with cards was to enable them master their membership numbers since they already have identification cards with photos.

32. DPC’s offices should also be considered for representation in AGM as independent units since they also submit SACCO returns.The suggestion is taken note of for consideration by the SACCO Administration
