SECTION 1- SUMMARY AND BACKGROUND
1.1 G8 EDUCATION LTD
G8 Education Limited is a leading provider of quality care and early education facilities across
Australia and Singapore, through a range of well-respected and recognised brands. G8 is an
ASX listed company in the ASX200 index (ASX.GEM).
Our purpose is to provide engaging education and care services that are valued by families. We
aim to achieve this through providing for our G8 families:
• Quality education and emotional development for children;
• Care services that free up time to enable parents to work, study or fulfil other
commitments;
• Improved health and well-being for children;
• Information and support to enable parents to be better parents; and
• A community to enable parents to connect with each other and other parents.
1.2 G8 EDUCATION LTD PROCUREMENT POLICY
The objectives of G8 procurement is to provide goods and services for business operations in
the most cost effective and timely manner to ensure the needs of all G8 stakeholders are
satisfied.
The underlying principle of the procurement policy requires that the procedures and methods
adopted should not only be, but should be seen to be, beyond reproach. This can only be
achieved if:
(a) G8 maintains a reputation for fair dealing in its arrangements with suppliers;
(b) value for money is achieved, i.e. the goods and/or services are suitable for the desired
purpose, and the prices paid represent the best value available when considering the
whole of life costs, holding and acquiring costs, and the financial viability and capacity of
the supplier to supply without risk of default.
All other things being equal, G8 will procure goods and services where possible that have less
environmental and social impacts than competing products and services.
1.3 DISCLAIMER
The issuing of this Request for Proposal (RFP) is not an offer or invitation for the entry into a
binding obligation or contractual relationship (express or implied) and does not grant the
tenderer any exclusivity. Neither the information contained in this RFP nor any further
information made available in connection with the RFP will form the basis of any contract.
The issuing of this RFP does not commit or otherwise oblige G8 to proceed with any phase or
part of the project described herein. G8 may, in its absolute discretion, terminate, vary or
suspend this RFP process at any time without notice to tenderers. G8 may also consider other

concepts or proposals. G8 also reserves the right to award a contract of supply to one or more
suppliers based on the merits of the proposals it receives to this RFP.
G8 and its related bodies corporate (including their representatives and advisers) do not accept
any liability to any person in relation to the distribution or possession of this RFP. To the
maximum extent permitted by law, G8 disclaims and excludes all liability for any loss or damage
(whether or not foreseeable) suffered or incurred by any person acting on any information
provided in, or omitted from this RFP, or any other written or oral opinions, advice or information
provided by any person in connection with this RFP.
The contents of this RFP are based on information available as at the date of this document and
have not been independently substantiated. The figures and estimates contained within this
document are indicative only and are supplied as a guide to prospective tenderers. G8 and its
related entities (and their respective representations and advisers) make no representation,
warranty, express or implied, as to the accuracy or completeness of such information.
All costs and expenses incurred by tenderers with respect to the RFP will be the tenderer’s sole
responsibility irrespective of any action taken by G8 with respect to the RFP including any
amendment to the RFP process by G8, any termination of discussions with any or all tenderers,
any variation to the RFP timetable or any withdrawal of the RFP by G8. G8, its related entities
(and their respective representatives and advisers) will not be responsible in any circumstance
for any costs or expenses incurred by any tenderer in preparing or lodging a Proposal or in
taking part in the RFP process or taking any action related to the RFP process.
G8, its related entities (and their respective representatives and advisers) shall not be liable to
any tenderer as a consequence of a matter of any matter or thing relating or incidental to a
tenderer's participation in the RFP process, including, without limitation, instances where:
• a tenderer is not selected as the successful tenderer;
• G8 varies or terminates the RFP process or any negotiations with a tenderer;
• G8 decides to call for proposals again to provide goods and/or services of a nature similar
to those described in this RFP;
• G8 decides to not pursue the RFP; or
• G8 or its related entities exercise or fail to exercise any of their other rights under or in
relation to this RFT.
1.4 G8 EDUCATION LIMITED’S RIGHTS
Without limiting its rights at law or otherwise, G8 reserves the right, in its absolute discretion, at
any time to:
• cease to proceed with the process outlined in this RFP;
• change the structure and timing of the process outlined in this RFP;
• vary or extend any time or date in this RFP for all or any tenderers or other persons, at any
time and for such period, as G8 in its absolute discretion considers appropriate;
• suspend or vary the process or any part of it;

• terminate further participation in the process by any tenderer or anyone else or provide
additional information or clarification;
• terminate any negotiations being conducted at any time with any tenderer for any reason;
• require additional information or clarification from any tenderer or anyone else or provide
additional information or clarification;
• negotiate with any one or more tenderer and allow any tenderer to change its proposal;
• call for new proposals and/or allow persons to respond in any subsequent RFP who were
not shortlisted in this process;
• accept or reject any proposals received after the closing time for lodgement of this RFP
• accept or reject any proposal that does not comply with this RFP;
• enter into a contract in relation to the RFP with a person who is not a tenderer on such
terms as G8, in its absolute discretion, accepts without prior notice to any tenderer;
• not accept the proposal which results in the best overall net financial outcome to G8;
• add to, alter, delete or exclude any services to be acquired by G8 including the inclusion of
any additional services not mentioned;
• publish the names of tenderers (whether successful or unsuccessful); and
• allow or not allow a related body corporate within the meaning of the Corporations Act
2001 (Cth) to take over a proposal in substitution for the original tenderer.
G8 may notify affected tenderers if it does any of the above but shall not be obliged to do so, nor
need it provide any reasons for its actions.
1.5 APPLICABLE LAW
The law applying in Queensland, Australia applies to this RFP and the process of seeking proposals. Each tenderer must comply with all relevant laws in preparing and lodging its tender and taking part in the RFP process.

SECTION 2 ~ PROPOSAL GUIDELINES
2.1 PROPOSAL GUIDELINES
• Carefully read all parts of this RFP.
• Ensure you understand the requirements and conditions under the Scope of Works
(Section 3).
• Complete a Proposal (Section 4) in all respects and attach all your Attachments.
• Make sure you have signed the Proposal and responded to all of the Submission Criteria
(Section 3.3).
• Lodge your Proposal before the Closing Time (Section 2.3).
2.2 FURTHER INFORMATION

Where, in the opinion of G8 further information provided to one potential respondent should be
provided to all potential tenderers, such information would be given the same distribution as the
original RFP.
Any notice by a tenderer to G8 will be effective upon receipt only if in writing and delivered to the
contact person specified above.
2.3 LODGEMENT OF PROPOSALS
Proposals must be lodged on or before 3 pm, Friday 7th June 2019.Tenderers must submit an
electronic copy of their Proposal. Hard copies may also be lodged if desired.

Late Proposals, subject to the following paragraphs, will not generally be accepted.
Proposals lodged after the proposal closing time will be taken to be “Late Proposals”. Late
Proposals will be opened and registered separately and may be admitted or excluded from the
evaluation process at the absolute discretion of G8. G8 is not required to give reasons for its
decision whether or not to consider a late tender.
Lodgement of a Proposal does not create a contract between G8 and a tenderer, or otherwise
create any legally binding obligation on G8. G8, its related entities (and their respective
representatives and advisers) is not, under any circumstances, liable to compensate any
tenderer in connection with an RFP (including if it is unsuccessful).

2.4 CONFIDENTIALITY
Other than as permitted in this RFP, tenderers must not without the express prior written consent
of G8 discuss any matter in connection with the RFP with customers or suppliers of G8 or its
related entities.
G8 requires that all tenderers maintain the confidentiality of all documents provided in
connection with the RFP. Without limiting the nature of materials to be kept confidential, G8
requires that all details of this RFP, the draft contract and other materials provided in connection
with the RFP be kept confidential. All tenderers must also implement such reasonable security
arrangements to prevent unauthorised access or disclosure of all materials in connection with
the RFP.
2.5 OWNERSHIP AND INTELLECTUAL PROPERTY
All Proposals become the property of G8 on submission.
Intellectual property rights may exist in the information contained in this RFP or any related or
attachments. All such rights will remain the property of G8, but the tenderer is permitted to use
the materials for the sole purpose of compiling its Proposal and, in the case of the preferred
tenderer (if any), for negotiating the tender with G8.
Any intellectual property rights existing in a Proposal will remain the property of the tenderer.
The tenderer licences G8, its related entities (and their respective representatives and advisers)
to copy, disclose or do anything else necessary to all material contained in the Proposal for the
purposes of:
• evaluating / clarifying the Proposal;
• evaluating any subsequent Proposal;
• negotiating any resultant Proposal with the tenderer; and
• anything else related to the above purposes.
2.6 TENDERER CONDUCT
(a) False and misleading claims
If a Tenderer is found to have made false or misleading claims or statements, G8 reserves
the right to reject at any time any Proposal lodged by or on behalf of the tenderer.
(b) Collusive tendering
Tenderers and their respective officers, employees, agents and advisers must not engage in
any collusive tendering, anti-competitive conduct or any other similar conduct with any other
tenderer or any other person in relation to the preparation or lodgement of their Proposal.
Tenderers must not communicate with nor solicit information from employees of G8 or its
related entities, except for contact through the contact person set out in Section 2.2, in
relation to any matter in connection with this RFP.

In addition to any other remedies available under any law or any contract, G8 reserves the
right, in its absolute discretion, immediately to reject any Proposal lodged by a tenderer that
engaged in any collusive tendering, anti-competitive conduct or any other similar conduct
with any other tenderer or any other person in relation to the preparation or lodgement of
Proposals.
(c) Unlawful inducements
Tenderers and their respective officers, employees, agents or advisers must not have
violated and must not violate any applicable laws or G8 policies notified to tenderers
regarding the offering of inducements in connection with the preparation or assessment of
their Proposal.
2.7 CONSORTIUM TENDER
A Proposal submitted by a consortium will only be considered if:
(a) it will contract as a separate legal entity;
(b) the Proposal clearly specifies the details of all members of the consortium; and
(c) a single point of contact for the consortium is specified.
2.8 RETURN OF INFORMATION
G8 reserves the right at its absolute discretion, to require that at any stage all information
provided to tenderers (whether confidential or otherwise, including copies and without regard to
the type of media) be either:
(a) returned to G8 - in which case the tenderer shall promptly return all such information to
the address identified by G8; or
(b) destroyed by the tenderer - in which case the tenderer shall promptly destroy all such
information and provide G8 with written certification in the form of a statutory declaration
from an officer of the tenderer that the information has been destroyed.

SECTION 3 ~ PROJECT PURPOSE, DESCRIPTION AND SCOPE
3.1 PERIOD OF CONTRACT
The proposed contract will be for an initial three-year period.
3.2 SCOPE OF WORKS
G8 is seeking proposals from interested and suitably qualified contractors with experience in roof
gutter and downpipe cleaning to undertake scheduled maintenance and associated works on G8
owned buildings.
Standard of Work
Roofing Gutters both external and internal
• All dirt, grass and litter to be removed by either vacuum or hand tool
• Gutters are to be rinsed with clean, fresh water internally and externally
• Cleaning all downpipes and test for blockages
• Cleaning all field gates and test for blockages
• Cleaning all leaf collectors and test for blockages
• Buildings that capture rainwater for tank collection are to have downpipes diverted before
commencement of cleaning
• Working at heights and WHS requirements to be compliant always
• Photographs to be taken upon completion and submitted with reporting
• Gutter condition report to be completed annually for each building
Due to G8’s national scope, G8 will award the contract/contracts either nationally or to State
based qualified contractors.
The successful contractor will be required to comply with appropriate standards for working at
heights and other relevant safe work practices due to the gutter line of numerous buildings
exceeding 2m in height.
Due to the diverse centres that make up the G8 portfolio and the proximity of trees to the
building in some centres, respondents are expected to quote on the following basis:
(a). One visit per annum
(b). Two visits per annum
(c) Three visits per annum
(d) Four visits per annum
G8 reserves the right, upon consultation with the successful respondent, to determine the
frequency required to service each centre. Any scheduled additional servicing required, will be
priced at the proposed rate offered by the respondent in this RFP.
A summary of the building assets is listed in Appendix A – Centre locations.

3.3 SUBMISSION CRITERIA
In preparing submissions, tenderers are asked to address each of the criteria outlined in the
following table.
Criteria Description
Pricing Please outline your proposed pricing for the various service
frequencies in Table A including whether discounts are available and
if so the requirements for obtaining the discounted pricing.
Ability to service Please outline your ability and willingness to service the premises for
the relevant state(s)/ territory shown in Appendix A and any
conditions associated with servicing to these sites. This must include
the ability to provide emergency services (24hr).
Implementation Please outline your implementation plan if successful in securing this
contract. As part of the implementation, G8 would welcome the
awarded respondent attending all centres to ensure adequacy of
frequencies. This would need to be completed with 90 days of
contract commencement.
Invoicing G8 requires a monthly consolidated invoice for all services that will
form part of the contract with 30-day payment terms from invoice
date. Please indicate your acceptance of this requirement.
Insurances The successful tenderer(s) and its subcontractor(s) (if any) will be
required to effect and maintain the insurance policies as follows:
(a) Public Liability insurance for a minimum of $20,000,000 in respect of any one occurrence.
(b) Property insurance on the tenderer's plant and equipment for an amount not less than market value.
(c) Professional Indemnity insurance in the sum of at least $5,000,000 in respect of any one occurrence.
(d) Workers Compensation insurance for all employees engaged
by the tenderer. Where the tenderer or its sub-contractor(s) is
a sole trader they are required to provide evidence of
Personal Accident insurance.
Service
Infrastructure and
Compliance
Tenderers will ensure that their proposals provide G8 with details
sufficient to assure it that:
(a) The tenderer's company infrastructure will support the provision of the service level and marketing activities proposed;
(b) Service levels offered will be guaranteed and maintained to meet G8’s needs throughout the life of the contract;

(c) The tenderer's proven systems will manage all service provision information.
Reporting The successful tenderer(s) will be required to supply:
(a) Detailed monthly reporting provided to the G8 Scheduled
Services Manager
(b) Sufficient recorded service logs on site and service reporting
via email to centres (record of service)
(c) An online portal to be accessed when required by G8
Facilities team
Licences All respondents are to provide relevant State based regulatory
licences that must be obtained and current, in order to carry out the
liquid waste removal and backflow testing requirements of this RFP.
Security Where applicable (as determined by G8), the successful tenderer(s)
will be required to provide G8 with a form of security (i.e. bank
cheque or unconditional irrevocable bank guarantee on terms
acceptable to G8, which must not expire until 6 months after the
expiry of the term).
Where required by G8, the successful tenderer(s) may also be
required to provide a performance guarantee in the form of a parent
guarantee. .
Working with
Children Checks
The successful tenderer(s) and its subcontractor(s) (if any) including
all personnel must obtain a working with children check prior to
attending any site.

SECTION 4 TENDERER’S QUALIFICATIONS
4.1 IDENTITY OF TENDERER
Tenderers must provide the following information as part of their Proposal:
(a) full name of tenderer;
(b) any trading or business name;
(c) if a company:
(i) registered office; (ii) principal place of business;
(iii) date and place of incorporation;
(d) if registered for business purposes in Australia, the ABN and ACN;
(e) individual shareholders holding 20% or more of any issued share capital;
(f) related companies within the meaning of the Corporations Law;
(g) particulars of any petition, claim, action, judgement or decision which would be likely to affect adversely the respondent’s capacity to provide the requirement;
(h) identity and contact details (including telephone number and email address) of the principal representative of the tenderer who should be contacted with respect to the Proposal lodged.
4.2 FINANCIAL CAPABILITY
Tenderers must provide the following information as part of their Proposal:
(a) the extent to which external funding and/or parent entity support is required to fund, working capital and future capital requirements in connection with the provision of the goods and/or services the subject of this RFP.
(b) the most recently prepared and audited financial statements for the party making the final tender and any holding company or beneficial owner identified in section 4.1 above.
(c) details of the bank or other party nominated as providing credit support for any bond or guarantee as required in the tender specifications in section 3.3.
(d) a written statement confirming that the party submitting the final tender and its related bodies corporate have not been subject to proceedings in a court of any jurisdiction for breach of contract or recovery of monies (including proceedings commenced by way of statutory demand). Details of such matters must be provided with the tender submitted by a Tenderer (if any).

4.3 SUBCONTRACTORS
Tenderers are advised that the selected contractor must not subcontract the whole of its obligation but may with the prior consent in writing of G8, subcontract part of its obligation. If it is proposed that any work is to be performed under subcontracts, the names of the proposed subcontractors and details of the work proposed to be undertaken, must be disclosed in the tender and such subcontractors must be approved in writing by G8 before being allotted any part of the work.
4.4 CONFLICT OF INTEREST
Tenderers must identify any conflict of interest or potential conflict of interest that may apply to their responding to this RFP or performing the services. Tenderers must describe the procedures they intend to implement for dealing with any known or potential conflicts of interest that may arise in the conduct of the services described in this RFP. Tenders must include details of any known circumstances that may give rise to either an actual or perceived conflict of interest, and the proposed method of managing each issue. G8 reserves the right to deal with a conflict of interest as it sees appropriate and may cease further consideration of that tender.
4.5 TENDER TO REMAIN VALID
Tenderers are required to submit a statement its Proposal remains valid, irrevocable and
capable of acceptance by G8 for a period of at least 90 days from the RFP closing time as set
out in section 2.3
4.6 OTHER DOCUMENTS
Tenderers’ final Proposal must be accompanied by:
(a) a statement confirming the party submitting the Proposal has the right, power and authority
to submit the Proposal and enter into the contract.
(b) a statement confirming the solvency of the party submitting the Proposal and any holding
companies and beneficial owners identified in section 4.1.
(c) details for the last 5 years for any tenderer, related bodies corporate of officer of any of these
entities:
(i) any conviction, proceeding or investigation commenced in relation to fraud,
allegation of fraud or similar allegation;
(ii) any breach of any permit or authorisation which has resulted in or, if upheld, could
result in the appropriate authority to suspending, revoking or not renewing the
authorisation or permit; and

(iii) any breach or alleged breach of a law which has resulted or could have resulted in
fines greater than (or, if taken collectively, greater than) $50,000 or suspension or
revocation of any right or entitlement to conduct that business
(d) a statement that the tenderer acknowledges that:
(i) it has examined this RFP, together with any other documents referenced or referred to in the RFP, and any other information made available in writing by G8 to tenderers for the purposes of submitting a final Proposal;
(ii) it has sought and examined all necessary information by making reasonable enquiries relevant to the risks and other circumstances having effect on its final Proposal submitted in response to this RFP;
(iii) in lodging its Proposal it has not relied on any express or implied statement, warranty or representation, whether oral, written, or otherwise made by or on behalf of G8, its related entities (and their respective representatives and advisers) other than any statement, warranty or representation (if any) contained in the RFP and any other information made available in writing by G8 to tenderers for the purposes of submitting a final Proposal;
(iv) it has satisfied itself as to the correctness and sufficiency of its Proposal; and
(v) it is responsible for all costs and expenses related to:
• the preparation and lodgement of its Proposal;
• any subsequent negotiations; and
• any other action or response in relation to this RFP.

SECTION 5 ~ PROPOSAL EVALUATION CRITERIA
5.1 EVALUATION
Written Proposals will be assessed by an Evaluation Panel comprising the National Facilities
Manager, Procurement Manager and Scheduled Servicing Manager.
Proposals will be evaluated using information provided by tenderers in the Proposal. The
following evaluation methodology will be used in respect of this request.
(a) proposals are checked for completeness and compliance. Proposals that do not contain
all information requested (e.g. completed Proposal and Attachments) may be classed as
non-conforming and may be excluded from evaluation.
(b) proposals are assessed against the Selection Criteria. Contract costs are evaluated, e.g.
tendered prices and other relevant whole-of life costs are considered.
(c) the most suitable Proposals may be shortlisted and may also be required to clarify the
Proposal, make a presentation, demonstrate the product/solution offered and/or open
premises for inspection. Referees may also be contacted prior to the selection of the
successful Tenderer.
Following the initial clarification and evaluation, G8 may give notice to tenderers that G8 wishes
to:
(a) select one or more tenderers as preferred tenderer(s);
(b) select a tenderer as the successful tenderer and proceed to execute a contract;
(c) select one or more tenderers to continue to review and negotiate the tender for provision
of goods and/or services on such terms as G8 may determine in its absolute discretion;
(d) undertake such other actions in connection with the RFP as G8 may determine in its
absolute discretion.
G8 unconditionally reserves the right to accept or reject any Proposal regardless of compliance
or non-compliance with this RFP and to suspend or cease to proceed with the RFP.
5.2 SELECTION CRITERIA
The selection criteria to be used in the evaluation of Proposals are outlined below. G8 reserves
the right in its absolute discretion to take account of any other matters which it considers
relevant and to vary or add to the selection criteria at its discretion. The criteria specified below
are not all relevant criteria or considerations which G8 may apply when considering a Proposal
and are provided to assist tenderers in making balanced assessments of the suitability of their
Proposals. The evaluation will include the following, in no specific ranking or order:
(a) knowledge and proven expertise in the services required including past experience
(b) whether the tenderer reveals a proper understanding of the matters involved and offers a
sound approach to the services required

(c) ability to meet the service levels or other standards of performance, flexibility in service
offering and provision, minimal impact on long day care, service staff and value for
money
(d) assessment of the tenderers' level of completeness and compliance with the
requirements and with the conditions of this RFP
(e) serviceability – the extent to which the tenderer can service sites listed in Attachment A
and preparedness to service any combination of these services that G8 determines
appropriate
(f) net financial outcome to G8
(g) overall risk G8 assesses as being related to the Proposal
5.3 SECURITY AND PROBITY
G8 reserves the right to perform such security probity and/or financial checks and procedures as
it, at its absolute discretion, may determine are necessary in relation to the Proposal, its
directors and partners, associates or related entities and their officers or employees. Each
Tenderer shall provide all reasonable assistance to G8 in this regard.
5.4 CONFERENCE SPONSORSHIP
G8 hosts an annual Centre Managers Conference with more than 500 Centre Managers, plus
Support Office staff in attendance. G8 would like to offer the successful tenderer / business
partner, the opportunity to participate in our yearly conference. G8 would like to offer a range of
packages that can be purchased through sponsorship in collaboration with the G8 Human
Resources team. The sponsorship can be either an annual rebate at contract anniversary, or
credit against our monthly account at contract anniversary, or EFT payment via tax invoice.
