INSTRUCTIONS TO BIDDERS / GENERAL CONDITIONS

1. All proposals shall be submitted in sealed envelopes and marked RFP for TECHNOLOGY

UPGRADES AND COMPUTERS due JULY 2, 2014 @ 2:00 PM. Proposals sent by delivery carriers must have this information on delivery envelope as well.

2. One complete copy of the Proposal Form is to be included with the sealed proposal. 3. Proposals must be typewritten or written in ink and must be signed by the vendor on the

enclosed proposal form. Unsigned proposals will not be considered. 4. The Non-Collusion Affidavit must be completed notarized, and returned with the sealed

proposal. The proposal will be rejected, if the Non-Collusion Affidavit is not present at the proposal opening.

5. See any attached sheets for additional descriptions and specifications for items on the proposal

form. 6. A proposal surety bond or a certified check payable to the Hempfield Area School District in the

amount of ten percent (10%) of the total proposal shall accompany this proposal, subject, however, to the provisions of 2(a) herein.

a. If the aggregate amount of the contract awarded to any one bidder is more than three hundred dollars ($300), a proposal bond with corporate surety to be approved by the Board in the full amount of the contract shall be executed by the said successful bidder. He may file a certified check payable to the Hempfield Area School District in lieu of the proposal bond, in any amount equal to ten percent (10%) of the contract price.

7. No proposal may be withdrawn for ninety (90) days after the scheduled closing time for receipt

of proposals. 8. Articles as used herein shall include supplies, material and equipment and all incidental work

and labor if the same is contemplated in these specifications. Where the term “The Board” is used, it shall be taken to mean the Board of School Directors comprising the Hempfield Area School District or its authorized representatives. The term “furnished” shall mean to furnish at the destination call for.

9. The Board will award to the lowest responsible bidder(s) meeting specifications and WILL NOT

accept any “ALL OR NONE” clauses or any such clause placed by the bidder for any items or items which would restrict the bidding process. No response that deviates from the specific

storage line items will be considered. Those items will be rejected. 10. PRICING: a) Proposal figures shall include all charges both packaging and prepaid delivery – all

shipping and handling charges including any delivery fuel surcharge – and shall include all discounts except any cash discount.

b) The Hempfield Area School District is exempt from Federal Excise Tax and State Sales

and Use Tax and will execute Tax Exemption Certificates when requested. 11. The Hempfield Area School District reserves the right to accept or reject any or all proposals.

The District reserves the right to not award as a result of this announcement if it does not receive proposals which it judges as adequately and reasonably addressing requirements and specifications.

12. The successful bidder may be asked to provide a Performance Insurance Bond with the

Hempfield Area School District for the amount of the estimated gross quote for each year of the contract.

13. The bidder agrees that if the contract is awarded to him, he will not assign, transfer or sublet it,

unless specific permission to do so is granted in writing, by the Hempfield Area School District. The bidder also agrees that if the contract is awarded to him, he will not assign in whole or part any rights or privileges which may accrue to him under the terms of the contract or any money which may become due to him there under.

14. The bidder agrees, if awarded the contract, to furnish and deliver the said articles at such times,

at such places, and in such quantities and quality as herein specified, and that all of the articles shall be subject to the inspection and approval of said Board. In the event that any of the said articles shall be rejected as unsuitable or not in conformity with these specifications, such articles shall at once be removed and other articles of proper quality as set forth in these specifications shall be furnished in place thereof at the expense of the successful bidder. If the successful vendor fails to comply with these proposal conditions, the Board has no other option but to secure their proposal bond and go to the next lowest bidder.

15. In the event that the successful bidder shall neglect or refuse to furnish and deliver the said

items or services or any part thereof as provided in these specifications, or to replace any which are rejected as stated in the preceding paragraph, then in such even, the Board is authorized and empowered to purchase articles in conformity with this contract from such party or parties in such quantities and in such manner as it shall select at the expense of the successful bidder, or to cancel this contract reserving to itself, nevertheless, all rights for damages which may be incurred by the Board.

16. DELIVERIES: a. Delivery of all items shall be made to: CENTRAL RECEIVING, Hempfield Area School

District, 145 Bus Garage Road, Greensburg, Pennsylvania 15601. 17. The Hempfield Area School District is exempt from Federal Excise Tax and State Sales and Use

Tax and will execute Tax Exemption Certificates when requested. 18. The bidder does hereby agree that, if awarded the contract under these specifications, he will

indemnify and save harmless the Hempfield Area School District and its Board of School Directors, its members, the Superintendent and his staff, from all suits and actions of every nature and description brought against them or any of them growing out of any contract or contracts, written or verbal, entered into between the Hempfield Area School District and the

successful bidder, and further upon the awarding of the contract to the undersigned bidder in

accordance with these specifications, this agreement of indemnifications shall automatically become effective.

19. All bidders must comply with the Right-To-Know Act pertaining to hazardous materials and

provide a Materials Safety Data Sheet for any item for which this should pertain. 20. All applicable laws shall be deemed to be part of these specifications and shall be read and

enforced as though they were included. This includes the PA Act 1874-159, Worker and Community Right-To-Know Law (12/1/86).

INSTRUCTIONS FOR NON-COLLUSION AFFIDAVIT 1. This Non-Collusion Affidavit is material to any contract awarded pursuant to this proposal.

According to the Pennsylvania Anti proposal-Rigging Act, 73 P.S. §1611 et seq., governmental agencies may require Non-Collusion Affidavits to be submitted together with proposals.

2. This Non-Collusion Affidavit must be executed by member, officer or employee of the bidder

who makes the final decision on prices and the amount quoted in the proposal. 3. Proposal rigging and other efforts to restrain competition, and the making of false sworn
