REQUEST FOR PROPOSALS FOR VAIL VILLAGE RIPARIAN AND BANK RESTORATION PROJECTS May 19, 2017 The Town of Vail is seeking a qualified landscape contractor to install native, riparian plantings and other landscape improvements on town-owned property along Gore Creek. In general, the work will include preparation of native seed areas, provision and installation of trees, shrubs, plugs and native seed, installation of drip irrigation and other associated work. PROJECT GENERAL DESCRIPTION In 2011, Gore Creek and one of its tributaries, Red Sandstone Creek, were added to the State of Colorado’s 303(d) List of Impaired Waters. The listing was based on the absence of critical aquatic macroinvertebrates species. A subsequent study, the Town of Vail Water Quality Improvement Plan (WQIP) identified the loss of riparian buffers/habitat as one of the key causes of the impairment. In 2016, the Vail town council adopted the Gore Creek Water Quality Strategic Action Plan (SAP). The SAP identifies five strategies and lists specific actions to be undertaken in order to remove Gore Creek from the 303(d) list. Among the list of actions is the reestablishment of vegetated riparian buffers where possible. Many areas along Gore Creek have been impacted by human development and activity. Impacts include removal of native vegetation, bare soil/exposed roots due to heavy use and access to the creek, eroded stream banks and, in many locations, adjacent owners have encroached into town-owned stream tract with turf areas, gardens, walkways, patios, etc. Over the past few years, the town has been “reclaiming” town-owned lands and stream tract by prohibiting private maintenance of public property. It is the goal of this project to begin reestablishing riparian vegetated buffers along Gore Creek by removing maintained turf areas, reducing “social” trails that trample vegetation, and adding native vegetation to improve habitat along the stream.

SCOPE OF WORK There are five general project areas associated with this work. Each has specific work and schedule requirements as outlined below. Refer to the Drawings for additional information. The Town may choose to award the work for any or all of the areas once Proposals are submitted. Area I – Village Center Condominiums Work Window: June 12-June 28 Work Required: Remove existing turf, install plantings and drip irrigation, native seed Constraints:

• Limited access from Willow Bridge Rd and no access for heavy equipment. Access is through the pool area for Village Center which creates potential conflicts with residents/guests. This must be coordinated with the property manager.

• During runoff, water often flows across the turf area. Work can begin once water levels drop and soil conditions become favorable for work.

• This project is the FIRST PRIORITY for completion, once conditions allow. If it appears that the work cannot be completed before June 24th due to late runoff, the project will be postponed.

Area II – Austria Haus Work Window: June 12-June 28 Work Required: Install plantings and drip irrigation, native seed Constraints:

• Limited access from Slifer Square and no access for heavy equipment. Plants and materials must be dropped off, and vehicles parked in the Vail Village Parking Structure. One work vehicle can remain in Slifer Square if needed on a limited basis.

• Much of the work in this area can be accomplished during runoff due to the high bank. The work area is near the swimming pool for Austria Haus which creates potential conflicts with residents/guests. This must be coordinated with the property manager.

Area III – Village Streamwalk Work Window: Completion by July 21. No work from June 28-July 9. Work Required: Remove pea gravel in some areas, add topsoil/seed, install plantings, construct/install “wander deterrents” Constraints:

• Limited access from Slifer Square and no access for heavy equipment. Plants and materials must be dropped off, and vehicles parked in the Vail Village Parking Structure. One work vehicle can remain in Slifer Square if needed on a limited basis.

• The streamwalk can be a busy place during the summer and pedestrian access shall remain open during the work, with traffic control as needed to protect the public

• Wander deterrents should be in place prior to plantings Area IV – Row Houses Streambank Work Window: Completion by July 28 Work Required: Install plantings and drip irrigation Constraints:

• Limited access from Staub Park and no access for heavy equipment. Plants and materials must be dropped off, and vehicles parked in the Vail Village Parking Structure. One work vehicle can remain on Gore Creek Drive by Staub Park.

• Construction work on several of the Row Houses may inhibit access. Coordinate with the project manager to ensure access.

Area V – Mill Creek Confluence Work Window: Completion by July 28 Work Required: Install plantings and drip irrigation Constraints:

• Limited access from Slifer Square and no access for heavy equipment. Plants and materials must be dropped off, and vehicles parked in the Vail Village Parking Structure. One work vehicle can remain in Slifer Square if needed on a limited basis.

• Construction work on several of the Row Houses may inhibit access. Coordinate with the project manager to ensure access.

PRE-BID MEETING A Pre-Bid Meeting will be held on Wednesday, May 24, 2017 at 3:00 p.m. Meeting location shall be on the north side of the Vail Covered Bridge in Slifer Square. Park in the Village Structure and walk in to the bridge. The meeting is not mandatory but is strongly encouraged. SUBMITTAL REQUIREMENTS Proposals are due by Wednesday, May 31, 2017 at 1:00 p.m. at the Town of Vail Public Works Dept. office located at 1309 Elkhorn Drive, Vail, CO 81657. A PDF version may be emailed to [email protected] Proposals shall contain the following information:

1. Contractor information including name, primary contact, address and phone 2. Completed Proposal Form (attached) 3. Department Affidavit (competed and notarized), (attached)

NOTICE OF AWARD This project will be awarded by the Town Council on Tuesday, June 6, with a Notice of Award on Wednesday, June 7. A Notice to Proceed will be issued for work may begin on or around June 12th. INSURANCE REQUIREMENTS A. Contractor shall procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assumed by Contractor under this Contract, including the following, at a minimum:

1. Worker's compensation insurance as required by law; and 2. Commercial general liability insurance with minimum combined single limits of six

hundred thousand ($600,000) each occurrence and one million dollars ($1,000,000) general aggregate naming the Town and the Town's officers, employees, and consultants as additional insureds. The policy shall be with a carrier and in a form acceptable to the Town at the Town's sole discretion. B. Any insurance carried by the Town, its officers, or its employees or contractors is excess and not contributory insurance to that provided by Contractor. Contractor shall be solely responsible for any deductible losses under any policy. C. Contractor shall provide to the Town a certificate of insurance as evidence that required policies are in full force and effect.

D. Failure on the part of Contractor to procure or maintain the insurance required herein shall constitute a material breach of this Contract upon which the Town may immediately terminate this Contract, or at its discretion, the Town may procure or renew any such policy or any extended reporting period thereto and may pay any and all premiums in connection therewith, and all monies so paid by the Town shall be repaid by Contractor to the Town upon demand, or the Town may offset the cost of the premiums against any monies due to Contractor from the Town.

May 18, 2017 Item Descriptions listed below correlate with the Items on the Proposal Form. Additional detail is provided in the Drawings and Specifications. 1. General Conditions Lump Sum

Includes equipment move-on and move-off, traffic control, utility locates, temporary utilities, dust control, fire safety measures and suppression tools, protect in place, Best Management Practices, staging area setup/cleanup, site cleanup, restoration of site access, overhead and profit, and any and all incidentals.

2. Green Construction Fencing Linear Foot

This item includes green construction fencing to be put up around the Project limits to protect the work and secure the site from public entry. Cost includes all labor, materials, and equipment for installation, maintenance during construction, and removal/disposal.

3. Bluegrass Tilling Square Yard Includes all labor, materials, and equipment required to till existing bluegrass turf.

Due to site access restrictions, all work shall be performed by hand or small mechanized machine. All turf shall be tilled and spread on site. Large root balls of turf mats shall be removed at locations of new plantings.

4. Erosion Control Logs Linear Foot

This item includes all labor and materials required to install erosion control measures to protect Gore Creek from an increase in turbidity at the Village Center project site and any and all incidentals. Cost includes all labor, materials, and equipment for installation, maintenance during construction, removal, and proper disposal.

5. Topsoil Cubic Yard This item is for the provision and placement of screened topsoil in disturbed areas and areas to be planted as indicated in the Drawings and Specifications. Cost includes all labor, materials, and equipment associated topsoil installation.

6. Mulch Transport and Install Cubic Yard This item includes all labor, materials, and equipment to install wood mulch in planting bed, tree and shrub areas as indicated in the Drawings and Specifications. OWNER will supply materials. The cost includes the CONTRACTOR transporting material from the Town of Vail Dept. of Public Works to the Project Site.

7. Existing Gravel Path Removal Square Yard This item includes all labor, materials, and equipment to remove existing gravel paths to the river as indicated in the Drawings and Specifications. Removal from site shall be done with hand tools due to site access restrictions.

8. ‘Wander’ Deterrent Each This item includes all labor, materials, and equipment to construct and install 6”x 6” x 8” rough sawn cedar deterrent structure to protect restoration areas as indicated in the Drawings and Specifications.

9. 6’ Lodgepole Pine Each This item includes the installation for a 3-7’ height Lodgepole Pine tree as indicated on the Drawings and Specifications. This item includes the furnishing and installation of all stakes and temporary watering as indicated in the Drawings and Specifications and any and all incidentals. OWNER shall supply all Lodgepole Pines.

10. 6’ Colorado Blue Spruce Each

This item includes the installation for a 3-7’ height Colorado Blue Spruce tree as indicated on the Drawings and Specifications. This item includes the furnishing and installation of all stakes and temporary watering as indicated in the Drawings and Specifications and any and all incidentals. OWNER shall supply all Spruce trees.

11-20. #5 Deciduous Shrub Each This item includes labor, materials, warranty and incidentals for the installation of #5 shrubs as indicated on the Drawings and Specifications.

21-25. 10 cubic inch Herbaceous Plant Each This item includes labor, materials, warranty and incidentals for the installation of a

TECHNICAL SPECIFICATIONS

SECTION 1 SCOPE OF WORK

1.01 GENERAL

This Project is for the Installation of riparian and bank restoration on Gore Creek in Vail, Colorado.

The scope of this project is to install riparian vegetation including:

• Identify and maintain erosion control measures and Best Management Practices (BMPs) in identified locations.

• Protect in-place all driveways, utilities, parking lots, all structures, and mature trees not identified for removal;

• Remove, haul off and dispose of existing bluegrass turf by hand or small mechanized machine;

• Install riparian and transition/upland vegetation; • Provide temporary irrigation • Install “wanderer deterrent” structures to protect newly established vegetation for

restoration; • Restore construction staging areas and access areas to equal or better than condition

before construction began;

In accordance with these Specifications and as shown on the Project Drawings. Project Drawings include 12 plates; G01 is the cover page, G02-G04 are sheet indexes and general notes, EC01 shows erosion control measure, VC1, AH1, SW1-4 are landscape plan, and D01 and D02 are construction details.

SECTION 2 GENERAL CONSTRUCTION METHODS

2.01 PROJECT LIMITS

The Project Limits are defined in the plans. No construction related activities or impacts shall occur outside of the Project Limits, excepting existing public access, unless otherwise authorized by the Town of Vail in writing. Protect in place all structures, vegetation, drainages and other within the Project Limits that are not specifically identified for construction. When construction activities are within 5 feet of the Project Limits, mark and flag the Project Limits.

2.03 SITE INTEGRITY

The CONTRACTOR is required to document the condition of the Utilities, Structures, Willow Bridge Road, Slifer Square, Vail Valley Drive, river banks, mature vegetation and the general area within the project limits with video recordings, submitted to ENGINEER and OWNER/OWNER’S REPRESENTATIVE prior to any construction phase and after each phase of construction is completed. The video recording shall document the surface integrity of the structures with clear and recognizable reference features or established and repeatable reference markers in the field of view. The CONTRACTOR is responsible for rehabilitating, repairing or replacing, to better than pre-construction conditions, any damage to the structures, utilities, roads, and vegetation or other directly or indirectly related to construction activities.

2.04 UTILITIES

CONTRACTOR shall field-locate and mark all utilities within or adjacent to the Project. Any utility locations marked on plans are approximate and actual field location of any utility is wholly the responsibility of the CONTRACTOR. CONTRACTOR shall protect in place all utilities.

2.05 CONSTRUCTION STAKING AND SURVEY

The ENGINEER shall provide adequate horizontal and vertical control points for the CONTRACTOR to establish the locations of plants shown on the plans. The ENGINEER shall provide initial construction staking with colored flagging to identify plant locations.

Established control points shall be provided with special colored flagging and it shall be the responsibility of the CONTRACTOR to protect those control points. In the event they are lost,

due to any cause, the CONTRACTOR shall re-establish adequate and permanent control markers.

2.06 TRAFFIC CONTROL

The CONTRACTOR shall place green construction fencing and signage around limits of work to protect construction site from pedestrian access.

2.07 STAGING AREAS

Materials and equipment can be left with Project limits overnight if needed. Staging will be allowed on Willow Bridge Rd for access to the Village Center. Staging for Austria Haus will be allowed at Slifer Square. These locations shall not be utilized overnight.

SECTION 3 BEST MANAGEMENT PRACTICES 3.01 GENERAL

The Work covered by this section includes the furnishing of all labor, materials, equipment and incidentals for installation and maintenance of all on shore erosion control Best Management Practices (BMPs). Within the Project Limits all disturbed surfaces shall utilize best management practices such as Erosion Control Logs, Straw Wattles, Construction Sequencing, Care of Water, etc.; to minimize potential environmental damage, turbid conditions, locations of ponding, sediment loading in any flow path, dust, noise, light, etc. Adequate numbers, locations and properly functioning BMPs and erosion control are wholly the responsibility of the CONTRACTOR. CONTRACTOR is responsible for maintaining all BMPs during construction activities, and for their removal post construction activities and/or adequate stabilization periods. The ENGINEER may stop work in any area due to improperly installed, inadequate, or non-functioning BMP's based on ENGINEER’s sole discretion. 3.02 EROSION CONTROL PRACTICES 3.02 A. Erosion Control Log. The CONTRACTOR shall place Biodegradable Erosion Control Logs at the downslope edge of proposed disturbance areas prior to land disturbing activities. Biodegradable Straw Wattles will be 9 inches in diameter and staked every 1 foot on center, as per manufacturer recommendation on packaging. Erosion control logs shall be equivalent to SEDIMAX™-SWB9. 3.02 B. Straw Bales. Straw Bales shall be certified “Weed-Free” and not hay bales. Bales shall be secured with wood or metal stakes driven 2 feet into ground. 4 inches of 3 inch minus washed gravel shall be placed on the up-gradient toe of the bales. Bales can be removed when vegetation is in place and ENGINEER has given approval. 3.02 C. Silt Fences. Silt Fences shall be placed to contain construction activities on land. Silt Fence shall be constructed with 6oz. Non-Woven Geotextile or equivalent, with a 6 inch by 6

inch anchor trench up-grade (i.e. uphill) of the fence line and fence posts in 6 feet centers. The anchor trench shall be backfilled to existing grade with native material sufficiently tamped or compacted to prevent flow from migrating under the silt fence. 3.02 D. Final Site Restoration 1. Dispose of any excess materials at a qualified disposal facility; 2. Remove all materials from staging areas; 3. Repair staging areas to pre-construction condition; 4. Remove all waste materials; 5. Remove utilities protection; 6. Remove temporary signs, barriers and safety fencing; 7. Repair damage to any adjacent property, structures or vegetation; 8. Establish grasses seed mixes (see lists Section 4.5.1) in all disturbed areas above the Ordinary High Water Line; and 3.03 RIPARIAN PROTECTION Any and all riparian areas and riparian vegetation outside of the limits of bluegrass tilling shall be protected in place. No construction supplies, fuels nor oils shall be stored in riparian areas, no vehicles nor shall heavy equipment be allowed into riparian areas other than the designated channel access sites. No discharge of any materials shall be allowed into any riparian areas. Riparian areas shall be traversed only by foot and only leak-free hoses may cross riparian vegetation. Any incidentally disturbed riparian areas shall be restored to better than pre-construction conditions. SECTION 4 PLANTING AND SEEDING 4.01 GENERAL PLANT MATERIALS All Plant materials shall be native to the Colorado Rocky Mountains and ideally native to the Gore Creek Watershed or approved by ENGINEER or OWNER/OWNER’S REPRESENTATIVE. Plant materials shall be live, viable vegetation free of insects and diseases. All trees and shrubs shall be of standard quality as set forth by the American Association of Nurserymen Standards and shall be true to their names, types and true native strands of their species. OWNER will provide all Colorado Blue Spruce and Lodgepole Pine, CONTRACTOR will install and warranty. All plant material are under CONTRACTOR warranty for one year after planting. The CONTRACTOR shall notify the ENGINEER or OWNER/OWNER’S REPRESENTATIVE of the delivery schedule in advance so the plant materials may be inspected upon arrival at the job site. Plants that cannot be planted the day of arrival shall be protected from wind, direct sunlight, drying out or other damage. The only pruning that should be carried out upon new delivered plants is: 1) broken branches as a result of transporting or planting operation; 2) dead or diseased branches; and/or 3) stubs and basal sprouts. 4.02 GENERAL PLANTING

4.02 A. Installation of Plant Material. Plants shall be installed as marked on the Project Drawings. The layout of the shrubs shall be planted staggered (not horizontal or vertical lines) and field fit per direction ENGINEER or OWNER/OWNER’S REPRESENTATIVE. CONTRACTOR shall allow approximately two (2) hours for ENGINEER or OWNER/OWNER’S REPRESENTATIVE to adjust planting locations. Any plant materials damaged during installation or determined to be unsuitable by the ENGINEER or OWNER/OWNER’S REPRESENTATIVE shall be removed and replaced at the CONTRACTOR’S expense. All trees shall be planted so the root collar is at the soil or grade level. 4.02 B. Water. The TOWN OF VAIL (TOV) will provide water suitable for establishment of vegetation with a drip irrigation system. CONTRACTOR is required to water plants immediately after planting to reduce shock and assist in soil-root contact and the CONTRACTOR should work with TOV to identify water availability during installation. Available soil moisture in riparian areas shall vary greatly depending upon the relation (topographic elevation) of the planting site to the river, the moisture retention properties of the soil, and the species being planted. CONTRACTOR shall be responsible for temporary watering for 1 week after final installation or until irrigation is supplied by TOV. 4.03 SITE PREPARATION 4.03 A. Bluegrass tilling Existing bluegrass lawn in areas will be removed in the location of plant installation by hand tilling. Sod shall be removed from an area 12” wider than the size of the hole dug for plant installation. No herbicide shall be used. Hand work, a rototiller, or other small mechanized machine may be used for turf removal. Large machine use is restricted do to site access constraints. Bluegrass shall only be removed within the limits of bluegrass tilling as indicated in the Drawings. No tilling shall take place within 4’ of the edge of water of Gore Creek. 4.03 B. Top Soil Topsoil shall be salvaged a minimum of 6 inches in depth from all disturbed areas. Salvaged topsoil shall be free of large bluegrass root balls. The slopes of temporary stockpile shall not exceed 2:1 horizontal to vertical. Topsoil shall not be places on any material to be protected in place including, but not limited to, turf, existing plant material, or walkways.

1. Top Soil Application Top soil shall be applied to all areas for seeding and planting. Top soil shall be applied at a minimum of 6 inches depth on all seeded areas, and shall be used to backfill all shrub and tree plantings to the depth and twice the width of the root ball. Topsoil shall not be placed when the ground or Topsoil is frozen, or excessively wet. Following the spreading operation, the Topsoil surface shall be raked to final grades without surface irregularities that could contribute to concentrated water flow downslope. Top soil shall be raked with 0.5 inch undulations for a seed bed.

2. Top Soil Material

Imported topsoil shall be a natural sandy loam that is weed free. Imported Topsoil shall be properly stored and protected, and shall be free of roots, hard clay and stones which shall not pass through a 1-inch square opening. It shall be a loamy mixture having at least 90 percent passing No. 10 sieve. Below lists the soil properties:

1. Contain no less than 2 percent nor more than 40 percent organic matter, as determined by the test for organic matter in accordance with ASTM D2974.

2. Contain no less than 12 percent or more than 20 percent clay, as determined in accordance with ASTM D422.

3. Sand content shall not exceed 40 percent, as determined in accordance with ASTM D422.

4. The pH shall not be lower than 5.0 or higher than 8.0. The pH shall be determined with an acceptable pH meter on that portion of the sample passing the No. 10 sieve, in accordance with the ―Suggested Methods of Tests for Hydrogen Ion Concentration (pH) of Soils, included in the ASTM Procedures for Testing Soils issued December 1964.

5. One hundred percent shall pass the 1-inch screen; 97-100 percent shall pass the 0.5 inch screen, and 40-60 percent shall pass the No. 100 mesh sieve.

6. Topsoil shall be free of clods, gravel, and other inert material. It shall be free of thistle, reed canary grass, creeping foxtail, noxious vegetation and seed. Should such regenerative material be present in the soil, the CONTRACTOR shall remove, at his expense and in a manner satisfactory to the ENGINEER, all such growth, both surface and root, which may appear in the imported Topsoil within 1 year following acceptance of the work.

7. All soil to be seeded shall be amended with Humate product. The method of incorporation of amendments shall result in a uniform application of material as approved. Humate shall be applied at a rate of 1500 pounds per acre. The humate shall be applied using approximately 1 gallon of water for 1 pound of dry powder.

4.03 C. Wood Mulch All containerized plants require the application of ≥3” Mulch. Mulch to be used for Site Rehabilitation shall be approved by the ENGINEER or OWNER’S REPRESENTATIVE. The mulch should be shredded and chipped uniform in size, color, quality, and overall appearance. OWNER will supply materials. The CONTRACTOR shall transport material from the Town of Vail Dept. of Public Works to the Project Site.

a) Mulch to be applied to Riparian Plantings shall have an area of not less than one square inch and not more than three square inches. b) Mulch shall be of free weeds and material injurious to plant growth. All mulch shall be applied by hand in a uniform manner a depth less than 3 inches.

4.04 RIPARIAN PLANTINGS Where existing plants overlap with proposed planting areas, the CONTRACTOR is responsible for communicating with the ENGINEER or OWNER/OWNER’S REPRESENTATIVE prior to installation to ensure which if any existing plants or root systems shall be disturbed. The ENGINEER or OWNER/OWNER’S REPRESENTATIVE will work with the CONTRACTOR to determine alternative placement of individual plants where needed. 4.04 A. Tree Planting Landscape tree planters shall be held open at a minimum of 2 times the width of the root ball. Carefully place Tree and backfill the planters with excavated soil and amend with top soil. Wildlife fencing shall be placed around all size 6’ tree or larger.

1. Spacing of trees. The layout of the trees shall be planted staggered (not horizontal or vertical lines) as shown on Project Drawings. The Project Drawings provide the Species List for all native riparian Tree Plantings. Minimum spacing of plantings is species and type dependent and listed in plant schedule on each landscape plan associated with each project area.

2. Tree trunks. Trunks shall be straight and well-tapered. Trees with multiple leaders, unless specified, shall be rejected. Damaged, cut, or crooked leaders; included bark, bark abrasions, sunscald, disfiguring knots, mold, and prematurely opened buds, or cuts of limbs over 3/4 inch (2 cm) diameter that are not completely callused are cause for rejection. Balled-in-burlap plants shall have firm, natural earth balls of a diameter not less than that recommended in American Standard for Nursery Stock, and of sufficient depth to include fibrous and feeding roots. Balls shall be securely wrapped with burlap and tightly bound with rope or twine; or in wire baskets lined with burlap and tightly bound with rope or twine. The trunk flare shall be within the top two inches of the soil ball. Balled-in-burlap plants with manufactured balls or balls that are dry, cracked, or broken before or during the planting operation shall be rejected.

3. Root wrapping. All root-wrapping materials that are not bio-degradable shall be

removed from the root ball. Root balls shall be free of weeds. Holes must be dug a minimum of 2 times the width of the root ball. Trees shall be planted so that the top of the rootball is exposed and not smothered; holes shall be dug to the depth of the root ball with at least 2 inch, from the base of the trunk flare, above the soil surface. Trees should be centered in the planting hole and set completely perpendicular to the ground when viewed from two locations at right angles to one another. Backfill planted tree with topsoil. Prepare a watering circle of 2' diameter around the trunk. At a minimum of 6’’ from base of tree, place 3" depth of weed free mulch around the planted trees. Mulch shall consist of wood chips or shredded wood that is uniform in size, color, quality, and overall appearance. Mulch shall be of free weeds and material injurious to plant

growth. Wood chips shall have an area of not less than one square inch and not more than three square inches.

4. Fertilizers. Planted trees shall be fertilized with a slow-release fertilizer, and placed deep into the planting hole and backfilled with soil to minimize fertilizer absorption by weeds and turf. Use a complete slow release fertilizer in a NPK ratio of 1:2:1, nitrogen, phosphate, and potash.

5. Wildlife Screen. All planted ball and burlap trees and large shrubs shall have small

mammal protective fencing. Fencing shall be 14 gauge welded wire, or chicken wire with less than 6” inch spacing. The welded wire shall be held 6 inches from the truck and placed as a cylinder around the trunk of the tree at a minimum of 4 feet in height. The welded wire shall be fastened to hardwood stakes with cord. The welded fencing shall be flush with the ground.

4.04 B. Ball and Burlapped Plants All balled and burlapped plants shall have a solid ball of earth of adequate specified size held in place securely. Ball shall be confined securely with wrapped burlap and tightly bound with twine or rope. The burlap ball shall be encompassed by a firm wire basket (to be loosened at planting) designed for the size and shape of the ball. Broken, loose, damaged or manufactured ball shall be rejected. Ropes at the top of the ball shall be cut once placed in the pit. Remove the top 1/3 of burlap or basket. All twine shall be removed. 4.04 C. Containerized Plants Containerized plants including 5 gallon, 2 gallon, 1 gallon, and 10 cubic inch stock shall be in good condition before installation and shall not be root-bound in their containers. Roots that circle the container can become strangulated roots and hinder future growth of the plant. Extensive roots that have grown out through the drain ports of the container may be dried or damaged and become a source for infection and additional stress for the plant. Any or all abnormalities listed above shall be reason for rejection. Containerized plants shall be installed into moist soils and shall be “mudded in” after installation to ensure no air pockets are present around the roots. If temporary storage of uninstalled plants is needed, they must not be exposed to direct sunlight or wind and shall be watered daily and protected from the elements. If containerized plants cannot be installed the same day as delivery, moisture of the soil shall be sufficient. Overhead water 1-2 times per day is required.

1. Spacing of shrubs. The layout of the shrubs shall be planted staggered (not horizontal or vertical lines) as shown on Project Drawings. The Project Drawings provide the areas for Riparian Shrub Plantings and Species List. Minimum spacing of plantings is species and type dependent and listed in plant schedule on each landscape plan associated with each project area.

2. Riparian Shrub Products. The Riparian Area shall be vegetated with native containerized shrub plants. Containerized plants shall be well established in the container with a root system sufficiently developed to hold together when removed from

the container. Containerized riparian shrubs shall be 1 or 5 gallon pots as specified. Plants shall not be pot bound nor have kinked, circling, or bent roots. The root ball periphery shall be free of circling roots larger than ¼ inch in diameter. Roots grown in a spiral fashion inside the container may be rejected, the tree shall not be “root bound”.

4.04 D. Bare Root Plants Bare root plants are acceptable for wetland, grass, and sedge planting, but bid tab shall clearly note which species are proposed for bare root, versus 10 cubic inch containerized stock. Proper storage and installation of bare root plants is a key to success in establishment. Bare roots shall be planted into moist soils at the time of installation. CONTRACTOR must ensure that roots do not dry out during storage or installation and that adequate site conditions (proper hydrology) exist for the successful establishment of plants and should work with the ENGINEER or OWNER’S REPRESENTATIVE if there are any concerns with proposed placement on drawings. Plant roots shall be placed into the ground as straight as possible and not “j-rooted”. Plants shall not be planted too deep and the plant depth shall correspond with the correct depth of a given species.

4.04 E. Seed. All soil areas within the Project Limits, disturbed by construction activities, shall be seeded with the one of the seed mixes listed below as shown on plans. All mixes shall be Certified Seed that is weed free and native strands of Pure Live Seed (PLS). a. Soil Preparation: After disturbance has ceased, soil shall be graded and raked to 0.25’’ to 0.5’’ to create a seed bed. Soils must be moist prior to seed application. Sprinkle areas to be seeded with water, using fine spray to avoid washing or erosion of soil.

b. Seed Application: Hand broadcast at specified rate, lightly rake into soil, and lightly compact soil surface. Immediately after seed application all areas shall be overlaid with hydromulch to reduce erosion and wind loses. Do not apply seeds when weather is too windy, hot or drying, or other adverse conditions exist.

CONSTRUCTION CONTRACT (SHORT FORM)

THIS CONSTRUCTION CONTRACT (the "Contract") is made and entered into this __ day of ________, 2017 by and between the Town of Vail, 75 South Frontage Road, Vail, Colorado 81657, a Colorado municipal corporation (the "Town"), and _________________________., an independent contractor with a principal place of business at __________________________________________________ ("Contractor") (collectively the "Parties").

For the consideration hereinafter set forth, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

I. SCOPE OF WORK

Contractor shall furnish all labor and materials required for the complete and prompt execution and performance of all duties, obligations, and responsibilities which are described or reasonably implied from the Scope of Work set forth in Exhibit A, attached hereto and incorporated herein by this reference. No change to the Scope of Work, including any additional compensation, shall be effective or paid unless authorized by written amendment executed by the Town.

II. TERM AND TERMINATION

A. Contractor shall complete the Scope of Work on or before __________________.

B. This Contract shall terminate when all the work described in the Scope of Work is completed to the Town's satisfaction (final acceptance), or upon the Town's providing Contractor with seven (7) days advance written notice, whichever occurs first; provided that the indemnification and warranty provisions of this Contract shall survive termination.

III. COMPENSATION

Upon final acceptance by the Town of the work set forth in the Scope of Work, the Town shall pay Contractor an amount not to exceed ________________________________________ ($____________) (the "Contract Price"), subject to the requirements of C.R.S. § 38-26-107. If Contractor completes the Scope of Work for a lesser amount than the Contract Price, Contractor shall be paid the lesser amount.

IV. INDEPENDENT CONTRACTOR

Contractor is an independent contractor. Notwithstanding any other provision of this Contract, all personnel assigned by Contractor to perform work under the terms of this Contract shall be, and remain at all times, employees or agents of Contractor for all purposes. Contractor shall make no representation that it is a Town employee for any purposes.

V. RESPONSIBILITY

Contractor hereby warrants that it is qualified to assume the responsibilities and render the services described herein and has all requisite corporate authority and licenses in good standing. The services performed by Contractor shall be in accordance with generally accepted professional practices and the level of competency presently maintained by others in the same or similar type of work, and in compliance with applicable laws, ordinances, rules and regulations. The Town's review, approval or acceptance of, or payment for any work shall not be construed as a waiver of any rights under this Contract or any cause of action arising out of the performance of this Contract.

VI. OWNERSHIP

Any materials, items, and work specified in the Scope of Work, and any and all related documentation and materials provided or developed by Contractor shall be exclusively owned by the Town. Contractor expressly acknowledges and agrees that all work performed under the Scope of Work constitutes a "work made for hire." To the extent, if at all, that it does not constitute a "work made for hire," Contractor hereby transfers, sells, and assigns to the Town all of its right, title, and interest in such work. The Town may, with respect to all or any portion of such work, use, publish, display, reproduce, distribute, destroy, alter, retouch, modify, adapt, translate, or change such work without providing notice to or receiving consent from Contractor.

VII. INSURANCE

A. Contractor shall procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assumed by Contractor under this Contract, including the following, at a minimum:

1. Worker's compensation insurance as required by law; and

2. Commercial general liability insurance with minimum combined single limits of six hundred thousand ($600,000) each occurrence and one million dollars ($1,000,000) general aggregate naming the Town and the Town's officers, employees, and consultants as additional insureds. The policy shall be with a carrier and in a form acceptable to the Town at the Town's sole discretion.

B. Any insurance carried by the Town, its officers, or its employees or contractors is excess and not contributory insurance to that provided by Contractor. Contractor shall be solely responsible for any deductible losses under any policy.

C. Contractor shall provide to the Town a certificate of insurance as evidence that required policies are in full force and effect.

D. Failure on the part of Contractor to procure or maintain the insurance required herein shall constitute a material breach of this Contract upon which the Town may immediately terminate this Contract, or at its discretion, the Town may procure or renew any such policy or any extended reporting period thereto and may pay any and all premiums in connection therewith, and all monies so paid by the Town shall be repaid by Contractor to the Town upon

demand, or the Town may offset the cost of the premiums against any monies due to Contractor from the Town.

VIII. INDEMNIFICATION

Contractor agrees to indemnify and hold harmless the Town and its officers, insurers, volunteers, representatives, agents, employees, heirs and assigns from and against all claims, liability, damages, losses, expenses and demands, including attorney fees, on account of injury, loss, or damage, including, without limitation, claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner connected with this Contract, to the extent that such injury, loss or damage is attributable to the act, omission, error, professional error, mistake, negligence or other fault of Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor or of any subcontractor of Contractor, or which arise out of any worker's compensation claim of any employee of Contractor or of any employee of any subcontractor of Contractor. Contractor, to the fullest extent permitted by law, shall defend, investigate, handle, respond and provide defense for and defend against any such liability, claims, damages, losses, expenses or demands at the sole expense of Contractor, or at the option of the Town, Contractor agrees to pay the Town or reimburse the Town for defense costs incurred by the Town in connection with any such liability, claims, damages, losses, expenses or demands. Contractor, to the fullest extent permitted by law, shall defend and bear all other costs and expenses related thereto, including court costs and attorney fees, whether or not such liability, claims or demands alleged are groundless, false or fraudulent. This indemnification provision is intended to comply with C.R.S. § 13-21-111.5(6), as amended, and shall be read as broadly as permitted to satisfy that intent.

IX. TERMINATION

This Contract shall terminate when all the work described in the Scope of Work is completed to the Town's satisfaction, or upon the Town's providing Contractor with seven (7) days advance written notice, whichever occurs first. If the Contract is terminated by the Town's issuance of written notice, the Town shall pay Contractor for all work authorized and completed prior to the date of termination.

X. WARRANTY

Contractor shall warrant and guarantee all materials furnished and work performed by Contractor under this Contract for a period of two (2) years from the date of final acceptance by the Town. Under this warranty, Contractor agrees to repair or replace, at its own expense and under the direction of the Town, any portion of the work or materials that fails or is defective, unsound, unsatisfactory because of materials or workmanship, or that is not in conformity with the provisions of the Contract. The expiration of the warranty period shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed.

XI. MISCELLANEOUS

A. Governing Law and Venue. This Contract shall be governed by the laws of the State of Colorado, and any legal action concerning the provisions hereof shall be brought in Boulder County, Colorado.

B. Integration. This Contract and any attached exhibits constitute the entire agreement between Contractor and the Town, superseding all prior oral or written communications.

C. Third Parties. There are no intended third-party beneficiaries to this Contract.

D. Notice. Any notice under this Contract shall be in writing, and shall be deemed sufficient when directly presented or sent pre-paid, first class United States Mail to the address included on Page 1 of this Contract.

E. Severability. If any provision of this Contract is found by a court of competent jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall remain in full force and effect.

F. Modification. This Contract may only be modified upon written agreement of the Parties.

G. Assignment. Neither this Contract nor any of the rights or obligations of the Parties hereto, shall be assigned by either party without the written consent of the other.

H. Governmental Immunity. The Town, its officers, and its employees, are relying on, and do not waive or intend to waive by any provision of this Contract, the monetary limitations or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, C.R.S. § 24-10-101, et seq., as amended, or otherwise available to the Town and its officers or employees.

I. Rights and Remedies. Delays in enforcement or the waiver of any one or more defaults or breaches of this Contract by the Town shall not constitute a waiver of any of the other terms or obligation of this Contract. The rights and remedies of the Town under this Contract are in addition to any other rights and remedies provided by law. The expiration of this Contract shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed.

J. Subject to Annual Appropriation. Consistent with Article X, § 20 of the Colorado Constitution, any financial obligation of the Town not performed during the current fiscal year is subject to annual appropriation, and thus any obligations of the Town hereunder shall extend only to monies currently appropriated and shall not constitute a mandatory charge, requirement or liability beyond the current fiscal year.
