1. The Opportunity

1.1. Project Summary

The Town of Gilbert, Arizona (hereinafter “Town”) is soliciting qualified Proposers for Fire

Department Annual Physicals program. GFRD is looking to expand the current annual physicals

to include more up-to-date screenings and physical evaluations. Using NFPA 1582

requirements as our baseline minimum, we would like to include innovative testing to capture

occupational illnesses early to counter the long-term costs of treatments. Ultimately, an annual

physical that focuses on prevention, early recognition and maintaining optimal health for the

duration of one’s career.

1.2. Background

The Town of Gilbert Fire and Rescue Department is the sixth-largest municipality in Arizona,

and the fifth-largest in the Metropolitan Phoenix area. The current population is approximately

250,000. The Fire department services include: full fire suppression, fire prevention, community

risk reduction, hazmat, and emergency medical services. The fire department is currently

expanding to include medical transportation services. The fire department currently consists of

214 sworn employees that will require annual physical exams.

According to US Fire Administration Firefighter Fatalities Reports, non-trauma deaths involving

firefighters ages 41-60 accounted for 67% of deaths. In the past five years, 50.3% of all fatalities

were due to stress and overexertion, the majority being heart attacks. According to the USFA,

the American Fire Service has averaged over 100 LODD’s each year for the past 10 years, with

almost ½ due to stress and overexertion. Heart disease/sudden heart attack account for 45% of

LODD’s in the fire service, where as 22% of heart disease/sudden heart attack account for

LODD’s in Police and 11% in Emergency Medical Services. The higher rate is attributed to

“smoke and chemical exposure, irregular physical exertion, handling heavy equipment, heat

stress, shift work and a high prevalence of risk factors and physiological stressors.” Research has

shown that firefighters operating on the fireground typically work between 60-80% of their

maximum heart rate, with the majority being at 70%. The risk increases with the task, for

example a rescue will often push the firefighter to work at 100% of the heart rate for 20-40

minutes. Elevated body temperature adds to the stress as the body attempts to cool down. This

problem is exacerbated by a previously dehydrated firefighter.

The National Institute for Occupational Safety and Health (NIOSH) conducted a multi-year

study (1950-2009) of nearly 30,000 fire fighters from the Chicago, Philadelphia, and San

Francisco Fire Departments to better understand the potential link between firefighting and

cancer. This study was a joint effort led by researchers at NIOSH in collaboration with

researchers at the National Cancer Institute and the University of California at Davis Department

of Public Health Sciences and supported in part by the U.S Fire Administration. Based on U.S.

cancer rates, fire fighters in this study had a greater number of cancer diagnoses (9% higher) and

cancer related deaths (14% higher) than the general public. These were mostly digestive, oral,

respiratory, and urinary cancers. There were about twice as many fire fighters with malignant

mesothelioma, a rare type of cancer caused by exposure to asbestos, which is often encountered

during firefighting operations. There were also more cases of certain cancers than

expected among younger fire fighters under the age of 65, such as bladder and prostate

cancers. This study provides evidence that fire fighters are at increased risk of certain types of

cancer because of occupational exposure.

The understanding that the overall mental health wellbeing of fire employees is critical to their

ability to successfully navigate the challenges of the job demands as well as routine life stressors

has become increasingly recognized as an area of concern within the industry. Suicide is the

10th leading cause of death in the United States and recent studies have shown that between 7-

11% of firefighters suffer from clinical levels of depression. GFRD is no different and

recognizes that the current screening processes do not address this concern.

1.3. Business Challenge/Problem

Currently our department uses basic criteria that hasn’t changed in over 20 years. Today’s

testing includes: HepB testing, vitals, body fat testing (caliper), EKG treadmill stress test,

pulmonary, visual and auditory testing, chest x-rays every 5 years and Chem 18/lipid panel blood

testing. National Fire Protection Association (NFPA) standard 1582 outlines all of the minimum

recommendations for health screenings of sworn fire personnel. At this time Gilbert Fire and

Rescue Department seeks to obtain proposals that will meet or exceed our health screenings with

the recommendations of NFPA 1582 and offers the ability for expanded provision of services as

NFPA adopts new versions and guidance.

1.4. Goals

The GFRD has numerous desired outcomes through the successful implementation of this

process. The annual physical program will help the Gilbert Fire and Rescue Department to:

1. Provide a comprehensive annual physical that aligns with current NFPA 1582

recommendations and allows for the expansion of services as new versions of the

standard are adopted.

2. Demonstrate knowledge, experience, and compliance with federal, state, local, American

National Standards Institute (ANSI), Occupational Safety & Health Administration

(OSHA), National Registry of Certified Medical Examiners, laws, rules, regulations, and

all other applicable regulations for the term of this contract.

3. Ensure strict compliance with all HIPAA and Town of Gilbert data security provisions.

4. Deliver annual physical processes that educate employees on key aspects of wellness.

Examples include but are not limited to disease processes, nutrition, sleep, mental health,

prevention, etc.

5. Provide enhanced screen processes to facilitate the early detection of occupational

diseases and illnesses.

6. Assist with referral services to specialized care providers available within the employee’s

health insurance.

7. Complete return to work evaluations for employees returning from extended leave.

8. Provide gender-specific preventative screenings to identify medical concerns as early as

possible.

9. Develop personalized data reporting for employees (year to year graphs, charts, age, and

gender demographics).

10. Develop aggregate department data for departmental communication and education.

11. Develop and maintain a patient portal for employees to review their medical information.

12. Develop a year-round annual physical schedule as an alternative for focal dates.

13. Asses employees’ annual physical results to indicate fitness for duty and provide written

clearance to the employer.

14. Develop a streamlined scheduling, registration, and patient documentation process that

limits professional staff and sworn employees’ burden.

15. Obtain and provide access to past health data for retirees.

16. Demonstrate the ability to transfer patient information electronically to private healthcare

providers at the employee’s request.

17. Utilize enhanced testing processes for determining cardiovascular/pulmonary function

and concerns.

18. Conduct mental wellness checks by a certified mental health professional and provide

treatment recommendations if needed. This service should also include follow-up

screening as needed to establish fitness for duty following HIPAA standards of privacy.

19. Conduct comprehensive cancer screening, including full-body skin cancer checks, breast

cancer screening, advanced lung cancer screening, and all NFPA 1582 recommendations

that incorporate gender, age, genetic, and environmental risk factors.

20. Provide employee education and guidance recommendations based on physical

exams/bloodwork results and findings.

21. Facilitation of streamlined blood draw services, including on-site (GFRD stations) blood

draws, incorporation of blood draw fees, and lab processing into the overall physical

costs.

22. Physician oversight for annual physicals.

23. Obtainment, warehousing, and incorporation of prior physical exam results from the

previous provider.

24. Facilitation of comprehensive blood draws lab testing following current NFPA 1582 and

additional testing services based on the employee’s medical history or specific concerns

(example, thyroid or hormone testing).

25. The annual exams’ physical location should occur with a 30-mile distance of the Gilbert

Fire Administration (i.e., central Phoenix or East Metropolitan Phoenix Area).

1.5. Award Terms

This is NOT an all or nothing proposal solicitation. The Town reserves the right to obtain the

services sought in this RFP from multiple sources. The Town intends to award up to One (1)

contract.

2. Scope of Work

The fire department currently has a contract for exams to be performed from September thru

October, with the blood draws in August. The annual physicals are modeled by the current

NFPA 1582 (2018) Annual Occupational Fitness Evaluation of Members and in-line with

Chapter 9 Essential job tasks – Specific evaluation of medical conditions in members.

2.1. Description of Services

22. Demonstrate the ability to transfer patient information electronically to private healthcare

providers at the employee’s request.

23. Assess employees’ annual physical results to indicate fitness for duty and provide written

clearance to the employer.

24. Develop a streamlined scheduling, registration, and patient documentation process that

limits professional staff and sworn employees’ burden.

25. All paperwork that employee will be asked to sign with respect to physical exams

including, but not limited to, any liability waivers shall be provided with a full

explanation of why and when these are necessary.

26. Payment is collected by a 30-day net invoicing submitted to the Fire Department based

on a fixed price menu of services received/rendered

27. Facilitation of comprehensive urinalysis/blood draws lab testing following current NFPA

1582 and additional testing services based on the employee’s medical history or specific

concerns (example, thyroid or hormone testing).

28. Facilitation of streamlined blood draw services, including on-site (GFRD stations) blood

draws, incorporation of urine & blood draw fees, and lab processing into the overall

physical costs.

29. The annual exams’ physical location should occur with a 30-mile distance of the Gilbert

Fire Administration (i.e., central Phoenix or East Metropolitan Phoenix Area).

Deliverables and Incentives

The Town is interested in negotiating a possible incentive for the contract award winner should

they be able to accommodate a singular billing structure for all facets of the physicals process, up

to and including the fees for bringing in a third party to complete blood draw / urinalysis and

laboratory processes.

As bloodwork / urinalysis must be completed prior to any comprehensive physical exam, the

Town has identified a need to have blood draws conducted at two of the Fire Department

Stations with employees reporting to these locations for this aspect of the physical. Completing

blood draws and urinalysis collection on-site reduces the overtime costs and scheduling

complexities of having our workforce travel a distance to complete them. However, the Town

also desires to incorporate all fees into a single payment structure to the primary physical

provider (the contract awarded company). The ability to do so will mitigate billing complexity

and the potential for erroneous fees.

Should the awarded contract company be able to facilitate a single billing process, the Town will

entertain discussion regarding an incentive component to the fee structure of the contract.

2.2 Pricing

All pricing should be firm for the term of two (2) years. No price increase will be accepted

without proper request. Price increases must be submitted to the agency, in writing 6 months in

advance of any adjustment.

Provide a price structure addressing the below outlined services as well as any additional

services that your company provides aligning with NFPA 1582. If your company provides

alternatives to standardized testing mechanisms outline them as an addendum and provide a

pricing structure for those as well. Identify which services are included as part of a routine

annual physical and which are add-on’s to the base physical price.

Extended Absence Return to Work Evaluations

Occasionally, GFRD may request that an employee be re-evaluate regarding a return to work

evaluation from an extended absence. These evaluations take place after a release to full duty by

employee’s treating surgeon or physician for an extended injury or illness. In some instances an

employee’s absence is not followed by a physician, yet may still requires a return to work status

set forth by GFRD’s absence timeline.

It is understood the fee is estimated as a return to work evaluation may vary depending on what is

needed. This generally includes the clinicians review of notes and work release information as well

as a potential physical exam.

3. Proposal Content and Submittal

3.1. Submittal Checklist

As part of the RFP process, all Proposers are to review, complete, and submit the following

proposal components and compliance documents IN ORDER FOR THE PROPOSAL TO BE

RESPONSIVE. FAILURE TO DO SO MAY RESULT IN THE PROPOSAL BEING

DECLARED NON-RESPONSIVE AND REJECTED.

Previous compliance document submittals and/or waivers do not apply. New forms must be

completed and processed. Purchasing Department reserves the right to request additional

information and/or clarification regarding submitted compliance documents during the

evaluation process. Proposals MUST include the following components and compliance

1. COVER LETTER Include a one-page cover letter that contains a general statement of the

purpose for submission, and the following detailed company information:

3.2. Submittal Instructions

3.2.1 Format.

Proposers shall submit their proposal via email and shall be submitted either on the

forms provided in this Solicitation or their substantial equivalent. Any substitute

document must be legible and contain the same information requested on the forms.

3.2.2 No Modifications.

Modifications shall not be permitted after proposals have been opened except as

otherwise provided under applicable law.

3.3. Requirements for Proposers

3.3.1. Town's Right to Reject Proposals: The Town of Gilbert reserves the right to reject any

and all proposals and to waive technicalities.

3.3.2. Late Proposals: Late submittals and/or unsigned proposals will not be considered under

any circumstances. Envelopes containing proposals with insufficient postage will not be

accepted by Gilbert. It is the sole responsibility of the Proposer to see that his/her proposal

is delivered and received by the proper time and at the proper place.

3.3.3. Proposal Amendment or Withdrawal: A proposal may be withdrawn any time before the

proposal due date and time. A Proposal may not be amended or withdrawn after the

proposal due date and time except as otherwise provided by applicable law.

3.3.4. Public Record: All proposals submitted in response to this solicitation and all evaluation

related records shall become property of Gilbert and shall become a matter of public record

for review, subsequent to proposal opening. Request for nondisclosure of data such as trade

secrets and other proprietary data, must be made known in writing to Gilbert in proposals

submitted, and the information sought to be protected clearly marked as proprietary. Gilbert

will not ensure confidentiality of any portion of the proposal that is submitted in the event

that a public record request is made. Gilbert will provide 48 hour notice before releasing

materials identified by the Proposal as confidential or proprietary in order for the Proposer

to apply for a court order blocking the release of the information.

3.3.5. Solicitation Transparency Policy: Beginning on the date this Solicitation is issued and

continuing until either the date a contract is awarded or this Solicitation is withdrawn by

Gilbert, all persons or entities who respond or intend to respond to this Solicitation,

including without limitation their employees, agents, representatives, partners,

subcontractors, consultants, joint ventures, members, lobbyists, or attorneys (collectively,

“Proposers”), shall only discuss matters associated with this Solicitation with the

Procurement Officer designated in this Solicitation and shall not have any direct or indirect

contact about this Solicitation with any other Town staff or Town official, including,

without limitation, members of the evaluation panel, the Town Manager, Deputy Town

Managers, the Mayor, or any member of the Gilbert Town Council. As long as the subject

matter of the Solicitation is not discussed, Proposers may continue to conduct business with

Gilbert.

3.3.6. Persons with Disabilities: Persons with a disability may request a reasonable

accommodation, such as a sign language interpreter, by contacting the Town of Gilbert

Purchasing Division, Terry Kelley, [email protected]. Requests shall be made as

early as possible to allow time to arrange the accommodation.

3.3.7. Proposal Acceptance Period: All proposals shall remain open for 180 days after the day

of the opening of proposals, but Gilbert may, at its sole discretion, release any proposal and

return the proposal security (as applicable) prior to that date. No Proposer may withdraw

his proposal during this period without written permission from Gilbert. Should any

Proposer refuse to enter into an Agreement, under the terms and conditions of the

procurement, Gilbert may retain the security (as applicable), not as a penalty, but as

liquidated damages.

3.3.8. Clarifications. Gilbert reserves the right to obtain Proposer clarifications where

necessary to arrive at full and complete understanding of Proposer’s product, service,

and/or solicitation response. Clarification means a communication with a Proposer for the

sole purpose of eliminating ambiguities in the proposal and does not give Proposer an

opportunity to revise or modify its proposal.

3.3.9. Waiver and Rejection Rights. The Town of Gilbert reserves the right to reject any or all

proposals or to cancel the solicitation altogether, to waive any informality or irregularity in

any proposal received, and to be the sole judge of the merits of the respective proposals

received.

3.3.10. Solicitation Addendum Acknowledgement. Each Solicitation Addendum shall be

acknowledged in the Proposal Section, which shall be submitted together with the proposal

on the proposal due date and time. Failure to note a Solicitation Addendum may result in

rejection of the proposal.

3.3.11. Non-Collusion and Non-Discrimination. By signing and submitting the proposal, the

Proposer certifies that: the Proposer did not engage in collusion or other anti-competitive

practices in connection with the preparation or submittal of its proposal; and the Proposer

certifies that it does not discriminate against any employee or applicant for employment

based on race, color, age, sex, religious or political affiliation, sexual orientation, gender

identity, family status, marital status, national or ethnic origin, or mental or physical

disability, and that it complies with all applicable Federal, state and local laws and

executive orders regarding employment.

3.3.12. Inquiries

3.3.12.1. Duty to Examine. It is the responsibility of each Proposer to examine the entire

Solicitation, seek clarification (inquiries), and examine its proposal for accuracy

before submitting the proposal. Lack of care in preparing a proposal shall not be

grounds for modifying or withdrawing the proposal after the proposal due date and

time, nor shall it give rise to any Contractor claim.

3.3.12.2. No Right to Rely on Verbal Responses. A proposer shall not rely on verbal

responses to inquiries. A verbal reply to an inquiry does not constitute a modification

of the Solicitation.

4. Evaluation and Award

4.1. Evaluation Criteria

General Evaluation Standards

Gilbert seeks to obtain the services described in the Scope of Work. Gilbert will evaluate

proposals on the selection criteria set forth below. Gilbert will be the sole judge of whether the

services offered are acceptable. Proposals from individuals who have provided inadequate

services to municipalities in the past, or proposals offering services proven unsatisfactory in

Town's sole judgment may be rejected and not considered.

Gilbert reserves the right to reject any or all proposals or any part thereof, or to accept any

proposal, or any part thereof, or to withhold the award and to waive or decline to waive

irregularities in any proposal when it determines that it is in its best interest to do so.

A Proposer (including each of its principals) who is lawfully prohibited from any public

procurement activity may have its proposal rejected.

Please format your proposal using the following questions listed below. List answers in given

order and include supporting documentation. This will be used by the RFP committee to

evaluate the proposals.

1. Provide a brief history of your facility, to include the number of years in business and the

types of services provided.

2. Describe your office facilities that will be used for services covered by the proposed

scope of work by providing the following information for each facility location:

a. Physical address

b. Office hours

c. Facility capabilities (i.e. laboratory, imaging, etc.)

d. Approximate size (sq. ft) of facility

e. Length of time your firm has been at this location

f. Is facility owned or leased? If leased, state length of lease, expiration date and/or

options to extend lease

g. Number of exam rooms at the facility

h. Number of medical staff and qualifications at the facility

i. Details of testing equipment used during exam to include description, year, make,

model

j. Lab equipment at this facility

k. List procedures for proposed scope of work that could be performed at this

facility

l. Provide a diagram of your facility, indicating location and process/order of the

procedures for the proposed scope of work

3. Identify all sub-contractors that will be used in the completion of this contract and the

scope of practice they will be providing.

4. Provide at least three regional departments references in which your facility has provided

the scope of work, during the past three years, similar to the size and scope identified

herein. References to include:

a. Organization name

b. Contact name

c. Contact phone number

d. Contact email address

e. Date of services

5. Describe any previous experience your facility has performing work that is similar to the

size and scope of proposed work.

6. Describe in detail the knowledge, experience and expertise of current staff in regard to

NFPA and OSHA standards/regulations and testing practices

7. Describe your knowledge with fire service safety and health as well as NFPA 1582

requirements

8. Provide an organization chart that identifies key project personnel - including name, title

and contact information.

9. Include resume of key project personnel that includes relevant experience for the last 2

years, a brief summary of past accomplishments, academic credentials, professional

certifications, professional association memberships, etc.

10. Demonstrate an understanding of the scope of work proposed and your ability to

successfully provide the required services. Include the ability to adapt scope of work

with changes in standards and innovative advances

11. Provide a comprehensive description of all services that shall be provided including the

method of approach.

12. Describe how accounting coordination between facility and GFRD will be accomplished.

Include in detail the following billing practices:

a. How your facility ensures invoice amount corresponds with contract pricing

b. How discrepancies between invoice amount and contract pricing are corrected

c. Coordination of billing between your facility and GFRD

13. Describe how communication, personnel information collection, scheduling, etc. will be

accomplished.

14. Provide samples of documentation that your facility will use to complete the scope of

work listed herein.

a. Yearly department aggregate report

b. Employee examination report

c. Personal medical history form

d. All paperwork that the employee will be asked to sign with respect to physical

exams, including any liability waivers.

15. List detailed pricing for proposed work of scope.

16. Identify the key issues and potential obstacles with respect to the proposed scope of

work. Provide your methodology to address and overcome all identified issues and

obstacles.

17. Identify any exceptions taken regarding the terms and conditions as provided herein. All

exceptions shall be clearly defined, and the changes requested clearly identified in the

proposal response. Exceptions taken will be considered during the evaluation process. If

no exceptions taken, please provide a statement indicating that your facility accepts the

Town’s terms and conditions.

18. Has your facility or any of its principals been debarred or suspended from contracting

with any public entity?

RFP Scoring Criteria

Office capabilities / locations: the facilities

infrastructure footprint demonstrates the capacity to meet GFRD’s requirements for physical exams. The facility is able to provide in-person evaluations within a 30-mile distance from Gilbert. Any proposers sub-contracted facilities meet the same requirements.

Staff qualifications, NFPA and fire service knowledge: the proposers team has the

competence and experience to deliver the requested services; this includes maintaining current understanding of NFPA standards and in-depth knowledge of the fire service job function requirements.

Procedures and advances adaptability: the facility offers current NFPA, OSHA and fire service wellness exams to include advancing technology and innovative occupational illness prevention programs.

Facility internal processes / communication: the proposer’s office

infrastructure uses up to date electronic software to collect, store, and communicate current data and billing in a timely and organized manner.

Pricing: Proposer presents a fair value for the

requested services required. The price list is detailed and complete. Additionally, allows for testing beyond the minimum requested, showing

ability to adapt and offer advanced, innovative preventative testing.

Quality of proposal/ acceptance of terms: the proposal is presented with quality professionalism, being concise and thorough. The facility agrees to GFRD’s contract terms with few or no exceptions.

4.2. Selection Process, Award and Protest Procedures

4.2.1. Award

Contractor awards shall be made to the offers deemed most advantageous to the Town, based

upon the evaluation criteria listed above, and that meets the minimum requirements and criteria

set forth in this RFP solicitation.

4.2.2. Evaluation of Competitive Sealed Offers

The Town will use its discretion in applying the following processes to this solicitation. Any ties

in scoring will be resolved with a best and final price request and the lowest price will prevail.

Best and Final Offer (BAFO):

A BAFO is an option available for negotiations. Each Proposer in the Competitive Range, which

is determined in the Town’s sole discretion, may be afforded the opportunity to amend its Offer

and make one BAFO.

If a Proposer’s BAFO modifies its initial Offer, the modifications must be identified in the

BAFO. The Town will evaluate BAFOs based on the same requirements and criteria applicable

to initial Offers. The Town will adjust appropriately the initial scores for criteria that have been

affected by Offer modifications made by a BAFO. Based on the criteria defined in the

solicitation as weighted, the Town will then perform final scoring and prepare final rankings.

The Evaluation Panel will recommend the Offer that is the best value and most advantageous to

the Town based on the evaluation criteria.

The Town reserves the right to make an award to a Proposer whose Offer is the highest rated,

best value, and most advantageous to the Town based on the evaluation criteria, without

conducting written or oral discussions with any Proposer, without negotiations, and without

soliciting BAFOs.

Detailed Evaluation of offers and determination of competitive range:

During deliberations, the Evaluation Panel will reach a consensus score for each evaluation

criterion except price. The Procurement Officer will score the price, which will be added to the

overall consensus score. The overall consensus scores will determine the Proposers’ rankings

and which Offers are within the Competitive Range, when appropriate.

4.2.3. Offers Not Within Competitive Range

The Town may notify Proposers of Offers that the Town determined are not in the Competitive

Range.

Discussions with Proposers in the Competitive Range:

1. The Town will notify each Proposer whose Offer is in the Competitive Range or made

the ‘short list’ and provide in writing any questions or requests for clarification to the

Proposer. Each Proposer so notified may be interviewed by the Town and asked to

discuss answers to written or oral questions or provide clarifications to any facet of its

Offer. The Proposers in the competitive range may be required to provide a

demonstration of their product.

2. Demonstrations - Proposers in the competitive range may be invited to construct a hands-

on sample or presentation of their solution at the Town of Gilbert. In addition, each

finalist may prepare and deliver a presentation of their proposed solution based on the

script developed by the evaluation panel. The Town may also require a hands-on lab

demonstration designed specifically for the evaluation panel. The results of the surveys

will be tabulated and delivered to the evaluation team for the final review and solution

selection session(s).

3. If an Offer in the Competitive Range contains conditions, exceptions, reservations or

understandings to or about any Contract or Solicitation requirement, the Town may

discuss or negotiate the conditions, exceptions, reservations or understandings during

these meetings. But the Town in its sole discretion may reject any and all conditions,

exceptions, reservations and understandings, and the Town may instruct any Proposer to

remove the conditions, exceptions, reservations or understandings. If the Proposer fails to

do so, the Town may determine the Offer is nonresponsive, and the Town may revoke its

determination that the Offer is in the Competitive Range.

4. To the fullest extent permitted by law, the Town will not provide any information,

financial or otherwise, to any Proposer about other Offers received in response to this

solicitation. During discussions with Proposers in the Competitive Range, the Town will

not give Proposers specific prices or specific financial requirements that Proposers must

meet to qualify for further consideration. The Town may state that proposed prices are

too high with respect to the marketplace or otherwise unacceptable. Proposers will not be

told of their relative rankings before Contract award.

4.2.4. Disqualification

If the firm, business or person submitting this proposal has been debarred, suspended or

otherwise lawfully precluded from participating in any public procurement activity, including

being disapproved as a subcontractor with any federal, state or local government, or if any such

preclusion from participation from any public procurement activity is currently pending, the

Proposer shall fully explain the circumstances relating to the preclusion or proposed preclusion

in the proposal. The Proposer shall include a letter with its proposal setting forth the name and

address of the governmental entity, the effective date of this suspension or debarment, the

duration of the suspension or debarment, and the relevant circumstances relating to the

suspension or debarment. If suspension or debarment is currently pending, a detailed description

of all relevant circumstances including the details enumerated above shall be provided.

Any or all proposals will be rejected if there is any reason for believing that collusion exists

among the Proposers, and participants in such collusion will not be considered in future

proposals for the same work.

5. Solicitation Terms and Conditions

GENERAL CONDITIONS

Agreement Term; Renewal. If funds for this Agreement are not appropriated or budgeted by

July 1, 2021, Gilbert may terminate this Agreement by giving written notice to Contractor.

Otherwise, The Agreement term commences upon execution of the Agreement and continues

through June 30, 2023. The Agreement may be renewed for up to Three (3) additional one (1) -

year terms upon mutual agreement of the parties. The Agreement may be renewed upon written

approval of Gilbert’s Purchasing Officer if: (1) the renewal Agreement amount does not exceed

$100,000; or (2) the original prices remain in effect during the renewal term. If at least 60 days

prior to the end of the original term the Contractor requests a price adjustment, Contractor shall

submit evidence of increased costs to Gilbert. Any price adjustment shall be in the sole

discretion of Gilbert and shall not exceed the amount of increased cost to the Contractor. Price

adjustment requests shall be a factor in the Agreement extension review process. A price

adjustment less than 10% of the original Agreement price may be approved by the Purchasing

Officer. The Gilbert Council must approve renewal in all other cases. Any renewal shall be in

writing and shall expressly state the prices for the services during the renewal term. Any

renewal shall be contingent on funds being appropriated or budgeted for the renewal term.

Contingent Award. Submittal of the required Bonds as set forth in this paragraph is a condition

precedent to this Agreement becoming effective.

Cooperative Use of Agreement: In addition to the Town of Gilbert and with the approval of the

Contractor, this Agreement may be extended for use by other municipalities, school districts, and

government agencies of the State. A current listing of eligible entities may be found at

www.mesaaz.gov/business/purchasing/save. Any such usage by other entities must be in

accordance with the ordinance, charter and /or procurement rules and regulations of the

respective political entity.

Protests: Pursuant to the Municipal Code Section 2-368, an interested party may protest a

solicitation by filing a protest in writing to the purchasing officer not fewer than five days before

the closing date and time of the solicitation. An unsuccessful Proposer or Bidder may protest a

determination of non-responsiveness or non-responsibility by the Town by filing a protest in

writing with the purchasing office not more than five days after issuance of notice of such

determination by the Town. An unsuccessful Proposer or Bidder may protest a contract award by

filing a protest in writing with the purchasing office not more than five days after issuance of a

notice of apparent low responsive and responsible Bidder, or a notice of intent to award. The

protest shall include the following information: (1) The name, address and telephone number of

the protester; (2) Identification of the contracting activity and the number of the solicitation; (3)

The signature of the protester or its authorized representative; (4) A detailed statement of the

legal and factual grounds of the protest, including copies of relevant documents; and (5) The

specific relief requested.

Notwithstanding the foregoing, Proposers may discuss this Solicitation with the Mayor or a

member of the Gilbert Town Council, provided such meetings are scheduled through the

Procurement Officer listed on this Solicitation, conducted in person at 50 E. Civic Center Drive,

Gilbert, Arizona 85296, and are posted as open meetings by the Town Clerk at least twenty‐four

(24) hours prior to the scheduled meetings. The posted notice shall identify the participants and

the subject matter, as well as invite the public to participate.

This policy is intended to create a level playing field for all Proposers, assure that contracts are

awarded in public, and protect the integrity of the selection process. Proposers who violate this

policy shall be disqualified from participating in this Solicitation.
