• Covanta and Veolia executed an exclusive joint development agreement in April 2016 setting forth the following arrangements:

o Covanta and Veolia to jointly own the Rookery South Project

o Veolia to manage construction and EPC contractor (joint appointment)

o Covanta to provide operations and maintenance (O&M);

o Veolia to offer support for energy sales and potentially ash offtake;

o Veolia to be the primary supplier of waste;

o A portion of the project costs are to be funded through non-recourse project financing

CVA had a largely local team in place pursuing PFI contracts; We were unsuccessful in that strategy which led to the office closing in 2013; The current development effort is now largely being run from headquarters in the U.S. strategy is to partner with strong companies that have an established and positive reputation in the UK market like Veolia; With over 40 plants in operation, our aim is to focus on our strengths and bring our operational expertise to the UK. Covanta’s proven expertise and operating procedures will ensure industry-leading performance for the Rookery South Project:

• O&M management strategy to follow established Covanta model

• Early mobilisation of key staff to manage phased recruitment of workforce and develop O&M procedures in advance of start-up

• O&M facility manager to be recruited will have extensive WTE experience

• Extensive training programme from equipment vendors and if required secondment of operating staff from US facilities

• Operations and staffing arrangements to follow successful pattern established in US and Europe

• Facility operations will be integrated into Covanta’s extensive network of support including HS&E, operations engineering, equipment specialists, and maintenance

• Covanta operating performance statistics demonstrate excellent environmental track record and availability throughout plant life

Rookery ProjectCo would typically have a General Manager - brought in around the commencement of construction, a controller to manage the books, an office admin and a business manager to assist with management of the third party commercial arrangements for waste and energy sales. O&M would be similar to Dublin hire an operations manager early on (within 8 to 12 months of commencing construction) and operations manager would hire the 40+ operating staff over the next 12 to 15 months, mostly from the local labour market.

Fishing for Energy: partnership with NOAA, Natl Fish & Wildlife Foundation, Covanta and Schnitzer Steel. We help commercial fishermen to remove marine debris from the waterways to improve fishing. We recycle the metal and produce energy from the remainder. Rx4Safety: free residential meds (pharmaceutical) disposal at our facilities when collected by community Call2Recycle Partnership: all facilities are collecting rechargeable batteries in plant, in home and in some cases in community BOARDS Go Green Initiative: an international environmental education program that espouses leading by example National Recycling Coalition: a national organization espousing more recycling more of the time by more of the people Product Stewardship Institute: a national organization that looks at the toxicity of identified products and works to reduce or eliminate such toxics. E.g. mercury.

1. Covanta and Veolia recognise the importance of being part of the wider community and will put in place a series of community benefits. Covanta and Veolia propose to:• Introduce a discount scheme to reduce household energy bills• Provide a Community Trust Fund : £150k initial contribution;• Provide education and community facilities – visitor centre within

the facility;• Enhance footpaths – via a Rights of way strategy to be provided;• Marston Vale Trust Contribution – £250k & Annual £50k pa. • Millennium Country Park Planting Scheme - £32,800 contribution• Bedford & Milton Keynes Waterway

2. The project will create more than 300 jobs during construction, with 40-50 permanent roles within the plant, including apprenticeships, during operation. During the peak construction period, the project will employ over 600 tradesmen and workers. Focus will be on local employment.

The operations manager for the O&M company is a Covanta employee by the name of Tom Eriksen who relocated to Dublin last year from the U.S. Tom has been with Covanta for over 25 years and the decision to relocate him was due to the lack of EfW experience in Ireland. There are currently 3 other U.S. Covanta employees seconded to Ireland overseeing the construction and the development of the operating plan.

Pre-commencement PlanningConditions (including s. 106)

A number of customary planning conditions have to be satisfied before construction commences - ranging from environmental surveys to traffic studies to funding of community trusts.

Various completion dates, but all pre-commencement conditions are expected to be completed by Q1 2017.

Site Restoration Work Pursuant to ROMPs regulations the Rookery Pit will be restored to a certain standard before commencing construction.

Plan to commence these works in Q1 2017 and to complete in around 6 months.

Environmental Permit Covanta to be the operator for ERF and IBA plant Application to be submitted in September 2016.

EPC Selection EPC tender is in process with initial bids due September 2016.

EPC selection expected to be made Q1 2017.

Land Acquisition Exercise CPO rights under the DCO to acquire rights of way / extinguish covenants.

Expect to be completed by November 2016.
