Barry Rassin earned an MBA in health and hospital administration from the University of
Florida, and is the first fellow of the American College of Healthcare Executives in the Baha-mas. He recently retired after 37 years as pres-
ident of Doctors Hospital Health System and continues as an adviser. He is a lifetime mem-ber of the American Hospital Association and
has served on several boards, including the Quality Council of the Bahamas, Health Edu-cation Council, and Employer’s Confedera-
tion.
A Rotarian since 1980, Rassin has served Ro-tary as director and is vice chair of The Rotary Foundation Board of Trustees. He was an RI training leader and the aide to 2015-16 RI
President K.R. Ravindran.
Rassin received Rotary's highest honor, the Service Above Self Award, as well as other humanitarian awards for his work leading Ro-
tary’s relief efforts in Haiti after the 2010 earthquake there. He and his wife, Esther, are Major Donors and Benefactors of The Rotary
Foundation.

INSPIRATION
Since Rotary was founded 113 years ago, its role in the world and in the lives of its members has been in a state of continuous evolution. In its earliest days, Rotary offered its members a way to find fellowship and friendship and to build connections within their communities. Soon after, service found a place in Rotary, and as our organization expanded, so did its influence. In time, Rotary’s service, supported by our Rotary Foundation, would change the lives of families and communities across the world. We formed partnerships and focused our service to increase our impact. We launched the world’s largest public-private health initiative, partnering with governments, international organiza-tions, and countless local and regional health agencies to eradi-cate polio. More and more, our members came to us seeking not just friendship but a way to take action for good. Rotary still is, and always will be, the organization Paul Harris envisioned: a place where people from every corner of the earth can come together to become something greater than them-selves. Yet Rotary today offers something of singular and en-during value: the chance to be part of a global network of people who have the talent and the drive to change the world. We are men and women who believe in the power of community action to make a global impact — and together, we have the capacity and the resources to achieve almost anything. Globally, Rotary is more relevant than ever before, and its poten-tial for good is vast. Unfortunately, not enough people fully un-derstand what Rotary is and does. Even within our clubs, many Rotarians don’t know enough about Rotary to take full ad-vantage of what Rotary membership offers. Rotary service transforms lives and communities. To achieve even more of that truly transformational service, we need to think differently about our role in Rotary, and Rotary’s role in the world. We need to put more emphasis on our public image, us-ing social media to build our membership and attract the part-ners that can help us scale up our service. We need to focus on larger projects that have a more lasting impact, taking the time to research and plan work that spans Rotary years and terms of offce. Most important of all, we need to Be the Inspiration for positive change, inspiring our clubs, our communities, and our organization to face today’s challenges head on, with courage, optimism, and creativity. As Paul Harris put it, “Rotary is a microcosm of a world at peace, a model which nations will do well to follow.” To me, Rotary is not only a model but an inspiration. It shows us what is possible, inspires us to reach for it, and gives us a path to act — and to Be the Inspiration to our world.
Larry Dimmitt has been a member of the Topeka, Kansas USA Rotary Club since 1983. He served as District Governor of District 5710 in 2006-07. He was District Foundation Chair and also served as Zone 27 Rotary Foundation Alumni Coordinator, Assistant Regional Rotary Foundation Coordinator and Paul Harris Society Coordinator. He has served as Regional Rotary Foundation Coordinator for Zone 27. He also served as General Chair of the 2014 Zones 21B/27 Institute. Larry was on the 2015-16 Rotary Joint Committee on Alumni Relations, and currently is a member of the 2016-17 Joint Young Leader and Alumni Engagement Committee. He has been elected to serve as Rotary International Director for Zones 21 and 27 in 2018-20.
Larry has been on four service missions to Panama, and has prepared numerous international grant applications, including those for India, Bangladesh and Pakistan. He is a Paul Harris Fellow, a Benefactor, a member of the Bequest Society, a member of the Paul Harris Society, a Major Donor and actively supports the Topeka Rotary Foundation. He has been awarded the Rotary Foundation Citation for Meritorious Service and the Distinguished Service Award.
Larry is a retired attorney and he and Lois have two grown children, Cindy and Michael. They enjoy traveling, and have been to fourteen International Rotary conventions, where Larry has been a breakout session panelist and Institute facilitator.

John Hewko

From 2004 to 2009, Hewko was vice president for operations and compact development for the Millennium Challenge Corporation (MCC), a U.S. government agency established in 2004 to deliv-er foreign assistance to the world’s poorest countries. At MCC, he was the principal United States negotiator for foreign assistance agreements to 26 countries in Africa, Asia, South America, the Middle East, and the former Soviet Union. During his tenure, he completed the negotiation of assistance agreements totaling $6.3 billion to 18 countries for infrastructure, agriculture, water and sanitation, health, and education projects.
Prior to joining MCC, Hewko was an international partner with the law firm Baker & McKenzie, specializing in international corporate transactions in emerging markets. He helped establish the firm’s Moscow office and was the managing partner of its offices in Kyiv and Prague.
While working in Ukraine in the early 1990s, Hewko assisted the working group that prepared the initial draft of the new Ukrainian post-Soviet constitution and was a charter member of the first Rotary club in Kyiv.
Hewko has been a public policy scholar at the Woodrow Wilson International Center for Scholars, an adjunct professor of law at Georgetown University, and a visiting scholar at the Carnegie Endowment for International Peace. He has published papers and articles in leading U.S. and international publications, and he has spoken extensively on political and business issues dealing with the former Soviet Union, Central Europe, Africa, and Latin America. He is also a member of the Council of Foreign Rela-tions.
Hewko holds a law degree from Harvard University, a mas-ter’s in modern history from Oxford University (where he studied as a Marshall Scholar), and a bachelor’s in government and Soviet studies from Hamilton College in New York.
As general secretary, Hewko leads a diverse staff of 800 at RI’s World Headquarters in Evanston, Illinois, USA, and seven inter-national offices. Hewko is a Paul Harris Fellow. He and his wife, Margarita, live in Evanston.

Sterling started farming on the family farm in 1978. In 1994 he retired
as the active operator on the farm but continues to be very connected
with the operations as the owner.
Sterling joined the Sublette Rotary Club in January 1988. He has
served as Secretary, Treasurer, Director, Vice-President and President
of the club. Currently he serves the club in the positions of Secretary/
Treasurer. During his time with the club he has started a bottled water
program which funds the school book programs for the 1st grade and 3rd
grade classes in Haskell County.
At the District level, Sterling served as Assistant Governor for three
years. He is a multiple Paul Harris Fellow, a Paul Harris Society
member, a Major Donor and a Benefactor.
Sterling is a graduate of the University of Kansas, earning a Bachelor
of Science degree in Business Administration (1975). The KU Alumni
recognized him in 2006 with its Mildred Clodfelter Alumni Award for
sustained volunteer service to KU.
One item he enjoys is service and volunteer work to help others. He
has worked with the following organizations: many committees and
positions in his Church, Scoutmaster with the local Boy Scout Troop
142, President of the Santa Fe Trail Council of the Boy Scouts of
America (BSA), President of The Backpacker Bible Foundation, started
the Sublette Public Schools Foundation (1995) which he still serves as
the Chairman, Sons of the American Legion, Legion Riders, Sublette
City Council member and a board member for the Pride of Life Senior
Center.
Sterling is married to Jacqueline (42 years) who worked in her own
insurance agency until her retirement. She is very active in the
community serving on the Arts Council, Chamber of Commerce and
the board of the High Plains Heritage Foundation. They have three
grown children, Melissa and twin boys Landon and Trenton.
Jacqueline is also a Paul Harris Fellow.

Letter to the
Rotarians of
District 5690
Dear Rotarians,
A few years back it was shared to me that three major
reasons a person joined Rotary were networking, fellowship
and community service. I assume most of you fall into one
of these categories. I know I did when I joined my local
club in 1988. You started out with one purpose and over
time that purpose has changed. It is hard for me to imagine
where I started and where I am at today. It is truly a gift and
an honor to serve as your District 5690 Governor for the
2018-2019 year.
The theme for the 2018-2019 year is “Be The Inspiration”.
As I travel around this year I will be asking you what
inspires you and how can you inspire others. You see each
one of you have special gifts and talents. Your gifts and
talents are an asset to you, your Rotary Club and your
community. Every major project in Rotary was started by
an individual or a small group of individuals. They were
inspired to make things better, to make a difference or to
change the world. Every one of you can do the same thing.
In fact, you have done this already because you inspired me
to be a Governor and I want to thank you for your support.
I look forward to our time together this year. I want to hear
about all your club projects and share with me how you plan
to inspire others. The time and energy you put into your
club is awe inspiring to me. Look around the tables in your
Rotary Club and get excited to inspire others to make this
year great for your local Rotary Club. Go out and “Be The
Inspiration”.

Kurt Harper was born in Wichita, Kansas in 1954. He attended the University of Kansas, receiving a bachelor’s degree in Russian Language and Literature and an associate degree in Slavic and Soviet Area Studies in December, 1975. During his studies, he participated in a 6-week language institute in what was then Leningrad during the summer of 1974. Upon graduation, he was admitted into Phi Beta Kappa. Kurt went on to obtain a law degree, also from the University of Kansas, in 1979. Kurt is married to Kelly Harper, also a native of Wichita, and they have 2 adult children.
Both Kurt and Kelly are natives of Wichita, Kansas. Kelly is fluent in French, and they love domestic and international travel, having just completed two trips to Russia—one for the Russia-US Intercountry Committee, the other to attend World Cup games. Kurt has practiced law in Wichita, Kansas, from 1979 to the present, where his practice focuses principally on commercial litigation. He has been a member of the Rotary Club of Wichita since November, 1995. He has served the club as Vice President in 2006-07, and as President in 2008-09. Kurt also has served Rotary as the District 5690 representative to the Russia-US Intercountry Committee and as the President of the U.S. section for the 2017-18 year. He and his wife, Kelly, had the opportunity to attend a Rotary Peace Conference in St. Petersburg in 1997; and Kurt served as the leader for his district’s 2012 GSE exchange with Russia. In addition to his Rotary service, he has been active in a number of other civic organizations, including serving on the Board of Directors for the Wichita Symphony Society since 1987; Episcopal Social Services; the vestry of St. James Episcopal Church.
Kelly has recently retired from the United Way of the Plains, where she served as the director of Major Gifts and Planned Giving.

Mike Brack (pronounced Brock) has been involved in the Rotary Club of Liberal since joining in 2004. He has served as Secretary, Sergeant of Arms for several years, and as President in 2008-2009 and 2016-2017 will be his eighth year as Assistant Governor. He became a Paul Harris Fellow in 2011 and is proud to be a Rotarian and the ideals that Rotary stands for. Starting private catering while in high school, Mike continued to be in the catering/hotel/private club business for over twenty-nine years. Over that span of time he studied Music Education/Vocal Performance at UMKC’s Conservatory of Music while paying his way by working in the hospitality field. His career has taken him to Garden City, KS, Kansas City, MO, Fort Worth, TX, and back to Liberal, KS again. Being active and giving back to his community is very important to him. He is involved in several organizations in Liberal. He is Past Master & served two years as District Deputy Grand Master for the Grand Masonic Lodge of Kansas; Past president of the S.W. Shrine Club; President of the Liberal Live On Stage; Chamber Ambassador; S.W. Symphony Board; Liberal Visitor and Convention Board member; volunteer for the S.W. Miracles, Liberal Air Fair; and as an Eagle Scout, he helps the Boy Scouts of America when needed. Mike is also active with church activities. He cooks the large stewardship meal every Wednesday night and sings in the choir. He also performs for special occasions, such as weddings and funerals, sings the National Anthem at patriotic and sporting events. When he isn’t working, cooking or singing, Mike likes to spend
time with his friends and family, traveling, photography,
gardening, and tracking his family genealogy.

Dave Wetmore is a long time resident of Dodge City. He is
a past president of the Rotary Club of Dodge City. After
several years in the banking industry, Dave made a career
change and joined the Dodge City Community College
Staff, where he is the Director of Marketing and HR.
Dave's wife is a CPA and they have two grown daughters,
a son-in-law, and two granddaughters. We are making a
lot more trips to Wichita where the two grands live these
days. Life is good!

Helen officially joined the Rotary Club of Boise City in 2002 after
ten years of helping the club with its many projects. She has
served as club secretary for five years, club president in 2004-05,
youth exchange counselor, served on the board of directors for
several years, and served as chair of numerous club committees.
Helen has served as District Community Service Chair for seven
years and was a secretary trainer at PETS for three years. Helen
has attended twelve PETS, eighteen District Conferences, twelve
Membership and Foundation Seminars in district 5690, and other
districts, two International Conventions, three Zone Institutes, and
the International Assembly. She now serves in the office created
by PDG Larry Rumburg as “Keeper of Mike.”
Helen was born in Salzburg, Austria. Her family emigrated from
Hungary to Roff, Oklahoma. She graduated from Roff High
School, attended Phillips University in Enid, Oklahoma and East
Central State College in Ada, Oklahoma.
Helen owns and operates Boise City Body Shop, Boise City
Wrecker Service, and Boise City U-Haul with her husband Mike,
and is a licensed insurance adjuster and auto damage appraiser.
Helen and Mike were recipients of the District’s Service Above Self
award for 2010-2011. Helen and Mike were also named Honorary
Oklahoma Highway Patrol Troopers of the Year in 1998 and Boise
City Schools Patrons of the Year in 1995.
Helen and Mike have two children. Their son Rocky, an Oklahoma
Highway Patrol Trooper, and his wife Dana, a registered nurse,
and their children, Warren and Charlet, live in Edmond, Oklahoma.
Their daughter Sheila is an attorney and owner of Stinson Law
Firm in Edmond, Oklahoma. Sheila and her husband, Preston, a
real estate specialist with Lamar Advertising, and their two sons,
Charlie and Thomas, live in Edmond, Oklahoma.

Dr. Arlen K. Honts is a Professor of Business Administration and Chairman of the Division of Business and Information Technology at Friends University. He joined the Rotary Club of Shelby, NC in 1999 where he served as the New Member Orientation Chair. Upon moving to Wichita in 2004, Arlen joined the Rotary Club of Wichita where he has served in a variety of positions including Ambassadorial Scholar Committee member, two terms on the Board of Directors and Club President for 2014-2015. Arlen led a Group Study Exchange to Germany then became the District 5690 Incoming GSE coordinator for three teams. He and his wife Stacy have also hosted several teachers through the Rotary Intercountry Teacher Exchange. He is a Paul Harris Fellow.
Arlen is active in several community organizations including the Chamber of Commerce and the Society for Human Resource Management. He and Stacy attend River Community Church in Wichita. Arlen is a member of the Friends of McConnell (Air Force Base) where he is honored to serve as an Honorary Commander of the 350th Air Refueling Squadron and also represent McConnell on the Air Mobility Command’s Civic Leaders Committee.
Arlen earned his bachelor's degree in Chemical Engineering and his Master of Business Administration degree at the University of Oklahoma. Dr. Honts earned his Ph.D. in Organization Studies at Vanderbilt University.
A native of Bartlesville, Oklahoma, Arlen is married to Stacy (nee Harris) of Wichita, Kansas. They have two daughters, one son, and one son-in-law – Anna Laura Honts, Emma & Mitchell Baumgartner, and Colin Honts. In his spare time he enjoys listening to audio books, watching obscure British television shows, photography, soccer, travelling, and tooling around in his 1935 Ford.

Kelle Thompson has been a member of the Rotary Club of
Winfield since 2001. Kelle has served the Winfield Club as
President, Community Service Chair, and on the Board of
Directors. She also served our Rotary District for 7 years as
District Trainer.
Kelle was born and raised in Winfield. After graduating from
the University of Kansas with a Bachelor of Pharmacy degree,
she returned to Winfield with her husband Craig. She has
worked at William Newton Hospital as a pharmacist for 21
years, serving as Director of Pharmacy since 1999. She is a
member of the Kansas Pharmacist Association and the
Kansas Council of Health-System Pharmacists (KCHP). She
has served 2 terms on their board as District 5 director.
Craig and Kelle have 2 children, Hunter-15, and Mark-12.
Kelle serves on the Cowley County Board of Health and has
served on numerous church committees at the First United
Methodist Church. She currently plays in the Bell Choir.
Her hobbies include sewing, running, cake decorating, and
having fun with her family.

Warren is a minister and college professor (adjunct) in Ulysses, KS. He is also the author of two books. Warren and Cheryl have three grown children. He has been a member of Rotary for 15 years.

Jade Piros de Carvalho was selected to represent district 5690 on GSE to the UK in 2008 and was so inspired through her experience that she joined Rotary immediately upon her return.
She served as President of the Hutchinson Club last year. During her nearly nine years in the club, she has also chaired the Programs, Membership and International Committees, and has served at the District level as Foundation Alumni Chair and on the Membership Committee.
In addition to Rotary, Jade volunteers her time in service to other civic and non-profit organizations in the Hutchinson community. She has served on the Hutchinson City Council since 2013, including a year as Mayor in 2015/16. She also sits on the board of directors for the Cosmosphere and runs a joint city/county drug task force that focuses on prevention and recovery.
Jade makes her living by heading up Marketing and Sales for IdeaTek Equity Group out of Buhler, KS, a company with diverse holdings in fiber optic telecom services, storage facilities, digital billboards and solar energy. She also teaches yoga.
She has been married to her soulmate, Alex Carvalho, (also a Rotarian) since 2011. The couple had their first child in April 2017, a perfect baby girl named Athena Soleil.

Dr. Fred C. Heismeyer is a member in the Rotary Club of East Wichita where he served as President in 2016-17. Fred and his wife, Joyce, have been active Rotarians at the club and district levels for many years. Fred began his Rotary career in 1997 as a member of the Springdale (Arkansas) club where he was a board member; moved in 2008 to Iola where he served the Iola Club as President-Elect before the couple’s most recent move to Wichita in 2012.
Professionally, he is a Global Human Performance Coach/Owner of Career Dimensions, an organization which focuses on team/leadership training and founded in 1994. He has worked with education, business, industry, banking, health care and not-for-profit organizations worldwide including teaching and consulting in China and Ghana; as well as facilitating training in Poland through the USAID program. Dr. Heismeyer is an adjunct faculty member with Webster University and Baker University teaching in both institutions graduate programs. He holds a doctorate degree in Higher Education Administration from the University of Arkansas, Fayetteville, a master’s degree from Emporia State University and a bachelor’s degree from West Virginia University.
Dr. Heismeyer has been a faculty member with Allen Community College and Director of Education with Champions for Kids – a support center for non-profit youth organizations. Fred worked for 15 years as a university student affairs professional in a variety of capacities. Professionally active, he is past president of the Northwest Arkansas chapter of the American Society of Training and Development chapter and former board member of the NWA Society of Human Resource Management and the Arkansas College Personnel Association.
Both Joyce and Fred are committed to community service. Fred is a Past National President of Alpha Phi Omega National Service Fraternity, served as Vice President of the Board of Governors of the Up with People International Alumni Association and a past president of Springdale, Arkansas Habitat for Humanity chapter. Fred and Joyce have been married for 37 years. Joyce is the Chief Operating Officer and Administrator of Kansas Heart Hospital in Wichita. The couple has provided foster care for children, enjoy traveling, are active in their church, and share a love of dogs.

ROTARY INTERNATIONAL DISTRICT 5690, INC.
ARTICLE ONE Membership and Purpose
Section 1. The membership consists of Rotary Clubs assigned by Rotary International to ROTARY INTERNA-TIONAL District 5690, INC., including E-Clubs and Sat-ellite Clubs. Section 2. The purpose of the District is for the ad-ministration of Rotary International policies and all or-ganization and activities shall exist solely to help individ-ual clubs advance the Object of Rotary. None of these Bylaws can alter in any way the Bylaws of Rotary Inter-national.
ARTICLE TWO Officers
Section 1. DISTRICT GOVERNOR. The District Gover-nor is the officer of Rotary International in the district, functioning under the general control and supervision of the Rotary International Board of Directors. The Gover-nor is charged with the duty of furthering the Object of Rotary by providing leadership to and supervision of the clubs in the District. The Governor should work with district and club leaders to encourage participation in a district leadership plan as may be developed by the board. The Governor shall provide inspiration and moti-vation to the clubs in the District. The Governor shall also ensure continuity within the District by working with past, current and incoming district leaders in foster-ing effective clubs. The Governor shall serve as the Chairperson of the Board of Directors and President of the Corporation and shall have all authority granted by law to the chief executive officer of corporations. In addi-tion to the detailed description of the Governor’s respon-sibilities detailed in Duties of a Governor, in Section 16.090 of the Rotary International Bylaws, the Governor shall produce a printed District Directory by July 1 of the Rotary year.

The Governor is authorized to execute contracts for and on behalf of the District. The role of the Vice-governor will be to replace the Governor in case of temporary or permanent inability to continue in the performance of the Governor’s duties. If there is no Vice-governor, the [RI] board is authorized to elect a qualified Rotarian to fill a va-cancy in the office of Governor for the unexpired term. The [RI] president may appoint a qualified Rotarian as acting Governor until such vacancy is filled by the board. If there is no Vice-governor, the president may appoint a qualified Rotarian as acting Governor during a period of temporary inability of a Governor to perform the duties of Governor. (See Article Three, Section 8) Section 2. DISTRICT GOVERNOR-ELECT. The District Governor-Elect shall be nominated following the procedure in Section 14.020 of the Rotary International Bylaws. The District Governor-Elect is elected by the annual Convention of Rotary International one year prior to his/her year of service as District Governor and shall take office as District GovernorElect on July 1 of the year following that RI Convention. He/She shall work with the District Governor, and is responsible for:
a. attending the International Assembly of Rota-ry International;
b. attending the Zone Institute/GETS (Governor-Elect Training Seminar);
c. planning, developing and presiding at PETS (President Elect Training Seminar) and the District Training Assembly or Assemblies;
d. performing all other duties as inherent in his/her responsibility as District GovernorElect; and
e. attending the Rotary International Convention when possible.
Section 3. DISTRICT GOVERNOR-NOMINEE. The Dis-
trict Governor-Nominee shall be nominated following the
procedure in Section 14.010 of the Rotary International
Bylaws and shall assume office as District Governor-
Nominee on July 1 two years prior to assuming the
office as governor. He/She shall work with the District Gov-
ernor, the District Governor-Elect and other district leaders
assisting as necessary and preparing for his/her year of
service.
a. A nominee selected more than twenty four (24) months prior to the day of taking office as Governor shall assume the title of Governor-
nominee-designate. (See Article 3, Section 7)

Section 4. DISTRICT TREASURER. The District Treasur-er shall be appointed by the District Governor for a term of one year, and is responsible for:
a. overseeing the collection of all dues and as-sessments and payment of all District obliga-tions under the direction of the District Gover-nor;
b. filing all required financial and tax forms; c. compiling and maintaining financial reporting
and records; and d. serving as a non-voting ex-officio member of
the Finance Committee.
The District Treasurer may be re-appointed and serve suc-
cessive terms.
Section 5. DISTRICT SECRETARY. The District Gover-
nor shall appoint a District Secretary to serve for one year to
compile minutes and records of all District meetings. The
District Secretary may be re-appointed and serve succes-
sive terms.
Section 6. DISTRICT EXECUTIVE SECRETARY. The Dis-trict Executive Secretary is responsible for managing a cen-tralized office for the district, and to assist in all administra-tive, fiscal, and clerical operations of the district. The Execu-tive Secretary will also assist clubs as called upon for assis-tance in fulfilling their obligations to Rotary International and operating under The Standard Rotary Club Constitution and Club Bylaws. He/she will assist the District Governor, District Governor-Elect, and the District Trainer, when called upon, to give training to district and club leaders on topics that are relevant and useful to improve the effectiveness of the district and/or the clubs.

Section 7. REPRESENTATIVE TO THE COUNCIL ON
LEGISLATION. The Representative and an Alternate to the
Council on Legislation shall be elected at the District
Conference two years preceding the year in which the
Council on Legislation is to meet. The election shall be held
in accordance with Section 9.060 of the Rotary International
Bylaws. The term of each representative shall begin on 1
July in the year following the year in which they are to be
selected. Each representative shall serve for three years or
until a successor has been selected and certified. It shall be
the duty of the representative to:
a. assist clubs in preparing their proposals for each council;
b. discuss proposed legislation and resolutions at the district conference and/or other district meetings;
c. be knowledgeable of the existing attitudes of Rotarians within the district;
d. give critical consideration to all legislation and proposed resolutions presented to the councils and effectively communicate those views to the council;
e. act as an objective legislator of RI; f. attend the meeting of the council on legisla-
tion for its full duration; g. participate in the council on resolutions; h. report on the deliberations of the councils to
the clubs of the district following the meetings of the councils; and
i. be accessible to clubs in the district to assist in their preparation of proposals for future councils.
ARTICLE THREE
Nominations and Elections
Section 1. NOMINATING COMMITTEE. The Nominating
Committee for District Governor shall be composed of the
following members: the immediate four Past District Gover-
nors and three members, each representing one of three
different size categories of the clubs in the District (one
member representing clubs with memberships of under 35
in number; one member representing clubs with member-
ships of 35-74 in number and one member representing
clubs with memberships of 75 or more in number). The Dis-
trict Governor shall name the chairman. The District Gover-
nor is an ex officio member of the committee without vote.

Club representatives shall serve 3 year terms, staggered as
published in the District 5690 Directory. One representative
shall be chosen each year at the District Conference by
vote of the clubs which he/she will represent.
Section 2. A quorum is established at four.
Section 3. Clubs may submit qualified candidates for
District Governor-Nominee and Council on Legislation rep-
resentative to the Chair of the Nominating Committee on or
before the dates established by the Committee.
Section 4. The Nominating Committee shall not be lim-
ited in making its selection to those names submitted by the
clubs.
Section 5. QUALIFICATIONS OF A GOVERNOR-
NOMINEE. The Rotarian selected must be qualified as
described in Section 16.070 of the Rotary International By-
laws. The nominating committee will select the Governor-
Nominee in accordance with Section 14.020 of the Rotary
International by-laws.
Section 6. SELECTION OF A GOVERNOR-NOMINEE. The District shall select a nominee for Governor not more than 36 months, but not less than 24 months prior to the day of taking office. The nominee will be elected at the RI convention held immediately preceding the year in which such nominee is to be trained at the international assembly. Nominees so elected shall serve a one-year term as Gover-nor-elect and assume office on 1 July in the calendar year following election. (RI Bylaws 14.010)
Section 7. TITLE OF GOVERNOR-NOMINEE-DESIGNATE. A nominee selected more than 24 months prior to taking office shall assume the title of Governor-nominee-designate upon selection and shall assume the title of Governor-nominee on 1 July, two years prior to assuming office as Governor.
Section 8. SELECTION OF VICE-GOVERNOR. The nomi-
nating committee for Governor or the District Executive
Committee will select, proposed by the Governor-elect, one
available past governor to be named Vice-governor. The role
of the Vice-governor will be to replace the Governor in case
of temporary or permanent inability to continue in the perfor-
mance of the Governor’s duties.
ARTICLE FOUR
Leadership Team
Section 1. DISTRICT LEADERSHIP TEAM. This team is
composed of the Governor’s Advisory Council, the District
Executive Committee, all Assistant Governors and all com-
mittee chairs. The District Governor shall serve as coordina-
tor for the team and will arrange such meetings of the team
as the Governor deems appropriate.
Section 2. GOVERNOR’S ADVISORY COUNCIL. This Council shall be composed of all Past District Governors resident in the District who are still Rotarians in good stand-ing, and shall act in an advisory capacity to the District Gov-ernor during his/her administration. The sole purpose of this committee is to advise and counsel on District organization and programs. This Council shall meet at the request of the Governor.
Section 3. DISTRICT EXECUTIVE COMMITTEE. The Ex-ecutive Committee is composed of the District Governor, the immediate three Past District Governors who are still Rotari-ans in good standing, the District Governor-Elect, the District Governor-Nominee, the District Trainer, and one additional Rotarian who is not a Past District Governor, to be appointed by the District Governor. This committee will provide pro-gram continuity to the District, will be the decision-making body for the District between District Conferences, and will give support and assistance to the District Governor. The executive committee will serve as the Board of Directors of the corporation. Meetings will be held at least quarterly dur-ing each Rotary year.
Section 4. ASSISTANT GOVERNORS. The District Gov-ernor, with recommendations from the District Governor-Elect and the District Governor-Nominee, and in accordance with the Rotary International Manual of Procedure, shall ap-point Assistant Governors, one for each of the Divisions of Clubs in the District. The Assistant Governors are to function following the District Leadership Plan and the Manual of Pro-cedure:
Section 5. DISTRICT TRAINER. The Governor, based on the recommendation of the Governor-Elect, shall appoint pursuant to the Manual of Procedure and the Rotary Code of Policies 17.030 a District Trainer to chair the District Training Committee. Duties include assisting the Governor and Gov-ernor-Elect with training at PETS, the District Training Assembly, and the team training seminar, which includes training for Assistant Governors.

ARTICLE FIVE
Finances
Section 1. FINANCE COMMITTEE. The Finance Commit-
tee shall be composed of the
current District Governor; the immediate two Past District
Governors; the District GovernorElect; the District Governor
-Nominee. The District Treasurer shall serve as a non-
voting exofficio member of the committee. The immediate
Past District Governor shall serve as chair.
Section 2. DUTIES. The Finance Committee shall pre-pare a Budget for the Rotary year, and a copy shall be furnished to each club in the District at
least thirty (30) days prior to the District Training Assembly or PETS. Adoption of the Budget by three-fourths of the incoming
Presidents present at the District Training Assembly or PETS shall authorize payment up to, but not exceeding the total budgeted expenditures. The Fi-
nance Committee will review all expense requests that would cause budget line item overages and approve or disapprove payment by the
District Treasurer. The Finance Committee shall have au-thority to approve expenditures from the reserves of the District.
Section 3. DISTRICT DUES AND ASSESSMENTS. Each
club in the District shall pay to the District Treasurer annual
dues as determined by action at the District Conference,
PETS or the District Training Assembly (RI Bylaws
16.060.2). The annual dues of each club shall be based on
the number of members in that club. The annual dues shall
remain the same as the prior year unless changed at a Dis-
trict Conference, PETS or District Training Assembly.
a. District Dues. Payment of District Dues shall
be made in October and April based on
membership as of July 1 and January 1 respec-
tively. Clubs shall be notified of any
proposal to change the dues at least thirty (30)
days prior to PETS, the District Training
Assembly or the District Conference.

b. District Conference Assessment. Payment of
the District Conference Assessment shall be made
in October based on membership as of July 1 at
the rate of five dollars ($5.00) per member. Clubs
shall be notified of any proposal to change district
conference assessment at least thirty (30) days
prior to PETS, the District Training Assembly or the
District Conference.
c. President-Elect Training Seminar. Payment for the President-Elect registration fee to the annual Presidents-elect Training Seminar (PETS)
shall be made in April of each year.
Section 4. EXPENDITURES. The annual Budget shall
include funds for the operation of the district as set forth in
said budget. Such expenses will include the following ex-
penditures:
a. The District Governor shall be reimbursed for documented and budgeted expenses,which
shall be in addition to expenses funded by Rotary International.
b. The District Governor-Elect shall be reim-bursed for documented and budgeted
expenses.
c. The District Governor-Nominee shall be reim-bursed for documented and budgeted expenses.
d. The Assistant District Governors shall be reim-
bursed for documented and budgeted expenses.
e. The Representative to the Council on Legisla-tion shall be reimbursed for documented
and budgeted expenses, which shall be in addition to expenses funded by Rotary International.

Section 5. ANNUAL STATEMENT AND REPORT OF
DISTRICT FINANCES. The Governor must provide an
annual statement of the District finances to each club in the
District within three months of the completion of the Gover-
nor's year in office. The District Auditor shall review the
records and accounting procedures of the district and give
a reasonable level of assurance to the finance committee
that the annual statement of the District finances are fairly
presented, the accounting procedures appear to be ade-
quate, and that there were no material exceptions or irregu-
larities found. In the event that material exceptions or irreg-
ularities are found, the District Auditor shall give a report of
these findings to the finance committee and the finance
committee shall determine the additional procedures nec-
essary to review and correct these findings.
This annual statement shall also be presented, discussed (if need be) and formally adopted at the next District meet-ing to which all clubs are entitled to send a representative and for which thirty (30) day notice has been given that the statement of District finances will be presented for adoption or if no such meeting is held by the following District Con-ference. If the statement is not adopted after presentation, it shall be discussed and adopted within three months of the conclusion of the District Conference at the next District meeting to which all clubs are entitled to send a repre-sentative and for which 30 days notice has been given that the statement and report of District finances will be present-ed. If a District meeting does not take place, the Governor shall conduct a ballot-by-mail within 60 days thereafter. This annual statement and report shall include but not be limited to details of:
a. all sources of the District's funds (RI, The Rota-
ry Foundation, District and club);
b. all funds received by or on behalf of the District
from fundraising activities;
c. grants received from the Rotary Foundation or
funds of The Rotary Foundation
designated by the District for use;
d. all financial transactions of District committees;
e. all financial transactions of the Governor by or
on behalf of the District;
f. all expenditures of the District's funds; and
g. all funds received by the Governor from RI.

ARTICLE SIX
Committees
Section 1. COMMITTEES. District committees are
charged with carrying out the goals of the District as formu-
lated by the Governor with the advice of the assistant gov-
ernors and district leadership team. Committees shall be
appointed to address ongoing administrative functions, as
follows: Membership Development; Extension; Finance;
District level programs that are ongoing, i.e. Youth Ex-
change, Interact, etc.; Public Relations; District Confer-
ence; The Rotary Foundation; RI Convention Promotion;
and Training. Information regarding the specific purpose,
duties and responsibilities, additional qualifications,
and additional training requirements for these committees
can be found in section 17.030.3 of the Rotary Code of
Policies and in the District Directory.
Section 2. SPECIAL COMMITTEES. The District Gover-
nor may appoint additional special committees as recom-
mended or required by Rotary International or the needs of
the District.
Additional District committees are appointed only when
they serve a specific function as identified by the Governor
and the District Leadership Team.
Section 3. BUSINESS MEETING MINUTES COMMIT-TEE. The District Governor will appoint a committee of no more than 3 members to approve the minutes of any business meeting of the District where all clubs of the dis-trict have an opportunity to attend or send a voting representative. Members of the committee must have at-tended the meeting.

Section 4. SCHOLARSHIP COMMITTEE. This committee
shall be comprised of seven members: three Past District
Governors and three responsible Rotarians (one from each
clubsize category) with each member serving for three years;
and a Scholarship Committee chair appointed by the District
Governor for a term of one year who may be re-appointed
and serve successive terms. Two persons (one Past District
Governor and one responsible Rotarian) will be appointed
annually by the District Governor and confirmed by the
Executive Committee. This committee will process
applications for both Rotary Foundation Scholarships and
District Scholarships within the time constraints required by
each program. The Chair of the District Rotary Foundation
Committee and District Governor will be non-voting ex-officio
members of the committee.
Section 5. QUORUM. The presence, in person, of a majority of the voting members at any committee meeting
shall constitute a quorum for the transaction of business. The members present at a duly called or held meeting at which a quorum is present may continue to do business until
adjournment, notwithstanding the withdrawal of enough members to leave less than a quorum.
Section 6. NOTICE OF MEETINGS. Notice of all
Executive Committee meetings shall be provided to each committee member not less than ten (10) days or more than sixty (60) days before each committee meeting and shall
specify the place, day, and hour of such meeting and the general nature of the business to be transacted. Notice may be furnished by mail, facsimile or e-mail. Other district
Committees are encouraged, but not required, to comply with such notice.
Section 7. WAIVER OF NOTICE. To waive the previously-defined notice requirement of an Executive Committee
meeting, the District Secretary must execute a written waiver and place in the minutes of the meeting. The waiver must contain an articulable explanation of why proper notice could
not be made and be agreed upon by a quorum at the outset of the meeting. Failure to include such waiver of notice in the minutes will result in the meeting and any action taken
therein, being null and void. Waiver of notice is expected to be used sparingly and with good cause by the Executive
Committee.

ARTICLE SEVEN
Voting
Section 1. ELECTORS. Electors are to be determined in
accordance with Section 16.050.1 of the Bylaws of Rotary
International. Each club may select, certify, and send to the
District Conference at least one elector. Any club with a
membership of more than 25 shall be entitled to one (1)
additional elector for each additional twenty-five (25) or
major fraction, (i.e., 13 or more) thereof, of its members,
based on the membership as of the date of the most recent
semiannual payment preceding the date on which the vote
is held.
Section 2. VOTING PROCEDURES. Only electors may
vote on the election of a member and alternate member of
the nominating committee for RI director, composition and
terms of reference of the nominating committee for gover-
nor, and the decision as to the amount of the district’s per-
capita levy. In all other matters brought before the confer-
ence, every member in good standing of a club present at
the district conference may vote. Voting procedures will be
in accordance with RI Bylaws 16.050.2.
Section 3. PROXIES. Voting by proxy is not permitted
except in circumstances described in Article 16.050.3 of
the Bylaws of Rotary International.
Section 4. ELECTRONIC MEETINGS. The Executive District Committee, standing committees, and special com-mittees are authorized to meet by telephone conference or through other electronic communications media. If dialogue is expected, all members should be able to participate and to hear or otherwise interact with one another.
ARTICLE EIGHT
Insurance and Indemnification
When a person is sued or prosecuted in a criminal action, either alone or with others, because such person is or was an officer of the District or an agent acting for or on behalf
of the District, in any proceeding arising out of alleged mis-feasance or nonfeasance in the performance of such person's duties or out of any alleged wrongful act against
the District or by the District, such person shall be indemni-fied for all reasonable expenses, including attorneys' fees incurred in the defense of the proceedings, if both the fol-
lowing conditions exist:

a. The person sued is successful in whole or in part,
or the proceeding against him
is settled with approval of the court.
b. The court finds that such person's conduct fairly
and equitably merits such indemnity.
The amount of such indemnity which may be assessed
against the District by the court in the same or in a separate
proceeding shall be so much of the expenses, including
attorneys' fees incurred in the defense of the proceedings,
as the court determines and finds to be reasonable.
Application for such indemnity may be made either by the
person sued or by the attorney or other person rendering
services to such person in connection with the defense, and
the court may order the fees and expenses to be paid
directly to the attorney or other person, although not a
party to the proceeding. Notice of the application for such
indemnity shall be served upon the District, and upon the
plaintiff and other parties to the proceeding.
The District may purchase and maintain such Directors and
Officers coverage and liability coverage as the District
Executive Committee deems appropriate.
ARTICLE NINE
Fiscal Year
The fiscal year of the District shall be July 1 through June 30.

ARTICLE TEN
Parliamentary Authority
The most current revision of “Robert’s Rules of Order” shall
govern District 5690 in all cases to which it is applicable
and in which it is not inconsistent with the Constitution and
Bylaws of Rotary International.
ARTICLE ELEVEN
Amendments
The Bylaws of District 5690 may be amended by two-thirds
vote of those present and voting at the District Conference
or at any District meeting to which all clubs are entitled to
send a representative, provided the proposed amendments
have been sent to the clubs thirty (30) days prior to the
District Conference or any other District meeting as de-
scribed above.
