Integrated School Management and Monitoring

AGREEMENT

School/School Management (“Customer”) name___________________________________ and ClearWin

Technologies Pvt. Ltd. (“Vendor”) enter into this Agreement dated ___________ for the purposes of

implementing Cloud-based Integrated School Management and Monitoring (ISMM).

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Customer

and Vendor agree as follows

1. By Signing and providing the RTE 2009 School Profile form 2012 for Integrated School Management

and Monitoring (ISMM) along with a cheque for Rs. _______________Customer agrees to

implement the ISSM using Vendor’s Cloud solution to become RTE 2009 compliant.

2. Term of contract. The term of this contract shall be for one hundred twenty (365) days of Services

but may be for a longer or shorter duration depending on the pace at which work is completed and

the written agreement of both parties to this contract (email correspondence on this topic will be

sufficient notification in either case).

3. Acceptance. Any Services performed by Vendor pursuant to this contract shall be performed

according to the ISMM specifications and shall be deemed accepted by Customer when the

Services are performed to Customers reasonable satisfaction.

4. Payment of Services. Customer agrees to pay vendor for Services under this agreement according

to the pricing terms set forth in Schedule A. Vendor will submit an invoice to Customer. Invoices to

Vendor shall be in the form, and with such detail, as may be required by the Customer. Such

invoices are due and payable in advance from the date of the receipt by the Customer

5. NON-SOLICITATION AND NON-COMPETITION: During the term of this Agreement and for a period

of one year after its termination:

5.1. Customer agrees that it will not hire or solicit for hire any of Vendor personnel who unless

agreed to in writing, within six (6) months prior to any such hiring or solicitation, were

performing services through Vendor. For Customer pursuant to this Agreement.

5.2. Vendor agrees that it will not hire or solicit for hire any customer. Personnel or consultant,

about whom it has received information or to whom it was introduced as the direct result of

any services performed pursuant to this Agreement.

6. LAW

6.1. The laws of the State of Assam shall govern this Agreement and any lawsuits pertaining to this

Agreement or the services provided hereunder shall be decided in the federal or state courts

in the State of Assam. A customer hereby consents to the exercise of jurisdiction over it by

such courts.

7. Confidential Information. Customer agrees to use the same care which it takes for its own

confidential (or proprietary) information and that it will not, directly or indirectly, disclose to or

make available for use by anyone other than Vendor during the term of this agreement and for two

years following its termination, any information marked confidential or identified to Customer

personnel as confidential, unless the

7.1. Same shall have first become generally known and published through no fault of Customer],

7.2. Shall have been learned by Customer from a third party entitled to disclose it,

7.3. Shall have been already known to Customer, or (iv) shall have been developed by or for

Customer, independent of activities under this agreement.

This Agreement may be executed in any number of counterparts, and each shall be an executed original, all

comprising a single instrument. Facsimile or electronic signatures intended by the person providing the

same to indicate execution of this Agreement shall be valid as original signatures.

Schedule A

Agreed to Rates for ISMM Services

1. ISMM implementation will be completed within 30 days from the date of signing this contract. 2. Data entry will be done the Customer using their hardware and internet in their facilities. 3. The specified rate is valid for 30 days. 4. 100% advance to be made along with signing of the contract to start the work 5. Rate Rs. ________per student
