CDL reserves theright to determine the eligibility of any exhibit/exhibitor forinclusion in Plain Talk, either prior to or after the execution ofthe Exhibit Contract. Booth exhibitors are encouraged to sellontheexhibitfloorandareresponsibleforallappropriatetaxesand licensing.
• Exhibitors are prohibited from bringing additional tables to addto booth space.
• All promotional activities must occur within exhibit space.Distributionofpromotionalitems(buttons,pens,etc.),flyersor advertising materials are limited to within exhibit space.Exhibitor activities are also prohibited in any location other thanthe exhibit area.
• Exhibitors are expressly prohibited from assigning, subletting orsharing exhibit booth space. Interference of any kind with thespace of other exhibitors is prohibited.
• CDL reserves the right to limit exhibits or activities therein thatdetract from the character of the exhibit area and/or Plain Talkas a whole. This reservation includes persons, things, conduct,printed materials, or anything of a nature objectionable to CDL.In the event of such occurrence or restriction, neither CDL, northe Hilton, are liable for refunds including, but not limited to,exhibit fees and other expenses.
PRIVATE PARTIES• Exhibitors shall be authorized to host private parties in the
Hilton at the approval of CDL. Exhibitors agree not to hostprivate parties during scheduled hours of Plain Talk’s meetings,exhibits and other functions.
CANCELLATIONS• All cancellations must be made in writing and received by CDLnolaterthanJanuary8,2021.CancellationsreceivedpriortoJanuary8,2021willberefundedlessa25%servicefee.NorefundswillbemadeafterJanuary8,2021.
• Iftheexhibitorhasnotcheckedinandset-upby6:00pmonSunday,February7,2021,CDLmayutilizethespaceforanypurpose without refund to exhibitor.
LIABILITY AND INSURANCE• CDL and/or the Hilton will not be responsible for any expenses
incurred other than payments included on the ExhibitorApplication form if Plain Talk is cancelled for any reason,nor are they responsible for any loss to Exhibit Booth and/ormaterialsduetotheft,damage,fire,oranycausewhatsoeverwhile exhibits are in transit to or from Plain Talk or while theyare in the building.
• CDL will employ reputable security when the exhibit areais closed. The duty of the security guards will be to protectthegeneralexhibitareaagainstfireandcatastrophes.Theexhibitor is solely responsible for his own exhibit against lossor damage from theft, accident, or other incident at all times.All property of the exhibitor is to remain at all times in his care,custody, and control.
• Exhibitors should secure items of value at all times and arerequired to maintain appropriate and adequate insuranceto cover injury, loss, or damage to the public, attendees, itsemployees, and property.
• Exhibitor Responsibility Clause: To the fullest extent permittedby law, the person/legal entity described as “Exhibitor” inthis clause and in this exhibitor contract (regardless whethersuch person/legal entity is also described as “Exhibitor”in this contract) hereby assumes full responsibility andagrees to indemnify, defend and hold harmless Hilton NewOrleans Riverside (“Hotel”) and Hotel’s owners, managers,subsidiaries, affiliates, employees and agents (collectively,“Hotel Parties”), as well as Center for Development andLearning (“Group”), from and against any and all claims orexpenses arising out of Exhibitor’s use of the Hotel’s exhibitionpremises. Exhibitor agrees to obtain and maintain duringthe use of the exhibition premises, Comprehensive GeneralLiability Insurance, including contractual liability covering theExhibitor’s indemnity obligations in this clause. Such insuranceshallbeintheamountofnotlessthan$1,000,000combinedsingle limit for personal injury and property damage. The HotelParties and Group shall be named as additional insuredson such policy, and Exhibitor shall supply the Hotel with aCertificateofInsuranceatleast30dayspriortotheuseoftheexhibition premises. The Exhibitor understands that neitherthe Group nor the Hotel Parties maintain insurance coveringthe Exhibitor’s property and it is the sole responsibility of theExhibitor to obtain such insurance.
