    This AGREEMENT TO SELL is made and executed at NOIDA, on this ______ day

    of ______________ 2008, Between __________________________ S/o

    __________________ R/o ________________of the first part, hereinafter called the

    VENDOR.

    AND

    __________________________ S/o __________________ R/o _________

    _________________________________________________ _______ of the second

    part, hereinafter called the VENDEE.

    (The expression and words of the vendor and the vendee shall mean and include their

    Legal heirs, successors, nominees, executors, administrators, legal representatives

    Respectively).

    AND WHEREAS the vendor aforesaid is the allottee of RESIDENTIAL PLOT No.

    ________________________________________________________________ Area

    Measuring ______ Sq. Mtr. Duty allotted by Noida Authority Against

    Application Form No. _____, vide Allotment letter No .______________________,

    Dated ___________, hereinafter referred to as the property.

    AND WHEREAS vendor aforesaid is desirous to sell the said consideration of Rs.

    ________/- (RUPEES____________________________ only) and the vendee has

    also agreed to acquire the same for this very amount.

    NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER:-

    1. That the total sale consideration of the said property has been settled at Rs.

    _________ /-(RUPEES ________________ only), between both the Parties.

    2. That the vendor has received a sum of Rs. ________/- (RUPEES_________

    ______ only) from the vendee, the receipt fo which, the vendor hereby

    acknowledges. This payment is being made in the following manner :-

    3. That balance amount of Rs. __________ /- (RUPEES___________________

    only) shall be paid by the vendee to the Noida Authority directly/ as per

    Schedule ofNoida.

    4. That the vendor shall apply and obtain the permission for Transfer the said

    from the NOIDA AUTHORITY in favour of the above said vendee

    his/her nominee(s) and shall execute the TRANSFER DEED within two

    month after such permission.

    5.

    That the vendor has assured the vendee that the abovesaid property is free from all

    sorts of encumbrances such as mortgage, lien, gift, exchange, disputes, litigation

    attachment, pledge and decrees of any court of law, and if proved otherwise the

    vendor shall have the rights to recover the entire amount with Cost and expenses

    from the movable and immovable properties of the vendor.

    6.

    That the lease deed has not been executed with the NOIDA Authority and

    the vacant physical possession of the said property has also not been handed

    over by the NOIDA Authority in favour of the vendor. That it has been agreed

    to between the parities that as soon as the registration is permissible, the vendor

    shall get the lease deed registered and shall simultaneously hand over the lease to

    the vendee and shall take the possession of the said property from the NOIDA

    Authority.

    7.

    That the expenses to be incurred on the execution of the transfer deed on stamp

    duty, registration fees and other legal expenses will be borne by the vendee.

    8.

    That the vendee shall have this the rights to get the transfer deed of the same

    property executed in his/her favour or his favour of his/her nominee(s) of

    which the vendor has got on objection.

    9.

    That the vendor shall be liable to incur all outstanding dues and demands in

    Respect of the said property to the date hereof and all future dues shall be paid by

    the vendee.

    10. That vendor needs the money, so the vendor hereby executes this agreement to sell

    with free mind and in his full sense and also in good mental state and without any

    outside pressure.

    11. That the vendor aforesaid shall hand over the vacant and actual physical

    Possession of the above said property to the vendee at the time of execution

    of final Transfer Deed.

    12.

    That in case of breach of any clause by the vendor aforesaid the vendee shall have

    the right to get the Transfer Deed registered through court of law after depositing

    the balance amount of this agreement to sell and expenses so incurred in the legal

    proceedings shall be borne by the vendor.

    IN WINTESSES WHEREOF : THE VANDOR AND THE VANDEE HAVE SET

    THEIR RESPECTIVE HANDS ON THIS AGREEMENT TO SELL AT NOIDA,

    ON THIS _________ DAY OF _________2008, IN THE PRESENCE OF THE
