Section I Form of Tender

Shri S T Kannan, Place: General Manager, Date: Officer in Charge, Reserve Bank of India, Panaji, Goa 403 001. Respected Sir, We have carefully examined the specifications, s c op e o f w or k a n d schedule of quantities relating to the works specified in the Memorandum hereinafter set out and having visited and examined the site of the works specified in the said Memorandum and having acquired the requisite information relating thereto as affecting the Tender, we hereby offer to execute the works specified in the said Memorandum dur ing the time specified in the said Memorandum at the rates mentioned and in accordance with all respects of specifications, and instructions in writing referred to in articles of agreement, general instructions to the Tenderers and special conditions, conditions herein before referred to, specification and schedule of quantities and with such materials as are provided for, by and in all other respects, in accordance with such conditions so far as they may be applicable.

MEMORANDUM

2. We also agree that our Tender will remain valid for acceptance by the Bank for 90 days from the date of opening of Part I of the Tender and this period of validity can be extended for such period as may be mutually agreed between the Bank and us in writing. We also agree to keep the Bank Guarantee towards earnest money valid during the entire period of validity of Tender, as per enclosed proforma (Section X). 3. Should this Tender be accepted, I/we hereby agree to abide by and fulfill all the Terms and Conditions of the Tender and in default thereof, to forfeit and pay to you or your successors, or assignees or nominees such sums of money as are stipulated in the conditions contained in the Tender together with the written acceptance of the Contract. 4. I/We understand that you reserve the right to accept or reject any or all the Tender either in full or in part without assigning any reason therefor. 5. The Tender is submitted in two parts in separate sealed envelopes. Part I contains all commercial terms and conditions and technical particulars and Part II

Section II

Articles of Agreement ARTICLES OF AGREEMENT made this________________day of___________between the Reserve Bank of India, having its Central Office at Mumbai hereinafter called "the Employer.”) on the one part and _______________________ (hereinafter called “the Contractor”) on the other part. WHEREAS the Employer is desirous of carrying out the integrated facility management service at Reserve Bank of India Officer’s Quarters, St. Inez, Panaji, Goa and has caused specifications describing the work to be done. AND WHEREAS the said specifications and the schedule of quantities have been signed by or on behalf of the parties hereto. AND WHEREAS the Contractor has agreed to execute upon the subject work to the conditions set forth herein and to the conditions set forth in the special conditions and in the schedule of quantities and conditions of Contract as modified and finally accepted by both the parties (all of which are collectively hereinafter referred to as "the said Conditions") the works described in the said Specifications and included in the Schedule of quantities at the respective rates therein set forth, amounting to the sum as therein arrived at or such other sum as shall become payable there under (hereinafter referred to as "the said Contract Amount"). NOW IT IS HEREBY AGREED AS FOLLOWS - 2.1 In consideration of the said Contract amount to be paid at the times and in the manner set forth in the said conditions, the Contractor shall, upon and subject to the said conditions, execute and complete the work shown upon the said specifications and the schedule of quantities. 2.2 The Employer shall pay the Contractor the said Contract amount or such other sum as shall become payable at the times and in the manner specified in the said conditions. 2.3 The said Conditions and Appendix thereto shall be read and construed as forming part of this agreement and the parties hereto shall respectively abide by, submit themselves to the said conditions and perform the agreements on their part respectively in the said conditions contained. 2.4 The specifications, agreement and documents mentioned herein shall form the basis of this Contract. 2.5 This Contract is deemed to be a Lump sum Contract for all items of work as described in detail in the bill of quantities and specifications in part I and Part II of the Tender documents. 2.6 The Contractor shall afford every reasonable facility for carrying out of all works relating to reception arrangement and housekeeping and other ancillary works in the manner laid down in the said conditions, and shall make good any damages to the property etc. 2.7 Employer reserves to itself the right of altering the specifications and nature of the work by adding to or omitting any items of work or having portions of the same carried out at any time during the currency of Contract, without prejudice to this Contract. 2.8 Time shall be considered as the essence of this Contract and the Contractor hereby agrees to commence the work from the day of issue of works order/letter of acceptance as provided for in the said conditions. 2.9 All payments by the Employer under this Contract will be made by Reserve Bank of India, Panaji, Goa. 2.10 All disputes arising out of or in any way connected with this agreement shall be deemed to have arisen in Panaji and only courts in Panaji shall have

Section III General Instructions to Tenderers and Special Conditions

TENDER FEES: The Tender document can be purchased from the Estate Cell, Reserve Bank of India, 701-706, Gera’s Imperium II, Patto Plaza, EDC Complex, Panaji, Goa by paying the Tender document fee of Rs. 500/- (RUPEES FIVE HUNDRED ONLY), either through Demand draft or Pay order in favor of “Reserve Bank of India”, payable at Mumbai. In case the Tender document is downloaded from the website, the Tender fee shall be submitted along with Pre-qualification Bid in the form of Demand draft or Pay order in favor of “Reserve Bank of India” payable at Mumbai. The Tender document fee is NON-REFUNDABLE. Any Tender submitted without the requisite fee will be rejected summarily.

3.1 Issue and Submission of Tender. Sealed Tenders are required to be submitted in two parts, i.e. Part I containing commercial terms, conditions, technical details and detailed scope of work and Part II containing price bid. The Tender shall be prepared and submitted in duplicate in sealed envelopes separately in two parts, viz, Part I and Part II clearly indicating on the covers “Part I - Technical and Commercial Bid" and "Part II – Price Bid", respectively. The covers shall be superscribed “Tender for providing integrated facility management service at Reserve Bank of India Officer’s Quarters, St. Inez, Panaji, Goa. Telegraphic, Fax and E-mail Tenders will not be accepted. The full name, postal address, e-mail address and telefax / telephone number of the Tenderer shall be furnished in a separate sheet of paper along with the application. Insertions, post scripts, additions and alterations shall not be valid unless authenticated by the signature of the Tenderer. All copies of the Tenders should be complete in all respects with all attachments/ enclosures/ annexures. 3.2 Eligibility Criteria - The firms who fulfill the following criteria are eligible to apply:- i. Minimum 5 years of experience in the field of providing integrated facility management services and allied activities. ii. Should have carried out one similar work for minimum three years from 01.04.2014 costing individually not less than Rs. 15.00 lakh each year

OR Should have carried out minimum two similar works for three years from 01.04.2014 costing individually not less than Rs. 8.00 lakh each year.

OR Should have carried out minimum three similar works for three years from 01.04.2014 costing individually not less than Rs. 5.00 lakh each year.

iii. Tenderers should have a minimum annual turnover of Rs. 20.00 lakh during the last 3 years including the current year supported by audited or CA certified statements of account. iv. Should have carried out facility management services in a 3 Star Hotel having more than 50 rooms for at least two years. v. Tenderers should have applicable tax registrations (PAN, TIN, VAT, CST, GST, etc.) supported by documentary evidence. vi. Tendering firms/companies should have account in a scheduled bank. vii. Tendering firms/companies should have office/sub-office/facility for escalating of complaints in the state of Goa. Along with Annex I, the following documents should be submitted in support of the above requirements:

(i) Registration Certificate of The Company/Firm/Agency under the relevant Act

(ii) E.P.F. registration certificate.

(iii) E.S.I. registration certificate.

(iv) P.A.N. Number.

(v) Service Tax Registration Certificate and VAT/TIN No.

(vi) GST registration

(vi) Income Tax Return for the last three years

(vii) Audited balance sheets of the company/firm for the last three years

(viii) Solvency Certificate issued by the Tenderer’s Banker specifically for this work for an amount equivalent to the estimated cost of the present work, for indicating financial soundness of the Tenderer

(ix) Previous work experience

EMD Intending Tenderer shall pay as earnest money a sum of Rs 30,000/- (Rupees Thirty Thousand only) by a demand draft drawn on a Scheduled Bank or alternately an irrevocable Bank Guarantee in the proforma enclosed for an equal amount initially valid for a period of three months may be furnished. No interest is payable on EMD amount furnished. Security Deposit/Bank Guarantee A Bank Guarantee in the proforma enclosed for an amount of Rs. 1,50,000/- (Rupees One Lakh Fifty Thousands only) should be furnished by the successful Tenderer valid for one year upon award of contract. The EMD furnished by the Tenderer at the time of submission of the Tenders will be returned on submission of

the Bank guarantee for the security deposit stated above. In case of renewal of the contract for this work, the Bank Guarantee will be required to be renewed for the extended period. 3.3 Tenderers are advised to use only the forms (Tender books) issued by the Bank or forms downloaded from the website. In case the Tenders are submitted u s i n g t h e downloaded Tender forms from the website, if any change/modification thereto is found subsequently, such Tenders are liable for disqualification. However, if they desire to submit additional information, they may do so on their own letter head. Each page of the forms shall be signed and submitted. Each copy of the Tender shall be clearly marked as "original" and “duplicate" as the case may be. Tenders (Part I and Part II separately) super-scribed “Tender for providing integrated facility management service at Reserve Bank of India Officer’s Quarters, St. Inez, Panaji, Goa.”, addressed by name to Shri S T Kannan, General Manager (Officer – in – Charge), Reserve Bank of India, 701-706, Gera’s Imperium II, Patto Plaza, EDC Complex, Panaji, Goa should reach the O ffice not later than 14:00 hours on September 04, 2017. 3.4 The Tender duly sealed may be deposited in the ‘Quotation Box' kept in the Estate Cell, Reserve Bank of India, 701-706, Gera’s Imperium II, Patto Plaza, EDC Complex, Panaji, Goa within the stipulated time / date. No Tender will be received after 1400 hours on September 04, 2017 under any circumstances whatsoever. 3.5 Part I- Technical & Commercial 3.5.1 Part I - In duplicate shall consist of scope of works as specified and documents and commercial terms and conditions in envelope super scribed as Part I. Earnest money either in the form of DD or Bank Guarantee shall be submitted a l o n g with the original of Part I. 3.5.2 Part I of the Tender as submitted shall contain the following: (i) Earnest Money Deposit (EMD) in the form of DD issued by a scheduled bank in

India payable at Mumbai. (ii) Power of Attorney / Authorization with the seal of the company/firm in the

name of the person signing the Tender documents. (iii) List of deviations, if any, in commercial terms and conditions. (iv) List of deviations, if any, in technical specifications. (vii) Any other technical information the Tenderer wishes to furnish.

3.5.3 The Tenderers are advised to visit Reserve Bank of India Officer’s Quarters, St. Inez, Panaji, Goa after obtaining prior approval and acquaint themselves of the site conditions before submitting the Tender. 3.5.4 The Tenderers are advised to submit the Tender based strictly on the General Conditions of the Contract and scope of works as specified contained in the Tender documents, and not to stipulate any deviations. If acceptance of the terms and conditions given in the Tender documents has any price implications, the same should be considered and included in the bid price. Any Tender containing deviation from the laid terms and conditions is liable to be rejected. 3.5.5 All information, correspondence letters shall be submitted in duplicate and addressed to Shri S T Kannan, General Manager, Officer – In – Charge, Reserve Bank of India, 701-706, Gera’s Imperium II, Patto Plaza, EDC Complex, Panaji, Goa.

3.6 Part II – Price Bid Part II in duplicate containing price bid in envelope super scribed Part II is to be submitted along with the Tender. (a) This part shall contain price quoted in Indian Rupees only as per format (Part II), both in figures and words. One original and one duplicate copy shall be submitted. No other enclosure is permitted in Part II. Change of terms and conditions and technical deviations, if any, found in Part II of the Tender will not be taken into account and will be treated as null and void. (b) The Tenderer must use only the forms issued by the Bank to fill in the rates. The Tender form must be filled in English and all entries must be made by hand and written in ink. If any of the documents is missing or unsigned, the Tender may be considered invalid by the Bank in its discretion. (c) Rates should be quoted both in figures and words in columns specified. All erasures and alterations made while filling the Tender must be attested by initials of the Tenderer. Overwriting of figures is not permitted. Failure to comply with either of these conditions will render the Tender void at the Bank's discretion. No request for any change in rate or conditions after the opening of the part II Tender will be entertained. (d) The rates quoted shall be deemed to be for the whole work and shall be firm and binding without any escalation whatsoever for a period of one year. It may be borne in mind that no request for escalation is ordinarily admissible during the course of the period specified. (e) For any item, if the rate and amount do not tally with respect to the quantity, then the amount arrived on the basis of quoted rates shall only be acceptable and in case of variation of rates in the original and duplicate, the lower of the two rates will be considered for arriving at the total amount for that item. 3.7 Pre-Bid Meeting A pre-bid briefing / meeting of the intending Tenderers will be held at 12.00 pm on September 01, 2017 in Conference Room o f Reserve Bank of India, 701-706, Gera’s Imperium II, Patto Plaza, EDC Complex, Panaji, Goa to clarify any point/doubt raised by them in respect of the Tender. No separate communication will be sent for this meeting. All the intending Tenderers are advised to be present and peruse the Tender documents. They may indicate any points/conditions/specifications which need to be clarified during the meeting. These issues will be discussed and all the Tenderer will be advised suitably. The Tenderers are expected to get all the issues clarified during this meeting and m a y desist from deviating from the Bank's Tender conditions/specifications in their technical (Part I) and Price bids (Part II). 3.8 Opening of Tender Part I of the Tenders will be opened at 15.00 hrs. on September 04, 2017 in the presence of Tenderers who choose to be present. Price bid (Part II) of only such of those Tenderers who are found eligible after scrutiny of their Part I of the Tenders and subsequent site visit will be opened on other day which will be informed to the vendors in advance by email or telephone. 3.9 Broad Scope of Work The tenderer shall be required to perform all housekeeping, gardening and catering duties.

3.9.1 Cleaning a. Flats/Bungalow*

The Agency has to ensure the following services to be provided for 1 Bungalow, 3 regular flats, 2 single rooms and the five leased flats (address of the leased flats will be provided by the Bank). The work should include: a. Washing and scrubbing of toilet area with detergents and disinfectants etc. of the said flats/bungalow. This work needs to be done once in a week. b. Removal of cobwebs, dusts, termites, insects, pests etc. to be done once in a month. c. Windows sponging and cleaning to be done once in a month. d. Cleaning of ceiling and table/pedestal fans, air-conditioning grills to be done once in a month. e. Cleaning of dustbins with detergents once in a month. f. Cleaning of colony premises including staircase, terrace, etc. and making arrangement to throw the thrash (including that collected from the houses and VOFs) in the corporation dustbin. The Agency shall ensure that the cleaning/ housekeeping materials being utilized by them are of ISI approved products of reputed brands. These should be environment friendly and no toxic chemical should be used for the purpose. It shall also provide to workers proper equipment for sanitary and general cleaning.

b. Visiting Officers Flats (VOF)* The Agency has to ensure the following services to be provided at 5 VOFs including common area and VOF kitchen. The work should include: a. Washing and scrubbing of floor and toilet area with detergents and disinfectants etc. of all the VOF, common area & VOF kitchen to be done every day morning or after guest check out. b. Removal of cobwebs, dusts, termites, insects, pests etc. to be done once in a month. c. Windows sponging and cleaning to be done once in a month. d. Cleaning ceiling and table/pedestal fans, air-conditioning grills to be done once in a month. e. Cleaning of dustbins and buckets with detergents to be done on daily basis. f. Preparing VOF ready for accommodation for guests by making up the bed, changing towels, bed spreads and bed sheets as also the inner sheets to Quilts/Comforters should be changed immediately after the guest checks–out and after every two days if in the continuous occupation of the room. The Agency shall ensure that the cleaning/ housekeeping materials being utilized by them are ISI approved products of reputed brands. These should be environment friendly and no toxic chemical should be used for the purpose. It shall also provide to workers proper equipment for sanitary and general cleaning. * Employees may be engaged to take up the work mentioned in item No. 1 & 2 collectively.

c. Office a. Washing and scrubbing of toilet area with detergents and disinfectants etc. on day

to day basis. b. Removal of cobwebs, dusts, termites, insects, pests etc. to be done once in a

month. c. Windows sponging and cleaning to be done once in a month. d. Cleaning of ceiling/wall/table/pedestal fans, air-conditioning grills to be done once

in a month e. Cleaning of dustbins with detergents on day to day basis. f. The Agency shall ensure that the cleaning/ housekeeping materials being utilized

by them are of ISI approved products of reputed brands. These should be environment friendly and no toxic chemical should be used for the purpose. It shall also provide to workers proper equipment for sanitary and general cleaning.

g. Should sweep, swab and dust the rooms/furniture at office.

h. Should ensure that all lights, plumbing fittings, TVs etc are in working order. i. Should convey to plumbers/electricians or to the house keeping supervisor for

shortfalls in electric supply/water before allotment of rooms, or any damage occurred.

3.9.2 Washing a. Agency should make arrangement for washing of bed linen, pillow covers & towels etc., with ironing of the same. b. Washing of curtains once in two months. c. Washing of blankets/quilts/ comforters once in two months. The agency shall ensure that, the articles may be washed carefully with the product of reputed brand. In this connection, the agency may avail the services of reputed laundry agencies. The payment of outside agency need to be taken care by the Agency itself, which will be reimbursed by the Bank on submission of bills. 3.9.3 Supply of welcome kit a. The agency should make arrangement for Supply of welcome kit to be kept in VOF for the use of the guest/s. Fresh kit may be provided to the occupant only once during his/her stay at the VOF. The welcome kit should consist of: i. Hair oil pouch – 01 – (Parachute – 10 ml sachet) ii. Small tooth paste tube – 01 – (Colgate -26 gms) iii. Tooth brush – 01 – (Colgate – Soft) iv. Small Bath Soap – 01 – (Lux – 30 gms) v. Razor – 01 – (Gillette - presto) vi. Small shaving cream pouch – 01 – (Gillette – 20 gms) vii. Comb – 01 viii. Detergent Cake – (Rin – 30 gms) ix. 2 Bottles of Bisleri/Aquafina Above articles may be provided in PVC pouch. The agency should make arrangement for providing room freshener of reputed brand and necessary room fresheners in toilets in all the VOF only. b. The agency should provide 2 coffee pouches (Nescafe), 4 tea bags (Tetley), 4 sugar pouches and 4 milk pouches (Nestle) at all the VOF on daily basis. c. Room fresheners/deodorants (of reputed brands viz ODONIL) are to be sprayed in all the rooms (whenever required), and room fresheners may be kept in all common toilets. They may be replenished immediately by the agency whenever required. Reimbursement towards the same may be claimed from RBI. 3.9.4 Gardening a. Employing necessary personnel to maintain the existing and developing garden and lawn. b. Watering, trimming, pruning and removing all the wild grass and weeds in the garden area. c. Re- cultivating the area in the lawn with existing quality of grass wherever dried without any extra cost to the Bank. d. Control of insects, fungus and other diseases by means of spraying with pesticides as and when required. e. Keeping the garden/lawn area clean and neat in appearance including removal of dried/fallen leaves and other waste material & disposal thereof. f. Providing the necessary length of pipe and portable sprinklers etc. for watering purpose from existing taps so as to water entire garden area. g. Removing debris away from the Bank’s premises. During the cleaning work, if any of the electrical, sanitary & water supply systems found to be faulty, may be brought to the knowledge of the care taker. The losses due to breakage / theft / damage or loss of any such materials / equipment / fixtures / furniture or damage due to

poor and reckless handling shall be recovered from the agency at full cost. The agency should maintain checklist of the work performed by them and get it verified by the care taker on duty/occupant. Any other task which may be required to be done keeping in mind the interest of the Bank with consultation of the agency. 3.9.5 Catering a) The Contractor shall be responsible for procurement of raw materials and ingredients. First quality raw materials and ingredients shall be used in the preparation of food and soft drinks. Fresh vegetables and milk, standard soft drinks shall be used. The quality of the materials should be satisfactory to the officials of RBI who may carry out random inspection. b) The Contractor shall store sufficient quantity of high quality ingredients in the available place in the VOF to ensure preparation of food items in time. The Contractor at his own risk shall make the procurement and storage. c) Every food preparation shall be used for the specific service and the left-over food shall not be carried to next meal service. d) The Contractor shall provide efficient and prompt service to all guests. e) The food preparation is to be done in a strict hygienic environment and matching process without any compromise. The staff is also expected to be reporting for duty with good health and hygiene as well as washed & pressed uniforms. f) The Contractor should provide healthy food under hygienic conditions by ensuring total cleanliness and regular cleaning of facilities in the kitchen. The Contractor shall perform the Service to the satisfaction of the Bank officials. If any shortcoming is found, then on instruction from Bank officials (written/verbal), the Contractor shall rectify the shortcoming immediately. g) The Contractor shall ensure that he appoints well qualified & experienced cooks in all types of food preparation. If Bank asks for procurement of any outside preparations, the Contractor shall arrange for the same and claim the expenditure in his regular bills.

3.10 Terms of Payment: Payment shall be made on monthly basis. i) Payment in respect of manpower deployment will be made as per actual deployment and the firms/ contractors are advised to submit proof of deployment by way of attendance registers and proof of payment of minimum wages along with the bill. ii) Bank's official will verify the deployment of people/ manpower at regular intervals; hence an attendance register should be maintained for verification. 3.11 Selection Criteria: As quality of service is the prime concern Selection will be based on quality cum cost criteria in the following manner. a. Before opening of price bid, a committee will visit the establishments maintained by the firms to check the maintenance, hygiene, staff behavior/performance etc. and will award points as per format below. Price bid of only those firms will be opened whose points are more than 70 out of 100. The decision of the Bank in this regards is final and binding. i) Housekeeping & Maintenance - 50 points (Max) ii) Level of Hygiene - 25 points (Max) iii) Staff Management - 25 points (Max)

3.12 Taxes The prices quoted shall be deemed to include all applicable taxes, local levies, works contract tax, Value Added Tax (VAT), service tax, GST etc. imposed by Central/State Government/ Local Bodies. If the Tenderer fails to include such taxes and duties in the Tender, no claim thereof will be entertained by the Bank afterwards. As per Indian laws, income tax will be deducted at source and a certificate for the same will be issued to the contractor. 3.13 Insurance The successful Tenderer shall take “workmen compensation policy for the workers engaged in the work for one year renewable thereafter, if the contract is renewed by the Bank. The contractor shall indemnify the Bank for any loss or damage that occurs to persons or building or any third party. Third party liability in contractors all risk policy shall be minimum Rs.5 lakh per person for any one accident or occurrence and Rs.10.00 lakh in respect of damage to property for any one accident or occurrence. Workman compensation Insurance policy for all the staff deployed shall also be taken. Copies of the same shall be submitted to the Bank. Note: These policies shall be valid till the completion of the work. If the contractor does not provide these policies, the Bank reserves the right to take the above insurance policies themselves and recover the cost thereof from the bill of the contractor. 3.14 Signing of Contract Agreement 3.14.1 The General instructions to the Tenderers and special conditions, conditions herein before referred to Conditions of Contract and Technical Specifications and drawings enclosed with the Tender documents, the subsequent correspondence exchanged between the Bank and the Tenderer and the work order placed shall be the basis of the final contract to be entered into with the successful Tenderer. 3.14.2 The Tenderer shall go through the terms and conditions given in the general conditions of contract herewith and his offer shall be strictly in line with the terms specified therein. No deviation from the terms and conditions specified shall be acceptable. Each page of the Tender documents should be signed for his/their having acquainted himself/themselves in the general conditions of contract, Technical specifications, etc. 3.14.3 The Tender submitted on behalf of a firm shall be signed by all the partners of the firm or a partner who has the necessary authority on behalf of the firm to enter into the proposed contract. Otherwise the Tender may be rejected. 3.14.4 On receipt of intimation from the Bank of the acceptance of his/their Tender, the successful Tenderer shall be bound to implement the Contract and within fourteen days thereof, the successful Tenderer shall sign an agreement in accordance with the draft agreement. Notwithstanding the signing of the agreement, the written acceptance by the Reserve Bank of India of a Tender in itself will constitute a binding agreement between the Reserve Bank of India and the person so Tendering, whether such contract is or is not subsequently executed. 3.14.5 The contractor shall not assign the contract. He shall not sublet any portion of the contract except with the written consent of the Employer. In case of

breach of these conditions, the Employer may serve a notice in writing on the Contractor rescinding the contract whereupon the security deposit shall stand forfeited to the Employer, without prejudice to his other remedies against the Contractor. 3.15 Language The Tender including all labels in documents, catalogues etc. shall be in English. 3.16 Right to Accept Part Tender The Bank reserves the right to accept the Tender either in whole or in part at the same prices quoted by the Tenderer. Other Issues 3.17 The Tenderer must obtain for himself on his own responsibility and at his own expense, all the information which may be necessary for the purpose of making a Tender and for entering into a contract and must inspect the site of the work, and acquaint himself with all local conditions, means of access to the work, nature of the work and all matters appertaining thereto. The Employer's decision in such cases shall be final and shall not be open to arbitration. 3.18 The contractor shall not be entitled to any compensation for any loss suffered by him on account of delays in commencing or executing the work, whatever the cause of delays may be, including delays arising out of modifications to the work entrusted to him or in any subcontract connected therewith or delays in awarding contracts for other trades of the project or in commencement or completion of such works. The Employer does not accept liability for any sum besides the Tender amount, subject to such variations as are provided for herein. 3.19 The successful Tenderer is bound to carry out all items of work necessary for performance of the job even though such items are not included in the quantities and rates. Schedule of instruction in respect of such additional items and their quantities will be issued in writing by the Bank. 3.20 Penalty on pro-rata basis as per the quoted rates will be levied in case of shortfall of persons deployed. 3.21 Contractor will adhere to the provisions of the P ayment of Wages Act 1936, Minimum Wages Act 1948, Contract Labour (Regulation and Abolition) Act 1970 and the other extant labour laws during the course of the contract. Labour License, if required, shall be obtained by the firms at their own cost. 3.22 Penalty If any complaint is received from the Bank’s Executives, Participants or guests/visitors, the same will be viewed seriously and Bank reserves the right to terminate the contract or recover damages/penalty. NOTWITHSTANDING ANYTHING SPECIFIED ABOVE, THE TENDERER SHALL BE

RESPONSIBLE TO TAKE ALL MEASURES TO MAINTAIN THE SAFETY, LOOK, BEAUTY,

CLEANLINESS, HYGIENE AND SANITATION OF THE BUILDINGs AND PREMISES.

Section-IV Safety Code

1. First-aid appliances, including adequate supply of sterilized dressings, cotton wool shall be maintained in a readily accessible place for the use of staff deployed by the Tenderer. 2. I n case of any mishap, the injured person shall be taken to a public hospital without loss of time, where the injury necessitates hospitalisation. 3. Workers employed shall be provided with protective footwear and rubber hand gloves as per requirement 4. Fire safety measures shall be adhered to as per local by laws.

Section V

The Conditions Hereinafter Referred To 4.1 Interpretation Clause 1. In construing these Conditions, the Specifications, Schedule of Quantities and Contract Agreement, the following words shall have the meanings herein assigned to them except where the subject or context otherwise required. (a) "Employer" shall mean the Reserve Bank of India and shall include its assigns and successors. (b) "Contractor" shall mean ________________________________ (in the case of a Partnership) and trading in the name and style of____________and having a place of business at ___________________________and shall include the partners for the time being of the said firm and the legal representatives of a deceased partner. (in the case of "Contractor" shall mean Shri___________________________trading in individual) the name and style of_______________________________and shall include his heirs, successors and legal representatives. (in the case of "Contractor" shall mean___________________________a company Company) incorporated under_______________________and having its registered office at ________ and shall include its assigns and successors. (c) "This Contract" Shall mean the Articles of Agreement, the Special Conditions, the Conditions, the Appendix, the Schedule of Quantities and Specifications etc. attached hereto and duly signed. (d) "Notice in writing" Or written notice shall mean a notice in written, typed or printed characters sent (unless delivered personally or otherwise proved to have been received) by registered post to the last known private or business address to have been received when in the ordinary course of post it would have been delivered. (e) "Act of Insolvency" Shall mean any Act of Insolvency ad defined by the Presidency Towns Insolvency Act or the Provincial Insolvency Act or any Act amending such original. (f) "Net Prices" If in arriving at the contract amount, the Contractor shall have added to or deducted from the total of the items in the Tender any sum, either as a percentage or otherwise, then the net price of any item in the Tender shall be the sum arrived at by adding to or deducting from the actual figure appearing in the Tender as the price of that item a similar percentage or proportion of the sum so added or deducted by the Contractor the total amount of any Prime Cost items and provisional sums of money shall be deducted from the total amount of the Tender. The expression "net rates" or "net prices" when used with reference to the contract or accounts shall be held to mean rates or prices so arrived at. (g) "The works" Shall mean Integrated Facility Management Service for Reserve Bank of India, Panaji, Goa as provided herein. Word importing persons include firms and corporations. Word importing the singular only also includes the plural and vice-versa where the context requires.

4.2 Scope of Contract. The Contractor shall carry out and complete the said work in every respect in accordance with this Contract and with the directions of and to the satisfaction of the Employer. The Employer may in his absolute discretion and from time to time issue further written instructions, details, directions and explanations, which are hereafter collectively referred to as "Employer's Instructions" in regard to (a) The variation or modification of the, quality or quantity of works or the addition or omission or substitution of any work. (b) Any discrepancy in the Schedule of Quantities and/or Specifications. (c) The removal from the site of any materials brought thereon by the Contractor and the substitution of any other material therefore (d) The dismissal from the works of any persons employed thereupon. The Contractor shall forthwith comply with and duly execute any work comprised in such Employer's instructions provided always that verbal instructions, directions and explanations given to the Contractor or his representatives upon the works by the Employer shall, if involving a variation, be confirmed in writing by the Contractor within seven days, and if not dissented from in writing within a further seven days by the Employer, such shall be deemed to be Employer's instructions within the scope of the Contract. 4.3 Dismissal of Workmen. The Contractor shall on the request of the Employer, immediately dismiss from the works, any person employed thereon by him who may, in the opinion of the Employer, be incompetent or misconduct himself and such persons shall not be again employed on the works, without the permission of the Employer. 4.4 Termination of Contract by the Employer The contract can be terminated by the Bank with immediate effect without giving any notice to the contractor because of sensitivity of the work. 4.5 Termination of Contract by Contractor Contract can be terminated by the Contract, if desires by giving one month notice to the Bank. The notice period will start from the day of receipt of written notice by the Bank. 4.6 Delayed Payment. Any bill submitted by the contractor shall be settled in the normal course provided the bills are in order in all aspects. 4.7 Disputes arising out of the contract: The decision of Bank will be final for any dispute arising of this contract. However, the contractor can appeal to the General Manager, Officer – in - charge if not satisfied with the decision of the department and his/her decision will be binding on the contractor. 4.8 Employer entitled to recover compensation paid to workmen If, for any reason, the Employer is obliged, by virtue of the provision of the Workmen's Compensation Act, 1923, or any statutory modifications or re-enactment thereof to pay compensation to a workman employed by the Contractor in execution of the works, the Employer shall be entitled to recover from the Contractor the amount of compensation so paid, and without prejudice to rights of the Employer under the said Act. The Employer shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by the Employer to the

Contractor under this Contract or otherwise. The Employer shall not be bound to contest any claim made against it under the said Act, except on the written request of the Contractor and upon his giving to the Employer full security to the satisfaction of the Employer for all costs for which the Employer might become liable in consequence of contesting such claim. 4.9 Right of Employer to terminate Contract in the event of death of Contractor Without prejudice to any of the rights or remedies under this Contract, if the Contractor, being an individual, dies, the Employer shall have the option of terminating the Contract without incurring any liability for such termination. 4.10 Marginal Notes The headings catch lines hereto and in the annexures hereto are meant only for convenience of reference and shall not in any way be taken into account in the interpretation of these presents and the annexures hereto.

SECTION VII DETAILED SCOPE OF WORKS

Reserve Bank of India Officer’s Quarters is located at St. Inez, Panaji, Goa having one bungalow, three regular flats, 2 single room accommodation, 5 visiting officer’s flats. The housekeeping facility is also to be provided for Bank’s leased flats located at different locations in and around Panaji and for the office located at 7th floor, Gera’s Imperium II, EDC complex, Patto Plaza, Panaji from Monday to Friday excluding Bank’s holiday. The scope of works involved is as under:

MAINTENANCE AND UPKEEP OF OFFICER’S QUARTERS INCLUDING BUNGALOW, REGULAR FLATS, SINGLE ROOM, VOF, LEASED FLATS AND OFFICE PREMISES. PROVIDING CATERING SERVICES FOR VOF. Working Hours The working hours of the office for the contractor will be from 8.00 AM to 12.00 PM with weekly off on Saturdays and Sundays. However, the Office may be open on

Saturdays with a few officials working. VOF is, however, functional at all times of the day. General Conditions

1. The successful Tenderer shall enter into a Contract Agreement with the Bank within 7 days of issuance of work order. The agreement will cover the details of manpower that will be deployed, their working hours and on-call availability. The contract shall begin from the actual date of commencement of work at the site.

2. All works will be carried out at timings which will be as per convenience to the Office/VOF and without causing interference or inconvenience to the normal work. Contractor’s supervisory staff should be available to give instructions to their staff. All personnel should be in uniform and should maintain discipline. The Manager (Protocol & Security) should be informed immediately whenever there is an emergency situation. Any major work or repairs to be carried out should be brought to the notice of care taker/office immediately. Reports/records of all complaints received and remedial works done should be maintained and should be submitted to him every month.

3. There should be a supervisor in charge of all the facility management works called as Facility Manager. The Facility Manager should be able to arrange additional or skilled worker to be engaged on-call basis. Facility Manager shall also be responsible for co-coordinating with external agencies and Original Equipment Manufacturers.

4. The Facility Manager deployed shall be responsible for preventive and breakdown. He is to be provided with a cellular phone, the number of which is to be made available to the VOF for making contact at all times of the day.

5. The equipment, other tools and aids required for undertaking all the services are to be arranged by the contractor.

6. The contractor shall also be responsible for updating and intimating the Bank regarding any changes in the statutory requirements of Central and State authorities and shall recommend suitable measures to be taken to adhere to such statutory

requirements. 7. The contractor is responsible for getting the antecedent verification of all

employees done by police authorities. A compliance report along with the details of all his employees needs to be submitted to the Bank for records. This exercise needs to be done periodically, in view of the security angle.

8. No minor shall be engaged by the contractor in discharge of his duties under this contract. If any such violation is observed, apart from cancellation of the contract, suitable legal measures may be initiated against the contractor.

9. A job card to be counter signed by the supervisor needs to be placed in all wash rooms to ensure periodical cleaning.

10. The contractor is expected to use standard and quality disinfectants, air-purifiers, naphthalene balls and other cleaning agents which are safe for the fixtures and also easy on environment.

11. The service personnel of the contractor shall not be provided accommodation inside the premises of the Bank. However, the staff deployed by the contractor for catering purpose may stay back at the quarters.

12. If any Tenderer is found to have any business or family relationship with any employee of Reserve Bank of India, his Tender is bound to be rejected without assigning any reasons thereof.

13. The contractor shall be solely responsible for full compliance with the provisions of “the Sexual Harassment of women at work place (Prevention, Prohibition and Redressal Act, 2013). In case of any complaint of sexual harassment against its employee within the premises of the Bank, the complaint will be filed before the Internal Complaints Committee constituted by the Agency and the Agency shall ensure appropriate action under the said Act in respect to the complaint.

14. The Agency shall not sublet, transfer or assign the contract or any part thereof without the prior written approval of the Bank to any other person/company/ organization.

The duties and work timings of the various service personnel are broadly as under: Facility Manager/House Keeping Supervisor

Timing – In two shifts i.e. 8.00 AM to 6.00 PM and 06.00 PM to 08.00 AM (Duty hours will be allotted as per the Bank’s convenience and as per the labour rules)

Minimum l2th standard/graduate with two years of experience in Hospitality field

Should be of courteous and of polite demeanour. Has to be proactive in solving the infrastructural and human problems. Should ensure that all electrical, plumbing furniture, linen etc are always in

proper order through constant checking of the works carried out by the house keepers. If any damage is observed, the same shall be brought to the notice of AM (Estate).

Should interact with the occupants of VOF and residents enquire personally or through telephone regarding their comfort and assist them.

Should handover/take over the keys of the rooms allotted to them. Should ensure that that all the wash rooms are cleaned before and after

allotment. Should ensure that all electrical/plumbing/sanitary fittings/installations in the

rooms are in order. Should control all the housekeepers under his charge and allocate duties to

them. Arranging with contractors for repairs/replacement of

electrical/Plumbing/Sanitary/Garden equipment etc. provided in Officer’s quarters/VOF on the basis of complaints recorded in the Register,

Maintaining register of complaints received in respect of officer’s Quarters/VOF/Bungalow and coordinating with the office for repairs of any complaints recorded into the same by residents/guests,

Ensuring proper operation of the pumping system and lighting system by the Security Staff in the Officer’s quarters and arranging for water tankers whenever required

Managing catering services and coordinating with cook in case of any emergency

Making arrangements of sufficient cleaning material required for day to day cleaning without extra cost to the Bank and

Any other duties assigned by the authorized officer of the Bank within the office hours.

Catering Timing – 24 hours. The persons deployed by the contractor may stay back at the quarters. They can accommodate themselves in the place identified by the Bank after completing the service and cleaning of the area. Necessary arrangement for their accommodation (i.e. mattress etc.) may be provided by the contractor. The Contractor shall be responsible for procurement of raw materials and ingredients. h. Assisting guests for lifting and placing the luggage in the room allotted on arrival and departure in the absence of housekeeping staff.

House keepers 1. Timing for Quarters – 8.00 AM to 6.00 PM (Duty hours will be allotted as per the

Bank’s convenience and as per the labour rules) Washing and scrubbing of toilet area with detergents and disinfectants etc. of

the said flats/bungalow. This work needs to be done once in a week. Removal of cobwebs, dusts, termites, insects, pests etc. to be done once in a

month. Windows sponging and cleaning to be done once in a month. Cleaning of ceiling and table/pedestal fans, air-conditioning grills to be done

once in a month Cleaning of dustbins with detergents once in a month. Cleaning of colony premises including staircase, terrace, etc. and making

arrangement to throw the thrash (including that collected from the houses and VOFs) in the corporation dustbin.

The Agency shall ensure that the cleaning/ housekeeping materials being utilized by them are of ISI approved products of reputed brands. These should be environment friendly and no toxic chemical should be used for the purpose. It shall also provide to workers proper equipment for sanitary and general cleaning.

Should sweep, swab and dust the rooms/furniture at VOF. Should ensure that all lights, plumbing fittings, TVs etc are in working order. Should convey to plumbers/electricians or to the house keeping supervisor for

shortfalls in electric supply/water before allotment of rooms, or any damage occurred.

Shall assist the guests for lifting and placing the luggage in the room allotted on arrival and departure.

Daily cleaning of open areas, & common area of the building with approved cleaning materials.

Cleaning of kitchen hood on fortnightly basis or early as per requirement Should provide all cleaning devices and consumables like brooms, swabs,

phenyl, floor cleaning agents, detergents, naphthalene balls, toilet rolls, Odonil, etc.

Should convey to plumbers/electricians or to the house keeping supervisor for shortfalls in electric supply/water before allotment of rooms, or any damage occurred.

UPKEEP & MAINTENACE OF GARDEN, LAWN & HORTICULTURAL WORKS IN THE PREMISES The scope of services to be rendered under the contract shall broadly include the following items of work.

a. Removal of wild growth from the garden, lawn area as and when required. b. Nursing, watering, periodical trimming of the plants. c. Cleaning the entire garden area and taking away the dry leaves from the

premises. d. Providing manure and good quality earth at regular intervals, e. Spraying required suitable pesticides and insecticides at regular intervals f. As and when required the arrangements have to be made for keeping the plant

inside the premises in sophisticated manner and the plants kept inside the premises have to be watered daily and need to be changed once in a week. Re-potting of plants has to be done regularly to keep the potted plant in healthy condition. The required manure and soil mixtures have to be provided at no extra cost.

g. Necessary arrangements shall also be made to place good quality indoor potted plants of various species brought from outside. These indoor plants shall be replaced with alternative plants once in fortnightly. This arrangement has to be made without any extra cost.

h. Trimming/pruning of trees shall be carried out as and when required and instructed without any extra cost to the Bank.

i. Plants shall be maintained in good health condition. If any plants got wilted due to improper maintenance, the same species of plant shall be replanted at free of cost.

Any additional work, which is to be carried out for the development works in the garden, has to be carried out at no extra cost. However, the cost of additional item of plants will be paid separately as per actual bills and no labour charges towards this will be paid. CLEANING OF LINEN, UPHOLSTRY AND SUPPLY OF CLEANING MATERIALS Washing a. Should carry out washing/cleaning of linen, bed sheets, pillow covers, hand towels, bath towels after every change of occupancy from the vof rooms, or on every alternatively day or if demanded by guest if stained. b. Washing of curtains once in two months. c. Washing of blankets/quilts/ comforters once in two months. The contractor shall ensure that, the articles may be washed carefully with the product of reputed brand. In this connection, the agency may avail the services of reputed laundry agencies. The payment of outside agency need to be taken care by the Agency itself, which will be reimbursed by the Bank on submission of bills.

Supply of welcome kit a. The agency should make arrangement for Supply of welcome kit to be kept in VOF for the use of the guest/s. Fresh kit may be provided to the occupant only once during his/her stay at the VOF. The welcome kit should consist of: i. Hair oil pouch – 01 – (Parachute – 10 ml sachet) ii. Small tooth paste tube – 01 – (Colgate -26 gms) iii. Tooth brush – 01 – (Colgate – Soft) iv. Small Bath Soap – 01 – (Lux – 30 gms) v. Razor – 01 – (Gillette - presto) vi. Small shaving cream pouch – 01 – (Gillette – 20 gms) vii. Comb – 01 viii. Detergent Cake – (Rin – 30 gms) Above articles may be provided in PVC pouch. The agency should make arrangement for providing room freshener of reputed brand and necessary room fresheners in toilets in all the VOF only. b. The agency should provide 2 coffee pouches (Nescafe), 4 tea bags (Tetley), 4 sugar pouches and 4 milk pouches (Nestle), 2 Bottles of Bisleri/Aquafina everyday (One litre each) at all the VOF on daily basis before allotting the rooms. c. Room fresheners/deodorants (of reputed brands viz ODONIL) are to be sprayed in all the rooms (whenever required), and room fresheners may be kept in all common toilets. They may be replenished immediately by the agency whenever required. Reimbursement towards the same may be claimed from RBI. CLEANING OF UNDER GROUND SUMPS & OVER HEAD TANKS

a. The cleaning of underground sumps and overhead tanks shall be carried out (mechanically) once in 6 months, preferably in September/ October and February/ March. Necessary cleaning materials shall be used with the approval of Bank’s Engineer.

b. Information in respect of cleaning the tanks shall be conveyed to the inmates well in advance.

c. Proper planning shall be done for the cleaning works and the same shall be bought to the notice of the Bank’s officer/s.
