IDAHO BROKER-DEALER PRINCIPAL SANCTIONED
The Seattle Regional Office announced that, on June 8, the Commission instituted public administrative proceedings against Michael R. Vierra, Sun Valley, Idaho,formerly the principal of a McCall, Idaho, broker-dealer.
Simultaneously with the institution of the proceedings, the Commission acceptedVierra's offer of settlement barring him from associating with any broker, dealer,municipal securities dealer, investment adviser or investment company.
The administrative proceeding was based on a finding that Vierra had been enjoinedby consent, without admitting or denying the allegations, by the u.s. District Court for the Western District of Washington from violating the antifraud provisions of the federal securities laws and from aiding and abetting the broker-dealer's violations of Commission rules. The court also ordered that he pay $180,000 in disgorgement of proceeds of securities sold. The Complaint alleged that Vierra misrepresented to purchasers of certificates of deposit of the broker-dealer the risk of the investment, the use of proceeds, the broker-dealer's financial condition, and aided and abetted the broker-dealer's violation of Commission rules against making false filings and reports, keeping false records, and operating without adequate net capital. FRANK CLARKE AND CO., INC. SANCTIONED
The Commission has issued an Order Instituting Public Administrative Proceedings under Section ISC(c)(I)(A) of the Securities Exchange Act against Frank Clarke and Co.,Inc., a registered government securities broker-dealer. Simultaneously with the institution of the proceedings, the respondent submitted an Offer of Settlement which the Commission accepted. Clarke and Co. consented to the Order, without admitting or denying the findings contained therein except as to the entry of a civil injunctiveaction, which it admitted.
On the basis of the Order Instituting Proceedings and the Offer of Settlement, the Commission found that Clarke and Co. wilfully violated various provisions of the Exchange Act and Treasury Rules thereunder in that it failed to become a member of a securities association registered under ISA of the Exchange Act, failed to have
and maintain the required amount of liquid capital, failed to make, keep and preserve records of liquid capital computations, failed to prepare and file financial reports with the Commission, and failed to comply with the telegraphic notice requirements.The Commission also found that on June 7. 1990. Clarke and Co. was permanentlyenjoined from violating the above provisions.
Based upon these findings, the registration of Clarke and Co. as a governmentsecurities broker-dealer was revoked. (ReI. 34-28103)
