sec news digest Issue 93-113 June15,1993 CIVIL PROCEEDINGS JOHN ARNOLD ENJOINED The Commission announced that on March 5, 1993 the Honorable William L. Beatty, United States District Court Judge for the Southern District of Illinois entered an Order of Permanent Injunction, by consent, against Defendant John E. Arnold enjoining him from future violations of the antifraud and broker-dealer registration proviSions of the federal securities laws. The issue of whether to impose civil penalties on Arnold will be determined by the Court at a later date. The Commission'S complaint alleged that from about October 1990 through October 1991, while employed as a registered representative by Independent Financial Securities, Inc., a registered broker-dealer, Arnold misappropriated for personal use in excess of $200,000 from the accounts of at least seven of his customers. The complaint further alleged that Arnold diverted to himself in excess of $38,000 in commission income by conducting approximately $1,300,000 worth of private securities transactions through E.C.I. Investments, an entity wholly owned by Arnold that was not registered with the Commission as a broker-dealer. On March 31, 1992, in a prior criminal action relating to the same conduct, Arnold .was sentenced to 27 months imprisonment and ordered to make restitution of approximately $250,000. [SEC v. JOHN ARNOLD ENJOINED

The Commission announced that on March 5, 1993 the Honorable William L. INVESTMENT COMPANY ACT RELEASES

ZAPATA CORPORATION

An order has been issued under Section 3(b)(2) of the Investment Company Act grantingZapata Corporation a temporary exemption from all provisions of the Act. On April16, 1993, Zapata filed an application for an order under Section 3(b)(2) declaring that it is not an investment company or, alternatively, an order under Section 6(c)exempting it from all provisions of the Act. Zapata also sought a temporary order under Section 3(b)(2) or Section 6(c) extending the sixty day automatic exemptionprovided by Section 3(b)(2) upon the filing of an application in good faith, to permit the Commission to make a final determination upon the request for a permanent order. HOLDING COMPANY ACT RELEASES

THE COLUMBIA GAS SYSTEM, INC., ET AL.

A supplemental order has been issued authorizing a proposal by The Columbia Gas System, Inc. (Columbia), a registered holding company, and Columbia LNG Corporation(Columbia LNG), its nonutility subsidiary company. Columbia is authorized to increase the maximum amount of short-term revolving advances to Columbia LNG through September 30, 1993 by $2.45 million. (ReI. 35-25823)

AMERICAN ELECTRIC POWER COMPANY, INC., ET AL.

A notice has been issued giving interested persons until July 6, 1993 to request a hearing on a proposal by American Electric Power Company, Inc. (AEP) , a registeredholding company, and American Electric Power Service Corporation (AEPSC), AEP' s subsidiary service company. AEPSC proposes to issue and sell from time to time through December 31, 1996 promissory notes in an aggregate amount not to exceed $25 million outstanding at anyone time. In order to induce a lender to purchase such notes from AEPSC, AEP proposes to unconditionally guarantee payment to such lender the amounts due and unpaid by AEPSC. (Re1. 35-25824)

THE COLUMBIA GAS SYSTEM, INC.

PROPOSED RULE CHANGE

The Chicago Board Options Exchange filed a proposed rule change (SR-CBOE-93-21)relating to the listing and trading of European-style, yield-based, cash-settled options on long-term Treasury bonds and notes of specified maturities. PARTIAL ACCELERATED APPROVAL OF PROPOSED RULE CHANGE

The Philadelphia Stock Exchange filed a proposed rule change (SR-PHLX-93-02) relatingto Friday expiration dates for foreign currency options. Partial accelerated approval was granted by the Commission for the purpose of allowing the Exchange to list long-term foreign currency options expiring in June, 1995, with Friday expirations.Publication of the proposal is expected in the Federal Register during the week of June 14. APPROVAL OF PROPOSED RULE CHANGES

The Commission approved a proposed rule change filed by The Options ClearingCorporation (SR-aCC-93-0l) that allows acc's Board of Directors greater flexibilityin scheduling regular Board meetings.
