Following is a schedule of Commission meetings which will be conducted under provisions of the Government in the Sunshine Act. In general, the Commission expectsto follow a schedule of holding closed meetings on Tuesdays, and open meetings on Thursday morning. Meetings on Wednesday, and if necessary on Thursday afternoons, will be either open or closed according to the requirements of agenda items under consideration.

Visitors are welcome at all open meetings, insofar as space is available.

OPEN MEETING - THURSDAY. APRIL 19, 1990 - 10:00 a.m.

The subject matter of the April 19 open meeting will be:

1. Consideration of proposed Rule l44A, which would provide a safe harbor exemption from the registration requirements of the Securities Act of 1933 for resale of restricted securities to "qualified institutional buyers" as defined in the rule. The Commission also will consider seeking comment on the adoption of the amendments to Rules 144 and 145 under the Securities Act, which would redefine the requiredholding period for restricted securities, whether acquired pursuant to Rule l44A or otherwise. CHICAGO MILWAUKEE

An order has been issued on an application filed by Chicago Milwaukee Corporation(CMC) , CMC Real Estate Corporation, and Milwaukee Land Company requesting an order under Sections 17(b), l7(d) and Rule l7d-l in connection with a proposal to transfer their real estate assets to an affiliate followed by an in-kind distribution to CMC's common shareholders, and under Section 6(c) exempting CMC Real Estate from the requirement under Section 8(b) that it file a registration statement on Form N-2 with the Commission and annual amendments thereto.
