4.1 FORM OF CONTRACT

CONTRACT NO. MP6-8905-WCX

FOR CONSTRUCTION OF PROMPONG AND KLONGKRATHIAM SUBSTATIONS

This Contract is made at…….................................……............................................................

1. The Employer agrees to employ the Contractor to design, provide goods and suitable materials,

equipment and labour hereinafter referred to as “the Work” for Construction of PROMPONG

and KLONGKRATHIAM Substations.

The Contractor shall be responsible for delivery to the site both imported and local supplied

materials and equipment under this Contract for installation and testing until the Work is

completed in accordance with the drawings and specification attached to this Contract, the total

In case there is any conflict or contradictory between the aforesaid documents and this

Contract, the term and conditions under this Contract shall prevail.

3. The Contractor agrees to provide good materials and shall use good implement and qualified

personnel so as to complete of the Work under this Contract.

4. Upon signing this Contract, the Contractor has submitted to the Employer an Advance

Payment Security and a Performance Security as mentioned in Section 3 Clause 3.60 and

Clause 3.8, of the Invitation to Bid respectively, each in the form of Bank Guarantee to be

issued by a prime commercial bank in Thailand in the amount as follows:-

Added Tax.

4.2 Performance Security :

The Advance Payment Security shall be in effect until all supplies and services of the Work of

the last substation have been successfully completed as specified in the Contract and the

Performance Security shall remain in force for the period of time beginning on the date of

award of Contract and ending 3 (three) years after the acceptance date of all supplies and

services of the Work of the last substation.

The Advance Payment Security will be returned to the Contractor when all supplies and

services of the Work of the last substation have been successfully completed as specified in the

Contract , whereas the Performance Security will be returned to the Contractor when he has

relieved himself of the obligations accrued under the first paragraph of Clause 10.

The Contractor shall, in no less than 30 (thirty) days before the Performance Security expires

according to the first paragraph of Clause 10., deposit with the Employer another bank

guarantee in an amount of …………………………..… (……………………………..… Only)

to serve as a Maintenance Guarantee Security for the Work that has been completed. The

security amount will be drawable for compensation against any possible damage caused to the

Work completed. The Maintenance Guarantee Security shall come into full force and

(…….) years henceforth, except for the 69 /115 kV GIS, the maintenance Guarantee period

5. The Contractor shall furnish 10 (ten) copies each of such drawings, data and wiring diagrams

as may be required and as specified in Clause 5.6.1 on page 5-16 and 5-17 under Section 5 :

Special Conditions of the Invitation to Bid as soon as possible for the design approval by the

Employer.

In case any of the drawing and data for each substation mentioned above are not submitted to

the Employer within 120 (one hundred and twenty) calendar days after the Effective Date of

Contract, the Contractor shall be penalized at THB 5,000.00 (Baht Five Thousand Only) per

day until the date the Employer receives all the documents.

Moreover if drawing and data for approval are not submitted in time or the Employer requests

for additional information, the Contractor cannot regard the lost time as a reason for extending

the completion time of the Work without penalty.

In case the Employer requires the Contractor to propose the shop drawing, the Contractor shall

do so.

6. The Contractor shall furnish 10 (ten) copies each of such SA’s type test reports, DNP3 Subset

level 2 conformance certificate and IEC61850 certificate certifying that the equipment to be

supplied will conform to the requirements and intent of these specifications.

In case of the test report and certificate mentioned above are not submitted to the Employer

within 180 (one hundred eighty) calendar days after the Effective Date of Contract, the

Contractor shall be penalized at the rate of THB 50,000.00 (Baht Fifty Thousand Only) per

day until the reports and certificates are submitted to the Employer.

7. Independent inspection for the goods under Schedule A of ANNEX A is required/not

required.

8. The Employer and the Contractor mutually agree on the following payment schedule:-

10 (ten) percent Advance Payment of the total amount of this Contract, in the amount of

will be made after signing the Contract and against the deposit of Advance Payment Security

to be issued in the same amount and currencies as those stated in Sub-Clause 4.1. In case of a

bank guarantee, or letter of guarantee, it shall be issued in conformity with the Specimen III

under Clause 4.4 of the Invitation to Bid.

Balance Payment for the Foreign Supplies:-

For Substation Equipment (Item No. A1)

80 (eighty) percent of invoiced value of each shipment against presentation of invoices and

shipping documents.

10 (ten) percent balance serving as retention money against the Employer’s Acceptance

Certificate to be issued within 30 (thirty) days after the Employer has found that all the

equipment of each substation have been installed, successfully passed the commissioning test

and the substation has been energized and all documents are submitted including all works

(except SA related works) are completed.

For Substation Automation System (Item No. A2)

65 (sixty-five) percent of invoiced value of each shipment against presentation of invoice(s),

shipping documents and the Employer’s Certificate to be issued by fax certifying that the

equipment shipped have been successfully passed the Factory Acceptance Test and be allowed

to ship.

15 (fifteen) percent of the total amount of this schedule against presentation of invoice (s) after

the equipment of each substation have been successfully installed and passed the Site

Acceptance Test and the one SA at the substation, chosen by the Employer, has been passed

the Availability Test.

10 (ten) percent balance serving as retention money against the Employer’s Final Acceptance

Certificate of each substation to be issued within 30 (thirty) days after the Employer has found

that all the equipment of each substation are functioning satisfactorily and the Contractor has

completed all the Works of that substation.

Balance Payment for the Local Supplies:-

For Substation Equipment (Item No. A1)

80 (eighty) percent of invoiced value of each delivery against signed Invoice or Debit Note

covering the quantity of the delivered goods and the Employer’s Acceptance Committee or his

representative has verified that the goods have been arrived at the installation site or the

storage place.

10 (ten) percent balance serving as retention money against the Employer’s Acceptance

Certificate to be issued within 30 (thirty) days after the Employer has found that all the

equipment of each substation have been installed and successfully passed the commissioning

test and the substation has been energized and all documents are submitted including all works

(except SA related works) are completed.

For Substation Automation System (Item No. A2)

65 (sixty-five) percent of invoiced value of each delivery against signed invoice(s) or Debit

Note covering the quantity of the delivered goods after all the equipment have been

successfully passed the Factory Acceptance Test.

15 (fifteen) percent of the total amount of this schedule against signed invoice (s) or Debit

Note after the equipment of each substation have been successfully installed and passed the

Site Acceptance Test and the one SA at the substation, chosen by the Employer, has been

passed the Availability Test.

Balance Payment for Insurance Premiums and Inland Transportation:-

Note along with the originals of signed insurance policies and the Employer has verified

Balance Payment for Engineering, Installation and Training Services and Test:-

For Substation Equipment (PROMPONG Substation) (Item No. C1-1 thru C1-7)

90 (ninety) percent of the total amount of Engineering, Installation and Training Services and

Test in the amount of …………………………………(………..……………………. only)

shall be made against the Employer’s Acceptance Certificate to be issued within 30 (thirty)

days after the Employer have found that all the equipment have been installed and successfully

passed the commissioning test and PROMPONG Substation has been energized and all

documents are submitted including all works (except SA related works) are completed.

For Substation Equipment (KLONGKRATHIAM Substation) (Item no. C2-1 thru C2-7)

90 (ninety) percent of the total amount of Engineering, Installation and Training Services and

Test in the amount of ……………………………………(………..……………………. only)

shall be made against the Employer’s Acceptance Certificate to be issued within 30 (thirty)

days after the Employer have found that all the equipment have been installed and

successfully passed the commissioning test and KLONGKRATHIAM Substation has been

Employer’s Final Acceptance Certificate to be issued within 30 (thirty) days after the

Employer has found that all the equipment are functioning satisfactorily and the Contractor has

completed all the work of PROMPONG Substation.

For Substation Automation System (KLONGKRATHIAM Substation) (Item no. C4-1 thru

C4-3)

90 (ninety) percent of the total amount of Engineering, Installation and Training Services and

Employer’s Final Acceptance Certificate to be issued within 30 (thirty) days after the

Employer has found that all the equipment are functioning satisfactorily and the Contractor has

completed all the work of KLONGKRATHIAM Substation.

Balance Payment for Civil Construction Works for PROMPONG Substation

For Civil Construction Works (except Construction of manholes and duct banks) (Item no.

all system and training.

For Construction of manholes and duct banks (Item no. D1-2) :-

90 (ninety) percent of the total amount of Construction of manholes and duct banks in the

i2.4) The construction of underground duct banks by the Open-cut method or the

horizontal directional drilling and the conduit test.

i2.5) The repair of the permanent road, pavement, curb and others in order that

the vehicles easily pass through the construction site. All repairs shall be

inspected and approved by the concerned area owners.

i3) Payment of the work cost which is the special cost under type 3 of Section 4.8:

Bill of Quantities shall be prorated to the actual work completed.

Each installment payment shall be made (may not be arranged in order of each installment

payment) when the Contractor has completed the Work listed under each respective

installment payment in accordance with the Contract and at the discretion of the Employer’s

Acceptance Committee.

Each of the above installment payment shall be deducted by 10 (ten) percent, to serve as

retention money for proper functioning of each work. The retained amount shall be paid to the

Contractor, without interest, within 30 (thirty) days after the Employer has issued the Final

Acceptance Certificate for completion of each substation.

Payment for Civil Construction Works under Price Schedule D shall be subject to adjustment

during performance of the Contract to reflect changes in the increased or decreased

construction cost in accordance with the Price Adjustment Formula (K) specified in Annex B

to the Contract.

Payment of the local currency portion shall be made to the Contractor by and at the Finance

Department of the Employer and that of the foreign currency portion shall be made in favour

of the beneficiary (ies) as instructed by the Contractor, through the Letter(s) of Credit upon

presentation at a bank of all the required documents listed in the Letter(s) of Credit, after

deduction at source of the 1 (one) percent Withholding Tax of the total Contract price.

All banking charges of whatever nature incurred outside Thailand are for the Contractor’s

account. In addition, if the amendment is made to the L/C according to the Contractor’s

request, all expenses to be incurred thereby shall also be for the Contractor’s account, and be

reimbursed by the Contractor to the Employer by Cheque or Demand Draft upon the

Contractor’s receipt of the Employer’s notification.

The Employer shall deduct the penalty sum against late delivery, if any, or any claim amount

remaining unpaid, from payment of the invoiced amount or the amount of the Invoice/Debit

Note, if deemed evident by the Employer.

9. All materials and/or equipment under ANNEX A shall be delivered to the site and the Work

shall be completed within the ………..… days of …………….. A.D. ……………...

If the Contractor fails to commence the Work by the stipulated date or if deemed evident by

the Employer that during the Work the Contractor will not be able to complete the Work

(through no fault of the Employer) within or after the stipulated date, or if the Contractor

breaks any of the clauses of this Contract, the Employer is entitled to terminate this Contract

and employ a new Contractor to continue the Work until completion.

In case the Employer does not exercise the right to terminate the Contract as stipulated in the

foregoing paragraph, it shall not be deemed that the Contractor is relieved of the liabilities

under this Contract.

10. When the Work is completed and the Employer accepts the Work from the Contractor or a new

Contractor if any defects or damages occur to the Work within the warranty period through the

Contractor’s faults in work performance or by using materials of inferior quality or by

performing the Work untechnically, the Contractor shall complete the remedy within a period

of time specified by the Employer at no charge whatsoever to the Employer. If the Contractor

fails or refuses to make the remedy within 7 (seven) days counting from the date of receipt of a

written notice from the Employer or cannot complete the remedy within the time stipulated by

the Employer, the Employer reserves the rights to employ a new Contractor to continue the

Work.

The Contractor’s liabilities shall continue for any further defects or damages occurred

thereafter according to the provision in the Civil and Commercial Code of Thailand.

If the Employer exercises the right to employ a new Contractor as stipulated in Clause 9 and in

the first Paragraph of this Clause, the Contractor agrees to pay to the Employer the wages, the

cost of materials, cost of work supervision and other expenses (if any) that the Employer has

incurred and the Contractor is still under the liability in accordance with Clause 16 as if the

Work performed by the new Contractor was performed by the Contractor.

11. By virtue of obligations under this Contract, the Contractor agrees that all works performed by

the Contractor including materials stored at the site particularly for the Work intended under

Clause 1 of this Contract shall all become the properties of the Employer.

The Contractor shall be responsible for any hazard or damage occurring to such things no

matter whether the hazard or damage is due to force majeure or not and will make the

replacement or repair thereof according to the contractual obligations, except that after the

delivery time the Contractor is merely liable for the defect and the damage occurring within

the time stipulated in Clause 10.

Upon completion of the Work in accordance with the Contract, the Contractor shall remove

any materials remaining except for the materials and equipment purchased under this Contract.

12. The Contractor shall absolutely refrain from proceeding with the Work without the correct

drawings and/or specifications which shall be kept at the installation site where the Employer

or the Acceptance Committee or an Authorized Supervisor may inspect them at any time.

13. The Contractor agrees that the installation work shall not be reassigned to Subcontractor

without written consent of the Employer. In any case the Contractor shall assume full

responsibility for the Work being done by a Subcontractor.

14. While the Work is still incomplete, the Contractor must supervise the performance of the Work

at all time, or the Contractor may assign any other person to supervise the performance of the

Work on its/ his behalf. In the latter case, the Contractor must inform the Employer in writing.

The Contractor’s representative shall assume the responsibility on behalf of the Contractor.

Orders and instructions issued by the Employer to the Contractor’s representative shall be

regarded as orders and instructions given to the Contractor.

15. In case the Contractor appoints its/his representative in accordance with Clause 14, the

Contractor shall, upon request by the Employer, promptly change its/his appointed

representative without demanding for any cost resulting from such change or without claiming

for extending the Work completion period. If the Contractor wishes to change his

representative, he shall immediately notify the Employer in writing the name of the new

representative.

16. The Contractor shall be responsible for the accident, danger or any damages caused by the

Work already done or being done by itself/himself, including any damages caused by its/his

employees to the Employer’s and any other’s properties within the compound of the site.

17. The Contractor must pay his employee wages at rates agreed upon for a period agreed upon.

If the Contractor fails to pay wages to his employees as stipulated in the first paragraph, the

Contractor agrees that the Employer may pay the employees the said wages and that the

payment so made is regarded as payment made to the Contractor.

In case of failure by the Contractor as stated in the second paragraph, the Contractor is

regarded to have breached this contract and thus the Employer may terminate the Contract.

18. If the Employer appoints an Acceptance Committee or an Authorized Supervisor to be

stationed at the construction site, the Acceptance Committee or the Authorized Supervisor

shall have the right to inspect, at all times, the Work during preparation or the Work in

progress and the Contractor or its/his representative shall therefore provide necessary facilities

and assistance.

The Contractor agrees that inspection by the Acceptance Committee or the Authorized

Supervisor does not relieve the Contractor from its/his liabilities under this Contract.

19. If, before or during the progress of the Work, inconsistencies or deviations are found in the

drawings or specifications attached to this Contract, the Contractor agrees to comply with the

decision of the Acceptance Committee or the Authorized Supervisor. The decision of the

Acceptance Committee or the Authorized Supervisor if being in line with any of the contract

drawings or specifications shall be regarded as final. The Contractor agrees to perform, at no

extra charge to the Employer, the Work which is not specified in the drawings or specification

but is necessary for the completion of the Work. Further, the part which is inconsistent or not

specified in the drawings or specification shall not be the main part, depending however, on

the Employer’s discretion.

20. In case the Employer appoints the Acceptance Committee or the Authorized Supervisor, the

Contractor agrees that the Acceptance Committee or the Authorized Supervisor shall have the

authority to inspect and supervise the execution of the Work in accordance with the contract

drawings or specifications and to order the change, modifications, addition and reduction of

the Work so as to conform to the stipulations in the contract drawings and specifications. The

Acceptance Committee or the Authorized Supervisor has the right to stop the Work

temporarily if the Contractor refuses to comply with his order and the delay occurred shall not

be taken as a cause for extending the Work completion period.

21. The Employer may amend and make additions or reductions to the Work to be done under the

specifications without terminating this Contract. Such amendment shall be the result of

agreement between the Employer and the Contractor. The additions or reductions to the Work

shall result in the re-calculation of the costs, as mutually agreed by both parties. In case the

unit price(s) has already been quoted in the offer during the bidding process, the said costs

shall be calculated according to the unit price(s).

22. In the event of delay in the completion of the Works under this Contract and the Employer

does not terminate the Contract, the Contractor shall be subjected to following actions to be

taken by the Employer:-

1) To penalize the Contractor at the rate of 0.2% (one-fifth of one percent) of the total

contract value per day of delay until the date the Work under the contract is

completed. However, the total penalty sum shall not exceed 10% (ten percent) of the

total contract value. Once the maximum is reached, the Employer may consider

termination of the Contract.

2) To claim the damages (if any), as a result of the delay, from the Contractor.

3) To claim from the Contractor the expenses incurred as a result of the delay and in

supervising the Work during the period of delay until the Contractor delivers the

completed Work, at the rate of THB 3,000 (Baht Three Thousand only) per day.

Should, during the course of penalty, it appears that the Contractor may no longer be able to

complete the Work in accordance with this Contract, the Employer reserves the right to

terminate the contract and take action as stipulated in Clause 23., apart from penalizing the

Contractor until the date the Contract is terminated.

23. In the event of termination of the Contract, the Contractor shall be subjected to the following

actions to be taken by the Employer.

(1) To confiscate the Performance Security as stipulated in Clause 4.2

(2) To claim payment from the Contractor when the Employer has to employ other persons to

complete the work.

(3) To claim the expense of the work supervisors when the Employer has to employ new

work supervisors until the Work is completed.

(4) To claim damages (if any) from the Contractor.

24. Following the termination of the Contract by the Employer, the Contractor agrees that the

ownership of all Work performed by the Contractor and all materials stored at the site

particularly for the Work intended shall transfer to the Employer and the Contractor shall not

demand any payment or claim any damages from the Employer. The Contractor agrees that

the Employer reserves the right to withhold payment due to the Contractor for the Work done

and the withheld payment will serve as a security for the Contractor to fulfill its/his

obligations.

In the event of a new Contractor being employed by the Employer to complete the Work, if it

appears that the amount of the balance payment is not sufficient for the payment to the new

Contractor, the Contractor agrees that the Employer shall deduct the excess amount from the

withheld amount stated in the foregoing paragraph and the Contractor shall be liable for the

deficit.

The Employer shall release to the Contractor any remainder of the remuneration after the

deduction of payment against the penalty and damages.

25. The Contractor agrees to maintain the site in a clean and sanitary condition at all times. On

completion of the Work, the site(s) and the building(s) shall be in a clean condition ready for

the Employer’s utilization.

This Contract is made in duplicate of identical tenor. Both parties understand this Contract thoroughly

and therefore have affixed their signatures and seals (if any) in the presence of witnesses. Each copy is

held by each party.

3. Our offer will be firm for 90 (ninety) days after the e-Auction date. MEA may accept the

offer before the aforementioned date or the extension time with justified

reason upon MEA’s request.

4. In case we are awarded for the contract, we certify to:

4.1 Sign and date the contract as attached with the Invitation to Bid within 30

(thirty) days after receipt of Contract as per Clause 2.36, Section 2.

4.2 Submit the Performance Security at the time of signing the contract as security for the

proper and faithful performance of the Contract. The Performance Security is

equivalent to 10 (ten) percent of the total contract value according to Clause 3.8,

Section 3 of the Invitation to Bid.

If we fail to fulfill any of our obligations under the contract, MEA shall forfeit the Bid

Security without recourse and claim compensation for any damages, if any. MEA reserves

the right to award the contract to the next lowest substantial responsive bidder or re-call

another Invitation to Bid for this product.

5. We accept the conditions that MEA does not bind to this proposal and does not take any

responsibilities for any expenditures incurred.

6. Any other additional information submitted such as samples, catalogues, specifications,

etc. become MEA’s properties.

2. Other Conditions

2.1 Duties of Eligible Bidder

(1) The Eligible Bidder shall come to the designated place on the designated time and

date to quote the price via e-Auction. Not more than 3 (three) representatives of the

bidder are allowed to participate in the auction. The assigned representatives cannot

be changed. The number of representative cannot be added, but some assigned

representatives can be withdrawn for some reason(s).

(2) At the end of e-Auction process, each assigned representative of the Eligible

Bidder who has already registered in the e-Auction shall sign บก. 008 Form

received from the e-Auction Committee in the e-Auction room, then he can go out

of the room.

(3) The Eligible Bidder shall thoroughly peruse the bidding announcement of the

Customer, strictly follow it, study and make a clear understanding of the

e-Auction system and quotation method of the Service Provider as shown in

www.gprocurement.go.th. The Eligible Bidder shall try the quotation testing

program prior to the auction date of this Invitation to Bid on website of the Service

Provider.

2.2 The Forfeiture of Bid Security of the Eligible Bidder

The Customer shall forfeit the Bid Security of the Eligible Bidder at the rate of

2.5% (two point five percent) of the maximum commencing price if he:-

a) withdraws his proposal within the proposal validity.

b) fails to make his presence or authorized presence known at the designated

auction place, on the designated auction time and date.

c) has already registered his participation in the e-Auction, but does not log in the

system.

d) has already logged in the system, but it appears that there is no price quotation or

the quoted price does not comply with MEA’s conditions, e.g. quoting the

price equivalent to or higher than the maximum commencing price or reducing the

File) and report the concluded auction result to the Customer only.

2.5 Service Provider’s Reserved Right

2.5.1 The Eligible Bidder who wants to quote the price at the end of auction shall

submit his best price at least 1 (one) minute before the end of the auction time

in order to spare the time for the data to successfully access server system.

2.5.2 Only the quotation result and the time shown at central database system (Log

File) shall be considered as the evidence of the quotation.

All 3 (three) parties acknowledge, agree unconditionally to conform to all above-mentioned

conditions including any other relevant documents and attachments, and hereunder cause these
