1. PREMESSA
SEWS Cabind S.p.A. (d’ora in avanti,
SEWS) fa parte di un gruppo internazionale
guidato da Sumitomo Electric Industriel
Ltd., con sede legale in Osaka (Giappone)
5-33 Kitahama 4 —Choku, società quotata
alla Borsa di Tokyo, Giappone (d’ora in
avanti, SEI).
SEWS nasce nel 2001 a seguito
dell'acquisizione da parte del gruppo
Sumitomo (SEI e SWS) dell'azienda di una
società preesistente denominata "Cabind
Automotive S.p.A." e delle aziende delle
sue controllate in Polonia e Marocco.
Prima dell'acquisizione, Sumitomo Wiring
Systems Ltd. ("SWS"), società controllata da
SEI, aveva collaborato con Cabind
Automotive S.p.A. per molti anni in base ad
un contratto di licenza di know how relativo
alla produzione di cablaggi per il mercato
automotive.
SEWS progetta e produce cablaggi per le
più svariate applicazioni del settore
automotive, per veicoli commerciali,
automobili, trattori e macchine per il
movimento terra.
In particolare, l'oggetto sociale di SEWS è il

forms part of an international group led by
Sumitomo Electric Industriel Ltd., with
registered office in Osaka (Japan) 5-33
Kitahama 4 — Choku, a company listed on
the Stock Exchange of Tokyo, Japan
(hereafter, SEI).
SEWS was established in 2001 following the
acquisition by the Sumitomo group (SEI and
SWS) of the business of a pre-existing
company known as "Cabind Automotive
S.p.A." and the businesses of its subsidiaries
in Poland and Morocco.
Before the acquisition, Sumitomo Wiring
Systems Ltd. ("SWS"), a company controlled
by SEI, had worked with Cabind
Automotive S.p.A. for many years based
upon a know-how licence contract relating to
the production of wiring for the automotive
market.
SEWS designs and manufactures wiring for
the most varied applications in the
automotive industry, for commercial
vehicles, cars, tractors and earthmoving
machines.
In particular, SEWS's corporate purpose is

Il lavoro quotidiano è basato sui
fondamentali principi di filosofia
giapponese con l'applicazione dei principi
base quali le attività delle cosiddette "6S":
1. «S» Seiri "Mettere in
ordine": separare le cose necessarie
da quelle inutili, sbarazzandosi poi
di quest' ultime.
2. «S» Seiton "Mantenere un
ordine adeguato": determinare i
metodi e la maniera adeguata per
cercare ordine al fine di trovare gli
oggetti necessari quando occorre;
mantenere costantemente la pulizia
sia per questioni d'igiene sia per
non favorire inquinamento.
3. «S» Seiso "Pulire":
eliminare i rifiuti, macchie, corpi
estranei e pulire; "Pulire" significa
anche "Verificare".
4. «S» Seiketsu "Tenere
pulito": mantenere costantemente
la pulizia sia per questioni di igiene
sia per non favorire inquinamenti;
bisogna determinare i metodi e la
maniera adeguata per creare ordine
al fine di trovare gli oggetti
necessari quando occorrono.
5. «S» Shitsuke "Disciplina":
cambiare le proprie abitudini per
potere rispettare le regole stabilite.
6. «S» Shukan "Abitudini":
applicare abitualmente le regole
precedenti perché queste possano
diventare una cosa naturale.

SEWS manages centrally at the site of
Collegno, Turin, the planning phase for mass
production and orders for supplies of spare

SEWS gestisce centralmente presso il sito di
Collegno, Torino, la fase di pianificazione per
la produzione di serie e le commesse per la
fornitura di ricambi, per i lanci produttivi, e
per le costruzioni sperimentali.
Attualmente il network produttivo e logistico
di SEWS si compone di tre siti di produzione
in Marocco (SEWS Cabind Maroc S.A.S.), di
due siti in Polonia (SEWS Cabind Poland Sp.
Zoo.), uno in Albania (SEWS Cabind Albania
SHPK), di un sito di Produzione basato
presso Contec in Mexico e infine di una rete
logistica costituita da una sede centrale e
cinque magazzini in Europa, che gestiscono
direttamente ed in modo interconnesso i flussi
di materiale e di prodotti.
I siti sono in stretta interconnessione tra loro
per garantire risultati in termini di qualità,
performance e costi: tutte le informazioni
vengono scambiate attraverso il supporto di
un unico sistema informativo, implementato
su tutti i siti del Gruppo, che facilita il
supporto del cliente in termini di puntualità e
precisione del servizio, dal sito produttivo al
magazzino decentrato.
Recentemente, l'informazione in tempo reale
sui dati di produzione è stata estesa anche ai
processi intermedi di fabbricazione e non solo
al prodotto realizzato mentre i progetti di
integrazione della catena del valore si
sviluppano sempre più anche verso i fornitori.
Nell’ottica di costante miglioramento, SEWS
ha ottenuto nel tempo le seguenti
certificazioni:
– ISO 9001, emblematica del percorso
parts, for product launches, and for
experimental constructions.
Currently, SEWS's manufacturing and
logistics network is made up of three
production sites in Morocco (SEWS Cabind
Maroc S.A.S.), two sites in Poland (SEWS
Cabind Poland Sp. Zoo.), one in Albania
(SEWS Cabind Albania SHPK), one
production site based at Contec in Mexico
and, finally, a logistics network constituted by
a central office and five warehouses in
Europe, which manage directly and in an
interconnected manner flows of materials and
products.
The sites are closely interconnected so as to
guarantee results in terms of quality,
performance and costs: all information is
exchanged with the support of a single
information system, implemented across all
Group sites, facilitating customer support in
terms of promptness and precision of the
service, from the production site to the
decentralised warehouse.
Recently, the real-time information on
production data has also been extended to the
intermediate manufacturing processes and not
just to the product created, while the
integration projects of the value chain are
increasingly also developed towards suppliers.
With a view to constant improvement, SEWS
has obtained over time the following
certifications:
– ISO 9001, emblematic of the
improvement path of the production
standards and customer satisfaction;

produttivi e di soddisfazione del

– IAFT 16949, la quale definisce i
requisiti del sistema di gestione per la
qualità per la progettazione e
sviluppo, produzione e, quando
pertinente, per l'installazione ed
assistenza dei prodotti relativi al
settore automobilistico;
– ISO 14001, attestante il
raggiungimento ed il mantenimento di
elevati livelli qualitativi e funzionali
relativi al sistema di gestione
ambientale;
– ISO 45001:2018, fondamentale per un
maggior controllo degli adempimenti
in materia di sicurezza, al fine di
garantire i lavoratori e tutti i soggetti
terzi in ottica di salute e sicurezza.
SEWS, inoltre, nello svolgere le proprie
attività, applica, rispetta ed esorta al rispetto
dei principi etico-comportamentali espressi
nel Codice di Condotta Sumitomo Electric
Industries.
Tutte le procedure previste dal presente
MOG231 si aggiungono a quelle già adottate
da SEWS, in conformità alle norme UNI EN
ISO 9001:2008, IAFT 16949:2016,
14001:2004 e ISO 45001:2018.
– IAFT 16949, which defines the

assistance with products relating to the
automobile sector;
– ISO 14001, certifying the achievement
and maintenance of high quality and
functional levels relating to the
environment management system;
– ISO 45001:2018, fundamental for
better control of safety requirements,
in order to guarantee workers and all
third parties with a view to achieving
excellent health and safety.
SEWS, in addition, in carrying out its
activities, applies, respects and demands
respect of the ethical-behavioural principles
expressed in the Sumitomo Electric Industries
Code of Conduct.
All procedures envisaged in this 230 OMM
add to those already adopted by SEWS, in
conformity with standards UNI EN ISO
9001:2008, IAFT 16949:2016, 14001:2004
and ISO 45001:2018.

Dopo lunga gestazione internazionale, con il
D.lgs. 08.06.2001 n. 231 entra in vigore una
normativa di grande attualità ed importanza
che introduce per la prima volta
nell’ordinamento italiano la responsabilità
“amministrativa” degli enti, delle società e
delle associazioni anche prive di personalità
giuridica.
A) Qual è il fondamento di tale
responsabilità?
La società risponde per “i reati” commessi
nel suo interesse “o” a suo vantaggio:
1) dalle persone che hanno la legale
rappresentanza, amministratori,
direttori della società, ovvero, laddove
ci siano più sedi, direttori della unità
organizzativa dotata di autonomia
finanziaria e funzionale;
2) dagli amministratori di fatto;
3) dalle persone sottoposte alla
direzione o alla vigilanza di uno dei
soggetti di cui ai nn. 1) e 2).
Tale responsabilità è, al contrario, esclusa
quando il reato sia stato posto in essere
nell’esclusivo interesse dell’agente.
Ogni volta che il Pubblico Ministero
2. THE REGULATORY BASIS
OF THE ORGANISATION
AND MANAGEMENT
MODEL: ITALIAN
LEGISLATIVE DECREE
231/01
After a lengthy international gestation, with
Italian Legislative Decree no. 231 dated
08.06.2001, a very current and important
regulation enters into force which introduces
for the first time into the Italian legal system
“corporate liability” for entities, companies
and associations even without legal
personality.
A) What is the basis of that liability?
The company is liable for “crimes” committed
in its interest “or” to its benefit:
1) by persons holding legal
representation, directors, managers of
the company or, if there are several
offices, managers of an organisational
unit equipped with financial and
functional autonomy;
2) by the de facto directors;
3) by persons subject to management
or supervision of one of the persons
indicated in numbers 1) and 2).
Conversely, that liability is excluded if the
crime was committed in the agent's exclusive
interest.
Every time a crime is reported to the Public
Prosecutor and a person is added to the

acquisisce la notizia di reato ed iscrive nel
registro degli indagati una persona – ad es.
l’amministratore di una società che ha pagato
una tangente per aggiudicarsi l’appalto
nell’interesse della società –
contemporaneamente iscrive in altro
(specifico) registro anche la società
“investigata” e procede all’accertamento
degli illeciti (penale ed amministrativo)
simultaneamente a carico di entrambi i
soggetti inquisiti (quello fisico e quello
giuridico).
Sia la “persona fisica” che la “società”
dovranno nominare un difensore, e saranno
loro garantiti gli stessi diritti e le stesse
facoltà e si seguiranno le normali regole
processuali penali nel corso dell’indagine
preliminare, dell’udienza preliminare, durante
il dibattimento in tribunale ed eventualmente
nel processo d’appello.
In capo alla società grava dunque un titolo di
responsabilità autonomo ancorché esso
necessiti di un reato-presupposto posto in
essere dai soggetti che vivono con la stessa
un rapporto organico o dipendente.
Come può la società andare esonerata da
responsabilità “amministrativa” per il fatto
reato posto in essere dall’amministratore
(anche di fatto) e/o dal dipendente?
La società (nell’interesse o a vantaggio della
quale è stato realizzato il reato) che non ha
adottato un proprio “modello di
organizzazione e gestione” secondo quanto
prescritto dal D.lgs. cit. prima della
commissione del fatto reato non potrà mai
andare esonerata da responsabilità. Opera in
tali casi un regime di presunzione di
colpevolezza “iuris et de iure”, cioè assoluta.

same time, it also records, in another
(specific) register, the “investigated” company
and assesses the offences (criminal or
administrative) simultaneously against both
investigated entities (natural person and legal
person).
Both the “natural person” and the “company”
must appoint a defence lawyer, and they will
be guaranteed the same rights and faculties
and will follow normal criminal procedure
during the preliminary investigation, the
preliminary hearing, during the trial in court
and in any appeal case.
The company is, therefore, subject to
autonomous liability although this requires a
predicate offence to be committed by persons
who enjoy in the same an organic or
dependent relationship.
How can the company be exonerated from
“corporate liability” for the crime committed
by the director (even de facto) and/or by the
employee?
The company (in the interest or to the benefit
of which the crime was committed) which has
not adopted an “organisation and management
model” in accordance with the requirements
of the cited Legislative Decree before the
commission of the crime can never be
exonerated from liability. In those cases, a
regime of “iuris et de iure” presumed
culpability applies, that is, absolute.
At most, it can mitigate its liability (and be

Essa potrà al più attenuare la propria
responsabilità (e sarà ammessa al
patteggiamento) solo adottando prima
dell’apertura del dibattimento un idoneo
modello di organizzazione e gestione in grado
di prevenire la commissione di reati della
specie di quello che si è realizzato, risarcendo
integralmente il danno cagionato dal reato e
mettendo a disposizione (per la confisca) il
profitto realizzato dal reato.
La società non risponde invece se prova che:
a) l’organo dirigente ha adottato ed
efficacemente attuato, prima della
commissione del fatto, modelli di
organizzazione e di gestione idonei a
prevenire reati della specie di quello
verificatosi;
b) il compito di vigilare sul
funzionamento e l’osservanza dei
modelli e di curare il loro
aggiornamento è stato affidato a un
organismo dell’ente dotato di
autonomi poteri di iniziativa e di
controllo, l’Organismo di Vigilanza
(d’ora in avanti, OdV);
c) non vi è stata omessa o insufficiente
vigilanza da parte dell’organismo di
cui alla lettera b);
d) le persone di cui all’art. 5 lett. A)
(organi apicali) hanno commesso il
reato eludendo fraudolentemente i
modelli di organizzazione e di
gestione;
e) la commissione del reato (da parte dei
soggetti di cui all’art. 5 lett. b) non è
stata resa possibile dalla inosservanza
degli obblighi di direzione o
vigilanza.

The company is not liable, on the other hand,
if it proves that:
a) the management body adopted and
effectively implemented, before the
commission of the act, organisation
and management models suitable to
prevent crimes of the nature of that
which occurred;
b) the duty of overseeing the functioning
and respect of the models and dealing
with their update was entrusted to a
company body equipped with
autonomous powers of initiative and
control, the Supervisory Body
(hereafter, SB);
c) there was no omitted or insufficient
supervision by the body indicated in
letter b);
d) the persons indicated in Art. 5 letter A)
(senior bodies) committed the crime
by fraudulently evading the
organisation and management models;
e) the commission of the crime (by the
persons indicated in Art. 5 letter b)
was not made possible by any breach
of the management or supervision
obligations.

Nel caso in cui la società sia interessata da
vicende modificative (trasformazione,
fusione, scissione e cessione), con riguardo ai
reati commessi in epoca antecedente al
perfezionamento di tali vicende, il D.lgs.
prevede il trasferimento della responsabilità
dall’ente originario a quello risultante in
seguito alle vicende menzionate.
B) I modelli di organizzazione e di
gestione
Il D.lgs. non definisce specificamente come
deve essere costituito un modello di
organizzazione e gestione, ma prevede che lo
stesso debba rispondere alle seguenti
esigenze:
- individuare le attività nel cui ambito
possono essere commessi reati;
- prevedere specifici protocolli diretti a
programmare la formazione e
l'attuazione delle decisioni dell'ente in
relazione ai reati da prevenire;
- individuare modalità di gestione delle
risorse finanziarie idonee ad impedire
la commissione dei reati;
- prevedere obblighi di informazione
nei confronti dell'Organismo deputato
a vigilare sul funzionamento e
l'osservanza dei modelli (l’OdV);
- prevedere uno o più canali che
consentano di presentare, a tutela
dell’integrità dell’ente, segnalazioni
circostanziate di condotte illecite,
rilevanti ai fini del D.lgs. e fondate su
elementi di fatto precisi e concordanti,
o di violazioni del modello di
organizzazione e gestione di cui siano

B) Organisation and management
models
The Legislative Decree does not specifically
define how an organisation and management
model must be constituted, but it states that
the same must meet the following
requirements:
- identify the activities within which
crimes may be committed;
- envisage specific protocols aimed at
planning the formation and
implementation of the company's
decisions in relation to the crimes to be
prevented;
- identify management methods of
financial resources suitable to prevent
the commission of the crimes;
- envisage reporting obligations towards
the Body in charge of overseeing the
functioning and respect of the models
(the SB);
- envisage one or more channels
facilitating the submission, to protect
the company's integrity, of detailed
reports of unlawful conduct, relevant
for the purposes of the Legislative
Decree and based upon precise and
concordant factual elements, or

venuti a conoscenza in ragione delle
funzioni svolte, garantendo la
riservatezza dell’identità del
segnalante nelle attività di gestione
della segnalazione;
- prevedere almeno un canale
alternativo di segnalazione idoneo a
garantire, con modalità informatiche,
la riservatezza dell'identità del
segnalante;
- prevedere il divieto di atti di ritorsione
o discriminatori, diretti o indiretti, nei
confronti del segnalante per motivi
collegati, direttamente o
indirettamente alla segnalazione;
- introdurre un sistema disciplinare
idoneo a sanzionare il mancato
rispetto delle misure indicate nel
modello, chi viola le misure di tutela
del segnalante, nonché chi effettua
con dolo o colpa grave segnalazioni
che si rivelano infondate.
L’assenza di un dettato normativo puntuale
non può che valorizzare il ruolo (di
supplenza) esercitato dalla Giurisprudenza, i
cui orientamenti non possono essere ignorati,
a maggior ragione, posto che il vaglio di
idoneità del modello di organizzazione e
gestione è a questa rimesso.
Proprio dalle indicazioni della
Giurisprudenza si è tratto il cosiddetto
“decalogo 231” che contiene le ragioni in
base alle quali un Modello viene considerato
inidoneo offrendo, così ed a contrario, un
elenco di criteri in base ai quali un Modello
può dirsi idoneo, ovverosia deve:
I. essere adottato partendo da una
mappatura dei rischi di reato

- envisage at least one alternative
reporting channel suitable to
guarantee, by electronic methods, the
confidentiality of the whistleblower's
identity;
- lay down a prohibition on acts of
retaliation or discrimination, direct or
indirect, against the whistleblower for
reasons connected, directly or
indirectly, to the report;
- introduce a disciplinary system
suitable to sanction the lack of respect
of the measures indicated in the model,
those who violate the measures of
protection of the whistleblower, as
well as those who make, with wilful
intent or gross negligence, reports
found to be groundless.
The absence of a precise regulatory rule only
increases the value of the (substitute) role
played by Jurisprudence, whose guidance
cannot be ignored, particularly as the opinion
on the suitability of the organisation and
management model is deferred to it.
The so-called “231 Ten Rules” have been
drawn up precisely from the indications of
Jurisprudence, containing the reasons based
upon which a Model is considered unsuitable,
and offering, on the contrary, a list of criteria
based upon which a Model can be said to be
suitable, namely, it must:

specifica ed esaustiva e non
meramente ripetitiva del dato
normativo;
II. prevedere che i componenti
dell’OdV posseggano specifiche
capacità in tema di attività
consulenziale;
III. prevedere quale causa di
ineleggibilità a componente
dell’OdV la sentenza di condanna
o patteggiamento anche non
irrevocabile;
IV. differenziare tra attività rivolta ai
dipendenti nella loro generalità, ai
dipendenti che operino in
specifiche aree di rischio, all’OdV
ed al preposto al controllo interno;
V. prevedere i contenuti dei corsi di
formazione, la loro frequenza,
obbligatorietà della partecipazione
ai corsi, controlli di frequenza;
VI. prevedere espressamente la
comminazione di sanzioni
disciplinari;
VII. prevedere sistematiche procedure
di ricerca ed identificazione dei
rischi quando sussistano
circostanze particolari;
VIII. prevedere controlli di routine e
controlli a sorpresa – comunque
periodici – nei confronti delle
attività aziendali sensibili;
IX. prevedere e disciplinare un
obbligo per i dipendenti, i
direttori, gli amministratori di
società, di riferire all’OdV notizie
rilevanti e relative alla vita
dell’ente, a violazioni del Modello

aimed at employees in general, at
employees that operate in specific
risk areas, at the SB, and at those
in charge of internal control;
V. identify the contents of training
courses, their attendance, the
mandatory nature of course
attendance, attendance checks;
VI. expressly envisage the application
of disciplinary sanctions;
VII. lay down systematic procedures of
search and identification of risks
when particular circumstances are
in place;
VIII. envisage routine checks and
surprise checks - in any case,
periodic - in relation to sensitive
company activities;
IX. envisage and regulate an obligation
for employees, managers, and
directors of the company to report
to the SB relevant information
relating to the life of the company,
to violations of the model or to the
commission of crimes. In
particular, concrete indications

o alla consumazione dei reati. In
particolare deve fornire concrete
indicazioni sulle modalità
attraverso le quali coloro che
vengano a conoscenza di
comportamenti illeciti possono
riferire all’OdV;
X. contenere protocolli e procedure
specifici e concreti.
C) Le sanzioni
Quelle previste per gli illeciti amministrativi
derivanti da reato in capo alla società si
distinguono in:
a) sanzioni pecuniarie (art. 10) che si
calcolano per quote aventi valore
unitario da 258 € e 1.549 € ed
irrogabili in numero minimo e
massimo da 100 a 1000 (dunque una
sanzione da 25.822,00 € a
1.549.871,00 €);
b) sanzioni interdittive (artt. 13 e segg.)
quali:
i. l’interdizione dall’esercizio
dell’attività,
ii. la sospensione o la revoca delle
autorizzazioni, licenze o
concessioni funzionali alla
commissione dell’illecito;
iii. il divieto di contrattare con la
Pubblica Amministrazione;
iv. l’esclusione da agevolazioni,
finanziamenti, contributi,
nonché l’eventuale revoca di
quelli già concessi;
v. il divieto di pubblicizzare beni o
servizi;
vi. tali sanzioni, laddove ne

C) The sanctions
The sanctions envisaged for administrative
offences deriving from crime are split into:
a) pecuniary sanctions (Art. 10) which
are calculated by shares having a
unitary value from €258 and €1,549
and which can be applied in a
minimum and maximum number from
100 to 1000 (thus, a sanction from
€25,822.00 to €1,549,871.00);
b) disqualification sanctions (Articles 13
et seq.) such as:
i. disqualification from running the
business,
ii. suspension or revocation of
authorisations, licences or
concessions functional to the
commission of the crime;
iii. the prohibition on contracting
with the Public Administration;
iv. the exclusion from subsidies,
loans, and contributions, as well
as the possible revocation of
those already granted;
v. the prohibition on marketing
goods or services;
vi. those sanctions, if the
presuppositions are in place,

ricorrano i presupposti, possono
anche essere applicate a titolo
cautelare ovverosia in corso di
processo, oltre che a titolo
definitivo;
c) confisca (art. 19): con la sentenza di
condanna (e comunque per addivenire
ad un patteggiamento della pena) il
giudice dispone sempre la confisca
del prezzo o del profitto del reato
salvo che per la parte che può essere
restituita al danneggiato (alla P.A. ad
es. che si costituisce parte civile nei
confronti della persona fisica e
dell’ente);
d) la pubblicazione della sentenza (art.
18) che potrebbe anche non
comportare un significativo esborso
economico, ma costituisce
sicuramente presupposto di un ingente
danno d’immagine.
Preme sottolineare, per la sua concreta
rilevanza pratica, che le misure interdittive
(e/o quelle alternative del commissariamento
giudiziale che si applica laddove la
interdizione comporti interruzione
dell’attività dell’ente tale da provocare un
grave pregiudizio alla collettività) possono
essere evitate solo se l’ente prima della
dichiarazione di apertura del dibattimento ha:
1. risarcito integralmente il danno,
2. adottato ed attuato il proprio Modello
di Organizzazione e Gestione idoneo
a prevenire reati della specie di quello
verificatosi;
3. messo a disposizione il profitto
conseguito dalla commissione del
reato al fine della confisca.
may also be applied by way of

well as on a final basis;
c) confiscation (Art. 19): with the
conviction ruling (and in any case to
obtain a plea bargain) the judge always
orders the confiscation of the price or
profit of the crime, subject to the part
that can be returned to the injured
party (to the P.A., for example,
appearing as civil party against the
natural person or company);
d) the publication of the ruling (Art. 18)
which may not even involve a
significant economic outlay but which
definitely constitutes a cause of
significant damage to image.
It is worth emphasising, for its concrete
practical relevance, that the disqualification
measures (and/or the alternative measures of
the judicial commissioner which apply where
the disqualification involves the interruption
of the company's activity causing serious
prejudice to the community) may be avoided
only if the company before the declaration of
the start of the trial has:
1. fully compensated the damage,
2. adopted and implemented its
Organisation Model suitable to prevent
crimes of the nature that occurred;
3. made available the profit earned from
the commission of the crime for the
purposes of the confiscation.
Those 3 conditions must all be in place!

D) Quali sono i reati presupposto?
Dal 2001, data di entrata in vigore del D.lgs.
cit., ad oggi una serie di provvedimenti
legislativi integrativi hanno di molto ampliato
il catalogo dei reati c.d. “sensibili” (cioè
esclusivamente quelli tassativamente
indicati).
Essi sono dettagliatamente elencati nella
parte speciale del presente Modello di
Organizzazione e Gestione (d’ora in avanti,
MOG231).
D) What are the predicate crimes?
Since 2001, the date of entry into force of the
cited Legislative Decree, to today, a series of
supplementary legislative measures have
greatly expanded the catalogue of so-called
“sensitive” crimes (namely exclusively those
strictly indicated).
They are listed in detail in the special part of
this Organisation and Management Model
(hereafter, 231 OMM).

3.1 APPROCCIO
METODOLOGICO
Ai fini della redazione ed implementazione
del MOG231, l’approccio metodologico
adottato ha previsto le seguenti fasi:
- esame e studio dell’assetto
organizzativo aziendale, a mezzo
dell’acquisizione della
documentazione di riferimento
(organigrammi, visura, mansionari,
procedure interne, policy interne,
etc.);
- esame e studio della
procedimentalizzazione delle attività,
a mezzo dell’acquisizione della
documentazione relativa agli attuali
sistemi di gestione;
- esame e studio delle attività di fatto
svolte dalla Società mediante audit
presso l’azienda;
- redazione del Codice di Condotta
Sumitomo Electric Industries e
relativa modulistica e loro
implementazione in sede di revisione;
- redazione della parte generale del
MOG231, contenente i meccanismi di
funzionamento dell’attività formativa
ed informativa, dell’attività dell’OdV,
del sistema disciplinare e sua
implementazione in sede di revisione;
- redazione della parte speciale del
MOG231, contenente la mappatura
3. STRUCTURE AND
COMPOSITION OF THIS
MODEL
3.1 METHODOLOGICAL APPROACH
For the purposes of drafting and implementing
the 231 OMM, the methodological approach
adopted involved the following phases:
- examination and study of the company
organisation structure, by acquiring
relevant documentation (organisation
charts, company search, job lists,
internal procedures, internal policies,
etc.);
- examination and study of the
procedures for activities, by acquiring
documentation on the current
management systems;
- examination and study of the actual
activities performed by the Company
by means of audits at the company;
- drafting of the Sumitomo Electric
Industries Code of Conduct and
respective forms and their
implementation during the review;
- drafting of the general part of the 231
OMM, containing the mechanisms of
functioning of the training and
information activities, the activity of
the SB, the disciplinary system and its
implementation during the review;
- drafting of the special part of the 231
OMM, containing the mapping of the
crimes, the analysis of the processes at
risk, the identification of the respective
prevention protocols and its

dei reati, l’analisi dei processi a
rischio, l’individuazione dei relativi
protocolli di prevenzione e sua
implementazione in sede di revisione;
- redazione dei protocolli di
prevenzione, interfacciati con le
procedure aziendali esistenti,
implementati per le finalità tipiche del
sistema di cui al d.lgs. 231/01 e loro
implementazione in sede di revisione;
- presentazione del MOG231 e verifica
della sua compatibilità aziendale e
presentazione della revisione del
MOG231;
- approvazione formale del MOG231 e
delle successive revisioni e nomina
formale dell’OdV.
Nella redazione del MOG231 si è tenuto
conto delle Linee Guida emanate da
Confindustria per la redazione dei modelli di
organizzazione, gestione e controllo ex d.lgs.
231/01, nell’ultima versione approvata il 31
luglio 2014 e dichiarata idonea dal Ministero
della Giustizia al raggiungimento dello scopo
fissato dall'art. 6, comma 3, del Decreto
stesso.
Il presente MOG231, pertanto, è costituito da
una parte generale e da una parte speciale.
La parte generale è composta da una parte
introduttiva, concernente la società, le
esigenze ex d.lgs. 231/01, la struttura del
MOG231, il Codice di Condotta Sumitomo
Electric Industries (in appendice), le regole di
formazione ed informazione con riferimento
al Codice di Condotta Sumitomo Electric
Industries ed al MOG231, le regole di
funzionamento dell’OdV, il sistema

In preparing the 231 OMM, consideration was
given to the Guidelines issued by
Confindustria for the preparation of
organisation, management and control models
pursuant to Italian Legislative Decree 231/01,
in the latest version approved on 31 July 2014
and declared suitable by the Ministry of
Justice to achieve the purpose established by
Art. 6, paragraph 3 of the Decree itself.
This 231 OMM, therefore, is made up of a
general part and a special part.
The general part consists of an introduction,
concerning the company, the requirements
pursuant to Italian Legislative Decree 231/01,
the structure of the 231 OMM, the Sumitomo
Electric Industries Code of Conduct
(attached), the rules of training and
information with reference to the Sumitomo
Electric Industries Code of Conduct and to the
231 OMM, the rules of functioning of the SB,

La SEWS è dotata di documentazione
gestionale complementare che costituisce
parte integrante del presente MOG231 e che
viene richiamata per le parti di competenza;
in particolare, ci si riferisce alle procedure già
adottate da SEWS, in conformità alle norme
UNI EN ISO 9001:2008, IAFT 16949:2016,
14001:2004 e ISO 45001:2018.
3.2 SISTEMA DI GOVERNANCE
AZIENDALE
La costruzione del presente MOG231 prende,
quindi, le mosse dall’analisi dell’assetto
organizzativo, amministrativo e contabile
(governance organizzativa) dell’ente
costituito dal sistema di deleghe interne,
procedure ed istruzioni operative, nonché dei
protocolli di controllo già esistenti ed
operativi.
In particolare, ai sensi dell’art. 2381 c.c. 5°
comma, compete al CdA ovvero agli organi
delegati, nei limiti dei poteri conferiti, curare
l’adeguatezza dell’assetto
organizzativo/contabile in relazione alla
natura e dimensione dell’impresa, mentre

3.2 CORPORATE GOVERNANCE
SYSTEM
The construction of this 231 OMM is
therefore based upon the analysis of the
organisational, administrative and accounting
structure (organisational governance) of the
company constituted by the system of internal
delegations, procedures and operating
instructions, as well as the protocols of control
already existing and operational.
In particular, in accordance with Art. 2381 of
the Italian Civil Code, 5th paragraph, the BoD
or the delegated bodies, within the limits of
the powers granted, ensure the adequacy of
the organisational/accounting structure in

Il CdA adempie al suo dovere/potere di
curare l’adeguatezza organizzativa,
conformemente alla missione aziendale,
attraverso la definizione e il controllo della
struttura operativa, delle missioni, dei ruoli e
delle responsabilità attribuite mediante un
sistema di procure e deleghe interne o esterne
tali da garantire l’efficacia aziendale, nel
rispetto della normativa di riferimento.
Il Collegio Sindacale, oltre al monitoraggio
del rispetto della legge, dello statuto e dei
principi di corretta amministrazione - attuato
mediante l’adozione di specifici programmi
di verifica della conformità a norme,
regolamenti e procedure - vigila
sull’adeguatezza organizzativa e sul suo
concreto funzionamento, avuto riguardo alle
dimensioni organizzative proprie del suo
funzionamento, quali gli indicatori di
efficacia, il controllo di gestione ed il
controllo budgetario, la gestione dei rischi
operativi e la sicurezza informatica.
3.3 SISTEMA DI POTERI,

L’ente si è dotato di un articolato sistema di
poteri, deleghe e procure.
Tale sistema è predisposto al fine di creare:

Il Codice di Condotta Sumitomo Electric
Industries costituisce l’insieme dei principi
etico-comportamentali che ispirano l’attività
tutta di SEWS.
Il Codice di Condotta Sumitomo Electric
Industries (appendice 1.1) deve pertanto
essere conosciuto da parte di tutte le funzioni
aziendali (apicali e sottoposte, d’ora in avanti
Destinatari), e da parte di tutti coloro che, a
qualunque titolo, intrattengono rapporti non
occasionali con SEWS stessa (a titolo
esemplificativo, ma non esaustivo, fornitori,
distributori, agenti, consulenti, Pubbliche
Amministrazioni, etc.; d’ora in avanti Terzi).
A tal fine SEWS:

Destinatari, che sottoscrivono per

4. TRAINING AND
INFORMATION
4.1 THE SUMITOMO ELECTRIC
INDUSTRIES CODE OF CONDUCT
AND ITS DISSEMINATION
The Sumitomo Electric Industries Code of
Conduct constitutes the set of ethical-
behavioural principles that inspire all the
activities of SEWS.
The Sumitomo Electric Industries Code of
Conduct (Appendix 1.1) must therefore be
known by all company functions (senior and
subordinate, hereafter, Recipients), and by all
those who, in any capacity, hold non-
occasional relationships with SEWS itself (by
way of example but without limitation,
suppliers, distributors, agents, consultants,
Public Administrations, etc.; hereafter, Third
Parties).
To that end, SEWS:
- delivers the Sumitomo Electric
Industries Code of Conduct to all
Recipients, who sign the specific form
for receipt (form 1.1);
- publishes the Sumitomo Electric
Industries Code of Conduct on the
SEWS internet website (www.sews-
cabind.com)
- makes available on the company
notice board the Sumitomo Electric
Industries Code of Conduct;

4.2 FORMAZIONE ED
INFORMAZIONE DEI
DESTINATARI
Tutti i Destinatari devono essere formati ed
informati in merito al d.lgs. 231/01,
all’adozione del conseguente MOG231 da
parte di SEWS ed a tutto ciò che questo
comporta.
SEWS cura ed organizza la tenuta di corsi di
formazione ed informazione - anche tramite
piattaforma e-learning - ai soggetti di seguito
indicati, incaricando all’uopo personale
esterno qualificato.
I Destinatari vanno formati al momento della
loro assunzione o comunque entro sei mesi
dalla stessa; ogni ventiquattro mesi, ovvero in
caso di cambiamento di mansioni che incida
su comportamenti rilevanti ai fini del MOG
231 occorre sottoporre tutti i Destinatari ai
corsi di aggiornamento. Il cambiamento di
mansioni deve essere comunicato
tempestivamente al personale esterno che

The lack of dissemination of the Sumitomo
Electric Industries Code of Conduct involves a

4.2 TRAINING AND
INFORMATION OF RECIPIENTS
All Recipients must be trained and informed
on Italian Legislative Decree 231/01, on the
adoption of the consequent 231 OMM by
SEWS, and on everything that this entails.
SEWS deals with and organises the holding of
training and information courses - even via the
e-learning platform - to the persons indicated
below, instructing for that purpose external
qualified personnel.
The Recipients are trained upon recruitment or
in any case within six months from the same;
every twenty-four months, or in the event of a
change of duties that affects the behaviours
significant for the purposes of the 231 OMM,
all Recipients must attend update courses. The
change of duties must be promptly
communicated to the external personnel who
organise the courses.
Therefore, separate methods for holding the
courses are identified, differentiated based

Tutti i destinatari del corso (ad eccezione
degli organi apicali e degli organi di
controllo, essendo la formazione loro
riservata di livello differente rispetto agli altri
destinatari) sono tenuti a sottoporsi a test
nominativo di verifica di apprendimento
(modulo 1.2), composto da quesiti a risposta
alternativa sugli argomenti esposti; una
percentuale di errore superiore al 50%
impegna il verificato ad una successiva
formazione, non valevole come
aggiornamento obbligatorio.
Al termine di ogni lezione (ad eccezione dei
corsi erogati in e-learning) tutti i partecipanti
sono tenuti a firmare un foglio presenze
(modulo 1.3).
L’omessa organizzazione e/o partecipazione
non giustificata ai corsi di formazione ed
informazione, comporta violazione del
presente MOG231 e conseguente attivazione
del sistema disciplinare.
4.3 DIFFUSIONE DELLA
DOCUMENTAZIONE EX
D.LGS. 231/2001
SEWS provvede a che tutti i Destinatari
ricevano copia (in formato cartaceo ovvero
telematico) dei documenti ex D.lgs.
231/2001.
A tal fine a ciascun Destinatario vengono
consegnati (oltre alla copia del Codice di

Decree 231/2001.
To that end, each Recipient is provided with

viene a conoscenza dei contenuti dei
protocolli di prevenzione da osservare al fine
di prevenire la commissione dei reati rilevanti
ex D.lgs. 231/2001, astrattamente
commissibili in ragione della posizione e
dell’attività svolta.
La consegna di tale documentazione e la sua
presa visione e accettazione viene sancita
dalla firma del Modulo di Accettazione
(modulo 1.1).

5. STATUTO
DELL’ORGANISMO DI
VIGILANZA
5.1 SEZIONE I – FORMAZIONE E
COMPOSIZIONE
Art. 1 - Nomina
L’OdV ai sensi dell’art. 6 lett. B) D.l.gs.
231/01 è nominato dal Consiglio di
Amministrazione su parere conforme del
Collegio Sindacale.
Art. 2 - Composizione
L’OdV è composto da tre componenti dotati
di documentata professionalità e di
preparazione e competenza specifiche ed
adeguate come da curriculum vitae agli atti
societari.
Dei tre membri, uno è esterno e riveste le
funzioni di Presidente, gli altri due sono
interni alla società (membri effettivi).
Art. 3 – Cause di ineleggibilità e decadenza
Non può essere nominato componente
dell’OdV – e se nominato decade dal proprio
ufficio:
- l’interdetto;
- l’inabilitato;
- il fallito;
- chi è stato condannato (anche in primo
grado e financo ex art. 444 c.p.p.) anche
se a pena condizionalmente sospesa,
salvi gli effetti della riabilitazione,

5.1 SECTION I – FORMATION AND
COMPOSITION
Art. 1 - Appointment
The SB, in accordance with Art. 6 letter B) of
Italian Legislative Decree no. 231/01 is
appointed by the Board of Directors with the
consent of the Board of Statutory Auditors.
Art. 2 - Composition
The SB consists of three members equipped
with documented professionalism and training
and specific and adequate expertise in
accordance with the curriculum vitae kept
with the company records.
Of the three members, one is external and
holds the role of Chairman, the other two are
internal to the company (effective members).
Art. 3 – Causes of ineligibility and
forfeiture
The following may not be appointed as a
member of the SB and, if appointed, they
forfeit the role:
- disqualified persons;
- incapacitated persons;
- bankrupt persons;
- those who have been convicted (even at
first instance pursuant to Art. 444 of the
Italian Code of Criminal Procedure),
even if with a conditional sentence,

dell’OdV, coloro che sono legati alla
società (o ad altra società del gruppo)
da altri rapporti patrimoniali, rispetto
al rapporto di lavoro subordinato, che
ne compromettono l’indipendenza;
- per quanto concerne il membro
esterno dell’OdV, chi è legato alla
società (o ad altra società del gruppo)
da altri rapporti patrimoniali che ne
compromettono l’indipendenza;
- chi intrattiene, direttamente o
indirettamente, rapporti che possano
configurarsi in conflitto d’interesse
con l’Ente, tali da condizionarne
l’autonomia di giudizio;
- chi ha svolto, nei tre esercizi
precedenti l’attribuzione dell’incarico,
funzioni di amministrazione,
direzione o controllo in imprese
sottoposte a fallimento, liquidazione
coatta amministrativa o procedure
equiparate;
- chi è stato membro di Organismi di
Vigilanza in seno a società nei cui
confronti siano state applicate le
sanzioni previste dall’art. 9 D.Lgs.
Art. 10, paragraph 3 of Italian Law

relationships that may constitute a
conflict of interest with the Body,
affecting its autonomy of judgment;
- those who have performed, in the three
financial years prior to the assignment,
functions of administration,
management or control in enterprises
subject to bankruptcy, compulsory
liquidation or equivalent procedures;
- those who have been a member of
Supervisory Bodies within companies

Determina altresì decadenza, la mancata
partecipazione del componente dell’OdV a
più di due consecutive verifiche di controllo
periodico in assenza di giustificato motivo.
Art. 4 – Durata dell’incarico
Ciascun componente dell’OdV resta in carica
per tre anni solari a decorrere dalla nomina;
detta carica può essere rinnovata una sola
volta per pari periodo.
Art. 5 – Revoca
Ciascun componente dell’OdV può essere
revocato solo per giusta causa dal Consiglio
di Amministrazione previo parere conforme
del Collegio Sindacale. Contestualmente si
provvede alla nomina del nuovo componente
ai sensi dell’art. 1.
Art. 6 – Cessazione dall’incarico e
sostituzione
Ciascun componente dell’OdV può cessare
dal proprio incarico dando preavviso al
Consiglio di Amministrazione di almeno due
mesi.
Il Consiglio di Amministrazione, ricevute le
dimissioni del componente dell’OdV,
provvede tempestivamente alla nomina del
nuovo OdV ai sensi dell’art. 1.
Il Consiglio di Amministrazione provvede
allo stesso modo nel caso di morte o

5.2 SEZIONE II – DOVERI E
POTERI DELL’ODV
Art. 8 – Doveri
L’OdV deve:
- vigilare sul funzionamento e
sull’osservanza del MOG231 e del
Codice di Condotta Sumitomo
Electric Industries;
- curare l’aggiornamento del MOG231
ed il suo adeguamento rispetto alle
inefficienze eventualmente riscontrate
e agli eventuali mutamenti aziendali
intervenuti nell’organizzazione o
nell’attività dell’ente;
- vigilare sull’attività di diffusione e
sull’attività di formazione ed
informazione relative al Codice di
Condotta Sumitomo Electric
Industries e al MOG231;
- riferire al Consiglio di
Amministrazione sul mancato
funzionamento e sull’inosservanza del
MOG231;
- riferire alle competenti autorità
aziendali il mancato rispetto delle
misure indicate nel MOG231 da parte
dei destinatari dipendenti dalla
società, al fine dell’applicazione delle
rispettive sanzioni;

At the appointment of the member of the SB,

accordance with the opinion of the Board of

5.2 SECTION II – DUTIES AND
POWERS OF THE SB
Art. 8 – Duties
The SB must:
- oversee the functioning and respect of
the 231 OMM and the Sumitomo
Electric Industries Code of Conduct;
- update the 231 OMM and adjust it
with respect to any inefficiencies
ascertained and any company changes
occurring in the organisation or
activity of the entity;
- oversee the dissemination, training and
information activity on the Sumitomo
Electric Industries Code of Conduct
and on the 231 OMM;
- report to the Board of Directors on the
lack of functioning and breach of the
231 OMM;
- report to the competent company
authorities on the lack of respect of the
measures indicated in the 231 OMM
by the employee recipients of the
company, for the purpose of applying
the respective sanctions;
- report to the Shareholders' Meeting, to
the Board of Directors and to the
Board of Statutory Auditors (in

- riferire all’Assemblea dei Soci, al
Consiglio di Amministrazione ed al
Collegio Sindacale (secondo quanto
previsto nel Sistema Disciplinare) il
mancato rispetto delle misure indicate
nel MOG231 da parte dei soggetti non
vincolati alla società da un rapporto di
dipendenza, al fine dell’applicazione
delle rispettive sanzioni;
- vigilare sull’applicazione delle
sanzioni disciplinari da parte degli
organi a ciò deputati;
- ricevere e trattare i flussi informativi
periodici, specifici e generici e le
segnalazioni relative alle presunte
condotte illecite rilevanti ai sensi del
D.Lgs. 231/2001 e/o alle violazioni
del Codice di Condotta Sumitomo
Electric Industries e del MOG231.
L’OdV adempie ai suddetti doveri attraverso
controlli periodici da effettuarsi in numero
non inferiore a quattro all’anno e comunque
da effettuarsi ogni qualvolta ritenuto
necessario.
Gli accertamenti eseguiti devono risultare da
appositi verbali che devono essere conservati
presso la società per almeno dieci anni.
Art. 9 – Poteri di controllo
L’OdV adempie ai doveri di cui sopra, in
piena autonomia, insindacabilità ed
indipendenza.
L’OdV, pertanto, gode di poteri ispettivi in
relazione alle attività di rischio individuate o
individuabili, attraverso l’accesso a tutte le
informazioni e a tutti i dati documentali,
contabili, informatici etc. inerenti l’attività
dell’Ente e dei suoi dipendenti, in
accordance with the contents of the
Disciplinary System) on the lack of
respect of the measures indicated in
the 231 OMM by entities not tied to
the company by a relationship of
employment, for the purpose of
applying the respective sanctions;
- oversee the application of the
disciplinary sanctions by the bodies in
charge;
- receive and process periodic, specific
and generic information flows and
reports of alleged unlawful behaviours
in accordance with Italian Legislative
Decree 231/2001 and/or violations of
the Sumitomo Electric Industries Code
of Conduct and the 231 OMM.
The SB fulfils the aforementioned duties
through periodic controls to be carried out no
less than four times a year and in any case to
be conducted whenever deemed necessary.
The assessments carried out must be recorded
by specific reports which must be retained at
the company for at least ten years.
Art. 9 – Control powers
The SB fulfils the duties indicated above, in
full autonomy, unchallengeability and
independence.
The SB, therefore, enjoys inspection powers
in relation to the risk activities identified or
identifiable, through access to all information
and all documentary, accounting, IT data, etc.
on the activity of the Body and its employees,
in application of the procedures envisaged by
the 231 OMM.
The SB may plan its activity annually, based

L’OdV ha facoltà di pianificare annualmente
la propria attività, sulla base dei livelli di
rischio individuati dal MOG231 in relazione
alle fattispecie di reato sensibili; tale
pianificazione viene verbalizzata al pari di
tutte le attività svolte dall’OdV nell’apposito
verbale, all’inizio di ogni esercizio, ferma
restando la facoltà per l’OdV di discostarsi
dall’attività pianificata all’insorgenza di
elementi che – ad insindacabile giudizio
dell’OdV stesso – debbano comportare
un’attività differente rispetto a quella
programmata.
L’OdV, inoltre, ha facoltà di emanare un
proprio regolamento interno per la disciplina
delle proprie attività.
Art. 10 – Poteri di iniziativa
L’OdV ha il potere di richiedere ed assumere
informazioni utili per l’adempimento dei
propri doveri, da Amministratori, Sindaci,
nonché da ciascuna funzione aziendale e da
ciascun Destinatario, in piena autonomia,
insindacabilità ed indipendenza.
Tali soggetti hanno il dovere di riferire
quanto è a loro conoscenza circa la
commissione (o tentata tale) dei fatti-reato e
circa ogni altro elemento che faccia
ragionevolmente supporre una violazione del
Codice di Condotta Sumitomo Electric
Industries e/o del MOG231, come meglio
specificato nelle rispettive procedure del
MOG231.
L’OdV ha altresì la facoltà di avvalersi di

Recipient, in full autonomy,
unchallengeability and independence.
Those persons have a duty to report anything
under their remit regarding the commission
(or attempted commission) of predicate crimes
and on any other element that reasonably
infers a violation of the Sumitomo Electric
Industries Code of Conduct and/or the 231
OMM, as specified in more detail in the
respective procedures of the 231 OMM.
The SB also has the right to use external
consultants to assist in its activities; the costs
incurred to that end are borne by the Body,
which resolves on an annual budget for that
purpose.

5.3 SEZIONE III - FUNZIONI
DELL’ODV
Art. 11 – Funzione recettizia
Flussi informativi
L’OdV riceve da parte dei Destinatari i flussi
informativi previsti dal MOG231 aventi ad
oggetto tutte le notizie e le informazioni

L’OdV riceve le segnalazioni di presunte
condotte illecite rilevanti ai sensi del D.Lgs.

MOG231, di cui i Destinatari siano venuti a
conoscenza in ragione delle funzioni svolte.

Art. 11 – Receiving function
Information flows
The SB receives from the Recipients the
information flows envisaged by the 231 OMM
concerning all news and information relevant
for the purposes of preventing the cases of
crime pursuant to Italian Legislative Decree
231/01, on the adequacy, update and respect
of the 231 OMM and of the Sumitomo
Electric Industries Code of Conduct, as well
as any other information deemed useful for
the purposes of improving the 231 OMM, the
Sumitomo Electric Industries Code of
Conduct and the other documents forming an
integral part of the same.
The SB receives the information flows
through the tools provided for that purpose by
the 231 OMM.
Reports
The SB receives reports of alleged unlawful
behaviours relevant in accordance with Italian
Legislative Decree 231/01 and/or violations of
the Sumitomo Electric Industries Code of
Conduct and/or the 231 OMM, of which the
Recipients have become aware based upon the
functions performed.
The SB receives the aforementioned reports
by way of the channels established for that
purpose in order to guarantee the

Industries
Acquisita e/o ricevuta la notizia circa la
presunta violazione del MOG231 e/o del
Codice di Condotta Sumitomo Electric
Industries, l’OdV:
- ne verifica la rilevanza ai sensi del
D.Lgs. 231/01;
- ne vaglia la non manifesta
infondatezza;
relazionandosi con le autorità aziendali
competenti ed eventualmente richiedendo
consulenze esterne.
Laddove la notizia (1) risulti rilevante ai sensi
del D.Lgs. 231/01 e non manifestamente
infondata, ovvero (2) nel caso in cui la
segnalazione si riveli infondata ed effettuata
con dolo o colpa grave da parte del
segnalante, l’OdV trasmette le proprie
risultanze alle competenti autorità aziendali
affinché queste esperiscano le dovute attività
di indagine ed eventualmente applichino le
conseguenti sanzioni disciplinari.
Art. 13 - Funzione di monitoraggio delle
attività aziendali conseguenti
L’OdV verifica che le competenti autorità
aziendali:
- valutino ed eventualmente adottino

Art. 12 – Management function of

Having acquired and/or received information
regarding the alleged violation of the 231
OMM and/or the Sumitomo Electric
Industries Code of Conduct, the SB:
- verifies its significance in accordance
with Italian Legislative Decree 231/01;
- endorses its lack of foundation;
reporting to the competent company
authorities and possibly requesting external
consultancy.
If the information (1) is found to be relevant
in accordance with Italian Legislative Decree
231/01 and is not manifestly groundless, or (2)
if the report is found to be groundless and
made with wilful intent or gross negligence by
the whistleblower, the SB sends its findings to
the competent company authorities so that
they may perform the due investigation
activities and possibly apply the consequent
disciplinary sanctions.
Art. 13 - Function of monitoring of
consequent company activities
The SB verifies that the competent company
authorities:
- assess and possibly adopt consequent

L’OdV, inoltre, vigila sul rispetto del
MOG231 con riferimento al divieto di atti di
ritorsione o discriminatori, diretti o indiretti,
nei confronti del segnalante, per motivi
collegati, direttamente o indirettamente, alla
segnalazione.
5.4 SEZIONE IV – DISPOSIZIONI
FINALI
Art. 14 – Scambio di informazioni
L’OdV scambia informazioni con gli Organi
di Controllo, con gli ulteriori soggetti
specificamente individuati nelle singole
procedure del MOG231 sulla base di quanto
previsto nelle rispettive sezioni del presente
MOG231.
Art. 15 – Redazione e tenuta dei verbali
dell’OdV
Il verbale di ogni ispezione e controllo
redatto dall’OdV contiene:
- data dell’attività svolta;
- luogo dell’attività svolta;
- operazioni compiute;
- rilievi;
- misure da adottare;
- sottoscrizione dell’OdV.
I verbali sono tenuti in conformità alle
process and possibly apply disciplinary
sanctions, in respect of the provisions of
the Disciplinary system.
The SB also oversees respect of the 231 OMM
with reference to the prohibition on acts of
retaliation or discrimination, direct or indirect,
against the whistleblower, for reasons related,
directly or indirectly, to the report.
5.4 SECTION IV – FINAL
PROVISIONS
Art. 14 – Exchange of information
The SB exchanges information with the
Control Bodies and with other entities
specifically identified in the individual
procedures of the 231 OMM based upon the
provisions of the respective sections of this
231 OMM.
Art. 15 – Preparation and keeping of
reports of SB
The reports of every inspection and control
performed by the SB contain:
- date of the activity performed;
- location of the activity performed;
- operations completed;
- findings;
- measures to be adopted;
- signature of the SB.
The reports are kept in conformity with the

I verbali devono riportare data certa a mezzo
di qualunque strumento che lo consenta
(stampa su registro bollato, apposizione di
timbro di data certa presso gli uffici postali,
invio a mezzo pec etc.); al verbale non sono
apportabili modifiche, con la sola eccezione
di correzioni di errori materiali che devono
essere autorizzate e siglate dall’OdV.
Art. 16 – Trasmissione del verbale
Ogni verbale è trasmesso al Consiglio di
Amministrazione che adotta le misure
richieste nel verbale stesso.
L’OdV vigila sull’attuazione delle indicazioni
fornite tramite verbale.
Art. 17 – Relazione al CdA
Almeno una volta l’anno l’OdV riferisce al
CdA sulle risultanze dell’attività svolta,
mediante esposizione orale ovvero mediante
relazione scritta della cui ricezione deve
essere dato atto nel verbale del CdA stesso.
Art. 18 – Aggiornamento del MOG231
Almeno una volta all’anno, e comunque in
presenza di violazioni del MOG231 o del
Codice di Condotta Sumitomo Electric
Industries, di cambiamenti della struttura
aziendale, di novelle legislative in materia,
l’OdV cura la revisione e l’aggiornamento del
presente MOG231.
A tal fine, l’OdV propone i necessari
provisions indicated in Italian Legislative
Decree 196/03 and the GDPR and are kept
attached to this 231 OMM for at least ten
years.
The reports must be dated using any tool that
so allows (printed on stamped register,
affixing of date stamp at the post offices,
sending by certified email, etc.); no changes
may be made to the reports, with the sole
exception of corrections of material errors,
which must be authorised and signed by the
SB.
Art. 16 – Sending of report
Each report is sent to the Board of Directors,
which adopts the measures requested in the
report itself.
The SB oversees the implementation of the
indications provided in the report.
Art. 17 – Report to BoD
At least once a year, the SB reports to the
BoD on the findings of the activity performed,
by way of oral illustration or by written report
whose receipt must be acknowledged in the
minutes of the BoD itself.
Art. 18 – Update of the 231 OMM
At least once a year, and in any case in the
presence of violations of the 231 OMM or the
Sumitomo Electric Industries Code of
Conduct, of changes to the company structure,
of legislative innovations in that regard, the
SB oversees the revision and update of this
231 OMM.

Le parti obsolete del MOG231 devono essere

Art. 19 – Obbligo di segretezza
L’OdV ed eventuali collaboratori e/o
consulenti di cui si avvale sono tenuti
all’assoluto segreto sulle informazioni della
società di cui vengano a conoscenza
nell’esercizio delle loro funzioni, anche una
volta cessato il mandato.
Art. 20 – Modifiche al presente statuto
Il presente statuto può essere modificato solo
dal Consiglio di Amministrazione su parere
conforme del Collegio Sindacale.
6. SISTEMA DISCIPLINARE
6.1 SEZIONE I – DISCIPLINA
To that end, the SB suggests the necessary
interventions to the BoD, which uses the
professional collaboration of the author of the
231 OMM.
The BoD approves the changes to the 231
OMM.
The annexes ‘Summary of the Procedures’
and ‘New Service Agreements’ are updated
respectively by the areas managers,
‘Corporate Quality & WCM’ and
‘Accounting, Controlling & Finance’ (or their
delegates).
The obsolete parts of the 231 OMM must be
stored for ten years.
Art. 19 – Confidentiality obligation
The SB and any collaborators and/or
consultants used are required to maintain the
strictest confidentiality over the company
information of which they become aware in
the exercise of their duties, even once the
mandate has ended.
Art. 20 – Changes to this statute
This statute may be modified only by the
Board of Directors with the consent of the
Board of Statutory Auditors.
6. DISCIPLINARY SYSTEM
6.1 SECTION I – GENERAL RULES

GENERALE
Art. 1 – Scopo e princìpi
Ai sensi dell’art. 7, comma 4, del D.lgs.
231/2001 “l’efficace attuazione del Modello
richiede un sistema disciplinare idoneo a
sanzionare il mancato rispetto delle misure
indicate nel Modello”.
A tal fine la società si dota di un apposito
sistema disciplinare diversificato a seconda
dei differenti livelli di collaborazione
professionale, nel rispetto dei principi sanciti
dal codice civile, dallo statuto dei lavoratori
nonché dal contratto collettivo nazionale di
categoria.
Art. 2 – Soggetti destinatari
Il presente sistema disciplinare è applicabile
ai seguenti soggetti:
- dipendenti
- dirigenti
- collaboratori con tipologia
contrattuale diversa da quella prevista
per il lavoro subordinato
- professionisti
- amministratori e sindaci.
Art. 3 – Condotte sanzionabili
In generale, sono sanzionabili ai sensi del
presente sistema disciplinare, a titolo
esemplificativo e non esaustivo:
- la violazione dei principi etico-
comportamentali contenuti nel Codice
di Condotta Sumitomo Electric
Industries, rilevante ai sensi del
D.Lgs. 231/01
- la violazione delle regole circa la
Art. 1 – Purpose and principles
In accordance with Art. 7, paragraph 3 of
Italian Legislative Decree 231/2001 “the
effective implementation of the Model requires
a disciplinary system suitable to sanction the
lack of respect of the measures indicated in
the Model”.
To that end, the company has established a
specific disciplinary system diversified
according to the different levels of
professional collaboration, in respect of the
principles ratified by the Civil Code, by the
Workers' Statute as well as by the industry's
National Collective Labour Agreement.
Art. 2 – Recipients
This disciplinary system is applicable to the
following persons:
- employees
- managers
- collaborators with contractual type
different from that of subordinate
employment
- professionals
- directors and auditors.
Art. 3 – Sanctioned conduct
In general, the following may be sanctioned in
accordance with this disciplinary system, by
way of example but without limitation:
- violation of the ethical-behavioural
principles contained in the Sumitomo
Electric Industries Code of Conduct,
relevant in accordance with Italian
Legislative Decree 231/01
- violation of the rules regarding the
dissemination of the Sumitomo

per l’aggiornamento e l’adeguatezza
del MOG231
- la violazione degli obblighi di
segnalazione all’OdV
- l’effettuazione, con dolo o colpa grave
di segnalazioni che si rivelano
infondate
- la violazione delle misure di tutela del
segnalante
- il compimento di atti di ritorsione o
discriminatori, diretti o indiretti, nei
confronti del segnalante, per motivi
collegati, direttamente o
indirettamente, alla segnalazione
- l’omessa applicazione dei meccanismi
sanzionatori previsti nel presente
sistema disciplinare o manifesta
inadeguatezza della sanzione
applicata.
6.2 SEZIONE II – I LIVELLO:
DIPENDENTI
Art. 4 – Fonti della responsabilità
La società sanziona la violazione e/o

- violation of the reporting obligations to
the SB
- submission, with wilful intent or gross
negligence, of reports found to be
groundless
- violation of the measures of protection
of the whistleblower
- commission of acts of retaliation or
discrimination, direct or indirect,
against the whistleblower, for reasons
connected, directly or indirectly, to the
report
- lack of application of the sanction
mechanisms envisaged in this
disciplinary system or manifest
inadequacy of the sanction applied.
6.2 SECTION II – I LEVEL:

l’inadempimento delle previsioni contenute
nel Codice di Condotta Sumitomo Electric
Industries, rilevante ai sensi del D.Lgs.
231/01, e nel MOG231 da parte dei propri
dipendenti, secondo quanto stabilito dagli
articoli 2104 e 2106 c.c., dal CCNL
Metalmeccanici, nonché secondo quanto
previsto dall’articolo 7 della Legge 300/1970
“Statuto dei Lavoratori”.
Art. 5 – Condotte sanzionabili
Qualunque violazione e/o inadempimento del
Codice di Condotta Sumitomo Electric
Industries, rilevante ai sensi del D.Lgs.
231/01, e/o del MOG231 è riconducibile
nell’ambito dei comportamenti considerati
sanzionabili dagli articoli 2104 e 2106 c.c.
(secondo i quali “il prestatore di lavoro deve
usare la diligenza richiesta dalla natura della
prestazione dovuta, dall’interesse
dell’impresa (...). Deve, inoltre, osservare le
disposizioni per l’esecuzione e per la
disciplina del lavoro impartite
dall’imprenditore e dai collaboratori di
questo dai quali gerarchicamente dipende”
(art. 2104 c.c.); “l’inosservanza delle
disposizioni contenute nei due articoli
precedenti [artt. 2104 e 2105 c.c.] può dare
luogo all’applicazione di sanzioni
disciplinari, secondo la gravità
dell’infrazione” - art. 2106 c.c.) e di quelli
previsti dal CCNL Metalmeccanici.
Pertanto, tutte le condotte violanti le
disposizioni previste dal presente MOG231,
che siano portate a dovuta conoscenza del
dipendente, costituiscono condotta
sanzionabile ai sensi del presente sistema
disciplinare e di quanto contenuto negli
Conduct, relevant in accordance with Italian
Legislative Decree 231/01, and in the 231
OMM by its employees, in accordance with
what is established by Articles 2104 and 2106
of the Italian Civil Code, by the National
Collective Labour Agreement for
Metalworkers, as well as by the provisions of
Article 7 of Italian Law 300/1970 “Workers'
Statute”.
Art. 5 – Sanctioned conduct
Any violation and/or breach of the Sumitomo
Electric Industries Code of Conduct, relevant
in accordance with Italian Legislative Decree
231/01, and/or the 231 OMM forms part of
the behaviours considered sanctioned by
Articles 2104 and 2106 of the Italian Civil
Code (according to which “the work provider
must use the diligence required by the nature
of the performance due, by the interest of the
enterprise (...). He/she must also comply with
the provisions for the execution and for the
regulation of work imparted by the
entrepreneur and by the collaborators of the
latter to whom he/she is hierarchically
subordinate” (Art. 2104 of the Italian Civil
Code); “any breach of the provisions
contained in the two previous articles
[Articles 2104 and 2105 of the Italian Civil
Code] may give rise to the application of
disciplinary sanctions, according to the
severity of the infraction” - Art. 2106 of the
Italian Civil Code) and those provided by the
National Collective Labour Agreement for
Metalworkers.
Therefore, all behaviours violating the
provisions laid down by this 231 OMM,
which are brought to the due attention of the

E’ rimessa alla valutazione dell’autorità
aziendale competente ad erogare le sanzioni
disciplinari nei confronti dei dipendenti, la
valutazione circa la gravità della violazione
e/o dell’inadempimento commessi.
Art. 6 – Sanzioni
Dato il principio di tipicità caratterizzante
l’intera materia disciplinare, si richiama
l’applicazione delle sanzioni indicate
dall’articolo 7 della Legge 300/1970 “Statuto
dei Lavoratori” e di quelle previste dal CCNL
Metalmeccanici.
Le sanzioni previste dal CCNL
Metalmeccanici, applicabili per la violazione
e/o l’inadempimento del MOG231, sono:
– richiamo verbale;
– ammonizione scritta;
– multa non superiore a tre ore di
retribuzione oraria calcolata sul minimo
tabellare;
– sospensione dal lavoro e dalla
retribuzione fino ad un massimo di tre
giorni;
– licenziamento per mancanze ai sensi
dell'art. 10 del CCNL stesso.
Sulla scelta e sull’entità delle suddette
sanzioni, il Datore di Lavoro è compente a
decidere sulla base delle indicazioni
espressamente previste nel CCNL cit..
In ogni caso, nel caso di commissione di
reato (contravvenzioni e/o delitti) si deve fare
rinvio all’art. 21.
6.3 SEZIONE III – II LIVELLO:
DIRIGENTI
employee, constitute sanctioned conduct in
accordance with this disciplinary system and
the contents of the cited NCLA.
The competent company authority is
responsible for applying the disciplinary
sanctions to employees, and for assessing the
severity of the violation and/or the breach
committed.
Art. 6 – Sanctions
Given the principle of typicality characterising
the entire disciplinary matter, the sanctions
indicated in Article 7 of Italian Law 300/1970
“Workers' Statute” and those provided by the
NCLA for Metalworkers are applied.
The sanctions envisaged by the NCLA for
Metalworkers, applicable for the violation
and/or non-fulfilment of the 231 OMM, are:
– verbal warning;
– written warning;
– fine of no more than three hours of
hourly remuneration calculated on the
table minimum;
– suspension from work and remuneration
for up to a maximum of three days;
– dismissal due to misconduct pursuant to
Art. 10 of the NCLA.
The Employer is responsible for deciding on
the choice and extent of the aforementioned
sanctions, based upon the indications
expressly provided in the cited NCLA.
In any case, in the event of commission of the
crime (contraventions and/or offences),
reference must be made to Art. 21.

Art. 7 – Fonti della responsabilità e
condotte sanzionabili
Qualunque violazione e/o inadempimento del
Codice di Condotta Sumitomo Electric
Industries, rilevante ai sensi del D.Lgs.
231/01, e/o del MOG231, a seconda della sua
gravità o della sua reiterazione, determinerà
l’applicazione delle misure sanzionatorie
idonee.
La valutazione circa la gravità della
violazione e/o dell’inadempimento posti in
essere e circa la gravità della loro reiterazione
è rimessa alla valutazione dell’organo a ciò
preposto.
Il dirigente accetta i contenuti del Codice di
Condotta Sumitomo Electric Industries e del
MOG231, a mezzo di sottoscrizione di
apposita dichiarazione (modulo 1.1) ovvero
dalla sottoscrizione del contratto che indica
espressamente la clausola di accettazione.
Art. 8 – Sanzioni
Per la violazione del Codice di Condotta
Sumitomo Electric Industries, rilevante ai
sensi del D.Lgs. 231/01, e/o del MOG231 da
parte dei dirigenti, nel rispetto di
proporzionalità e congruenza, la società può
applicare:
- il richiamo scritto
- il licenziamento per giustificato
motivo (ove si ritenga, alla luce della
giurisprudenza della Suprema Corte,
che la violazione commessa implichi
inadeguatezza del dirigente rispetto
alla struttura aziendale);
- il licenziamento per giusta causa (che

Art. 7 – Sources of liability and sanctioned
conduct
Any violation and/or non-fulfilment of the
Sumitomo Electric Industries Code of
Conduct, relevant in accordance with Italian
Legislative Decree 231/01, and/or the 231
OMM, depending on its severity or its
reiteration, will determine the application of
suitable sanction measures.
The assessment regarding the severity of the
violation and/or non-fulfilment implemented
and regarding the severity of its reiteration is
deferred to the assessment of the body in
charge.
The manager accepts the contents of the
Sumitomo Electric Industries Code of
Conduct and the 231 OMM, by signing a
specific declaration (form 1.1) or by signing
the contract that indicates expressly the
acceptance clause.
Art. 8 – Sanctions
For the violation of the Sumitomo Electric
Industries Code of Conduct, relevant in
accordance with Italian Legislative Decree
231/01, and/or the 231 OMM by managers, in
respect of proportionality and congruence, the
company may apply:
- written warning
- dismissal for just cause (where it is
deemed, in light of Supreme Court
jurisprudence, that the violation
committed implies the manager's
inadequacy with respect to the
company structure);
- dismissal for just cause (which does

Art. 9 – Fonti della responsabilità
La società pretende il rispetto del Codice di
Condotta Sumitomo Electric Industries e del
MOG231 da parte dei collaboratori con
tipologia contrattuale diversa da quella
prevista per il lavoro subordinato.
Con riferimento ai contratti da stipulare
ovvero da rinnovare, il rispetto delle
disposizioni contenute nel MOG231 è
riconosciuto quale prestazione accessoria del
rapporto che il collaboratore instaura con la
società, che pertanto si impegna ad
adempiere.
Con riferimento ai contratti già stipulati, la
società provvede, con l’accordo del
collaboratore, all’integrazione dei medesimi
mediante l’aggiunta della clausola relativa al
rispetto delle previsioni del MOG231,
affinché venga eliminata ogni disparità di
trattamento rispetto ai contratti nuovi o
rinnovati.
In ogni caso, il MOG231 approvato – in caso
di dissenso – è comunque comunicato al
collaboratore come decisione unilaterale

accessory performance of the relationship
established by the collaborator with the
company which he/she therefore undertakes to
fulfil.
With reference to contracts already signed, the
company proceeds, with the agreement of the
collaborate, to supplement the same by adding
the clause relating to respect of the provisions
of the 231 OMM, so that any disparity of
treatment compared to new or renewed
contracts is eliminated.
In any case, the approved 231 OMM – in the
case of dissent – is communicated to the
collaborator as a unilateral decision by the
company.
Any dissent must be notified to the SB, noted

esso impedisce alla società di stipulare con il
medesimo collaboratore ulteriori contratti.
L’eventuale stipula di nuovi contratti in
violazione del divieto di cui sopra comporta
condotta censurabile in capo agli
Amministratori e valutabile in ossequio al
presente sistema sanzionatorio.
Art. 10 – Efficacia del contratto
Il contratto con il collaboratore sarà efficace
dal momento in cui egli avrà preso visione ed
accettato il contenuto del MOG231,
circostanza attestata dalla sottoscrizione di
apposita dichiarazione recepita dall’eventuale
contratto scritto tra le parti nel corso della sua
prima edizione successiva ovvero dalla
sottoscrizione di dichiarazione ad hoc
(modulo 1.1).
Art. 11 – Condotte sanzionabili e sanzioni
Qualunque violazione e/o inadempimento del
Codice di Condotta Sumitomo Electric
Industries, rilevante ai sensi del D.Lgs.
231/01, e/o del MOG231 possono comportare
la risoluzione del contratto e l’applicazione di
eventuale penale contrattualmente prevista,
salva comunque la risarcibilità di maggior
danno.
Nel caso di violazione e/o inadempimento
relativamente a previsioni che non possono
più essere adempiute, il contratto si ritiene
risolto di diritto con addebito della eventuale
penale, salva la risarcibilità del maggior
danno.
Nel caso di mero ritardo nell’adempimento,

Art. 11 – Sanctioned conduct and sanctions

Conduct, relevant in accordance with Italian
Legislative Decree 231/01, and/or the 231
OMM may involve the termination of the
contract and the application of any penalty
contractually provided, subject in any case to
the compensation of greater damage.
In the case of a violation and/or non-
fulfilment relating to provisions that can no
longer be fulfilled, the contract is deemed to
be terminated by law, charging any penalty,
subject to the compensation of greater
damage.
In the event of a mere delay in fulfilment, if
the contracting party is able to fulfil the
requirements of the 231 OMM, the company
may demand the fulfilment of the performance

qualora il contraente sia nelle possibilità di
adempiere alle prescrizioni del MOG231, la
società avrà la facoltà di chiedere
l’adempimento della prestazione e il
pagamento della penale come eventualmente
determinata in sede contrattuale. L’ulteriore
inadempimento comporta la risoluzione del
contratto di diritto con addebito della
eventuale penale, salva la risarcibilità del
maggior danno.
6.5 SEZIONE V – IV LIVELLO:
PROFESSIONISTI (revisori
contabili, consulenti, agenti e
altri soggetti)
Art. 12 – Fonti della responsabilità
La società pretende il rispetto del Codice di

MOG231 da parte dei professionisti (revisori
contabili, consulenti, agenti ed altri soggetti).
Con riferimento ai contratti da stipulare
ovvero da rinnovare, il rispetto delle
disposizioni contenute nel Codice di
Condotta Sumitomo Electric Industries e nel
MOG231 è riconosciuto quale prestazione
accessoria del rapporto che il professionista
instaura con la società, che pertanto si
impegna ad adempiere; tale circostanza viene
attestata dalla sottoscrizione di apposita
dichiarazione recepita dall’eventuale
contratto scritto tra le parti nel corso della sua
edizione ovvero dalla sottoscrizione di
dichiarazione ad hoc (modulo 1.1).

ulteriormente della sua collaborazione.
L’eventuale stipula di nuovi contratti od il
conferimento di nuovi incarichi in violazione
del divieto di cui sopra comporta condotta
censurabile in capo agli Amministratori e
valutabile in ossequio al presente sistema
sanzionatorio.
Art. 13 – Efficacia del contratto
Il contratto con il professionista sarà efficace
dal momento in cui egli avrà preso visione ed

Qualunque violazione e/o inadempimento del

del mandato per giusta causa.
È fatta salva l’azione di risarcimento del
danno nei confronti del professionista.
6.6 SEZIONE VI – V LIVELLO
AMMINISTRATORI E SINDACI
Art. 15 – Fonti della responsabilità
La società pretende il rispetto del Codice di
Condotta Sumitomo Electric Industries e del
MOG231 da parte degli Amministratori e dei
Sindaci.
In particolare, il CdA ha l’onere di
predisporre e approvare il MOG231 e le sue
revisioni.
Art. 16 – Efficacia della nomina
La nomina degli Amministratori e dei
componenti del Collegio Sindacale sarà
efficace dal momento in cui avranno preso
visione ed accettato il contenuto del
MOG231, circostanza attestata dalla
sottoscrizione di apposita dichiarazione
(modulo 1.1) ovvero dalla sottoscrizione del
verbale di nomina che indica espressamente
la clausola di accettazione.
Art. 17 – Condotte sanzionabili in capo agli
amministratori
Qualunque violazione e/o inadempimento del
Codice di Condotta Sumitomo Electric

6.6 SECTION VI – V LEVEL
DIRECTORS AND AUDITORS
Art. 15 – Sources of liability
The company demands respect of the

Conduct and the 231 OMM by the Directors
and Auditors.
In particular, the BoD has the burden of
preparing and approving the 231 OMM and its
revisions.
Art. 16 – Effectiveness of appointment
The appointment of the Directors and
members of the Board of Statutory Auditors
will be effective from the time they have read
and accepted the content of the 231 OMM, a
circumstance certified by the signature of a
specific declaration (form 1.1) or by the
signature of the appointment report which
expressly indicates the acceptance clause.
Art. 17 – Conduct sanctioned for the
directors
Any violation and/or non-fulfilment of the
Sumitomo Electric Industries Code of
Conduct relevant in accordance with Italian
Legislative Decree 231/01 and/or the 231
OMM constitutes conduct that can be
sanctioned for the Directors.
The Directors, as they are required to apply

Gli Amministratori, in quanto tenuti
all’applicazione di quanto prescritto nel
Codice di Condotta Sumitomo Electric
Industries e nel MOG231 ed al controllo
sull’applicazione da parte degli altri soggetti
destinatari, rispondono altresì per le
violazioni e/o gli inadempimenti del Codice
di Condotta Sumitomo Electric Industries,
rilevanti ai sensi del D.Lgs. 231/01, e del
MOG231 commessi da persone a loro
sottoposte, allorquando le violazioni e/o gli
inadempimenti non si sarebbero verificati se
essi avessero esercitato i propri poteri
gerarchici dispositivi.
Art. 18 – Condotte sanzionabili in capo ai
Sindaci
Qualunque violazione e/o inadempimento del
Codice di Condotta Sumitomo Electric
Industries rilevante ai sensi del D.Lgs. 231/01
e/o del MOG231 commessa dai Sindaci
costituisce condotta sanzionabile.
Essi sono tenuti al rispetto delle procedure
che li riguardano ed alla vigilanza sulle
condotte rimesse al loro controllo per legge.
Ogni condotta attiva od omissiva posta in
essere dai Sindaci in violazione dei doveri su
di essi gravanti per legge in materia di
prevenzione dei fatti di reato c.d. “societari”
costituisce violazione del MOG231.
Art. 19 – Procedimento
Qualora l’OdV, nell’espletamento
dell’attività di vigilanza, ravvisi la sussistenza
di violazioni e/o inadempimenti del Codice di

OMM committed by the Auditors constitutes
sanctioned conduct.
They are required to respect the procedures
relating to them and to oversee the conduct
deferred to their control by law.
Any act or omission implemented by the
Auditors in violation of the duties upon them
by law in relation to preventing the
circumstances of crime known as “corporate”
constitutes a violation of the 231 OMM.
Art. 19 – Procedure
If the SB, in the conduct of the supervisory
activities, identifies the existence of violations
and/or non-fulfilments of the Sumitomo
Electric Industries Code of Conduct, relevant
in accordance with Italian Legislative Decree
231/01, and/or the 231 OMM implemented by
SSEEWWSS CCaabbiinndd SS..pp..AA..

Condotta Sumitomo Electric Industries,
rilevanti ai sensi del D.Lgs. 231/01, e/o del
MOG231 poste in essere da Amministratori
e/o Sindaci, comunica quanto di competenza:
- al Collegio Sindacale (in funzione di
quanto devolutogli ex lege – art. 2403
c.c.)
- al Consiglio di Amministrazione
- ai Soci
La comunicazione avviene mediante notifica
del verbale dell’OdV contenente la censura
agli organi suddetti. Il verbale deve altresì
essere notificato al trasgressore.
Il Collegio Sindacale e il Consiglio di
Amministrazione (con esclusione del
presunto trasgressore), a mezzo dei rispettivi
strumenti deliberativi, comunicano le proprie
valutazioni all’Assemblea dei Soci, all’uopo
convocata secondo le forme di legge.
L’Assemblea dei Soci, preso atto delle
violazioni poste in essere dagli
Amministratori e dai Sindaci, può disporre la
revoca dalla carica e/o esperire nei loro
confronti l’azione di responsabilità nei casi in
cui la violazione del codice e/o del MOG231
costituisca altresì la violazione della legge o
dello Statuto e con le modalità previste dal
codice civile.
6.7 SEZIONE VII – DISPOSIZIONI
FINALI
Art. 20 – Omissioni al presente sistema
disciplinare
La violazione e/o l’inadempimento del
presente sistema disciplinare, parte integrante
del MOG231, costituisce violazione grave del
MOG231 stesso perseguibile ai sensi del
Directors and/or Auditors, it communicates
this, insofar as it is responsible:
- to the Board of Statutory Auditors
(based upon what is devolved to it by
law - Art. 2403 of the Italian Civil
Code)
- to the Board of Directors
- to the Shareholders
The communication is made by sending the
report of the SB containing the censure to the
aforementioned bodies. The report must also
be sent to the transgressor.
The Board of Statutory Auditors and the
Board of Directors (excluding the presumed
transgressor), by means of the respective
resolution instruments, communicate their
assessments to the Shareholders' Meeting,
convened for that purpose in accordance with
the legal forms.
The Shareholders' Meeting, having
acknowledged the violations implemented by
the Directors and by the Auditors, may order
the revocation from the role and/or carry out
in relation to them the liability action in cases
where the violation of the code and/or the 231
OMM also constitutes a violation of the law or
the Statute and with the methods provided by
the Civil Code.
6.7 SECTION VII – FINAL
PROVISIONS
Art. 20 – Omissions to this disciplinary
system
The violation and/or non-fulfilment of this
disciplinary system, an integral part of the 231
OMM, constitutes a serious breach of the 231
OMM itself which may be prosecuted in

L’OdV verifica la corretta applicazione del
presente sistema disciplinare.
Art. 21 – Commissione di fatti di reato
La commissione di un qualunque fatto di
reato costituisce violazione del MOG231.
La valutazione circa la gravità della
violazione e/o dell’inadempimento posti in
essere è rimessa alla valutazione dell’organo
a ciò preposto.
La sentenza di condanna passata in giudicato
nei confronti di una persona funzionalmente
collegata alla società per un reato
dolosamente commesso rilevante ai sensi del
D.Lgs. 231/01, comporta obbligatoriamente
l’attivazione del sistema disciplinare e
l’applicazione della sanzione più grave
prevista.
La sentenza di condanna passata in giudicato
nei confronti di una persona funzionalmente
collegata alla società per un reato
colposamente commesso rilevante ai sensi del
D.Lgs. 231/01, comporta obbligatoriamente
l’attivazione del sistema disciplinare;
l’individuazione della sanzione è rimessa alla
valutazione dell’autorità aziendale
competente ad erogare le sanzioni
disciplinari.

La società assicura la concreta pubblicità e
conoscenza del presente sistema
sanzionatorio a tutti i livelli di collaborazione
professionale tramite:
- idonei corsi di formazione ed
informazione a tutti i soggetti
Destinatari;
- per i Destinatari dipendenti, affissione
del sistema sanzionatorio nelle
bacheche aziendali e consegna del
medesimo in forma cartacea ovvero
telematica (circostanza attestata
contestualmente all’accettazione del
sistema disciplinare, come da modulo
1.1);
- per i Destinatari non dipendenti,
consegna di estratto del sistema
sanzionatorio contenente le parti
generali e le disposizioni specifiche per
la categoria del Destinatario interessato
(circostanza attestata contestualmente
all’accettazione del sistema
disciplinare, come da modulo 1.1).
L’OdV verifica l’effettiva pubblicità del
sistema disciplinare.
The company ensures the concrete publicity
and knowledge of this sanction system at all
levels of professional collaboration by way of:
- suitable training and information courses
to all Recipients;
- for employee Recipients, affixing of the
sanction system on the company notice
boards and delivery of the same in paper
or electronic format (circumstance
certified at the same time as the
acceptance of the disciplinary system, in
accordance with form 1.1);
- for non-employee Recipients, delivery of
an extract of the sanction system
containing the general parts and the
specific provisions for the category of
Recipient involved (circumstance
certified at the same time as accepting the
disciplinary system, in accordance with
form 1.1).
The SB verifies the effective publicity of the
disciplinary system.
