STANDARD TERMS &CONDITIONS OF SALE
Lyon & Turnbull carries on businesswith bidders, buyers and all thosepresent in the auction room prior to, orin connection, with a sale on thefollowing General Conditions and onsuch other terms, conditions andnotices as may be referred to herein.
1. DEFINITIONS
In these Conditions:
(a) “Auctioneer” means the firm ofLyon & Turnbull or its authorisedauctioneer, as appropriate;
(b) “deliberate forgery” means animitation made with the intention ofdeceiving as to authorship, origin, date,age, period, culture or source but whichis unequivocally described in thecatalogue as being the work of aparticular creator and which, at thedate of the sale, had a value materiallyless than it would have had if it hadbeen in accordance with thedescription;
(c) “hammer price” means the level ofbidding reached (at or above anyreserve) when the auctioneer bringsdown the hammer;
(d) “terms of consignment” means thestipulated terms and rates ofcommission on which Lyon & Turnbullaccepts instructions from sellers ortheir agents;
(e) “total amount due” means thehammer price in respect of the lot soldtogether with any premium, ValueAdded Tax chargeable and anyadditional charges payable by adefaulting buyer under theseConditions;
(f) “sale proceeds” means the netamount due to the seller, being thehammer price of the lot sold lesscommission at the stated rate, ValueAdded Tax chargeable and any otheramounts due to us by the seller inwhatever capacity and however arising;
(g) “You”, “Your”, etc. refer to the buyeras identified in Condition 2.
(h) The singular includes the pluraland vice versa as appropriate.
2. BIDDING PROCEDURES AND THEBUYER
(a) Bidders are required to registertheir particulars before bidding and tosatisfy any security arrangementsbefore entering the auction room toview or bid;
(b) the maker of the highest bidaccepted by the auctioneer conductingthe sale shall be the buyer at thehammer price and any dispute about abid, which must be raised before thenext lot is offered, shall be settled atthe auctioneer’s absolute discretion.
(c) Bidders shall be deemed to act asprincipals.
(d) Once made, no bid may bewithdrawn.
(e) Our right to bid on behalf of theseller is expressly reserved up to theamount of any reserve and the right torefuse any bid is also reserved.
3. INCREMENTS
Bidding increments shall be at theauctioneer’s sole discretion.
4. THE PURCHASE PRICE
The buyer shall pay the hammer pricetogether with a premium thereon.
25% up to £25,000 / 20% thereafter.
VAT will be charged on the premium atthe rate imposed by law.
5. VALUE ADDED TAX
Value Added Tax on the hammer priceis imposed by law on all items affixedwith an asterisk (*) or dagger (†). ValueAdded Tax is charged at the appropriaterate prevailing by law at the date of saleand is payable by buyers of relevantlots.
6. DROIT de SUITE
This symbol § indicates works whichmay be subject to the Droit de Suite orArtist's Resale Right, which took effectin the United Kingdom on 14th
your agent at future auctions or toimpose conditions before any such bidsshall be accepted;
(h) to apply any proceeds of sale ofother lots due or in future becomingdue to you towards the settlement ofthe total amount due and to exercise alien (that is a right to retain possessionof) any of your property in ourpossession for any purpose until thedebt due is satisfied.
(2) We shall, as agent for the seller andon their behalf pursue these rights andremedies only as far as is reasonable tomake appropriate recovery in respect ofbreach of these Conditions
10. THIRD PARTY LIABILITY
All members of the public on ourpremises are there at their own riskand must note the lay-out of theaccommodation and securityarrangements. Accordingly neither theauctioneer nor our employees oragents shall incur liability for death orpersonal injury (except as required bylaw by reason of our negligence) orsimilarly for the safety of the propertyof persons visiting prior to or at a sale.
11. COMMISSION BIDS
While prospective buyers are stronglyadvised to attend the auction and arealways responsible for any decision tobid for a particular lot and shall beassumed to have carefully inspectedand satisfied themselves as to itscondition we shall if so instructedclearly and in writing execute bids ontheir behalf. Neither the auctioneer orour employees or agents shall beresponsible for any failure to do so.Where two or more commission bids atthe same level are recorded we reservethe right in our absolute discretion toprefer the first bid so made.
12. WARRANTY OF TITLE ANDAVAILABILITY
The seller warrants to the auctioneerand to you that the seller is the trueowner of the property consigned or isproperly authorised by the true ownerto consign it for sale and is able totransfer good and marketable title tothe property free from any third partyclaims.
13. AGENCY
The auctioneer normally acts as agentonly and disclaims any responsibility fordefault by sellers or buyers.
14. TERMS OF SALE
The seller acknowledges that lots aresold subject to the stipulations of theseConditions in their entirety and on theTerms of Consignment as notified tothe consignor at the time of the entry ofthe lot.
15. STANDARD VENDOR FEES ANDCHARGES (Subject to VAT)
(1) Commission: 15% of the first £3000and 10% thereafter is charged on theselling price of each lot (subject to aminimum charge of £30). Loss anddamage warranty: 1.5% on value of lotssold. Photography: max £40 mono perlot, max £250 colour. Internet MarketingService: £10 per lot.
(2) If a vendor wishes to withdraw a lotorganized for sale, a withdrawal fee willapply;
(a) If withdrawn over 28 working daysprior to the sale, this will be charged at10% of the mid estimate along with anyancilliary incurred (such asphotography), all subject to VAT at thecurrent rate.
(b) If withdrawn within 28 working daysof the sale, this will be charged at 20%of the mid estimate along with anyancilliary incurred (such asphotography), all subject to VAT at thecurrent rate.
(3) Aftersales: We reserve the right toaccept an after-auction offer on a lot onbehalf of the vendor, at the agreedreserve price or above, for up to 48hours after the original auction.
16. DESCRIPTIONS AND CONDITION
(1) While we seek to describe lotsaccurately, it may be impractical for usto carry out exhaustive due diligence on
each lot. Prospective buyers are givenample opportunities to view and inspectbefore any sale and they (and anyindependent experts on their behalf)must satisfy themselves as to theaccuracy of any description applied to alot. Prospective buyers also bid on theunderstanding that, inevitably,representations or statements by us asto authorship, genuineness, origin,date, age, provenance, condition orestimated selling price involve mattersof opinion. We undertake that any suchopinion shall be honestly andreasonably held and accept liability foropinions given negligently orfraudulently. Subject to the foregoingneither we the auctioneer or ouremployees or agents or the selleraccept liability for the correctness ofsuch opinions and all conditions andwarranties, whether relating todescription, condition or quality of lots,express, implied or statutory, arehereby excluded. This Condition issubject to the next following Conditionconcerning deliberate forgeries andapplies save as provided for inparagraph 6 “information to buyers”.
(2) Private treaty sales made underthese Conditions are deemed to besales by auction for purposes ofconsumer legislation.
17. FORGERIES
Notwithstanding the precedingCondition, any Lot which proves to be adeliberate forgery (as defined) may bereturned to us by you within 21 days ofthe auction provided it is in the samecondition as when bought, and isaccompanied by particulars identifyingit from the relevant cataloguedescription and a written statement ofdefects. If we are satisfied from theevidence presented that the lot is adeliberate forgery we shall refund themoney paid by you for the lot includingany buyer’s premium provided that (1) ifthe catalogue description reflected theaccepted view of scholars and expertsas at the date of sale or (2) youpersonally are not able to transfer agood and marketable title to us, youshall have no rights under thiscondition.
The right of return provided by thisCondition is additional to any right orremedy provided by law or by theseConditions of Sale.
GENERAL
18. We shall have the right at ourdiscretion, to refuse admission to ourpremises or attendance at our auctionsby any person.
19 (1) Any right to compensation forlosses liabilities and expenses incurredin respect of and as a result of anybreach of these Conditions and anyexclusions provided by them shall beavailable to the seller and/or theauctioneer as appropriate.
(2). Such rights and exclusions shallextend to and be deemed to be for thebenefit of employees and agents of theseller and/or the auctioneer who maythemselves enforce them.
20. Any notice to any buyer, seller,bidder or viewer may be given by firstclass mail in which case it shall bedeemed to have been received by theaddressee 48 hours after posting.
21. Special terms may be used incatalogue descriptions of particularclasses of items (Books, Jewellery,paintings, guns, firearms etc) in whichcase the descriptions must beinterpreted in accordance with anyglossary or guidance notes appearingin the catalogue. These notices andterms will also form part of our termsand conditions of sales.
22. Any indulgence extended to biddersbuyers or sellers by us notwithstandingthe strict terms of these Conditions orof the Terms of Consignment shallaffect the position at the relevant timeonly and in respect of that particularconcession only; in all other respectsthese Conditions shall be construed ashaving full force and effect.
23. Scottish law applies to theinterpretation of these Conditions.
February 2006. We are required tocollect a royalty payment for allqualifying works of art. Under newlegislation which came into effect on1st January 2012, this applies to livingartists and artists who have died in thelast 70 years. This royalty will becharged to the buyer on the hammerprice and in addition to the buyerspremium. It will not apply to workswhere the hammer price is less than€1,000 (euros). The charge for works ofart sold at and above €1,000 (euros)and below €50,000 (euros) is 4%. Foritems selling above €50,000(euros),charges are calculated on asliding scale. All royalty charges arepaid to the Design and Artists CopyrightSociety (‘DACS’) and no handling costsor additional fees are retained by theauctioneer. Resale royalties are notsubject to VAT. Please note that theroyalty payment is calculated on therate of exchange at the EuropeanCentral Bank on the date of the sale.More information on Droit de Suite isavailable at www.dacs.org.uk.
7. PAYMENT
(1) Immediately a lot is sold you will:
(a) pay to us the total amount due incash or in such other way as is agreedby us. We accept cash, bank transfer(details on request), Switch or DebitCards and Visa or MasterCard (pleasenote there is a surcharge of 2% (VATincluded) when using credit cards). Wedo not accept American Express.
(2) any payments by you to us may beapplied by us towards any sums owingfrom you to us on any account whateverwithout regard to any directions of youor your agent, whether express orimplied.
8. TITLE AND COLLECTION OFPURCHASES
(1) The ownership of any lotspurchased shall not pass to you untilyou have made payment in full to us ofthe total amount due.
(2) You shall at your own risk andexpense take away any lots that youhave purchased and paid for not laterthan four working days following theday of the auction or upon theclearance of any cheque used forpayment after which you shall beresponsible for any removal, storageand other associated charges.
(3) No purchase can be claimed orremoved until it has been paid for.
(4) It is the buyer’s responsibility toascertain collection procedures,particularly if the sale is not being heldat our main saleroom and the potentialstorage charges for lots not collectedby the appropriate time.
9. REMEDIES FOR NON-PAYMENT ORFAILURE TO COLLECT PURCHASES
(1) If any lot is not paid for in full andtaken away in accordance with theseConditions or if there is any otherbreach of these Conditions, we, asagent for the seller and on their behalf,shall at our absolute discretion andwithout prejudice to any other rights wemay have, be entitled to exercise one ormore of the following rights andremedies:
(a) to proceed against you for damagesfor breach of contract;
(b) to rescind the sale of that lot and/orany other lots sold by us to you;
(c) to resell the lot (by auction orprivate treaty) in which case you shallbe responsible for any resultingdeficiency in the total amount due (aftercrediting any part payment and addingany resale costs). Any surplus soarising shall belong to the seller;
(d) to remove, store and insure the lotat your expense and, in the case ofstorage, either at our premises orelsewhere;
(e) to charge interest at a rate of 1.5%per month above the current base rateon the total amount due, to the extent itremains unpaid for more than fourworking days after the sale;
(f) to retain that or any other lot sold toyou until you pay the total amount due;
(g) to reject or ignore bids from you or
