TERMS AND CONDITIONS FOR AWARDING PARKING LOT CONTRACT FOR

PARKING OF TWO & FOUR WHEELERS AT WADI STATION

Quotations are invited on prescribed Forms for award of license to run the Parking lot for

Parking of Two & Four wheelers at Wadi station for the convenience of Public and staff in the

demarcated area, on the following terms & conditions.

1 The license will remain in force for a period of three months subject to termination at any

time during this period on the service of prescribed notice by either side in terms of the

Agreement.

2 Offer sheet shall be accompanied along with –

6. The Tenderer whose quotation has been finally accepted shall not charge more than the

rates prescribed below for the parking of two and four wheeler.

7. The rates for parking of vehicles as mentioned above are subject to revision, if any, as and

when necessary.

8.Tenderer will exhibit on a board displaying tariff rates in bold at the conspicuous place for the

information of public.

9.In no case license for operation of parking lot will be allotted to minor/Lunatics.

10.All offers shall be either typed or written nearly with indelible ink. The tenderer should avoid

ambiguity in his offer.

11.Before submission of the tender/quotation, interested party may see the location/site of the

parking lot on his own. After allotment no complaint regarding area/ demarcations/ boundary etc

will be entertained. Railway Administration reserve the rights to change the location/

demarcation or part there of at any stage/ time.

12.Sealed quotation Packet should be super-scribed as “quotation for two & four wheeler

Parking lot at “WADI” & submitted by

13 The Quotation Packet may be deposited in sealed box kept in Sr Divisional Commercial

Manager’s office, Central Railway, Solapur upto 15.00 hrs on --------------------- in the same

manner as mentioned in the above para.

14 The quotation forms can be sent by Registered Post Acknowledgement Due, addressed to

the Divisional Railway Manager (Commercial), Central Railway, Solapur, duly filed in cover,

sealed and super scribed as, “QUOTATION FOR TWO & FOUR WHEELER PARKING LOT

AT WADI STATION”, so as to reach this office up to 15.00 hrs on -------------------------- (on

their responsibility)

15 The sealed quotation received in the office of the Divisional Railway Manager

(Commercial), Central Railway, Solapur will be opened at 15.30 hrs on ------------------------ in

presence of the bidder if any are present. Quoation received after 15.00 hrs on will be

considered as invalid. If --------------- happens to be holiday the quotations will be opened on

the next working day at 15.30 hrs.

16 EMD Rs 10,000/-(Rs.Ten thousand only) can be paid through demand draft issued by

any Nationalized schedule banks in favour of Sr.Divisional Finance Manager, Solapur

Division, Central Railway, or through money receipt obtained from Sr.Divisional

Cashier(Pay)Central Railway.

17 EMD in the form of Cheque will not be accepted.

18. Quotations will not be considered unless the Earnest Money Deposit has been deposited and

the original draft/receipt is enclosed.

19.It shall be understood that the documents have been sold/issued to the bidder and that the

bidder is permitted to quotation in consideration of the stipulation on this part that after

submission of his/her quotation, he/she will not resale the offer or modify the terms and

conditions thereof in a manner not acceptable to the Railway Administration.

20.If the bidder fail to observe or comply with the said stipulations the aforesaid Earnest Money

Deposit amount shall be forfeited to the Railways.

21.No interest shall be allowed on the Earnest Money Deposit or on any advance payment made

by the bidder to Railways under any stipulation.

22.EMD can be adjusted as license fee/security deposit through cash due from the service

provider on selection.

23. FORFEITURE OF EMD

Bidder,whose quotation has been accepted and communicated to him/her the offer of the

quotation on his/her favour, decline or fail to remit the license fee/security deposit or/an execute

an agreement in the prescribed form and take up the license from the date of the issue of letter of

acceptance of the offer, the EMD remitted by that bidder will be forfeited.

24. SECURITY DEPOSIT(SD)

For contract awarded on quotation basis the licensee may submit Security Deposit equivalent to

25% of the license fees within a week’s time of issue of LOA.

2. Without submission of SD licensee will not commence his contract work.

3. Security deposit can be taken in the form of Bank Guarantee, FDR Demand Draft or

Cash.

4. Security deposit should be valid for the term of the license and upto a period extending

one months beyond the term of license.

5.SD shall be released only after the successful completion of the contract duly ensuring that the

railway premises is handed over by the contractor after proper cleaning and removal of debris

with all railway assets intact with a certification by the concerned Station Supervisors and

controlling officers.

6.Railways agree to discharge the SD within one month from the expiry of successful completion

contract period after deduction/settlement of outstanding dues against the licensee. The licensee

shall bear the cost of bank guarantee it provides to Railway.

7.Notwithstanding anything mentioned to the contrary to the agreement entered by licensee,

upon any default or breach of obligations by the licensee under the agreement, Railway may at

its sole discretion draw upon the Security Deposit to satisfy its claims against the licensee by the

way of imposition of penalties or otherwise, irrespective any other remedy under the agreement.

25. VALIDITY OF OFFER.

1. The quotation is valid for a period of 07 days from the date of receiving of quotations.

The Railway Administration reserves the right to extend the validity of tenders at its discretion, if

necessary. Further the Railway Administration reserves to itself the right to accept/negotiate

with the tenderer.

2.The Railway Administration reserves the right, to reject the tender(s) or to modify any

condition without assigning any reason and is not hound to accept the highest value offered

tender.

3.If the tenderer withdraws his offer before the Railway Administration accepts or rejects the

same or before 90 days from the receipt of tender, whichever is earlier, the earnest money will be

forfeited. The tender will be discharged and fresh tender will be initiated by debarring the

firm/party/applicant for participating in future tenders for a period of three years.

26. LICENSE FEE PAYMENTS

1.The licensee shall pay the license fee to the Railway on or before of the starting of the

quotation.

2.License fee will be paid through party’s own account vide demand draft or banker’s cheque

made in favour of Sr.Divisional Finance Manager, Solapur Division, Central Railway.

3.Without prejudice to any other right that may be available to Railway in the agreement entered

with the licensee or otherwise any delay in payment of license fee by due date prescribed after

commencement of contract shall attract interest equal to prime lending rate +2 prevailing thereon

per annum calculated for the number of days of default.

4.If the licensee delays payment of license fee, a notice after the first default will be issued to pay

the license fee within a grace period of fifteen days with interest. If no payment is received

within this grace period seven days notice should be issued to be followed by 48 hrs. notice, if

necessary, and contract shall be terminated forthwith and security deposit of service provider will

be forfeited.

In addition to forfeiture of security deposit the assets so created becomes Railway property and

license will have no claim whatsoever in this regard. In addition to forfeiture of SD division may

contemplate action of debarring/black listing the licensee in future contracts with due approval of

DRM.

27. PENALTY / PUNITIVE CLAUSE

10.2 Penalties can be imposed on account of excess charging, complaints, unauthorized

operation, unauthorized operation of excess area, deviation to the agreement clause etc. A

penalty ranging upto Rs.25000/- can be imposed by the inspecting officials which shall be

depending upon the gravity and nature of offence. In case excess area operation action as per

para 10.4 will be done.

10.4 New para – In case any operation of excess area by the licensee is noticed during the

currency of contract, division should impose deterrent penalties for such operation. Depending

on the gravity of each case penalty amount in such cases may exceed the range of penalty

amount mentioned in para 10.2

1.The Sr.Divisional Commercial Manager of the Railway Administration or his authorized

representatives shall have free access to all times of the said premises to inspect all times.

2.Penalties can be imposed on account of excess charging, complaints, unauthorized operation,

unauthorized operation of excess area, deviation to the agreement clause etc. A penalty ranging

from Rs.1000/- to Rs.5000/- can be imposed by the inspecting officials which shall be depending

upon the gravity and nature of offense.

3. The penalty imposed shall be paid by the licensee within a week’s time from the date of

demand of penalty payments and failing the same Railway administration may take action of

terminating the contract if needed.

28. LOSS AND THEFT OF PROPERTY.

The licensee shall be solely responsible for the up keep of all assets under his custody and

any loss and damage thereof shall be made good by him immediately at his own cost. The

licensee will be solely responsible for any loss/theft of passenger’s property kept in his

possession during the currency of contract period and under any circumstances Railway

administration will not be responsible for loss/damages to the property /assets of passengers

which are under the custody of licensee.

29. AUTOMATIONAND COMPUTERISATION

1. Computerized coupons are compulsorily to be issued to the daily customers by the licensee

of parking contract at ‘A-1’ & ‘A’, ‘B’ category railway stations and the coupon should have

details of name/identification of parking lot, date and time of issue of coupons, the name of the

contractor, serial Number on coupons with counterfoils and amount charged for coupon/ monthly

pass. Division shall encourage issue of computerized parking coupons at other stations wherever

feasible.

2. Similarly separate card based monthly coupons to MST passengers/monthly users should be

issued by licensee with details mentioned in above para.

3. Condition shall be printed on the coupon/card that vehicle unclaimed at the end of currency

of contract shall be handed over by the licensee to Railway Administration for action. No claim

shall be entertained after 48 hrs of taking over of the vehicles by Railways and in those

circumstances the vehicle shall be transferred to LPO and shall be dealt as per provision of

commercial manual.

4. Temporary covered shelter off adequate area (need basis only) within the allotted area may

be provided by the contractor for shelter from sub/rain for staff working there in a manner such

that it does not adversely affect the aesthetics of the station.

30. AGREEMENT.

1. The licensee has to sign an agreement within 21 days of allotment letter and after signing

agreement, shall not transfer subject or dispose of the rights and benefits under the Agreement. If

it is found that the contractor has sublet either in full or in part the Railway Administration will

terminate the contract with a notice period of 15 days duly forfeiting the security deposit and

license fee paid. In addition to this confiscating other material of the contractor, if any will also

be initiated.

2. The licensee should indemnify the Railway for the damage caused due to non-compliance

of any statutory law, bye-law or service conditions.

3. The railway Administration shall not be responsible for any transactions in any manner

between licensee and any third party and liable for consequential damages or compensation nor

binding to any conditions what so ever.

4. The licensee shall be responsible to indemnify the Railway Administration in case of any

damages claimed for any injury or whatsoever sustained by any third party or Railway personnel

of any ac of omission by the contractor or his agents or found vicariously liable to compensate

by any authority or Court of Law. The amount as falling due on such claims or as per agreement

clause may be lawfully recoverable from his security deposit.

5. The licensee should subject the employees working under the contract to insurance scheme

promoted by Government of India directed towards upliftment of socially/ economically class

persons employed for service.

6. The licensee shall not interfere with the communication or any other installations of the

Railway Administration without prior written consent of the Railway Administration.

7. The licensee shall be responsible to indemnify the Railway Administration for any claim by

an person for the provisions of various acts enacted by the Central/State Governments, such as

payment of Wages At, Workmen’s Compensation Act, hours of employment regulation Act,

employment of children acts etc., and at no point of time should the Railway be drawn into

litigation on these courts.

8. The offers received will be evaluated as per SOP issued vide commercial circular 74 of 2007

Successful bidder will be intimated through “letter of award’ (LOA) and he must acknowledge it

through written communication the ‘letter of acceptance’ within 10 days of receipt of LOA

issued thereof.

31. TERMINATION OF CONTRACT.

The Railways can terminate the contract in case of continued non-compliance of

agreement/Service Conditions by the licensee with one month’s notice or due to non payment of

license fee as per schedule after due notice.

32. TAX LAIBILITY.

1. The licensee shall be responsible for all the taxes, (inclusive of GST) to be paid to the State

Govt./Central Govt./Local civic agencies for the services rendered by him. There will be no tax

liability upon the Railways whatsoever on any account. Licensee may take service Tax liability

contribution while quoting the price offer against anticipated reserve price intimated by Railway

Administration through tender/quotation notification.

2. The service tax liability will be applicable for both contracts operated through quotation

and tenders. In case of operation by Railway Administration in extreme conditions necessary

tax liability of such operation should be complied by Railway under the service tax liability

allocation.

3.The licensee shall pay GST directly to the tax department at the existing rates for

providing parking services to the public. The licensee should submit a copy of certificate of

payment GST after expiry of contract failing which the security deposit will not be

refunded.

4.Alongwith the license fees the licensee shall pay GST/any other tax at the existing rate

and 2% TCS on the offer rate.TCS & GST/any other tax should be deposited in the form of

Demand Draft drawn on any Nationalized/Scheduled Bank in favour of Senior Divisional

Finance Manager, Central Railway, Solapur.

33. INDEMNITY

1. The Railway Administration shall not be responsible for any loss/damages to any

financial agencies, commercials outfits consequent on the termination of the contract for

whatsoever be the reasons.

2. The contractor shall not be entitled to any claim against the Railway Administration for

any damages, loss etc., that contractor may sustain on account of fire or any other causes

whatsoever cause attributable to carelessness on the part of licensee.

3. In the event of the death of the contractor during the contract period, the legal heirs of the

deceased namely wife, son, daughter, widow dependent daughter-in-law may be allowed to

continue the unexpired portion of the contract purely at the discretion and permission of the

Railway Administration on production of legal heirs certificate subject to fulfilling the terms and

conditions stipulated in the agreement. -8-

4. The agreement shall at all times be opened to revision and amendment by the Railway

Administration after giving one month notice in writing of such revision or amendment at the

end of which any revision or amendment shall take effect, unless the contractor has objected

there to in writing giving 15 days after the receipt of said notice.

5. The existence or any dispute of difference or the initiation or continuation of the

arbitrating proceedings shall not postpone or delay performance by parties of their respective

obligations pursuant to the agreement.

6. Subject as otherwise provided in this agreement all notices to be given on behalf of the

President of India and all other actions to be taken on his behalf may be given or taken on his

behalf by the Sr. Divisional Commercial Manager, Solapur Division, Central Railway.

7. Except otherwise provided herein any agreement, oral or written abandoning the terms

hereof shall be of no effect and shall not be valid or binding or enforceable unless and until the

same is incorporated in the formal supplementary agreement in writing and signed by the parties

thereof.

8. In case the parking area is taken bank by the Railway Administration for necessary

redevelopment of station area every effort will be made to provide alternate area to licensee to

run this activity. If any area shorter than actually possessed or no alternative arrangement is

given to the licensee, it will not be treated as breach of contract from Railway side and no

liability on this score lies with Railway Administration.

34. OTHER TERMS & CONDITIONS:

1. The licensee shall ensure that the premises are not used for any purpose other than that

for which it is allowed under the Agreement. The premises should not be used for playing

games.

2. Licensee at his own discretion may demand sufficient proof of identity of user to allow

the parking space. The probable proof may be State/Central government ID proof, Voter/PAN

Card, Credit-Debit card with photo identity & journey ticket details.

3. In case of any frivolous participation in open tender by way of over bidding and mid way

leaving the contract non commencement of operation within stipulated time after acceptance of

LOA. Railway administration in addition to forfeiting due charges, may debar the licensee in

future tenders participation for a period of one year.

4. Railway shall have the right to cancel/revoke/terminate the agreement at any stage in case

of breach of any of the stipulated terms and conditions by the Service Provider or if their

performance is not found satisfactory. In such circumstances the security deposit shall be

forfeited.

5. It is expected that the licensee to run full term of the contract period as notified. In the

event of resigning the contract before the full term of the contract period as mentioned

“termination by licensee clause” the Security Deposit along with license fee paid in advance (if

any) will be forfeited. -9-

35. ARBITRATION:

1. If any dispute difference or question shall arise between the Railway Administration hre

to or interpretations of any of the terms and conditions as to its applications (except the decisions

whereof here in expressly and the contractor as to the respective rights and duties and obligations

of the parties provided for) then the same shall be dealt by Divisional Railway Manager, whose

decision shall be final and binding on both the parties. The cost of Arbitrator shall be borne by

the respective party. The cost of Arbitrator shall inter-alia include fee of the Arbitrator as per the

rate fixed by the Railway Administration from time to time. Where the award is for payment of

money, no interest shall be payable on whole or any part of the money for any period till the

date. Subject as aforesaid, the Arbitration Act 1996 and the Rules there under and any statutory

modification thereof shall apply to the arbitration proceedings under this clause. The venue of

the signed or such other places as the arbitrator at his discretion may determine.

36. RIGHT TO ALTER OR ADD RULES:

Central Railways reserves the right to alter or add to the above rules and such alterations

and additions shall be binding on the hirer. Such alterations will be made with appropriate notice

with approval of General Manager.
