(LETTER OF ACCEPTANCE) Dear Sir,

Sub: Nanded Division: Construction of Type –II quarters 5 units for ESMs,

construction of 08 units Type –II quarters on replacement of K type quarters at

Bolda (BLC) and Provision of COP on platform No. 1 & Platform No. 2 for

100 mtrs. length at Gangakhed station – Electrical arrangements.

Ref: Tender No. NED/E-25/2015-16.

Your offer for the above work at a total all inclusive cost of `11,23,252.00 (` Eleven lakhs

twenty three thousand two hundred and fifty two only) i.e. (-)7.7% (Minus seven point

seven percent) over Schedule B-I and AT PAR for Schedule B-II, is hereby accepted

subject to your acceptance of the following conditions.

1. The work should be carried out strictly as per schedule, special conditions, as furnished in

the tender booklet.

2. Security Deposit: You have to furnish the security deposit of `56,170.00 (` Fifty six

thousand one hundred and seventy only). The EMD of `23,710/- paid earlier will be

adjusted against the security deposit; balance of `32,460/- will be deducted from the

running bill at the rate of 10% of the bill amount till the full payment of security deposit

is received. The security deposit will be released only after the expiry of the maintenance

period and after passing the final bill based on the “No Claim Certificate”.

The performance Guarantee (PG) in the form of on irrevocable bank guarantee or

FDR (Auto renewal bank instrument) amounting 5% of contract value i.e. `56,170.00

(` Fifty six thousand one hundred and seventy only) is to be submitted within 30 days

from the date of issue of Letter of Acceptance (LOA). Extension of time for submission

of PG beyond 30 days and up to 60 days from the date of issue of LOA may be given by

the authority who is competent to sign the contract agreement. However a penal interest

of 15% per annum shall be charged for the delay beyond 30 days i.e. from 31st day after

the date of issue of LOA. In case the contractor fails to submit the requisite PG even after

60 days from the date of issue of LOA the contract shall be terminated duly forfeiting

EMD and all other dues if any against this contract. The failed contractor shall be

debarred from participating in retender of the work. PG shall be initially valid up to the

stipulated date of completion plus 60 days beyond that. In case the time of completion of

works gets extended the contractor shall get the validity of performance guarantee

extended to cover such extended time for completion of work plus 60 days. The

performance guarantee shall be released after the physical completion of the work based

on the “completion certificate” issued by the competent authority stating that the

contractor has completed the work in all respects satisfactorily.

3. Completion Period: Contractor will take up the work and complete it within 120 days

from the date of issue of acceptance letter.

4. Guarantee: (a) The Contractor shall guarantee for satisfactory working of the installations

erected by him, for a period of Twelve (12) months from the date of physical completion

of all works. If for any item guarantee period is more than 12 months as per

specification for that item, the guarantee period laid down for such item will holds

good. S.D. for the value of such items will be released after expiry of guarantee PERIOD

LAID DOWN IN the SPECIFICATION. S.D. FOR THE REMAINING VALUE OF THE

work will be released after 12 months of physical completion of all works. (b) During the period of Guarantee, the Contractor shall be liable for the replacement at site of

any parts which may be found defective in the equipment whether such equipment be of

his own manufacture or those of his sub-Contractor, whether arising from faulty design,

materials, workmanship or negligence in any manner on the part of the Contractor

provided always that such defective parts as are not repairable at site ,are promptly

returned to the Contractor if so required by him at his (Contractor’s) own expenses. In

case of type defects in Contractor’s equipment and components detected during guarantee

period, Contractor should replace all such items irrespective of the fact whether all such

items have failed or not. The Contractor shall bear the cost or repairs carried out on his

behalf by the Purchaser at site. In such a case, the Contractor shall be informed in advance

of the works proposed to be carried out by the Purchaser.

(c) If it becomes necessary for the Contractor to replace or renew any defective portion of the

equipment under the Para aforesaid then the provision of the said Para shall also apply to

the portions of the equipment on replaced or renamed until the expiration of six months

from the date of such replacement or renewal or until the end of the above mentioned

period whichever is late. Such extension shall not apply in case of defects of a minor

nature, the decision of the General Manager or his successor/nominee being final in the

matter. If any defect be not remedied within a reasonable time during the aforesaid period

the Purchaser may proceed to do work at the Contractor’s risk and expense, but without

prejudice to any other rights and remedies which the purchase may have against the

Contractor in respect of such defects or faults.

(d) The repaired or renewed parts shall be delivered and erected on site free of charge to the

purchaser.

5. Liquidated Damages: a) If the contractor fails to carry out, execute and complete the

work under this contract within the time prescribed as per the original acceptance latter

and agreement, penalty in terms of clause 14 of general conditions of contract will apply.

In unforeseen circumstances if found justified, the time of completion can be extended

without LD or with lump sum penalty by the Sr. Divisional Electrical Engineer/ Nanded

division, S.C. Railway, without any prejudice the L.D. clause mentioned here in.

b) The competent authority while granting extension to the currency of the contract under

clause 17(B) of GCC will also consider levy of token penalty as deemed fit based on the

merit of the case.

6. Mode of payment: Schedule B-I: - 70% payment will be made after every sub work wise

completion of work and balance 30% payment will be made after

successful completion of entire work.

Schedule B-II = 70% payment will be made after every sub work

wise supply of material and balance 30% payment will be made

after successful completion of entire work.

NOTE = The payments towards contractors /suppliers bill will be paid through electronic

payment system i.e. NEFT/ RTGS and commission charges if any to be borne by

contractor/ suppliers.

7. The contractor shall submit his/their bills to Sr. Divisional Finance Manager, Nanded

Division, S.C.Railway, Nanded through Sr. Divisional Electrical Engineer, Nanded

Division, and S.C.Railway as per terms and conditions of this agreement. The payment

will be made by Sr.DFM/NED and a sum equivalent to 2% of the billed amount towards

Income Tax, 3% towards Edd. Cess on Income Tax plus surcharge, 0.2% towards

surcharge, conservancy cess charges, 1% towards labour cess and VAT & Sales Tax as

applicable shall be deducted.

8. It is noted that you have agreed to all the terms and conditions of the Railway.

9. Please note that you have to execute an agreement as per the specimen copy enclosed in

the tender document embodying all the terms conditions immediately.

10. It may be noted that until a formal agreement is executed this acceptance letter itself shall

constitute a binding contract between you and the Railway Administration subject to

modifications as may be mutually agreed to.

11. This work will be executed under the direct supervision of Senior Section Engineer/

Electrical/ Maintenance /Purna.

12. Please return six copies of this letter of acceptance of tender duly stamped and signed on

each page in token of your acceptance.

13. The contractor is advised to draw and submit day wise programme for completing the

work.

14. The contract No. assignee to this work is NED/E.25/2015-16.

15. Please acknowledge the receipt of this letter.
