RESOLUTION2014‐001WHEREAS,themembersofBerry’sChapelUtility,Inc.,sogatheredinaspeciallycalledmeetingonMarch13,2014,desirefortheutilitytorespondtoourwishes,BEITSORESOLVED,ItistheintentofthemembershipofBerry’sChapelUtility,Inc.toinstructthenewlyelectedBoardofDirectorstoconductastrategicreviewoftheoperationsofthecompanyoverthenext30days.Thisreviewshouldincludeareviewofthecompanybylaws,aninventoryofalloftheassetsandliabilitiesofthecompany,aninspectionofallcontractsandagreementsenteredintobythepreviousmanagement,andanevaluationoftheoperationalefficiencyofthecompany.Uponcompletionofthisreview,awrittensummaryofallactionstakenandanyactionsrequiredbythememberswillbecommunicatedtoallmembersofthecorporation.
RESOLUTION2014‐002WHEREAS,themembersofBerry’sChapelUtility,Inc.,sogatheredinaspeciallycalledmeetingonMarch13,2014,desirefortheutilitytorespondtoourwishes,BEITSORESOLVED,thatthemembersherebyauthorizetheBoardofDirectorstotakewhateveractionsarelawfulandappropriatetosecuretheassetsofthecorporationandchangethecorporatedocumentstoreflecttheelectionofdirectors.
RESOLUTION2014‐003WHEREAS,themembersofBerry’sChapelUtility,Inc.,sogatheredinaspeciallycalledmeetingonMarch13,2014,desirefortheutilitytorespondtoourwishes,BEITSORESOLVED,thatthemembersherebyinstructtheBoardofDirectorstoamendtheCharteroftheCorporation,filedwiththeStateofTennessee,toreflectanewregisteredagent.ThatpersonshallbeapersonwhomtheBoardofDirectorsshallselect,andshallentrustwiththeresponsibilityofservingastheregisteredagent.FURTHERBEITSORESOLVED,theBoardofDirectorsisempoweredtoaddthefollowingadditionalitemtotheCharter:
XX(Insertpropernumberinghere).Thecorporationshallbeoperatedatalltimesinamannerconsistentwiththeprinciplesembodiedbyamember‐ownedcooperative,whichwereadoptedbytheInternationalCooperativeAlliancein1995.Theseprinciplesinclude:voluntaryandopenmembership,democraticmembercontrol,memberseconomicparticipation,autonomyandindependence,education,training,andinformation,cooperationamongcooperatives,andconcernforcommunity.
FURTHERBEITSORESOLVED,theBoardofDirectorsisempoweredtoaddthefollowingadditionalitemtotheCharter:
XX(Insertpropernumberinghere).ThecorporationhelditsfirstelectionofdirectorsfromwithinthemembershiponMarch13,2014atspecialcalledmeetingofthemembers.Alldirectorshenceforthshallbeelectedbythemembers,eitherataspecialorannualmeeting,exceptingcasesofvacanciesofdirectorsinwhichcasethebylawsofthecorporationshalldescribeamethodofreplacementuntilthenextspecialorannualmeetingofthemembers.
