Supplier Code of Business Conduct Dear Supplier: The Flowserve commitment to conducting business in an ethical, legal and socially responsible manner extends to our diverse and worldwide supply base. To ensure that the collective Flowserve Supply Chain conducts business with a high degree of integrity and in a socially and environmentally responsible manner, all Flowserve suppliers should adhere to our Supplier Code of Business Conduct. Dear Supplier:

The Flowserve commitment to conducting business in an ethical, legal and socially responsible manner extends to our diverse and worldwide supply base. To ensure that the collective Flowserve Supply Chain conducts business with a high degree of integrity and in a socially and environmentally responsible manner, all Flowserve suppliers should adhere to our Supplier Code of Business Conduct.

While we recognize that there are different legal and cultural environments throughout the world, this code sets forth the minimum requirements all suppliers should adhere to in order to do, or continue to do, business with Flowserve.

Flowserve Suppliers must comply with all international, national, country, state and local laws and ordinances and all lawful orders, rules, regulations, codes, standards and treaties. Non-compliance with any topic, rule, or regulation stated in this document will result in immediate termination of the business relationship and Flowserve will seek any available remedies at law or in equity for such violation.

Environment / Health and SafetyFlowserve suppliers are expected to:

• Comply with all international, national, country, state and local environmental, health and safety laws and regulations.

• Provide workers with a safe and healthy work environment, and manage their operations to minimize negative impact to the environment and community.

• Establish and maintain a management system or program that encourages continual improvement in environmental, health and safety performance.

Labor / Human Rights / Human ResourcesChild Labor: Suppliers must only employ workers who meet the applicable minimum legal age requirement. Suppliers are also expected to comply with all other applicable child labor laws.

Forced Labor: Suppliers should not use any prison, indentured or forced labor. Suppliers must support and respect the protection of internationally proclaimed human rights and ensure that they are not involved in human rights abuses. Suppliers should not engage in or support the use of corporal punishment or mental or physical coercion.

Wages and Hours: Suppliers’ plants must set working hours, wages and overtime pay in compliance with all applicable laws. Workers should be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is greater.

Discrimination: Suppliers are expected to employ workers on the basis of their ability to do the job, not on the basis of their personal characteristics or beliefs (including race, color, gender, nationality, religion, age, disability, maternity or marital status).

Freedom of Association: Suppliers’ workers should be free to join associations of their own choosing and have the freedom of collective bargaining where the local law confers such rights.

Human Trafficking and Slavery: Flowserve is opposed to slavery and human trafficking and is committed to complying with applicable laws prohibiting such exploitation. Suppliers are expected to fully comply with all laws, rules and regulations in support of Flowserve’s efforts.

Conflict MineralsIn adherence to Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act and SEC regulations possessing the intent of ending the human rights abuses in the Democratic Republic of Congo and its adjoining countries, Flowserve Suppliers are expected to:

• Source Conflict Minerals only from sources that are DRC Conflict Free for any products to be sold to Flowserve and require any sub-suppliers to do the same;

• Create and implement procedures for the traceability and origins of products containing Conflict Minerals and provide such records to Flowserve upon request; and

• Communicate to Supplier personnel and sub-suppliers policies that are consistent with this Policy, and require their direct and indirect suppliers to do the same.

Transportation / Logistics Flowserve suppliers must comply with all international, national, country, state, local laws and ordinances as well as all lawful orders, rules, regulations, codes, and treaties governing the transportation of goods and materials including the import and export thereof.

Regulatory Flowserve suppliers are expected to maintain strict compliance with all applicable laws regarding:

• Anti-corruption and anti-bribery, including in all cases the United States Foreign Corrupt Practices Act, the Organization for Economic Cooperation and Development Convention on Combating Bribery of Foreign Public Officials in International Business Transactions;

• Political contributions and payments;

• Import and export controls, including U.S. anti-boycott laws

• Trade and anti-trust.

Proprietary Information / Intellectual PropertyPrivacy, data and information security: Flowserve proprietary data and information is disclosed in confidence and shall be and remain Flowserve’s sole property, and such items or any copies, articles or parts therefrom will not be furnished to others without Flowserve’s written consent. Supplier agrees that:

• No rights or licenses are granted to Supplier for any communicated Flowserve proprietary data or information; and

• Supplier will protect the confidentiality of the Flowserve’s proprietary data and information in the same manner that it protects the confidentiality of its own similar confidential information, but in no event using less than a reasonable standard of care.

• Supplier will keep current a non-disclosure agreement with Flowserve to protect the integrity and proprietary nature of all Flowserve confidential information

EthicsThe Flowserve Code of Business Conduct sets forth the ethical and legal standards of business conduct expected from all Flowserve employees, as well as anyone else acting on behalf of Flowserve. As a supplier to Flowserve, it is essential that a supplier’s employees are made aware of the contents of the Flowserve Code of Business Conduct and the expectations for work and business behavior. A current version of the Flowserve Code of Business Conduct is available at www.flowserve.com. Additionally, it is the Flowserve expectation that suppliers have their own company Code of Business Conduct.

If any Flowserve employee engages in any type of unethical behavior, such as requesting anything of value from a supplier, the supplier is asked to report the incident to the Flowserve Ethics Hotline.
