Introduction The relationship between Cognizant Technology Solutions (“Cognizant”) and its third party representatives, suppliers, vendors, and subcontractors (collectively, “Suppliers”) is important and plays an integral part of achieving and maintaining high performance in our business. Together with our Core Values and Standards of Business Conduct (our “Code of Ethics”), these Supplier Standards of Conduct (“Supplier Standards”) set forth the minimum standards and practices that Cognizant’s Suppliers are required to uphold. A copy of our Code of Ethics is available on our website at http://www.cognizant.com/OurApproach/CodeofEthics.pdf . These principles apply to Suppliers and their parent, subsidiary and affiliated entities. Cognizant is committed to helping Suppliers comply with these standards. Accordingly, should your organization have any questions or concerns regarding these Supplier Standards, you should immediately contact us at [email protected]. In addition to complying with these Supplier Standards, Cognizant encourages its Suppliers to publicly disclose their performance record with respect to environmental, social, and governance (“ESG”) practices, and in turn to apply these standards to their suppliers. Thank you for your continued efforts and collaboration to adhere to our Supplier Standards. Our Supplier Standards are built on a framework of Cognizant’s core values as further described in our Code of Ethics: Competing Honestly and Fairly in the Marketplace; Respect for Others; Compliance with Laws, Rules & Regulations; Avoiding Conflicts of Interest; and Integrity. All Suppliers should carefully review our Code of Ethics and ensure that all of Supplier’s personnel associated with Cognizant strictly comply with its standards of business conduct in its dealings with Cognizant and others in the course of its relationship with Cognizant. Cognizant has developed these Supplier Standards to further clarify our global expectations in the areas of employment practices, associate health and safety, environmental management and business integrity. Compliance with these Supplier Standards, as they may be updated or amended from time to time, is mandatory in all of our procurement contracts with Suppliers. Specifically, we expect our Supplier’s to adhere to the following standards, which are based on the standards of the International Labor Organization, and other internationally recognized standards: 1. Comply with all applicable laws and regulations of the country and locale in which it operates 2. Compete ethically for our business without paying bribes, kickbacks or giving anything of material value to secure an advantage 3. Provide a workplace free from discrimination, harassment or any type of abuse 4. 5. Ensure that all forms of forced or compulsory labor are forbidden in any operations

6. Provide safe working conditions for all employees and comply with all local laws with respect

to wages, hours and benefits

7. Comply with all applicable environmental laws, regulations and standards and commit to

reducing negative environmental impact

8. Keep accurate financial books and records to support the audit of any Cognizant invoices

9. Divulge all potential conflicts of interest prior to contract.

Violation of Our Supplier Standards of Conduct

Suppliers will be monitored through surveys, questionnaires and/or audits. Remediation plans maybe devised when deficiencies are found. However, failure to comply with these Supplier Standardsmay result in termination as a Cognizant Supplier and referral of the matter to local authorities.

Cognizant Suppliers may report suspected violations of these Standards of Conduct or specificconcerns regarding Cognizant’s financial affairs, accounting practices, auditing matters, corruptionor fraud, or other violations of our Code of Ethics to the Cognizant Compliance HelpLine,available 24 hours a day, seven days a week or by visiting the encrypted website athttps://www.compliancehelpline.com/welcomepagecognizant.com. Use the Compliance HelpLineonly to make a good faith claim. Cognizant takes all Helpline allegations seriously.
