OurPurchasingteam’smissionistoprocurethehighestquality,bestvalueandmosttechnologicallyadvancedgoodsandservices from the leadingglobalsuppliers,and tobuildasupplychain thatoperatesethicallyandresponsibly.

WearesettingouttoimprovethesustainabilityofoursupplychainbystrengtheningourSustainablePurchasingGuidelines.TheseupdatedSustainablePurchasingGuidelines(SPG)aimtoensurethatourdirectsuppliersandothersinthesupplychainunderstandourapproachtoenvironmentalandsocialissues.ThisdocumentclearlysetsoutToyota’srequirementsforourbusinesspartnersandalsohelpssupplierswithlegalcompliance.

The following sections have been added to the 2013 version: Anti-bribery andConflict of Interests, Delivery,ProductionPreparation,ToyotaEnvironmentalChallenge2050,Reductionof impactonwaterenvironmentandEstablishingasocietyinharmonywithnature.

Ourexpectationisthatourbusinesspartners/supplierswillnotonlyimplementnecessarypoliciesandproceduresattheirowncompany,buttheywillalsopromoteandensurethesameresponsiblebehaviourintheirownsupplychains.

AllPurchasingatToyotaisorientedtowardcreatingvehiclesthatwillearnthesatisfactionofcustomers.Ittakesplaceinaccordancewiththefollowingthreepolicies:

1. Fair competition based on an open-door policy

Toyotaisopentoanyandallsuppliers,regardlessofnationality,size,orwhethertheyhavedonebusinesswithusbefore.Ourchoiceofsuppliersisbasedpurelyonbusinessconsiderations.Weevaluatetheoverallstrengthsofprospectivesuppliers,includingtheirquality,technologicalcapabilities,andreliabilityindeliveringtherequiredquantitiesontime.

Also,weevaluatetheirpotentialstrengths,asevidencedinsuchwaysastheiramenabilitytocontinuing,kaizenimprovements.Inaddition,weevaluatesuppliers’commitmenttoaddressingsocialexpectations,especiallywithregardtoenvironmentalissues.

Supplier CSR Guidelines

At Toyota,we remain committed to advancing the quality of life through the products and serviceswe offer.Therefore,wehopetocontributetotherealizationofasustainablesocietythroughthefollowingphilosophyandactivitiesinadditiontoimplementingthoroughenvironmentalmanagement:

1. Share Basic Management Philosophy

Wewouldliketocarryoutthefollowingphilosophytogetherwithoursuppliers:

• CreationofWorkEnvironmentbasedonRespectforourEmployeesOrganizetheenvironmenttofostertrustbetweenworkersandmanagementanddevelopaworkclimatetopromotehumandevelopment.

• Monozukuri based on Genchi-GenbutsuGenchi-Genbutsu-focusingallcorporateactivityontheactualneedsinthemarketplaceandonconditionsintheworkplace.WepractiseGenchi-Genbutsu,gotothesourcetofindthefactstomakecorrectdecisions,buildconsensus,andachievegoalsatourbestspeed.

• RelentlessKaizenEffortsWeimproveourbusinessoperationscontinuously,alwaysdrivingforinnovationandevolution.

• Two-way CommunicationAutomobilemanufacturingatToyotaisajointendeavourbetweensuppliersandToyota.

2. Toyota’s Expectations of Suppliers for providing “Products and Services”

Weexpectsupplierstoprovidethebestpossibleproductsatthelowestpossiblecost.Thismustalsoconsiderprovidinginthetimeliestmanneronastableandlong-termbasis.

Suppliers need to undertake product development and deploy manufacturing processes that address thecustomers’needsandwantsoftodayandtomorrow.

Therefore,ourfivemainexpectationsareasfollows:

1. Safety Manufacturingiscarriedoutbypeople,soitismostimportanttosecureasafeenvironmentforpeopletocarry

outmanufacturingwithoutworry.Inasafeworkingenvironment,workerscanconcentratetheireffortsonmanufacturing,andmakeproductsofgoodquality.

2. Quality Our highest priority at Toyota is quality. Consistently high quality is the biggest reason for the excellent

reputationofourproductsaroundtheworldandforthetrustweenjoyfromcustomers.Weneedtokeepupwithcustomers’increasingexpectationsofvehiclequality.Weappreciatesuppliers’understandingthatqualityisanabsoluteprerequisiteforourbusiness,andweassumethatallToyotasupplierswilldevotethemselvestoqualityindevelopmentandproduction.

3. Delivery and Production WeatToyotamaximizeefficiencythroughleanmanufacturing,producingonlywhatisneeded,onlywhenitis

needed,andonlytheamountthatisneeded.Weexpectsupplierstocontributetothisleanefficiencythroughflexible,error-freeexecutioninpreparationformassproduction,inmassproduction,andindelivery.

4. Cost Weexpectsupplierstoofferthemostcompetitivecostintheworld.Suppliersneedtodevelopnewtechnologies

andinnovativeproductiontechnologiestosupporttheircontinuingcostreduction.

5. Technological Capabilities Customerandsocialexpectationsaremountinginthreemainareas;technologiesforenvironmentalprotection,

safety,andcomfort.Oursuppliersneedtograsptheseexpectationsandtoaddressthemastepaheadoftheir competition through innovative products and technologies. Our suppliers also need to broaden themarketabilityoftheirproductsthroughdramaticcostreduction.

3. Toyota’s Expectations of Suppliers in the Process of Developing “Products and Services”

WeexpectsupplierstocomplywiththefollowingitemstoundertakeCSRactivities.

We also expect suppliers to deepen and expand CSR initiatives with business partners by developing anddeployingindividualCSRpoliciesandguidelinesincorporatingthefollowingitems:

3.1. Legal Compliance

CompliancewithLawsandtheSpiritthereof

• Complywithapplicablelawsandregulationsofeachcountryandregionaswellasthespiritthereof.

• Establish and implement policies, structure and mechanisms for ensuring and verifying legal complianceincludingacodeofconduct,confidentialcompliancehotlineandtraining.

ManagementandProtectionofConfidentialInformation

• Manageandprotectcompany’sconfidentialinformationsuchastradesecretsandusesuchinformationinanappropriatemanner.

• Obtain confidential information concerning other companies only from authorized personnel by legitimatemeans.Verifythepermissiblescopeofuseandotherconditionsconcerningsuchconfidentialinformationanduseitonlywithinthescopeallowed,whilemaintainingitsconfidentialityandnotinfringingupontherightsoftheothercompanies.

• Obtain personal information concerning employees, customers and business partners only by legitimatemeans.Manageandprotectsuchinformationinasecuremanner,andusetheinformationonlywithinthescopeallowed.

ProtectionofIntellectualProperty

• Continuallymonitorandprotectallintellectualpropertyofthecompanyagainstanyinfringementbyothers.

• Donotinfringetheintellectualproperty(suchaspatents,utilities,designsandtrademarks)ofothers,illegallyusesuchintellectualpropertyormakeillegalcopiesofsoftwareorpublications.

Compliance with the Competition Laws

• Donotengageinillegalactsagainstthecompetitionlawsandregulationsofeachcountryandregionincludingprivatemonopolies,unreasonablerestraintoftrade(cartel,collusivebidding,etc.)orunfairtradepractices.

Export Controls

• Comply with laws and regulations concerning export controls, thoroughly implement such controls andestablishmanagementasconfirmingwhetherproducts,technologyorotherexportsaresubjecttoregulations,andprepareandprovidedocumentationofsuchconfirmation.

Anticorruption Measures (SEE CHAPTER B: TME’S ANTI-BRIBERY AND CONFLICT OF INTEREST GUIDELINES)

• Complywithapplicablelawsandregulationsconcerningpoliticaldonationsorcontributionsandstrivetobuildtransparentandfairrelationshipswithpoliticalpartiesoradministrativebodies.

• Donotengageingivingorreceivingpresents,entertainmentormoneywithcustomers,suppliersandotherbusinesspartnersinordertoacquireormaintainunjustinterestorwrongfulpreferentialtreatment.

3.2. Human Rights/Labour

Non-Discrimination

• Donotdiscriminateonthebasisofpersonalcharacteristicsprotectedbylocalapplicablelawsandregulations,suchasrace,ethnicandnationalorigin,religion,age,gender,etc.-withregardstoallaspectsofemployment,includingapplicationprocess,hiring,promotion,compensation,accesstotraining, jobassignment,wages,benefits,discipline,terminationand/orretirement.

RespectandDignity–Harassment

• Donottolerateanyformofharassmentintheworkplacebaseduponthepersonalcharacteristicsprotectedbylocalapplicablelawsandregulations,suchasrace,ethnicandnationalorigin,religion,age,gender,etc.

• Harassmentmayinvolveverbal,visualorphysicalconductthatnegativelyinterfereswithworkperformance,diminishes the dignity of any employee, or creates an intimidating, hostile or otherwise offensive workenvironment.

• Implement procedures for prompt reporting and examination of any harassment complaints and enableemployeestoreportanyinstancesofharassmentwithoutfearofreprisal,intimidation,orharassment.

Child Labour

• Donotusechildlabour.

• Theminimumageforemploymentshallbe15yearsofage,thelegalminimumageforemployment,ortheageforcompletingcompulsoryeducation,whicheverisgreatestunderthelocalapplicablelawsandregulations.

• Donotuseemployeesunder18yearsofageforhazardouswork.

• Bonafidejobtrainingorapprenticeshipprogrammespermittedunderthelocalapplicablelawsandregulationsmaybeallowed.

Forced Labour

• Donotuseforcedlabour.

• Ensurethatallworkisvoluntaryandemployeesarefreetoleaveworkorterminatetheiremployment.

• Do not require employees, who must work in a legal status, to surrender passports, government-issuedidentifications,orworkpermitsasaconditionofemployment.

• Ensurewages,othercompensation,benefitsanddeductionsaredetailedandexplained,incompliancewithlocalapplicablelawsandregulations,clearlyandregularlytoemployees.

WorkingHours

• Complywithlocalapplicablelawsandregulationsgoverningemployees’workinghours, includingovertimework.

FreedomofAssociation

• Recognizeemployees’righttofreelyassociate,ornottoassociate,complyingwithlocalapplicablelawsandregulationsinwhichweoperate.

• Encourage employees to communicate openly and directly with management without fear of reprisal,intimidation,orharassment.

SafeandHealthyWorkingEnvironment

• Placethehighestpriorityonsafetyandhealthprogrammesandpoliciesatwork,sothateachemployeeisabletoworkwithoutundueconcerns,andstrivetopreventaccidentsandinjuriesfromhappeningatwork.

3.3. Local/Global Community

Environment(SEE CHAPTER F: ENVIRONMENT)

• Pursuegrowthinharmonywiththeenvironmentandaimforzero-emissionsinyourbusinessactivities.

• EstablishanEnvironmentalManagementSystem(EMS)thatcanpromoteenvironmentalpreservationactivitiesandcontinuouslyimprovethem,inadditiontocomplywithapplicableenvironmentallawsandregulationsineachcompany.

• Promote proper management for environmental Substances of Concern (SoC) as well as improvingenvironmentalperformance.

Responsible Material Procurement

• Obtainmaterialswithfulldeliberationandcaretoavoidtheprocurementoruseofmaterialswhichareunlawfulorwhichareobtained throughunethicalorotherwiseunacceptablemeans (suchasconflictminerals*).Weexpectsupplierstotakeappropriatestepstodiscontinueprocurementofthesematerialsifuseisdetected.

*MineralsoriginatingfromtheDemocraticRepublicoftheCongoandneighbouringcountriesthathavedirectlyorindirectlycontributedtothefinancingofarmedgroups.

For the purposes of theseGuidelines, “TOYOTA entity”means any companywithin the TOYOTA group ofcompaniesworldwidewhichcontrols,iscontrolledby,orisundercommoncontrolwithTME(“control”meansthedirectownershipoffiftypercent(50%)ormoreofthevotingrightsorotherrightstodirectmanagementinsuchcompany).

• suppliersofgoods,software,…;

• serviceproviders;

• distributors;

• commercialagents;

• salesrepresentatives;

• externalconsultants,counselsoradvisors(includingtaxandfinancialadvisors,accountantsandlawyers);

• investigationagenciesoragents;

• tradinghouses;

• joint-venturepartners;

• contractorsorsubcontractors;and

• intermediaries.

ForthepurposesoftheseGuidelines,whentheBusinessPartnerisanentity,thereferenceto“BusinessPartner”shallincludetheentityitself,itsemployees,aswellitsaffiliatedcompanies,itssub-contractorsandconsultants.

ForthepurposesoftheseGuidelines,“employee”or“employees”shallmeanemployees,managersandofficers.

TheseGuidelineswere compiled to reflect global standards of anti-corruption / anti-bribery related laws andregulationsasapplicablewhenBusinessPartners aredealingwithTMEand/or anyTOYOTAentity. In certaincountriesorregions,theremaybeapplicablelawsandregulationswhicharestricterthantheseGuidelinesandwhichwouldthensupplementtheseGuidelines.

Anti-Bribery

Corruption /bribery is illegal inmanycountriesand regions.Therefore, in theirdealingswithTMEand/oranyTOYOTA entity, all Business Partners are expected to comply with these Guidelines or guidelines which aresubstantiallysimilartotheseGuidelines,aswellaswithallapplicablelawsandregulations.

Business Partners must never be involved in corruption / bribery acts, whether directly or through third parties, such as, for example, advisors, consultants, agents or intermediaries.

Acertainconductthatmaybetoleratedinaparticularcountrymaynotbepermittedinlightofglobalstandards,andacertainconductthatwasformerlylawfulandtoleratedmaysubsequentlybecomeillegalornolongertolerated.

1. Principles

TMEshallnotseektomakeanyprofits inawaythatwouldrequireresortingto impropermeans, includingactsofcorruption/bribery.TMEdoesnottolerateanyactofcorruption/bribery(asdefinedbelow),including,withoutlimitation:

a. theoffering,promisingorgivingofbribes(activebribery);b. therequesting,agreeingtoreceiveoracceptingofbribes(passivebribery);c. thebriberybyothersonbehalfofTMEand/oranyTOYOTAentity,withorwithoutknowledgeofTMEand/orany

TOYOTAentity;andd. extortion,abuseofpower,embezzlement,moneylaunderingandanysimilarcriminalactivity.

TMEdoes not do businesswith any person or entitywhich initiates, is involved in or authorizes acts ofcorruption/bribery,andTMEshallthereforerefrainfrompursuingorinitiatinganydealingsorrelationshipswithsuchpersonsorentities.

2. Prohibition to commit acts of corruption / bribery or to accept bribes

Acts of corruption / briberya. The Business Partner shall comply with all applicable anti-bribery / anti-corruption laws and regulations,

including,withoutlimitation,anyrelevantforeignlawsandregulationswhichwouldbeapplicable,aswellaswithallothersimilarapplicablelawsandregulations.

b. The Business Partner must not offer,promiseorgive,directlyorthroughanythirdparty,irrespectiveinwhichcountry,forthepurposeofobtainingorretainingbusinessoranadvantageintheconductofbusinesswith,fororinconnectionwithTMEand/oranyTOYOTAentity, any money or other financial advantage or anything of value(hereinreferredtoasa“Bribe”;seemoredetaileddefinitionbelow)to:i. apublicofficial,anemployeeofapublicorganization,oranypersonhavingasimilarfunction(hereinreferred

toasa“PublicOfficial”;seemoredetaileddefinitionbelow);and/orii. anythirdpartyotherthanaPublicOfficial(including,withoutlimitation,TMEand/oranyTOYOTAentity,or

anyemployeeofTMEand/orofanyTOYOTAentity),withtheintentiontoinfluenceanyactbysuchPublicOfficial(inhis/herofficialcapacity)orsuchthirdpartyortoinducesuchPublicOfficialorsuchthirdpartytoimproperlyperformarelevant(official)duty,functionoractivityortorewardsuchPublicOfficialorotherthirdpartyfortheimproperperformanceofsuch(official)duty,functionoractivity,neithershalltheBusinessPartnerauthorizeanyoftheabove-mentionedacts.

c. TheBusinessPartnershallnot, in theconductofbusinesswith, foror inconnectionwithTMEand/oranyTOYOTAentity,request,agreetoreceive,oracceptaBribe,directlyorthroughathirdparty, irrespectiveinwhichcountry,inconnectionwithanyimproperperformanceofarelevantfunctionoractivityforanythirdparty.

The(activeandpassive)actsofcorruption/briberymentionedunderitems(a)and(b)abovearehereinreferredtoas“ActsofCorruption/Bribery”).

Consequences of Acts of Corruption / BriberyActsofCorruption/BriberyundertakenbytheBusinessPartnermayexposeTMEand/oranyTOYOTAentity,aswellastheBusinessPartneritself,toseverelegal/criminalliability.ThecriminalsanctionsforActsofCorruption/ Bribery imposed on individualsmay include imprisonment in addition to fines. Acts of Corruption / Briberytargetingprivateindividualsorentitiesconstituteacriminaloffenceinmanyjurisdictionsandcarriesseverecriminalsanctionsfortheindividual(s)involvedandgenerallyalsoforthecorporateentity/iesinvolved.ActsofCorruption/BriberytargetingPublicOfficialsconstituteacriminaloffenceinvirtuallyall jurisdictionsandcarryoftenmoreseverecriminalsanctionsfortheindividual(s)involvedandgenerallyalsoforthecorporateentity/iesinvolved.

Furthermore,ActsofCorruption/BriberymaycauseconsiderabledamagetothereputationofTMEandTOYOTAentities,oftheToyotagroupworldwideandofthebrandsoftheToyotagroup.TheBusinessPartnerhasthereforetheobligation toavoidanyacts,practicesorconducts,whichmaybeconsideredormisconstruedasActsofCorruption/BriberywhentheBusinessPartnerhascontactswithaPublicOfficialoranyotherthirdpartyintheframeworkofitsactivitiesorconductofbusinessfor,withorinconnectionwithTMEand/oranyTOYOTAentity.

ThefollowingActsofCorruption/BriberymayalsotriggerTME’sand/oranyTOYOTAentity’slegal/criminalliability:

• actsofCorruption/Briberycommittedthroughtheuseofthirdpartiessuchasagents,consultants,distributors,suppliers,affiliatedcompaniesoftheBusinessPartner,etc.fororonbehalfofTMEand/oranyTOYOTAentity;

• awarenessortolerancebytheBusinessPartnerofsuchActsofCorruption/BriberycommittedbysuchthirdpartiesfororonbehalfofTMEand/oranyTOYOTAentity;

• iftheBusinessPartnerneglectsoromitstotakeactionwhenitisawareoffactsorsuspicionsrelatedtosuchActsofCorruption/Bribery.

InsuchsituationstheBusinessPartnermayalsofacelegal/criminalliability,whichmaybeassevereasifsuchActsofCorruption/BriberyhadbeencommitteddirectlybytheBusinessPartneritself.

TheBusinessPartnermayfacelegal/criminalliabilityforActsofCorruption/BriberyevenwhenneitherTME/anyTOYOTAentitynortheBusinessPartneractuallybenefitfromtheActofCorruption/Bribery,evenwhenthebribedperson(PublicOfficialorotherthirdparty)didnotacceptanyBribe,andalsoevenwhennoconductofsuchpersonisinfluencedorwhennorelevantfunctionoractivityisperformedimproperly.

TherequestoracceptanceofaBribebyaBusinessPartnerintheconductofbusinesswith,fororinconnectionwithTMEand/oranyTOYOTAentity,directlyorthroughathirdparty,irrespectiveinwhichcountry,inconnectionwithanyimproperperformanceofarelevantfunctionoractivityforanythirdpartymayexposetheBusinessPartnerinvolvedtolegal/criminalliabilityforbeingbribed.

Who is to be considered as a Public Official?ThefollowingareexamplesofPublicOfficials,irrespectiveoftherelevantcountry(non-exhaustivelist):

• membersof(local,regional,national)governments/parliaments,

• officialsofpublicauthoritiesorgovernmentalbodies(suchas,forexample,taxinspectors,customsofficials,policeofficers,competitionauthorities),

• officersandemployees/representativesofcompaniesorbodiescontrolledorsubsidizedbygovernments/publicauthorities(suchgovernment-controlledentitiesincludeanorganizationthatiseffectivelycontrolledbyagovernment,governmentagencyoralocalgovernment,etc.throughthedispatchofprincipaldirectors,etc.,irrespectiveofthegovernment’sshareholdingratioinsuchorganization;examplesincludestate-runorsemi-publicentitiesengaginginpublicservicessuchaselectricity,gasandrailways,universities,hospitals,researchinstitutes,etc.),

• officials/employeesofpublicinternationalorganizations(suchas,forexample,theinstitutions,agenciesorotherbodiesoftheEuropeanUnion),

• representatives/membersofpoliticalparties,

• candidatesforpolitical/publicoffice,

• (where applicable) persons who belong to private international organisations and are in the concernedcountries considered as public officials (such as, for example, the International Olympic Committee, theInternationalRedCross),

• personsperformingpublic functions onbehalf of the aforementionedpersons (for example, an inspectionagencyorexaminationinstitutiondesignatedbyagovernment),and

• anyotherindividualsorentitiesinvolvedinpublicfunctions/activities.

Whatconstitutes“obtainingorretainingbusinessoranadvantageintheconductofbusiness”?

Thefollowingareexamplesof“obtainingorretainingbusinessoranadvantageintheconductofbusiness”(non-exhaustivelist):

i. simplificationorfacilitation(expedition)ofprocedures,ii. totalorpartialtaxexemptions,iii. obtainingalicence,permissionorapproval,iv. obtainingcommercialtransactions/contracts,v. obtainingafavourableevaluationorrecommendation,vi. obtainingconfidentialinformation,vii. requestnottodisclosemisconductsorscandals,viii. overlookingaviolationofthelaw,andix. avoidanceormitigationofapenalty(fine,administrativefee).

What constitutes a Bribe?ABribeisacontribution(financialorother)thatis(directlyorindirectly)offered,promisedorgiventoanotherperson(whetheraPublicOfficialoraprivatepersonorentity)inordertopersuadethemtoactimproperlyortoperformtheirdutiesimproperly,ortorewardthemforactingimproperlyorforperformingtheirdutiesimproperly,orwiththeintentionofinfluencingthemintheperformanceoftheirduties,soastogaina(i)personaladvantage(suchas,forexample,cash,employmentopportunities),(ii)abusiness-relatedadvantage(suchas,forexample,acommercialadvantage(e.g.,favourableprices/discounts,afavourablechangetoasupplierselectionprocedure,accesstoconfidential business information), a contractual advantage (e.g., favourable termsandconditions in a supplycontract),or(iii)aregulatoryoradministrativeadvantage(e.g.,afavourabledecisionbyanauthorityorfavourabletermsinanewregulation,afavourableresultofaninspection).

ABribemaybeanythingofvalue,andnotjustmoney,suchas(non-exhaustivelist)gifts,giftvouchers,(corporate)hospitality, entertainment, rebates, discounts, payment or reimbursement of travel expenses, contributions,donationsandsponsorship,shares,loans,guarantees,accesstoorofferofemployment,facilitationpayments(seebelow),etc.

Facilitation PaymentsA“facilitation”or“grease”paymentisapaymentoragift,usuallyofsmallvalue,withoutanylegalbasis,madetoapublicofficialtospeeduporsecuretheperformanceofaroutine,governmentalactionwhichtheofficialisalreadyobligedtoperform.Examplesofsuchactions:processinggovernmentalpapers(e.g.,issuing/extendingvisasandworkpermits),schedulinginspectionsassociatedwithcontractperformanceortheshipmentofgoodsorloadingandunloadingcargo,customsclearance,issuingbuildingpermits.Insomecountriessuch“facilitation”or“grease”paymentmayeffectivelyberequestedbyaPublicOfficial.

TME does not make or allow facilitation payments of any kind.Indeed,“facilitation”or“grease”paymentsofanykindareconsideredBribesandarethereforestrictlyprohibited.

Facilitation paymentsmadeby aBusinessPartner for the purpose of obtaining a favour or advantage in theconductofbusinessforTMEand/oranyTOYOTAentitymayexposeTMEand/orsuchTOYOTAentity,aswellassuchBusinessPartnerinvolvedinsuchact,tolegal/criminalliability.

3. Gifts and hospitality

Thetraditionofgivingandreceivinggiftsandhospitalityisrecognisedasanestablishedpartofdoingbusiness.However,thisisadelicateareaandinordertoavoidtheriskofmisconductinthismatter,certainprinciplesandrulesmustbecompliedwith:

• Asageneralrule,TMEdoesnotencourageitsemployeestoacceptgiftsandhospitalityfromanyBusinessPartnerand, therefore,TME does not encourage its Business Partners to offer gifts and hospitality to employees of TME.EmployeesofTMEmustcomplywithcertainrulesandguidelinesasregardsreceivinggiftsandhospitality.Therefore,ifaBusinessPartnerwouldwishtoofferagiftorhospitalitytoanyemployeeofTME,itshallalwayspro-activelyandbeforeofferingsuchgiftorhospitalitytoanemployeeofTME,andevenifsuchofferingwould

becompliantwiththeBusinessPartner’sownrulesandguidelines,verifythatsuchofferingisinlinewithTME’sabove-mentionedrulesandguidelines(forexample,bypro-activelyrequestinganexplanationaboutsuchrulesandguidelinesfromthemanagementofthedivisionwithinTMEwhichtheBusinessPartnerisdealingwith);and

• Thesameprinciplesasspecifiedaboveapplywithrespecttotheacceptance,byaBusinessPartner,ofanygiftorhospitalityfromanemployeeofTME.

4. Implementing these guidelines

TheBusinessPartnerisrequestedtoraiseawarenesswithrespecttotheapplicableanti-corruption/anti-briberylawsandregulations,aswellastheseGuidelinesamongitsemployeesinanappropriatemanner,i.e.:

a. havingaproperanti-briberypolicyorguidelines;b. raisingawarenessthroughtrainingprogrammes;c. instructions to its employees to immediately report internally as appropriate facts, suspicions, doubts or

concernsaboutActsofCorruption/BriberyoranyinvolvementinanyActofCorruption/Bribery,etc.).

Inaddition,theBusinessPartnerisrequested,asmaybenecessaryandappropriate,toraiseawarenessofthoseofitsemployeesintheconductofbusinesswith,fororinconnectionwithTMEand/oranyTOYOTAentitywithrespecttotheprohibitionsandobligationsintheseGuidelinesamongtheBusinessPartner’sownbusinesspartners.

TheBusinessPartnershallalsoprovide,whensorequestedbyTME,anyrelevantinformationanddocumentationtoenableTMEtoverifytheBusinessPartner’scompliancewiththeseGuidelinesandanyapplicableanti-corruption/anti-briberylawsandregulations.

Should the Business Partner’s employees, consultants, sub-contractors, affiliated companies, etc. becomeinvolvedinanyactualorsuspectedActofCorruption/Bribery,theBusinessPartnershallfullycooperatewithanyinvestigationconductedbyTMEorbytherelevantauthoritiesinrelationthereto.

TMEshallensurethattheagreementswithitsBusinessPartnerscontainappropriatereferencesconcerningthecompliancewiththeseGuidelinesorotherguidelineswhicharesubstantiallythesameastheseGuidelines,aswellaswithanti-corruption/anti-briberylawsandregulations.TMEshallalsoensurethatsuchcontractscontainappropriate clauses, such as, without limitation, hold harmless and indemnification clauses, concerning theconsequences,forTMEand/oranyTOYOTAentity,ofanyandallActsofCorruption/BriberywhichtheBusinessPartnerwouldhavecommitted.

IntheeventthataBusinessPartnerisinvolvedinanActofCorruption/Bribery,TMEmayterminatewithimmediateeffectandwithoutbeingliableforanycompensationtosuchBusinessPartneranycontractualrelationshipwithsuchBusinessPartner.

5. Reporting

TMErequeststhatitsBusinessPartnerswouldreporttoTMEingoodfaithfactsorsuspicionsregardingactualor suspected Acts of Corruption / Bribery committed by the Business Partner’s employees, sub-contractors,consultants,etc.,orinvolving,inanyway,theabove-mentionedpersons,intheconductofbusinesswith,fororinconnectionwithTMEand/oranyTOYOTAentity.

TMEalsorequeststhatitsBusinessPartnerswouldreporttoTMEanyactof(activeorpassive)corruption/briberycommittedby,orinvolving,anyemployee,sub-contractor,consultant,etc.ofTMEoranyTOYOTAentity,whichtheywouldbecomeawareof,oranyserioussuspicionsorconcernsrelatedthereto.

AnyreportasmentionedaboveshouldbemadetotheattentionoftheComplianceOfficerofTMEviathee-mailaddressTME.compliance@toyota-europe.com.

Conflict of interest based on personal interests of TME employees in business partners

IncaseanyemployeeofTMEand/oranyTOYOTAentitywouldhaveapersonalinterestinanyBusinessPartner,withwhichTMEoranyTOYOTAentityhasbusinesstransactionsordealingswithorenvisagestohavebusinesstransactions or dealings with (such as discussions, negotiations, actual transactions, partnerships, (verbal orwritten)contractualrelationships,etc.),thismaygiverisetosituationswhereaconflictofinterest–realorperceived–couldarisewherebysuchemployeeofTMEmaynotbeinapositiontoremainindependent(andseentobeindependent)fromsuchBusinessPartner.Suchsituationsmustnotbeallowed.

ForthepurposesoftheseGuidelines,“personalinterest”means(non-exhaustivelistofexamples):investinginoracquiringanydirectorindirectfinancialoranyotherdirectorindirectinterest(whateverthenature,valueorformofsuchinvestmentorinterest)inaBusinessPartneroranycompanyaffiliatedtosuchBusinessPartner,aswellastheexistenceofaspecialorclose(including,withoutlimitation,family)relationshipbetweenanyemployeeofsuchBusinessPartnerandanemployeeofTMEwhoisinvolvedindealingswithsuchBusinessPartner.Thelatterincludesanytypeofrelationshipthatexceedsthe“atarm’slength”professionalbusinessrelationshipandisofsuchnaturethatitinfluencesormayinfluencetherelevantpersonsintheperformanceoftheirdutiesoractivities.

Asregardsthesituationsofconflictofinterest,asdescribedabove,TMEwillpromptlyinformaBusinessPartnerofanysuchsituationwhichTMEhasbecomeawareof.

Furthermore,TMErequeststhatitsBusinessPartnerswould:

i. refrainfromcreating,contributingtoorparticipatinginanysituationwherebyanyemployeeofTMEwouldreceive,obtainorhaveanypersonalinterest(asspecifiedabove)inorwiththeBusinessPartner;and

ii. reporttoTMEingoodfaithanypersonalinterest(asspecifiedabove)ofanyemployeeofTMEinorwiththeBusinessPartnerwhichBusinessPartnerhasbecomeawareof;suchreportshallmentionthenameofsuchemployeeofTMEandthenatureofthepersonalinterestinsuchBusinessPartnerandshouldbemadetotheattentionoftheComplianceOfficerofTMEviathee-mailaddressTME.compliance@toyota-europe.com ortothemanagementofsuchemployee.

IncaseaBusinessPartnerand/orTMEbecomeawareofasituationofconflictofinterest,theywill,wherefeasible,promptlyimplementtheappropriatemeasurestoputanendtosuchasituation.

IntheeventthattheBusinessPartnerconcernedhasbeencreating,contributingtoorparticipatingtoasituationofconflictofinterestand/ortherewasnopossibilitytoputanendtosuchasituation,TMEmayterminatewithimmediate effect and without being liable for any compensation to such Business Partner, any contractualrelationshipwhichTMEmayhavewithsuchBusinessPartner.

Review of these guidelines

These Guidelines are subject to applicable anti-corruption / anti-bribery laws and regulations, and can beadjustedormodifiedfromtimetotimebasedonchangestosuchapplicable lawsandregulations,toTME’spoliciesand/orimprovementactivities.AnychangestotheseGuidelinesprocedureswillbepublishedonTME’spubliccorporateWebsiteand thisWebsiteshouldbe regularlyconsultedby theBusinessPartners for theup-to-dateversionof theseGuidelines. In linewithToyota’sbasicqualitypolicy,westronglycooperatewithourSupplierstomeetandevenexceedourCustomers’qualityexpectations.WesupportourSuppliersbothduringproductionpreparationandmassproductionstagestoassuregoodqualitypartstobeinstalledonToyotavehiclesanddeliveredtoourCustomers.

Addressingenvironmentalimpactsisoneofthemajorchallengesacrosstheglobe,withpressuretominimizetheimpactcomingfrommanysources,includinggovernments,tradeassociations,supplychainsandothersocialandfinancialstakeholders.

AnEnvironmentalManagementSystem(EMS)providesaframeworkformanagingenvironmentalresponsibilitiesefficiently in a way that is integrated into the overall operations. ISO 14001 or EMAS are two commonlyimplementedEnvironmentalManagementSystemstandardsthataredesignedtoaddressthedelicatebalancebetweenmaintainingprofitabilityandreducingenvironmentalimpact.

Convincedaboutthebenefitofsuchanapproach,ToyotaitselfensuresthatallitsEuropeansites–productionplants,partsandvehiclelogisticsites,nationalmarketingandsalescompanies,HeadOfficeandR&DCentre-areISO14001certified.
