11. RESCO A Renewable Energy Service Company (RESCO) is an ESCO Energy service company which provides energy to the consumers from solar power plants.

1. INTRODUCTION
MNRE has accorded sanction for installation of cumulative capacity of
100MW grid-connected solar roof top power plants in TamilNadu under “Grid
connected rooftop solar programme” of MNRE. The generated solar power may
be utilized for captive application and the surplus power may be fed to the
grid as per the grid connectivity specified in TNERC guidelines dated
13.11.2013 on Net metering. The scheme aims to reduce the fossil fuel based
electricity and make buildings self-sustainable from the point of electricity, to
the extent possible.
TEDA calls for Rate contract Tender for the implementation of 100MW
Grid Connected Rooftop Solar PV System in TamilNadu under both the
CAPEX & RESCO models following the procedures stipulated in the Tamil
Nadu Transparency in Tenders Act 1998 and Tenders Rules 2000.
Under CAPEX model, 60MW grid connected solar rooftops will be
considered. Out of 60MW, 70% (i.e. 42MW) of capacity will be allocated to the
successful bidder(s) through tendering category and balance 30% (i.e. 18MW)
of capacity will be allocated under open category, who are willing to execute
the work at L1 rate discovered in the tendering process with maximum
allocation of 5%.
Under RESCO model, 40MW of grid connected solar rooftops will be
considered. Out of 40MW, 70% (i.e. 28MW) of capacity will be allocated to the
successful bidder(s) through tendering category and balance 30% (i.e. 12MW)
of capacity will be allocated under open category, who are willing to execute
the work at L1 levellized tariff discovered in the tendering process with
maximum allocation of 5%.
TEDA will modify the allocation of capacity under CAPEX and RESCO
models, if required.

This sanction of 100MWp in TamilNadu envisages installation of grid
connected solar rooftop systems on the roofs of entities as specified by MNRE
in following category.

No.(iv), (v) & (vi)].
Achievement linked incentive shall be available to the following Categories (iv)
Government Buildings
Buildings of Both Central & State Government, local government covering all Government offices.
(v)
Government Institutions
Government Institutions, Public Sector Undertakings, all buildings owned by Government directly or by any Government owned societies, companies, corporations, Institutions or organizations, Government educational/ health institutions.
No CFA shall be available to the following Categories (vi)
Private, commercial and industrial sector
All types of buildings.

3. TENDER COST, EMD AND TENDER PROCESSING FEE 3.1 Cost of Bidding
The Bidders shall bear all costs associated with the preparation and
submission of Bids. TEDA will in no way be responsible or liable for these
charges/costs incurred regardless of the conduct or outcome of the bidding
process.
3.2 Tender Document Fee a) The Tender documents may be purchased from the office of TEDA on
payment of fees in Indian Rupees as mentioned in the Tender Data sheet.
The Tender document is not transferable to any other Bidder.
b) The Tender document cost may be paid by way of cash (or) Demand Draft
/ Banker's Cheque in favour of “Tamil Nadu Energy Development Agency”, payable at Chennai for direct purchase from TEDA.
c) Alternatively, the Tender document can be downloaded free of cost from
the website mentioned in the Tender data sheet. The Tender document fee
is waived for those documents downloaded.
3.3 Earnest Money Deposit (EMD) a) An EMD amount as specified in the Tender Data sheet shall be paid in
Indian Rupees in the form of Demand Draft/ Banker’s Cheque only, from
any of the Nationalized/ Scheduled / Foreign banks, drawn in favour of
“Tamil Nadu Energy Development Agency” payable at Chennai. EMD
submitted in any other forms will be SUMMARILY REJECTED.
b) The EMD shall be kept in the Techno Commercial Bid Cover.
c) The EMD amount of the bidders not qualified in the Techno commercial
bid will be refunded within reasonable time after rejection of their techno-
commercial bid. The EMD amount of the bidders qualified in the techno
commercial bid but not empanelled will be refunded within reasonable
time after finalization of empanelment of successful bidder(s). The EMD
amount held by TEDA till it is refunded to the Bidders will not earn any
interest thereof.
d) The EMD amount paid by the Successful Bidders (Empanelled bidders)

amount held by TEDA till it is refunded to the Bidders will not earn any
interest thereof.
e) The EMD amount will be forfeited by TEDA, if the Bidder withdraws the
bid during the period of its validity specified in the tender or if the
successful bidder fails to sign the contract or the successful bidder fails to
remit Security Deposit within the respective due dates.
f) The bids received without the specified EMD amount will be SUMMARILY REJECTED.
g) For the categories of industries exempted from payment of Earnest
Money Deposit see Annexure-1.
h) Industries exempted from payment of EMD should enclose the duly
attested Photostat copy of their Registration Certificate showing the
materials viz.SPV Panels, PV System Electronics(Inverter only) they are
permitted to manufacture/to do services as a system integrator of solar
rooftops and the period of validity of the certificate as proof of eligibility for
exemption from payment of EMD.
i) Those Bidders who are exempted from payment of EMD shall furnish in
lieu of EMD an under taking in a non-judicial stamp paper of value not
less than Rs. 80.00 (Rupees Eighty only) in the prescribed format, as per
Format-6, to the effect to pay penalty an amount equivalent to EMD in the
event of non-fulfillment or non-observance of any of the conditions
stipulated in the contract consequent to such breach of contract.
j) Undertaking and proof of exemption of EMD shall be kept in the Techno
commercial bid cover as specified in clause A-1. TENDERS RECEIVED
WITHOUT PROOF FOR EXEMPTION OF EMD AND UNDERTAKING WILL
NOT BE READOUT AND WILL BE SUMMARILY REJECTED.
3.4 Tender Processing Fee (TPF) a) Tender Processing Fee (TPF) as specified in the Tender Data sheet shall be
paid in Indian Rupees in the form of Demand Draft/ Banker’s Cheque
only, from any of the Nationalized/ Scheduled / Foreign banks, drawn in
favour of “Tamil Nadu Energy Development Agency” payable at

4. TENDER ELIGIBILITY CRITERIA The Bidder should meet the following Eligibility Criteria to participate in
the Tender and shall enclose documentary proof for fulfilling the Eligibility
criteria in the Techno commercial Bid.

5. INSTRUCTIONS TO THE BIDDER 5.1 General Instructions
a) It must be clearly understood that the Terms and Conditions and specifications are intended to be strictly enforced. No escalation of cost in the Tender by the Bidder will be permitted throughout the period of validity of rate contract tender.
b) The successful bidders will be empanelled for CAPEX and RESCO models separately.
c) The bidders may participate for both CAPEX and RESCO models or CAPEX model or RESCO model.
d) The list of Successful bidder(s) will be communicated to all Government Departments /Agencies and published in TEDA’s website.
e) If TEDA issues the work order to the successful bidders for implementing the project at the request of the willing Government departments/ Agencies and other categories that are eligible for MNRE’s CFA / Achievement linked incentive under CAPEX and RESCO models. Then the necessary service charges shall be paid to TEDA @3% of project cost for CAPEX model and @3% of MNRE bench mark cost for RESCO model.
f) If the successful bidder receives the work order directly from Any Government departments/ Agencies and other category that are eligible for MNRE’s CFA / Achievement linked incentive under CAPEX and RESCO models, then the bidder(s) shall intimate the receipt of work order to TEDA along with proposal for sanction of CFA and the necessary service charges shall be paid to TEDA @3% of project cost for CAPEX model and @3% of MNRE bench mark cost for RESCO model.
g) It will be imperative for each Bidder to familiarize himself with the prevailing legal situations for the execution of contract. TEDA should not entertain any request for clarification from the Bidder regarding such legal aspects of submission of the Bids.
h) It will be the responsibility of the Bidder that all factors have been investigated and considered while submitting the Bids and no claim whatsoever including those of financial adjustments to the contract awarded under this tender will be entertained by TEDA. Neither any

time schedule nor financial adjustments arising thereof shall be permitted on account of failure by the Bidder to be appraised themselves.
i) The Bidder shall be deemed to have satisfied himself fully before
Bidding as to the correctness and sufficiency of its Bids for the contract and price quoted in the Bid to cover all obligations under this Tender.
j) It must be clearly understood that the Terms and Conditions and
specifications are intended to be strictly enforced. No escalation of cost in the Tender by the Bidder will be permitted throughout the period of Agreement or throughout the period of completion of contract whichever is later on account of any reasons whatsoever.
k) The Bidder should make all arrangements as part of the contract for Supply, Installation and 5 year Comprehensive Maintenance of Grid Tied Solar Rooftop Power plant and train the beneficiaries / officials & staff of the concerned government department/ Agency / Beneficiaries at various locations at their own cost under CAPEX model.
l) The Bidder should make all arrangements as part of the contract for sale of solar generated power @ levellised tariff for 25 years under RESCO model.
m) The Bidder is fully and completely responsible to TEDA / concerned govt. department / Beneficiaries of Tamil Nadu for all the deliveries and deliverables. The bidder is also responsible for the proper functioning of the finally erected systems.
n) All Statutory obligations / liabilities like Salary, ESI, P.F., as per Labour Laws for the persons employed for this contract will be the responsibility of the bidder. TEDA will not make any direct payment thereof and will not be responsible for any lapses by the bidder.
o) Minimum 20% of total capacity will be allocated to each L1 bidders under CAPEX and RESCO model. Other successful bidders will be allocated with capacity of maximum 20% of total capacity under both CAPEX and RESCO model.
p) TEDA will issue the work orders to the L1 bidder(s) only. Other successful bidder(s) may get work order directly from Government departments/ Agencies / Residential / Institutional / Social sectors.

q) The supporting documents to prove Bidder’s eligibility should be duly
attested by a Gazetted officer / Notary public and submitted.
r) TEDA will review the progress of empanelled vendors and if it is found
that not less than 30% of allocated capacity is achieved within a period
of six months, then TEDA has right to transfer the balance allocated
quantity to the other empanelled vendors.
5.2 Language of the Bids The bid prepared by the Bidder as well as all correspondence and
documents relating to the bid should be in English only. The supporting
documents and printed literature furnished by the Bidder in any other
language should necessarily be accompanied by an accurate translation in
English duly notarized, in which case, for all purposes of the Bid, the
translation will govern. Bids received without such translation copy will be summarily rejected. 5.3 Bid Currency Price should be quoted in Indian Rupees (INR) only and Payment
should be made in Indian Rupees only.
5.4 Clarifications and Amendments a) A prospective Bidder requiring any clarification in the Tender may
address TEDA by Registered post or by personal delivery under
acknowledgement. No clarifications what so ever will be offered by
TEDA within 48 hrs prior to the date and time of opening of the Tender.
b) A pre-bid meeting will be held, for addressing the clarifications, on the
date and time mentioned in the Tender Data sheet or any other date
decided by TEDA. The Bidders are requested to participate in the Pre-
bid meeting for clarifications.
c) Before the closing date of the Tender, clarifications and amendments if
any will be notified in the government website mentioned in the Tender
Data sheet. The Bidders should periodically check for the amendments
or corrigendum or information in the website till the closing date of this

no way be responsible for any ignorance pleaded by the Bidders.
d) TEDA is not responsible for any misinterpretation of the provisions of
this tender document on account of the Bidders failure to update the
Bid documents based on changes announced through website /
Individual Communication.
5.5 Contacting Tender Inviting Authority Bidders should not make attempts to establish unsolicited and un
authorized contact with the Tender Inviting Authority or Tender
Accepting Authority after the opening of the Tender and prior to the
notification of the Award and any attempt by any Bidder to bring, to
bear extraneous pressures on the Tender Inviting/ Evaluation/
Scrutiny/ Accepting Authority may lead to disqualification of the
Bidder.
5.6 Force Majeure Neither TEDA nor the Successful Bidder(s) shall be liable to the other
for any delay or failure in the performance of their respective obligations due
to causes or contingencies beyond their reasonable control such as:
Natural phenomena including but not limited to earthquakes, floods
and epidemics.
Acts of any Government authority, domestic or foreign including but
not limited to war declared or undeclared, priorities and quarantine
restrictions.
Accidents or disruptions including, but not limited to fire, explosions,
breakdown of essential machinery or equipment, power and water shortages.
5.7 Arbitration In case of any dispute, the matter will be referred to a sole Arbitrator to
be appointed by TEDA / Concerned government department/ Agency under
the “Arbitration and Conciliation Act 1996”. The arbitration should be held in
Chennai, India and the language should be English only. Subject to the
above, the Courts at Chennai alone only will have jurisdiction in the matter.

5.8. Bar of Jurisdiction: Save as otherwise provided in Tamil Nadu Transparency in Tender Act
1998, no order passed or proceeding taken by any officer or authority under
this act shall be called in question in any Court and no injunction should be
granted by any court in respect of any action taken or to be taken by such
officer or authority in pursuance of any power conferred by or under the
above Act.
Since the Procuring Government Department/Agency shall directly select
and issue the work order(s) to the successful bidder(s). TEDA shall in no way
be responsible for any dispute arising between Bidder and the Procuring
Government Department/Agency
5.9. Blacklisting 1. Under no circumstances should a Bidder alter his price during the
validity period and backsout after Tenders are opened.
Any Bidder who does so, resulting in recalling of tenders by TEDA or
additional expenditure to TEDA will not only lose his EMD but will also be
blacklisted by TEDA which reserves the right under the law to recover
damages resulting there from, in addition to forfeiture of EMD.
2. Under no circumstances should the bidder backs out after the award of
work. The contractor who does so, resulting in recalling of tenders by the
TamilNadu Energy Development Agency / Government Departments /
Agencies or additional expenditure to TamilNadu Energy Development
Agency/ Government Departments / Agencies, will not only lose his
EMD/SD but will be blacklisted by the above Departments / Agencies
which reserve the right under the law to recover damages resulting there
from.
3. The Bidder will be banned from all business dealings with TEDA if the
particulars produced by him/her such as Auditor Certificate, Annual
Account, VAT Clearance and Test Certificate are found to be false.
4. The Successful bidder shall be liable to make good the loss by replacing
the defective product during the warranty period for the entire system free

6. BID PREPARATION Bidder should examine all Instructions, Terms and Conditions and
Technical specifications as given in the Tender documents. Failure to furnish
information required by the Bid or submission of Bids not substantially
responsive or viable in every respect will be at the Bidder’s risk and may
result in rejection of Bids. Bidder should strictly submit the Bid as specified
in the Tender, failing which the bid will be held as non-responsive and will be
rejected.
6.1 Letter of Authorisation A letter of Authorization from the Board of Directors or Managing
Director or CEO of Bidder organization authorizing the Tender submitting
authority or a Power of Attorney shall be submitted in the Techno commercial
Bid. The Bids received without the Letter of Authorization or Power of
Attorney will be summarily rejected.
6.2 Test Certificates/Reports
1. The bidder shall submit the test certificates / reports of PV modules and
grid tie inverters of each capacity for the grid tied Solar Rooftop Power
Plants from the notified testing agencies, as per “Section D”. For above
20kW Grid Tie Inverters, self declaration certificates by the manufacturer
shall be submitted.
2. Bidders will have to make their own arrangements for the testing of their
product as per the Standards given in the Tender through the notified
Testing Agencies.
3. Any additional make of components to be used will be allowed only with
the written permission of TEDA. Any such change of components will be
allowed provided those components have been certified by any
NABL/IECQ accredited laboratories for compliance to the stipulated
technical specifications as per Section - D of this tender.
4. Any bid received without the test certificates/reports will be summarily
rejected for non-responsive to the tender condition.

7. BID SUBMISSION The Bids shall be submitted as per the instructions given below in the
sub sections. The Bids shall be addressed to “The General Manager, TEDA, V
Floor, EVK Sampath Maaligai, No.68, College Road, Chennai 600 006, Tamil
Nadu, India. Only bound bids with all pages serially numbered with alone will be accepted. The bidder is also advised to submit the bid with index.
7.1 CAPEX Model:
In CAPEX model, bids are invited from the prospective bidders for the
tendered capacity on the Project Cost for various capacities. In this part,
bidder will be required to quote the Project Cost for the supply, installation,
commissioning & 5year comprehensive maintenance of grid connected solar
power plant for the ranges of Up to 10kWp, >10kWp to 100kWp & >100kWp
to 500kWp in TamilNadu.
Maximum allowable project cost under CAPEX model is as follow.

Any bidder quoting more than the maximum allowable project cost,
his/her bid shall be treated as non-responsive and the same will not be

7.2 RESCO Model:
In the RESCO model, bids are invited from the prospective bidders for
the Tendered Capacity. Bidders will be required to furnish year on year tariff
for 25 years starting from the date of commissioning of the Project for the
capacity ranges from 26kWp to 500kWp. Tariff stream quoted by the bidder
shall then be levellized with a discounting rate of 11%.

Maximum allowable levellized tariff of Rs.6 (as per CERC norms) for this
part over 25 years assuming the discounting rate of 11% only. The bids with
levellized tariff in excess of above said levellized tariffs shall be out rightly
rejected.
7.3 Techno commercial Bid (Envelope-A) a) The Techno commercial Bid enables TEDA to evaluate whether the
Bidder is techno commercially competent and capable of executing the
order. Only those Bids which qualify in the Techno commercial stage will
be eligible for the Price bid opening. The Price Bids of Bidders who failed
in the Techno commercial stage will not be opened.
b) The Techno commercial Bid format as given in the Tender shall be filled,
signed and stamped in all pages. TEDA will not be responsible for the
errors committed in the Bids by the Bidders.
c) The Techno commercial Bid should strictly not contain any Price indications or otherwise the Bid will be summarily rejected.
7.3.1 Details to be furnished in the Techno Commercial Bid c) The EMD amount should be submitted in the prescribed form.
d) Tender Processing Fee should be submitted in the prescribed form.
e) Authorization letter from the Board of Directors/ Managing Director or
CEO or Power of Attorney to sign the Tender documents should be

i) Test certificates / reports should be submitted for components of Grid

k) The full addresses & phone numbers of the vendors should be provided
where the main components namely SPV Module, Inverter will be

l) All the required documents insisted in the Tender should be enclosed in
the Techno Commercial Bid. No document will be allowed to be
supplemented / exchanged after opening of the bids.
m) The documentary evidence should establish Bidder's qualifications to
the satisfaction of TEDA.
7.3.2 Signing the Techno Commercial Bid a) The Bid should be typed and should be signed by the Authorized
Official(s) of Bidder. All pages of the bid should be signed and stamped by
the authorized person.
b) Any alterations, deletions or overwriting will be treated as valid only if
they are attested by the full signature of the authorized person.
7.3.3 Sealing the Techno Commercial Bid The Techno Commercial bid should be placed in a separate cover (Envelope-A) and sealed appropriately. 7.4 Price Bid (Envelope-B) 7.4.1 Details to be furnished
a) All the Price items as called for in the Tender shall be filled in the Price
Bid format separately for CAPEX / RESCO / CAPEX & RESCO models as
given in the Tender. The prices quoted should be in INDIAN RUPEES
(INR) only. The Tender is liable for rejection if Price Bid contains

both CAPEX and RESCO models, he/she should submit price bids
separately for each model and enclose the same in separate sealed covers
with proper superscription about the model (CAPEX / RESCO).
b) The cost quoted by the Bidder shall include the breakup cost of the grid
tied solar rooftop power plant components viz., PV panel, Inverter etc., for
CAPEX model and levellized tariff as stated in clause 7.2 quoted by the
bidder shall be for a period of 25 years for RESCO model.
c) The cost quoted by the Bidder shall be kept firm for a period specified in
the Tender from the date of opening of the Tender. The Bidder shall keep
the Price firm during the period of Contract including the period of
extension of time, if any. The Bidders shall particularly take note of this
factor before submitting the Bids.
7.4.2 Signing the Price Bid a) The Bid shall be typed and signed by the Bidder or a person or persons
duly authorized to bind the Bidder to the Contract.
b) All pages of the bid document shall be signed and stamped by the
authorized person
c) Any alterations, deletions or overwriting will be treated valid, only if they
are attested by full signature of the authorized person.
7.4.3 Sealing the Price Bid The Price Bid shall be placed in a single separate cover (Envelope-B) and sealed appropriately. 7.6 Mode of Submission of Bids a) The Bids shall be dropped in the Tender box kept at TEDA, 5th Floor,
EVK Sampath Maaligai,No.68 College Road, Chennai - 600 006, Tamil
Nadu, India, on or before the due date and time. The Bids will not be
received personally.
b) Alternatively, if the Bidder prefers to submit the Bid by post, the Bidder
shall ensure that the Bids reach TEDA on or before the due date and
time. TEDA will not be liable or responsible for any postal delay or any
other delay whatsoever.
c) The Bids received after Due Date and Time or Unsealed or in
incomplete shape or submitted by Facsimiles (FAX), E-mail etc., will be
summarily rejected.
7.7 Modification and withdrawal of Bids The Bids once submitted cannot be modified or amended or withdrawn.
8. BID OPENING 8.1 Techno Commercial Bid Opening The Tender Outer Cover and Techno commercial Bid cover will be
opened at TEDA on the date and time as specified in the Tender Data sheet or
any other date published in the website specified. The Tender will be opened
in the presence of the Bidders who choose to be present. The representative(s)
of the Bidder who choose(s) to attend Tender opening shall bring an
authorization letter from the Bidder. A maximum of two representatives for
each Bidder will be allowed to attend the Tender opening. On opening the

Techno Commercial bid cover, if EMD and TPF in the prescribed form are not found, the bid will be summarily rejected.
8.2 Tender Validity a) Bid submitted shall remain valid for a period of 180 days from the date of
Tender opening. If the bid validity is lesser than 180 days, the Bid will be
rejected as non-responsive.
b) In exceptional circumstances, TEDA may solicit the Bidder to extend the
validity. The Bidder shall extend price validity and Bid security validity.
8.3 Initial Scrutiny 8.3.1. Initial Bid scrutiny will be held and Tenders as given below will
be summarily rejected.

All responsive Bids will be considered for further evaluation. The

8.4 Clarifications by TEDA No clarifications whatsoever will be called for to prove the bidder’s
eligibility criteria on any aspect from the Bidder. In case the Bidder fails to
comply with the requirements of TEDA in fulfilling the eligibility criteria, such
Bids submitted by them will be summarily rejected as technically non-
responsive.
8.5 Price Bid Opening
Bidders who are qualified in Techno commercial Bid (Envelope-A) only
will be called for Price Bid opening. The Price Bids will be opened in the
presence of the Bidders at TEDA. The Bidders or their authorized
representatives (maximum two) will be allowed to take part in the Price Bid
opening.
9. BID EVALUATION
9.1 Suppression of facts and misleading information a) During the Bid evaluation, if any suppression or misrepresentation of
information is brought to the notice of TEDA, TEDA has the right to reject
the Bid and if after selection, TEDA will terminate the contract as the case
may be, will be without any compensation to the Bidder and the
EMD/Security Deposit as the case may be, will be forfeited.
b) Bidders should note that any figures in the proof documents submitted by
the Bidders for proving their eligibility is found suppressed or erased,
TEDA has the right to seek the correct facts and figures or reject such
Bids.
c) It is up to the Bidders to submit the full copies of the proof documents to
meet out the eligibility criteria. Failing which the bid submitted by the
bidder will be summarily rejected.
d) The Tender calls for, full copies of documents to prove the Bidder’s
experience, capacity and other requirements to undertake the project.
9.2 Techno Commercial Bid Evaluation a) The Bids which duly comply with the Eligibility Criteria will only be
eligible for further processing.

b) The Tenders, which do not conform to the Technical Specifications or
Tender conditions or Bids without Test certificates/reports on the
components of the SPV power plant offered or Tenders from Bidders
without adequate capabilities for supply & installation, will be rejected.
The Eligible Bidders alone will be considered for further evaluation.
9.3 Price Bid Evaluation
9.3.1 Bidders who are qualified in Techno commercial Bid (Envelope-A) only
will be called for price Bid opening. The Price Bids will be opened in the
presence of the Bidders at TEDA. The Bidders or their authorized
representatives (maximum two) will be allowed to take part in the Price
Bid opening.
9.3.2 The Price Bid evaluation will be conducted as stipulated in the Tamil
Nadu Transparency in Tenders Act 1998 and Tamil Nadu Transparency
in Tenders Rules 2000. The Price evaluation will include all Duties and
Taxes as given below.
(i) In cases of discrepancy between the cost quoted in Words
and in Figures, the lower of the two will be considered.
(ii) In case of discrepancy between the actual total of price break
up and the total mentioned in the bid, the lower of the two
will be considered.
(iii) In evaluation of the price of an imported item, the price will
be determined inclusive of the customs duty;
(iv) In evaluation of the price of components which are subject
to excise duty, the price will be determined inclusive of such
excise duty;
(v) In a tender where all the bidders are from within the State of
Tamil Nadu, or where all the bidders are from outside the
State of Tamil Nadu, the sales tax/TNVAT will be included
for the evaluation of the price and

(vi) In a tender where the bidders are both from the State of
Tamil Nadu as well as from outside the State of Tamil Nadu,
TNVAT will be excluded for the evaluation of the price".
9.3.3 The lowest prices / tariff offered by the Bidder will be called as L1
Bidder and the L1 Bidder alone will be called for further negotiations for
CAPEX (Up to 10kWp, >10kWp - 100kWp & >100kWp - 500kWp) and
RESCO(26kWp – 500kWp) model separately. There is no obligation on
the part of TEDA to communicate with rejected Bidders.
TEDA will not be responsible for any erroneous calculation of tax rates
or any subsequent changes in rates or structure of applicable taxes. All
differences arising out as above shall be fully borne by the Successful
Bidder.
9.3.4 Negotiations: Negotiations will be conducted with L1 Bidder(s) of both CAPEX (Up to
10kWp, >10kWp - 100kWp & >100kWp - 500kWp) and RESCO (26kWp
– 500kWp) models for improvement in the Scope of Work, Specification,
further reduction in rate and advancement of delivery schedule / sale of
solar generated power.
9.3.5 Rate Contract: After negotiation, the L1 rates /tariff of CAPEX (Up to 10kWp,
>10kWp - 100kWp & >100kWp - 500kWp) and RESCO(26kWp –
500kWp) models will be called as Rate contract price valid for the
contract period of one year / 25 years to serve the requirements of the
Government departments /Agencies / Residential / Institutional /
Social Sectors during the contract period.

9.3.6 Empanelment: Successful bidder(s) will be empanelled for four categories (i.e. CAPEX
model (Up to 10kWp), (>10-100kWp), (>100-500kWp) and RESCO
(26kWp – 500kWp) model). The bidder who has offered the L1 price for
CAPEX (Up to 10kWp), (>10kWp - 100kWp) & (>100kWp - 500kWp) and
L1 levellized tariff for RESCO (26kWp – 500kWp) model will be called as
EV1 and empanelled for CAPEX / RESCO model separately. Once the
negotiation is completed with the L1 bidder (EV1), the L2, L3 bidders
and so on will be called for negotiation to match the L1 price arrived at
after negotiation / reduction of price. If the L2, L3 are agreeing for
matching the L1 price or offering a price not more than the maximum
allowable project cost / tariff as specified in clause 7.1 /7.2 then they
will be empanelled as EV2, EV3 and so on for CAPEX (Up to 10kWp,
>10kWp - 100kWp & >100kWp - 500kWp) and RESCO(26kWp –
500kWp) models separately.
9.4 Allocation of Capacity:
For CAPEX Model (Up to 10kWp, >10-100kWp & >100-500kWp): Based
on the price quoted by the bidders, TEDA shall arrange the bids in the
ascending order i.e. L1, L2, L3, _ _ _ and so on (L1 being the lowest
quote). Lowest bidder will be declared as the L1 bidder. 20% of the total
capacity or the bidder’s quoted capacity whichever is lower will be
allocated to the L1 bidder.
For further allocation, (after allocating the capacity to the L1 bidder)
based on the price finally offered by the bidders, TEDA shall arrange the
bids in the ascending order i.e. L2, L3, L4 _ _ _ _ and so on (L2 being the
second lowest) and start allocating the balance capacity in the ascending
order as stated above. TEDA will allocate the capacity until the tender
capacity is exhausted. Also, no bidder will be allocated more than 20% of
the total capacity.

For RESCO (26kWp – 500kWp) Model: Based on the levellized tariff
quoted by the bidders, TEDA shall arrange the bids in the ascending
order i.e. L1, L2, L3, _ _ _ and so on (L1 being the lowest quote). Lowest
bidder will be declared as the L1 bidder. 20% of the total capacity or the
bidder’s quoted capacity whichever is lower shall be allocated to the L1
bidder.
For further allocation, (after allocating the capacity to the L1 bidder)
based on the levellized tariff offered by the bidders, TEDA will arrange the
bids in the ascending order i.e. L2, L3, L4 _ _ _ _ and so on (L2 being the
second lowest) and start allocating the balance capacity in the ascending
order as stated above. TEDA will allocate the capacity until the tender
capacity is exhausted. Also, no bidder will be allocated more than 20% of
the total capacity.
9.5 Transfer of Capacity In case a Successful Bidder is facing genuine difficulty in execution of
project as per letter of allocation. TEDA will allow transfer of allocated
capacity in full or part to the other successful bidders. TEDA will review
the progress of empanelled vendors and if it is found that not less than
30% of allocated capacity is achieved within a period of six months, then
TEDA has right to transfer the balance allocated quantity to the other
empanelled vendors.
9.6 Letter of Intimation (LoI): For CAPEX Model (Up to 10kWp, >10-100kWp & >100-500kWp): Letter
of Intimation (LoI) will be issued to the L1 bidder and other successful
bidders who accepted to match the L1 price / offered a price not more
than the maximum allowable project cost as specified in clause 7.1. The
successful bidder(s) who have submitted their consent to accept a
subsidy amount applicable to the L1 price and furnish the
empanelment fee within 15 days from the date of receipt of Letter of
Intimation (LoI) will be empanelled. Failing which it will be presumed
that they are not interested to accept a subsidy amount applicable to

the L1 price and their capacity will be allocated to the other successful
bidder(s) who wish to accept the same.
For RESCO (26kWp – 500kWp) Model: Letter of Intimation (LoI) will be
issued to the L1 bidder and other qualified bidders who accepted to
match the L1 levellized tariff / offered a tariff not more than the
maximum allowable tariff as specified in clause 7.2. The qualified
bidder(s) who have submitted their consent to accept the fixed subsidy
applicable for maximum allowable project cost specified in clause 7.1
and to furnish the empanelment fee within 15days from the date of
receipt of Letter of Intimation (LoI) will be empanelled. Failing which it
will be presumed that they are not interested to accept the above stated
applicable subsidy and their capacity will be allocated to the other
successful bidder(s) who wish to accept the same.
9.6.1 Empanelment Fee: Each successful bidder has to pay an empanelment fee of Rs.10,000/-
for each category in the form of Demand Draft/ Banker’s Cheque only,
from any of the Nationalized/ Scheduled / Foreign Banks, drawn in
favour of “Tamil Nadu Energy Development Agency” payable at
Chennai within 15days from the date of receipt of Letter of Intimation.
The empanelment letter will be issued after the receipt of empanelment
fee.
Example:
If the bidder is willing to get empanelled for any one of the following
categories i.e. CAPEX (Up to 10kWp) / CAPEX (>10-100kWp) / CAPEX
(>100-500kWp) / RESCO(26kWp – 500kWp), then he has to pay
Rs.10,000/- per category as empanelment fee.
9.6.2 TEDA will issue the work order at the requirement of various
Government departments / Agencies in TamilNadu under CAPEX /
RESCO model from time to time.

9.6.3 Empanelled vendors may also receive the work orders directly from
Government Departments / Agencies / Residential / Institutional /
Social Sectors under CAPEX / RESCO model and then they should
intimate to TEDA about this and should pay 3% of the project cost to
TEDA for availing the eligible subsidy / Achievement linked incentive.
9.6.4 Under no circumstances shall a Bidder increase his price or refuse to
accept the entire quantity that is finally allotted to him during the
validity period after tenders are opened. Any Bidder who does so
resulting in recalling of tenders by TEDA or additional expenditure to
TEDA shall not only lose his EMD but also run the risk of being Black listed by TEDA. TEDA also reserves the right under the law to recover
damages resulting there from, in addition to forfeiture of EMD.
9.6.5 Banning of business deal:
The bidder will be banned from business with TEDA / Government
Department / Agency if any of the particulars produced by the bidder
such as Auditor Certificate, Annual account, VAT Clearance Certificate,
Test certificate, etc. are found to be incorrect, or if there is breach of
any of the conditions in the contract which leads to delay or leads to
incurring any additional cost by TEDA / Government Department /
Agency to complete the awarded contract.
9.7 Award of Contract 1. TEDA will finalize the empanelment of vendors for CAPEX and RESCO
model separately. Contract will be awarded by TEDA / Government
Departments / Residential / Institutional / Social sectors. The list of
empanelled vendors will be communicated as well as published in
TEDA’s website for Government departments / Agencies for their
requirements and the same will be published in TEDA’s website for
other sectors.
2. No dispute whatsoever can be raised by any Bidder whose Bid has been
rejected and no claims will be entertained or paid on this account.

9.8 Disbursement of Subsidy Subsidy will be disbursed after receipt of project completion report as
per the MNRE format and satisfactory inspection by TEDA officials / third
party agencies finalized by TEDA.
9.8.1 For CAPEX Model
TEDA will provide 30% CFA (in Rs/Wp) at L1 project cost as per
MNRE’s guidelines for all categories of all sectors except Government sectors.
For Government sectors, Achievement linked incentives will be
provided as per MNRE’s guidelines.
9.8.2 For RESCO Model TEDA will provide fixed subsidy for the following capacity ranges of all sectors except Government sectors as below.
Category Fixed subsidy 26 to 100kWp Rs.19.5 per Wp
>100 to 500kWp Rs.18 per Wp
For Government sectors, Achievement linked incentives will be provided
as per MNRE’s guidelines.
9.9 TEDA reserves the right to; 1) Negotiate with the Bidder for further reduction of prices. 2) Insist on quality/complying with specification of materials to be
supplied.
3) Ask other qualified Bidders to match L1 price. 4) Inspect the bidder’s factory / office premises and those of major
component manufacturers from whom bidder proposes to purchase, before placement of orders and based on the inspection, TEDA reserves the right to modify the quantity ordered.
5) Reallocate the quantity to other Bidder, if performance of the Bidder is not as per the completion Schedule
6) Withhold any amount for the deficiencies in the service aspect of SPV systems installed at the identified locations.
7) Notwithstanding anything contained in any of the contract documents, TEDA / procuring government department shall have the right to relax or waive any of the conditions of the contract wherever deemed necessary in the interest of the project.

8) To reject the offer of the bidder if in the assessment of TEDA, that the bidder who had earlier taken up the works for TEDA / State/Central Government or organizations of the State/ Central Government or Union Territories of India performed poorly / not adhered to the tender terms and conditions.
9) To modify the capacity allocation under CAPEX and RESCO model.
An undertaking to the above effect will have to be given by the
bidder as per the format & annexure enclosed.

10. AWARD OF WORK
10.1 Acceptance of the Tender The final acceptance of the Tender is entirely vested with Tender
Accepting Authority who reserves the right to accept or reject any or all of the
Tenders in full or in part. The Tender Accepting Authority may also reject
any tender for reasons such as changes in the new technologies, court
orders, accidents or calamities and other unforeseen circumstances. After
acceptance of the Tender by Tender Accepting Authority, the Bidder shall
have no right to withdraw their Tender or claim higher price. In the event of
doing so, the bidder will be blacklisted and further deemed fit action will be
taken against the bidder.
10.2 Letter of Award (LOA) After issue of empanelment letter by TEDA, a Letter of Award (LOA) will
be issued to the empanelled vendor(s) by TEDA at the requirement of
Government Departments / Agencies for CAPEX / RESCO model. TEDA /
Government Departments / Agencies have the right to issue LOA to more
than one empanelled vendor.
10.3 Payment of Security Deposit (SD) a) The Successful Bidder will be required to remit the Security Deposit
equivalent to 5% (Five percent) of the value of the Contract excluding
Comprehensive Maintenance Charges. The SD should be paid by way of
Demand Draft/Banker’s Cheque drawn in favour of “TEDA/ respective Government Department” or in the form of unconditional and
irrevocable Bank Guarantee, valid till the completion of 5 years
comprehensive maintenance period. The SD should be paid within 15
days from the date of receipt of Letter of Award by TEDA / Government
Department / Agency.
b) The Security Deposit will be refunded to the Successful Bidder after
successful installation & commissioning of the Solar Power Plants and

after submission of performance guarantee of 1% of the total value valid
for 5 years. The Security Deposit till it is refunded by the TEDA /
Government Department / Agency to the Successful Bidder will not earn
any interest thereof.
c) The EMD or Security Deposit will be forfeited if the Successful Bidder
withdraws the Bid during the period of Bid validity specified in the Tender
or if the Bidder fails to sign the contract as the case may be (or) if the
contract is not fulfilled as per the agreement.
10.4 Execution of Agreement a) The Successful Bidder should execute a Contract agreement in the INR
100 non-judicial stamp paper bought in Tamil Nadu only in the name
of the Bidder, within 15 days from the date of Letter of Award issued by
TEDA / Government Department / Agency.
b) The Successful Bidder should not assign or make over the contract, the
benefit or burden thereof to any other person or persons or body
corporate for the execution of the contract or any part thereof without
the prior written consent of TEDA / Government Department / Agency
which reserves its right to cancel the work order either in part or full, if
this condition is violated.
c) In case if the successful bidder fails to execute necessary agreement as
prescribed, within the stipulated period, then his EMD will be forfeited
and his tender held as non responsive.
10.5 Release of Firm Work Order After execution of the Contract Agreement and payment of Security
Deposit, the firm work order will be issued directly to the successful Bidder
by TEDA / Government Departments / Agencies.
10.6 Installation & Completion Schedule The entire work involving Supply, Installation and Commissioning of Grid
Tied Solar Rooftop Power plants of various capacities at various locations

should be completed within 90 days from the date of issue of work order.
Earlier completion of installation and commissioning is appreciated.
10.7 Release of SD The Security Deposit will be refunded to the Successful Bidder on
completion of entire work involving Supply, Installation, Commissioning of
Grid Tied Solar Roof Top SPV Power plants of various capacities at various
locations in Tamil Nadu subject to satisfaction of TEDA / Government
Department / Agency and after submission of performance Guarantee of 1%
of total contract value excluding CMC valid for 5 years. Such completion will
be arrived at when the entire work as stated above is completed by the
Bidder as per the contract agreement and as per Work Order(s) issued by
TEDA / Government Department / Agency.
10.8 Termination of Contract 10.8.1 Termination for default
a) TEDA/ Government Department / Agency may without prejudice to any
other remedy for breach of contract, by written notice of default with a
notice period of 7 days, sent to the Successful Bidder, terminate the
contract in whole or part, (i) if the Successful Bidder fails to install and
commission the Grid Tied Solar Roof Top SPV Power plants within the
time period(s) specified in the Contract, or fails to fulfil the
requirements as per the Installation and Completion Schedule or within
any extension thereof granted by the TEDA/ Government Department /
Agency; or (ii) if the Successful Bidder fails to perform any of the
obligation(s) under the contract; or (iii) if the Bidder fails to observe
highest standard of ethics during bidding process and execution of the
project. Also the Tender Accepting Authority will reject a proposal for
award or terminate the contract, if it is determined in the judgment of
TEDA, the Bidder recommended for award, has engaged in fraudulent
and corrupt practices in competing for or in executing the Contract.

b) In the event TEDA / Government Department / Agency terminates the
Contract in whole or in part, it may opt upon terms and in such a
manner as it deems appropriate, the services of the other bidders and
the Successful Bidder shall be liable to TEDA for any additional costs
due to this. However, the Successful Bidder shall continue to perform
the contract to the extent not terminated.
10.8.2 Termination for Insolvency TEDA / Government Department / Agency may at any time terminate
the Contract by giving written notice with a notice period of 7 days to the
Successful Bidder, if the Successful Bidder becomes bankrupt or otherwise
insolvent. In this event, termination will be without compensation to the
Successful Bidder, provided that such termination will not prejudice or affect
any right of action or remedy that has accrued or will accrue thereafter to
TEDA / Government Department / Agency.
10.8.3 Termination for Convenience TEDA / Government Department / Agency may, by written notice, with a
notice period of seven days sent to the Successful Bidder, may terminate the
Contract, in whole or in part, at any time for its convenience. The notice of
termination should specify that termination is for TEDA / Government
Department / Agency’s convenience, the extent to which performance of work
under the Contract is terminated, and the date upon which such termination
becomes effective. On termination, the Successful Bidder is not entitled to
any compensation whatsoever.
11. EXECUTION OF WORK (CAPEX Model)
11.1 Scope of Work a) Scope of work covers Supply, Installation, Commissioning and 5 year
Comprehensive Maintenance of Grid Tied Solar Rooftop Power plants at
various locations in Tamil Nadu as per the technical specifications of the
tender section- ‘D’. Any deviation from the specifications will not be
accepted under any circumstance.

b) Wiring up to Distribution Board from the SPV Rooftop system will be in
the scope of the successful bidder. A maximum length of 50m for both
DC and AC cables together for a single run will be in the scope of the
bidder and in this the maximum length of DC cable is limited to 40m for
every Solar power plant to be installed and supply of excess cable if
required will be paid at actuals by the beneficiary.
c) Performance testing of the complete system.
d) Providing earthing as per the technical specification.
e) Comprehensive maintenance of the system for 5 years. The
comprehensive maintenance includes preventive maintenance service
visits quarterly for first year & half yearly subsequently till the
completion period of comprehensive maintenance. The maintenance
includes replacement of all parts or components found defective due to
manufacturing defect or wear and tear. If the Grid Tied Roof Top SPV
Power Plants are not functional, the same should be repaired or restored
or replaced within 7 days.
f) Insuring the goods in transit is the responsibility of the bidder.
g) The entire work should be completed as per the Installation &
Completion schedule specified in clause 10.6 h) The successful bidder should undertake to supply spares free of cost for
the maintenance of the offered items during the warranty period as per
the clause 11.6. The successful bidder should keep all the spares
available for sale at least for a period of 5 years after the expiry of CMC.
i) If the operation or use of the system proves to be unsatisfactory during
the warranty period specified, the Successful Bidder should replace the
faulty ones or carry out necessary repairs as per the warranty terms and
conditions.

j) In case the Successful Bidder fails to carry out the warranty regulations,
TEDA / Government Department / Agency will engage any other agency
and carry out the service/replacement and deduct the amounts from the
amount retained by TEDA as per the Payment terms or from their
pending bills (or) any money due (or) payable to them (or) recover from
the successful bidder.
k) If the solar grid inverter operates at medium voltage (250-650V) or high
voltage (more than 650V), a safety Certificate under Rule 47A of the
Indian Electricity Rules 1956, should be obtained from the Tamil Nadu

l) Obtaining necessary approval & clearance from TANGEDCO and
Electrical Inspectorate is the responsibility of the Beneficiary
Department.
m) Mounting structure within the scope of this tender is for flat RCC roofs.
11.2 Insurance Transportation of components to the installation site and insuring the
goods in transit is the responsibility of the Bidder. The components of the
systems to be installed under the contract should be covered for
comprehensive Insurance by the Successful Bidder against loss (or) damage
incidental to transportation, storage at site and delivery to site during the
erection period.
11.3 Handing Over a) The successful bidder should hand over the Power plants in complete
shape to the Government Department / Agency on the same day of
Installation & Commissioning, through suitable handing over and
taking over format.
b) Hands on Training on maintenance of Grid Tied Solar Rooftop Power
Plants should be arranged for the officials/ Staff of Government
Department / Agency by the successful bidder.

11.4 Comprehensive Maintenance for 5 years at 10% of the total system cost (@ 2 % per year)
a) Comprehensive Maintenance charge for 5 years is fixed at 10% of the
total system cost @ 2% per year. CMC should begin from the very next
month after the installation & commissioning and meticulous records of
the same should be maintained.
b) The Successful Bidder should provide 5 years comprehensive
maintenance of the Grid Tied Solar Rooftop Power Plants which
includes corrective maintenance, repair (or) replacement, free of cost on
site.
c) The service personnel of the Successful Bidder will make routine
maintenance visits quarterly for first year & half yearly subsequently
till the completion period of comprehensive maintenance. The
maintenance includes thorough testing & replacement of any damaged
parts. Apart from this, any complaint registered/ service calls received
or faults notified, the service personnel should reach the site within 2
days and attend to the defects or faults and rectify the same (or)
replace the faulty systems if needed within 7 days.
d) The deputed personnel should be in a position to check and test all the
components regularly, so that preventive actions, if any, could be taken
well in advance to save any component from damage.
e) Normal and preventive maintenance such as cleaning of module
surface, tightening of all electrical connections, of the Grid Tied Solar
Rooftop Power Plants are also the duties of the deputed personnel
during maintenance visits.
f) During the comprehensive maintenance period of the SPV rooftop
systems, if there is any loss or damage to any component due to
mismanagement/mishandling or due to any other reasons pertaining to
the deputed personnel, what-so-ever, the Bidder is responsible for
immediate replacement/rectification. The damaged component may be
repaired or replaced by a new component.

g) The maintenance includes replacement of all parts. If the Grid Tied
Solar Rooftop Power plants are not functional, the same should be
repaired / restored / replaced within 7 (seven) days.
h) TEDA reserves the right to claim damages and Costs for non-fulfillment
of warranty, apart from forfeiting un-paid amount if any, in the event of
unsatisfactory maintenance.
i) If the successful bidder, having been notified by the end user fails to
rectify the defect(s) and restore the SPV plants to good working
condition within the period specified above, then a penalty of Rs.500
per day of the breakdown period beyond 7 days will be levied.
j) Successful bidder should furnish the routine maintenance reports
within 15 days at the end of each maintenance period as mentioned
above. Failure to do so, it will be presumed that no Comprehensive
maintenance works were carried out by Successful Bidder and CMC
will not be released or BG’s will be en-cashed as the case may be.
11.5 Product Take Back & Recycling Proper decommissioning and recycling of SPV panels & electronics etc.,
are necessary to ensure that harmful materials are not released into the
environment. Hence, an under taking from the successful bidder for product
take back after expiry of their life should be submitted.
11.6 Warranty 1. (a) The SPV panel shall carry a warranty of minimum 25 years.
(b) The SPV panel must be warranted for their output peak watt
capacity which should not be less than 90% at the end of 12 years and
80% at the end of 25 years
(c) The grid tie solar inverter should carry a warranty of minimum 5
years.
2. The Grid Tied Solar Rooftop power plants installed and commissioned
should be under a warranty against any manufacturing defect for a
period of 60 months from the date of Commissioning.

3. The mechanical structures, electrical works including /inverters/
maximum power point tracker units/ distribution boards/digital
meters/ switchgear etc. and overall workmanship of the Grid Tied Solar
Rooftop power plants must be warranted against any manufacturing/
design/ installation defects for a minimum period of 5 years.
4. The warranty will be against breakages, malfunctions, non fulfillment of
guaranteed performance and breakdowns due to manufacturing defects
or defects that may arise due to improper operation of electrical /
electronic components of the plants but do not include physical
damages by the end users.
5. The above warranty will take effect from the date on which the plant is
taken over by the concerned govt. department after commissioning.
6. The successful Bidder is liable to make good the loss by replacing the
defective product during the warranty period for the entire plant free of
cost, failing which TEDA will deduct the amount from the amount
retained by TEDA as per Payment terms and also the bidder will be
blacklisted.
7. The warranty will cover all the materials and goods involved in the
installation and commissioning of Grid Tied Solar Rooftop plants by the
successful Bidder under this contract irrespective of the fact whether
these have been manufactured by the Successful Bidder or not. The
decision in this regard by TEDA is final and binding on the successful
bidder
11.7 Inspection a) 100% of the Grid Tied Solar Rooftop power plants installed will be
inspected by officials of TEDA / third party agencies within 15 days of
receipt of Installation & Commissioning Report. TEDA / Government
Department / Agency will make payment only for the systems installed
in compliance to the technical specifications of TEDA.
b) Cost for re-inspection after rectification / replacement should be borne
by the successful bidder @ Rs.5,000/- per visit.

tariff for a period of 25 years. Any deviation from the specifications will

b) Insuring the goods in transit is the responsibility of the bidder.
c) The entire work should be completed as per the Installation &
Completion schedule specified in clause 10.6 d) The successful bidder should undertake to generate and sale the solar
power to Government Department / Agency @ levellized tariff for a
period of 25years.
e) If the generation of solar power proves to be unsatisfactory during the
entire agreement period, the Successful Bidder should replace the faulty
ones or carry out necessary repairs to maintain good quality of power.
f) If the solar grid inverter operates at medium voltage (250-650V) or high

13. Liquidated Damages If the contractor fails to commission the plants as per the Installation & Completion schedule specified, Liquidated Damages at the rate of 1% per completed week on the value of the unfinished / non commissioned quantity of the work order will be levied subject to a maximum of 10%. The Liquidated Damages amount will be automatically deducted from the Bills submitted by the contractor. Even if the installation is not completed, Tamil Nadu Energy Development Agency/ Government Department / Agency will make alternate arrangements and the cost incurred by TamilNadu Energy Development Agency for doing the same will be recovered from the contractor.
14. Workmen’s Compensation Insurance 1) This insurance should protect the Contractor against all claims
applicable under the Workmen's Compensation Act, 1948(Government of India). This policy should also cover the Contractor against claims for injury, disability, disease or death of its or its Sub-Contractor’s employees, which for any reason are not covered under the Workmen’s Compensation Act, 1948. The liabilities should not be less than Workmen's Compensation.
2) Compensation: The contractor should arrange to exercise effective supervision over the works so as to ensure safety to the men and materials. In the case of accidents to the workmen arising out of and in the course of employment, the contractor should pay necessary compensation to them according to the workman's compensation act, besides arranging immediate medical aid. He should indemnify the TEDA against any liability whatsoever in this regard and execute a bond accordingly. In case, the contractor fails to pay the compensation within the reasonable time, TEDA may settle the claim and arrange to recover the same from the contractor

15. Payment Terms
15.1 For CAPEX model
1. All payments will be made in INR only. 2. No advance will be paid or no letter of credit will be issued. 3. (a) 90 % payment will be made on satisfactory commissioning with net
metering & completion certificate by TEDA. (Or)
80% payment will be made on satisfactory installation provided that the delay on pending installation of net meter by TANGEDCO is beyond 30 days and 10% payment will be made after satisfactory commissioning with installation of net meter. b) 10% payment will be made after the completion of 5 years CMC
period.
4. The Comprehensive Maintenance Contract payment will be subject to fulfillment of Warranty or Comprehensive Maintenance obligations.
5. If the Duties and/or Taxes have been reduced retrospectively, the contractor is liable to return the same.
6. The contractor will have full and exclusive liability for payment of all Duties, Taxes and other statutory payments payable under any or all of the Statutes/Laws/Acts etc now or hereafter imposed.
15.2 For RESCO model 1. All payments will be made in INR only. 2. No advance will be paid or no letter of credit will be issued. 3. 100% payment will be made for generated solar power @ levellized tariff
every month. 4. Payment will be made within 20days from the date of receipt of invoice. 5. If the Duties and/or Taxes have been reduced retrospectively, the
contractor is liable to return the same. 6. The contractor will have full and exclusive liability for payment of all
Duties, Taxes and other statutory payments payable under any or all of the Statutes/Laws/Acts etc now or hereafter imposed.
16. Validity of the empanelment The validity of empanelment and the price accepted will be for 13
months from the date of issue of Letter of Intimation (LoI).

17. Technical Specifications of Grid SPV Power Plant
17.1 Introduction :
In grid-tied Solar Photo-Voltaic (SPV) systems, solar energy is fed into the building loads that are connected to the public electricity grid through a service connection with surplus energy being fed into the grid and shortfall being drawn from the grid. Production of surplus energy may happen when solar energy produced exceeds building load energy demand. This surplus is fed into the grid. During the night, or when during the day energy demand in the building exceeds solar energy production, energy is drawn from the grid. Grid-tied solar PV systems have no battery storage and will not work during grid failure. For buildings with grid-tied solar PV systems, the service connection meter needs to be of the bidirectional type, whereby import KWh and export KWh are separately recorded.
A grid-tied Solar Photo Voltaic (SPV) power plant consists of SPV array, Module Mounting Structures, Solar Grid Inverter (SGI), control and protection devices, circuit breakers, interconnection cables and switches.
Components and parts used in the SPV power plants shall conform to the BIS or IEC or other international specifications, wherever such specifications are available and applicable.
17.2 Quality and Workmanship
Solar PV modules are designed to last 25 years or more. It is therefore essential that all system components and parts, including the mounting structures, cables, junction boxes, distribution boxes and other parts also have a life cycle of at least 25 years. Therefore all works shall be undertaken with the highest levels of quality and workmanship. During inspection, TamilNadu Energy Development Agency and its representatives will pay special attention to neatness of work execution and conformity with quality and safety norms. Non compliant works will have to be redone at the cost of the Installer.
Installer is advised to execute the work as per the model system at TEDA office, Chennai. Bidders are also advised to visit the model installations before bidding.

17.5 Solar PV Mounting Structure
The PV modules shall be mounted on fixed metallic structures having adequate strength and as per specifications given below which can withstand the load of the modules and high wind velocities. The array structure will be made of hot dip galvanized MS angles of size not less than 50mm x 50mm x 6mm size / Aluminium (L-angle – 50mm x 50mm x 5mm, U-channel – 33mm x 30mm x 33mm x 3mm). The support structure shall be hot dip galvanized steel or aluminium.
17.6 Detailed specifications for the mounting structure are given below:

Mounting arrangement for elevated structures
The elevated structure has to be securely anchored to the supporting surface. Concrete foundations of appropriate weight and depth for elevated structures mounted directly on the ground; Bolted with anchor bolts of appropriate strength for elevated structures mounted on RCC surfaces.

With removable concrete ballast made of pre-fabricated PCC (1:2:4), M15; assuring enough ground clearance to prevent damage of the module through water, animals and other environmental factors.

17.7 Solar Array Fuse
The cables from the array strings to the solar grid inverters shall be provided with DC fuse protection. Fuses shall have a voltage rating and current rating as required. The fuse shall have DIN rail mountable fuse holders and shall be housed in thermoplastic IP 65 enclosures with transparent covers.
17.8 Solar Grid Inverter
The solar grid inverter converts the DC power of the solar PV modules to grid-compatible AC power.

17.9 DC Combiner Box
A DC Combiner Box shall be used to combine the DC cables of the solar module arrays with DC fuse protection for the outgoing DC cable(s) to the DC Distribution Box
17.10 DC Distribution Box
A DC distribution box shall be mounted close to the solar grid inverter. The DC distribution box shall be of the thermo-plastic IP65 DIN-rail mounting type and shall comprise the following components and cable terminations:
− Incoming positive and negative DC cables from the DC Combiner Box; − DC circuit breaker, 2 pole (the cables from the DC Combiner Box will be
connected to this circuit breaker on the incoming side); − DC surge protection device (SPD), class 2 as per IEC 60364-5-53; − Outgoing positive and negative DC cables to the solar grid inverter.
17.11 As an alternative to the DC circuit breaker a DC isolator may be used inside the DC Distribution Box or in a separate external thermoplastic IP 65 enclosure adjacent to the DC Distribution Box. If a DC isolator is used instead of a DC circuit breaker, a DC fuse shall be installed inside the DC Distribution Box to protect the DC cable that runs from the DC Distribution Box to the Solar Grid Inverter.
17.12 AC Distribution Box
An AC distribution box shall be mounted close to the solar grid inverter. The AC distribution box shall be of the thermo plastic IP65 DIN rail mounting type and shall comprise the following components and cable terminations:
− Incoming 3-core / 5-core (single-phase/three-phase) cable from the solar grid inverter
− AC circuit breaker, 2-pole / 4-pole − AC surge protection device (SPD), class 2 as per IEC 60364-5-53 − Outgoing cable to the building electrical distribution board − Connection to the Building Electrical System.
17.13 The AC output of the solar grid inverter shall be connected to the
building’s electrical system after the TANGEDCO service connection meter and main switch on the load side. The solar grid inverter output shall be connected to a dedicated module in the Main Distribution Board (MDB) of the building. It shall not be connected to a nearby load

or socket point of the building. The connection to the electrical system of the building shall be done as shown in typical wiring diagram 1 in the Annexure 4.
17.14 For buildings or loads with diesel generator backup, the wiring of the solar grid inverter shall be such that the solar grid inverter cannot run in parallel with the diesel generator. This implies that the solar grid inverter must be connected to a distribution board on the grid side of the automatic or manual change-over switch as shown in typical wiring diagram 2 in the Annexure 4.
17.15 Cables
o All cables shall be supplied conforming to IEC 60227/ IS 694 & IEC 60502/ IS 1554. Voltage rating: 1,100V AC, 1,500V DC
o For the DC cabling, Solar cables with multi stranded copper conductors XLPE or XLPO insulated and sheathed with the voltage rating of 1500 V DC or higher UV stabilised single core flexible copper cables shall be used. Multi-core cables shall not be used.
o For the AC cabling, PVC or XLPE insulated and PVC sheathed single or multi-core flexible copper cables shall be used. Outdoor AC cables shall have a UV-stabilised outer sheath.
o The total voltage drop on the cable segments from the solar PV modules to the solar grid inverter shall not exceed 2.0%.
o The total voltage drop on the cable segments from the solar grid inverter to the building distribution board shall not exceed 2.0%
o The DC cables from the SPV module array shall run through a UV-stabilised PVC conduit pipe of adequate diameter with a minimum wall thickness of 1.5mm or through a High Density Poly Ethylene (HDPE) conduit. The conduits shall not run across the path way of the terrace. Flexible corrugated PVC conduits shall not be used.
o Cables and wires used for the interconnection of solar PV modules shall be provided with solar PV connectors (MC4) and couplers.
o All cables and conduit pipes shall be clamped to the rooftop, walls and ceilings with thermo-plastic clamps at intervals not exceeding 50 cm. The minimum DC cable size shall be 4.0 mm2 copper. The minimum AC cable size shall be 4.0 mm2 copper for up to 10kWp and 16.0mm2 for above 10kWp / required standard size. In three phase systems, the size of the neutral wire shall be equal to the

o Cables and conduits that have to pass through walls or ceilings shall be taken through a PVC pipe sleeve.
o Cable conductors shall be terminated with tinned copper end-ferrules to prevent fraying and breaking of individual wire strands. The termination of the DC and AC cables at the Solar Grid Inverter shall be done as per instructions of the manufacturer, which in most cases will include the use of special connectors.
o Cable lugs and end –ferrules for all cable conductor and wire terminations shall be crimped with crimping pliers and end-ferrule pliers.
o All cable ties shall be UV resistant.
17.16 Earthing
The PV module structure components shall be electrically interconnected and shall be grounded.
Earthing shall be done in accordance with IS 3043-1986, provided that earthing conductors shall have a minimum size of 6.0 mm2 copper, 10 mm2 aluminium or 70 mm2 hot dip galvanised steel. Unprotected aluminium or copper-clad aluminium conductors shall not be used for final underground connections to earth electrodes.
A dedicated earth electrode must be used for the earthing of DC side and AC side separately.
The earth electrodes shall have a precast concrete enclosure with a removable lid for inspection and maintenance. The entire earthing system shall comprise non-corrosive components.
17.17 Surge protection
Surge protection shall be provided on both the DC and the AC side of the solar system.

The DC surge protection devices (SPDs) shall be installed in the DC distribution box adjacent to the solar grid inverter.
The AC SPDs shall be installed in the AC distribution box adjacent to the solar grid inverter.
The SPDs earthing terminal shall be connected to earth through the above mentioned dedicated earthing system. The SPDs shall be of type 2 as per IEC 60364-5-53
17.18 Lightning Protection Lightning protection as per IS 2309 “Protection of Buildings and Allied structures against Lightning –code of practise” (second revision)(1989) shall be provided.
17.19 Junction Boxes Junction boxes and solar panel terminal boxes shall be of the thermo
plastic type with IP 65 protection for outdoor use and IP 54 protection for indoor use.
Cable terminations shall be taken through thermo-plastic cable glands. Cable ferrules shall be fitted at the cable termination points for identification.
17.20 Data Monitoring:
a) For online monitoring, a data logging system shall be provided and the same shall be fixed at a reachable height.
b) Net / SIM based Data logging system shall be provided. The data storage facility has to be provided in the Inverter. The net charges will have to be borne by the installer till the completion of 5 year CMC period.
17.21 Tools, Tackles and Spares
The Installer shall keep ready stock of tools, tackles and essential spares that will be needed for the day-to-day maintenance of the solar PV system. This shall include but not be limited to, the following:
Screw driver suitable for the junction boxes and combiner boxes; Screw driver and / or Allen key suitable for the connectors, power distribution blocks, circuit breaker terminals and surge arrestor terminals;
Spanners / box spanners suitable for the removal of solar PV modules from the solar PV module support structure;

17.22 Caution Signs
In addition to the standard caution and danger boards or labels as per Indian Electricity Rules, the AC distribution box near the solar grid inverter and the building distribution board to which the AC output of the solar PV system is connected, shall be provided with a non-corrosive caution label with the following text:

The size of the caution label shall be 105mm (width) x 20mm
(height) with white letters on a red background.
Caution labels as may be prescribed by TANGEDCO shall be fixed as per TANGEDCO specifications.
17.23 Metering
The existing service connection meter needs to be replaced with a
bidirectional (import kWh and export kWh) service connection meter for
the purpose of net-metering for eligible categories. Installation of the net
meter will be carried out by TANGEDCO.
Beneficiary / Beneficiary department will submit application to TANGEDCO to enable the connectivity of Solar rooftops with Grid and to avail net metering benefits.
17.24 Documentation The Installer shall supply the following documentation: a) System description with working principles. b) System single line diagram. c) Solar PV array lay-out. d) Routing diagram of cables and wires. e) Data sheets and user manuals of the solar PV panels and the solar
grid inverter. f) A system operation and maintenance manual. g) Name, address, mobile number and email address of the service
centre to be contacted in case of failure or complaint. h) Warranty cards. i) Maintenance registers.

17.25 Test Certificates and Reports to be Furnished
Test Certificates / Reports from IECQ / NABL accredited laboratory for relevant IEC / equivalent BIS standard for quoted components shall be furnished. Type Test Certificates / reports shall be provided for the solar modules and solar grid tied inverters up to 20kW to provide evidence of compliance with standards as specified in 17.4 & 17.8. For solar grid tied inverters above 20kW, self certification by the manufacturer of the said inverter is acceptable as specified in 17.8. TEDA reserves the right to ask for additional test certificates or (random) tests to establish compliance with the specified standards.

1. We have examined the Rate contract tender for empanelment of vendors
for supply, installation and commissioning of cumulative capacity of
100MW Grid Connected Rooftop Solar PV power plants in TamilNadu
under CAPEX & RESCO model as specified in the Tender. We undertake
to meet the requirements and services as required and as set out in the
Tender document.
2. We attach our Techno commercial Bid and Price Bid (both CAPEX &
RESCO / CAPEX / RESCO) in separate sealed covers as required by the
Tender both of which together constitute our proposal, in full conformity
with the said Tender.
3. We have read the provisions of Tender and confirm that these are
acceptable to us. We further declare that additional conditions, variations,
deviations, if any, found in our response shall not be given effect to.
4. We undertake, if our Bid is accepted, to adhere to the requirements as
specified in the Tender or such modified plan as may subsequently be
agreed.

5. We agree to unconditionally accept all the terms and conditions set out in
the Tender document and also agree to abide by this Bid response for a
period as mentioned in the Tender from the date fixed for bid opening and
it shall remain binding upon us with full force and virtue, until within this
period a formal contract is prepared and executed. This Bid response,
together with your written acceptance thereof in your notification of
award, shall constitute a binding contract between us and TEDA.

This document on having been signed by both the parties shall
constitute a binding contract between the parties and shall remain in force for
a period of five years. But in the event of any breach of the Contract at any
time on the part of the Contractor, the contract shall be terminated by the
TamilNadu Energy Development Agency / Government Department / Agency
without compensation to the Contractor. The contract may also be put to an
end at any time by the Implementing Agency upon giving seven days notice to
the Contractor.

The contractor agrees for the Supply, Installation, Commissioning & 5
year Comprehensive Maintenance of Grid Tied Solar Rooftop Power plants of
various capacities at various govt. buildings in Tamil Nadu as per the Terms
& Conditions given below.
1. Installation & Completion Schedule The entire work involving Supply, Installation, Commissioning & 5 year
Comprehensive Maintenance of Grid Tied Solar Rooftop Power plants of
various capacities at various govt. buildings in Tamil Nadu should be
completed within 90 days from the date of issue of work order.
2. Insurance Transportation of components to the installation site and insuring the
goods in transit is the responsibility of the Contractor. The
goods/components to be installed under the contract shall be covered for
comprehensive Insurance by the Contractor against loss (or) damage
incidental to transportation, storage at site and delivery to site during the
erection period.

4. Subsidy Subsidy will be disbursed after receipt of project completion report as
per the MNRE format and satisfactory inspection by TEDA officials /
third party agencies finalized by TEDA.

TEDA will provide 30% CFA (in Rs/Wp) at L1 project cost as per
MNRE’s guidelines for all categories of all sectors except Government
sectors.
For Government sectors, Achievement linked incentives will be provided
as per MNRE’s guidelines.
5. Handing over a) The Contractor should hand over the Power plants in complete shape to
the Government Department / Agency on the same day of Installation &
Commissioning, through suitable handing over and taking over format.
b) Hands on Training on maintenance of Grid Tied Solar Rooftops Power
Plant shall be arranged for the officials/ Staff of Government
Department / Agency by the Contractor.
6. Comprehensive Maintenance for 5 years at 10% of the total system cost (@ 2% per year)
a) Comprehensive Maintenance charge for 5 years is fixed at 10% of the
total system cost @ 2% per year. CMC should begin from the very next
month after the installation & commissioning and meticulous records of
the same shall be maintained.
b) The Contractor should provide 5 years comprehensive maintenance of
the Grid Tied Solar Rooftop Power Plants which should include
corrective maintenance, repair (or) replacement, free of cost at site.
c) The service personnel of the Contractor will make routine maintenance
visits quarterly for first year & subsequently half yearly till the
completion period of comprehensive maintenance. The maintenance
should include thorough testing & replacement of any damaged parts.
Apart from this, any complaint registered/ service calls received or
faults notified, the service personnel should reach the site within 2
days and attend to the defects or faults and rectify the same (or)
replace the faulty systems if needed within 7 days.`

d) The deputed personnel should be in a position to check and test all the
components regularly, so that preventive actions, if any, could be taken
well in advance to save any component from damage.
e) Normal and preventive maintenance such as cleaning of module
surface, tightening of all electrical connections of the Grid Tied Solar
Rooftop Power Plants are also the duties of the deputed personnel
during maintenance visits.
f) During the comprehensive maintenance period of the SPV rooftop
systems, if there is any loss or damage to any component due to miss
management/miss handling or due to any other reasons pertaining to
the deputed personnel, what-so-ever, the Bidder should be responsible
for immediate replacement/rectification. The damaged component may
be repaired or replaced by a new component.
g) The maintenance should include replacement of all parts. If the Grid
Tied Solar Rooftop Power plants are not functional, the same should be
repaired / restored / replaced within 7 (seven) days.
h) TEDA reserves the right to claim damages and Costs for non-fulfillment
of warranty, apart from forfeiting un-paid amount if any, in the event of
unsatisfactory maintenance.
i) If the contractor fails to rectify the defect(s) and restore the SPV plants
to good working condition within the period specified above, then a
penalty of Rs. 500 per day of the breakdown period beyond 7 days will
be levied.
j) Contractor should furnish the routine maintenance reports within 15
days from the end of each maintenance period as mentioned above. If
not furnished within due date it will be presumed that no maintenance
work carried out by Successful Bidder, BG’s will be encashed.
7.Liquidated Damages
1) If the contractor fails to commission the plants as per the Installation &
Completion schedule specified, Liquidated Damages at the rate of 1%
per completed week on the value of the unfinished / non commissioned

quantity of the work order will be levied subject to a maximum of 10%.
The Liquidated Damages amount will be automatically deducted from
the Bills submitted by the contractor. Even if the installation is not
completed, Tamil Nadu Energy Development Agency will make alternate
arrangements and the cost incurred by TamilNadu Energy Development
Agency for doing the same will be recovered from the contractor.
8. Warranty
1. (a) The SPV panel should carry a warranty of minimum 25 years.
(b) The SPV panel must be warranted for their output peak watt
capacity which should not be less than 90% at the end of 12 years and
80% at the end of 25 years
(c) The grid tie solar inverter should carry a warranty of minimum 5
years.
2. The Grid Tied Solar Rooftop power plants installed and commissioned
should be under a warranty against any manufacturing defect for a
period of 60 months from the date of Commissioning.
3. The mechanical structures, electrical works including /inverters/
maximum power point tracker units/ distribution boards/digital
meters/ switchgear etc. and overall workmanship of the Grid Tied Solar
Rooftop power plants must be warranted against any manufacturing/
design/ installation defects for a minimum period of 5 years.
4. The warranty will be against breakages, malfunctions, non fulfillment of
guaranteed performance and breakdowns due to manufacturing defects
or defects that may arise due to improper operation of electrical /
electronic components of the plants but do not include physical
damages by the end users.
5. The above warranty will take effect from the date on which the plant is
taken over by the concerned govt. department after commissioning.
6. The contractor is liable to make good the loss by replacing the defective product during the warranty period for the entire plant free of cost, failing which TEDA will deduct the amount from the amount retained by TEDA as per Payment terms and also the bidder will be blacklisted.

7. The warranty will cover all the materials and goods involved in the installation and commissioning of Grid Tied Solar Rooftop plants by the contractor under this contract irrespective of the fact whether these have been manufactured by the Contractor or not. The decision in this regard by TEDA is final and binding on the successful bidder
9. Payment Terms 1. All payments will be made in INR only.
2. No advance will be paid or no letter of credit will be issued.
3. (a) 90 % payment will be made on satisfactory commissioning with net
metering & completion certificate by TEDA / concerned government
department.
(Or) 80% payment will be made on satisfactory installation provided that the
delay on pending installation of net meter by TANGEDCO is beyond 30
days and 10% payment will be made after satisfactory commissioning
with installation of net meter.
b) 10% payment will be made after the completion of 5 years CMC
period.
4. The Comprehensive Maintenance Contract payment will be subject to
fulfillment of Warranty or Comprehensive Maintenance obligations.
5. If the Duties and/or Taxes have been reduced retrospectively, the
contractor is liable to return the same.
6. The contractor will have full and exclusive liability for payment of all
Duties, Taxes and other statutory payments payable under any or all of
the Statutes/Laws/Acts etc now or hereafter imposed.
10. Product Take Back & Recycling Proper decommissioning and recycling of SPV panels & electronics etc.,
are necessary to ensure that harmful materials are not released in to the
environment. Hence the Contractor should submit an under taking for
product take back after expiry of their life.
11. Force Majeure

Neither TamilNadu Energy Development Agency nor the Contractor
shall be liable to the other for any delay or failure in the performance of
their respective obligations due to causes or contingencies beyond their
reasonable control such as:
Natural phenomena including but not limited to earthquakes, floods
and epidemics.
Acts of any Government authority, domestic or foreign including but
not limited to war declared or undeclared, priorities and quarantine
restrictions.
Accidents or disruptions including, but not limited to fire, explosions,
breakdown of essential machinery or equipment, power and water
shortages.
12. Workmen’s Compensation Insurance 1) This insurance should protect the Contractor against all claims
applicable under the Workmen's Compensation Act, 1948(Government
of India). This policy shall also cover the Contactor against claims for
injury, disability disease or death of its or its Sub-Contractor’s
employees, which for any reason are not covered under the Workmen’s
Compensation Act, 1948. The liabilities will not be less than that of
Workmen's Compensation.
2) Compensation: The contractor should arrange to exercise effective
supervision over the works so as to ensure safety to the men and
materials. In the case of accidents to the workmen arising out of and in
the course of employment, the contractor shall pay necessary
compensation to them according to the workman's compensation act,
besides arranging immediate medical aid. He shall indemnify
TamilNadu Energy Development Agency against any liability whatsoever
in this regard and execute a bond accordingly. In case, the contractor
fails to pay the compensation within the reasonable time, the
TamilNadu Energy Development Agency may settle the claim and
arrange to recover the same from the contractor.

e. Detailed final offer of the contractor
f. Work Order(s) issued by TamilNadu Energy Development Agency
from time to time
g. Correspondence made by TamilNadu Energy Development
Agency to the contractor from time to time during the period of
the contract.
Wherever the offer conditions furnished by the Contractor are at
variance with conditions of this contract or conditions stipulated in the
work order, the latter shall prevail over the offer conditions furnished
by the Contractor.
14. Waiver of any terms and conditions by TamilNadu Energy Development
Agency in writing will not have the effect of waiving or abandoning other
terms and conditions of the contract.
15. (a) Unless otherwise provided in the Contract, any notice, request, consent
or other communication given or required to be given hereunder should be
given by mailing the same by registered mail, postage prepaid to
TamilNadu Energy Development Agency at its registered office
(b)Any notice to the Contractor will be deemed to be sufficiently served, if
given or left in writing at their usual or last known place of abode or
business.
16. Termination of Contract

16.1 Termination for Default
a) TEDA/ Government Department / Agency may without prejudice to any
other remedy for breach of contract, by written notice of default with a
notice period of 7 days, sent to the Successful Bidder, terminate the
contract in whole or part, (i) if the Successful Bidder fails to install and
commission the Grid Tied Solar Roof Top SPV Power plants within the
time period(s) specified in the Contract, or fails to fulfil the
requirements as per the Installation and Completion Schedule or within
any extension thereof granted by the TEDA/ Government Department /
Agency; or (ii) if the Successful Bidder fails to perform any of the
obligation(s) under the contract; or (iii) if the Bidder fails to observe
highest standard of ethics during bidding process and execution of the
project. Also the Tender Accepting Authority will reject a proposal for
award or terminate the contract, if it is determined in the judgment of
TEDA, the Bidder recommended for award, has engaged in fraudulent
and corrupt practices in competing for or in executing the Contract.
b) In the event TEDA / Government Department / Agency terminates the
Contract in whole or in part, it may opt upon terms and in such a
manner as it deems appropriate, the services of the other bidders and
the Successful Bidder shall be liable to TEDA for any additional costs
due to this. However, the Successful Bidder shall continue to perform
the contract to the extent not terminated.
16.2 Termination for Insolvency TEDA / Government Department / Agency may at any time terminate
the Contract by giving written notice with a notice period of 7 days to the
Successful Bidder, if the Successful Bidder becomes bankrupt or otherwise
insolvent. In this event, termination will be without compensation to the
Successful Bidder, provided that such termination will not prejudice or affect
any right of action or remedy that has accrued or will accrue thereafter to
TEDA / Government Department / Agency.

16.3 Termination for Convenience TEDA / Government Department / Agency may, by written notice, with a
notice period of seven days sent to the Successful Bidder, may terminate the
Contract, in whole or in part, at any time for its convenience. The notice of
termination should specify that termination is for TEDA / Government
Department / Agency’s convenience, the extent to which performance of work
under the Contract is terminated, and the date upon which such termination
becomes effective. On termination, the Successful Bidder is not entitled to
any compensation whatsoever.
1. In case of failure by the Contractor to commission the grid tied solar
Rooftop systems within the period specified as per the schedule or in
case of installations made by them, not being of the stipulated quality
and specifications, TEDA / Government Department / Agency shall
have the power to reject any such installations.
2. In case of any dispute, the matter will be referred to a sole Arbitrator to
be appointed by TEDA / Government Department / Agency in
accordance with the Arbitration and Conciliation Act 1996. The
arbitration shall be held in Chennai, India and the language English
only.
17.Blacklisting i) Under no circumstances should the contractor backs out after the award of
work. The contractor who does so, resulting in recalling of tenders by the
TamilNadu Energy Development Agency or additional expenditure to
TamilNadu Energy Development Agency, will not lose his EMD/SD alone
but will be blacklisted by TamilNadu Energy Development Agency which
reserves the right under the law to recover damages resulting there from.
ii) The Contractor will be banned from all business dealings with
TamilNadu Energy Development Agency if the particulars produced by
him/her such as Auditor Certificate, Annual Account, VAT Clearance
and Test Certificates are found to be false.

iii) The Contractor is liable to make good the loss by replacing the
defective product during the CMC for the entire system free of cost,
failing which TamilNadu Energy Development Agency will deduct the
amount retained by TamilNadu Energy Development Agency as per
payment terms and will blacklist the Contractor.
18. Subject to the above, the Courts at Chennai alone only shall have
jurisdiction in the matter.

The contractor agrees for the Supply, Installation, Commissioning of Grid Tied
Solar Rooftop Power plants of various capacities at buildings of Government
Departments / Agencies / Residential / Institutional / Social sector buildings
in Tamil Nadu and operate & maintain the plants for a period of 25 years at
his own cost as per the Terms & Conditions given below.
1. Installation & Completion Schedule The entire work involving Supply, Installation, Commissioning of Grid
Tied Solar Rooftop Power plants of various capacities buildings of Government
Departments / Agencies / Residential / Institutional / Social sector buildings
in Tamil Nadu should be completed within 90 days from the date of issue of
work order.
2. Insurance The comprehensive Insurance by the Contractor includes any loss (or)
damage incidental to transportation, storage at site, delivery to site during
the erection period as well as the plants installed to be maintained for a
period of 25 years from the date of commissioning.
3.Tariff Schedule:

5. Operation & Maintenance The Contractor should Operate & Maintain the grid connected solar plant
at his own cost and supply power to the beneficiary at the levellized tariff of
Rs._____ for a period of 25 years from the date of commissioning of the
plants.
6. Payment Terms
1. All payments will be made in INR only. 2. No advance will be paid or no letter of credit will be issued. 3. 100% payment will be made for generated solar power @ levellized tariff
every month. 4. Payment will be made within 20days from the date of receipt of invoice. 5. If the Duties and/or Taxes have been reduced retrospectively, the
contractor is liable to return the same. 6. The contractor will have full and exclusive liability for payment of all
Duties, Taxes and other statutory payments payable under any or all of the Statutes/Laws/Acts etc now or hereafter imposed.
7. Product Take Back & Recycling Proper decommissioning and recycling of SPV panels & electronics etc.,
are necessary to ensure that harmful materials are not released in to the
environment. Hence the Contractor should submit an under taking for
product take back after expiry of their life.
8. Force Majeure
Neither TamilNadu Energy Development Agency nor the Contractor
shall be liable to the other for any delay or failure in the performance of
their respective obligations due to causes or contingencies beyond their
reasonable control such as:
Natural phenomena including but not limited to earthquakes, floods
and epidemics.

Acts of any Government authority, domestic or foreign including but
not limited to war declared or undeclared, priorities and quarantine
restrictions.
Accidents or disruptions including, but not limited to fire, explosions,
breakdown of essential machinery or equipment, power and water
shortages.
9. Workmen’s Compensation Insurance 1) This insurance should protect the Contractor against all claims
applicable under the Workmen's Compensation Act, 1948(Government
of India). This policy shall also cover the Contactor against claims for
injury, disability disease or death of its or its Sub-Contractor’s
employees, which for any reason are not covered under the Workmen’s
Compensation Act, 1948. The liabilities will not be less than that of
Workmen's Compensation.
2) Compensation: The contractor should arrange to exercise effective
supervision over the works so as to ensure safety to the men and
materials. In the case of accidents to the workmen arising out of and in
the course of employment, the contractor shall pay necessary
compensation to them according to the workman's compensation act,
besides arranging immediate medical aid. He shall indemnify
TamilNadu Energy Development Agency against any liability whatsoever
in this regard and execute a bond accordingly. In case, the contractor
fails to pay the compensation within the reasonable time, the
TamilNadu Energy Development Agency may settle the claim and
arrange to recover the same from the contractor.
10. (a) Unless otherwise provided in the Contract, any notice, request, consent
or other communication given or required to be given hereunder should be
given by mailing the same by registered mail, postage prepaid to
TamilNadu Energy Development Agency at its registered office

(b)Any notice to the Contractor will be deemed to be sufficiently served, if
given or left in writing at their usual or last known place of abode or
business.
11. Termination of Contract
11.1 Termination for Default
a) TEDA/ Government Department / Agency may without prejudice to any
other remedy for breach of contract, by written notice of default with a
notice period of 7 days, sent to the Successful Bidder, terminate the
contract in whole or part, (i) if the Successful Bidder fails to install and
commission the Grid Tied Solar Roof Top SPV Power plants within the
time period(s) specified in the Contract, or fails to fulfil the
requirements as per the Installation and Completion Schedule or within
any extension thereof granted by the TEDA/ Government Department /
Agency; or (ii) if the Successful Bidder fails to perform any of the
obligation(s) under the contract; or (iii) if the Bidder fails to observe
highest standard of ethics during bidding process and execution of the
project. Also the Tender Accepting Authority will reject a proposal for
award or terminate the contract, if it is determined in the judgment of
TEDA, the Bidder recommended for award, has engaged in fraudulent
and corrupt practices in competing for or in executing the Contract.

Wherever the offer conditions furnished by the Contractor are at
variance with conditions of this contract or conditions stipulated in the
work order, the latter shall prevail over the offer conditions furnished

14. Waiver of any terms and conditions by TEDA / Government
Department / Agency in writing will not have the effect of waiving or
abandoning other terms and conditions of the contract.

i) The Small Scale Industrial units located within the State and
Registered with the Tamil Nadu Small Industries Development
Corporation/NSIC for the manufacture of items such as SPV
Cells/Modules or PV System Electronics(Inverter only) manufactured
by them
ii) The SSI units holding Permanent Registration certificate from the
District Industries Centres of Directorate of Industries and
Commerce in respect of those items as stated in (i) above for which
the Registration Certificate has been obtained.
iii) Departments of the Government of Tamil Nadu.
iv) Undertakings and Corporations owned by Government of Tamil
Nadu.
v) Labour Contract Co-operative Societies registered within Tamil Nadu.
vi) Tiny Industries classified under SSI, registered with the State of
Tamil Nadu, and Registration Certificate issued by Department of
Industries and Commerce/Government of Tamil Nadu for the
manufacture of items such as SPV Cells/Modules or PV System
Electronics(Inverter only) manufactured by them.
vii) Small Scale Industrial units located outside the State but registered
with National Small Industries Corporation (NSIC) in respect of the items such as SPV Cells/Modules or PV System Electronics(Inverter only) manufactured by them.
viii) The Small Scale Industrial units located within the State and
Registered with the Tamil Nadu Small Industries Development Corporation/NSIC as a PV System Integrator.
